<distribution-code display="yes">II</distribution-code><congress>117th CONGRESS</congress><session>1st Session</session><legis-num>S. 3102</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20211028">October 28, 2021</action-date><action-desc><sponsor name-id="S351">Mr. Toomey</sponsor> introduced the following bill; which was read twice and referred to the <committee-name committee-id="SSBK00">Committee on Banking, Housing, and Urban Affairs</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Securities Exchange Act of 1934 to preserve commission-free trading and investor freedom for the people of the United States by prohibiting the Securities and Exchange Commission from banning payment for order flow, and for other purposes. </official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Investor Freedom Act of 2021</short-title></quote>.</text></section><section id="idB3AB51CD4C1F4F10B6B5B52BC5F1891A"><enum>2.</enum><header>Safe harbor for payment for order flow</header><text display-inline="no-display-inline">Section 28 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78bb">15 U.S.C. 78bb</external-xref>) is amended by adding at the end the following:</text><quoted-block id="id64EEF4D01A554BAF82FEC0B56DE50771" style="OLC" act-name=""><subsection id="id4DFE5030478844ACB7C4F10AB667AE70"><enum>(g)</enum><header>Payment for order flow</header><paragraph id="id5B2D856571224701821B23014E150F78"><enum>(1)</enum><header>Definition</header><text>In this subsection, the term <term>payment for order flow</term> has the meaning given the term in section 240.10b–10(d) of title 17, Code of Federal Regulations, as in effect on the date of enactment of this subsection.</text></paragraph><paragraph id="idC7F1AAC1ED2C42F7BC65FC86D6652E21"><enum>(2)</enum><header>Applicability</header><subparagraph id="id4F72E92CCD6441B4BFDC4CD430FC9948"><enum>(A)</enum><header>In general</header><text>No broker or dealer, or any person associated with a broker or dealer, using the mails, or any means or instrumentality of interstate commerce, shall be deemed to have acted unlawfully or to have breached a duty under State or Federal law solely by reason of having received payment for order flow.</text></subparagraph><subparagraph id="idD60E440F121F476CB0260A78FDFF2A66"><enum>(B)</enum><header>Restriction</header><text>Neither the Commission nor any national securities exchange or registered securities association may promulgate any rule or regulation that prohibits, limits, or directs the receipt or use of payment for order flow by— </text><clause id="id6E255F3CC3A949AB9A123C7ECFE23A29"><enum>(i)</enum><text>a broker or dealer; or </text></clause><clause id="id75B80C378E96412085026F6268160906"><enum>(ii)</enum><text>any person associated with a broker or dealer.</text></clause></subparagraph><subparagraph id="id4EFBE4CDD5C244E79702D5360EE0ADAC"><enum>(C)</enum><header>Rule of construction</header><text>Nothing in this subsection may be construed to impair or limit the power of the Commission, any national securities exchange, or any registered securities association with respect to any other duties applicable to the execution of a customer’s order by a broker or dealer.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
