which was read twice and referred to the <committee-name committee-id="SSSB00">Committee on Small Business and Entrepreneurship</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To require the Administrator of the Small Business Administration to establish an SBIC Working Group, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><subsection id="idFFF7022B1483413D9253CAE4F1DCA1A5"><enum/><text>This Act may be cited as the <quote><short-title>SBIC Working Group Act of 2021</short-title></quote>.</text></subsection></section><section section-type="subsequent-section" id="id3500E74F851C4A8C8E7D6B3C4B777562"><enum>2.</enum><header>SBIC working group</header><subsection id="id795a8de950f04a57aa510568b4cc7e4a"><enum>(a)</enum><header>Definitions</header><text>In this section—</text><paragraph id="idC93AF015867040DC85BF90636581ED45"><enum>(1)</enum><text>the terms <term>Administration</term> and <term>Administrator</term> mean the Small Business Administration and the Administrator thereof, respectively; </text></paragraph><paragraph id="id409B78959CF643E4A79702498A2F18BF"><enum>(2)</enum><text>the term <term>covered Members</term> means the Chair and Ranking Member of—</text><subparagraph id="idD3F964A7675F421A9B80A7AA3B59D645"><enum>(A)</enum><text>the Committee on Small Business and Entrepreneurship of the Senate; and</text></subparagraph><subparagraph id="idDEE3F16CA3D042B7A078A6DC62AF95ED"><enum>(B)</enum><text>the Committee on Small Business of the House of Representatives;</text></subparagraph></paragraph><paragraph id="idE1B699F393314E7ABE6687B7EFEBAC32"><enum>(3)</enum><text>the terms <term>licensee</term>, <term>small business investment company</term>, and <term>underlicensed State</term> have the meanings given those terms in section 301 of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/662">15 U.S.C. 662</external-xref>); </text></paragraph><paragraph id="id6CFFC02C1C984C4E86D120C7A2068A17"><enum>(4)</enum><text>the term <term>low-income community</term> has the meaning given the term in <external-xref legal-doc="usc" parsable-cite="usc/26/45D">section 45D(e)</external-xref> of the Internal Revenue Code of 1986;</text></paragraph><paragraph id="id0D0FBE27556F4DA5BC3B71BDF0B80AB7"><enum>(5)</enum><text>the term <term>rural area</term> has the meaning given the term by the Bureau of the Census;</text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="idAB5E8EB1378B449382A694C975A09730"><enum>(6)</enum><text>the terms <term>small business concern</term>, <term>small business concern owned and controlled by veterans</term>, and <term>small business concern owned and controlled by women</term> have the meanings given those terms in section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>); </text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="id61738D700581402A8852C5E274D06C64"><enum>(7)</enum><text>the term <term>socially or economically disadvantaged individual</term> means a socially disadvantaged individual or economically disadvantaged individual, as described in paragraphs (5) and (6)(A), respectively, of section 8(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)</external-xref>); </text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="id9DCA94A0F2D041E18E81C4EF5A832099"><enum>(8)</enum><text>the term <term>underfinanced State</term> means a State that has below median financing, as determined by the Administrator; and</text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="id257D4538C13740519374C48C2DDEC1C3"><enum>(9)</enum><text>the term <term>underserved community</term> means—</text><subparagraph display-inline="no-display-inline" commented="no" id="id0C2C9F899FD145928A8689EA25F829F6"><enum>(A)</enum><text>a HUBZone, as defined in section 31(b) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/657a">15 U.S.C. 657a(b)</external-xref>);</text></subparagraph><subparagraph id="id0746af5173754865a2880734a4f692b2"><enum>(B)</enum><text>a community that has been designated as an empowerment zone or an enterprise community under <external-xref legal-doc="usc" parsable-cite="usc/26/1391">section 1391</external-xref> of the Internal Revenue Code of 1986; </text></subparagraph><subparagraph id="id394bb472357f41f784b1541412c9eaeb"><enum>(C)</enum><text>a community that has been designated as a promise zone by the Secretary of Housing and Urban Development; and</text></subparagraph><subparagraph id="id3F19D11707174BF49D91266579C065B6"><enum>(D)</enum><text>a community that has been designated as a qualified opportunity zone under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986.</text></subparagraph></paragraph></subsection><subsection id="id89573250DBCF46EABC9553A61113369A"><enum>(b)</enum><header>Establishment</header><text>Not later than 90 days after the date on which the covered Members submit to the Administrator a notification that the covered Members have made all selections described in subparagraphs (A)(ii), (B)(ii), and (D) of paragraph (1) (and that the individuals so selected have accepted those assignments), the Administrator shall establish an SBIC Working Group (referred to in this section as the <quote>Working Group</quote>), which shall—</text><paragraph id="idab5e9646c6da4d57846d93a7bf8ea498"><enum>(1)</enum><text>include—</text><subparagraph id="ida615a34b12464073a381ac3e7b453b19"><enum>(A)</enum><text>4 representatives—</text><clause id="id6E7298BCB31049D2929B9B1D6B294E91"><enum>(i)</enum><text>among general partners of licensees that have a demonstrated record of investing in—</text><subclause id="id7d8425c8befb4c0fa187afaf4088d20e"><enum>(I)</enum><text>low-income communities;</text></subclause><subclause id="id59628f77458e4301b9e4fcb7193d4539"><enum>(II)</enum><text>communities that have been designated as qualified opportunity zones under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986;</text></subclause><subclause id="id4217ed04ac5c406db36ad6029b0276ba"><enum>(III)</enum><text>businesses primarily engaged in research and development;</text></subclause><subclause id="idbc97ef05f88340188e9c5636b955ec4d"><enum>(IV)</enum><text>manufacturers;</text></subclause><subclause id="id559696e4ad8d45e8b3deb3f4b4b4696e"><enum>(V)</enum><text>businesses primarily owned or controlled by individuals in underserved communities before receiving capital from the licensee; and</text></subclause><subclause id="idbebbe30598d54394ae36bcede03cc551"><enum>(VI)</enum><text>rural areas; and</text></subclause></clause><clause id="id8FCB569C9A104B068C17624515618723"><enum>(ii)</enum><text>of whom—</text><subclause id="id4EC4966620C14971B8D52733959A3C88"><enum>(I)</enum><text>1 shall be selected by the Chair of the Committee on Small Business and Entrepreneurship of the Senate;</text></subclause><subclause id="idB273CF778EBD4FE7B506AD81E9D17985"><enum>(II)</enum><text>1 shall be selected by the Ranking Member of the Committee on Small Business and Entrepreneurship of the Senate;</text></subclause><subclause id="idB786B1BBD84245069A68035BF5B70969"><enum>(III)</enum><text>1 shall be selected by the Chair of the Committee on Small Business of the House of Representatives; and</text></subclause><subclause id="id1BB9A19D49954FCB9C644C4384D61C98" commented="no" display-inline="no-display-inline"><enum>(IV)</enum><text>1 shall be selected by the Ranking Member of the Committee on Small Business of the House of Representatives; </text></subclause></clause></subparagraph><subparagraph id="idfdf0a5764f38438080b49500baa8620a"><enum>(B)</enum><text>4 representatives—</text><clause id="idB1BBB1A0DD4B4F9BA71AD4547091718A"><enum>(i)</enum><text>from licensees, of whom 1 shall be an owner of a small business investment company or fund manager that is located in—</text><subclause id="idd855127464ce4c208982f5180b6d84c9"><enum>(I)</enum><text>a low-income community;</text></subclause><subclause id="idf3a3ba64ea6e42288f2241d51c8b2f78"><enum>(II)</enum><text>a community that has been designated as a qualified opportunity zone under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986;</text></subclause><subclause id="ida7533ab835aa486fb8350573c88f5c14"><enum>(III)</enum><text>an underserved community; </text></subclause><subclause id="id5dcb59337eee480fa5c9072f6c514c0f"><enum>(IV)</enum><text>a rural area; or</text></subclause><subclause id="id7F51252B70DA4B34B31364B9789C7DEE"><enum>(V)</enum><text>an underfinanced State; and</text></subclause></clause><clause id="idE27C31BB7BAA4164A2A5D78AE6E8CAC4"><enum>(ii)</enum><text>of whom—</text><subclause id="id8DD13EE0C52A4C1293CA0E26BEE037BD"><enum>(I)</enum><text>1 shall be selected by the Chair of the Committee on Small Business and Entrepreneurship of the Senate;</text></subclause><subclause id="idC6EED2FDFD6E4282844E0D11A94DD1F2"><enum>(II)</enum><text>1 shall be selected by the Ranking Member of the Committee on Small Business and Entrepreneurship of the Senate;</text></subclause><subclause id="idE4C4BDF9268B492FB0EB0FB01F6E14F8"><enum>(III)</enum><text>1 shall be selected by the Chair of the Committee on Small Business of the House of Representatives; and</text></subclause><subclause id="idF1281543CC634B21B1D1ABDAE575F83F" commented="no" display-inline="no-display-inline"><enum>(IV)</enum><text>1 shall be selected by the Ranking Member of the Committee on Small Business of the House of Representatives; </text></subclause></clause></subparagraph><subparagraph id="id74ffc7a18699424cbbaa0bbfb545b365"><enum>(C)</enum><text>the Associate Administrator for the Office of Investment and Innovation of the Administration, who shall—</text><clause id="idD13EFE5F099842D69D34590D73A6A833"><enum>(i)</enum><text>serve as the Chair of the Working Group; and</text></clause><clause id="idDA1B4BABD83747B4A2E9B9B0FD613A38"><enum>(ii)</enum><text>select not more than 4 additional representatives from the Office of Investment and Innovation of the Administration to serve as representatives of the Working Group; and </text></clause></subparagraph><subparagraph id="ide552b1c41df84bc58d30509616638bcf"><enum>(D)</enum><text>4 representatives from the investment industry or academia, or who are bank limited partners, with expertise in developing and monitoring interventions to expand the investment industry, of whom—</text><clause id="idABBCA0DA109849098FA0363CC273BF21"><enum>(i)</enum><text>1 shall be selected by the Chair of the Committee on Small Business and Entrepreneurship of the Senate;</text></clause><clause id="idB8976779018749F0999B669FD51D4C78"><enum>(ii)</enum><text>1 shall be selected by the Ranking Member of the Committee on Small Business and Entrepreneurship of the Senate;</text></clause><clause id="id226ACFF9B0EB409B835F68B45E47EECE"><enum>(iii)</enum><text>1 shall be selected by the Chair of the Committee on Small Business of the House of Representatives; and</text></clause><clause id="id33D419FC6D2040E2AD3DED14A010DAE8" commented="no" display-inline="no-display-inline"><enum>(iv)</enum><text>1 shall be selected by the Ranking Member of the Committee on Small Business of the House of Representatives;</text></clause></subparagraph></paragraph><paragraph id="idAD7D08A584AD4D7291B8DFFF076EF080"><enum>(2)</enum><text>develop recommendations regarding how the Administrator could increase the number of—</text><subparagraph id="id063358bc55914860a00e37d90bb6b82b"><enum>(A)</enum><text>applicants to become small business investment companies, with a focus on management teams or companies located in—</text><clause id="idbf5f02d1fc3e4175a44e344c35286bdb"><enum>(i)</enum><text>low-income communities;</text></clause><clause id="ide14e24f454254f1e8afaf7dfad651fbd"><enum>(ii)</enum><text>communities that have been designated as qualified opportunity zones under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986;</text></clause><clause id="id24b4df2e9195460ba86a4fa3cfee9120"><enum>(iii)</enum><text>underserved communities; and</text></clause><clause id="idf9a9e0d9500e4146bd69fe7851b5fa29"><enum>(iv)</enum><text>rural areas; and</text></clause></subparagraph><subparagraph id="idd5673ae87aa0479b9306080e83a7a026"><enum>(B)</enum><text>investments made in underfinanced States;</text></subparagraph></paragraph><paragraph id="id2b04d6dd064b46049f04234e644d26d4"><enum>(3)</enum><text>develop recommendations for incentives for small business investment companies to— </text><subparagraph id="id3BC002BE1AAD4CDB99E322C7CCE2A8ED"><enum>(A)</enum><text>invest and locate in underlicensed States and underfinanced States; and </text></subparagraph><subparagraph id="idD14D14D44EE842B093942E981B53EAE6"><enum>(B)</enum><text>invest in small business concerns, including those owned and controlled by socially or economically disadvantaged individuals, small business concerns owned and controlled by veterans, and small business concerns owned and controlled by women; and</text></subparagraph></paragraph><paragraph id="idd66af476ff994c369ce4c466080337b2"><enum>(4)</enum><text>develop recommendations for metrics of success, and benchmarks for success, with respect to the goals described in this section.</text></paragraph></subsection><subsection id="id743f788a9f3a47a7a6c92ca08085e721"><enum>(c)</enum><header>Availability of meetings</header><text>The Working Group may make the meetings of the Working Group open to the public without regard to whether those meetings are held in-person, virtually, or by some other means.</text></subsection><subsection id="id9f96b21b6d2e4009a508119e5d9f80d0"><enum>(d)</enum><header>Report</header><text>Not later than 1 year after the date on which the Administrator establishes the Working Group under subsection (b), the Working Group shall submit to the Committee on Small Business and Entrepreneurship of the Senate and the Committee on Small Business of the House of Representatives a report that includes—</text><paragraph id="idf7eb5bd683db4d90bc741bda4e97727c"><enum>(1)</enum><text>the recommendations of the Working Group; and</text></paragraph><paragraph id="id9d1fc347e9ad40f5b17eee1d425aaf9f"><enum>(2)</enum><text>a recommended plan and timeline for implementing the recommendations described in paragraph (1).</text></paragraph></subsection><subsection id="id8b15c92bcb874cb399b196694e5c9bd2"><enum>(e)</enum><header>Termination</header><text>The Working Group shall terminate on the date on which the Working Group submits the report required under subsection (d).</text></subsection><subsection id="id764808ee446d4be9bafb4263af074c6c"><enum>(f)</enum><header>Applicability of federal advisory committee act</header><text>The Federal Advisory Committee Act (5 U.S.C. App.) shall not apply with respect to the Working Group or the activities of the Working Group. </text></subsection></section></legis-body></bill>
