<congress display="yes">117th CONGRESS</congress><session display="yes">2d Session</session><legis-num display="yes">S. 2521</legis-num><current-chamber display="no">IN THE SENATE OF THE UNITED STATES</current-chamber><legis-type display="yes">AN ACT</legis-type><official-title display="yes">To require the Administrator of the Small Business Administration to establish an SBIC Advisory Committee, and for other purposes.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause"><section id="S1" section-type="section-one" commented="no" display-inline="no-display-inline"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>SBIC Advisory Committee Act of 2022</short-title></quote>.</text></section><section section-type="subsequent-section" id="id3500E74F851C4A8C8E7D6B3C4B777562" commented="no" display-inline="no-display-inline"><enum>2.</enum><header display-inline="yes-display-inline">SBIC Advisory Committee</header><subsection id="id795a8de950f04a57aa510568b4cc7e4a" commented="no" display-inline="no-display-inline"><enum>(a)</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="yes-display-inline">In this section—</text><paragraph id="idC93AF015867040DC85BF90636581ED45" commented="no" display-inline="no-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">the terms <term>Administration</term> and <term>Administrator</term> mean the Small Business Administration and the Administrator thereof, respectively; </text></paragraph><paragraph id="id409B78959CF643E4A79702498A2F18BF" commented="no" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">the term <term>covered Members</term> means the Chair and Ranking Member of—</text><subparagraph id="idD3F964A7675F421A9B80A7AA3B59D645" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">the Committee on Small Business and Entrepreneurship of the Senate; and</text></subparagraph><subparagraph id="idDEE3F16CA3D042B7A078A6DC62AF95ED" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">the Committee on Small Business of the House of Representatives;</text></subparagraph></paragraph><paragraph id="idE1B699F393314E7ABE6687B7EFEBAC32" commented="no" display-inline="no-display-inline"><enum>(3)</enum><text display-inline="yes-display-inline">the terms <term>licensee</term>, <term>small business investment company</term>, and <term>underlicensed State</term> have the meanings given those terms in section 301 of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/662">15 U.S.C. 662</external-xref>); </text></paragraph><paragraph id="id6CFFC02C1C984C4E86D120C7A2068A17" commented="no" display-inline="no-display-inline"><enum>(4)</enum><text display-inline="yes-display-inline">the term <term>low-income community</term> has the meaning given the term in <external-xref legal-doc="usc" parsable-cite="usc/26/45D">section 45D(e)</external-xref> of the Internal Revenue Code of 1986;</text></paragraph><paragraph id="id0D0FBE27556F4DA5BC3B71BDF0B80AB7" commented="no" display-inline="no-display-inline"><enum>(5)</enum><text display-inline="yes-display-inline">the term <term>rural area</term> has the meaning given the term by the Bureau of the Census;</text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="idAB5E8EB1378B449382A694C975A09730"><enum>(6)</enum><text display-inline="yes-display-inline">the terms <term>small business concern</term>, <term>small business concern owned and controlled by veterans</term>, and <term>small business concern owned and controlled by women</term> have the meanings given those terms in section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>); </text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="id61738D700581402A8852C5E274D06C64"><enum>(7)</enum><text display-inline="yes-display-inline">the term <term>socially or economically disadvantaged individual</term> means a socially disadvantaged individual or economically disadvantaged individual, as described in paragraphs (5) and (6)(A), respectively, of section 8(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)</external-xref>); </text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="id9DCA94A0F2D041E18E81C4EF5A832099"><enum>(8)</enum><text display-inline="yes-display-inline">the term <term>underfinanced State</term> means a State that has below median financing, as determined by the Administrator; and</text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="id257D4538C13740519374C48C2DDEC1C3"><enum>(9)</enum><text display-inline="yes-display-inline">the term <term>underserved community</term> means—</text><subparagraph display-inline="no-display-inline" commented="no" id="id0C2C9F899FD145928A8689EA25F829F6"><enum>(A)</enum><text display-inline="yes-display-inline">a HUBZone, as defined in section 31(b) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/657a">15 U.S.C. 657a(b)</external-xref>);</text></subparagraph><subparagraph id="id0746af5173754865a2880734a4f692b2" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">a community that has been designated as an empowerment zone or an enterprise community under <external-xref legal-doc="usc" parsable-cite="usc/26/1391">section 1391</external-xref> of the Internal Revenue Code of 1986; </text></subparagraph><subparagraph id="id394bb472357f41f784b1541412c9eaeb" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">a community that has been designated as a promise zone by the Secretary of Housing and Urban Development; and</text></subparagraph><subparagraph id="id3F19D11707174BF49D91266579C065B6" commented="no" display-inline="no-display-inline"><enum>(D)</enum><text display-inline="yes-display-inline">a community that has been designated as a qualified opportunity zone under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986.</text></subparagraph></paragraph></subsection><subsection id="id89573250DBCF46EABC9553A61113369A" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header display-inline="yes-display-inline">Establishment</header><text display-inline="yes-display-inline">The Administrator shall establish an SBIC Advisory Committee (referred to in this section as the <quote>Advisory Committee</quote>) to convene outside experts to advise on the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>).</text></subsection><subsection id="idb4fb8cccf1924e3896853d8767f36e39" commented="no" display-inline="no-display-inline"><enum>(c)</enum><header display-inline="yes-display-inline">Composition</header><paragraph id="id988af704e96d4dddae341ab89d74a4fc" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Membership</header><text display-inline="yes-display-inline">The Advisory Committee shall be composed of 16 members appointed by the Administrator as follows:</text><subparagraph id="idcf0cb6661eac4fbb97542c47c62ef1dd" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">The Associate Administrator of the Office of Investment and Innovation of the Small Business Administration, or another designee of the Administrator as determined by the Administrator. </text></subparagraph><subparagraph id="id496929ea09d44392aff843605ce8a7bf" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">7 members with competence, interest, or knowledge of the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>), of whom—</text><clause id="id88DB05B3ABFE426784A2749E360DFFED" commented="no" display-inline="no-display-inline"><enum>(i)</enum><text display-inline="yes-display-inline">not fewer than 3 shall have a demonstrated record of expertise in investing in—</text><subclause id="id88c68a7bf1e84ad09cd9b2f16b5994a5" commented="no" display-inline="no-display-inline"><enum>(I)</enum><text display-inline="yes-display-inline">low-income communities;</text></subclause><subclause id="id57dab39ec557451484a1f61dedc336a9" commented="no" display-inline="no-display-inline"><enum>(II)</enum><text display-inline="yes-display-inline">communities that have been designated as qualified opportunity zones under <external-xref legal-doc="usc" parsable-cite="usc/26/1400Z">section 1400Z–1</external-xref> of the Internal Revenue Code of 1986;</text></subclause><subclause id="id6e0100dd81e14a6d961affb8a29ec1d3" commented="no" display-inline="no-display-inline"><enum>(III)</enum><text display-inline="yes-display-inline">businesses primarily engaged in research and development;</text></subclause><subclause id="id1bc670f989214464835997ffb25ff32b" commented="no" display-inline="no-display-inline"><enum>(IV)</enum><text display-inline="yes-display-inline">manufacturers;</text></subclause><subclause id="id4de41b90859242788db0851e9c431937" commented="no" display-inline="no-display-inline"><enum>(V)</enum><text display-inline="yes-display-inline">businesses primarily owned or controlled by individuals in underserved communities before receiving capital from the licensee;</text></subclause><subclause id="id9b718da5cd90429eb90d49779a9b87d6" commented="no" display-inline="no-display-inline"><enum>(VI)</enum><text display-inline="yes-display-inline">rural areas; or</text></subclause><subclause id="idbea75fd8553a4e0cb73e8682ad8b48c8" commented="no" display-inline="no-display-inline"><enum>(VII)</enum><text display-inline="yes-display-inline">underfinanced States; and</text></subclause></clause><clause id="idA9AD455C89FE42A7AB3A290D3576B06E" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><text display-inline="yes-display-inline">not fewer than 1 member shall be a representative from a trade association for the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>).</text></clause></subparagraph><subparagraph id="id64A6AB59FF654EBBAC8709F09202E243" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">8 members appointed by the Administrator as follows:</text><clause id="idb2421b64e53b473a900605fbca658f3f" commented="no" display-inline="no-display-inline"><enum>(i)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Chair of the Committee on Small Business and Entrepreneurship of the Senate under paragraph (2).</text></clause><clause id="idecf1ae71f073426287e7a7b654bb81f8" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Ranking Member of the Committee on Small Business and Entrepreneurship of the Senate under paragraph (2).</text></clause><clause id="idae95edfeb9594d8a9015e619aeb82382" commented="no" display-inline="no-display-inline"><enum>(iii)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Chair of the Committee on Small Business of the House of Representatives under paragraph (2).</text></clause><clause id="idbbcab11df73e439b8a25340b32aee15a" commented="no" display-inline="no-display-inline"><enum>(iv)</enum><text display-inline="yes-display-inline">2 members shall be selected from among the individuals in the list submitted by the Ranking Member of the Committee on Small Business of the House of Representatives under paragraph (2).</text></clause></subparagraph></paragraph><paragraph id="id593416c0f24f42b1ad9d9ea63496a793" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Recommendations</header><text display-inline="yes-display-inline">Not later than 30 days after the date of enactment of this Act, each of the covered Members shall provide to the Administrator a list of 3 candidates for membership on the Advisory Committee, who shall be individuals who hold a high-ranking position or senior leadership role, and have no conflict of interest in the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>), in—</text><subparagraph id="id34383ff1ac394659a147933689e0aaad" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">a relevant industry trade association;</text></subparagraph><subparagraph id="id5ed9bb20cf81451da4d3c3d46c3d8a8f" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">the investment industry with expertise in pensions, endowments, and other non-banking institutions;</text></subparagraph><subparagraph id="idb896bf8583574348b607e273891cb195" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">academia with expertise in the investment industry; or</text></subparagraph><subparagraph id="idd69f9c1386724d0c8b1cf9d6553e3fdb" commented="no" display-inline="no-display-inline"><enum>(D)</enum><text display-inline="yes-display-inline">a nonprofit institution, including one that serves any of the entities described in subclauses (I) through (VII) of paragraph (1)(B)(i).</text></subparagraph></paragraph><paragraph id="idD82364EAE1E94179B8A3E9132DAEDDCA" commented="no" display-inline="no-display-inline"><enum>(3)</enum><header display-inline="yes-display-inline">Private sector members</header><text display-inline="yes-display-inline">Not fewer than 2 and not more than 4 of the members of the Advisory Committee shall be investors in the private sector who—</text><subparagraph id="id86C573E14583498BA7873417867A0997" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">invest in small business concerns; and</text></subparagraph><subparagraph id="id66D0628A8F8A45AE8B7840E3CB1D3605" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">as of the date of appointment, do not participate in the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>).</text></subparagraph></paragraph><paragraph id="ide0e32034544b4be087cbfa2ae84a405a" commented="no" display-inline="no-display-inline"><enum>(4)</enum><header display-inline="yes-display-inline">Chairperson</header><text display-inline="yes-display-inline">The Chairperson of the Advisory Committee shall be the member of the Advisory Committee appointed under paragraph (1)(A).</text></paragraph><paragraph id="id13c5b4fdf2804e469a4d617fbda0dbb2" commented="no" display-inline="no-display-inline"><enum>(5)</enum><header display-inline="yes-display-inline">Period of appointment</header><text display-inline="yes-display-inline">Members of the Advisory Committee shall be appointed for the life of the Advisory Committee.</text></paragraph><paragraph id="ida950a35c01f747bfb1821e5f93e2c2b0" commented="no" display-inline="no-display-inline"><enum>(6)</enum><header display-inline="yes-display-inline">Vacancies</header><text display-inline="yes-display-inline">Any vacancy in the Advisory Committee shall be filled in the same manner as the original appointment.</text></paragraph></subsection><subsection id="idefca61f22a1344c0b5b2e2cebaed0e24" commented="no" display-inline="no-display-inline"><enum>(d)</enum><header display-inline="yes-display-inline">Deadline for appointment</header><text display-inline="yes-display-inline">Not later than 60 days after the date on which the covered Members provide the lists to the Administrator under subsection (c)(2), the Administrator shall—</text><paragraph id="id9f2a30db9de548babfa5b3c1377a1bf0" commented="no" display-inline="no-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">appoint the members of the Advisory Committee; and</text></paragraph><paragraph id="iddc8a70e738c74c7d8a97784c9ac338ea" commented="no" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">submit to Congress a list of the members so appointed.</text></paragraph></subsection><subsection id="id5f820ddfdd674a389dcd0197c016bc84" commented="no" display-inline="no-display-inline"><enum>(e)</enum><header display-inline="yes-display-inline">Duties</header><text display-inline="yes-display-inline">The Advisory Committee shall provide advice and recommendations to the Administrator—</text><paragraph id="idAD7D08A584AD4D7291B8DFFF076EF080" commented="no" display-inline="no-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">concerning policy and program development and other matters of significance concerning activities under the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/631">15 U.S.C. 631 et seq.</external-xref>) and the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/661">15 U.S.C. 661 et seq.</external-xref>), including diversifying management teams or companies; </text></paragraph><paragraph id="id2b04d6dd064b46049f04234e644d26d4" commented="no" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">concerning incentives for small business investment companies to— </text><subparagraph id="id3BC002BE1AAD4CDB99E322C7CCE2A8ED" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">invest and locate in underlicensed States and underfinanced States; and </text></subparagraph><subparagraph id="idD14D14D44EE842B093942E981B53EAE6" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">invest in small business concerns, including those owned and controlled by socially or economically disadvantaged individuals, small business concerns owned and controlled by veterans, and small business concerns owned and controlled by women; </text></subparagraph></paragraph><paragraph id="idd66af476ff994c369ce4c466080337b2" commented="no" display-inline="no-display-inline"><enum>(3)</enum><text display-inline="yes-display-inline">concerning metrics of success, and benchmarks for success, with respect to the goals described in this section; and</text></paragraph><paragraph id="idC9DB365A613E40CCB6BE5878AA9B5789" commented="no" display-inline="no-display-inline"><enum>(4)</enum><text display-inline="yes-display-inline">concerning the impact of the small business investment program under title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>) on the private investment market, including whether investments under the program compete with the private sector.</text></paragraph></subsection><subsection id="id9f96b21b6d2e4009a508119e5d9f80d0" commented="no" display-inline="no-display-inline"><enum>(f)</enum><header display-inline="yes-display-inline">Report</header><text display-inline="yes-display-inline">Not later than 18 months after the date on which the Administrator establishes the Advisory Committee under subsection (b), the Advisory Committee shall submit to the Administrator, the Committee on Small Business and Entrepreneurship of the Senate, and the Committee on Small Business of the House of Representatives a report that includes the recommendations of the Advisory Committee described in subsection (e).</text></subsection><subsection id="id849b6937ed4443c3aef53ce85ebc0cd5" commented="no" display-inline="no-display-inline"><enum>(g)</enum><header display-inline="yes-display-inline">Termination</header><text display-inline="yes-display-inline">The Advisory Committee shall terminate on the date on which the Advisory Committee submits the report required under subsection (f). </text></subsection></section></legis-body><attestation><attestation-group><attestation-date date="20220928" chamber="Senate">Passed the Senate September 28, 2022.</attestation-date><attestor display="no"></attestor><role>Secretary</role></attestation-group></attestation><endorsement display="yes"></endorsement></bill>
