which was read twice and referred to the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To establish name, image, likeness, and athletic reputation rights for college athletes, and for other purposes. </official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause"><section section-type="section-one" id="S1"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>College Athlete Economic Freedom Act</short-title></quote>.</text></section><section id="id8a1782c46f8549688488a87170da8216"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="id8d5e35090a8541e78ac32742810eceee"><enum>(1)</enum><header>Athlete agent</header><text>The term <term>athlete agent</term> has the meaning given the term in section 2 of the Sports Agent Responsibility and Trust Act (<external-xref legal-doc="usc" parsable-cite="usc/15/7801">15 U.S.C. 7801</external-xref>). </text></paragraph><paragraph id="id415331465552446ab28bd3a088098162"><enum>(2)</enum><header>Athletic reputation</header><text>The term <term>athletic reputation</term> means, with respect to a college athlete or prospective college athlete, the recognition or fame of the athlete relating to the participation or performance of the college athlete or prospective college athlete in a sport. </text></paragraph><paragraph id="idf2c3c1bbcb8c43e0b71d83d339ac5318"><enum>(3)</enum><header>College athlete</header><text>The term <term>college athlete</term> means an individual who participates in or is eligible to participate in an intercollegiate sport for an institution of higher education.</text></paragraph><paragraph id="id476834a19d7e4a98a68aa9aff2b5d34a"><enum>(4)</enum><header>Compensation</header><text>The term <term>compensation</term>—</text><subparagraph id="ida92df01e5cc7418abe42843e9d07acd8"><enum>(A)</enum><text>means any payment, remuneration, or benefit provided to a college athlete or prospective college athlete in exchange for the use of the name, image, likeness, or athletic reputation of the college athlete or prospective college athlete; and</text></subparagraph><subparagraph id="id254d03c4da2749bdbe12432c8f8c2466"><enum>(B)</enum><text>does not include—</text><clause id="ide11ef7b5158f4baaba0d99830691f6d8"><enum>(i)</enum><text>a grant-in-aid; or</text></clause><clause id="id44677b8b56094cb1875c593abd2e943e" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><text>a stipend scholarship from the institution of higher education in which a college athlete is enrolled. </text></clause></subparagraph></paragraph><paragraph id="id60d4caec48b54cce8eeeb53c7950d366"><enum>(5)</enum><header>Grant-in-aid</header><text>The term <term>grant-in-aid</term> means a scholarship, grant, or other form of financial assistance that is provided by an institution of higher education to a college athlete for the college athlete’s undergraduate or graduate course of study. </text></paragraph><paragraph id="idff78d959856d41cda69eaa2935ca9643"><enum>(6)</enum><header>Image</header><text>The term <term>image</term>, with respect to a college athlete or prospective college athlete, means any photograph, video, or computer-generated representation that reasonably identifies the college athlete or prospective college athlete. </text></paragraph><paragraph id="id07e825056a5745d3b4af0716e262d664"><enum>(7)</enum><header>Institution of higher education</header><text>The term <term>institution of higher education</term> has the meaning given the term in section 101 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1001">20 U.S.C. 1001</external-xref> et seq.).</text></paragraph><paragraph id="id021d168934c44a24817b600502f4a027"><enum>(8)</enum><header>Intercollegiate athletic association</header><text>The term <term>intercollegiate athletic association</term> means any association, conference, or other group or organization that—</text><subparagraph id="id150594e5d15e45d9a9be35a6039ad4fc"><enum>(A)</enum><text>exercises authority over intercollegiate athletics and the recruitment of college athletes or prospective college athletes; and</text></subparagraph><subparagraph id="idd42984355bdd4bcd9d68b0b7f37b3125" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text>is engaged in interstate commerce or in any industry or activity affecting interstate commerce. </text></subparagraph></paragraph><paragraph id="id0748968fae8041a488048c9a3a230d7d"><enum>(9)</enum><header>Likeness</header><text>The term <term>likeness</term>, with respect to a college athlete or prospective college athlete, means the uniquely identifiable voice, catch phrase, or any other mark that when used in a context that reasonably identifies the college athlete or prospective college athlete. </text></paragraph><paragraph id="id19dafaacb1d54c4cb7cccc32a9012cea"><enum>(10)</enum><header>Name</header><text>The term <term>name</term>, with respect to a college athlete or prospective college athlete, means the first or last name, or a nickname, of the college athlete or prospective college athlete when used in a context that reasonably identifies the college athlete or prospective college athlete. </text></paragraph><paragraph id="id027f3915eed941cbaa0382849a67f70e"><enum>(11)</enum><header>Prospective college athlete</header><text>The term <term>prospective college athlete</term> means an individual who—</text><subparagraph id="id12ADA71CBE5A45B5916C130EEF4CA7D5"><enum>(A)</enum><text>has not enrolled at an institution of higher education; and</text></subparagraph><subparagraph id="id6D182445702343F5A5B88E9F4677ADD0"><enum>(B)</enum><text>may be recruited by an institution of higher education.</text></subparagraph></paragraph><paragraph id="id47460455f8da4a93b55a65a00e494b7c"><enum>(12)</enum><header>Third party</header><text>The term <term>third party</term> means an individual or entity other than an institution of higher education or an intercollegiate athletic association.</text></paragraph></section><section id="id870546e7b38d46ee9939e5d55ce8efaf"><enum>3.</enum><header>Athlete rights to market name, image, likeness, and athletic reputation</header><subsection id="idf0b8d4593b5444b18fa1808b7013a2ea"><enum>(a)</enum><header>Right To market use of name, image, likeness, and athletic reputation</header><paragraph id="id873bbd8b46884b0cae39bd96c53aeb01"><enum>(1)</enum><header>In general</header><text>An institution of higher education or intercollegiate athletic association may not enact or enforce any rule, requirement, standard, or other limitation that prevents college athletes or prospective college athletes, individually or as a group, from marketing the use of their names, images, likenesses, and athletic reputations.</text></paragraph><paragraph id="id2b140012e02b4fb4a2cbbc6d0a783262"><enum>(2)</enum><header>Collusion</header><text>An institution of higher education may not coordinate with any other institution of higher education or third party to limit the amount of payment offered to a college athlete, prospective college athlete, or group of college athletes or prospective college athletes under a contract for the use of the name, image, likeness, or athletic reputation of the college athlete, prospective college athlete, or group of college athletes or prospective college athletes.</text></paragraph><paragraph id="id15da7ee9a75a440ead8627c2745d2c1a"><enum>(3)</enum><header>Right to collective representation</header><text>An institution of higher education or intercollegiate athletic association may not enact or enforce any rule, requirement, standard, or other limitation, or engage in conduct that prevents college athletes from forming or recognizing, or interferes with such formation or recognition of, a collective representative to facilitate group licensing agreements or provide representation for college athletes.</text></paragraph><paragraph id="idd9f5b62397ca4b00bd87dde861605a41"><enum>(4)</enum><header>Group licensing</header><text>A third party may not use the name, image, likeness, or athletic reputation of any member of a group of college athletes to market any product unless the third party obtains a license from the group for that purpose.</text></paragraph><paragraph id="id769f4fc95d5244d5bcfe7a03d63d5c83"><enum>(5)</enum><header>Grants-in-aid</header><text>Receipt of compensation for the use of the name, image, likeness, or athletic reputation of a college athlete or prospective college athlete shall not adversely affect—</text><subparagraph id="id4dc9d73b02334da58cf41c9860126295"><enum>(A)</enum><text>the eligibility or opportunity of a college athlete or prospective college athlete to apply for a grant-in-aid; or</text></subparagraph><subparagraph id="id3c9901d06ecf48e5b17cb0d38dd422f4"><enum>(B)</enum><text>the amount, duration, or renewal of the grant-in-aid of a college athlete or prospective college athlete.</text></subparagraph></paragraph><paragraph id="idc7e565ab6df34552a87411cf026d1bcc"><enum>(6)</enum><header>Equitable institutional support</header><text>An institution of higher education, an intercollegiate athletic association, or a party affiliated with an institution of higher education or an intercollegiate athletic association that provides direct or indirect support to college athletes with respect to the marketing of their names, images, likenesses, and athletic reputations shall make such support accessible to all college athletes in the applicable athletic program, regardless of gender, race, or participating sport. </text></paragraph></subsection><subsection id="id553450bc7f5c4837b1cf4badeeededa1"><enum>(b)</enum><header>Right to representation</header><paragraph id="id84057ab148bf44a098a1e5fc38709892"><enum>(1)</enum><header>Ability for college athletes to retain representation</header><text>An institution of higher education or intercollegiate athletic association may not prevent a college athlete or prospective college athlete from fully participating in intercollegiate athletics based on the college athlete or prospective college athlete having obtained professional representation with respect to a contract or legal matter, including—</text><subparagraph id="idc70e0d8df7d34133931ba0ac55509f75"><enum>(A)</enum><text>representation provided by an athlete agent or financial advisor; and</text></subparagraph><subparagraph id="idc70c8dff2abf4514ad7fb78858cd0683"><enum>(B)</enum><text>legal representation provided by an attorney.</text></subparagraph></paragraph><paragraph id="idec3c11ca5ed24d9e9f85fa9b92e0a195"><enum>(2)</enum><header>Prohibitions on the regulation of representation</header><text>An institution of higher education or intercollegiate athletic association may not regulate the legal, financial, or agency representation of college athletes and prospective college athletes with respect to the marketing of their names, images, likenesses, or athletic reputations, including the certification of such legal, financial, or agency representation.</text></paragraph></subsection><subsection id="id3be6fff5b8cc4cdbbf3eacbba1e5acba"><enum>(c)</enum><header>Prohibition on waiver</header><text>A college athlete, a prospective college athlete, an institution of higher education, an intercollegiate athletic association, or any other person may not enter into any agreement or a legal settlement that waives or permits noncompliance with this Act.</text></subsection></section><section id="id47B464B35B314337B456B1A727C2E7EF"><enum>4.</enum><header>Grants for analyzing name, image, likeness, and athletic reputation monetization</header><subsection id="idED5F652CE5494B91B8DD52C4D7F251FB"><enum>(a)</enum><header>Definitions</header><text>In this section:</text><paragraph id="idD0CDFF606E3E4BA3A56DD6AE22CEBC3D"><enum>(1)</enum><header>Eligible entity</header><text>The term <term>eligible entity</term> means—</text><subparagraph id="id1FF8B18D96F047EEB8C6CD6A6DA56C21"><enum>(A)</enum><text>a business in the United States;</text></subparagraph><subparagraph id="id3085C02E12454A4B98005EFB930C9BC0"><enum>(B)</enum><text>a public or private education and research organization in the United States; or</text></subparagraph><subparagraph id="id3B4542A984434DB4BE721183EB4A28E2"><enum>(C)</enum><text>a consortium of entities described in subparagraph (A) or (B).</text></subparagraph></paragraph><paragraph id="id5B041D8F56E44688ABB455E1C42F2803"><enum>(2)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of Commerce.</text></paragraph></subsection><subsection id="id3D4B77DBBDCF40F1BD76CC7FC9566917"><enum>(b)</enum><header>Grants authorized</header><text display-inline="yes-display-inline">Annually, the Secretary may award a grant to, or enter into a contract or a cooperative agreement with, an eligible entity for the purpose of conducting a market analysis of the monetization of the rights granted to college athletes under this Act during the 1-year period preceding the date of the analysis.</text></subsection><subsection id="id603E897A33BD4C38AEE0B180B373870B"><enum>(c)</enum><header>Requirements</header><text>An eligible entity that receives a grant or enters into a contract or cooperative agreement to conduct an analysis under subsection (b) shall—</text><paragraph id="id7A44913944DC4283B4266E6870CB06C0"><enum>(1)</enum><text>make the analysis and information relating to the analysis publicly available, including—</text><subparagraph id="idA5CCEF6768834E058F61BA18F316A9C3"><enum>(A)</enum><text>the surveys and interviews the eligible entity conducted during the course of the analysis; and</text></subparagraph><subparagraph id="id6D7DDDE89EE04B0F85A5A893FB2FA8DE"><enum>(B)</enum><text>estimates of the compensation received by college athletes during the 1-year period preceding the date of the analysis as a result of the monetization of the names, images, likenesses, and athletic reputations of those college athletes, separated by—</text><clause id="id55CB80FCF7A14EB8832004CFEA385BF0"><enum>(i)</enum><text>gender;</text></clause><clause id="id6DB6AB64706349128F71BCC064BA7B9C"><enum>(ii)</enum><text>race; and</text></clause><clause id="id6B69DC31E5964DF3AD4D9EA42555608E"><enum>(iii)</enum><text>sport; and</text></clause></subparagraph></paragraph><paragraph id="id3C6E67DE7CE44F109C80556495C05557"><enum>(2)</enum><text>provide recommendations to the Secretary to address any disparate estimates described in paragraph (1)(B).</text></paragraph></subsection><subsection id="id75402B4239274F3F83DF7474A13B40E2"><enum>(d)</enum><header>Public availability of recommendations</header><text>The Secretary shall make any recommendations received under subsection (c)(2) publicly available.</text></subsection><subsection id="id5B239920562B42E99890BFB8B5F5AC7B"><enum>(e)</enum><header>Authorization of appropriations</header><text>There are authorized to be appropriated to the Secretary such sums as may be necessary to carry out this section.</text></subsection></section><section id="idabea5bb20c8547c4b474f27f2b7da4cb"><enum>5.</enum><header>Enforcement provisions</header><subsection id="id522adda5fa61462abaf75f17e964ecf3"><enum>(a)</enum><header>Unfair or deceptive act or practice</header><paragraph id="id4497cdc6e6cf44a3b40ff4c13a0a3e35"><enum>(1)</enum><header>In general</header><text>A violation of section 3 shall be treated as a violation of a rule defining an unfair or deceptive act or practice prescribed under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>).</text></paragraph><paragraph id="idd8ba335d2b4c4b45a2bd42e2d271ebf4"><enum>(2)</enum><header>Actions by the Commission</header><text>The Commission shall enforce section 3 in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41</external-xref> et seq.) were incorporated into and made a part of this Act.</text></paragraph><paragraph id="id242ec3a13ceb4a18a526c0c4b231ff8a"><enum>(3)</enum><header>Enforcement related to nonprofit organizations</header><text>Notwithstanding section 4, 5(a)(2), or 6 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/44">15 U.S.C. 44</external-xref>, 45(a)(2), 46) or any jurisdictional limitation of the Federal Trade Commission, the Commission shall also enforce this Act and the regulations promulgated under this Act, in the same manner provided in paragraphs (1) and (2) of this subsection, with respect to organizations not organized to carry on business for their own profit or that of their members.</text></paragraph></subsection><subsection id="id6472e3930be34f949ebc30d8ec8dd14c"><enum>(b)</enum><header>Private right of action</header><paragraph id="ide05b3362591c4f6185a1dc1a00a597ed"><enum>(1)</enum><header>In general</header><text>An individual who is aggrieved by a violation of section 3 may bring a civil action in an appropriate Federal district court of competent jurisdiction.</text></paragraph><paragraph id="id2674189bc4fb460cb6ddb67ca9c7aa93"><enum>(2)</enum><header>Damages; costs and attorney’s fees</header><text>A court may award to a prevailing party in a civil action brought under paragraph (1)—</text><subparagraph id="id3fa423d21c9f439ab6c64eec047b4f66"><enum>(A)</enum><text>actual damages sustained by the party as a result of the violation that is the subject of the action; and</text></subparagraph><subparagraph id="id0601156373e24fcab702e8d92ee9dada"><enum>(B)</enum><text>the costs of the action and reasonable attorney’s fees.</text></subparagraph></paragraph></subsection><subsection id="id571ff2dc2a5f43c99d16a76727c1c2de"><enum>(c)</enum><header>Sherman Act</header><text>A violation of this Act shall be deemed to be a per se violation of the Sherman Act (<external-xref legal-doc="usc" parsable-cite="usc/15/1">15 U.S.C. 1</external-xref> et seq.) and subject to all remedies and rights afforded under that Act.</text></subsection></section><section id="idbd459a70c9344d6abdc102745b087842"><enum>6.</enum><header>State preemption</header><subsection id="iddd67a97d7aa248248082775d39b4e1fe"><enum>(a)</enum><header>In general</header><text>A State may not enforce a State law relating to the ability of college athletes to enter into contracts for the use of their names, images, likenesses, or athletic reputations pursuant to this Act.</text></subsection><subsection id="id4dd31a0937a542b3bd4fd1e30cfc823d"><enum>(b)</enum><header>Exception for the certification of athlete agents</header><text>A State may enforce a State law or regulation relating to the certification of athlete agents under the Sports Agent Responsibility and Trust Act (<external-xref legal-doc="usc" parsable-cite="usc/15/7801">15 U.S.C. 7801</external-xref> et seq.).</text></subsection></section><section id="ide97fad7550444b66b0524b8b6ebac375"><enum>7.</enum><header>Rule of construction</header><text display-inline="no-display-inline">Nothing in this Act shall affect the treatment of qualified scholarships under <external-xref legal-doc="usc" parsable-cite="usc/26/117">section 117</external-xref> of the Internal Revenue Code of 1986.</text></section></legis-body></bill>
