<distribution-code display="yes">II</distribution-code><congress>117th CONGRESS</congress><session>1st Session</session><legis-num>S. 2184</legis-num><current-chamber>IN THE SENATE OF THE UNITED STATES</current-chamber><action><action-date date="20210622">June 22, 2021</action-date><action-desc><sponsor name-id="S389">Mr. Kennedy</sponsor> (for himself and <cosponsor name-id="S350">Mr. Rubio</cosponsor>) introduced the following bill; which was read twice, considered, read the third time, and passed</action-desc></action><legis-type>A BILL</legis-type><official-title>To amend the Sarbanes-Oxley Act of 2002 to institute a trading prohibition for certain issuers that retain public accounting firms that have not been subject to inspection by the Public Company Accounting Oversight Board, and for other purposes.</official-title></form><legis-body style="OLC"><section id="idE74F24828F2841C0ABC183053472724C" section-type="section-one"><enum>1.</enum><header>Trading prohibition for 2 consecutive non-inspection years</header><text display-inline="no-display-inline">Section 104(i) of the Sarbanes-Oxley Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/15/7214">15 U.S.C. 7214(i)</external-xref>) is amended—</text><paragraph id="idE01C7D51B56F47439F38C573EA645E4E"><enum>(1)</enum><text>in paragraph (2)(A)(ii), by striking <quote>the foreign jurisdiction described in clause (i)</quote> and inserting <quote>a foreign jurisdiction</quote>; and </text></paragraph><paragraph id="idDC97B91B4EE341A69801BA15BE191458"><enum>(2)</enum><text>in paragraph (3)—</text><subparagraph id="id6EC3C92583C24E30967E9941E1CE3D16"><enum>(A)</enum><text>in the paragraph heading, by striking <quote><header-in-text style="OLC" level="paragraph">3</header-in-text></quote> and inserting <quote><header-in-text style="OLC" level="paragraph">2</header-in-text></quote>; and</text></subparagraph><subparagraph id="idB25162B5675F491DA2DB65E0F004C125"><enum>(B)</enum><text>in subparagraph (A), in the matter preceding clause (i), by striking <quote>3</quote> and inserting <quote>2</quote>.</text></subparagraph></paragraph></section></legis-body></bill>
