which was read twice and referred to the <committee-name committee-id="SSFI00">Committee on Finance</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend disclosure requirements of foreign gifts and contracts under the Higher Education Act of 1965.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Foreign Funding Accountability Act of 2021</short-title></quote>.</text></section><section id="id54653051903e4c3c8e7cd7165791c9ea"><enum>2.</enum><header>Amendments to disclosures of foreign gifts and contracts</header><text display-inline="no-display-inline">Section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f</external-xref>) is amended—</text><paragraph id="id864027AB571E46168968880E068BDC0F"><enum>(1)</enum><text display-inline="yes-display-inline">by striking subsections (a) and (b) and inserting the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id461e60cae055479c979e420de5d213e9"><subsection id="id4dce305d0f274916bcdda1d3f656bd5c"><enum>(a)</enum><header>Disclosure report</header><paragraph id="id1257d567650e426586e661cfd59e17c4"><enum>(1)</enum><header>Filing</header><text>An institution shall file a disclosure report with the Department of Education on January 31 or July 31, whichever is sooner, if the institution—</text><subparagraph id="id05e7c9657cb5413294e62591a20abebd"><enum>(A)</enum><text>is owned or controlled by a foreign source; or</text></subparagraph><subparagraph id="id2696b621a23740f295c77c5ae78afc30"><enum>(B)</enum><text>receives a gift or enters into a contract with a foreign source, the value of which is $25,000 or more (including in-kind gifts, gifts to institution foundations, and gifts to any other legal entities that operate substantially for the benefit or under the auspieces of the institution), considered alone or in combination with all other gifts from or contracts with that foreign source within a calendar year.</text></subparagraph></paragraph><paragraph id="id5871d49730da43f6bebeda2be9604d01"><enum>(2)</enum><header>Tuition</header><text>A tuition payment to an institution on behalf of an enrolled student by a foreign government or foundation shall be considered a gift from or contract with a foreign source under this subsection.</text></paragraph><paragraph id="id7AA99F72B2B84559B132876368135EC2"><enum>(3)</enum><header>Designated individual</header><text>Each institution that is required to file a disclosure report under this section shall designate an officer at the institution who shall be responsible for ensuring the veracity of the disclosure report. </text></paragraph></subsection><subsection id="idf69652fc6aab4984a4f6206b913199ce"><enum>(b)</enum><header>Contents of disclosure report</header><paragraph id="idD8E353EA8D264204B979E5E20F326DAC"><enum>(1)</enum><header>Owned or controlled by a foreign source</header><text>An institution that is required to file a disclosure report under subsection (a)(1)(A) shall include in the report:</text><subparagraph id="id7CECFAFA3E15499091253DEE11BC7796"><enum>(A)</enum><text>The identity of the foreign source.</text></subparagraph><subparagraph id="idFC36D978436A42D6BDE71F5602A56BDA"><enum>(B)</enum><text>The date on which the foreign source assumed ownership or control.</text></subparagraph><subparagraph id="id3E3F7A742C7F41C8A49B6909ACC815DD"><enum>(C)</enum><text>Any changes in program or structure resulting from the change in ownership or control.</text></subparagraph></paragraph><paragraph id="idF3CBE847926A4D61BABEFA491FAF9F90"><enum>(2)</enum><header>Gifts or contracts</header><text>An institution that is required to file a disclosure report under subsection (a)(1)(B) shall include in the report:</text><subparagraph id="id35f83371f13b46f3852a441e387dfec1"><enum>(A)</enum><text>The amount of the gift or contract.</text></subparagraph><subparagraph id="idc2126e3099354a17a86cc1773b916f25"><enum>(B)</enum><text>The country of origin of the gift or contract. </text></subparagraph><subparagraph id="idC07747D45B154751993EE6BF90222F80" commented="no"><enum>(C)</enum><text>A statement from the foreign source providing the gift or entering into the contract, including, in the case of a foreign source that is—</text><clause id="id9952BABE2BCF4216A8E4F382572D3020" commented="no"><enum>(i)</enum><text>an individual, the individual's—</text><subclause commented="no" id="id6B45F47A10A04AEE80873B930C1F5057"><enum>(I)</enum><text>name;</text></subclause><subclause commented="no" id="id33C71575E5934E279E336D5195EC6FB9"><enum>(II)</enum><text>nationality</text></subclause><subclause commented="no" id="id97EA083006A341E6A745BF5D0032FA6E"><enum>(III)</enum><text>principal business address; and</text></subclause><subclause commented="no" id="idD9BEB2AAC9CC4C118F9AF32FB283904B"><enum>(IV)</enum><text>all business and residential addresses in the United States or elsewhere;</text></subclause></clause><clause commented="no" id="idCA35252369D04C1CBF75565115C18644"><enum>(ii)</enum><text>a partnership—</text><subclause commented="no" id="id818724A7936F42599FEC314077B8FDEB"><enum>(I)</enum><text>the information described in subclause (I) through (IV) of clause (i) with respect to each member of the partnership; and</text></subclause><subclause commented="no" id="idB5727636A462492E8E907192D3F25166"><enum>(II)</enum><text>a true and complete copy of its articles of copartnership; or</text></subclause></clause><clause id="id1220BED3FC1D45598AD308B3008EDBCE" commented="no"><enum>(iii)</enum><text>an association, corporation, organization, or any other combination of individuals—</text><subclause commented="no" id="id84EAABA337974FEE8B63539C3B478377"><enum>(I)</enum><text>the information described in subclauses (I) through (IV) of clause (i) with respect to each director, officer, and each individual performing the functions of a director or officer for that entity; and</text></subclause><subclause commented="no" id="idBA73B32DABB643AA85A3C152CCB27207"><enum>(II)</enum><text>a statement of the entity's ownership and control, and the publicly listed name of the entity.</text></subclause></clause></subparagraph><subparagraph id="id86c9dc562a67407baddc0b37d1c92264" commented="no"><enum>(D)</enum><text>The explicit and intended purpose and function of the gift or contract, including—</text><clause id="idD9CD4A6B4E4D4C68B3EE959FD3E74C81" commented="no"><enum>(i)</enum><text>the name (and position if applicable) of the recipient individual, department, or benefactor at the institution receiving the gift or contract; </text></clause><clause id="id94477A6EAA8D4F9B93C9BABEC260669F" commented="no"><enum>(ii)</enum><text>any terms or conditions of the gift or contract;</text></clause><clause id="id3D15CD3B6AEB4ED1B46D7FA0DB485640" commented="no"><enum>(iii)</enum><text>copies of each written agreement and the terms and conditions of each oral agreement, including all modifications of such agreements, relating to the gift or contract; or</text></clause><clause id="idB074D7E71FF4493592C0E882966EA235" commented="no"><enum>(iv)</enum><text>where no written or oral agreement exists, a full statement of all the circumstances relating to the gift or contract.</text></clause></subparagraph></paragraph><paragraph commented="no" id="id960B20DD7EF74778A5F01757784E51F5"><enum>(3)</enum><header>Attestation</header><text>Each disclosure report under this section shall include a written statement from the individual designated under subsection (a)(3) attesting that the disclosure report is true and complete.</text></paragraph></subsection><after-quoted-block>; </after-quoted-block></quoted-block></paragraph><paragraph id="id7B03F3F3937E4E8E905FD75A8C8F881C"><enum>(2)</enum><text>by striking subsections (c) and (d); </text></paragraph><paragraph id="idCAE18693D59B445DA5E60D0DC3FB46AA"><enum>(3)</enum><text>by redesignating subsections (e) through (h) as subsections (c) through (f), respectively; </text></paragraph><paragraph id="id4DBC46A6E16B4203B8E22F9B8F503682"><enum>(4)</enum><text>in subsection (c), as redesignated by paragraph (3), by adding at the end the following: <quote>All disclosure reports required by this section, including copies of agreements required under subsection (b)(2)(D)(iii), shall be publicly available, including by electronic means.</quote>;</text></paragraph><paragraph id="idA31D397848214AB98EDE7D33011452C6"><enum>(5)</enum><text>by striking subsection (d), as redesignated by paragraph (3), and inserting the following: </text><quoted-block style="OLC" display-inline="no-display-inline" id="id1E64F3A9C4E2443BB2F911BBBB4DDEF5"><subsection id="idB5DD7E33EFB740CCA4755B61FD5DDC7C"><enum>(d)</enum><header>Enforcement</header><paragraph id="idE93364BFE4264FD5A5AC7AF5B0391069"><enum>(1)</enum><header>Civil penalties</header><text>Upon determination, after reasonable notice and opportunity for a hearing, that an institution—</text><subparagraph id="idF2E66BEC7B064FECA3FF92969A8D834A"><enum>(A)</enum><text>has violated or failed to carry out any provision of this section or any regulation prescribed under this section (including by submitting a disclosure report with a material misstatement or omission), the Secretary may impose a civil penalty upon such institution of not to exceed, the greater of—</text><clause id="idDDAF77291F2D41C99187AF7C243229FA"><enum>(i)</enum><text>$250,000 for an initial violation or failure; or</text></clause><clause id="id858A0F3ED163473EB06EC79C88363D7A"><enum>(ii)</enum><text>the value of the unreported gift or contract for an initial violation or failure; </text></clause></subparagraph><subparagraph id="id2C637FD80B7D436AB60D0EE4F98A0D23"><enum>(B)</enum><text>commits a second violation or failure as described in subparagraph (A), the Secretary may impose a civil penalty upon such institution of not to exceed, the greater of—</text><clause id="id5bba54ba0a9243c290c5398fa3a2e840"><enum>(i)</enum><text>$750,000; or </text></clause><clause id="idf079d1025c5e456c832540c72c380b1b"><enum>(ii)</enum><text>the value of the unreported gift or contract;</text></clause></subparagraph><subparagraph id="idEF374FDA6A0243F98BF31770B1E134F8"><enum>(C)</enum><text>commits 3 or more violations or failures as described in subparagraph (A)—</text><clause id="id072B1F00D99D426CA5CE65C373C28318"><enum>(i)</enum><text>the Secretary may impose a civil penalty upon such institution of not to exceed, the greater of—</text><subclause id="id50493131C78D4BC481EA69D0539FA57C"><enum>(I)</enum><text>$1,000,000; or </text></subclause><subclause id="idB89CBD8E78D14DE5B8ABDB73E57E0E61"><enum>(II)</enum><text>the value of the unreported gift or contract; and</text></subclause></clause><clause id="id08E40FAFE38846BCA597D28E21F707AB"><enum>(ii)</enum><text>the institution may be subject to penalties relating to the Student and Exchange Visitor Program and the institution's tax exempt status, as described in sections 4 and 5 of the <short-title>Foreign Funding Accountability Act of 2021</short-title>; or</text></clause></subparagraph><subparagraph id="idC9EF314B1205400C8047E6F280CE9B5B"><enum>(D)</enum><text>commits 3 or more violations or failures as described in subparagraph (A) and has demonstrated a pattern of willful violations, the Secretary may determine that the institution is no longer eligible to receive funds under this Act. </text></subparagraph></paragraph><paragraph id="id3001c9562f074311a1d0257c05876fab"><enum>(2)</enum><header>Court orders</header><text>Whenever it appears that an institution has failed to comply with the requirements of this section, including any rule or regulation promulgated under this section, a civil action may be brought by the Attorney General, at the request of the Secretary, in an appropriate district court of the United States, or the appropriate United States court of any territory or other place subject to the jurisdiction of the United States, to request such court to compel compliance with the requirements of this section (including for the collection of civil penalties under this subsection). In case of contumacy by, or refusal to obey a subpoena issued to, any person, the Secretary may request the Attorney General to invoke the aid of any court of the United States where such person resides or transacts business for a court order for the enforcement of this section.</text></paragraph><paragraph id="id8a148f6d8ebd477a984f962cfce8ae7f"><enum>(3)</enum><header>Costs</header><text>For knowing or willful failure to comply with the requirements of this section, including any rule or regulation promulgated thereunder, an institution shall pay to the Treasury of the United States the full costs to the United States of obtaining compliance, including all associated costs of investigation and enforcement.</text></paragraph><paragraph id="id0786A6222AA54D559B1EBCE56311B9FC"><enum>(4)</enum><header>Investigation; Subpoena authority</header><text>The Secretary shall establish an investigative process to identify gifts or contracts with respect to which a disclosure report under this section is required and has not been submitted. To assist the Secretary in the conduct of investigations of possible violations of this section, the Secretary is authorized to require by subpoena the production of information, documents, reports, answers, records, accounts, papers, and other documentary evidence pertaining to this section. The production of any such records may be required from any place in a State.</text></paragraph></subsection><after-quoted-block>; </after-quoted-block></quoted-block></paragraph><paragraph id="idA33260E2102841C2AECC297355F4F0AF"><enum>(6)</enum><text>in subsection (f)(2), as redesignated by paragraph (3)—</text><subparagraph id="id92068E729F6043B4BDB524DE6FCB936C"><enum>(A)</enum><text>in subparagraph (C), by striking <quote>and</quote> after the semicolon; </text></subparagraph><subparagraph id="id161E9CE40F6F488AAE319848EA2B9A65"><enum>(B)</enum><text>in subparagraph (D), by adding <quote>and</quote> after the semicolon; and</text></subparagraph><subparagraph id="id215D5DB4950C4CF0BF02786CB7483965"><enum>(C)</enum><text>by adding at the end the following: </text><quoted-block style="OLC" display-inline="no-display-inline" id="id0C00B4250D1D4229A99D673E4A2FC5F6"><subparagraph id="id995B9163D19D4523A3BD29E22EB99668"><enum>(E)</enum><text>any person registered under the Foreign Agents Registration Act of 1938 (<external-xref legal-doc="usc" parsable-cite="usc/22/611">22 U.S.C. 611 et seq.</external-xref>)</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></section><section id="idd68606a4c438427cabee1196e46f90c2"><enum>3.</enum><header>Report on past years required</header><subsection id="id9E995BD4D443478799F653417CE21047"><enum>(a)</enum><header>In General</header><text>Not later than 1 year after the date of enactment of this Act, each institution shall prepare and submit to the Secretary of Education a disclosure report containing the information described in subsection (b) of section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f(b)</external-xref>) (as amended by section 2 of this Act) as required under subsection (a) of such section 117 (as amended by section 2 of this Act) for every qualifying event that has occurred on or after the date of enactment of the Higher Education Amendments of 1998 (<external-xref legal-doc="public-law" parsable-cite="pl/105/244">Public Law 105–244</external-xref>) and before the date of enactment of this Act.</text></subsection><subsection id="idC8461AB3C00549FCAEBC49D42AD271DD"><enum>(b)</enum><header>Institutions unable To comply</header><text>In the case of an institution that is unable to comply with the requirements of subsection (a) with respect to a qualifying event, that institution shall submit a statement to the Secretary of Education, for each such qualifying event, describing in detail in detail why the institution cannot comply with respect to that qualifying event.</text></subsection><subsection id="id1C3657AD09F84AC6BC92AFA9F34D0E0F"><enum>(c)</enum><header>Waiver</header><text>An institution may request, and the Secretary of Education may grant, a waiver with respect to the report required under this section if the institution demonstrates good cause for requiring such a waiver.</text></subsection><subsection id="id3D8EDCEAB43148A49707BB43E9173762"><enum>(d)</enum><header>Enforcement</header><paragraph id="id3DB06CF879604C41A26F51FBF90A0031"><enum>(1)</enum><header>In General</header><text>Upon determination, after reasonable notice and opportunity for a hearing, that an institution has violated or failed to carry out any provision of this section or any regulation prescribed under this section (including by submitting a disclosure report with a material misstatement or omission), the Secretary of Education may impose a civil penalty upon such institution not to exceed $25,000 for each qualifying event that the institution has failed to report in accordance with this section.</text></paragraph><paragraph id="IDC47721A3F28B4064BEFDA8984DB1BC6D"><enum>(2)</enum><header>Court orders</header><text>Whenever it appears that an institution has failed to comply with the requirements of this section, including any rule or regulation promulgated under this section, a civil action may be brought by the Attorney General, at the request of the Secretary of Education, in an appropriate district court of the United States, or the appropriate United States court of any territory or other place subject to the jurisdiction of the United States, to request such court to compel compliance with the requirements of this section (including for the collection of civil penalties under this subsection). </text></paragraph><paragraph id="ID1B215BBD817641BEAE78EF86B0AA1091"><enum>(3)</enum><header>Costs</header><text>For knowing or willful failure to comply with the requirements of this section, including any rule or regulation promulgated thereunder, an institution shall pay to the Treasury of the United States the full costs to the United States of obtaining compliance, including all associated costs of investigation and enforcement.</text></paragraph><paragraph id="id6DCEA0A4E3A54A5F852ED8BB82388A85"><enum>(4)</enum><header>Investigation; Subpoena authority</header><text>The Secretary of Education shall establish an investigative process to identify gifts or contracts with respect to which a disclosure under this section is required and has not been submitted. The Secretary of Education may use administrative subpoena authority as authorized under law to conduct such investigations.</text></paragraph></subsection><subsection id="idBA86FD5B857246C7973827121887C486"><enum>(e)</enum><header>Definitions</header><text>In this section: </text><paragraph id="id75F0356B5A784CFAA34032DDF53D828C"><enum>(1)</enum><header>Institution</header><text>The term <term>institution</term> has the meaning given that term in section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f</external-xref>).</text></paragraph><paragraph id="idB887CAC9D9A34429965AFA68455A0B60"><enum>(2)</enum><header>Qualifying event</header><text>In this section the term <term>qualifying event</term> means an institution—</text><subparagraph id="id0e4895865f114b03ae7624b06afa8ee9"><enum>(A)</enum><text>being owned or controlled by a foreign source; or</text></subparagraph><subparagraph id="idef69b75bf6e74b559cc0be70f6a930e9"><enum>(B)</enum><text>receiving a gift or entering into a contract with a foreign source, the value of which is $25,000 or more (including in-kind gifts, or gifts to university or college foundations), considered alone or in combination with all other gifts from or contracts with that foreign source within a calendar year.</text></subparagraph></paragraph></subsection></section><section id="id6AE825F62C6A4D2B8DF1CCE1558931E4"><enum>4.</enum><header>Disqualification from the Student and Exchange Visitor Program</header><text display-inline="no-display-inline">Any institution of higher education that is found to have violated the disclosure requirements set forth in section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f</external-xref>) on 3 or more occasions shall be ineligible to enroll foreign students under the Student and Exchange Visitor Program.</text></section><section id="idFE818F8888604938BE1BAC2950DD62CD"><enum>5.</enum><header>Loss of tax-exempt status</header><text display-inline="no-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/501">Section 501</external-xref> of the Internal Revenue Code of 1986 is amended by adding at the end the following new subsection:</text><quoted-block style="OLC" display-inline="no-display-inline" id="idD997BF164F5B4D7F97053B47443529DD"><subsection id="id20e9cf9add7540a1849ab68e705130bf"><enum>(s)</enum><header>Loss of exempt status for certain institutions of higher education</header><text>An organization which is described in section 501(c)(3) and which is an institution (as defined in section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f</external-xref>)) shall not be exempt from taxation under section 501(a) if there has been a determination under section 117(d) of the Higher Education Act of 1965 that such institution has committed, after the date of the enactment of this section, 3 or more violations or failures described in section 117(d) of the Higher Education Act of 1965.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
