which was read twice and referred to the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To preserve access to lawful content and prevent discrimination and unfair methods of competition on the internet, and for other purposes.</official-title></form><legis-body><section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Promoting Rights and Online Speech Protections to Ensure Every Consumer is Heard Act</short-title></quote> or the <quote><short-title>PRO-SPEECH Act</short-title></quote>.</text></section><section id="id9d8c57759e7341c191f66876e4f9cf04"><enum>2.</enum><header>Preserving access to lawful content</header><subsection id="id95c8db92ccc34fedbdc7a9524ee2862b"><enum>(a)</enum><header>In general</header><text>Subject to subsection (b), an internet platform may not engage in a practice that does any of the following:</text><paragraph id="id7ea199506853423b9c9eb99711c0fcb4"><enum>(1)</enum><text>Blocks or otherwise prevents a user or entity from accessing any lawful content, application, service, or device that does not interfere with the internet platform’s functionality or pose a data privacy or data security risk to a user.</text></paragraph><paragraph id="id853b0c1547e4447a981e010cf207ee2d"><enum>(2)</enum><text>Degrades or impairs the access of a user or entity to lawful internet traffic on the basis of content, application, service, or use of a device that does not interfere with the internet platform’s func­tion­al­ity or pose a data privacy or data security risk to a user.</text></paragraph></subsection><subsection id="id7e0ba3da97ad4e21b2b8e1ed08341afc"><enum>(b)</enum><header>Exceptions</header><paragraph id="idE860B4D7106440899CD411E58526C0BF"><enum>(1)</enum><header>Small internet platforms</header><text>The prohibitions under subsection (a) shall not apply to a small internet platform unless—</text><subparagraph id="id25BC8F7C276B42CFB3F3CA1B8D2D37CA"><enum>(A)</enum><text>the Commission determines that the benefits of expanding the application of such prohibitions to 1 or more small internet platforms outweigh the costs; and</text></subparagraph><subparagraph id="id511D55DFE24542D5AFDD83FE28EAF434"><enum>(B)</enum><text>the Director of the Office of Management and Budget approves such cost-benefit analysis and publishes such approval in the Federal Register.</text></subparagraph></paragraph><paragraph id="id295a8f602c9a4ec4bdaaaf4480c78a91"><enum>(2)</enum><header>Publishers of content, applications, and services</header><text>The prohibitions under subsection (a) shall not apply to the extent that an internet platform publicly proclaims to be a publisher, insofar as the internet platform is acting as a publisher, of any particular content, application, or service. </text></paragraph></subsection></section><section id="idf232dba7d2fb49d3adee1336cb1b7032"><enum>3.</enum><header>Nondiscrimination</header><text display-inline="no-display-inline">An internet platform may not take any action against a user or entity based on racial, sexual, religious, political affiliation, or ethnic grounds.</text></section><section id="idF0A031CCF3A14829B2D59AABB40674FA"><enum>4.</enum><header>Prohibitions on unfair methods of competition</header><subsection id="idca77f8c1d8614dc1a99ce7406442cab6"><enum>(a)</enum><header>In general</header><text>An internet platform may not engage in an unfair method of competition against any other internet platform (as determined by the Commission under the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>)).</text></subsection><subsection id="id6B68D6311C904E728F84681574EA5F18"><enum>(b)</enum><header>Presumed unfair methods of competition</header><text>For purposes of subsection (a), the following actions shall be presumed to be an unfair method of competition:</text><paragraph id="id5cef0b52e1374c67b7b168ed55dc5a9d"><enum>(1)</enum><header>Blocking or prohibiting use</header><text>Any action taken by a large internet platform that wholly blocks or prohibits an internet platform that competes with the large internet platform (or any affiliate of the large internet platform) from making use of the large internet platform.</text></paragraph><paragraph id="idc90e73b566734dad8d90f8c427f81ff9"><enum>(2)</enum><header>Unreasonable discrimination</header><text>Any action taken by a large internet platform that unreasonably discriminates against an internet platform that competes with the large internet platform (or any affiliate of the large internet platform).</text></paragraph></subsection><subsection id="id6fcd7399abfa4c718e919dc5201bde9b"><enum>(c)</enum><header>Determination of unfair methods of competition</header><text>The Commission may determine that an action taken by a large internet platform is presumed to be an unfair method of competition if—</text><paragraph id="id1901A1ED9A9A44E3A80B8B60BB7B3443"><enum>(1)</enum><text>the Commission establishes that—</text><subparagraph id="idB89C9603DA36401BBA51BB7DACF1022F"><enum>(A)</enum><text>such action by a large internet platform—</text><clause id="ide97f3bda35d749888efd14ebf6fcd619"><enum>(i)</enum><text>is anti-competitive and likely to reduce competition, reduce quality of service, or decrease innovation; and</text></clause><clause id="idf0d8bfa3221146d69c12ea048d1ffe20"><enum>(ii)</enum><text>is not likely to be remedied without government intervention; and</text></clause></subparagraph><subparagraph id="idae6dee08a2024a87b34dc95a6dd1adb1"><enum>(B)</enum><text>the benefits of such a determination outweigh the costs; and</text></subparagraph></paragraph><paragraph id="id0B4D51BD0924461D94A8525DA9020B7B"><enum>(2)</enum><text>the Director of the Office of Management and Budget approves such cost-benefit analysis and publishes such approval in the Federal Register.</text></paragraph></subsection></section><section id="id1a9370cdc66245c5af61eb0819c4d47e"><enum>5.</enum><header>Transparency</header><subsection id="idb42121152f8244478f570342b68da513"><enum>(a)</enum><header>Required disclosures</header><paragraph id="id0F74D4FB896B4FF889EBF6F907BDEBF2"><enum>(1)</enum><header>In general</header><text>Subject to subsection (b), an internet platform shall disclose, on a publicly available and easily accessible website, accurate information regarding the platform management practices, performance characteristics, and commercial terms of service of its app store, cloud computing service, operating system, search engine, or social media network sufficient to enable a reasonable user to make an informed choice regarding the purchase or use of such service and to develop, market, and maintain a product or service on the internet platform.</text></paragraph><paragraph id="idc242a4b8b23245cf910236f3af18a387"><enum>(2)</enum><header>Required information</header><text>The information to be disclosed pursuant to paragraph (1) shall include the following:</text><subparagraph id="id6E899FF947074EDBACCC76C162C68CE1"><enum>(A)</enum><header>Platform management practices</header><text>Information regarding the platform management practices of an internet platform shall include the following:</text><clause id="id67C95F4A39ED4B429B7B83CB64C81030"><enum>(i)</enum><header>General practices</header><text>A description of any content management or data management practices.</text></clause><clause id="id0d03a60ff34145a49d82401b7f9e25ce"><enum>(ii)</enum><header>App store, operating system, search engine, or social media network</header><text>With respect to an app store, operating system, search engine, or social media network, a description of any practice—</text><subclause id="idff779950c0de4ee6bf212b555a060851"><enum>(I)</enum><text>regarding how the internet platform—</text><item id="id3C58515A0E094F9C8516E94F888D52CF"><enum>(aa)</enum><text>curates and targets content to users;</text></item><item id="id115ED1BBEC27402BAB991A4CDD9A5FE8"><enum>(bb)</enum><text>promotes content, services, or products, including its own content, services, or products;</text></item><item id="id780FA1F745C04EBBA6CB1F067D65B1C5"><enum>(cc)</enum><text>moderates content; or</text></item><item id="idA9891C67077D4C28AD01EFCC3B8D904A"><enum>(dd)</enum><text>determines whether to demonetize a user’s use of the internet platform by any means; or</text></item></subclause><subclause id="id296f3aceee2c4048bf7127ddc9fa3645"><enum>(II)</enum><text>that directly or indirectly favors certain data or content over other data or content, including through use of techniques such as content placement or prioritization—</text><item id="idEB034F572FCC4583B042B3179635C316"><enum>(aa)</enum><text>to benefit an affiliate; or</text></item><item id="id22D27D80432A463BABADBBE925EE205E"><enum>(bb)</enum><text>in exchange for consideration, monetary or otherwise.</text></item></subclause></clause><clause id="id6d8af873e74f4356bfc27386e9ec94b0"><enum>(iii)</enum><header>Cloud computing service</header><text>With respect to a cloud computing service, a description of any practice—</text><subclause id="id781be4e9acc64d8f88805615e761fdb5"><enum>(I)</enum><text>regarding congestion management, application-specific behavior, device attachment, or data privacy and data security; or</text></subclause><subclause id="id9e85d110d6864a06b48d06185b0ae1a0"><enum>(II)</enum><text>that determines whether—</text><item id="id7DD402D430A644F3A8F52B879E2D43A8"><enum>(aa)</enum><text>any content, application, or service is lawful; and</text></item><item id="id1A832EE23FDA4A3891E33FE397FD1C8D"><enum>(bb)</enum><text>a device interferes with the cloud computing service’s functionality or poses an unreasonable data privacy or data security risk to a user.</text></item></subclause></clause><clause id="ida0e5104e7362495dab0a531d5fadbf34"><enum>(iv)</enum><header>Publishers</header><subclause id="id56D95016B50548F1A8A97BFD895C44C4"><enum>(I)</enum><header>Internet platforms</header><text>With respect to an internet platform that publicly proclaims to be a publisher, a description of any practice that blocks or otherwise prevents a user or entity from accessing any lawful content, application, service, or device that does not interfere with the internet platform’s functionality or pose a risk of data privacy or data security to a user.</text></subclause><subclause id="id74b82fa2496b40fbb851376c5ef3b3ce"><enum>(II)</enum><header>Affiliates</header><text>With respect to an internet platform that publicly proclaims to be a publisher and is an affiliate of a cloud computing service or operating system, a description of any practice that degrades or impairs a user or entity's access to lawful internet traffic on the basis of content, application, service, or use of a device that does not interfere with the internet platform's functionality or pose a risk to the data privacy or data security of a user.</text></subclause></clause></subparagraph><subparagraph id="id05f804d925574c4c9aeed61c5c83c50b"><enum>(B)</enum><header>Performance characteristics</header><text>Information regarding the performance characteristics of an internet platform shall include the following:</text><clause id="id48D2B1136DBB4D5B83D5AA3454D65842"><enum>(i)</enum><header>General characteristics</header><text>A general description of the service, including the service technology.</text></clause><clause id="id2bd3d139583d431aa8d2313261cc3c3f"><enum>(ii)</enum><header>Cloud computing service</header><text>With respect to a cloud computing service, a description of—</text><subclause id="id05CDEE5EF3CC457082AC73E0FEFB906A"><enum>(I)</enum><text>the expected and actual access speed and latency; and</text></subclause><subclause id="id673ED419928D473CA3946088D5F31FD1"><enum>(II)</enum><text>the capability of the service to support real-time applications.</text></subclause></clause><clause id="id0b6fd8cd162d4fdeaeb97d3420247048"><enum>(iii)</enum><header>Service with required approval</header><text>With respect to an app store, cloud computing service, or operating system that requires approval before allowing an application to use the internet platform—</text><subclause id="id5b21cb093c6c4d048fc0d918b4680f72"><enum>(I)</enum><text>the average time for a developer to receive such approval after initial submission; and</text></subclause><subclause id="idb40e49f6aff54c6693535a53d3f6eff1"><enum>(II)</enum><text>the timeline for the internet platform to resolve complaints and the outcome of any such resolution.</text></subclause></clause></subparagraph><subparagraph id="id73751e64a8e94dba80b67f522651b147"><enum>(C)</enum><header>Commercial terms</header><text>Information regarding the commercial terms of an internet platform shall include a description of the fee disclosures, privacy practices, and redress options for users, including the following:</text><clause id="id1fc020aff4ce4948afe14c31e3fa3da6"><enum>(i)</enum><header>Usage-based fees</header><text>With respect to a cloud computing service, any usage-based fees or fees for early termination or additional network services.</text></clause><clause id="ida0c814d2f71e49a9904624ce06703a0c"><enum>(ii)</enum><header>Approval fees</header><text>With respect to an app store, cloud computing service, or operating system that requires approval before allowing an application to use the internet platform, any fees charged to those seeking such approval.</text></clause><clause id="id9cd39526235c40839635d51ac1fab898"><enum>(iii)</enum><header>Third-party fees</header><text>With respect to an app store, cloud computing service, or operating system, any fees charged to or by third parties associated with a user’s decision to purchase an application or other content that uses such internet platform.</text></clause><clause id="idf6c7793a26994f23b61a55f98741dfff"><enum>(iv)</enum><header>Prioritization fees</header><text>With respect to an app store, operating system, search engine, or social media network, any fees charged for the placement or prioritization of any content or application.</text></clause><clause id="id5fb0d0e1d1a94eddb6a94651cce1c7b4"><enum>(v)</enum><header>Privacy practices</header><text>A description of any data privacy practice that entails the inspection of user-generated content or other internet platform information and whether such content or information is stored, provided to third parties, or used for non-platform management purposes.</text></clause><clause id="id3facc612363b44e19c079be547291983"><enum>(vi)</enum><header>Complaint resolution practices</header><text>A description of any practice for resolving the complaint or question of a user.</text></clause></subparagraph></paragraph></subsection><subsection id="id94f8a06c617e4dd8a525eb0f804e42c9"><enum>(b)</enum><header>Applicability to small internet platforms</header><text>The requirements under subsection (a) shall not apply to a small internet platform unless—</text><paragraph id="idF253F7C0CE334EA3B079B4B05AF209E4"><enum>(1)</enum><text>the Commission determines that the benefits of expanding the application of such requirements to 1 or more small internet platforms outweigh the costs; and</text></paragraph><paragraph id="id3F794364DF9A4DAE8E71DA33D0C7E430"><enum>(2)</enum><text>the Director of the Office of Management and Budget approves such cost-benefit analysis and publishes such approval in the Federal Register.</text></paragraph></subsection></section><section id="id2e35515edc0b44d0851b2029da3bb7c9"><enum>6.</enum><header>Enforcement</header><subsection id="idccd7bc92e68d49aa963407a57420bdd1"><enum>(a)</enum><header>Enforcement authority</header><paragraph id="id56F5146090C04690B346A64E27AA7135"><enum>(1)</enum><header>Unfair and deceptive acts or practice</header><text>A violation of section 2, 3, or 5 shall be treated as an unfair and deceptive act or practice proscribed under section 5(a) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45(a)</external-xref>).</text></paragraph><paragraph id="idE34FBDFD90CC42059E5D155CDB23A179"><enum>(2)</enum><header>Unfair methods of competition</header><text>Any person who violates section 4 shall be liable for engaging in an unfair method of competition under section 5(a) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45(a)</external-xref>).</text></paragraph></subsection><subsection id="id0a01ea3776d245d5b369eb633b1412da"><enum>(b)</enum><header>Powers of the Commission</header><paragraph id="id16d1fba5a1ef4bf1bf83ab5671572fe2"><enum>(1)</enum><header>In general</header><text>Notwithstanding any other provision of law, the Commission shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>) were incorporated into and made a part of this Act.</text></paragraph><paragraph id="idddb0057ca47040aa908b0b08763e2e87" commented="no"><enum>(2)</enum><header>Privileges and immunities</header><text>Notwithstanding any other provision of law, any person who violates this Act shall be subject to the penalties and entitled to the privileges and immunities provided in the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>).</text></paragraph><paragraph id="idb0406a8824f2446b8eee60356df0c451" commented="no"><enum>(3)</enum><header>Authority preserved</header><text>Nothing in this Act shall be construed to limit the authority of the Commission under any other provision of law.</text></paragraph></subsection><subsection commented="no" id="id417F08E20A6847D6B3D5B38CD4F07245"><enum>(c)</enum><header>Complaints to the Commission</header><paragraph commented="no" id="id465397F279D74F2592BC46EE352F26A0"><enum>(1)</enum><header>In general</header><text>Any individual alleging a violation of this Act may submit to the Commission a complaint which briefly states the facts surrounding such violation.</text></paragraph><paragraph commented="no" id="id879C39D476B34D24A4850862BCDD0510"><enum>(2)</enum><header>Notice to internet platform</header><text>Upon receiving a complaint described in paragraph (1), the Commission shall forward a statement of the complaint to the internet platform that is the subject of the alleged violation.</text></paragraph><paragraph commented="no" id="id8C6CC084BB3C4561AD1DEEC4AF680F25"><enum>(3)</enum><header>Requirement to address complaint</header><text>Upon receiving a forwarded complaint under paragraph (2), the internet platform shall, within a reasonable time (as specified by the Commission), either—</text><subparagraph commented="no" id="id6C2BEC6F1FC54771A525E7246BB55004"><enum>(A)</enum><text>make a reparation for any injury alleged to have been caused in the complaint filed under paragraph (1) and notify the Commission of such reparation; or</text></subparagraph><subparagraph commented="no" id="idF18047D29CD440339995DF7F1FDE3EBB"><enum>(B)</enum><text>submit to the Commission a written response to the complaint.</text></subparagraph></paragraph><paragraph commented="no" id="idF585E7AE5332415A946C18AE6C341817"><enum>(4)</enum><header>Reparation</header><text>If the internet platform makes a reparation under paragraph (3)(A) to the satisfaction of the Commission, the Commission shall relieve the internet platform of liability to the complainant for the particular violation of law thus complained of.</text></paragraph><paragraph commented="no" id="id084DBB94110F4DC9A572BB366E4AB90B"><enum>(5)</enum><header>Investigation</header><subparagraph commented="no" id="idA97C2D0E57324FF0B3ACAF329C742A72"><enum>(A)</enum><header>In general</header><text>If the internet platform does not make a sufficient reparation under paragraph (3)(A), or if there appears to be any reasonable ground for investigating such complaint, the Commission shall investigate the matters complained of in such manner and by such means as it shall deem proper.</text></subparagraph><subparagraph commented="no" id="id5F901ADBDA1D471BA8C34B52E88C85CC"><enum>(B)</enum><header>Direct damage</header><text>No complaint shall at any time be dismissed because of the absence of direct damage to the complainant.</text></subparagraph><subparagraph commented="no" id="id004635839268481FB189B7B0504C5E72"><enum>(C)</enum><header>Investigation conclusion</header><text>With respect to any investigation conducted pursuant to subparagraph (A), the Commission shall issue an order concluding such investigation not more than 5 months after the date on which the complaint was filed.</text></subparagraph></paragraph></subsection></section><section id="id1f49e39af6b44489af81f6252f38c5a0"><enum>7.</enum><header>Relationship between Federal and State law</header><text display-inline="no-display-inline">No State or political subdivision of a State may adopt, maintain, enforce, or continue in effect any law, regulation, rule, requirement, or standard that conflicts with the requirements of this Act.</text></section><section id="idfe6a715f327346a790c0442864664201"><enum>8.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="idb0545f3d7ac74fa7af2382551c44ff39"><enum>(1)</enum><header>Affiliate</header><text>The term <term>affiliate</term> means a person that directly or indirectly owns or controls, is owned or controlled by, or is under common ownership or control with, another person.</text></paragraph><paragraph id="ida4603a3e04a942b380ff0e45489bfb36"><enum>(2)</enum><header>App store</header><text>The term <term>app store</term> means a digital distribution platform for computer applications that includes at least 1 application from a person unaffiliated with the operator of the digital distribution platform.</text></paragraph><paragraph id="id83547f4710664175888ba5e57093c0a6"><enum>(3)</enum><header>Cloud computing service</header><text>The term <term>cloud computing service</term> means a service offering on-demand network access to a shared pool of configurable computing resources (such as any network, server, storage, application, or service) that generally can be provisioned with minimal management effort or service provider interaction.</text></paragraph><paragraph id="idd4bc51589e534fb9ac0684312801d15b"><enum>(4)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission.</text></paragraph><paragraph id="id0d8e11dea50d406ba5dbaca4f25d3a9b"><enum>(5)</enum><header>Internet platform</header><text>The term <term>internet platform</term> means an entity that owns or operates, either directly or through an affiliate, an app store, a cloud computing service, an operating system, a search engine, or a social media network.</text></paragraph><paragraph id="id1f50f5f0640f41b3b9abd0a24bd37eaf"><enum>(6)</enum><header>Large internet platform</header><text>The term <term>large internet platform</term> means an internet platform with equal to or more than—</text><subparagraph id="idD92C5EDD1CCD411BB928FEA580959DE0"><enum>(A)</enum><text>100,000,000 global active users; or </text></subparagraph><subparagraph id="id9CDB14B29B2D461BB0B09B7CBB03F092"><enum>(B)</enum><text>$500,000,000 in annual revenues, including direct user fees, advertising revenues, or other revenues associated with an app store, a cloud computing service, an operating system, a search engine, or a social media network. </text></subparagraph></paragraph><paragraph id="id5d76cf480e0a4af692fcc80aa773c0c0"><enum>(7)</enum><header>Operating system</header><text>The term <term>operating system</term> means a computer program, implemented in either software or firmware, that acts as an intermediary between users of a computer and the computer hardware, providing an environment in which a user can execute, operate, or otherwise utilize an application.</text></paragraph><paragraph id="id080b665571ab4052a71753260bd07eee"><enum>(8)</enum><header>Own</header><text>The term <term>own</term> means to hold an equity interest (or the equivalent thereof) of more than 10 percent.</text></paragraph><paragraph id="id62c13a7efc4247d2b99fbafa552a73a7"><enum>(9)</enum><header>Search engine</header><text>The term <term>search engine</term> means a technology that enables a user to initiate a search query for particular information using the internet and that is capable of returning at least 1 search result unaffiliated with the owner or operator of the search engine.</text></paragraph><paragraph id="id27d7fd3c08b34af0b42e3961d59f0178"><enum>(10)</enum><header>Small internet platform</header><text>The term <term>small internet platform</term> means an internet platform that has—</text><subparagraph id="idD34E5E58230044ECAF93A71BC1B7C160"><enum>(A)</enum><text>fewer than 100,000,000 global active users;
