STATES</current-chamber><legis-type display="yes">AN ACT</legis-type><official-title display="yes">To authorize the imposition of sanctions with respect to foreign persons that have engaged in significant theft of trade secrets of United States persons, and for other purposes.</official-title></form><legis-body style="OLC" display-enacting-clause="yes-display-enacting-clause"><section id="S1" section-type="section-one" commented="no" display-inline="no-display-inline"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protecting American Intellectual Property Act of 2022</short-title></quote>.</text></section><section id="HE20F96DF168E456BB91E9FF574846BC0" commented="no" display-inline="no-display-inline" section-type="subsequent-section"><enum>2.</enum><header display-inline="yes-display-inline">Imposition of sanctions with respect to theft of trade secrets of United States persons</header><subsection id="HE12182E5AE9548C9844775020B803997" commented="no" display-inline="no-display-inline"><enum>(a)</enum><header display-inline="yes-display-inline">Report required</header><paragraph id="H09394675E18946CFB481BFB65BD4F49F" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Not later than 180 days after the date of the enactment of this Act, and not less frequently than annually thereafter, the President shall submit to the appropriate congressional committees a report—</text><subparagraph id="HEB08EF644FE6468C9166ABDF593F1107" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">identifying any foreign person the President determines, during the period specified in paragraph (2)—</text><clause id="HBB996EE2D5C54532B6E798A259938981" commented="no" display-inline="no-display-inline"><enum>(i)</enum><text display-inline="yes-display-inline">has knowingly engaged in, or benefitted from, significant theft of trade secrets of United States persons, if the theft of such trade secrets occurred on or after such date of enactment and is reasonably likely to result in, or has materially contributed to, a significant threat to the national security, foreign policy, or economic health or financial stability of the United States;</text></clause><clause id="HB00270E1ECCB495C865ACE463C412B91" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><text display-inline="yes-display-inline">has provided significant financial, material, or technological support for, or goods or services in support of or to benefit significantly from, such theft;</text></clause><clause id="H6574954234CE45C7B36B25A24186D94A" commented="no" display-inline="no-display-inline"><enum>(iii)</enum><text display-inline="yes-display-inline">is an entity that is owned or controlled by, or that has acted or purported to act for or on behalf of, directly or indirectly, any foreign person identified under clause (i) or (ii); or</text></clause><clause id="HDFD12FCC568C49B1969CE1BF7E235843" commented="no" display-inline="no-display-inline"><enum>(iv)</enum><text display-inline="yes-display-inline">is a chief executive officer or member of the board of directors of any foreign entity identified under clause (i) or (ii); </text></clause></subparagraph><subparagraph id="HAAB9594EFB994A5B8AE700914E670102" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">describing the nature, objective, and outcome of the theft of trade secrets each foreign person described in subparagraph (A)(i) engaged in or benefitted from; and</text></subparagraph><subparagraph id="H3AAD104ADD114B7EB1378D67E5C8861F" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">assessing whether any chief executive officer or member of the board of directors described in clause (iv) of subparagraph (A) engaged in, or benefitted from, activity described in clause (i) or (ii) of that subparagraph.</text></subparagraph></paragraph><paragraph id="H8E946E3E0C9C4DDD869947F459CD4896" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Period specified</header><text display-inline="yes-display-inline">The period specified in this paragraph is—</text><subparagraph id="H19681C14F71F4392A64793FDC2724C0E" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">in the case of the first report required by paragraph (1), the period beginning on the date of the enactment of this Act and ending on the date on which the report is required to be submitted; and</text></subparagraph><subparagraph id="HC4C3E7B6D9434E97876779653AB86F4C" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">in the case of each subsequent report required by paragraph (1), the one-year period preceding the date on which the report is required to be submitted. </text></subparagraph></paragraph><paragraph id="HF83AD843F1764ED29B09AEB6880FB4F3" commented="no" display-inline="no-display-inline"><enum>(3)</enum><header display-inline="yes-display-inline">Form of report</header><text display-inline="yes-display-inline">Each report required by paragraph (1) shall be submitted in unclassified form but may include a classified annex.</text></paragraph></subsection><subsection id="H61262E2B38EB427396D680CC78BA79BA" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header display-inline="yes-display-inline">Authority to impose sanctions</header><paragraph id="H7BB78256180946EBB7E99C32360CD087" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Sanctions applicable to entities</header><text display-inline="yes-display-inline">In the case of a foreign entity identified under subparagraph (A) of subsection (a)(1) in the most recent report submitted under that subsection, the President shall impose 5 or more of the following:</text><subparagraph id="HEEC0CD4DBA33438A9D52ABDCACA1B8AF" commented="no" display-inline="no-display-inline"><enum>(A)</enum><header display-inline="yes-display-inline">Blocking of property</header><text display-inline="yes-display-inline">The President may, pursuant to the International Emergency Economic Powers Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701 et seq.</external-xref>), block and prohibit all transactions in all property and interests in property of the entity if such property and interests in property are in the United States, come within the United States, or are or come within the possession or control of a United States person.</text></subparagraph><subparagraph id="H3FED99E7515440B69C749732139FB844" commented="no" display-inline="no-display-inline"><enum>(B)</enum><header display-inline="yes-display-inline">Inclusion on entity list</header><text display-inline="yes-display-inline">The President may include the entity on the entity list maintained by the Bureau of Industry and Security of the Department of Commerce and set forth in Supplement No. 4 to part 744 of the Export Administration Regulations, for activities contrary to the national security or foreign policy interests of the United States.</text></subparagraph><subparagraph id="H28E4BBE774214E3FA22BF6917A48578C" commented="no" display-inline="no-display-inline"><enum>(C)</enum><header display-inline="yes-display-inline">Export-import bank assistance for exports to sanctioned persons</header><text display-inline="yes-display-inline">The President may direct the Export-Import Bank of the United States not to give approval to the issuance of any guarantee, insurance, extension of credit, or participation in the extension of credit in connection with the export of any goods or services to the entity.</text></subparagraph><subparagraph id="H85C314BE30EF40EB8E8DC9AE0C152163" commented="no" display-inline="no-display-inline"><enum>(D)</enum><header display-inline="yes-display-inline">Loans from united states financial institutions</header><text display-inline="yes-display-inline">The President may prohibit any United States financial institution from making loans or providing credits to the entity totaling more than $10,000,000 in any 12-month period unless the person is engaged in activities to relieve human suffering and the loans or credits are provided for such activities. </text></subparagraph><subparagraph id="HC269092247CC48408FB2E988C4101A3B" commented="no" display-inline="no-display-inline"><enum>(E)</enum><header display-inline="yes-display-inline">Loans from international financial institutions</header><text display-inline="yes-display-inline">The President may direct the United States executive director to each international financial institution to use the voice and vote of the United States to oppose any loan from the international financial institution that would benefit the entity. </text></subparagraph><subparagraph id="H8BCAC9D14D1946F7B9CC6A6754A7AE50" commented="no" display-inline="no-display-inline"><enum>(F)</enum><header display-inline="yes-display-inline">Prohibitions on financial institutions</header><text display-inline="yes-display-inline">The following prohibitions may be imposed against the entity if the entity is a financial institution:</text><clause id="H5655B00EE2B148A9919D78A81BC8F90D" commented="no" display-inline="no-display-inline"><enum>(i)</enum><header display-inline="yes-display-inline">Prohibition on designation as primary dealer</header><text display-inline="yes-display-inline">Neither the Board of Governors of the Federal Reserve System nor the Federal Reserve Bank of New York may designate, or permit the continuation of any prior designation of, the financial institution as a primary dealer in United States Government debt instruments.</text></clause><clause id="H5514C03D182E436F9F74FE70A3D23F4C" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><header display-inline="yes-display-inline">Prohibition on service as a repository of government funds</header><text display-inline="yes-display-inline">The financial institution may not serve as agent of the United States Government or serve as repository for United States Government funds.</text></clause><continuation-text continuation-text-level="subparagraph" commented="no">The imposition of either sanction under clause (i) or (ii) shall be treated as one sanction for purposes of this paragraph, and the imposition of both such sanctions shall be treated as 2 sanctions for purposes of this paragraph. </continuation-text></subparagraph><subparagraph id="H9A84A10A13604EFD8A812E1EE518EAAF" commented="no" display-inline="no-display-inline"><enum>(G)</enum><header display-inline="yes-display-inline">Procurement sanction</header><text display-inline="yes-display-inline">The United States Government may not procure, or enter into any contract for the procurement of, any goods or services from the entity.</text></subparagraph><subparagraph id="H9CCFEDD8D5B040F49E49630A1627737B" commented="no" display-inline="no-display-inline"><enum>(H)</enum><header display-inline="yes-display-inline">Foreign exchange</header><text display-inline="yes-display-inline">The President may, pursuant to such regulations as the President may prescribe, prohibit any transactions in foreign exchange that are subject to the jurisdiction of the United States and in which the entity has any interest.</text></subparagraph><subparagraph id="H43BD91798CE745688E578E19076E0C89" commented="no" display-inline="no-display-inline"><enum>(I)</enum><header display-inline="yes-display-inline">Banking transactions</header><text display-inline="yes-display-inline">The President may, pursuant to such regulations as the President may prescribe, prohibit any transfers of credit or payments between financial institutions or by, through, or to any financial institution, to the extent that such transfers or payments are subject to the jurisdiction of the United States and involve any interest of the entity. </text></subparagraph><subparagraph id="H4656C82DB1D84BADAE057A3561B66C54" commented="no" display-inline="no-display-inline"><enum>(J)</enum><header display-inline="yes-display-inline">Ban on investment in equity or debt of sanctioned person</header><text display-inline="yes-display-inline">The President may, pursuant to such regulations or guidelines as the President may prescribe, prohibit any United States person from investing in or purchasing significant amounts of equity or debt instruments of the entity. </text></subparagraph><subparagraph id="H429BAC4913054EC3B8042200F848FE09" commented="no" display-inline="no-display-inline"><enum>(K)</enum><header display-inline="yes-display-inline">Exclusion of corporate officers</header><text display-inline="yes-display-inline">The President may direct the Secretary of State to deny a visa to, and the Secretary of Homeland Security to exclude from the United States, any alien that the President determines is a corporate officer or principal of, or a shareholder with a controlling interest in, the entity.</text></subparagraph><subparagraph id="HD06E7D10F8CD46D8BF0EDD8DCA30EB8D" commented="no" display-inline="no-display-inline"><enum>(L)</enum><header display-inline="yes-display-inline">Sanctions on principal executive officers</header><text display-inline="yes-display-inline">The President may impose on the principal executive officer or officers of the entity, or on individuals performing similar functions and with similar authorities as such officer or officers, any of the sanctions under this paragraph. </text></subparagraph></paragraph><paragraph id="HF3B30626D3D1470E96F6759762430504" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Sanctions applicable to individuals</header><text display-inline="yes-display-inline">In the case of an alien identified under subparagraph (A) of subsection (a)(1) in the most recent report submitted under that subsection, the following shall apply:</text><subparagraph id="H3922DC5810714FE48CC05B9BF99042FD" commented="no" display-inline="no-display-inline"><enum>(A)</enum><header display-inline="yes-display-inline">Blocking of property</header><text display-inline="yes-display-inline">The President shall, pursuant to the International Emergency Economic Powers Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701 et seq.</external-xref>), block and prohibit all transactions in all property and interests in property of the alien if such property and interests in property are in the United States, come within the United States, or are or come within the possession or control of a United States person.</text></subparagraph><subparagraph id="HA2109E698FF349B886A4EECAAD240352" commented="no" display-inline="no-display-inline"><enum>(B)</enum><header display-inline="yes-display-inline">Ineligibility for visas, admission, or parole</header><clause id="H0FF8656B86174C33A7B1435D8D8F68DA" commented="no" display-inline="no-display-inline"><enum>(i)</enum><header display-inline="yes-display-inline">Visas, admission, or parole</header><text display-inline="yes-display-inline">An alien described in subparagraph (A) of subsection (a)(1) is—</text><subclause id="HA1D33C804EA44483A16DAD8AC991CE11" commented="no" display-inline="no-display-inline"><enum>(I)</enum><text display-inline="yes-display-inline">inadmissible to the United States;</text></subclause><subclause id="H58C928967E444E9BBDE2861814311F08" commented="no" display-inline="no-display-inline"><enum>(II)</enum><text display-inline="yes-display-inline">ineligible to receive a visa or other documentation to enter the United States; and</text></subclause><subclause id="HA383967C8E7B4CFBBFA000CC3A61A825" commented="no" display-inline="no-display-inline"><enum>(III)</enum><text display-inline="yes-display-inline">otherwise ineligible to be admitted or paroled into the United States or to receive any other benefit under the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1101">8 U.S.C. 1101 et seq.</external-xref>).</text></subclause></clause><clause id="H47B209A62B9B41E885456C454EE57B2B" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><header display-inline="yes-display-inline">Current visas revoked</header><subclause id="H7818EC14CBDF495B83A347EEF9A6A07D" commented="no" display-inline="no-display-inline"><enum>(I)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">An alien described in subparagraph (A) of subsection (a)(1) is subject to revocation of any visa or other entry documentation regardless of when the visa or other entry documentation is or was issued.</text></subclause><subclause id="H8C547580DAB9422385F6614D0B5E67B5" commented="no" display-inline="no-display-inline"><enum>(II)</enum><header display-inline="yes-display-inline">Immediate effect</header><text display-inline="yes-display-inline">A revocation under subclause (I) shall—</text><item id="H9634921688E947EE9D0AA3E808571917" commented="no" display-inline="no-display-inline"><enum>(aa)</enum><text display-inline="yes-display-inline">take effect pursuant to section 221(i) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1201">8 U.S.C. 1201(i)</external-xref>); and</text></item><item id="HBD982E3C0CA946C28D73D6DA8D5D8031" commented="no" display-inline="no-display-inline"><enum>(bb)</enum><text display-inline="yes-display-inline">cancel any other valid visa or entry documentation that is in the alien’s possession.</text></item></subclause></clause></subparagraph></paragraph></subsection><subsection id="H83F23E4A110B4D90B0527615C3277CCA" commented="no" display-inline="no-display-inline"><enum>(c)</enum><header display-inline="yes-display-inline">National interest waiver</header><text display-inline="yes-display-inline">The President may waive the imposition of sanctions under subsection (b) with respect to a person if the President—</text><paragraph id="H4BE3928C6A4143C5B0FD495D384CB7B7" commented="no" display-inline="no-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">determines that such a waiver is in the national interests of the United States; and</text></paragraph><paragraph id="HCF32AFC2C4E34601B3BD524A06D2788E" commented="no" display-inline="no-display-inline"><enum>(2)</enum><text display-inline="yes-display-inline">not more than 15 days after issuing the waiver, submits to the appropriate congressional committees a notification of the waiver and the reasons for the waiver.</text></paragraph></subsection><subsection id="H3D918B5E25E3422FB836017CF05D7971" commented="no" display-inline="no-display-inline"><enum>(d)</enum><header display-inline="yes-display-inline"> Implementation; penalties</header><paragraph id="H9ED35660F0F0458FAEBEC35C5228A1EB" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Implementation</header><text display-inline="yes-display-inline">The President may exercise all authorities provided under sections 203 and 205 of the International Emergency Economic Powers Act (50 U.S.C. 1702 and 1704) to carry out this section.</text></paragraph><paragraph id="H9FD0EE4637984602999884290DA00F75" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Penalties</header><text display-inline="yes-display-inline">A person that violates, attempts to violate, conspires to violate, or causes a violation of this section or any regulation, license, or order issued to carry out this section shall be subject to the penalties set forth in subsections (b) and (c) of section 206 of the International Emergency Economic Powers Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1705">50 U.S.C. 1705</external-xref>) to the same extent as a person that commits an unlawful act described in subsection (a) of that section. </text></paragraph></subsection><subsection id="H4E3471C4758A4CEDBC718EECC7D55F8A" commented="no" display-inline="no-display-inline"><enum>(e)</enum><header display-inline="yes-display-inline">Exceptions</header><paragraph id="HD706B82DDEC1417EAFEDCC45DB72D08F" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Intelligence activities</header><text display-inline="yes-display-inline">This section shall not apply with respect to activities subject to the reporting requirements under title V of the National Security Act of 1947 (<external-xref legal-doc="usc" parsable-cite="usc/50/3091">50 U.S.C. 3091 et seq.</external-xref>) or any authorized intelligence activities of the United States.</text></paragraph><paragraph id="H6C68B62CF9A44FEBA954E572ECEC8947" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Law enforcement activities</header><text display-inline="yes-display-inline">Sanctions under this section shall not apply with respect to any authorized law enforcement activities of the United States.</text></paragraph><paragraph id="H1BBF438861C744C18A472B8E563DC5B6" commented="no" display-inline="no-display-inline"><enum>(3)</enum><header display-inline="yes-display-inline">Exception to comply with international agreements</header><text display-inline="yes-display-inline">Sanctions under this section shall not apply with respect to the admission of an alien to the United States if such admission is necessary to comply with the obligations of the United States under the Agreement regarding the Headquarters of the United Nations, signed at Lake Success June 26, 1947, and entered into force November 21, 1947, between the United Nations and the United States, or the Convention on Consular Relations, done at Vienna April 24, 1963, and entered into force March 19, 1967, or other international obligations.</text></paragraph><paragraph id="idbff23cc9850548dd88ca466a1cfb39b3" commented="no" display-inline="no-display-inline"><enum>(4)</enum><header display-inline="yes-display-inline">Exception relating to importation of goods</header><subparagraph id="id7d206623f3444dbdb04b8127183605be" commented="no" display-inline="no-display-inline"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">The authority or a requirement to impose sanctions under this section shall not include the authority or a requirement to impose sanctions on the importation of goods.</text></subparagraph><subparagraph id="idfa7f6a51f54042e094b253a11dff13ee" commented="no" display-inline="no-display-inline"><enum>(B)</enum><header display-inline="yes-display-inline">Good defined</header><text display-inline="yes-display-inline">In this paragraph, the term <term>good</term> means any article, natural or manmade substance, material, supply, or manufactured product, including inspection and test equipment, and excluding technical data. </text></subparagraph></paragraph></subsection><subsection id="H63577FFC305E483D8C5F48D2D58E8541" commented="no" display-inline="no-display-inline"><enum>(f)</enum><header display-inline="yes-display-inline">Sunset</header><text display-inline="yes-display-inline">This section shall terminate on the date that is 7 years after the date of the enactment of this Act.</text></subsection><subsection id="H7A647C35BABB47E2B2216410F90B8748" commented="no" display-inline="no-display-inline"><enum>(g)</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="yes-display-inline">In this section:</text><paragraph id="H236C1D06DC33453D896DEAC9329F03E5" commented="no" display-inline="no-display-inline"><enum>(1)</enum><header display-inline="yes-display-inline">Admission; admitted; alien; lawfully admitted for permanent residence</header><text display-inline="yes-display-inline">The terms <term>admission</term>, <term>admitted</term>, <term>alien</term>, and <term>lawfully admitted for permanent residence</term> have the meanings given those terms in section 101 of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1101">8 U.S.C. 1101</external-xref>). </text></paragraph><paragraph id="HE762C5476CAA4FE786DC68F83DFB32EB" commented="no" display-inline="no-display-inline"><enum>(2)</enum><header display-inline="yes-display-inline">Appropriate congressional committees</header><text display-inline="yes-display-inline">The term <term>appropriate congressional committees</term> means—</text><subparagraph commented="no" id="H20254845959144C2801F58221D38C169" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">the Committee on Banking, Housing, and Urban Affairs and the Committee on Foreign Relations of the Senate; and</text></subparagraph><subparagraph commented="no" id="H1B983C3E4C35404B82946E1BFF269A33" display-inline="no-display-inline"><enum>(B)</enum><text display-inline="yes-display-inline">the Committee on Financial Services and the Committee on Foreign Affairs of the House of Representatives. </text></subparagraph></paragraph><paragraph id="HC0726A61B3E440658E794570627BE80E" commented="no" display-inline="no-display-inline"><enum>(3)</enum><header display-inline="yes-display-inline">Entity</header><text display-inline="yes-display-inline">The term <term>entity</term> means a partnership, association, trust, joint venture, corporation, group, subgroup, or other organization. </text></paragraph><paragraph id="HC5FC6EC6C774400CABDF7C12B0A81CD7" commented="no" display-inline="no-display-inline"><enum>(4)</enum><header display-inline="yes-display-inline">Export administration regulations</header><text display-inline="yes-display-inline">The term <term>Export Administration Regulations</term> has the meaning given that term in section 1742 of the Export Control Reform Act of 2018 (<external-xref legal-doc="usc" parsable-cite="usc/50/4801">50 U.S.C. 4801</external-xref>).</text></paragraph><paragraph id="HF8C2CBA3C0AA42BE9825FA8A107165AB" commented="no" display-inline="no-display-inline"><enum>(5)</enum><header display-inline="yes-display-inline">Foreign entity</header><text display-inline="yes-display-inline">The term <term>foreign entity</term> means an entity that is not a United States display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">a United States citizen or an alien lawfully admitted for permanent residence to the United organized under the laws of the United States or of any jurisdiction within the United States, including a foreign branch of such an entity; or</text></subparagraph><subparagraph
