R. 8754</legis-num><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20220830">August 30, 2022</action-date><action-desc><sponsor name-id="C001115">Mr. Cloud</sponsor> (for himself and <cosponsor name-id="G000592">Mr. Golden</cosponsor>) introduced the following bill; which was referred to the <committee-name committee-id="HGO00">Committee on Oversight and Reform</committee-name>, and in addition to the Committee on <committee-name committee-id="HWM00">Ways and Means</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Ethics in Government Act of 1978 to prohibit transactions involving certain financial instruments by senior Federal employees, their spouses, or dependent children, and for other purposes.</official-title></form><legis-body id="H391617533B894B0B8D8EC32B803E99F1" style="OLC"><section id="HF221754A89C24F6BB90CA2F79ECF13AC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Dismantling Investments in Violation of Ethical Standards through Trusts Act</short-title></quote>.</text></section><section id="HA08A12F9EFC14A1AB93FFEFC55829CF5"><enum>2.</enum><header>Prohibiting transactions and ownership of certain financial instruments by senior Federal employees, their spouses, or dependent children</header><subsection id="HEC033F9B0B3B4B1EA88E1A0076368D55"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Ethics in Government Act of 1978 (5 U.S.C. App.) is amended by inserting after title I the following:</text><quoted-block style="OLC" display-inline="no-display-inline" id="H8F380D5A109344528B758C1457B276AC"><title id="HE4A6DC29C0204EEAAAC98E9F7A054FF6" style="OLC"><enum>II</enum><header>Restrictions Regarding Financial Instruments</header><section id="H9DE86371A9AA4E92BEF4DF8574A89FB4"><enum>201.</enum><header>Definitions</header><text display-inline="no-display-inline">In this title:</text><paragraph id="HE8DE93C115A94DC7B3249774E0DB843F"><enum>(1)</enum><header>Covered financial instrument</header><subparagraph id="HDA8F0473F4734A5E94FA4B573C03E28F"><enum>(A)</enum><header>In general</header><text>The term <term>covered financial instrument</term> means—</text><clause id="HF705F91F074A47BF936C5A9BCE8E8D44"><enum>(i)</enum><text>any investment in—</text><subclause id="H2A4A11642F5643CBA2CEA3D8B0226E60"><enum>(I)</enum><text>a security (as defined in section 3(a) of Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>));</text></subclause><subclause id="H04E4FB07D53545D89100B4B9F1AE2272"><enum>(II)</enum><text>a security future (as defined in that section); or</text></subclause><subclause id="H91E78EF4554747519806A35AA44039CF"><enum>(III)</enum><text>a commodity (as defined in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>)); and</text></subclause></clause><clause id="H4B19A09F0D81487FA6846C7A17C3DE4B"><enum>(ii)</enum><text>any economic interest comparable to an interest described in clause (i) that is acquired through synthetic means, such as the use of a derivative, including an option, warrant, or other similar means.</text></clause></subparagraph><subparagraph id="HDCAF3640FD2B4FE18BD26EDF0DC9D1F9"><enum>(B)</enum><header>Exclusions</header><text>The term <term>covered financial instrument</term> does not include—</text><clause id="H59839B7E89E1493EB07165685AA546CC"><enum>(i)</enum><text>a diversified mutual fund;</text></clause><clause id="H422E205FD6ED4614A0EC81C1AC77AAE8"><enum>(ii)</enum><text>a diversified exchange-traded fund; </text></clause><clause id="H62F58D9A6D584425977AA16AA712F706"><enum>(iii)</enum><text display-inline="yes-display-inline">a United States Treasury bill, note, or bond; or</text></clause><clause id="HAB97B08A724143A3A3F87F69D9F7CFF2"><enum>(iv)</enum><text display-inline="yes-display-inline">compensation from the primary occupation of a spouse or dependent child of a senior Federal employee.</text></clause></subparagraph></paragraph><paragraph id="H25E24811C618498797489588DFA253E2"><enum>(2)</enum><header>Qualified blind trust</header><text>The term <term>qualified blind trust</term> has the meaning given the term in section 102(f)(3).</text></paragraph><paragraph id="H86197228A0CB422A9E4C64C15BBE8C19"><enum>(3)</enum><header>Senior Federal employee</header><text display-inline="yes-display-inline">The term <term>senior Federal employee</term> means any individual occupying a Senior Executive Service position (as that term is defined in section 3132 of title 5, United States Code).</text></paragraph><paragraph id="H29B2D3682BFB41B2817DBB73033EA56B"><enum>(4)</enum><header>Supervising ethics office</header><text display-inline="yes-display-inline">The term <term>supervising ethics office</term> has the meaning given the term in section 109.</text></paragraph></section><section id="H18A8120E65154AB2A22FBE768A9DA602"><enum>202.</enum><header>Prohibition on certain transactions and holdings involving covered financial instruments</header><subsection id="HEE312BF572C94DE8A6750BFF557A5DD6"><enum>(a)</enum><header>Prohibition</header><text display-inline="yes-display-inline">Except as provided in subsection (b), a senior Federal employee, their spouse, or their dependent children may not, during the term of service of the employee, hold, purchase, or sell any covered financial instrument.</text></subsection><subsection id="H1C6D9F8D171D45D2A9ACDB97094668B6"><enum>(b)</enum><header>Exceptions</header><text>The prohibition under subsection (a) does not apply to—</text><paragraph id="H43BC7C5261EF44FA8AB23244D2589D1E"><enum>(1)</enum><text display-inline="yes-display-inline">a sale by a senior Federal employee, their spouse, or their dependent child that is completed by the date that is—</text><subparagraph id="H3F2C0776BD0E49E08253B881C9597BD8"><enum>(A)</enum><text display-inline="yes-display-inline">for an employee serving on the date of enactment of this title, 180 days after that date of enactment; and</text></subparagraph><subparagraph id="HF852F9B4BAF04FBB9A3D63F8F999D5B1"><enum>(B)</enum><text display-inline="yes-display-inline">for any employee who commences service as an employee after the date of enactment of this title, 180 days after the first date of the initial term of service; </text></subparagraph></paragraph><paragraph id="H0633B4B8869448698B28EC6E0A36095A"><enum>(2)</enum><text display-inline="yes-display-inline">a covered financial instrument held in a qualified blind trust operated on behalf of, or for the benefit of, a senior Federal employee, their spouse, or their dependent child; or</text></paragraph><paragraph id="H0BAC213056344DCEBD3F44CE302C2C16"><enum>(3)</enum><text>a covered financial instrument exempted from coverage under section 208 of title 18, United States Code, pursuant to section 2640.202 of title 5, Code of Federal Regulations (or any successor regulation).</text></paragraph></subsection><subsection id="H4430CB8E66C74524838F647CF0091ED2" commented="no" display-inline="no-display-inline"><enum>(c)</enum><header>Application of certificate of divestiture program</header><text display-inline="yes-display-inline">For purposes of <external-xref legal-doc="usc" parsable-cite="usc/26/1043">section 1043</external-xref> of the Internal Revenue Code of 1986—</text><paragraph id="H6743EADC99AD412D81FB10373C7563EF" commented="no"><enum>(1)</enum><text display-inline="yes-display-inline">this section shall be treated as a Federal conflict of interest statute; and</text></paragraph><paragraph id="HCB67240299EF4A74AED52B9839E9C659" commented="no"><enum>(2)</enum><text display-inline="yes-display-inline">any person required to dispose of any property by reason of this section shall be treated as an eligible person.</text></paragraph></subsection><subsection id="HC5CDC69B18F5452C82F96992C6E74938"><enum>(d)</enum><header>Penalties</header><paragraph id="HA607570F4DEC4374A80B4B8BC1820660"><enum>(1)</enum><header>Disgorgement</header><text display-inline="yes-display-inline">A senior Federal employee, their spouse, or their dependent child shall disgorge to the general fund of the Treasury any profit from a transaction or holding involving a covered financial instrument that is conducted in violation of this section.</text></paragraph><paragraph id="H0E61C9471A6F4FB49C72FEF5E1020919"><enum>(2)</enum><header>Income tax</header><text display-inline="yes-display-inline">A loss from a transaction or holding involving a covered financial instrument that is conducted in violation of this section may not be deducted from the amount of income tax owed by the applicable senior Federal employee, their spouse, or their dependent child.</text></paragraph><paragraph id="H4625D1D2ADF143F1951FF1071D6D3434"><enum>(3)</enum><header>Fines</header><text display-inline="yes-display-inline">A senior Federal employee who holds or conducts a transaction involving a covered financial instrument in violation of this section may be subject to a civil fine assessed by the supervising ethics office under section 204.</text></paragraph></subsection></section><section id="HF390AF24819F4B46876A390A2F46404B"><enum>203.</enum><header>Certification of compliance</header><subsection id="H068151D5703C4CB6AE4230D78643AC5D"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Not less frequently than annually, each senior Federal employee shall submit to the supervising ethics office a written certification that the employee, their spouse, or their dependent child has achieved compliance with the requirements of this title.</text></subsection><subsection id="H887C6F715B2E448BA072B18030186ED3"><enum>(b)</enum><header>Publication</header><text display-inline="yes-display-inline">The supervising ethics office shall publish each certification submitted under subsection (a) on a publicly available website.</text></subsection></section><section id="H89B91C1339074060BD722A5C16487510"><enum>204.</enum><header>Authority of supervising ethics office</header><subsection id="H78CC9DB185A2450CA159BA5E8B7F51D2"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The supervising ethics office may implement and enforce the requirements of this title, including by—</text><paragraph id="HAF297E57A3CB4BC9B2EB8FA79B573418"><enum>(1)</enum><text>issuing—</text><subparagraph id="HD10601EC1F094920B8DB580DDF75C0BD"><enum>(A)</enum><text display-inline="yes-display-inline">for applicable senior Federal employees—</text><clause id="HF0221C47C38047EC8CACE853526B677E"><enum>(i)</enum><text>rules governing that implementation; and</text></clause><clause id="HD9738BE421634696B2054AB8B394457F"><enum>(ii)</enum><text display-inline="yes-display-inline">1 or more reasonable extensions to achieve compliance with this title, if the supervising ethics office determines that an employee is making a good faith effort to divest any covered financial instruments; and</text></clause></subparagraph><subparagraph id="H8D12274F4EB2489189FBB7A9FA5BC45D"><enum>(B)</enum><text>guidance relating to covered financial instruments;</text></subparagraph></paragraph><paragraph id="HEBB5892F25784BFCA46BFD66C06CD2FC"><enum>(2)</enum><text display-inline="yes-display-inline">publishing on the internet certifications submitted by senior Federal employees under section 203(a); and</text></paragraph><paragraph id="H9A581CA9D88444078A580F61493EE474"><enum>(3)</enum><text display-inline="yes-display-inline">assessing civil fines against any senior Federal employee who is in violation of this title, subject to subsection (b).</text></paragraph></subsection><subsection id="H9D118FE7F57D4594A2B5F45C999C148F"><enum>(b)</enum><header>Requirements for civil fines</header><paragraph id="H36DF11A2F69349D296BD61710DDAFF25"><enum>(1)</enum><header>Amount</header><text>A fine imposed under this section against a senior Federal employee shall be equal to the greater of—</text><subparagraph id="H1A9CEDEA10724C4B885E85BACAD4A90F"><enum>(A)</enum><text>$1,000, or</text></subparagraph><subparagraph id="HD9CDDFB849084B3CB33998B3A67CE9E4"><enum>(B)</enum><text>an amount equal to 10 percent of the greatest dollar value of the applicable covered financial instrument during any period that such instrument was held by the applicable senior Federal employee or their spouse or dependent child (as the case may be).</text></subparagraph></paragraph><paragraph id="H68468C4119BC408788CCC55B9CCF88F0"><enum>(2)</enum><header>In general</header><text display-inline="yes-display-inline">Before imposing a fine pursuant to this section, the supervising ethics office shall provide to the applicable senior Federal employee—</text><subparagraph id="HAE59DD6CFE7F4402BBE446A1FF7757D7"><enum>(A)</enum><text>a written notice describing each covered financial instrument transaction for which a fine will be assessed; and</text></subparagraph><subparagraph id="H27C42C5070BA402FAA66BC4D6F62ECC1"><enum>(B)</enum><text>an opportunity, with respect to each such covered financial instrument transaction—</text><clause id="HBD88D9F3560C4E8E935F66F9D4653A19"><enum>(i)</enum><text>for a hearing; and</text></clause><clause id="H6D645BDF238C41DEB10C1B077EA83B00"><enum>(ii)</enum><text>to achieve compliance with the requirements of this title.</text></clause></subparagraph></paragraph><paragraph id="H4E1AD16A95214F79898717FCF9A0ECAB"><enum>(3)</enum><header>Publication</header><text display-inline="yes-display-inline">The supervising ethics office shall publish on a publicly available website a description of—</text><subparagraph id="H131CCDDBE5054ACBA30B819EA607B9E2"><enum>(A)</enum><text>each fine assessed pursuant to this section;</text></subparagraph><subparagraph id="HC92062FC43D44BCD938676FC2C355D84"><enum>(B)</enum><text>the reasons why each such fine was assessed; and</text></subparagraph><subparagraph id="HB1B3FCF688614D4BBFC6B5616F57659A"><enum>(C)</enum><text>the result of each assessment, including any hearing under paragraph (2)(B)(i) relating to the assessment.</text></subparagraph></paragraph><paragraph id="H170E9A0BDC744A46AEB9F94BC6E62088"><enum>(4)</enum><header>Appeal</header><text display-inline="yes-display-inline">A senior Federal employee may appeal to the supervising ethics office a fine assessed under this section during the 30-day period beginning on the date the fine is so assessed.</text></paragraph></subsection></section><section id="H37123E37B2C942879F4B61767AAFAAE4"><enum>205.</enum><header>Audit by Government Accountability Office</header><text display-inline="no-display-inline">Not later than 2 years after the date of enactment of this title, the Comptroller General of the United States shall—</text><paragraph id="HA769ADA5CA5844BE842BE620C1D49882"><enum>(1)</enum><text display-inline="yes-display-inline">conduct an audit of the compliance by senior Federal employees with the requirements of this title; and</text></paragraph><paragraph id="H54EA2233E8E84BDFB2BE398FE491F660"><enum>(2)</enum><text display-inline="yes-display-inline">submit to each supervising ethics office a report describing the results of the audit conducted under paragraph (1).</text></paragraph></section></title><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H09AFD1CE92344498A0EADB54E33E69E9" commented="no" display-inline="no-display-inline"><enum>(b)</enum><header>Application</header><text display-inline="yes-display-inline">The amendments made by subsection (a) shall apply to individuals described in <external-xref legal-doc="usc-act" parsable-cite="usc-act/Ethics in Government Act of 1978 /202">section 202(a)</external-xref> of the Ethics in Government Act of 1978 (5 U.S.C. App.) beginning on the date that is 12 months following the date of enactment of this Act.</text></subsection><subsection id="HEA22452FE01B4BCAB6EF2EA4316508FB" commented="no"><enum>(c)</enum><header>Additional employees</header><text display-inline="yes-display-inline">Section 401(c)(1) of the Ethics in Government Act of 1978 (5 U.S.C. App.) is amended by inserting <quote>up to 100</quote> after <quote>appoint</quote>.</text></subsection><subsection id="H4A5CC396CEFC484DA06F4AD20C568663"><enum>(d)</enum><header>Funding</header><text display-inline="yes-display-inline">The Director of the Office of Management and Budget may transfer such funds as the Director considers appropriate, to be derived from unobligated amounts available for executive branch programs identified by the Director to be duplicative, to the Office of Government Ethics for the purpose of carrying out this Act, to remain available until the date that is 5 years following the date of the enactment of this Act.</text></subsection><subsection id="H39AA99C26965408AA6E213EC2ADD59D0"><enum>(e)</enum><header>Conforming amendments</header><paragraph id="H946CB6A667734144A23E90B11C8C0F41"><enum>(1)</enum><text>Section 109 of the Ethics in Government Act of 1978 (5 U.S.C. App.) is amended—</text><subparagraph id="H06AF4F3390274FB4A07BAF3CCEB69B4E"><enum>(A)</enum><text>in the matter preceding paragraph (1), by striking <quote>For the purposes of this title, the term—</quote> and inserting <quote>In this title:</quote>;</text></subparagraph><subparagraph id="H86A3FBC418D248168B01A82DED37D0D0"><enum>(B)</enum><text>in paragraph (1), by striking <quote>means</quote> and all that follows through <quote>Representatives;</quote> and inserting the following: </text><quoted-block style="OLC" display-inline="yes-display-inline" id="H69121853711A422F82DE874B9D5C4E95"><text>means, as applicable—</text><subparagraph id="HA06BDEA1008149E39DF558E3B1400268"><enum>(A)</enum><text>the Select Committee on Ethics of the Senate; and</text></subparagraph><subparagraph id="HAD2DE534B8FA4E189D296A77EB00198C"><enum>(B)</enum><text>the Committee on Ethics of the House of Representatives.</text></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="HA0D1396929654E839D29601ED64F4BAC"><enum>(C)</enum><text>in each of paragraphs (2) through (17), by striking the semicolon at the end of the paragraph and inserting a period;</text></subparagraph><subparagraph id="HD7DC54E1C7D54D14A48D6BFFF6999647"><enum>(D)</enum><text>in paragraph (18)—</text><clause id="H4C878899B5484BD28F8FC5285920F246"><enum>(i)</enum><text>in subparagraph (B), by striking <quote>Standards of Official Conduct</quote> and inserting <quote>Ethics</quote>; and</text></clause><clause id="H147EEE06CE5042479B40C504B07CAB48"><enum>(ii)</enum><text>in subparagraph (D), by striking <quote>; and</quote> at the end and inserting a period;</text></clause></subparagraph><subparagraph id="H4129CC2398104BAD804678736182AAF0"><enum>(E)</enum><text>in each of paragraphs (1) through (19)—</text><clause id="H8A4216F954D145CFBCCA2DCA2AA3D67D"><enum>(i)</enum><text>by inserting <quote>The term</quote> after the paragraph designation; and</text></clause><clause id="HDED9D7D46EB54E868F428798F2BA916C"><enum>(ii)</enum><text>by inserting a paragraph heading, the text of which is comprised of the term defined in that paragraph; and</text></clause></subparagraph><subparagraph id="HA88BF27E766149A3BC327498B3646D5E"><enum>(F)</enum><text>by redesignating paragraphs (8) and (9) as paragraphs (9) and (8), respectively, and moving the paragraphs so as to appear in numerical order.</text></subparagraph></paragraph><paragraph id="HA9979545E8874E5E916172F228D2A32D"><enum>(2)</enum><text>Section 101(f) of the Ethics in Government Act of 1978 (5 U.S.C. App.) is amended—</text><subparagraph id="HBBEE49A4D7744A9C83C10F1E52E46CF1"><enum>(A)</enum><text>in paragraph (9), by striking <quote>as defined under section 109(12)</quote>;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HA160CA063BEC4AEC9E9E0E37869BBF3C"><enum>(B)</enum><text display-inline="yes-display-inline">in paragraph (10), by striking <quote>as defined under section 109(13)</quote>;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HE5CF611158404A08BF6602DC9EAF7792"><enum>(C)</enum><text display-inline="yes-display-inline">in paragraph (11), by striking <quote>as defined under section 109(10)</quote>; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HFC28B47D312E4CDBB1560E5C5D5AAA6C"><enum>(D)</enum><text display-inline="yes-display-inline">in paragraph (12), by striking <quote>as defined under section 109(8)</quote>.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H4DFCBDCAA74F4B4C894B129C0B4451BE"><enum>(3)</enum><text display-inline="yes-display-inline">Section 103 of the Ethics in Government Act of 1978 (5 U.S.C. App.) is amended—</text><subparagraph display-inline="no-display-inline" commented="no" id="H4A1C468C892A477EBFB9ECF71759B4F4"><enum>(A)</enum><text>in subsection (j)(1), by striking <quote>Standards of Official Conduct</quote> and inserting <quote>Ethics</quote>; and</text></subparagraph><subparagraph display-inline="no-display-inline" commented="no" id="H61151DF680A74EB6ACCE9CC32566F437"><enum>(B)</enum><text>in subsection (<italic>l</italic>)—</text><clause commented="no" display-inline="no-display-inline" id="HAD3768AEAAC64D659850C3BEF9260BB4"><enum>(i)</enum><text display-inline="yes-display-inline">in paragraph (9), by striking <quote>, as defined under section 109(12)</quote>; and</text></clause><clause commented="no" display-inline="no-display-inline" id="H70052BE7E4F74204AE301041732647F8"><enum>(ii)</enum><text display-inline="yes-display-inline">in paragraph (10), by striking <quote>, as defined under section 109(13)</quote>.</text></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H9A088E49BD174592B47344888C4B25FC"><enum>(4)</enum><text display-inline="yes-display-inline">Section 105(b)(3)(A) of the Ethics in Government Act of 1978 (5 U.S.C. App.) is amended by striking <quote>described in section 109(8) or 109(10) of this Act</quote> and inserting <quote>who is a judicial employee or judicial officer</quote>.</text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="H71BF253815A84CF4BEE9D102AE753FC3"><enum>(5)</enum><text>Section 111(2) of the Ethics in Government Act of 1978 (5 U.S.C. App.) is amended by striking <quote>Standards of Official Conduct</quote> and inserting <quote>Ethics</quote>.</text></paragraph><paragraph display-inline="no-display-inline" commented="no" id="HECB2EE0113904E6FA7644E9104E207A8"><enum>(6)</enum><text>Section 402 of the Ethics in Government Act of 1978 (5 U.S.C. App.)</quote> and inserting <quote>officer or employee of the Congress (as defined in <external-xref legal-doc="usc-act" parsable-cite="usc-act/Ethics in Government Act of 1978 /109">section 109</external-xref> of the Ethics in Government Act of 1978 (5 U.S.C.
