which was referred to the <committee-name committee-id="HED00">Committee on Education and Labor</committee-name>, and in addition to the Committees on <committee-name committee-id="HBA00">Financial Services</committee-name>, <committee-name committee-id="HFA00">Foreign Affairs</committee-name>, and <committee-name committee-id="HIF00">Energy and Commerce</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Higher Education Act of 1965 to strengthen oversight and disclosures relating to foreign support for institutions of higher education, and for other purposes.</official-title></form><legis-body id="HA98DE6D375374613B8DD2A13703472A8" style="OLC"><section id="H54DDAA6CEF5C4D4BBD7CA13BE959B625" section-type="section-one"><enum>1.</enum><header>Disclosures of foreign gifts and contracts</header><subsection id="H462483E1C2C640C2BAEE64B0D1D945F1"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f</external-xref>) is amended to read as follows:</text><quoted-block style="OLC" id="H3845E6839D2E4D56A569CCA11E15B617" display-inline="no-display-inline"><section id="H77B881D0EF5F4DE4BCEF461F16C5CE6F"><enum>117.</enum><header>Disclosures of foreign gifts and contracts</header><subsection id="H370E57EA751648E8A444545B53DD0532"><enum>(a)</enum><header>Disclosures</header><paragraph id="H86ABC54EF510492FA6A7F410FBBFE39D"><enum>(1)</enum><header>Aggregate gifts and contracts</header><subparagraph id="H3ED104780943423A9D51888EDB4E63F1"><enum>(A)</enum><header>Disclosure required</header><text>Except as provided in subsection (b), whenever an institution receives a gift from or enters into a contract with a foreign source, the value of which is $50,000 or more, considered alone or in combination with all other gifts from or contracts with that foreign source within a calendar year the institution shall file a disclosure report with the Office for Foreign Gifts and Contracts Oversight on January 31 or July 31, whichever is sooner.</text></subparagraph><subparagraph id="HC28567AF6F3F4DD6852B21C8CFEE690D"><enum>(B)</enum><header>Contents of disclosure</header><text display-inline="yes-display-inline">Each report under subparagraph (A) shall include the following:</text><clause id="H8E38FBFE017F44E882BEE66127C6E1FE"><enum>(i)</enum><text>For gifts received from or contracts entered into with a foreign government, the aggregate amount of such gifts and contracts received from each foreign government, including the content of each such contract.</text></clause><clause id="HA55F10D150BF4FFCB8B4E5D1C8EDE548"><enum>(ii)</enum><text>For gifts received from or contracts entered into with a foreign source other than a foreign government, the aggregate dollar amount of such gifts and contracts attributable to a particular country, the legal or formal name of the foreign sources, and the content of each such contract.</text></clause></subparagraph><subparagraph id="H377E9DA14E974E2FB1C6E7545643CDCB" display-inline="no-display-inline"><enum>(C)</enum><header>Attribution</header><text>For purposes of subparagraph (B)(ii), the country to which a gift or contract is attributable is—</text><clause id="HFE9B0BEDC0DA4402B9BF7FF7F7603472"><enum>(i)</enum><text>in the case of a gift from or contract entered into with a foreign source who is a natural person, that person’s country of citizenship, or if unknown, that person’s principal country residence; or</text></clause><clause id="H4EBE8A7EE3144D7EB9B25B34AF873104"><enum>(ii)</enum><text display-inline="yes-display-inline">in the case of a gift from or contract entered into with a foreign source which is a legal entity, the entity’s principal place of business or, if unknown, the entity’s country of incorporation.</text></clause></subparagraph></paragraph><paragraph id="H7E00677C76A24578B80A4AE243756D57"><enum>(2)</enum><header>Gifts or contracts with undetermined monetary value</header><subparagraph id="H6E18681069A24384BC8865AC5F82EE7E"><enum>(A)</enum><header>Disclosure required</header><text>Except as provided in subsection (b), whenever an institution receives a gift from or enters into a contract with a foreign source the value of which is not readily ascertainable, the institution shall file a disclosure report with the Office for Foreign Gifts and Contracts Oversight on January 31 or July 31, whichever is sooner.</text></subparagraph><subparagraph id="H12F9A2AA4D21481BBA5D0123C6655E24"><enum>(B)</enum><header>Contents of disclosure</header><text display-inline="yes-display-inline">Each report under subparagraph (A) shall include the information described in paragraph (1)(B).</text></subparagraph></paragraph><paragraph id="HC556240B4EAF47ABA1B6D7862C450327"><enum>(3)</enum><header>Ownership or control by foreign source</header><subparagraph id="H31E240BBD0BB47F2943611B9C37B1F8A"><enum>(A)</enum><header>Disclosure required</header><text>Whenever an institution is owned or controlled by a foreign source the institution shall file a disclosure report with the Office for Foreign Gifts and Contracts Oversight on January 31 or July 31, whichever is sooner.</text></subparagraph><subparagraph id="H87A22F8386804F5F8A9334EDDC4CAB0B"><enum>(B)</enum><header>Contents of disclosure</header><text>Each report under subparagraph (A) shall include the following:</text><clause id="H5146866B970B45E3B2FF6D097B538908"><enum>(i)</enum><text>the information described in paragraph (1)(B) (without regard to any gift or contract threshold described in paragraph (1)(A));</text></clause><clause id="H898BBB43A3D948B0946ED1C6F12481F8"><enum>(ii)</enum><text>the identity of the foreign source that owns or controls the institution;</text></clause><clause id="H4EDAC641D3864134A2123E93A57E1EBD"><enum>(iii)</enum><text>the date on which the foreign source assumed ownership or control; and</text></clause><clause id="H6F61CD3329EB4A83A9693D63E898F90D"><enum>(iv)</enum><text>any changes in the programs or organizational structure of the institution resulting from the change in ownership or control.</text></clause></subparagraph></paragraph><paragraph id="H26EEDC4744494E29A13F0A923D02BC6F" display-inline="no-display-inline"><enum>(4)</enum><header>Restricted and conditional gifts</header><subparagraph id="HCE5D2843090D4961AAC5A46A4F1034A7"><enum>(A)</enum><header>Disclosure required</header><text display-inline="yes-display-inline">Except as provided in subsection (b), whenever any institution receives a restricted or conditional gift from or enters into a restricted or conditional contract with a foreign source (regardless of the value of such gift or contract) the institution shall file a disclosure report with the Office for Foreign Gifts and Contracts Oversight on January 31 or July 31, whichever is sooner.</text></subparagraph><subparagraph id="H0AF3C92EF38645E8992410A0271F86C0"><enum>(B)</enum><header>Contents of disclosure</header><text>Each report under subparagraph (A) shall include the following:</text><clause id="H5401797096274672A6FA13C66F2FB5CE"><enum>(i)</enum><header>Nongovernmental sources</header><text>For gifts received from or contracts entered into with a foreign source other than a foreign government, the amount, the date, and a description of such conditions or restrictions. The report shall also disclose the country of citizenship, or if unknown, the principal residence for a foreign source who is a natural person, and the country of incorporation, or if unknown, the principal place of business for a foreign source which is a legal entity.</text></clause><clause id="HF275C077487B41639F8E5A00EC89B410"><enum>(ii)</enum><header>Governmental sources</header><text>For gifts received from or contracts entered into with a foreign government, the amount, the date, a description of such conditions or restrictions, and the name of the foreign government.</text></clause></subparagraph></paragraph></subsection><subsection id="HADA7A0AD6F364669853DAC3EFA3C5BDD"><enum>(b)</enum><header>Limitation on acceptance of certain gifts and contracts</header><paragraph id="H468553D3DE4F4445BF6E3EF1F55302C7"><enum>(1)</enum><header>Approval required</header><text>An institution may not accept a gift or enter into a contract described in paragraph (3) unless—</text><subparagraph id="HCA7D365BF83E48A38B1241B8A2E61587"><enum>(A)</enum><text>the institution files a disclosure report with the Office for Foreign Gifts and Contracts Oversight that includes—</text><clause id="H7D3199913E6742E09D6503F6088E8BF7"><enum>(i)</enum><text>the dollar amount of the intended gift or contract; </text></clause><clause id="HFB553640B60145F68B407907211DE747"><enum>(ii)</enum><text display-inline="yes-display-inline">all terms and conditions of the intended gift or contract; and</text></clause><clause id="H94039D331FC94AA386AF72B39D31A303"><enum>(iii)</enum><text>the legal or formal name of the foreign source or associate of a foreign adversary that intends to make the gift or enter into the contract and—</text><subclause id="HAF874823C0204F0491DD237BF305AC92"><enum>(I)</enum><text>in the case of a foreign source or associate of a foreign adversary who is a natural person, that person’s country of citizenship, or if unknown, that person’s principal country of residence; or</text></subclause><subclause id="H45CFB74646664D1B8175A62D12C059F0"><enum>(II)</enum><text>in the case of a foreign source or associate of a foreign adversary which is a legal entity, the entity’s principal place of business, if unknown, the entity’s country of incorporation;</text></subclause></clause></subparagraph><subparagraph id="HA6085D2F9E754D19B25AE1DD4063846F"><enum>(B)</enum><text>an authorized official of the institution certifies to the Secretary that acceptance of the gift or contract—</text><clause id="H93408341D70144EC95D13F470DFCAF44"><enum>(i)</enum><text>will not pose risks to the national security interests of the United States;</text></clause><clause id="HFC859FE76DDD4DEF902D81E365B484AF"><enum>(ii)</enum><text display-inline="yes-display-inline">will not compromise the competitiveness of the United States in the field to which the gift or contract pertains; and</text></clause><clause id="HA3752C1CC0A64C6C831804C2ACBB186B"><enum>(iii)</enum><text display-inline="yes-display-inline">will not result in any restrictions on academic freedom or discourse, including by influencing the hiring of faculty, the acceptance of students, or the content of instruction in a manner favorable to the interests of the foreign source or associate of a foreign adversary that intends to make the gift or enter into the contract; and</text></clause></subparagraph><subparagraph id="H860E4A8322F24E279FA059C3890EEE45"><enum>(C)</enum><text display-inline="yes-display-inline">the Secretary, acting through the Office for Foreign Gifts and Contracts Oversight—</text><clause id="HFF5FAC6CACD24F959D0551CA5D318E8D"><enum>(i)</enum><text>thoroughly reviews and verifies the information submitted by the institution under subparagraphs (A) and (B);</text></clause><clause id="H54A308B41D224CF6B8816F2372E23826"><enum>(ii)</enum><text>makes a determination, in writing, to approve the gift or contract; and</text></clause><clause id="HCE1D219F1B9A4481A301D269F22179EF"><enum>(iii)</enum><text>transmits such approval to the institution.</text></clause></subparagraph></paragraph><paragraph id="H39F8E44A62B442DA95399A4FB5892009"><enum>(2)</enum><header>Notice of disapproval</header><text display-inline="yes-display-inline">If the Secretary disapproves a gift or contract under paragraph (1)(C) the Secretary shall transmit notice of such disapproval to the institution.</text></paragraph><paragraph id="H46054A98D6ED425187BD0F430CFD218B"><enum>(3)</enum><header>Gifts and contracts described</header><text>The gifts and contracts described in this paragraph are the following:</text><subparagraph id="H46A3A8E7A645449E9DFF6215D341EF7B"><enum>(A)</enum><text display-inline="yes-display-inline">Any gift from or contract with an associate of a foreign adversary the value of which is $10,000 or more, considered alone or in combination with all other gifts from or contracts with such person or entity.</text></subparagraph><subparagraph id="H68EB42D6A3F84212A0CDBAA5E2B16A4B"><enum>(B)</enum><text display-inline="yes-display-inline">Any gift from or contract with a foreign source (regardless of the value of such gift or contract) that relates to the research, development, or production of critical technologies and, in consideration for which, a foreign source would be granted access to material nonpublic technical information held by an institution.</text></subparagraph></paragraph><paragraph id="H6E6F7EF36C36410FA5FAF43F3EE5CDB8"><enum>(4)</enum><header>Criteria for heightened scrutiny</header><text>In making a determination whether to approve or disapprove a gift or contract under paragraph (1)(C), the Secretary shall apply a heightened standard of scrutiny to any gift or contract that relates to one or more of the following:</text><subparagraph id="H2AF0EB8E6C384F7499F19B41E60AB852"><enum>(A)</enum><text display-inline="yes-display-inline">Critical technologies.</text></subparagraph><subparagraph id="HC33F8852C8C847A4A2B5AF8F0B0F9735"><enum>(B)</enum><text>Biotechnology.</text></subparagraph><subparagraph id="HF248774B5A694827936D3101B5F69B4B"><enum>(C)</enum><text>Pharmaceuticals.</text></subparagraph><subparagraph id="H5B7A9AE55D3A49A7A42ED9633BA1F24E"><enum>(D)</enum><text>Artificial intelligence.</text></subparagraph><subparagraph id="H05AF8FA75CC040ABBB15E274F101D5E3"><enum>(E)</enum><text>Quantum computing.</text></subparagraph><subparagraph id="H4F2B2CC0292040A490F9D324E4F9F1FD"><enum>(F)</enum><text>Machine learning.</text></subparagraph><subparagraph id="H5EB5C124BAF04685BF0F46BB1B66663B"><enum>(G)</enum><text>Technologies with military applications.</text></subparagraph><subparagraph id="H21597B7482E04D2BB3707790EE9A4589"><enum>(H)</enum><text>Any other area of science, technology, engineering, or mathematics.</text></subparagraph></paragraph></subsection><subsection id="HBBA8C55407FB4E66B5CC9AFCB93E8988"><enum>(d)</enum><header>Availability of documentation</header><text>As part of each disclosure required under this section, an institution shall provide to the Secretary an assurance that the institution will, upon request of the Secretary, produce true copies of any documentation relating to any gift, contract, or change in ownership or control subject to such disclosure requirements.</text></subsection><subsection id="H5D581BF4A2C04D1DBFDCC0D3997AAD81"><enum>(e)</enum><header>Translations</header><text display-inline="yes-display-inline">Each report required to be submitted under this section and any documentation made available under subsection (d) shall be provided in the English language. If any part of such report or documentation requires translation from another language into English for purposes of meeting the requirements of this subsection, the institution shall ensure that the translation is performed by a third party unaffiliated with institution or the foreign source concerned.</text></subsection><subsection id="H12130E2E1A5949108EBD3130F284EDA5"><enum>(f)</enum><header>Relation to other reporting requirements</header><paragraph id="H57CB9EFC3CF6407DABF22536E285E111"><enum>(1)</enum><header>State requirements</header><text>If an institution subject to the disclosure requirements of subsection (a) is within a State which has enacted requirements for public disclosure of gifts from or contracts with a foreign source that are substantially similar to the requirements of this section, a copy of the disclosure report filed with the State may be filed with the Secretary in lieu of a report required under such subsection. The State in which the institution is located shall provide to the Secretary such assurances as the Secretary may require to establish that the institution has met the requirements for public disclosure under State law if the State report is filed.</text></paragraph><paragraph id="H2040D6A963A94164AB3ECB861A1FC680"><enum>(2)</enum><header>Use of other Federal reports</header><text>If an institution receives a gift from, or enters into a contract with, a foreign source, where any other department, agency, or bureau of the executive branch requires a report containing requirements substantially similar to those required under this section, a copy of the report may be filed with the Secretary in lieu of a report required under subsection (a).</text></paragraph></subsection><subsection id="HDE10FAEE2F40408EB7770B8D845601F3"><enum>(g)</enum><header>Public Disclosure and Modification of Reports</header><paragraph id="HD88E90E8E3D240A1A66BFB21BB4C2EED"><enum>(1)</enum><header>In general</header><text>Not later than 30 days after receiving a disclosure report under this section, the Secretary shall make the full text of the report publicly available on the database established under paragraph (2).</text></paragraph><paragraph id="H58303D4CEEE54FB1AFE58244F7097A85"><enum>(2)</enum><header>Database</header><text>The Secretary of Education shall establish a database of the reports submitted to the Secretary under this section. The database shall be hosted on a publicly accessible website of the Department of Education and the reports posted to the database shall be made available in an electronic format that—</text><subparagraph id="H5C84CA0CE2A54CC29739CF1E06BA62D9"><enum>(A)</enum><text>includes the full text of each report and any supporting documentation relating to the report;</text></subparagraph><subparagraph id="HC818BF7DD3F04F5B8CE43DE91E933507"><enum>(B)</enum><text>is downloadable, searchable, and sortable; and</text></subparagraph><subparagraph id="HCE011B4E39444ABBBE9539AD9C81303E"><enum>(C)</enum><text display-inline="yes-display-inline">allows a user of the database to compare institutions based on the types and amounts of foreign support received by such institutions.</text></subparagraph></paragraph></subsection><subsection id="H498C6DFE801E4D41B3AC4A1596F38C96"><enum>(h)</enum><header>Modifications</header><text>The Secretary shall establish a process to enable institutions to revise and update previously filed disclosure reports under this section to ensure accuracy, compliance, and ability to cure.</text></subsection><subsection id="HB5A9942816FE43A68CF7D73A42FFCE27"><enum>(i)</enum><header>Sanctions for Noncompliance</header><paragraph id="H64E5C502BFB9414F8B28631F8985B5D8"><enum>(1)</enum><header>In general</header><text>As a sanction for noncompliance with the requirements of this section, the Secretary of Education shall impose a fine on an institution that, in any year, knowingly or willfully violates this section, that is—</text><subparagraph id="H1107A7A04193438DB871E29D838C517A"><enum>(A)</enum><text display-inline="yes-display-inline">in an amount equal to at least 10 percent of the value of the gift or contract but not more than the total amount of the gift or contract with the foreign source in the case of—</text><clause id="H2C9AD787F94F4BCCA0CF2DC804CF81AD"><enum>(i)</enum><text>a failure to disclose a gift or contract with a foreign source as required under this section; or</text></clause><clause id="H73CA63F5A6D048839A3E2CBF22A1D295"><enum>(ii)</enum><text>a failure to comply with subsection (d) or (e) with respect to such gift or contract;</text></clause></subparagraph><subparagraph id="H95B2623ABFEF46059BDA39F4E10FC3E3"><enum>(B)</enum><text display-inline="yes-display-inline">in an amount that is not more than 25 percent of the total amount of funding received by the institution under this Act, as described in paragraph (3), for the year in which the violation occurred in the case of—</text><clause id="H67A73A568A0E4F75AE127631612D7B52"><enum>(i)</enum><text>a failure to disclose ownership or control by a foreign source in violation of the requirements of subsection (a)(3); or</text></clause><clause id="H85FAB9D0448C42FBA138CBDA3A19B638"><enum>(ii)</enum><text display-inline="yes-display-inline">a failure to comply with subsection (d) or (e) with respect to such disclosure; or</text></clause></subparagraph><subparagraph id="H7E871393F97548BFA6ADFE9CAD0FAF53"><enum>(C)</enum><text display-inline="yes-display-inline">in the case of a failure to comply with subsection (b)—</text><clause id="H832725CE37194B1C8425D6B8010E8E4E"><enum>(i)</enum><text>in an amount equal to the value of the gift or contract; or</text></clause><clause id="H4CFC3716B79C4024AC4200C06A54BB09"><enum>(ii)</enum><text>not less than $50,000 if the gift or contract is of undetermined monetary value.</text></clause></subparagraph></paragraph><paragraph id="HEA944FD13B8142BFA3ED6E0914605687"><enum>(2)</enum><header>Repeated failures</header><subparagraph id="HC059F2FF4E3E4C7DA4232A09CC88B60D"><enum>(A)</enum><header>Knowing and willful failures</header><text display-inline="yes-display-inline">In addition to a fine for a violation in any year in accordance with paragraph (1), the Secretary of Education shall impose a fine on an institution that knowingly and willfully fails in two consecutive years to comply with the requirements of this section, that is—<italic></italic></text><clause id="H5C0F6B5DE4574AF0AFA3E979D079AE0E"><enum>(i)</enum><text display-inline="yes-display-inline">in an amount that is not less than $100,000 but not more than twice the amount of the gift or contract with the foreign source, in the case of—</text><subclause id="HBB4B4B79C702405490DE6A2184690933" display-inline="no-display-inline"><enum>(I)</enum><text>a failure to disclose a gift or contract with a foreign source as required under this section; or</text></subclause><subclause id="H17FA23E3C7EC45449DDCAC5540FD184E"><enum>(II)</enum><text>a failure to comply with subsection (d) or (e) with respect to such gift or contract; or</text></subclause></clause><clause id="H0802339FB1A94C11982F6D8B53E4D7B8"><enum>(ii)</enum><text>in an amount that is not more than 25 percent of the total amount of funding received by the institution under this Act for the year in which the violation occurred in the case of—</text><subclause id="HF29333885A6142659AF00E77DC1B2484"><enum>(I)</enum><text>a failure to disclose ownership or control by a foreign source in violation of the requirements of subsection (a)(3); or</text></subclause><subclause id="HA4E1A401CFAD45BBB068E5D53F51D555"><enum>(II)</enum><text display-inline="yes-display-inline">a failure to comply with subsection (d) or (e) with respect to such disclosure.</text></subclause></clause></subparagraph><subparagraph id="H09782860E33F48C4B744D3113CB36592"><enum>(B)</enum><header>Sanction for repeated violation of gift and contract acceptance rules</header><text display-inline="yes-display-inline">If an institution knowingly and willfully violates a provision of subsection (b) more than once in a period of two consecutive years, as determined by the Secretary, the Secretary shall declare the institution to be ineligible to receive funds and participate in programs under this Act for a period of up to five years.</text></subparagraph></paragraph><paragraph id="H86F615010E8A4BF19077D442C34010B4"><enum>(3)</enum><header>Calculation of penalty</header><text display-inline="yes-display-inline">For purposes of paragraphs (1)(B) and (2)(A)(ii), the total amount of funding received by an institution under this Act does not include any amounts received by the institution from or on behalf of an individual student that are derived from a grant or student loan made under this Act.</text></paragraph></subsection><subsection id="H158E77C64CE04832A73E6253834B66F8"><enum>(j)</enum><header>Authority To terminate or modify transactions</header><text display-inline="yes-display-inline">As a condition of receiving a gift from or entering into a contract with a foreign source or an associate of a foreign adversary, an institution and any other party to such gift or contract shall agree that the Office for Foreign Gifts and Contracts Oversight shall have the authority—</text><paragraph id="H185B6EB31E3746C5BA065860A7EBC77C"><enum>(1)</enum><text>to review such gift or contract at any time; and</text></paragraph><paragraph id="H6BA94960BF564D80AB1126FB46DF0678"><enum>(2)</enum><text>if the Office determines that such gift or contract poses a risk to the national security interests of the United States, the Office may—</text><subparagraph id="H2A34A2B960994133AFDB4E9EA2CDE82B"><enum>(A)</enum><text>terminate or modify such gift or contract; or</text></subparagraph><subparagraph id="H761CE6490B554A4992A49F03F1E06682"><enum>(B)</enum><text>require the institution to pay to the Secretary an amount equal to the value of such gift or contract.</text></subparagraph></paragraph></subsection><subsection id="HB3F55064C6DD4348BAB8D51C3E5CDFED"><enum>(k)</enum><header>Rule of construction</header><text>Nothing in this section shall be construed to require the disclosure or approval by the Department of Education of a tuition agreement or other agreement entered into between an institution and an individual student in the regular course of the student’s enrollment at the institution.</text></subsection><subsection id="H815EDF51909F4C1183749A3FAC9A82E6"><enum>(l)</enum><header>Definitions</header><text>In this section:</text><paragraph id="H5777C18DE372445AB706ECB5210CFF7E"><enum>(1)</enum><text display-inline="yes-display-inline">The term <term>associate of a foreign adversary</term> means—</text><subparagraph id="H312C25009D434AF88D611D2B8E7038FD"><enum>(A)</enum><text>a natural person (regardless of the person’s citizenship, nationality, or principal place of residence) who derives a substantial amount of income from business activities with a foreign adversary; and</text></subparagraph><subparagraph id="H7C0B1731E0BA4F249F0FBD15BA31DB33"><enum>(B)</enum><text display-inline="yes-display-inline">a legal entity (regardless of entity’s country of incorporation or principal place of business) that derives a substantial amount of revenue or income from business activities with a foreign adversary.</text></subparagraph></paragraph><paragraph id="HFC1E3DD3F655409D81AA7664B5A48ED3"><enum>(2)</enum><text>The term <term>contract</term> means any legally binding agreement, including any agreement for the acquisition by purchase, lease, or barter of property or services by the foreign source, for the direct benefit or use of either of the parties.</text></paragraph><paragraph id="H95B07E2B0FDC428A93B807A6753223BB" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">The term <term>critical technologies</term> has the meaning given that term section 801.204 of title 31, Code of Federal Regulations (or any successor to such regulation).</text></paragraph><paragraph id="H6E5CEB54FD3C4239A04D35B626F3F86D" display-inline="no-display-inline" commented="no"><enum>(4)</enum><text display-inline="yes-display-inline">The term <term>foreign adversary</term> means—</text><subparagraph id="H5BE7F6CC6A4544B290EBE3467CD37C71"><enum>(A)</enum><text>Cuba;</text></subparagraph><subparagraph id="H1BC39990C76F4B87A3BBED658DD89B15" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">the Democratic People’s Republic of North Korea;</text></subparagraph><subparagraph id="H0470C4270032419886B26DD6DDB986F5" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">the Islamic Republic of Iran;</text></subparagraph><subparagraph id="HFED1AEBD8C7D4C488928DE9AA1B95A61" commented="no"><enum>(D)</enum><text display-inline="yes-display-inline">the People’s Republic of China (including the Hong Kong Special Administrative Region and the Macau Special Administrative Region);</text></subparagraph><subparagraph id="H01B51233310A4C2C86A51AC618AAB5ED" commented="no"><enum>(E)</enum><text display-inline="yes-display-inline">the Russian Federation; and</text></subparagraph><subparagraph id="H0A7CE4B2022E4D8AA673C576B1D63C00" commented="no"><enum>(F)</enum><text>any other nation designated as a foreign adversary by the Department of Commerce for purposes of the implementation of Executive Order 13873 (84 Fed. Reg. 22689), titled <quote>Securing the Information and Communications Technology and Services Supply Chain</quote>, and dated May 15, 2019.</text></subparagraph></paragraph><paragraph id="H4948A4DBDEF3422BB1052262B5D8C661"><enum>(5)</enum><text display-inline="yes-display-inline">The term <term>foreign source</term> means—</text><subparagraph id="H63957C9B5BAC49B3BFB81E5F9ABAACFE"><enum>(A)</enum><text>a foreign government, including an agency of a foreign government;</text></subparagraph><subparagraph id="HFD1E1FD6B98545129A167BCEC2B122F7"><enum>(B)</enum><text>a legal entity, governmental or otherwise, created solely under the laws of a foreign state or states;</text></subparagraph><subparagraph id="HD8A6EAFA71234EC7A06E52725A1FD7FF"><enum>(C)</enum><text>an individual who is not a citizen or a national of the United States or a trust territory or protectorate thereof;</text></subparagraph><subparagraph id="HA4FA8292BE7242F5ACC16B86DAC033B3"><enum>(D)</enum><text>an agent, including a subsidiary or affiliate of a foreign legal entity, acting on behalf of a foreign source; or</text></subparagraph><subparagraph id="H90A5D51336C34F47A5372D4FB6DFD72B"><enum>(E)</enum><text display-inline="yes-display-inline">any individual or legal entity that, in the period of one year preceding the date on which the individual or entity made a gift to or entered into a contract with an institution—</text><clause id="H4310CB9D7DB64AB593DC7DFDDC597897"><enum>(i)</enum><text>received a total of $100,000 or more in funds or subsidies from a foreign government; or</text></clause><clause id="HD7B6392A5C3F4AEE9E1E8C76EF529D32"><enum>(ii)</enum><text display-inline="yes-display-inline">generated at least 40 percent of the individual or entity’s income or revenue in a foreign country and the principal place of residence or business of such individual or entity is in that foreign country;</text></clause></subparagraph></paragraph><paragraph id="H43F10BBCF3AA46B3A94EC35D80B23E86"><enum>(6)</enum><text>the term <term>gift</term> means any gift of money, property, or services;</text></paragraph><paragraph id="H692003208D9747FB8F963603B45CEE6A"><enum>(7)</enum><text>the term <term>institution</term> means—</text><subparagraph id="HB0004023436C4101868E9E23601C63EA"><enum>(A)</enum><text>any institution, public or private, or, if a multicampus institution, any single campus of such institution, in any State, that—</text><clause id="H68B996BB59BF4E8A9AF60849E8D53AEE"><enum>(i)</enum><text>is legally authorized within such State to provide a program of education beyond secondary school;</text></clause><clause id="HFC6CDDD409C348DD88584FC87399988D"><enum>(ii)</enum><text>provides a program for which the institution awards a bachelor’s degree (or provides not less than a 2-year program which is acceptable for full credit toward such a degree) or more advanced degrees; and</text></clause><clause id="H4B68EC7B5742401286907A24CF52C2F6"><enum>(iii)</enum><text>is accredited by a nationally recognized accrediting agency or association and to which institution Federal financial assistance is extended (directly or indirectly through another entity or person), or which institution receives support from the extension of Federal financial assistance to any of the institution’s subunits; and</text></clause></subparagraph><subparagraph id="HFA2932D0C8974F438829A573779D7365"><enum>(B)</enum><text display-inline="yes-display-inline">any organization associated with or otherwise connected to an institution described in subparagraph (A), including a university foundation (as described in <external-xref legal-doc="usc" parsable-cite="usc/26/509">section 509(a)(3)</external-xref> of the Internal Revenue Code of 1986) or a nonprofit organization (as described in <external-xref legal-doc="usc" parsable-cite="usc/26/501">section 501(c)(3)</external-xref> of the Internal Revenue Code of 1986);</text></subparagraph></paragraph><paragraph id="H61F11F7C5118402E84E11FC5DA5E852F"><enum>(8)</enum><text>the term <term>restricted or conditional gift or contract</term> means any endowment, gift, grant, contract, award, present, or property of any kind which includes provisions regarding—</text><subparagraph id="HF51915477EB1463C96705F5402FB8B2A"><enum>(A)</enum><text>the employment, assignment, or termination of faculty;</text></subparagraph><subparagraph id="HE22A8218C0BD4E77A4D2B924658BB530"><enum>(B)</enum><text>the establishment of departments, centers, research or lecture programs, or new faculty positions;</text></subparagraph><subparagraph id="HC97673E959C040BD8AC2E9BE4A330042"><enum>(C)</enum><text>the selection or admission of students; or</text></subparagraph><subparagraph id="H386EEC8509E2407F835EBF1D84315D12"><enum>(D)</enum><text>the award of grants, loans, scholarships, fellowships, or other forms of financial aid restricted to students of a specified country, religion, sex, ethnic origin, or political opinion.</text></subparagraph></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H8AC652EE99E841C384CD018438E2E6C1"><enum>(b)</enum><header>Effective date and applicability</header><text>The amendments made by subsection (a) shall take effect 90 days after the date of enactment of this Act and shall apply with respect to gifts, contracts, and changes in the ownership or control of an institution occurring on or after such effective date.</text></subsection><subsection id="H31A84CCD041F491EA9035EC613E50A44"><enum>(c)</enum><header>Regulations</header><text display-inline="yes-display-inline">Not later than the effective date specified in subsection (b), the President shall promulgate regulations implementing section 117 of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011f">20 U.S.C. 1011f</external-xref>), as amended by subsection (a).</text></subsection></section><section id="H4760B65935514DCF958669FE93FCAF3B"><enum>2.</enum><header>Office for Foreign Gifts and Contracts Oversight</header><subsection id="H9204474790D74550BFFEBC5EA09AF9DD"><enum>(a)</enum><header>Establishment</header><text>Part B of title I of the Higher Education Act of 1965 (<external-xref legal-doc="usc" parsable-cite="usc/20/1011">20 U.S.C. 1011 et seq.</external-xref>) is amended by inserting after section 117 the following:</text><quoted-block style="OLC" id="H0DEC4C8C8E2B472DBB4E912F42F696AD" display-inline="no-display-inline"><section id="HB8AE738B1C1244DF8638E3AEDFAA1898"><enum>117a.</enum><header>Office for Foreign Gifts and Contracts Oversight</header><subsection id="H0E1D897713644D2C98772413D6B2ABCC"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">There is established within the Office of the Secretary of Education an Office for Foreign Gifts and Contracts Oversight (referred to in this section as the <quote>Office</quote>).</text></subsection><subsection id="HD9075931F6924640845868E9C98CD979"><enum>(b)</enum><header>Head of Office</header><text display-inline="yes-display-inline">The head of the Office shall be the designee of the Secretary.</text></subsection><subsection id="H23D94CB82CB84BBC9496C91E14C1ED89"><enum>(c)</enum><header>Responsibilities</header><text>The responsibilities of the Office shall be—</text><paragraph id="HA131638B41B8406487C7F344D17279C2"><enum>(1)</enum><text display-inline="yes-display-inline">to monitor the compliance of institutions with section 117;</text></paragraph><paragraph id="H3714FE3E72AB44DB8C396A7A1AB4F936"><enum>(2)</enum><text display-inline="yes-display-inline">to enforce the requirements of such section with respect to such institutions;</text></paragraph><paragraph id="HCA23E64F50D54492BCF16306ADA75CEB"><enum>(3)</enum><text display-inline="yes-display-inline">to represent the Department of Education on the Committee on Foreign Investment in the United States; and</text></paragraph><paragraph id="H981754D5A2EF4841A3AD15D0FEEC722E"><enum>(4)</enum><text>to carry out such other duties and responsibilities relating to foreign influence over institutions as the Secretary determines appropriate.</text></paragraph></subsection><subsection id="H34E30AC421C148C197D17A8E660896CA"><enum>(d)</enum><header>Staff</header><text>The Secretary shall ensure that the Office is staffed by individuals with sufficient expertise to carry out the responsibilities specified in subsection (c).</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H0BA3B2A2DC764134A2695D62976E7834" display-inline="no-display-inline"><enum>(b)</enum><header>Effective date and applicability</header><text>The amendments made by subsection (a) shall take effect 90 days after the date of enactment of this Act.</text></subsection><subsection id="H0C27305FD0FF45AD81B6FAFFABF06534"><enum>(c)</enum><header>Regulations</header><text display-inline="yes-display-inline">Not later than the effective date specified in subsection (b), the President shall promulgate regulations implementing section 117a of the Higher Education Act of 1965, as added by subsection (a).</text></subsection></section><section id="HDF0CBE6F675840EEB7A90F7AA13510E7"><enum>3.</enum><header>Inclusion of Office for Foreign Gifts and Contracts Oversight in the Committee on Foreign Investment in the United States</header><subsection id="HBD12AF90349B4B58B68DD8BC4A5553EC"><enum>(a)</enum><header>Membership of the Committee on Foreign Investment in the United States</header><text display-inline="yes-display-inline">Section 721(k)(2) of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565(k)(2)</external-xref>) is amended—</text><paragraph id="H37B1B0680D0B4B58B341D3432CF34A6D"><enum>(1)</enum><text>by redesignating subparagraph (J) as subparagraph (K); and</text></paragraph><paragraph id="HDF1949F1E6F448D09CAA037B83BA7875"><enum>(2)</enum><text>by inserting after subparagraph (I) the following new subparagraph:</text><quoted-block style="OLC" id="HC0B61BA580B442ADA231574B01EF03CD" display-inline="no-display-inline"><subparagraph id="H9634F718555A4AD589F7CC64F0F2DA9A"><enum>(J)</enum><text display-inline="yes-display-inline">The head of the Office for Foreign Gifts and Contracts Oversight of the Department of Education (as described in section 117a of the Higher Education Act of 1965).</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="H88589EE167B14984AD8E34829CD7837C"><enum>(b)</enum><header>Covered transactions and lead agency</header><paragraph id="HA6E9CEA0150944BAAC151F43A6FFD997"><enum>(1)</enum><header>Covered transactions</header><text>Section 721(a)(4) of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565(a)(4)</external-xref>) is amended—</text><subparagraph id="H684199E962B343CB83CDDCAC32F10CDF"><enum>(A)</enum><text>in subparagraph (A)(i), by striking <quote>subparagraph (B)(i)</quote> and inserting <quote>clauses (i) or (vi) of subparagraph (B)</quote>; and</text></subparagraph><subparagraph id="HC65C51B195B34607A893459F5BAC7EF7"><enum>(B)</enum><text display-inline="yes-display-inline">in subparagraph (B), by inserting after clause (v) the following new clause:</text><quoted-block style="OLC" id="H03B6850A734F4C0D8A6565DFDBE9BB77" display-inline="no-display-inline"><clause id="H9DD2594634D5442A819BEADFEEB8B30D"><enum>(vi)</enum><text display-inline="yes-display-inline">Any gift or contract described in section 117(a)(1)(A) of the Higher Education Act of 1965.</text></clause><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H5B548736C72D4878956AC2FE1E05CB71"><enum>(2)</enum><header>Lead agency</header><text display-inline="yes-display-inline">Section 721(k)(5) of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565(k)(5)</external-xref>) is amended—</text><subparagraph id="H2EF58FCCEAA34F218C714A56E33B1E22"><enum>(A)</enum><text>by redesignating subparagraphs (A) and (B) as clauses (i) and (ii), respectively;</text></subparagraph><subparagraph id="HE3B6ED696F7141D682407F194DA883F4"><enum>(B)</enum><text>by striking <quote>The Secretary</quote> and inserting the following:</text><quoted-block style="OLC" id="H30F883CD7FC84A6399D6EA7187ACB166" display-inline="no-display-inline"><subparagraph id="HF72245F5A2644E6E898984CA957135D4"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The Secretary</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph><subparagraph id="HA0E119725C0441C881B452F7CBB3EE16"><enum>(C)</enum><text>by adding at the end the following new subparagraph:</text><quoted-block style="OLC" id="H0EAF4192BEAF403CBC663CA446DD9894" display-inline="no-display-inline"><subparagraph id="H2A4F4E05F34847289867DF1C7F2C1720"><enum>(B)</enum><header>Certain gifts and contracts</header><text display-inline="yes-display-inline">With respect to a covered transaction described in subsection (a)(4)(B)(v), the Secretary of the Treasury shall designate the head of the Office for Foreign Gifts and Contracts Oversight of the Department of Education (as described in section 117a of the Higher Education Act of 1965) as the lead agency on behalf of the Committee.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H4B16F69CB4A9495E8489A751D91B39D1"><enum>(3)</enum><header>Applicability</header><text display-inline="yes-display-inline">This subsection and the amendments made by this subsection shall apply with respect to any covered transaction described in clause (v) of section 721(a)(4)(B) of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565(a)(4)(B)</external-xref>), the review or investigation of which is initiated under section 721 of such Act on or after the date of the enactment of this section.</text></paragraph></subsection></section></legis-body></bill>
