which was referred to the <committee-name committee-id="HED00">Committee on Education and Labor</committee-name>, and in addition to the Committee on <committee-name committee-id="HIF00">Energy and Commerce</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To provide incentives for and protect whistleblowers under the authority of the Federal Trade Commission, and for other purposes.</official-title></form><legis-body id="HF745A76A744547A09FB1B9C241B6494A" style="OLC"><section id="HF30DFB4E195049AD936CFB3F6FD60362" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>FTC Whistleblower Act of 2021</short-title></quote>.</text></section><section id="HB7C8A08EDC064F1FA00C57B2980232D4"><enum>2.</enum><header>Protection of whistleblowers</header><subsection id="H81C2F475042C476EBF28333F9EF548E9"><enum>(a)</enum><header>Protection from retaliation</header><text>A covered entity may not, directly or indirectly, discharge, demote, suspend, threaten, harass, blacklist, or in any other manner discriminate or take an adverse personnel action against an individual, or any person perceived as assisting the individual, who does any of the following:</text><paragraph id="HFF607F8F50D9404C968598BAB30FCC78"><enum>(1)</enum><text>Makes (or the covered entity suspects the individual has made or will make) a covered disclosure to—</text><subparagraph id="H8DF6F7400E9D47A2A8A5CCAD66405F03"><enum>(A)</enum><text>a qualified entity;</text></subparagraph><subparagraph id="H3F29B5768E5C42CA892BF3AEA9E2448E"><enum>(B)</enum><text>a person with supervisory authority over the individual; or</text></subparagraph><subparagraph id="H91D6AFF44E88434A867BC445C0850461"><enum>(C)</enum><text>another individual who the individual reasonably believes has the authority to investigate, discover, or terminate the violation in the covered disclosure or to take any other action to address the violation in the covered disclosure.</text></subparagraph></paragraph><paragraph id="H0946C5688BF34CBA9A4FF4221815BA06"><enum>(2)</enum><text>Initiates, testifies, assists, or participates (or the covered entity expects will initiate, testify, assist, or participate) in an investigation or judicial or administrative proceeding by a qualified entity.</text></paragraph><paragraph id="HD199F9471BE448FD9BB56D5602015CAD" display-inline="no-display-inline"><enum>(3)</enum><text>Objects to, or refuses to participate in, any activity, policy, practice, or assigned task that the individual (or other such person) reasonably believes is a potential or suspected violation of any law, rule, or regulation enforced by the Commission.</text></paragraph></subsection><subsection id="H9B31AAD2DEA643D7B2B6AB0F35FCC69A"><enum>(b)</enum><header>Enforcement</header><paragraph id="H006629D6200D4960A573EF7FCAD738D5"><enum>(1)</enum><header>Cause of action</header><text>An individual who alleges a violation of subsection (a) may bring an action under this subsection in the appropriate district court of the United States for the relief provided in subsection (c).</text></paragraph><paragraph id="H7C65015F76CA4E0E9195C95CAEEF34EC"><enum>(2)</enum><header>Statute of limitations</header><subparagraph id="H22E36BD27DB44A4DB6E6B60FF5B41816"><enum>(A)</enum><header>In general</header><text>An action under this subsection may not be brought—</text><clause id="H9AB8C18232504C6F87C041D8B213107D"><enum>(i)</enum><text>more than 6 years after the date on which the violation of subsection (a) occurred; or</text></clause><clause id="HC661576980444A61BAE7C6C916BA949A"><enum>(ii)</enum><text>more than 3 years after the date on which facts material to the right of action are known or reasonably should have been known by the whistleblower alleging a violation of subsection (a).</text></clause></subparagraph><subparagraph id="HEF47F43426CC4B509B3E0E69ED491BB6"><enum>(B)</enum><header>Required action within 10 years</header><text>Notwithstanding subparagraph (A), an action under this subsection may not in any circumstance be brought more than 10 years after the date on which the violation occurs.</text></subparagraph></paragraph><paragraph id="H22419094D05B4AC7A3AAC5E165BCD372"><enum>(3)</enum><header>Waiver of rights and remedies</header><text>The rights and remedies provided for in this section may not be waived by any policy form or condition of employment, including by a predispute arbitration agreement.</text></paragraph><paragraph id="H5DD57D95A6C049579DBB3F4CE13EF726"><enum>(4)</enum><header>Predispute arbitration agreements</header><text>A predispute arbitration agreement is not valid or enforceable if the agreement requires arbitration of a dispute arising under this section.</text></paragraph><paragraph id="H641F2CFE4E9742838249EE7467AB3E5C"><enum>(5)</enum><header>Restrictive covenant agreements</header><text>An agreement in which a whistleblower is restrained by the covered entity that was the subject of a covered disclosure from exercising a lawful profession, trade, or business of any kind is not valid and not enforceable.</text></paragraph></subsection><subsection id="HB12F105472C44C78BFB55850B73B1A0C"><enum>(c)</enum><header>Relief</header><text>Relief for an individual prevailing in an action brought under subsection (a) includes the following:</text><paragraph id="H9C2CE695AE404DF5B43C3CEF7B326C37"><enum>(1)</enum><text>Reinstatement with the same seniority status that the individual would have had, but for the discharge or discrimination.</text></paragraph><paragraph id="H020094A004A84DD4B9F1A0A9A4C6C96D"><enum>(2)</enum><text>Three times the amount of back pay otherwise owed to the individual, with interest.</text></paragraph><paragraph id="H0173FF978D934C9ABE35E8A6F2C13F2F"><enum>(3)</enum><text>Consequential and compensatory damages, and compensation for litigation costs, expert witness fees, and reasonable attorneys’ fees.</text></paragraph></subsection><subsection id="HA66C0B86E17F486D97EF71F598DA7B0E"><enum>(d)</enum><header>Communications</header><paragraph id="H5839482B6F344BD2B8BEBBE76A7D9E36"><enum>(1)</enum><header>Prohibition on impeding covered disclosure</header><text>A covered entity may not take any action that impedes or prevents an individual from communicating directly with a qualified entity about a covered disclosure, including enforcing, or threatening to enforce, a confidentiality or non-disparagement agreement.</text></paragraph><paragraph id="H69475433CD4444B7A544224560A12048"><enum>(2)</enum><header>Communication with qualified entities</header><text>A covered entity may not require the consent of the counsel of the covered entity for a qualified entity to communicate directly with an individual or the attorney of an individual (if the individual is represented by an attorney) regarding a possible covered disclosure.</text></paragraph><paragraph id="HE4809EAB2BE4406697B8F9BFBD427C04" commented="no"><enum>(3)</enum><header>Enforcement</header><text display-inline="yes-display-inline">A violation of paragraph (1) or (2) shall be treated as a violation of a rule defining an unfair or deceptive act or practice prescribed under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>). The Commission shall enforce this subsection in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the <act-name parsable-cite="FTCA">Federal Trade Commission Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>) were incorporated into and made a part of this subsection. Any person who violates paragraph (1) or (2) shall be subject to the penalties and entitled to the privileges and immunities provided in the Federal Trade Commission Act.</text></paragraph></subsection><subsection id="H0481F1E90AE14A339BA18F58D4A70AA0"><enum>(e)</enum><header>Confidentiality</header><text>Information that could reasonably be expected to reveal the identity of a whistleblower, except as provided in section 21(d) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57b-2">15 U.S.C. 57b–2(d)</external-xref>)—</text><paragraph id="HFC9F9D7B0A2E4F8EAAC7B4DD35483003"><enum>(1)</enum><text>shall be considered confidential;</text></paragraph><paragraph id="H13CFB254E6D64A489F6CB9B8B575092A"><enum>(2)</enum><text>may not be disclosed; and</text></paragraph><paragraph id="H2358699CFA1243E393294B85FE154BDD"><enum>(3)</enum><text>is exempt from disclosure under section 552(b)(3) of title 5, United States Code.</text></paragraph></subsection><subsection id="HD3C0BA539A4B42CFA07E678D23B52E83"><enum>(f)</enum><header>Rules of construction</header><paragraph id="H946111AA425A4AB09B3A6321BFFBA155"><enum>(1)</enum><header>Collective bargaining</header><text>Nothing in this section may be construed to diminish the rights, privileges, or remedies of any whistleblower under any Federal or State law, or under any collective bargaining agreement.</text></paragraph><paragraph id="H9015164C7E004DADB66539BCC541294D"><enum>(2)</enum><header>Other whistleblower protections</header><text>Nothing in this section may be construed to preempt or supersede any other Federal or State law relating to whistleblower protections.</text></paragraph></subsection></section><section id="H83B649C1189D44F8A4958B97E7F640E6" section-type="subsequent-section" commented="no"><enum>3.</enum><header>Incentives for whistleblowers</header><subsection id="HA40AB94653174BF99044C817BF1EC4BA" commented="no"><enum>(a)</enum><header>Awards</header><text display-inline="yes-display-inline">If a whistleblower voluntarily provides to the Commission original information that the whistleblower reasonably believes relates to a potential or suspected violation of any law, rule, or regulation enforced by the Commission and the original information that the whistleblower provided to the Commission leads to the successful resolution of a covered action, the Commission, subject to subsection (b), may pay an award to a whistleblower in an aggregate amount of—</text><paragraph id="HD0F46CD723424B089E8794689B2F819E" commented="no"><enum>(1)</enum><text>not less than 10 percent, in total, of collected monetary sanctions; and</text></paragraph><paragraph id="H1642ACDED3754208AD2305656D12C635" commented="no"><enum>(2)</enum><text>not more than 30 percent, in total, of collected monetary sanctions.</text></paragraph></subsection><subsection id="H7287AF8DEC5446D19BF12164BBBFCB60" commented="no"><enum>(b)</enum><header>Determination of awards; denial of awards</header><paragraph id="H8B12550890244279B34DA7F2D64A0C3D" commented="no"><enum>(1)</enum><header>Determination of awards</header><subparagraph id="HE5101D7D28E04C4F844A0A586CABED2E" commented="no" display-inline="no-display-inline"><enum>(A)</enum><header>Discretion</header><text display-inline="yes-display-inline">The determination of whether, to whom, or in what amount to make an award shall be in the discretion of the Commission subject to the provisions in subsection (a).</text></subparagraph><subparagraph id="H0305859124244EBEAF545D3FD43AC15B" commented="no"><enum>(B)</enum><header>Criteria</header><text>In determining an award made under subsection (a), the Commission shall take into consideration—</text><clause id="H284592095EC34693BF612B43AB4FD1E7" commented="no"><enum>(i)</enum><text>the significance of the original information provided by the whistleblower to the successful resolution of the covered action;</text></clause><clause id="H82BDB391D88B42F08A4336648083D6F2" commented="no"><enum>(ii)</enum><text>the degree of assistance provided by the whistleblower and any legal representative of the whistleblower in the covered action; and</text></clause><clause id="H43573CCAC61F497D85D6F695145BFE65" commented="no"><enum>(iii)</enum><text>such additional factors as the Commission considers relevant.</text></clause></subparagraph></paragraph><paragraph id="H4E2F10929B914ED3917D8540FDD96B80" commented="no"><enum>(2)</enum><header>Denial of awards</header><text>The Commission may deny an award under subsection (a)—</text><subparagraph id="HE8EDCD3BE736436994DCEA254340DAA9" commented="no"><enum>(A)</enum><text>to any whistleblower who is convicted of a criminal violation related to the covered action for which the whistleblower otherwise could receive an award under this section;</text></subparagraph><subparagraph id="HC69FE62FBB4141499A262C92EA31CC67" commented="no"><enum>(B)</enum><text>to any whistleblower who, acting without direction from a covered entity, or agent thereof, deliberately causes or substantially contributes to the alleged violation in the covered action; or</text></subparagraph><subparagraph id="HAE327FB6E49440D2B236D594131C6578" commented="no"><enum>(C)</enum><text> to any whistleblower who fails to provide the original information to the Commission in such form as the Commission may require by regulation.</text></subparagraph></paragraph></subsection><subsection id="HAFBA033C9C924C2391A09DF9D8811A05" commented="no"><enum>(c)</enum><header>Representation</header><text>A whistleblower may be represented by counsel.</text></subsection><subsection id="H87E5FBF22BF34227A9044DEC60DE6C4D" commented="no" display-inline="no-display-inline"><enum>(d)</enum><header>No contract necessary</header><text>A contract with the Commission is not necessary for a whistleblower to receive an award under subsection (a).</text></subsection><subsection id="H7493F74A5D274FCD89979F43E9DE0E3B" commented="no"><enum>(e)</enum><header>Provision of false information</header><text>A whistleblower who knowingly and intentionally makes any false, fictitious, or fraudulent statement or representation, or who makes or uses any false writing or document knowing the same to contain any false, fictitious, or fraudulent statement or entry, shall not be entitled to an award under this section.</text></subsection><subsection id="H549047A63E6E495CB103E13DA003F753" commented="no"><enum>(f)</enum><header>Appeals</header><paragraph id="HF3F37F8C7CBE452C9C28A48F87D8C134" commented="no"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Any determination made under this section, including whether, to whom, or in what amount to make an award, shall be in the discretion of the Commission. </text></paragraph><paragraph id="HCF46E618DD4C45998385508F56774B44" commented="no"><enum>(2)</enum><header>Appeals</header><text>Any determination made by the Commission under this section may be appealed by a whistleblower to the appropriate court of appeals of the United States not later than 30 days after the date on which a determination is issued by the Commission.</text></paragraph><paragraph id="H6CEF8338D31D4DDBB47E62AECB427493" commented="no"><enum>(3)</enum><header>Review</header><text>The court shall review the determination made by the Commission in accordance with section 706 of title 5, United States Code.</text></paragraph></subsection><subsection id="H0226A509938C4418838FD40FC2175E2A" commented="no"><enum>(g)</enum><header>Rules of construction</header><paragraph id="HDC246CEF44E74E91923C678967516585" display-inline="no-display-inline" commented="no"><enum>(1)</enum><header>Original information</header><text>Original information submitted to the Commission by a whistleblower in accordance with the requirements of this section shall not lose the status as original information solely because the whistleblower submitted the information before the effective date of any regulation issued under this Act if the information was submitted after the date of the enactment of this Act.</text></paragraph><paragraph id="HCEFBB7C218344870BD696A3546ED0D51" commented="no"><enum>(2)</enum><header>Awards</header><text>A whistleblower may receive an award under this section regardless of whether the violation in the covered action occurred before the date of the enactment of this Act, and may receive an award before the Commission promulgates any regulation under this Act.</text></paragraph></subsection></section><section id="H9C7034C6E38E442F9CA82B0D5DDD3260"><enum>4.</enum><header>Rulemaking</header><text display-inline="no-display-inline">The Commission may issue such rules and regulations, including regulations under section 553 of title 5, United States Code, as may be necessary or appropriate to implement the provisions of this Act.</text></section><section id="H5BB0F70DC30D46659D8E7FC9AE253549"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="H06CF7C7162844032B0FB89EF3599750F"><enum>(1)</enum><header>Commission</header><text>The term <term>Commission</term> means the Federal Trade Commission.</text></paragraph><paragraph id="H16E67F5C0E2E4CAAA6C4D78E2C381BD2"><enum>(2)</enum><header>Covered action</header><text>The term <term>covered action</term> means any administrative or judicial action, including any related administrative or judicial action, brought by the Commission or the Attorney General under section 3 that in the aggregate results in monetary sanctions exceeding $1,000,000.</text></paragraph><paragraph id="H07493D4B773F432EA422689825D83F11"><enum>(3)</enum><header>Covered disclosure</header><text>The term <term>covered disclosure</term> means a formal or informal communication or transmission that an individual reasonably believes relates to a potential or suspected violation of any law, rule, or regulation enforced by the Commission.</text></paragraph><paragraph id="HBA0BEB7785FF42E0AE851D885337562B"><enum>(4)</enum><header>Covered entity</header><text>The term <term>covered entity</term> means an entity or individual subject to the jurisdiction of the Commission.</text></paragraph><paragraph id="HBDFC5CF5E0C340F298D8B83AA23832E0"><enum>(5)</enum><header>Monetary sanctions</header><text>The term <term>monetary sanctions</term>—</text><subparagraph id="HCDFCCBE80AB341DF8F2DC6616A87190F"><enum>(A)</enum><text>means monies, including penalties, disgorgement, or interest, ordered or agreed to be paid; and</text></subparagraph><subparagraph id="H0FF702F0DF8A49EFB0538E20E78F6F38"><enum>(B)</enum><text>does not include any relief necessary to redress injury to consumers, as determined by the Commission.</text></subparagraph></paragraph><paragraph id="HD847D350B6834DBB8E73533C777B7B11"><enum>(6)</enum><header>Original information</header><text>The term <term>original information</term> means information that—</text><subparagraph id="H2176EB84F8A348A48DF336C099272A10"><enum>(A)</enum><text>is derived from the independent knowledge or analysis of an individual;</text></subparagraph><subparagraph id="H9FDCDFCBA2CB435A9AFE93159AA40A84"><enum>(B)</enum><text>is not known to the Commission from any other source, unless the individual is the original source of the information; and</text></subparagraph><subparagraph id="HD1830D8074FE46BF977B334A9A394224"><enum>(C)</enum><text>is not exclusively derived from an allegation made in a judicial or an administrative action, governmental report, hearing, audit, or investigation, or from the news media, unless the individual is a source of the information.</text></subparagraph></paragraph><paragraph id="HE79194892F6B4C6CB6BC1EE23CEDA4CD"><enum>(7)</enum><header>Qualified entity</header><text>The term <term>qualified entity</term> means—</text><subparagraph id="H11789A6D2A884C998B0D527058995C59"><enum>(A)</enum><text>the Commission; or</text></subparagraph><subparagraph id="HAEA081AFAFCB43398D1401428133E1F9"><enum>(B)</enum><text>a Federal entity, including any Member or committee of Congress.</text></subparagraph></paragraph><paragraph id="HF48515C0A7844364A9F382C18E513A93"><enum>(8)</enum><header>Successful resolution</header><text>The term <term>successful resolution</term>, with respect to a covered action, includes any settlement or adjudication of the covered action.</text></paragraph><paragraph id="H6C7663A279F4404388F41E33E7B0186C"><enum>(9)</enum><header>Whistleblower</header><text>The term <term>whistleblower</term> means—</text><subparagraph id="H8F4774B5C71343109815E4203F5B46B0"><enum>(A)</enum><text>an individual (or group of individuals) who is a current or former full-time, part-time, or temporary employee, contractor, subcontractor (at any tier), grantee, subgrantee, or agent of a covered entity or employee of a contractor or subcontractor (at any tier) of that covered entity that engages in any of the conduct described under paragraph (1), (2), or (3) of section 2(a); or</text></subparagraph><subparagraph id="H342350CC64FE4EDAA2BAC4B4E49BD726"><enum>(B)</enum><text>any person that assists or is perceived as assisting any such individual (or group of individuals).</text></subparagraph></paragraph></section></legis-body></bill>
