R. 5639</legis-num><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20211020">October 20, 2021</action-date><action-desc><sponsor name-id="F000471">Mr. Fitzgerald</sponsor> (for himself, <cosponsor name-id="S001211">Mr. Stanton</cosponsor>, <cosponsor name-id="S001175">Ms. Speier</cosponsor>, <cosponsor name-id="L000583">Mr. Loudermilk</cosponsor>, <cosponsor name-id="T000165">Mr. Tiffany</cosponsor>, <cosponsor name-id="C001087">Mr. Crawford</cosponsor>, <cosponsor name-id="S001207">Ms. Sherrill</cosponsor>, <cosponsor name-id="G000552">Mr. Gohmert</cosponsor>, <cosponsor name-id="S001192">Mr. Stewart</cosponsor>, <cosponsor name-id="B001311">Mr. Bishop of North Carolina</cosponsor>, and <cosponsor name-id="O000086">Mr. Owens</cosponsor>) introduced the following bill; which was referred to the <committee-name committee-id="HJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To require disclosure of foreign government subsidies in the premerger notification process.</official-title></form><legis-body id="HDEA51EDEC6E24059AC571C610F63AA2F" style="OLC"><section id="HFFC33CEBCC7B4912865F8B906B56F243" section-type="section-one" commented="no"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Foreign Merger Subsidy Disclosure Act of 2021</short-title></quote>.</text></section><section id="H274573BBF8A7436A949729E22C651381" section-type="subsequent-section"><enum>2.</enum><header>Mergers involving foreign government subsidies</header><subsection id="H2BD2DD9B08E24CD78A55194911E1CFCC"><enum>(a)</enum><header>Accounting for foreign government subsidies</header><text display-inline="yes-display-inline">A person required to file a notification required by section 7A of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18a">15 U.S.C. 18a</external-xref>) that received a subsidy from a foreign state shall include in such notification a detailed accounting of each such subsidy.</text></subsection><subsection id="H6756A583694A430B8C10B29566BFEA5B"><enum>(b)</enum><header>Authority of antitrust regulators</header><text display-inline="yes-display-inline">The Federal Trade Commission, with the concurrence of the Assistant Attorney General in charge of the Antitrust Division of the Department of Justice and by rule in accordance with section 553 of title 5, consistent with purposes of this section shall require that the notification required under subsection (a) be in such form and contain such documentary material and information relevant to a proposed acquisition as is necessary and appropriate to enable the Federal Trade Commission and the Assistant Attorney General in charge of the Antitrust Division of the Department of Justice to determine whether such acquisition may, if consummated, violate the antitrust laws.</text></subsection></section><section id="idCBD0AE69BE494ACA920CF6E6DB88FF23"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline">For the purposes of this Act:</text><subsection id="idF2F1A95E9F0D4028A8CE9054C6F8FDCC"><enum>(a)</enum><header>Foreign state</header><text>The term <term>foreign state</term> shall have the meaning given it in section 1603(a) of title 28, United States Code.</text></subsection><subsection id="id442C91F3D5594DD29571F15C3BD7725F"><enum>(b)</enum><header>Subsidy</header><text>The term <term>subsidy</term> includes a direct subsidy, a grant, a loan (including a below-market loan), a loan guarantee, a tax concession, a preferential governmental procurement policy, or other form of economic support including ownership or control by a foreign state.</text></subsection></section><section id="idE3642BCF7D7740EFA1DBF2264E07E1AE"><enum>4.</enum><header>Effective date</header><text display-inline="no-display-inline">This Act shall take effect 90 days after the date of the enactment of this Act.</text></section></legis-body></bill>
