harassment claim disclosures in certain reports, to require public companies to implement mandatory sexual harassment training, and for other purposes.</official-title></form><legis-body id="H02D32A558BE04506B4CB07141D8405A0" style="OLC"><section id="H98A9F490A15544599F226C0B7D4275FF" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protections and Transparency in the Workplace Act</short-title></quote>. </text></section><section id="HBB77419C170344268F04EE21CE548E18"><enum>2.</enum><header>Covered discrimination and harassment disclosures</header><subsection id="HDBA7357781464434952AFE52792E5DD8"><enum>(a)</enum><header>Definition</header><text display-inline="yes-display-inline">Section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>) is amended—</text><paragraph id="HF4C52D9783F14D558B8E532A4E8CA780"><enum>(1)</enum><text>by redesignating the second paragraph (80) (related to funding portals) as paragraph (81); and</text></paragraph><paragraph id="HA97C34979B7145C2A21E0DEEE8007859"><enum>(2)</enum><text>by adding at the end the following:</text><quoted-block style="OLC" id="H307377B3133C4273BF1386086A42826B" display-inline="no-display-inline"><paragraph id="HB8F1B3E8A35148BDAC0559CF906B85E3" commented="no" display-inline="no-display-inline"><enum>(82)</enum><header>Covered discrimination and harassment</header><text display-inline="yes-display-inline">The term <term>covered discrimination and harassment</term> means—</text><subparagraph id="H6EBAAA9E3CB74BED848BCB93F0EC8C75" commented="no" display-inline="no-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">discrimination because of race, color, religion, sex (including sexual orientation and gender identity), or national origin under title VII of the Civil Rights Act of 1964 (<external-xref legal-doc="usc" parsable-cite="usc/42/2000e">42 U.S.C. 2000e</external-xref> et seq.);</text></subparagraph><subparagraph id="H20E53DD8329A44949A1A477A30A06084" commented="no" display-inline="no-display-inline"><enum>(B)</enum><text>discrimination because of age under the Age Discrimination in Employment Act of 1967 (<external-xref legal-doc="usc" parsable-cite="usc/29/621">29 U.S.C. 621</external-xref> et seq.);</text></subparagraph><subparagraph id="HC67B9C3E69414D6286771DFE676529B5" commented="no" display-inline="no-display-inline"><enum>(C)</enum><text>discrimination on the basis of disability under—</text><clause id="H4CD2977A50424F0282FA749FB9B22F54" commented="no" display-inline="no-display-inline"><enum>(i)</enum><text>title I of the Americans with Disabilities Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/42/12111">42 U.S.C. 12111</external-xref> et seq.); or</text></clause><clause id="HD9000E87AE3C4697B8826D879E0EA907" commented="no" display-inline="no-display-inline"><enum>(ii)</enum><text>section 501 of the Rehabilitation Act of 1973 (<external-xref legal-doc="usc" parsable-cite="usc/29/791">29 U.S.C. 791</external-xref>);</text></clause></subparagraph><subparagraph id="HDE8992507D0E4EB9AC56001958CD1622" commented="no" display-inline="no-display-inline"><enum>(D)</enum><text>discrimination because of genetic information under title II of the Genetic Information Nondiscrimination Act of 2008 (<external-xref legal-doc="usc" parsable-cite="usc/42/2000ff">42 U.S.C. 2000ff</external-xref> et seq.);</text></subparagraph><subparagraph id="H7A493443C27B4ACFAC1C868E0C2F9249" commented="no" display-inline="no-display-inline"><enum>(E)</enum><text>discrimination on the basis of status concerning service in a uniformed service under section 4311(a) of title 38, United States Code;</text></subparagraph><subparagraph id="HEDD39550A9014BAA8B0A15926950483D"><enum>(F)</enum><text>sexual harassment; or</text></subparagraph><subparagraph id="H3CCF8D50034E487293671C25FAC65B0D"><enum>(G)</enum><text>sexual assault or abuse.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="HF1DFD9E4264A43B0AB7482D086FBCD25"><enum>(b)</enum><header>Disclosures</header><text display-inline="yes-display-inline">Section 13 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m</external-xref>) is amended by adding at the end the following:</text><quoted-block id="H870E486D385A4F46A8594271F934F5FE" style="OLC"><subsection id="H739A742152B241BE973E76A8C954D2EB"><enum>(s)</enum><header>Covered discrimination and harassment disclosures</header><paragraph id="H83AB405DD5DF40999ABF922A1B5575E2"><enum>(1)</enum><header>Annual and quarterly disclosures</header><text>Each issuer required to file an annual or quarterly report under subsection (a) shall disclose, in each such report, the following:</text><subparagraph id="H94072AAA0B0F45468EA11889FA699501"><enum>(A)</enum><header>In general</header><clause id="H53E7CBEE788E4830BD2E82EBFABB8911"><enum>(i)</enum><text display-inline="yes-display-inline">The number of covered discrimination and harassment claims received within the reporting period.</text></clause><clause id="H15EED802F1F346A79338EAD2F2DF9895"><enum>(ii)</enum><text display-inline="yes-display-inline">The current number of covered discrimination and harassment claims being investigated at the time of the report.</text></clause><clause id="H3573093374E341ABA9CFBC2CEDC5EE46"><enum>(iii)</enum><text display-inline="yes-display-inline">The number of covered discrimination and harassment claims that were resolved within the reporting period.</text></clause><clause id="H21B912BDA2B74CF8AF94B97845FA7087"><enum>(iv)</enum><text display-inline="yes-display-inline">The number of settlements in connection with covered discrimination and harassment claims within the reporting period.</text></clause><clause id="HC38A001AE60246D497EEC8946FF9AFEA"><enum>(v)</enum><text display-inline="yes-display-inline">The number of court judgements in connection with covered discrimination and harassment claims within the reporting period.</text></clause><clause id="H1F19EDEB0BA240D183EA0F04E0164826"><enum>(vi)</enum><text display-inline="yes-display-inline">The aggregate amount of payments made in connection with covered discrimination and harassment claims, including payments made by persons other than the issuer (including amounts that may have been paid under an insurance policy or directly by an employee of the issuer).</text></clause><clause id="H1FF7408153C4450B84435F40A03E4474"><enum>(vii)</enum><text display-inline="yes-display-inline">The outcomes of all adjudicated covered discrimination and harassment cases, including which party was the prevailing party or, if there was no prevailing party, whether there was a settlement with no admission of guilt.</text></clause></subparagraph><subparagraph id="HED3F3AADB1D241E6AB14B0CDE5CA3F38"><enum>(B)</enum><header>Additional disclosures</header><clause id="HCC284EBFC0FD4E1C8536F7C7DE6BB71C"><enum>(i)</enum><text display-inline="yes-display-inline">The number of repeat settlements of covered discrimination and harassment claims with respect to a specific individual.</text></clause><clause id="H2DFD051B8EAD4ADD9D9B72A0BCF15324"><enum>(ii)</enum><text display-inline="yes-display-inline">The efforts taken by the issuer, including mandatory covered discrimination and harassment training, to prevent the perpetration of harassment, discrimination, or abuse by employees.</text></clause><clause id="HECE12A3A7D3E4D40BA43E9638E56F488"><enum>(iii)</enum><text display-inline="yes-display-inline">The average length of time it takes for the issuer to resolve covered discrimination and harassment claims.</text></clause></subparagraph><subparagraph id="H636CCFBF7316497EAC83983D50D43B24"><enum>(C)</enum><header>Inclusion of related entities</header><clause id="H317BB3659D54478B89DC802A181D8333"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">In making any disclosure under this paragraph, the issuer shall disclosure such information with respect to itself as well as any parent, subsidiary, or affiliate.</text></clause><clause id="H53039E7A58A54BD8B4503AFFB4AB1674"><enum>(ii)</enum><header>Data format</header><text display-inline="yes-display-inline">In making any disclosure under this paragraph, the issuer shall report each of the following sets of data:</text><subclause id="H67017129342B426A8423F6F74998BD5C"><enum>(I)</enum><text>In an aggregated format including the disclosures with respect to the issuer and all parents, subsidiaries, and affiliates of the issuer.</text></subclause><subclause id="HAAD1FF49D4C148E19C5C605D7D628F41"><enum>(II)</enum><text display-inline="yes-display-inline">The aggregate of the disclosures for all parents, subsidiaries, and affiliates of the issuer.</text></subclause><subclause id="HFCE678AF0F6246B58214FDBF8CB1C4BB"><enum>(III)</enum><text display-inline="yes-display-inline">Separate disclosures for the issuer and each parent, subsidiary, or affiliate.</text></subclause></clause></subparagraph></paragraph><paragraph id="H56CF9B9F97034A7B97F2A57E8104AE24"><enum>(2)</enum><header>Attestation requirement</header><text display-inline="yes-display-inline">Each issuer required to file an annual or quarterly report under subsection (a) shall include with such report a separate attestation by the general counsel, the chief financial officer, the chief executive officer, and each member of the board of directors of the issuer that the issuer—</text><subparagraph id="H5439D94F4B6242BB914F7018968E5D9C"><enum>(A)</enum><text>has in place policies and systems to ensure that the management of the issuer is aware of the requirements of this subsection, section 14C, and section 14D, and any rules issued thereunder; and</text></subparagraph><subparagraph id="HC57D84CAAB774D60AECE252BE3639C75"><enum>(B)</enum><text>is in compliance with such requirements and rules.</text></subparagraph></paragraph><paragraph id="HF09A4EED766E476F98D79C31F47A4971"><enum>(3)</enum><header>Current reports</header><subparagraph id="H07378A395D5948AEB7DD08212A0F3942"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Each issuer required to file current reports under this section shall—</text><clause id="HB16CA00A23F44D48AA606A7B93045ABE"><enum>(i)</enum><text display-inline="yes-display-inline">file such a report each time the issuer enters or exits any agreement related to the resolution of a covered discrimination and harassment claim against the issuer (or a parent, subsidiary, or other affiliate of the issuer); and</text></clause><clause id="H50E9728ABC7445F1BC648FD9F7150F70"><enum>(ii)</enum><text display-inline="yes-display-inline">state in such report whether the agreement involved a claim against an employee who has had 2 or more previous covered discrimination and harassment claims made against them.</text></clause></subparagraph><subparagraph id="H5722705A0E224B078492F303C51F0307"><enum>(B)</enum><header>Redactions</header><text display-inline="yes-display-inline">In making a report required under subparagraph (A), the issuer—</text><clause id="H54072E58C524456EAB4534D5F97ADCDB"><enum>(i)</enum><text>may redact the names of specific individuals involved with the agreement; and</text></clause><clause id="H5936B2A452464EFE9BFBE90534ED01A3"><enum>(ii)</enum><text>unless the issuer has received consent from a complainant, shall redact the name of the complainant.</text></clause></subparagraph></paragraph><paragraph id="HB9D0AADCA99A48A49C79F6E3C5C0B3D4"><enum>(4)</enum><header>Claim defined</header><text display-inline="yes-display-inline">In this subsection, the term <term>claim</term> means any allegation, assertion, or formal legal action.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H1B9B7753CEA24B8CB1CD15BFEED2A314"><enum>3.</enum><header>Independent and impartial investigatory requirements</header><text display-inline="no-display-inline">The Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78a">15 U.S.C. 78a</external-xref> et seq.) is amended by inserting after section 14B the following:</text><quoted-block style="OLC" id="H071D9E63466E4441A2FCBF3F51D7CBBE" display-inline="no-display-inline"><section id="H4E3F1B7990A2495B948C5C891907F866"><enum>14C.</enum><header>Independent and impartial investigatory requirements</header><subsection id="HF6711563286748C382CF18A7ADF62C5D"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">In investigating any covered discrimination and harassment claim, an issuer shall engage and pay for a third-party law firm to investigate reports of covered discrimination and harassment on an impartial, fact-finding basis rather than at the direction of or scope defined by the issuer.</text></subsection><subsection id="HDC73708000DD48D58BC022601EFAA9FF"><enum>(b)</enum><header>Selection of law firm</header><text>In choosing the third-party law firm to be engaged under subsection (a), the issuer may only choose a law firm agreed to by all employees involved with the claim.</text></subsection><subsection id="HD98A0BB7852641DBAD808E3A8F9C8B75"><enum>(c)</enum><header>Claim defined</header><text display-inline="yes-display-inline">In this section, the term <term>claim</term> means any allegation, assertion, or formal legal action.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section><section id="HB28A2E721A274BDDA003A1EAFEBEF9CB"><enum>4.</enum><header>Mandatory covered discrimination and harassment training, including bystander training, and workplace survey</header><text display-inline="no-display-inline">The Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78a">15 U.S.C. 78a</external-xref> et seq.), as amended by section 3, is further amended by inserting after section 14C the following:</text><quoted-block style="OLC" id="H44A36AE4C4374306BD260363ACE595AB" display-inline="no-display-inline"><section id="HA713E89C33B54529B0E89174259088DC"><enum>14D.</enum><header>Mandatory covered discrimination and harassment training, including bystander training, and workplace survey</header><subsection id="H96BF898F89FF4AEF9D89928AE4063039"><enum>(a)</enum><header>Workplace training programs</header><paragraph id="HB20197BC4974441AAB416F824C54286B"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Each covered issuer shall develop and disseminate workplace training programs to educate employees at all levels, no matter what position, about what constitutes prohibited covered discrimination and harassment, how to report covered discrimination and harassment, how to prevent covered discrimination and harassment, and what rights employees have with respect to covered discrimination and harassment.</text></paragraph><paragraph id="HE41E099F86844D08924FACC7B4A98270"><enum>(2)</enum><header>Special training for certain employees</header><text display-inline="yes-display-inline">Each training program developed under paragraph (1) shall require separate training for managers and human resources employees.</text></paragraph><paragraph id="HADD900A3B7314809B5AADC02DEED3776"><enum>(3)</enum><header>Specific contents of training program</header><text>Each training program developed under paragraph (1) shall contain the following:</text><subparagraph id="H9ED24DF52DE2434899533CF60A6E391B"><enum>(A)</enum><text display-inline="yes-display-inline">An explanation of what constitutes covered discrimination and harassment.</text></subparagraph><subparagraph id="HE789D35B62F746AF9807E5582AAB2AB7"><enum>(B)</enum><text display-inline="yes-display-inline">An explanation of how covered discrimination and harassment can impact victims.</text></subparagraph><subparagraph id="H91B661A22ABB446A8AC8651938EBFB4A"><enum>(C)</enum><text display-inline="yes-display-inline">The rights of individuals with respect to covered discrimination and harassment and how to report it.</text></subparagraph><subparagraph id="H9D2CEFAA906149868AADF92078B2AE3A"><enum>(D)</enum><text display-inline="yes-display-inline">How individuals, including bystanders who encounter covered discrimination and harassment, can intervene or report covered discrimination and harassment and what their rights are should they report.</text></subparagraph><subparagraph id="HE66D959785E84CC9AE95283DF4DFB3F0"><enum>(E)</enum><text display-inline="yes-display-inline">How employers and managers can prevent covered discrimination and harassment from occurring in the workplace.</text></subparagraph><subparagraph id="H5077BDE6FB3D4ADC8191C2CA400F62B5"><enum>(F)</enum><text>An identification of available resources for making complaints, including contact information for the head of human resources, contact information for the whistleblower tip line established under this section, and other public resources where further information can be obtained, such as law enforcement agencies, hospitals, and mental health resources.</text></subparagraph></paragraph><paragraph id="H11E8E26EA0A145CFB16FB0EC9E42B0C0"><enum>(4)</enum><header>Frequency of training</header><text display-inline="yes-display-inline">Each training program developed under paragraph (1) shall—</text><subparagraph id="H6E9945B031734C8D8E95C99B299A02BC"><enum>(A)</enum><text>require new employees to complete the training program not later than 60 days after the employee assumes their position;</text></subparagraph><subparagraph id="HAF0E5ACF64024C1F99D9E7570991B432"><enum>(B)</enum><text>require all employees to complete the training program once annually; and</text></subparagraph><subparagraph id="H3816336477D4495381D430717D238648"><enum>(C)</enum><text display-inline="yes-display-inline">require any employee found to have committed covered discrimination and harassment to retake the training as soon as possible.</text></subparagraph></paragraph></subsection><subsection id="HAC7B38C321844FF2880FB071B601B036"><enum>(b)</enum><header>Annual survey</header><text display-inline="yes-display-inline">Each covered issuer shall conduct an annual survey of the issuer’s employees to determine—</text><paragraph id="HAD0DE018C5574688BDED9197A1EA1F09"><enum>(1)</enum><text display-inline="yes-display-inline">whether employees feel safe;</text></paragraph><paragraph id="HC95D22B989A146EFAAD6A814BB5B70AC"><enum>(2)</enum><text display-inline="yes-display-inline">whether employees would be comfortable reporting sexual harassment; and</text></paragraph><paragraph id="HEC81F47C01A1421BA3378A7866363858"><enum>(3)</enum><text display-inline="yes-display-inline">if there are ways the issuer could create better avenues for employees to report sexual harassment.</text></paragraph></subsection><subsection id="HAE347C5130B1482C965892438BEED77F"><enum>(c)</enum><header>Use of outside law firms</header><paragraph id="HCDB1FA15F7D445958802D8ABA822369F"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Each covered issuer shall contract with a third-party law firm to carry out the workplace training program required under subsection (a) and the annual survey required under subsection (b).</text></paragraph><paragraph id="H5DDC9B90CC1E4A52B689082B01E61E04"><enum>(2)</enum><header>Sense of Congress</header><text display-inline="yes-display-inline">It is the sense of the Congress that covered issuers should use the same law firm to carry out the annual survey and the workplace training program.</text></paragraph></subsection><subsection id="H8FC4CE04751847ED84639D4ACD1807B6"><enum>(d)</enum><header>Whistleblower tip line</header><text display-inline="yes-display-inline">Each covered issuer shall—</text><paragraph id="H37ECACA11D1243BCA26AA2D41F83B0AC"><enum>(1)</enum><text>establish an anonymous whistleblower tip line for employees; and</text></paragraph><paragraph id="H4A09057D5D254148BD20DD02E14BB243"><enum>(2)</enum><text>with respect to any report made to the tip line, immediately provide the report to the general counsel of the issuer, the head of human resources for the issuer, and the members of the board of directors of the issuer.</text></paragraph></subsection><subsection id="HDE05A29D40B147659851A28EB4E7EF73"><enum>(e)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section:</text><paragraph id="H08E746D2592F48F9B92999237F88A5A7"><enum>(1)</enum><header>Covered issuer</header><text>The term <term>covered issuer</term> means an issuer of a security registered pursuant to section 12.</text></paragraph><paragraph id="HC3752FD8507E401C8812A147124BA3A9"><enum>(2)</enum><header>Employee</header><text>With respect to an issuer, the term <term>employee</term> means—</text><subparagraph id="H38FE557C09244169845CDBF9E567FFFD"><enum>(A)</enum><text>an employee of the issuer, including a volunteer or other individual working for the issuer without pay; and</text></subparagraph><subparagraph id="HDC0D0ACAE55949949A6E7FD765B770F7"><enum>(B)</enum><text display-inline="yes-display-inline">an independent contractor who is contracting with the issuer, and each employee of the independent contractor, including a volunteer or other individual working for the contractor without pay.</text></subparagraph></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section></legis-body></bill>
