R. 5554</legis-num><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20211012">October 12, 2021</action-date><action-desc><sponsor name-id="B001286">Mrs. Bustos</sponsor> (for herself and <cosponsor name-id="B001309">Mr. Burchett</cosponsor>) introduced the following bill; which was referred to the <committee-name committee-id="HJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend title 11 of the United States Code to prohibit the payment of bonuses to highly compensated individuals employed by the debtor and insiders of the debtor to perform services during the bankruptcy case, and for other purposes.</official-title></form><legis-body id="HD0F08E750C4843D0B72031C3B8C8AF01" style="OLC"><section id="HE18171C2C2CD4C3288FD0F6CBB1EC3EB" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>No Bonuses in Bankruptcy Act of 2021</short-title></quote>.</text></section><section id="HB277B4485C774305A189DBCE4FF04C8A"><enum>2.</enum><header>Amendments</header><subsection id="HF1223B3B8A884AA5A53738DDE0F85A0B"><enum>(a)</enum><header>Allowance of administrative expenses</header><text display-inline="yes-display-inline">Section 503 of title 11 of the United States Code is amended by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="HB9366D6BD25746F29CDD03B7725AB804" style="traditional"><subsection id="HCB2402E1157A447281F9C498E303E385"><enum>(d)</enum><paragraph commented="no" display-inline="yes-display-inline" id="HF4B00249649445ADBF859B8C26BA7D61"><enum>(1)</enum><text display-inline="yes-display-inline">Notwithstanding any other provision of this section, there shall neither be allowed nor paid a bonus to—</text><subparagraph id="H6A53EE68CE7B4DBBADC1CB0FE13E77B4" indent="up1"><enum>(A)</enum><text>an individual employed by the debtor at an annual rate of compensation exceeding $250,000;</text></subparagraph><subparagraph id="H18365BC1AAB142D393A1C8248201817C" indent="up1"><enum>(B)</enum><text>an insider of the debtor; or</text></subparagraph><subparagraph display-inline="no-display-inline" id="H63C82796E8E9484EB40BEFBDB7C3B754" indent="up1"><enum>(C)</enum><text>an individual employed by the debtor to the extent that such bonus would cause that individual’s annual rate of compensation to exceed $250,000.</text></subparagraph></paragraph><paragraph id="HF3DD3D35FF0E4D14A01081295AAEDF9A" indent="up1"><enum>(2)</enum><text display-inline="yes-display-inline">For purposes of this subsection, the term <quote>bonus</quote> means a transfer to, or obligation incurred for the benefit of, an individual employed by the debtor or insider of the debtor as compensation for services in an amount that—</text><subparagraph id="H16A5E956BC8E472CAE87837BB804B8EE"><enum>(A)</enum><text display-inline="yes-display-inline">is in addition to the existing wages, salary, or base compensation of an insider of the debtor or individual employed by the debtor; and</text></subparagraph><subparagraph id="H375A2406F11C4729B5D9CD7F855DC97B"><enum>(B)</enum><text display-inline="yes-display-inline">can be construed as a form of retention, incentive, or reward related to the services provided to the debtor by the insider or the individual employed by the debtor.</text></subparagraph><continuation-text continuation-text-level="paragraph">The term <quote>bonus</quote> does not include a sales commission. Nor does the term <quote>bonus</quote> include any transfer or obligation pursuant to the terms of a collective bargaining agreement. </continuation-text></paragraph><paragraph id="H7F2D935BBEFA42149EFFC62722556F8A" indent="up1"><enum>(3)</enum><text display-inline="yes-display-inline">The term <quote>an individual employed by the debtor</quote> includes, but is not limited to, an employee, consultant, or contractor.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="H3E4CC5ADA1DD4CA6888EA8186DA14D1E"><enum>(b)</enum><header>Preferences</header><text display-inline="yes-display-inline">Section 547 of title 11 of the United States Code is amended by adding at end the following:</text><quoted-block style="OLC" id="HC82EC129A100435DA4626A127803CECC" display-inline="no-display-inline"><subsection id="H07648D512C9F47CCAA9F202F97F4853C"><enum>(j)</enum><text display-inline="yes-display-inline">Notwithstanding any other provision of this section, the trustee may avoid any transfer of an interest of the debtor in property made within 180 days before the date of the filing of the petition if such transfer is the payment of a bonus of the kind that would be disallowed under subsection (c) or (d) of section 503.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section id="H048DFCFCEDAF4C37B730FA19533BA0C9"><enum>3.</enum><header>Effective date; application of amendment</header><subsection id="HED94A542D1E04EE0B94CE84A30E2C40B"><enum>(a)</enum><header>Effective date</header><text>Except as provided in subsection (b), this Act and the amendment made by this Act shall take effect on the date of the enactment of this Act.</text></subsection><subsection id="H1F87CCB303884B2FB85FB412AEE6E757"><enum>(b)</enum><header>Application of amendment</header><text>The amendment made by this Act shall apply only with respect to cases commenced under title 11 of the United States Code on or after the date of the enactment of this Act.</text></subsection></section></legis-body></bill>
