R. 4871</legis-num><current-chamber>IN THE HOUSE OF REPRESENTATIVES</current-chamber><action display="yes"><action-date date="20210730">July 30, 2021</action-date><action-desc><sponsor name-id="B001251">Mr. Butterfield</sponsor> (for himself and <cosponsor name-id="H001066">Mr. Horsford</cosponsor>) introduced the following bill; which was referred to the <committee-name committee-id="HIF00">Committee on Energy and Commerce</committee-name>, and in addition to the Committee on <committee-name committee-id="HWM00">Ways and Means</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To direct the Federal Communications Commission to take certain actions to increase diversity of ownership in the broadcasting industry, and for other purposes.</official-title></form><legis-body id="H990931460152431B93718B07828185FA" style="OLC"><section id="H0CCC5E0188B24D669ACEDB1EBBDD6872" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Expanding Broadcast Ownership Opportunities Act of 2021</short-title></quote>.</text></section><section id="H20C34180BE684E89BF3F5EE64836917A"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text><paragraph id="H0F92FF6AE5E94141842D9C8E97DEDC5A"><enum>(1)</enum><text>One of the main missions of the Federal Communications Commission, and a compelling governmental interest, is to ensure that there is a diversity of ownership and viewpoints in the broadcasting industry.</text></paragraph><paragraph id="H4402FFF80C7F418BAC5C23AFA31A4F1B"><enum>(2)</enum><text>The Commission should continue to collect relevant data and conduct studies on such diversity, adopt improvements to the data collection and studies, and make appropriate recommendations to Congress on how to increase the number of minority- and women-owned broadcast stations.</text></paragraph><paragraph id="H436035E22EB24EBCAADD5C99B0363223"><enum>(3)</enum><text>Data from 2017 shows that, of the nearly 1,700 full-power commercial broadcast television stations in the United States, less than 6 percent are owned by women, and less than 3 percent are minority-owned. With respect to the nearly 5,500 full-power commercial broadcast radio stations, women owned approximately 7 percent of FM broadcast radio stations, and minorities owned less than 3 percent of such stations.</text></paragraph><paragraph id="H6FA8BD82BF66478097047242B3BAC081"><enum>(4)</enum><text>Women and minority ownership is 5 to 10 times higher in other industries than in the broadcasting industry.</text></paragraph><paragraph id="H6AFE738ADA9443CC959D97EE71E7DC9A"><enum>(5)</enum><text>During the 17 years that a minority tax certificate program was in place at the Commission (from 1978 to 1995), the Commission issued 287 certificates for radio stations and 40 certificates for television stations.</text></paragraph></section><section id="HEB40FF7FD7434BF3A079AE9D8C550050"><enum>3.</enum><header>FCC reports to Congress</header><subsection id="H26208079C20D418B888C8FB62B9EA70F"><enum>(a)</enum><header>Biennial report containing recommendations for increasing number of minority- and women-Owned broadcast stations</header><text>Not later than 180 days after the date of the enactment of this Act, and not less frequently than every 2 years thereafter, the Commission shall submit to Congress a report containing recommendations for how to increase the total number of broadcast stations that are owned or controlled by members of minority groups or women, or by both members of minority groups and women.</text></subsection><subsection id="H3509A6148322499FBA2EC5C556109C2A"><enum>(b)</enum><header>Biennial report on number of minority- and women-Owned broadcast stations</header><text>Not later than 180 days after the date of the enactment of this Act, and not less frequently than every 2 years thereafter, the Commission shall submit to Congress a report that states the total number of broadcast stations that are owned or controlled by members of minority groups or women, or by both members of minority groups and women.</text></subsection></section><section id="HF239FD4E0E8A4FEC896B810590BAAE91"><enum>4.</enum><header>Tax certificate program for broadcast station transactions furthering ownership by socially disadvantaged individuals</header><subsection id="HE156FD82A64D4BF28596B5D7DA040BC3"><enum>(a)</enum><header>Requirements for issuance of certificate by FCC</header><paragraph id="H2FC86339D24A4C0AB75F3C74DA0434F0"><enum>(1)</enum><header>In general</header><text>Part I of title III of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/301">47 U.S.C. 301 et seq.</external-xref>) is amended by adding at the end the following:</text><quoted-block id="H413CA1F8F72A4239AC0A76284773BADC" style="OLC"><section id="H6391527794FB4AC392BA5991457F10F6"><enum>344.</enum><header>Tax certificate program for broadcast station transactions furthering ownership by socially disadvantaged individuals</header><subsection id="H40CE5C001A5947F3BFC4B267445EFBFC"><enum>(a)</enum><header>Issuance of certificate by Commission</header><text>Upon application by a person who engages in a sale of an interest in a broadcast station described in subsection (b), subject to the rules adopted by the Commission under subsection (c), the Commission shall issue to such person a certificate stating that such sale meets the requirements of this section.</text></subsection><subsection id="H7055A478F02E4A33BA0769E84376E8F3"><enum>(b)</enum><header>Sales described</header><text>The sales described in this subsection are the following:</text><paragraph id="H8A7A112E64904BF49D64439216AC6BA5"><enum>(1)</enum><header>Sale resulting in or preserving ownership and control by socially disadvantaged individuals</header><text>A sale of an interest in a broadcast station if, immediately following the sale, the station is owned and controlled by socially disadvantaged individuals (regardless of whether the station was owned and controlled by socially disadvantaged individuals before the sale).</text></paragraph><paragraph id="H7815923E4D43423398C34AAB662F38C6"><enum>(2)</enum><header>Sale by investor in station owned and controlled by socially disadvantaged individuals</header><text>In the case of a person who has contributed capital in exchange for an interest in a broadcast station that is owned and controlled by socially disadvantaged individuals, a sale by such person of some or all of such interest.</text></paragraph></subsection><subsection id="H866A107675504CDE8E38AD11E79137EB"><enum>(c)</enum><header>Rules</header><text>The Commission shall adopt rules for the issuance of a certificate under subsection (a) that provide for the following:</text><paragraph id="H38D427305D374648A94E6F0AB3710AC9"><enum>(1)</enum><header>Limit on value of sale</header><text>A limit on the value of an interest the sale of which qualifies for the issuance of such a certificate. The limit shall be no higher than $50,000,000.</text></paragraph><paragraph id="HC5DFB14DD70B4E47AE45E597468F9CB6"><enum>(2)</enum><header>Minimum holding period</header><text>In the case of a sale described in subsection (b)(1), a minimum period following the sale during which the broadcast station must remain owned and controlled by socially disadvantaged individuals. The minimum period shall be no shorter than 2 years and no longer than 3 years.</text></paragraph><paragraph id="H7D4EA6490EBA487EAC87969E502B1A9B"><enum>(3)</enum><header>Cumulative limit on number or value of sales</header><text>A limit on the total number of sales or the total value of sales, or both, for which a person may be issued certificates under subsection (a).</text></paragraph><paragraph id="HAB89D15787384E6BBCC7A9A84676DC5B"><enum>(4)</enum><header>Participation in station management by socially disadvantaged individuals</header><text>Requirements for participation by socially disadvantaged individuals in the management of the broadcast station.</text></paragraph><paragraph id="H2513472C805644528AB82C71DD8A2957"><enum>(5)</enum><header>Certification</header><text display-inline="yes-display-inline">In the case of a sale described in subsection (b)(1), a requirement that the buyer of the interest in the broadcast station certify, every 6 months during the minimum holding period under paragraph (2), compliance with the rules adopted under paragraphs (2) and (4). The Commission shall report a failure to make the certification required under this paragraph to the Commissioner of Internal Revenue and shall include such failure in the report to Congress under subsection (d) that covers the period during which such failure occurred.</text></paragraph></subsection><subsection id="HC0B50BF97D1341FEA4560B582012C2D9"><enum>(d)</enum><header>Annual report to congress</header><text>The Commission shall submit to Congress an annual report describing the sales for which certificates have been issued under subsection (a) during the period covered by the report.</text></subsection><subsection id="HC2462D874561474CBAFD39E7E8C4E7C6"><enum>(e)</enum><header>Definitions</header><text>In this section:</text><paragraph id="H6B03CC578F9E4AA4BFDD7D778EDFD6EC"><enum>(1)</enum><header>Owned and controlled by socially disadvantaged individuals</header><text>The term <quote>owned and controlled by socially disadvantaged individuals</quote> means, with respect to a broadcast station, that—</text><subparagraph id="H4230CB998E3545B7894BBD2B9A633AD0"><enum>(A)</enum><text display-inline="yes-display-inline">such station is at least 51 percent owned by one or more socially disadvantaged individuals, or, in the case of any publicly owned broadcast station, at least 51 percent of the voting stock of such station is owned by one or more socially disadvantaged individuals, and such individual or individuals have not conferred the right to vote such stock to another; and</text></subparagraph><subparagraph id="HF769703F6689415C856C941B8ED38D90"><enum>(B)</enum><text>the management and daily business operations of such station are controlled by one or more of such individuals.</text></subparagraph></paragraph><paragraph id="HC065D84FA5394E309AB450C2302CCB10"><enum>(2)</enum><header>Socially disadvantaged individual</header><text>The term <quote>socially disadvantaged individual</quote> means a woman or an individual who has been subjected to racial or ethnic prejudice or cultural bias because of the identity of the individual as a member of a group without regard to the individual qualities of the individual.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="HE8D38D07F47D43EBB11A12A7FBB62115"><enum>(2)</enum><header>Deadline for adoption of rules</header><text>The Commission shall adopt rules to implement section 344 of the Communications Act of 1934, as added by paragraph (1), not later than 1 year after the date of the enactment of this Act.</text></paragraph><paragraph id="H04DD57BCD8994A42B6D497E9426836D4"><enum>(3)</enum><header>Report to Congress on program expansion</header><text>Not later than 6 years after the date of the enactment of this Act, the Commission shall submit to Congress a report regarding whether Congress should expand section 344 of the Communications Act of 1934, as added by paragraph (1), beyond broadcast stations to cover other entities regulated by the Commission.</text></paragraph><paragraph id="HA27434517706463AB419FFF0DF17AEAE"><enum>(4)</enum><header>Examination and report to Congress on nexus between diversity of ownership and diversity of viewpoint</header><subparagraph id="H24BEAB39038B475B8C127FE84969DD81"><enum>(A)</enum><header>Examination</header><text>Not later than 60 days after the date of the enactment of this Act, the Commission shall initiate an examination of whether there is a nexus between diversity of ownership or control of broadcast stations (including ownership or control by members of minority groups or women, or by both members of minority groups and women) and diversity of the viewpoints expressed in the matter broadcast by broadcast stations.</text></subparagraph><subparagraph id="H09226771505E41A1B65AD5C5E4D8B31F"><enum>(B)</enum><header>Report to Congress</header><text>Not later than 2 years after the date of the enactment of this Act, the Commission shall submit to Congress a report on the findings of the Commission in the examination under subparagraph (A), including supporting data.</text></subparagraph></paragraph></subsection><subsection id="HD8FEECB9065541978FA80D159FB9B8E2"><enum>(b)</enum><header>Nonrecognition of gain or loss for tax purposes</header><paragraph id="H21E45AED5E664418918705C427A951EA"><enum>(1)</enum><header>In general</header><text>Subchapter O of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 is amended by inserting after part IV the following new part:</text><quoted-block id="HA59DFD73639547709B7BE0D927C34744" style="OLC"><part id="HF38343EF86FC4A3B9747F2F13B332A12"><enum>V</enum><header>Sale of Interest in Certain Broadcast Stations</header><toc regeneration="no-regeneration"><toc-entry level="section">Sec. 1071. Nonrecognition of gain or loss from sale of interest in certain broadcast stations.</toc-entry></toc><section id="HE64FD7706C9941BBA02A921311108943"><enum>1071.</enum><header>Nonrecognition of gain or loss from sale of interest in certain broadcast stations</header><subsection id="HA541E7F98A8D4A9D8389D530E0067BCD"><enum>(a)</enum><header>Nonrecognition of gain or loss</header><text>If a sale of an interest in a broadcast station, within the meaning of section 344 of the Communications Act of 1934, is certified by the Federal Communications Commission under such section, such sale shall, if the taxpayer so elects, be treated as an involuntary conversion of such property within the meaning of section 1033. For purposes of such section as made applicable by the provisions of this section, stock of a corporation operating a broadcast station shall be treated as property similar or related in service or use to the property so converted. The part of the gain, if any, on such sale to which section 1033 is not applied shall nevertheless not be recognized, if the taxpayer so elects, to the extent that it is applied to reduce the basis for determining gain or loss on any such sale, of a character subject to the allowance for depreciation under section 167, remaining in the hands of the taxpayer immediately after the sale, or acquired in the same taxable year. The manner and amount of such reduction shall be determined under regulations prescribed by the Secretary. Any election made by the taxpayer under this section shall be made by a statement to that effect in his return for the taxable year in which the sale takes place, and such election shall be binding for the taxable year and all subsequent taxable years.</text></subsection><subsection id="HEC59B353E7C942549E4D202905DCC6A9"><enum>(b)</enum><header>Minimum holding period; continued management</header><text>If—</text><paragraph id="H2F1A866A070840A1988C237F8C4C4194"><enum>(1)</enum><text>there is nonrecognition of gain or loss to a taxpayer under this section with respect to a sale of property (determined without regard to this paragraph), and</text></paragraph><paragraph id="HC112960A294C4A4180A0FB48CEA91898"><enum>(2)</enum><text display-inline="yes-display-inline">the sale of the interest in the broadcast station fails to meet the requirements of the rules adopted by the Federal Communications Commission under paragraph (2), (4), or (5) of section 344(c) of the Communications Act of 1934 (as such rules are in effect on the date of such sale),</text></paragraph><continuation-text continuation-text-level="subsection">there shall be no nonrecognition of gain or loss under this section to the taxpayer with respect to such sale, except that any gain or loss recognized by the taxpayer by reason of this subsection shall be taken into account as of the first date on which the sale so fails to fulfill such requirements. </continuation-text></subsection><subsection id="H02BE98BA9015488CB41C3C9677C47A01"><enum>(c)</enum><header>Basis</header><text>For basis of property acquired on a sale treated as an involuntary conversion under subsection (a), see section 1033(b).</text></subsection></section></part><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="H7E288373DF1C466AB9A03DD6D3B37229"><enum>(2)</enum><header>Clerical amendment</header><text>The table of parts for subchapter O of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 is amended by inserting after the item relating to part IV the following new item:</text><quoted-block style="OLC" display-inline="no-display-inline" id="id64A988009F5149FC84C56B0604BA0E2D"><toc><toc-entry level="section" bold="off">Part V. Sale of interest in certain broadcast stations.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection id="H2D92252777E1400EAB9180D4DF0CD605"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply with respect to sales of interests in broadcast stations after the date that is 1 year after the date of the enactment of this Act.</text></subsection><subsection id="H8DDD8B60A6C24032A0116A7389D27A65"><enum>(d)</enum><header>Sunset</header><text>The amendments made by this section shall not apply with respect to sales of interests in broadcast stations after the date that is 16 years after the date of the enactment of this Act.</text></subsection></section><section id="HC72A820EED3148B2A3EA7AEC0DFB3314"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="HD163685AD4D44F3E8408707D9DA2A85F"><enum>(1)</enum><header>Broadcast station</header><text>The term <quote>broadcast station</quote> has the meaning given such term in section 3 of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/153">47 U.S.C. 153</external-xref>).</text></paragraph><paragraph id="HCBDD56017D2F4ECC97B73A3BA6E6EB2E"><enum>(2)</enum><header>Commission</header><text>The term <quote>Commission</quote> means the Federal Communications Commission.</text></paragraph></section></legis-body></bill>
