which was referred to the <committee-name committee-id="HIF00">Committee on Energy and Commerce</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To increase consumer protection with respect to negative option agreements entered in all media, including on and off the internet, and for other purposes.</official-title></form><legis-body id="H41B589C00EEC405EBB7BE1DA0AD53BBB" style="OLC"><section id="H7225DBF27F8C464182C664A1902C0FB3" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Unsubscribe Act of 2021</short-title></quote>.</text></section><section id="HF394501E3C884A67827254C5D7F24E16" section-type="subsequent-section"><enum>2.</enum><header>Increased consumer protection with respect to negative option agreements entered into on the internet</header><subsection id="HAC273EB34836426FAFDF5F302353BD68"><enum>(a)</enum><header>Cancellation of negative option agreements</header><text display-inline="yes-display-inline">No person may enter into a negative option agreement with any consumer, unless the negative option agreement provides the consumer with a mechanism to cancel the agreement in the same manner, and by the same means, into which the agreement was entered.</text></subsection><subsection id="HDAAE2B51F61945BD9F9BDB1CF74E790C"><enum>(b)</enum><header>Requirements for free-To-Pay conversion contracts</header><paragraph id="H894CCAD2AEB148AEA9549F1F2754EA0F"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">It shall be unlawful for any person to charge or attempt to charge any consumer’s credit card, debit card, bank account, or other financial account for any good or service sold in a free-to-pay conversion contract, unless—</text><subparagraph id="H69EBAAC9CF314DE1B6FECB5BA8C0121C"><enum>(A)</enum><text>before obtaining the consumer’s billing information, the person has obtained the consumer’s express informed consent to enter into the contract and has provided the consumer with a notification of the terms of the contract, including the fact that—</text><clause id="H30D8DB8FF3914854A4C52FF2724F8B19"><enum>(i)</enum><text>for an introductory period, the consumer will receive the good or service at no charge or for a nominal charge; and</text></clause><clause id="H3E9AE3F00E4D4D1587AC18349641A716"><enum>(ii)</enum><text>after the introductory period, the consumer will be charged or charged an increased amount for the good or service; and</text></clause></subparagraph><subparagraph id="H184D3BDC410D47F5AF9E17DE40A73379"><enum>(B)</enum><text display-inline="yes-display-inline">before the initial charge or initial increase after the introductory period, the person requires the consumer to perform an additional affirmative action, such as clicking on a confirmation button or checking a box, which indicates the consumer’s consent to be charged the amount disclosed.</text></subparagraph></paragraph><paragraph id="H07ADEEF8D66340A5ADA6D73F4331E1BC"><enum>(2)</enum><header>Mandatory notifications</header><text>After the introductory period in a free-to-pay conversion contract between any person and any consumer, and on a quarterly basis while the contract remains in effect, the person shall provide the consumer with a copy of the notification of the terms of the contract.</text></paragraph></subsection><subsection id="HA32D31DCC3EA433EAEEE7BEB23AFDBF5"><enum>(c)</enum><header>Mandatory notifications with respect to other negative option agreements</header><paragraph id="H0DF0A8908B4348DE8BC75B712C751E43"><enum>(1)</enum><header>Automatic renewal contracts</header><text display-inline="yes-display-inline">With respect to an automatic renewal contract between any person and any consumer—</text><subparagraph id="HD5DEB7A864A24693860AD3CB1433A5FB"><enum>(A)</enum><text display-inline="yes-display-inline">between 2 and 7 days before the end of the initial fixed period in the contract, the person shall provide the consumer with a notification of the terms of the contract; and</text></subparagraph><subparagraph id="HEA09875081AE44F8924A6C50F073C16F"><enum>(B)</enum><text display-inline="yes-display-inline">after the initial fixed period in the contract, and on a quarterly basis while the contract remains in effect, the person shall provide the consumer with a copy of the notification of the terms of the contract.</text></subparagraph></paragraph><paragraph id="H5F7C4061881349E5B6C58B32FBE97E90"><enum>(2)</enum><header>Continuity plan contracts</header><text display-inline="yes-display-inline">With respect to a continuity plan contract entered into between any person and any consumer, the person shall provide the consumer with a copy of the notification of the terms of the contract on a quarterly basis while the contract remains in effect.</text></paragraph></subsection><subsection id="H076C516737ED430FB5008FF1DEBD02E2"><enum>(d)</enum><header>Mandatory notifications with respect to material changes in terms of negative option agreements</header><text>In the case of a material change in the terms of a negative option agreement between any person and a consumer, the person shall provide the consumer with a notification of the terms of the agreement as changed before the change takes effect.</text></subsection><subsection id="HFD09C7B0105C4C869B224F466AFB0F7F"><enum>(e)</enum><header>Regulations</header><text>The Federal Trade Commission may prescribe regulations under section 553 of title 5, United States Code, to carry out this Act.</text></subsection></section><section id="H9E48525577564AB7AA296C5DCC49BBDC"><enum>3.</enum><header>Enforcement</header><subsection id="HC5666EC7E7234EAFBCF9B0C9E861C822"><enum>(a)</enum><header>By Federal Trade Commission</header><paragraph id="HEF947BD12A9443DD966172B94D2223EC"><enum>(1)</enum><header>In General</header><text display-inline="yes-display-inline">A violation of this Act or any regulation prescribed under this Act shall be treated as a violation of a rule issued under section 18(a)(1)(B) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/57a">15 U.S.C. 57a(a)(1)(B)</external-xref>) regarding unfair or deceptive acts or practices. The Federal Trade Commission shall enforce this Act in the same manner, by the same means, and with the same jurisdiction, powers, and duties as though all applicable terms and provisions of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41 et seq.</external-xref>) were incorporated into and made a part of this Act.</text></paragraph><paragraph id="HC37FE8F4BBB04B2D8D3F8FEAAFEF6245"><enum>(2)</enum><header>Penalties</header><text>Any person who violates this Act or any regulation prescribed under this Act shall be subject to the penalties and entitled to the privileges and immunities provided in the Federal Trade Commission Act as though all applicable terms and provisions of the Federal Trade Commission Act were incorporated in and made part of this Act.</text></paragraph></subsection><subsection id="HAFC7B69822A94A09AE977EBAB39AD5D9"><enum>(b)</enum><header>By State Attorneys General</header><paragraph id="H9D82DD5A4C7F4C02BC671E58F456841A"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided in paragraph (5), the attorney general of a State or other authorized State officer alleging a violation of this Act or any regulation prescribed under this Act that affects or may affect the State or the residents of the State may bring an action on behalf of the residents of the State in any United States district court for the district in which the defendant is found, resides, or transacts business, or wherever venue is proper under section 1391 of title 28, United States Code, to obtain appropriate injunctive relief.</text></paragraph><paragraph id="H4AB3E26C7CCA40DDBEBAF189FFE28BB5"><enum>(2)</enum><header>Notice to Commission required</header><text display-inline="yes-display-inline">A State shall provide prior written notice to the Federal Trade Commission of any civil action brought under paragraph (1) with a copy of the complaint for the civil action, except that if providing such prior notice is not feasible for the State, the State shall provide notice immediately upon instituting the civil action.</text></paragraph><paragraph id="H791AD9D0A02F471280F6D5D9DA7F74A1"><enum>(3)</enum><header>Intervention by the Commission</header><text display-inline="yes-display-inline">The Federal Trade Commission may intervene in a civil action brought under paragraph (1) and upon intervening—</text><subparagraph id="H46599EDBBD12462A82A96EC30BD778B2"><enum>(A)</enum><text>may be heard on all matters arising in the civil action; and</text></subparagraph><subparagraph id="HB6D1FD61AB154921B80D040898EAA384"><enum>(B)</enum><text>may file petitions for appeal of a decision in the civil action.</text></subparagraph></paragraph><paragraph id="H99355A3FE0B547A883D2B006728FB478"><enum>(4)</enum><header>Construction</header><text display-inline="yes-display-inline">Nothing in this subsection shall be construed—</text><subparagraph id="HAB0306D9F8FF466E9B4891D860356D74"><enum>(A)</enum><text>to prevent the attorney general of a State or other authorized State officer from exercising the powers conferred on the attorney general or other authorized State officer by the laws of the State; or</text></subparagraph><subparagraph id="H98033E25112A42D99C2EE0F0C1683136"><enum>(B)</enum><text>to prohibit the attorney general of a State or other authorized State officer from proceeding in State or Federal court on the basis of an alleged violation of any civil or criminal statute of that State.</text></subparagraph></paragraph><paragraph id="H8DFB507EEE9E4893BE8BE8EE6360B921"><enum>(5)</enum><header>Limitation</header><text>An action may not be brought under this subsection if, at the time the action is brought, the same alleged violation is the subject of a pending action by the Federal Trade Commission or the United States.</text></paragraph></subsection></section><section id="H6CA1F977E81A4CCD8AE015ABD9F67569" commented="no"><enum>4.</enum><header>Preemption of directly conflicting State law</header><text display-inline="no-display-inline">This Act supersedes any State law to the extent such law directly conflicts with the provisions of this Act, or a standard, rule, or regulation promulgated under this Act, and then only to the extent of such direct conflict. Any State law, rule, or regulation shall not be considered in direct conflict if it affords a greater level of protection to individuals protected under this Act.</text></section><section id="HD14591C19759423B955FC1A34028788D"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="H0BA2A9128CE743BB804C38B2B4601AA6"><enum>(1)</enum><header>Automatic renewal contract</header><text display-inline="yes-display-inline">The term <quote>automatic renewal contract</quote> means a contract between any person and any consumer for a good or service that is automatically renewed after an initial fixed period, unless the consumer instructs otherwise.</text></paragraph><paragraph id="H80FA1AFFBA01407AA6B2C557B729B602"><enum>(2)</enum><header>Continuity plan contract</header><text display-inline="yes-display-inline">The term <quote>continuity plan contract</quote> means a contract between any person and any consumer under which the consumer agrees to incur charges in exchange for periodic shipments of goods or the provision of services, unless the consumer instructs otherwise.</text></paragraph><paragraph id="H107F49E1C42046A698E9857074DB79F5"><enum>(3)</enum><header>Free-to-pay conversion contract</header><text display-inline="yes-display-inline">The term <quote>free-to-pay conversion contract</quote> means a contract between any person and any consumer under which—</text><subparagraph id="HCFFB8E41A6AE4A1ABF2F6C84F3A3286E"><enum>(A)</enum><text>for an introductory period, the consumer receives a good or service at no charge or for a nominal charge; and</text></subparagraph><subparagraph id="H4F73773C5D284DC0A1DBEF093E6A7CB4"><enum>(B)</enum><text display-inline="yes-display-inline">after the introductory period, the consumer is charged or charged an increased amount for the good or service.</text></subparagraph></paragraph><paragraph id="HD641A70791B7433F919C247F8A823043"><enum>(4)</enum><header>Negative option agreement</header><text>The term <quote>negative option agreement</quote> means—</text><subparagraph id="H469240FF255740B7A2C4F92EF04CBBE6"><enum>(A)</enum><text>an automatic renewal contract;</text></subparagraph><subparagraph id="H370112C30DB3410FBCE01E508E1E1AA4"><enum>(B)</enum><text>a continuity plan contract;</text></subparagraph><subparagraph id="HB50171920C264FF59710756CB61F8DF8"><enum>(C)</enum><text>a free-to-pay conversion contract;</text></subparagraph><subparagraph id="HA0A498E42CD242D885893E5677EA1DDF"><enum>(D)</enum><text>a pre-notification negative option plan contract; or</text></subparagraph><subparagraph id="H3EBF432AE841405F81842D6B00FBA159"><enum>(E)</enum><text>any combination of the contracts described in subparagraphs (A) through (D).</text></subparagraph></paragraph><paragraph id="H7CFC7286212C4E6086425CFCF25D1E97"><enum>(5)</enum><header>Notification</header><text>The term <quote>notification</quote>, when used with respect to the terms of a contract, means a written notification that clearly, conspicuously, and concisely states all material terms of the contract, including information regarding the cancellation process.</text></paragraph><paragraph id="H7CC4839FD133465396D3287A3ECE79A3"><enum>(6)</enum><header>Pre-notification negative option plan contract</header><text display-inline="yes-display-inline">The term <quote>pre-notification negative option plan contract</quote> means a contract between any person and any consumer under which the consumer receives periodic notices offering goods and, unless the consumer specifically rejects the offer, the consumer automatically receives the goods and incurs a charge for such goods.</text></paragraph></section><section id="H1C5D17A4E2AA4AEC9B49B42970129AF0"><enum>6.</enum><header>Effective date</header><text display-inline="no-display-inline">This Act shall apply with respect to contracts entered into after the date that is 1 year after the date of the enactment of this Act.</text></section></legis-body></bill>
