which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To provide for a 5-year extension of certain exemptions and reduced disclosure requirements for companies that were emerging growth companies and would continue to be emerging growth companies but for the 5-year restriction on emerging growth companies, and for other purposes.</official-title></form><legis-body id="HAF5029CDBF334FA18B5709C99057DF58" style="OLC"><section id="H6FE31FE220DB4AA8AE24F8142CF15959" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Helping Startups Continue To Grow Act</short-title></quote>.</text></section><section id="H04355AB3988049DDB8568DB8730E0CA8"><enum>2.</enum><header>On-ramp extension</header><subsection id="HA2E3E1BACB4D419DB5D7DDA18139FDB0"><enum>(a)</enum><header>Definition of a recent emerging growth company</header><paragraph id="H2AF5E6779FB44644A134518B76BD6DD9"><enum>(1)</enum><header>Securities Act of 1933</header><text>Section 2(a) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77b">15 U.S.C. 77b(a)</external-xref>) is amended by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="HC6A9C9AE13E14BE387DCCF0BAAAD20B8" style="OLC"><paragraph id="H1924F87242594890A59BE66A1601B94A"><enum>(20)</enum><header>Recent emerging growth company</header><text display-inline="yes-display-inline">The term <term>recent emerging growth company</term> means an issuer that—</text><subparagraph id="H30AFF3B6B8224E53B6FCB971BD9E0B05"><enum>(A)</enum><text>was, but is no longer, an emerging growth company;</text></subparagraph><subparagraph id="HC7862856B79D44DE9CB37523485DF3DB"><enum>(B)</enum><text>would continue to be an emerging growth company but for the application of subparagraph (B) of paragraph (19); and</text></subparagraph><subparagraph id="HA67A482F552B4A9F8A37E7C1D9F82E87"><enum>(C)</enum><text>ceased to be an emerging growth company within the previous 5-year period.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="HACB8750244D34376974A92A56D7F9672"><enum>(2)</enum><header>Securities Exchange Act of 1934</header><text>Section 3(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)</external-xref>) is amended—</text><subparagraph id="HAF51135DE40B47B0B65AAD425C43587A"><enum>(A)</enum><text>by redesignating the second paragraph (80) as paragraph (81); and</text></subparagraph><subparagraph id="HB20D67A266E34088B850A7A1712F4DE0"><enum>(B)</enum><text>by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="HEE6FCC7F38DC4141A9CCB99723F1D53D" style="OLC"><paragraph id="H48E553EBDD5C444DAAC8D567EB90EDE1"><enum>(82)</enum><header>Recent emerging growth company</header><text display-inline="yes-display-inline">The term <term>recent emerging growth company</term> means an issuer that—</text><subparagraph id="H65D06117C52C4F7EAC6C61304366C603"><enum>(A)</enum><text>was, but is no longer, an emerging growth company;</text></subparagraph><subparagraph id="H15E228892FD74AD4B775BAF2C31B5A82"><enum>(B)</enum><text>would continue to be an emerging growth company but for the application of subparagraph (B) of paragraph (80); and</text></subparagraph><subparagraph id="HF0530C9ED8A342AEA070674D59507394"><enum>(C)</enum><text>ceased to be an emerging growth company within the previous 5-year period.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection><subsection id="H8FE069A727854475B38013DA06EE9DE7"><enum>(b)</enum><header>Streamlined financial disclosures</header><paragraph id="H9C8DDF596C534C97AEEFE633F14A82F4"><enum>(1)</enum><header>Securities Act of 1933</header><text>Section 7(a)(2) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77g">15 U.S.C. 77g(a)(2)</external-xref>) is amended—</text><subparagraph id="H3962CE89D03F4C759DF7D4F5F26283FB"><enum>(A)</enum><text>by inserting after <quote>An emerging growth company</quote> the following: <quote>and a recent emerging growth company</quote>; and</text></subparagraph><subparagraph id="H6E7763AC7F974F0AB500AE06B4404FA3"><enum>(B)</enum><text>in subparagraph (A)—</text><clause id="H30D5B63AEC404C1CB6E6C7FC35C711A8"><enum>(i)</enum><text>by striking <quote>such emerging growth company</quote> and inserting <quote>such company</quote>; and</text></clause><clause id="HD4D4F2C8D7A34685932A50147BE73C59"><enum>(ii)</enum><text>by striking <quote>an emerging growth company</quote> and inserting <quote>such company</quote>.</text></clause></subparagraph></paragraph><paragraph id="H6110C44232F14A1997A7C91716DD947D"><enum>(2)</enum><header>Securities Exchange Act of 1934</header><text display-inline="yes-display-inline">Section 13(a) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m(a)</external-xref>) is amended by adding at the end the following: <quote>The previous sentence shall apply, to the same extent as such sentence applies to an emerging growth company, to a recent emerging growth company.</quote>.</text></paragraph><paragraph id="H59D0351705904EB8A861B5ADFBB9BF99"><enum>(3)</enum><header>Other disclosures</header><text display-inline="yes-display-inline">A recent emerging growth company (as defined under section 2 of the Securities Act of 1933) may comply with section 229.303(a) of title 17, Code of Federal Regulations, or any successor thereto, by providing information required by such section with respect to the financial statements of the company for each period presented pursuant to section 7(a) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77g">15 U.S.C. 77g(a)</external-xref>). Such a company may comply with section 229.402 of title 17, Code of Federal Regulations, or any successor thereto, by disclosing the same information as any issuer with a market value of outstanding voting and nonvoting common equity held by non-affiliates of less than $75,000,000.</text></paragraph></subsection><subsection id="H1633D6CA902748E7A2F765ED3C964A75"><enum>(c)</enum><header>Draft registration statements</header><text display-inline="yes-display-inline">Section 6(e)(1) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77f">15 U.S.C. 77f(e)(1)</external-xref>) is amended—</text><paragraph id="HB29AD4876AAE44D1837769DD4705AE04"><enum>(1)</enum><text>by striking <quote>emerging growth company</quote> each place such term appears and inserting <quote>emerging growth company or recent emerging growth company</quote>; and</text></paragraph><paragraph id="H39CC7C44EEE0402BA5CD45A7FDEB32AE" commented="no"><enum>(2)</enum><text>by striking <quote>emerging market growth company</quote> and inserting <quote>emerging growth company or recent emerging growth company</quote>. </text></paragraph></subsection><subsection id="HE3BCC0DE4CF44898A5B29B9671130BA5"><enum>(d)</enum><header>Executive compensation disclosures</header><paragraph id="H8814A9C09BF543D0BAE4971F29858184"><enum>(1)</enum><header>Certain shareholder disclosures</header><text>Section 14A(e)(2) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78n-1">15 U.S.C. 78n–1(e)</external-xref>) is amended—</text><subparagraph id="H6597F8BB47DD4409BC4B176FA925B1CF"><enum>(A)</enum><text display-inline="yes-display-inline">in subparagraph (A), by striking <quote>An emerging growth company</quote> and inserting the following <quote>Any emerging growth company or recent emerging growth company</quote>; and</text></subparagraph><subparagraph id="HC603195D216C44688AE4F2E5D181C585"><enum>(B)</enum><text>in subparagraph (B)—</text><clause id="HC6E17770A59D4F2EA0808C3DCA527374"><enum>(i)</enum><text>in the heading, by striking <quote><header-in-text level="subparagraph" style="OLC">termination of emerging growth company treatment</header-in-text></quote> and inserting <quote><header-in-text level="subparagraph" style="OLC">exemption</header-in-text></quote>;</text></clause><clause id="HBA2CBF9864B8418E8D63EFD5A5DE0A64"><enum>(ii)</enum><text>by striking <quote>an emerging growth company but is no longer an emerging growth company</quote> and inserting <quote>exempt under subparagraph (A) but is no longer exempt</quote>; and</text></clause><clause id="HEAC349F28D6245099826B828A831B41F"><enum>(iii)</enum><text>in clause (ii), by inserting before the period the following: <quote>or a recent emerging growth company</quote>.</text></clause></subparagraph></paragraph><paragraph id="HB13B14669DB741DF841D1C988550CD7F"><enum>(2)</enum><header>Pay ratio disclosures</header><text display-inline="yes-display-inline">Section 953(b)(1) of the Investor Protection and Securities Reform Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/15/78l">15 U.S.C. 78l</external-xref> note) is amended, by striking <quote>, as that term is defined in</quote> and inserting <quote>or a recent emerging growth company, as such terms are defined, respectively, under</quote>.</text></paragraph><paragraph id="H7931825889E64A4D9F6527B39869115C"><enum>(3)</enum><header>Pay vs. performance disclosures</header><text display-inline="yes-display-inline">Section 14(i) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78n">15 U.S.C. 78n(i)</external-xref>) is amended by inserting after <quote>emerging growth company</quote> the following: <quote>or a recent emerging growth company</quote>.</text></paragraph><paragraph id="H0FA1302D2D564D359ABD9E16FD43B1F5"><enum>(4)</enum><header>Simplified executive compensation disclosures</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall amend section 229.402(l) of title 17, Code of Federal Regulations, to permit a recent emerging growth company (as defined under section 2 of the Securities Act of 1933) to make use of the same scaled disclosures for executive compensation that are available pursuant to such section for smaller reporting companies and emerging growth companies.</text></paragraph></subsection></section></legis-body></bill>
