which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Act of 1933 to expand the ability to use testing the waters and confidential draft registration submissions, and for other purposes.</official-title></form><legis-body id="HC760EE79ACD244A78572A3694866FEB2" style="OLC"><section id="H6D7B0C89B2C149E799AC44ECD526A732" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Encouraging Public Offerings Act of 2021</short-title></quote>.</text></section><section id="HE64FFBF5E65F49FC950799B074F3E136"><enum>2.</enum><header>Expanding testing the waters and confidential submissions</header><text display-inline="no-display-inline">The Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77a">15 U.S.C. 77a</external-xref> et seq.) is amended—</text><paragraph id="H75497CF5C95F471C9EE8728080A003C0"><enum>(1)</enum><text>in section 5(d) (<external-xref legal-doc="usc" parsable-cite="usc/15/77e">15 U.S.C. 77e(d)</external-xref>)—</text><subparagraph id="H982EA626F76045B0B45CCE60C6CF4E50"><enum>(A)</enum><text display-inline="yes-display-inline">by striking <quote>Notwithstanding</quote> and inserting the following:</text><quoted-block display-inline="no-display-inline" id="H2D2E51C890264B528082137BB12F7E4B" style="OLC"><paragraph id="H879018DD71E74E1CB1ECA3A309E148CC"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Notwithstanding</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="HBAA1D592B4B64384A2FCA924C9877C69"><enum>(B)</enum><text>by striking <quote>an emerging growth company or any person authorized to act on behalf of an emerging growth company</quote> and inserting <quote>an issuer or any person authorized to act on behalf of an issuer</quote>; and</text></subparagraph><subparagraph id="H61426A8D49AC470EA52BFAC7BE242784"><enum>(C)</enum><text>by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="H11D277831696408589AFB55DCB3510DD" style="OLC"><paragraph id="H8E2790D2FDC948DCBC47F4B7FAC3CDF7"><enum>(2)</enum><header>Additional requirements</header><subparagraph id="HB95C11C6749948D4A3730C1303927024"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The Commission may promulgate regulations, subject to public notice and comment, to impose such other terms, conditions, or requirements on the engaging in oral or written communications described under paragraph (1) by an issuer other than an emerging growth company as the Commission determines appropriate.</text></subparagraph><subparagraph id="HC0105154E99D48199284D13CECE36953"><enum>(B)</enum><header>Report to Congress</header><text display-inline="yes-display-inline">Prior to any rulemaking described under subparagraph (A), the Commission shall submit to Congress a report containing a list of the findings supporting the basis of the rulemaking.</text></subparagraph></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph><paragraph id="H694F9A59F1014814B7DC77CA14350CEC"><enum>(2)</enum><text>in section 6(e) (<external-xref legal-doc="usc" parsable-cite="usc/15/77f">15 U.S.C. 77f(e)</external-xref>)—</text><subparagraph id="HCCC2DD76FF544CD29DF386D00C844047"><enum>(A)</enum><text>in the heading, by striking <quote><header-in-text level="subsection" style="OLC">Emerging growth companies</header-in-text></quote> and inserting <quote><header-in-text level="subsection" style="OLC">Draft registration statements</header-in-text></quote>;</text></subparagraph><subparagraph id="H2179351674EA4F62A49AA4A8F9C74811"><enum>(B)</enum><text display-inline="yes-display-inline">by redesignating paragraph (2) as paragraph (4); and</text></subparagraph><subparagraph id="HE1B6B69AFFF04DF68683D8A4CF6147D8"><enum>(C)</enum><text>by striking paragraph (1) and inserting the following:</text><quoted-block display-inline="no-display-inline" id="H737AE05F4ED74B08A7F9E82171926416" style="OLC"><paragraph id="H75B6BEA04719426C81A9554CE4254A04"><enum>(1)</enum><header>Prior to initial public offering</header><text display-inline="yes-display-inline">Any issuer, prior to its initial public offering date, may confidentially submit to the Commission a draft registration statement, for confidential nonpublic review by the staff of the Commission prior to public filing, provided that the initial confidential submission and all amendments thereto shall be publicly filed with the Commission not later than 15 days before the date on which the issuer conducts a road show, as defined in section 230.433(h) of title 17, Code of Federal Regulations, or, in the absence of a road show, at least 15 days prior to the requested effective date of the registration statement.</text></paragraph><paragraph id="H9BAF73209FBF4DE997A6E5764BD02F02"><enum>(2)</enum><header>Within 1 year after initial public offering or exchange registration</header><text display-inline="yes-display-inline">Any issuer, within the 1-year period following its initial public offering or its registration of a security under section 12(b) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78l">15 U.S.C. 78l(b)</external-xref>), may confidentially submit to the Commission a draft registration statement, for confidential nonpublic review by the staff of the Commission prior to public filing, provided that the initial confidential submission and all amendments thereto shall be publicly filed with the Commission not later than 15 days before the date on which the issuer conducts a road show, as defined in section 230.433(h) of title 17, Code of Federal Regulations, or, in the absence of a road show, at least 15 days prior to the requested effective date of the registration statement.</text></paragraph><paragraph id="H7EBF12CA907E4828857B58E0E48EE7C0"><enum>(3)</enum><header>Additional requirements</header><subparagraph id="H11993F0F824244A18C86194207FCFB28"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The Commission may promulgate regulations, subject to public notice and comment, to impose such other terms, conditions, or requirements on the submission of draft registration statements described under this subsection by an issuer other than an emerging growth company as the Commission determines appropriate.</text></subparagraph><subparagraph id="HFAE216DA815149228965E41E4095FD6A"><enum>(B)</enum><header>Report to Congress</header><text display-inline="yes-display-inline">Prior to any rulemaking described under subparagraph (A), the Commission shall submit to Congress a report containing a list of the findings supporting the basis of the rulemaking.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></section></legis-body></bill>
