<official-title display="yes">To reauthorize the EB–5 Regional Center Program in order to prevent fraud and to promote and reform foreign capital investment and job creation in American communities.</official-title>

<section id="HC7E913792B7842619E3F246606D225C3" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>EB–5 Reform and Integrity Act of 2021</short-title></quote>.</text></section> <section id="HF137792B8D2C4869B2E73158AA521F9B"><enum>2.</enum><header>Reauthorization and reform of the Regional Center Program</header> <subsection id="H58F63BF5BC1844949737D8DEFFCE6AF0"><enum>(a)</enum><header>Repeal</header><text>Section 610 of the Departments of Commerce, Justice, and State, the Judiciary, and Related Agencies Appropriations Act, 1993 (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153</external-xref> note) is repealed.</text></subsection>
<subsection id="HE372ABD63BE54836BAF191DE49F385E4"><enum>(b)</enum><header>Authorization</header><text>Section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>) is amended by adding at the end the following:</text> <quoted-block style="OLC" display-inline="no-display-inline" id="H42229E37603B4BBA98BC116E8815A13C"> <subparagraph id="HFB37E2D2468342A988B5C6741F0074FB"><enum>(E)</enum><header>Regional center program</header> <clause id="H149BBA66663842E2BB441481AF54B755"><enum>(i)</enum><header>In general</header><text>Visas under this paragraph shall be made available through September 30, 2026, to qualified immigrants (and the eligible spouses and children of such immigrants) pooling their investments with 1 or more qualified immigrants participating in a program implementing this paragraph that involves a regional center in the United States, which has been designated by the Secretary of Homeland Security on the basis of a proposal for the promotion of economic growth, including prospective job creation and increased domestic capital investment.</text></clause>
<clause id="HCA4C6423A5D84CA59A6B3CC603B0CC26"><enum>(ii)</enum><header>Processing</header><text>In processing petitions under section 204(a)(1)(H) for classification under this paragraph, the Secretary of Homeland Security—</text> <subclause id="H25E984DFE45F41E1AA530027FC6C8963"><enum>(I)</enum><text>may process petitions in a manner and order established by the Secretary; and</text></subclause>
<subclause id="H62243273591744A4A35219F8114B7A11"><enum>(II)</enum><text>shall deem such petitions to include records previously filed with the Secretary pursuant to subparagraph (F) if the alien petitioner certifies that such records are incorporated by reference into the alien’s petition.</text></subclause></clause> <clause id="H0A750F8CB10F4C18BBF50E4085061F83"><enum>(iii)</enum><header>Establishment of a regional center</header><text>A regional center shall operate within a defined, contiguous, and limited geographic area, which shall be described in the proposal and be consistent with the purpose of concentrating pooled investment within such area. The proposal to establish a regional center shall demonstrate that the pooled investment will have a substantive economic impact on such geographic area, and shall include—</text>
<subclause id="H5843F87BD0C34CF69D8B42EF4F68742C"><enum>(I)</enum><text>reasonable predictions, supported by economically and statistically valid and transparent forecasting tools, concerning the amount of investment that will be pooled, the kinds of commercial enterprises that will receive such investments, details of the jobs that will be created directly or indirectly as a result of such investments, and other positive economic effects such investments will have;</text></subclause> <subclause id="HDD3F8E510AD549B1BD0C45DAEEFB7F37"><enum>(II)</enum><text>a description of the policies and procedures in place reasonably designed to monitor new commercial enterprises and any associated job-creating entity to seek to ensure compliance with—</text>
<item id="HD3BEB39E562A480FA5FE5C390F8DA613"><enum>(aa)</enum><text>all applicable laws, regulations, and executive orders of the United States, including immigration laws, criminal laws, and securities laws; and </text></item> <item id="H84027FF0FF8F4E94A709BF38A789DFE2"><enum>(bb)</enum><text>all securities laws of each State in which securities offerings will be conducted, investment advice will be rendered, or the offerors or offerees reside; </text></item></subclause>
<subclause id="H198A862CAC0742DF9FC0B29BE50CF27F"><enum>(III)</enum><text>attestations and information confirming that all persons involved with the regional center meet the requirements under clauses (i) and (ii) of subparagraph (H);</text></subclause> <subclause id="H0FC434C4DAEA40E1B4ED670A54A2420E"><enum>(IV)</enum><text>a description of the policies and procedures in place that are reasonably designed to ensure program compliance; and</text></subclause>
<subclause id="H4C43D03943474BCC94954BEDFC556E9F"><enum>(V)</enum><text>the identities of all natural persons involved in the regional center, as described in subparagraph (H)(v). </text></subclause></clause> <clause id="HFE5052E4B7334D3CB2E6A1B6BE29D1C1"><enum>(iv)</enum><header>Indirect job creation</header> <subclause id="HFBD9B4876F5F4CB3875A7A28903490BE"><enum>(I)</enum><header>In general</header><text>The Secretary of Homeland Security shall permit aliens seeking admission under this subparagraph to satisfy only up to 90 percent of the requirement under subparagraph (A)(ii) with jobs that are estimated to be created indirectly through investment under this paragraph in accordance with this subparagraph. An employee of the new commercial enterprise or job-creating entity may be considered to hold a job that has been directly created.</text></subclause>
<subclause id="H16CB73767EE7485AAFE69EE62FADF25B"><enum>(II)</enum><header>Construction activity lasting less than 2 years</header><text>If the jobs estimated to be created are created by construction activity lasting less than 2 years, the Secretary shall permit aliens seeking admission under this subparagraph to satisfy only up to 75 percent of the requirement under subparagraph (A)(ii) with jobs that are estimated to be created indirectly through investment under this paragraph in accordance with this subparagraph.</text></subclause></clause> <clause id="HC64083598E214B04839AC6617C0426F0"><enum>(v)</enum><header>Compliance</header> <subclause id="H9739E039B0A94496BFD61EF3B7671524"><enum>(I)</enum><header>In general</header><text>In determining compliance with subparagraph (A)(ii), the Secretary of Homeland Security shall permit aliens seeking admission under this subparagraph to rely on economically and statistically valid methodologies for determining the number of jobs created by the program, including—</text>
<item id="HE0D884ECA96D47409254193689BED9D7"><enum>(aa)</enum><text>jobs estimated to have been created directly, which may be verified using such methodologies; and</text></item> <item id="H875D63FD1857468B87CEE968EEB4D187"><enum>(bb)</enum><text>consistent with this subparagraph, jobs estimated to have been directly or indirectly created through capital expenditures, revenues generated from increased exports, improved regional productivity, job creation, and increased domestic capital investment resulting from the program.</text></item></subclause>
<subclause id="H87FD194D3DDC4420B953AFED87BDBFE4"><enum>(II)</enum><header>Job and investment requirements</header>
<item id="HC51B2F7A846C46E39C8DE9F3ED6B6CBD"><enum>(aa)</enum><header>Relocated jobs</header><text>In determining compliance with the job creation requirement under subparagraph (A)(ii), the Secretary of Homeland Security may include jobs estimated to be created under a methodology that attributes jobs to prospective tenants occupying commercial real estate created or improved by capital investments if the number of such jobs estimated to be created has been determined by an economically and statistically valid methodology and such jobs are not existing jobs that have been relocated.</text></item> <item id="H4E4B3E3812BD4600B6523DF838EFFB44"><enum>(bb)</enum><header>Publicly available bonds</header><text>The Secretary of Homeland Security shall prescribe regulations to ensure that alien investor capital may not be utilized, by a new commercial enterprise or otherwise, to purchase municipal bonds or any other bonds, if such bonds are available to the general public, either as part of a primary offering or from a secondary market.</text></item>
<item id="H4C60EC79D66B49B8922B6CAC4DE0920F"><enum>(cc)</enum><header>Construction activity jobs</header><text>If the number of direct jobs estimated to be created has been determined by an economically and statistically valid methodology, and such direct jobs are created by construction activity lasting less than 2 years, the number of such jobs that may be considered direct jobs for purposes of clause (iv) shall be calculated by multiplying the total number of such jobs estimated to be created by the fraction of the 2-year period that the construction activity lasts. </text></item></subclause></clause> <clause id="H9158F6907A0C49189B231EAD714035A3"><enum>(vi)</enum><header>Amendments</header><text>The Secretary of Homeland Security shall—</text>
<subclause id="H07A919D75DCE4A15BDFBC1FF47DF4B10"><enum>(I)</enum><text>require a regional center—</text> <item id="H01ED71ECD4E740E2BEB4EF50F10E7FD3"><enum>(aa)</enum><text>to notify the Secretary, not later than 120 days before the implementation of significant proposed changes to its organizational structure, ownership, or administration, including the sale of such center, or other arrangements which would result in individuals not previously subject to the requirements under subparagraph (H) becoming involved with the regional center; or</text></item>
<item id="H9EFE42F13A374B499E478A27921A6255"><enum>(bb)</enum><text>if exigent circumstances are present, to provide the notice described in item (aa) to the Secretary not later than 5 business days after a change described in such item; and</text></item></subclause> <subclause id="HB8E379FC88E14978A7696B96E7A72E75"><enum>(II)</enum><text>adjudicate business plans under subparagraph (F) and petitions under section 204(a)(1)(H) during any notice period as long as the amendment to the business or petition does not negatively impact program eligibility. </text></subclause></clause>
<clause id="H6B8827562F0E49FFAC190EF32BEBDD88"><enum>(vii)</enum><header>Record keeping and audits</header>
<subclause id="H3FF4E15F331A4F5D808877D1905A3703"><enum>(I)</enum><header>Record keeping</header><text>Each regional center shall make and preserve, during the 5-year period beginning on the last day of the Federal fiscal year in which any transactions occurred, books, ledgers, records, and other documentation from the regional center, new commercial enterprise, or job-creating entity used to support—</text> <item id="H3F093B956F0E4E8FBBFA09A9644DF1EE"><enum>(aa)</enum><text>any claims, evidence, or certifications contained in the regional center’s annual statements under subparagraph (G); and</text></item>
<item id="H89123757D3234AF08E88239531A36AFE"><enum>(bb)</enum><text>associated petitions by aliens seeking classification under this section or removal of conditions under section 216A.</text></item></subclause> <subclause id="H703E17C64E104CD3A3DBB3CA5D458542"><enum>(II)</enum><header>Audits</header><text>The Secretary shall audit each regional center not less frequently than once every 5 years. Each such audit shall include a review of any documentation required to be maintained under subclause (I) for the preceding 5 years and a review of the flow of alien investor capital into any capital investment project. To the extent multiple regional centers are located at a single site, the Secretary may audit multiple regional centers in a single site visit.</text></subclause>
<subclause id="HA0856CE20D6B4D1DBAD21AB6949AC219"><enum>(III)</enum><header>Termination</header><text>The Secretary shall terminate the designation of a regional center that fails to consent to an audit under subclause (II) or deliberately attempts to impede such an audit.</text></subclause></clause></subparagraph> <subparagraph id="HF006B4C3F6FE4431ABCA0230E18C8A64"><enum>(F)</enum><header>Business plans for regional center investments</header> <clause id="H0282783F54D749D7A714468E4B046AB5"><enum>(i)</enum><header>Application for approval of an investment in a commercial enterprise</header><text>A regional center shall file an application with the Secretary of Homeland Security for each particular investment offering through an associated new commercial enterprise before any alien files a petition for classification under this paragraph by reason of investment in that offering. The application shall include—</text>
<subclause id="H289558880DF8476BA43F2840FE6D57E9"><enum>(I)</enum><text>a comprehensive business plan for a specific capital investment project;</text></subclause> <subclause id="HFE53B471E2194B54A05B82970A01B046"><enum>(II)</enum><text>a credible economic analysis regarding estimated job creation that is based upon economically and statistically valid and transparent methodologies;</text></subclause>
<subclause id="H4085BD02B27D4B258D4FC08F3BE4373E"><enum>(III)</enum><text>any documents filed with the Securities and Exchange Commission under the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77a">15 U.S.C. 77a</external-xref> et seq.) or with the securities regulator of any State, as required by law;</text></subclause> <subclause id="H6EF48F77696C417E83F3FA83387384F9"><enum>(IV)</enum><text>any investment and offering documents, including subscription, investment, partnership, and operating agreements, private placement memoranda, term sheets, biographies of management, officers, directors, and any person with similar responsibilities, the description of the business plan to be provided to potential alien investors, and marketing materials used, or drafts prepared for use, in connection with the offering, which shall contain references, as appropriate, to—</text>
<item id="HDF2E0991A7084D109C24E46BC5549E3D"><enum>(aa)</enum><text>all material investment risks associated with the new commercial enterprise and the job-creating entity;</text></item> <item id="H6A9B291AFE9749EBB431EA9B5184DC0E"><enum>(bb)</enum><text>any conflicts of interest that currently exist or may arise among the regional center, the new commercial enterprise, the job-creating entity, or the principals, attorneys, or individuals responsible for recruitment or promotion of such entities;</text></item>
<item id="H9C17B038C3F145ECB60FA1EFBAFF3C0D"><enum>(cc)</enum><text>any pending material litigation or bankruptcy, or material adverse judgments or bankruptcy orders issued during the most recent 10-year period, in the United States or in another country, affecting the regional center, the new commercial enterprise, any associated job-creating entity, or any other enterprise in which any principal of any of the aforementioned entities held majority ownership at the time; and</text></item> <item id="HCE07076C98D549B2A10B3AE0BAA9C883"><enum>(dd)</enum> <subitem commented="no" display-inline="yes-display-inline" id="H55FC9997044D4A0ABF9E3BD4C4DDB550"><enum>(AA)</enum><text>any fees, ongoing interest, or other compensation paid, or to be paid by the regional center, the new commercial enterprise, or any issuer of securities intended to be offered to alien investors, to agents, finders, or broker dealers involved in the offering of securities to alien investors in connection with the investment;</text></subitem>
<subitem id="H6B237A939B6B4AAC94A6FCB23C5372B5" indent="up1"><enum>(BB)</enum><text>a description of the services performed, or that will be performed, by such person to entitle the person to such fees, interest, or compensation; and</text></subitem> <subitem id="H8E75D6F04818446DAE2032D595FFEC23" indent="up1"><enum>(CC)</enum><text>the name and contact information of any such person, if known at the time of filing;</text></subitem></item></subclause>
<subclause id="HA6539F4698FC457B98E8FFDDF794FD83"><enum>(V)</enum><text>a description of the policies and procedures, such as those related to internal and external due diligence, reasonably designed to cause the regional center and any issuer of securities intended to be offered to alien investors in connection with the relevant capital investment project, to comply, as applicable, with the securities laws of the United States and the laws of the applicable States in connection with the offer, purchase, or sale of its securities; and</text></subclause> <subclause id="H0A94E06ABCF346429C1510F54BF45509"><enum>(VI)</enum><text>a certification from the regional center, and any issuer of securities intended to be offered to alien investors in connection with the relevant capital investment project, that their respective agents and employees, and any parties associated with the regional center and such issuer of securities affiliated with the regional center are in compliance with the securities laws of the United States and the laws of the applicable States in connection with the offer, purchase, or sale of its securities, to the best of the certifier’s knowledge, after a due diligence investigation.</text></subclause></clause>
<clause id="HF50D74CD99C7483B92D909CA404393F0"><enum>(ii)</enum><header>Effect of approval of a business plan for an investment in a regional center’s commercial enterprise</header><text>The approval of an application under this subparagraph, including an approval before the date of the enactment of this subparagraph, shall be binding for purposes of the adjudication of subsequent petitions seeking classification under this paragraph by immigrants investing in the same offering described in such application, and of petitions by the same immigrants filed under section 216A unless—</text> <subclause id="HB51EAF63784B4CD495B572FBEF919015"><enum>(I)</enum><text>the applicant engaged in fraud, misrepresentation, or criminal misuse;</text></subclause>
<subclause id="H5288A95225C948698E74B3EF86D9EFF1"><enum>(II)</enum><text>such approval would threaten public safety or national security;</text></subclause> <subclause id="H1D4EE258E3834DC8BB5F6A604A7827C9"><enum>(III)</enum><text>there has been a material change that affects eligibility;</text></subclause>
<subclause id="H3516A783F9D746F6B2E42D5779EE04ED"><enum>(IV)</enum><text>the discovery of other evidence affecting program eligibility was not disclosed by the applicant during the adjudication process; or</text></subclause> <subclause id="HA50B0CB0F5134893ADDBD8C491FFBC23"><enum>(V)</enum><text>the previous adjudication involved a material mistake of law or fact.</text></subclause></clause>
<clause id="HBF6F6EE10C5445CFA1A2FA6E436FB263"><enum>(iii)</enum><header>Amendments</header>
<subclause id="H81E3FB2405D7408E84B6EB1FFAD4D2A7"><enum>(I)</enum><header>Approval</header><text>The Secretary of Homeland Security may establish procedures by which a regional center may seek approval of an amendment to an approved application under this subparagraph that reflects changes specified by the Secretary to any information, documents, or other aspects of the investment offering described in such approved application not later than 30 days after any such changes.</text></subclause> <subclause id="HC54F8C45D7E0428E9D7848EBEBC7D282"><enum>(II)</enum><header>Incorporation</header><text>Upon the approval of a timely filed amendment to an approved application, any changes reflected in such amendment may be incorporated into and considered in determining program eligibility through adjudication of—</text>
<item id="H8419A5CD3BDB449BBAC93D720B83EFC0"><enum>(aa)</enum><text>pending petitions from immigrants investing in the offering described in the approved application who are seeking classification under this paragraph; and</text></item> <item id="H00968378615D458480F41BDD2FCBE261"><enum>(bb)</enum><text>petitions by immigrants described in item (aa) that are filed under section 216A.</text></item></subclause></clause>
<clause id="H21D52B4430174688BD731A362DA17399"><enum>(iv)</enum><header>Site visits</header><text>The Secretary of Homeland Security shall—</text> <subclause id="H21BD950BF3EC4F31AE175E268F122F34"><enum>(I)</enum><text>perform site visits to regional centers not earlier than 24 hours after providing notice of such site visit; and</text></subclause>
<subclause id="HA4ADAC20772A4A54863DA5DBF7AA30BD"><enum>(II)</enum><text>perform at least 1 site visit to, as applicable, each new commercial enterprise or job-creating entity, or the business locations where any jobs that are claimed as being created.</text></subclause></clause></subparagraph> <subparagraph id="HED7AD209F080405592151389B9C1E840"><enum>(G)</enum><header>Regional center annual statements</header> <clause id="H4526925B78E14FE9A771DC8B0F587751"><enum>(i)</enum><header>In general</header><text>Each regional center designated under subparagraph (E) shall submit an annual statement, in a manner prescribed by the Secretary of Homeland Security. Each such statement shall include—</text>
<subclause id="H3C1F61B3B1D24BAF81D950CEBCF104E1"><enum>(I)</enum><text>a certification stating that, to the best of the certifier’s knowledge, after a due diligence investigation, the regional center is in compliance with clauses (i) and (ii) of subparagraph (H);</text></subclause> <subclause id="HF5FBFB5331434E14ACB2EE19B9352026"><enum>(II)</enum><text>a certification described in subparagraph (I)(ii)(II);</text></subclause>
<subclause id="H17B6861642C348F8BFADFB5C7EBF4DF4"><enum>(III)</enum><text>a certification stating that, to the best of the certifier’s knowledge, after a due diligence investigation, the regional center is in compliance with subparagraph (K)(iii);</text></subclause> <subclause id="H673EB45381F148D2821A1014CF2821FB"><enum>(IV)</enum><text>a description of any pending material litigation or bankruptcy proceedings, or material litigation or bankruptcy proceedings resolved during the preceding fiscal year, involving the regional center, the new commercial enterprise, or any affiliated job-creating entity;</text></subclause>
<subclause id="HB948B395957C464FBAB27A852A7851A8"><enum>(V)</enum><text>an accounting of all individual alien investor capital invested in the regional center, new commercial enterprise, and job-creating entity;</text></subclause> <subclause id="HFE9ED4BA2D9444ECB44FDD2C3E8D8955"><enum>(VI)</enum><text>for each new commercial enterprise associated with the regional center—</text>
<item id="H7A37DD3F9F1A4E02BE3D579742FFAFFB"><enum>(aa)</enum><text>an accounting of the aggregate capital invested in the new commercial enterprise and any job-creating entity by alien investors under this paragraph for each capital investment project being undertaken by the new commercial enterprise;</text></item> <item id="H94C3967CA13B470EA6C3C78D265FA4EC"><enum>(bb)</enum><text>a description of how the capital described in item (aa) is being used to execute each capital investment project in the filed business plan or plans;</text></item>
<item id="H87A52A7339DF4B7F942348D5802DA5AC"><enum>(cc)</enum><text>evidence that 100 percent of the capital described in item (aa) has been committed to each capital investment project;</text></item> <item id="HE4567CDB7DBB44929143FF99AA07CE5D"><enum>(dd)</enum><text>detailed evidence of the progress made toward the completion of each capital investment project;</text></item>
<item id="H615FD70869C8450E8AC4645E1C8DF04F"><enum>(ee)</enum><text>an accounting of the aggregate direct jobs created or preserved;</text></item> <item id="H2200DC4488B74C6088EED96DEB943052"><enum>(ff)</enum><text>to the best of the regional center’s knowledge, for all fees, including administrative fees, loan monitoring fees, loan management fees, commissions and similar transaction-based compensation, collected from alien investors by the regional center, the new commercial enterprise, any affiliated job-creating entity, any affiliated issuer of securities intended to be offered to alien investors, or any promoter, finder, broker-dealer, or other entity engaged by any of the aforementioned entities to locate individual investors—</text>
<subitem id="H7E1D0A4EE5C4401386A5ABF4B83BF3E4"><enum>(AA)</enum><text>a description of all fees collected;</text></subitem> <subitem id="H2B8AE9F34058478A88EF1C19D4BD40C2"><enum>(BB)</enum><text>an accounting of the entities that received such fees; and</text></subitem>
<subitem id="HD8854140459B443589A734B0DC66FC9E"><enum>(CC)</enum><text>the purpose for which such fees were collected;</text></subitem></item> <item id="H2796C48E7FC246C7B3017937DB0C3682"><enum>(gg)</enum><text>any documentation referred to in subparagraph (F)(i)(IV) if there has been a material change during the preceding fiscal year; and</text></item>
<item id="HCD49065701A0422AB9B9098C184B5BA4"><enum>(hh)</enum><text>a certification by the regional center that the information provided under items (aa) through (gg) is accurate, to the best of the certifier’s knowledge, after a due diligence investigation; and</text></item></subclause> <subclause id="HDA89B56C416143E9935A69529DDD8591"><enum>(VII)</enum><text>a description of the regional center’s policies and procedures that are designed to enable the regional center to comply with applicable Federal labor laws.</text></subclause></clause>
<clause id="H699C7ED2B41843569EF1432F3B898933"><enum>(ii)</enum><header>Amendment of annual statements</header><text>The Secretary of Homeland Security—</text> <subclause id="HE64C1306E9FD4543AA1F1AE8AEC6D185"><enum>(I)</enum><text>shall require the regional center to amend or supplement an annual statement required under clause (i) if the Secretary determines that such statement is deficient; and</text></subclause>
<subclause id="HC4D18938F1FB44CBA2CFA869CA619E6F"><enum>(II)</enum><text>may require the regional center to amend or supplement such annual statement if the Director determines that such an amendment or supplement is appropriate.</text></subclause></clause> <clause id="H94EAC26C0057467CAAB2D0F63DC4EF83"><enum>(iii)</enum><header>Sanctions</header> <subclause id="H63210D75855C4D0384331C59748880C3"><enum>(I)</enum><header>Effect of violation</header><text>The Director shall sanction any regional center entity in accordance with subclause (II) if the regional center fails to submit an annual statement or if the Director determines that the regional center—</text>
<item id="H7A8EBB4CA8A34ABB9241A529A7425D4F"><enum>(aa)</enum><text>knowingly submitted or caused to be submitted a statement, certification, or any information submitted pursuant to this subparagraph that contained an untrue statement of material fact; or</text></item> <item id="HC89FD51B552F44B1AB597A1EDA60A36B"><enum>(bb)</enum><text>is conducting itself in a manner inconsistent with its designation under subparagraph (E), including any willful, undisclosed, and material deviation by new commercial enterprises from any filed business plan for such new commercial enterprises.</text></item></subclause>
<subclause id="HDE17AA053E0143D9B87A0AACB1E97EE4"><enum>(II)</enum><header>Authorized sanctions</header><text>The Director shall establish a graduated set of sanctions based on the severity of the violations referred to in subclause (I), including—</text> <item id="HFFCCBF8BB1E0433FA81D5DC086B16012"><enum>(aa)</enum><text>fines equal to not more than 10 percent of the total capital invested by alien investors in the regional center’s new commercial enterprises or job-creating entities directly involved in such violations, the payment of which shall not in any circumstance utilize any of such alien investors’ capital investments, and which shall be deposited into the EB–5 Integrity Fund established under subparagraph (J); </text></item>
<item id="HF8319F6B90444BE78809D8512CE16D3F"><enum>(bb)</enum><text>temporary suspension from participation in the program described in subparagraph (E), which may be lifted by the Director if the individual or entity cures the alleged violation after being provided such an opportunity by the Director;</text></item> <item id="H22703279791F47FCA5920E92AEE4C75B"><enum>(cc)</enum><text>permanent bar from participation in the program described in subparagraph (E) for 1 or more individuals or business entities associated with the regional center, new commercial enterprise, or job-creating entity; and</text></item>
<item id="HE7212E9F95AC4355A5FB5CAE04D72DF4"><enum>(dd)</enum><text>termination of regional center designation.</text></item></subclause></clause> <clause id="HBD76C626DCA4492F93F3E89718FA5D51"><enum>(iv)</enum><header>Availability of annual statements to investors</header><text>Not later than 30 days after a request from an alien investor, a regional center shall make available to such alien investor a copy of the filed annual statement and any amendments filed to such statement, which shall be redacted to exclude any information unrelated to such alien investor or the new commercial enterprise or job creating entity into which the alien investor invested. </text></clause></subparagraph>
<subparagraph id="HF8BAEB8172E140D1895F45E3E8DB8D39"><enum>(H)</enum><header>Bona fides of persons involved with regional center program</header>
<clause id="H65F564FAB90F42AAA6AC05A54D7DFD2D"><enum>(i)</enum><header>In general</header><text>The Secretary of Homeland Security may not permit any person to be involved with any regional center, new commercial enterprise, or job-creating entity if—</text> <subclause id="H89A87C4C5E8B41B69E3DB7262AC5E42B"><enum>(I)</enum><text>the person has been found to have committed—</text>
<item id="HA866D64308CB44C48561C8C7C6523D85"><enum>(aa)</enum><text>a criminal or civil offense involving fraud or deceit within the previous 10 years;</text></item> <item id="H84FAEBCC081144508A37C44AEA1FD227"><enum>(bb)</enum><text>a civil offense involving fraud or deceit that resulted in a liability in excess of $1,000,000; or</text></item>
<item id="HD33E86D1E4D94513A48F088BDFFAD540"><enum>(cc)</enum><text>a crime for which the person was convicted and sentenced to a term of imprisonment of more than 1 year;</text></item></subclause> <subclause id="HA5CB582784D644D7A40D38A26896B3B4"><enum>(II)</enum><text>the person is subject to a final order, for the duration of any penalty imposed by such order, of a State securities commission (or an agency or officer of a State performing similar functions), a State authority that supervises or examines banks, savings associations, or credit unions, a State insurance commission (or an agency or officer of a State performing similar functions), an appropriate Federal banking agency, the Commodity Futures Trading Commission, the Securities and Exchange Commission, a financial self-regulatory organization recognized by the Securities and Exchange Commission, or the National Credit Union Administration, which is based on a violation of any law or regulation that—</text>
<item id="HD8FFC92BC9F34AB896DF54F8383B629F"><enum>(aa)</enum><text>prohibits fraudulent, manipulative, or deceptive conduct; or</text></item> <item id="HADCFD3ABD16C4C24826F786A37015BA9"><enum>(bb)</enum><text>bars the person from—</text>
<subitem id="HA39B633F03DC473EA8C1D38AF8CB9BC5"><enum>(AA)</enum><text>association with an entity regulated by such commission, authority, agency, or officer;</text></subitem> <subitem id="H33F65526CF92490898A0803E93AA9EEF"><enum>(BB)</enum><text>appearing before such commission, authority, agency, or officer;</text></subitem>
<subitem id="H768EC77AADB6450AA54EDDE21A7DE653"><enum>(CC)</enum><text>engaging in the business of securities, insurance, or banking; or</text></subitem> <subitem id="H0BE2583F5DAA43FE8A70A5517AED4906"><enum>(DD)</enum><text>engaging in savings association or credit union activities;</text></subitem></item></subclause>
<subclause id="H9DA390F55C66446B90DA348C23B044D2"><enum>(III)</enum><text>the Secretary determines that the person is engaged in, has ever been engaged in, or seeks to engage in—</text> <item id="H9E33F6B3A8324B079B5E204B8A1583D8"><enum>(aa)</enum><text>any illicit trafficking in any controlled substance or in any listed chemical (as defined in section 102 of the Controlled Substances Act);</text></item>
<item id="HC57356D98F6249B6A2229637DECD32AC"><enum>(bb)</enum><text>any activity relating to espionage, sabotage, or theft of intellectual property;</text></item> <item id="HF35DAD21834F4DEEA2F446E43FD3EFA9"><enum>(cc)</enum><text>any activity related to money laundering (as described in section 1956 or 1957 of title 18, United States Code);</text></item>
<item id="H87B383C1705A4804A9DC3722E804B2D9"><enum>(dd)</enum><text>any terrorist activity (as defined in section 212(a)(3)(B));</text></item> <item id="H48207CD79E004885BF6B15716D52DE84"><enum>(ee)</enum><text>any activity constituting or facilitating human trafficking or a human rights offense;</text></item>
<item id="H3CEDB6E5FEE3434282C4F9EB7B75A387"><enum>(ff)</enum><text>any activity described in section 212(a)(3)(E); or</text></item> <item id="H1AAF1DE730DD4890900F18E48158D090"><enum>(gg)</enum><text>the violation of any statute, regulation, or Executive order regarding foreign financial transactions or foreign asset control; or</text></item></subclause>
<subclause id="H15AB9A37E6164A4681BCFDA06A25C0C3"><enum>(IV)</enum><text>the person—</text> <item id="H6E382738E1FF468687EB23D94B74DB11"><enum>(aa)</enum><text>is, or during the preceding 10 years has been, included on the Department of Justice’s List of Currently Disciplined Practitioners; or</text></item>
<item id="H4E475D6C01FF43CF834724F1CC9BCCD9"><enum>(bb)</enum><text>during the preceding 10 years, has received a reprimand or has otherwise been publicly disciplined for conduct related to fraud or deceit by a State bar association of which the person is or was a member.</text></item></subclause></clause> <clause id="H82CCE6D88B814D22A2A9882A0AEE030A"><enum>(ii)</enum><header>Foreign involvement in regional center program</header> <subclause id="HF7F889A3F2BD4D098A7994FCA675DC66"><enum>(I)</enum><header>Lawful status required</header><text>A person may not be involved with a regional center unless the person—</text>
<item id="H3BAD9318653D460583BBB151BA58F8CA"><enum>(aa)</enum><text>is a national of the United States or an individual who has been lawfully admitted for permanent residence (as such terms are defined in paragraphs (20) and (22) of section 101(a)); and</text></item> <item id="HB28BDCFF5264482980DC81D93E5BEF23"><enum>(bb)</enum><text>is not the subject of rescission or removal proceedings.</text></item></subclause>
<subclause id="H34706904401B4A0AAAFE4D61F2FC7314"><enum>(II)</enum><header>Foreign governments</header><text>No agency, official, or other similar entity or representative of a foreign government entity may provide capital to, or be directly or indirectly involved with the ownership or administration of, a regional center, a new commercial enterprise, or a job-creating entity, except that a foreign or domestic investment fund or other investment vehicle that is wholly or partially owned, directly or indirectly, by a bona fide foreign sovereign wealth fund or a foreign state-owned enterprise otherwise permitted to do business in the United States may be involved with the ownership, but not the administration, of a job-creating entity that is not an affiliated job-creating entity.</text></subclause> <subclause id="H6355FCF5987E426DBDCC781D5D698866"><enum>(III)</enum><header>Rulemaking</header><text>Not later than 270 days after the date of the enactment of the <short-title>EB–5 Reform and Integrity Act of 2021</short-title>, the Secretary shall issue regulations implementing subparagraphs (I) and (II).</text></subclause></clause>
<clause id="HEEF8A204481A4BFCBA43B9219E587566"><enum>(iii)</enum><header>Information required</header><text>The Secretary of Homeland Security—</text> <subclause id="H216B1B012BDC48DE9559FD868E2B7652"><enum>(I)</enum><text>shall require such attestations and information, including the submission of fingerprints or other biometrics to the Federal Bureau of Investigation with respect to a regional center, a new commercial enterprise, and any affiliated job creating entity, and persons involved with such entities (as described in clause (v)), as may be necessary to determine whether such entities are in compliance with clauses (i) and (ii);</text></subclause>
<subclause id="H37CAB5648BFE4141B3E49A9AEE6B16B2"><enum>(II)</enum><text>shall perform such criminal record checks and other background and database checks with respect to a regional center, a new commercial enterprise, and any affiliated job-creating entity, and persons involved with such entities (as described in clause (v)), as may be necessary to determine whether such entities are in compliance with clauses (i) and (ii); and</text></subclause> <subclause id="HB6088AFF4D2D4BE88FD047104D561805"><enum>(III)</enum><text>may, at the Secretary’s discretion, require the information described to in subclause (I) and may perform the checks described in subclause (II) with respect to any job creating entity and persons involved with such entity if there is a reasonable basis to believe such entity or person is not in compliance with clauses (i) and (ii).</text></subclause></clause>
<clause id="HC0A933E7DFB4405480A78A678D2647F4"><enum>(iv)</enum><header>Termination</header>
<subclause id="H7F9FFE25AF364219BE897EF0F8144634"><enum>(I)</enum><header>In general</header><text>The Secretary of Homeland Security may suspend or terminate the designation of any regional center, or the participation under the program of any new commercial enterprise or job-creating entity under this paragraph if the Secretary determines that such entity—</text> <item id="H1D57A67F16324AA295A992F105DA646C"><enum>(aa)</enum><text>knowingly involved a person with such entity in violation of clause (i) or (ii) by failing, within 14 days of acquiring such knowledge—</text>
<subitem id="HC927BC171DAE4064BF39FFA9A3FA9C19"><enum>(AA)</enum><text>to take commercially reasonable efforts to discontinue the prohibited person’s involvement; or</text></subitem> <subitem id="HFB6532E20A0A49F0B729032D48B09AA2"><enum>(BB)</enum><text>to provide notice to the Secretary;</text></subitem></item>
<item id="H05E89898E4484419BBCCD402EFF3A9AD"><enum>(bb)</enum><text>failed to provide an attestation or information requested by the Secretary under clause (iii)(I); or</text></item> <item id="HB26166D3CDBF48EDBC61857CE662ACAC"><enum>(cc)</enum><text>knowingly provided any false attestation or information under clause (iii)(I).</text></item></subclause>
<subclause id="HF5BEE98387AD4866ACD3C11A3E52AB23"><enum>(II)</enum><header>Limitation</header><text>The Secretary’s authorized sanctions under subclause (I) shall be limited to entities that have engaged in any activity described in subclause (I). </text></subclause> <subclause id="H6AAFD4DE93C24C66A8DA10ADFC4A3E22"><enum>(III)</enum><header>Information</header> <item id="HA8187B7EF2D6457DA5CF9F59E0DC76C6"><enum>(aa)</enum><header>Notification</header><text>The Secretary, after performing the criminal record checks and other background checks described in clause (iii), shall notify a regional center, new commercial enterprise, or job-creating entity whether any person involved with such entities is not in compliance with clause (i) or (ii), unless the information that provides the basis for the determination is classified or disclosure is otherwise prohibited under law. </text></item>
<item id="HC356DC68D22842C1A8D3B013DDB10AFA"><enum>(bb)</enum><header>Effect of failure to respond</header><text>If the regional center, new commercial enterprise, or job-creating entity fails to discontinue the prohibited person’s involvement with the regional center, new commercial enterprise, or job-creating entity, as applicable, within 30 days after receiving such notification, such entity shall be deemed to have knowledge under subclause (I)(aa) that the involvement of such person with the entity is in violation of clause (i) or (ii).</text></item></subclause></clause> <clause id="H8B22D53425E94BC9B23DAD4DBCA4A5A3"><enum>(v)</enum><header>Persons involved with a regional center, new commercial enterprise, or job-creating entity</header><text>For the purposes of this paragraph, unless otherwise determined by the Secretary of Homeland Security, a person is involved with a regional center, a new commercial enterprise, any affiliated job-creating entity, as applicable, if the person is, directly or indirectly, in a position of substantive authority to make operational or managerial decisions over pooling, securitization, investment, release, acceptance, or control or use of any funding that was procured under the program described in subparagraph (E). An individual may be in a position of substantive authority if the person serves as a principal, a representative, an administrator, an owner, an officer, a board member, a manager, an executive, a general partner, a fiduciary, an agent, or in a similar position at the regional center, new commercial enterprise, or job-creating entity, respectively.</text></clause></subparagraph>
<subparagraph id="H1765D18F6A8642548C6F08D7A28AE3C0"><enum>(I)</enum><header>Compliance with securities laws</header>
<clause id="HD80EC79894FE445AB3ECF6AF4C2016F8"><enum>(i)</enum><header>Jurisdiction</header>
<subclause id="H64EA45B7746949AAA24BAA611A835FE6"><enum>(I)</enum><header>In general</header><text>The United States has jurisdiction, including subject matter jurisdiction, over the purchase or sale of any security offered or sold, or any investment advice provided, by any regional center or any party associated with a regional center for purposes of the securities laws.</text></subclause> <subclause id="H9BA2332D35354659BA21AFCCC45426EC"><enum>(II)</enum><header>Compliance with regulation S</header><text>For purposes of section 5 of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77e">15 U.S.C. 77e</external-xref>), a regional center or any party associated with a regional center is not precluded from offering or selling a security pursuant to Regulation S (17 C.F.R. 230.901 et seq.) to the extent that such offering or selling otherwise complies with that regulation.</text></subclause>
<subclause id="HEDF4945E20374776938C629A43F975E5"><enum>(III)</enum><header>Savings provision</header><text>Subclause (I) is not intended to modify any existing rules or regulations of the Securities and Exchange Commission related to the application of section 15(a) of the Securities and Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o">15 U.S.C. 78o(a)</external-xref>) to foreign brokers or dealers.</text></subclause></clause> <clause id="H48110B72771747CEBE38E3E38ACFB9AD"><enum>(ii)</enum><header>Regional center certifications required</header> <subclause id="HCD3010349054480892BE4C7F0B2314B2"><enum>(I)</enum><header>Initial certification</header><text>The Secretary of Homeland Security may not approve an application for regional center designation or regional center amendment unless the regional center certifies that, to the best of the certifier’s knowledge, after a due diligence investigation, the regional center is in compliance with and has policies and procedures, including those related to internal and external due diligence, reasonably designed to confirm, as applicable, that all parties associated with the regional center are and will remain in compliance with the securities laws of the United States and of any State in which—</text>
<item id="H4E1EB340A8E64DB1AE7BB9FFA30A93F0"><enum>(aa)</enum><text>the offer, purchase, or sale of securities was conducted;</text></item> <item id="H2C3814B68C784DAA82C732D9E5D3A69D"><enum>(bb)</enum><text>the issuer of securities was located; or</text></item>
<item id="HA580F667906B4442ABDF6BC46D568C73"><enum>(cc)</enum><text>the investment advice was provided by the regional center or parties associated with the regional center.</text></item></subclause> <subclause id="H5209F191E5B24CF1A2128DA39E94E3E3"><enum>(II)</enum><header>Reissue</header><text>A regional center shall annually reissue a certification described in subclause (I), in accordance with subparagraph (G), to certify compliance with clause (iii) by stating that—</text>
<item id="H4EF8E804829545BAB5C4986690F7AB07"><enum>(aa)</enum><text>the certification is made by a certifier; </text></item> <item id="HD073E52743DD401195DACC739340E671"><enum>(bb)</enum><text>to the best of the certifier’s knowledge, after a due diligence investigation, all such offers, purchases, and sales of securities or the provision of investment advice complied with the securities laws of the United States and the securities laws of any State in which—</text>
<subitem id="HF47583C3D1E6424DBE6CC1BC6B4A8C74"><enum>(AA)</enum><text>the offer, purchase, or sale of securities was conducted;</text></subitem> <subitem id="HC543F13938064A7B8E10FFEE695DBEC9"><enum>(BB)</enum><text>the issuer of securities was located; or</text></subitem>
<subitem id="HC0E2C3BA322747BE8F9C073995231D6C"><enum>(CC)</enum><text>the investment advice was provided; and</text></subitem></item> <item id="H54ED5946A09F41C0BCE18062DACF00DB"><enum>(cc)</enum><text>records, data, and information related to such offers, purchases, and sales have been maintained.</text></item></subclause>
<subclause id="H4CCF4D5ED4BB49F2B913B1549F56691C"><enum>(III)</enum><header>Effect of noncompliance</header><text>If a regional center, through its due diligence, discovered during the previous fiscal year that the regional center or any party associated with the regional center was not in compliance with the securities laws of the United States or the securities laws of any State in which the securities activities were conducted by any party associated with the regional center, the certifier shall—</text> <item id="HFFAC5EC059FF46C3879B373DA1FD09A3"><enum>(aa)</enum><text>describe the activities that led to noncompliance;</text></item>
<item id="HCE398D5B99964C45B9DA4322DD8609FB"><enum>(bb)</enum><text>describe the actions taken to remedy the noncompliance; and</text></item> <item id="H25D4408812E1434FA9EE4AA8056626D3"><enum>(cc)</enum><text>certify that the regional center and all parties associated with the regional center are currently in compliance, to the best of the certifier’s knowledge, after a due diligence investigation.</text></item></subclause></clause>
<clause id="H513C9BDBB4334838AEAC765CFBB92C9F"><enum>(iii)</enum><header>Oversight required</header><text>Each regional center shall—</text> <subclause id="H53F6FC4B39AA43B59ED4B4AA15FDA27C"><enum>(I)</enum><text>use commercially reasonable efforts to monitor and supervise compliance with the securities laws in relations to all offers, purchases, and sales of, and investment advice relating to, securities made by parties associated with the regional center;</text></subclause>
<subclause id="H2267091115CA42D49D6FF12F2DDA98C5"><enum>(II)</enum><text>maintain records, data, and information relating to all such offers, purchases, sales, and investment advice during the 5-year period beginning on the date of their creation; and</text></subclause> <subclause id="H9C0BB5144CA545589F93AD9C75E0A514"><enum>(III)</enum><text>make the records, data, and information described in subclause (II) available to the Secretary or to the Securities and Exchange Commission upon request.</text></subclause></clause>
<clause id="H77F349EC65884EC5B897A002ECC9EC35"><enum>(iv)</enum><header>Suspension or termination</header><text>In addition to any other authority provided to the Secretary under this paragraph, the Secretary, in the Secretary’s discretion, may suspend or terminate the designation of any regional center or impose other sanctions against the regional center if the regional center, or any parties associated with the regional center that the regional center knew or reasonably should have known—</text> <subclause id="HF9AA7087DE914D0DBC4981904B0C7A33"><enum>(I)</enum><text>are permanently or temporarily enjoined by order, judgment, or decree of any court of competent jurisdiction in connection with the offer, purchase, or sale of a security or the provision of investment advice;</text></subclause>
<subclause id="H294D7A0757624E61B55C313AEFC7931A"><enum>(II)</enum><text>are subject to any final order of the Securities and Exchange Commission or a State securities regulator that—</text> <item id="HBF6F898B242742DBB9EFA29B7B475CC6"><enum>(aa)</enum><text>bars such person from association with an entity regulated by the Securities and Exchange Commission or a State securities regulator; or</text></item>
<item id="H5323AB416FD4491398BAA54AEECF621F"><enum>(bb)</enum><text>constitutes a final order based on a finding of an intentional violation or a violation related to fraud or deceit in connection with the offer, purchase, or sale of, or investment advice relating to, a security; or</text></item></subclause> <subclause id="HDDC15678CCA34954BDED8E2567B40AD5"><enum>(III)</enum><text>submitted, or caused to be submitted, a certification described in clause (ii) that contained an untrue statement of a material fact or omitted to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading.</text></subclause></clause>
<clause id="H8775BB4C84C246019FE9F68AAFDE9D9E"><enum>(v)</enum><header>Defined term</header><text>In this subparagraph, the term <term>parties associated with a regional center</term> means—</text> <subclause id="H183C765285174D11BB625F116DB22308"><enum>(I)</enum><text>the regional center;</text></subclause>
<subclause id="HA02D697BAEE04FCDB4F1011B805D7099"><enum>(II)</enum><text>any new commercial enterprise or affiliated job-creating entity or issuer of securities associated with the regional center;</text></subclause> <subclause id="H3DA0B6AFF4EA4920BFA972E7C5E016F0"><enum>(III)</enum><text>the regional center’s and new commercial enterprise’s owners, officers, directors, managers, partners, agents, employees, promoters and attorneys, or similar position, as determined by the Secretary; and</text></subclause>
<subclause id="H4A8247B4AF404B5FB0965DDB6F475F3F"><enum>(IV)</enum><text>any person under the control of the regional center, new commercial enterprise, or issuer of securities associated with the regional center who is responsible for the marketing, offering, or sale of any security offered in connection with the capital investment project.</text></subclause></clause> <clause id="HDACCE969AE46469993901D77626ECAD2"><enum>(vi)</enum><header>Savings provision</header><text>Nothing in this subparagraph may be construed to impair or limit the authority of the Securities and Exchange Commission under the Federal securities laws or any State securities regulator under State securities laws.</text></clause></subparagraph>
<subparagraph id="H8B4050ABAABB445F93FFDB907319809A"><enum>(J)</enum><header>EB–5 integrity fund</header>
<clause id="H89129B2FC0064DB583A92C642EC4FAFF"><enum>(i)</enum><header>Establishment</header><text>There is established in the United States Treasury a special fund, which shall be known as the <quote>EB–5 Integrity Fund</quote> (referred to in this subparagraph as the <quote>Fund</quote>). Amounts deposited into the Fund shall be available to the Secretary of Homeland Security until expended for the purposes set forth in clause (iii).</text></clause> <clause id="H00610D6B1927448DA1595FF9C3C63D53"><enum>(ii)</enum><header>Fees</header> <subclause id="HBCEC923EA4AA4596904376CAACB97614"><enum>(I)</enum><header>Annual fee</header><text>On October 1, 2021, and each October 1 thereafter, the Secretary of Homeland Security shall collect for the Fund an annual fee—</text>
<item id="H238D05D8D9A944C6B72689F96395A11E"><enum>(aa)</enum><text>except as provided in item (bb), of $20,000 from each regional center designated under subparagraph (E); and</text></item> <item id="H1BE7D684C0B54719A0522E688591DADA"><enum>(bb)</enum><text>of $10,000 from each such regional center with 20 or fewer total investors in the preceding fiscal year in its new commercial enterprises.</text></item></subclause>
<subclause id="H22F56CC46E5B43E1B1BEDB4C07392F1B"><enum>(II)</enum><header>Petition fee</header><text>Beginning on October 1, 2021, the Secretary shall collect a fee of $1,000 for the Fund with each petition filed under section 204(a)(1)(H) for classification under subparagraph (E). The fee under this subclause is in addition to the fee that the Secretary is authorized to establish and collect for each petition to recover the costs of adjudication and naturalization services under section 286(m).</text></subclause> <subclause id="HE03CB98EDE364C10993DDE8874705BC2"><enum>(III)</enum><header>Increases</header><text>The Secretary may increase the amounts under this clause by prescribing such regulations as may be necessary to ensure that amounts in the Fund are sufficient to carry out the purposes set forth in clause (iii).</text></subclause></clause>
<clause id="H3FFD5454516D45FA930F17BDC10E0FF2"><enum>(iii)</enum><header>Permissible uses of fund</header><text>The Secretary shall—</text> <subclause id="HD4F361A16D77435FB2C8D5C0C9D32330"><enum>(I)</enum><text>use not less than <fraction>1/3</fraction> of the amounts deposited into the Fund for investigations based outside of the United States, including—</text>
<item id="HBBA7EA1711104364BC73216CA2905CB7"><enum>(aa)</enum><text>monitoring and investigating program-related events and promotional activities; and</text></item> <item id="H97FC118A7AEF48C8B4720545681B327A"><enum>(bb)</enum><text>ensuring an alien investor’s compliance with subparagraph (L); and</text></item></subclause>
<subclause id="H5BE03011E21548DCAA9D6350866F15A8"><enum>(II)</enum><text>use amounts deposited into the Fund—</text> <item id="HC223054633504CA4A80DFB42CF13D0BE"><enum>(aa)</enum><text>to detect and investigate fraud or other crimes;</text></item>
<item id="H9AFB45B1E5C44E559E0EE893AE0A9E17"><enum>(bb)</enum><text>to determine whether regional centers, new commercial enterprises, job-creating entities, and alien investors (and their alien spouses and alien children) comply with the immigration laws;</text></item> <item id="HBC9F217AB0534C0AA2E2AA2D5B4AAD85"><enum>(cc)</enum><text>to conduct audits and site visits; and</text></item>
<item id="H0D45D9D4D90B4EAF8FB920C53890C657"><enum>(dd)</enum><text>as the Secretary determines to be necessary, including monitoring compliance with the requirements under section 7 of the <short-title>EB–5 Reform and Integrity Act of 2021</short-title>.</text></item></subclause></clause> <clause id="H93DF3773E76643FA9047A5368580BCE7"><enum>(iv)</enum><header>Failure to pay fee</header><text>The Secretary of Homeland Security shall—</text>
<subclause id="H2DC586A307E34A9BA841DA8E58DCC127"><enum>(I)</enum><text>impose a reasonable penalty, which shall be deposited into the Fund, if any regional center does not pay the fee required under clause (ii) within 30 days after the date on which such fee is due; and</text></subclause> <subclause id="HBD3E841101AE4E7395D3FAF03DB50898"><enum>(II)</enum><text>terminate the designation of any regional center that does not pay the fee required under clause (ii) within 90 days after the date on which such fee is due.</text></subclause></clause>
<clause id="HE817E07C74C043E09234BF61952D5305"><enum>(v)</enum><header>Report</header><text>The Secretary shall submit an annual report to the <committee-name committee-id="SSJU00">Committee on the Judiciary of the Senate</committee-name> and the <committee-name committee-id="">Committee on the Judiciary of the House of Representatives</committee-name> that describes how amounts in the Fund were expended during the previous fiscal year.</text></clause></subparagraph> <subparagraph id="HB9A98F2A73DF482DBE6EE36564EED1B1"><enum>(K)</enum><header>Direct and third-party promoters</header> <clause id="H5D975A12CA3740E7A86E658CF81F2252"><enum>(i)</enum><header>Rules and standards</header><text>Direct and third party promoters (including migration agents) of a regional center, any new commercial enterprise, an affiliated job-creating entity, or an issuer of securities intended to be offered to alien investors in connection with a particular capital investment project shall comply with the rules and standards prescribed by the Secretary of Homeland Security and any applicable Federal or State securities laws, to oversee promotion of any offering of securities related to the EB–5 Program, including—</text>
<subclause id="H2054E643B3D44B2080D027F3EC807796"><enum>(I)</enum><text>registration with U.S. Citizenship and Immigration Services, which—</text> <item id="HCD6EE786567648968AF19BAE6FCFB569"><enum>(aa)</enum><text>includes identifying and contact information for such promoter and confirmation of the existence of the written agreement required under clause (iii); and</text></item>
<item id="H1E73AFABCC45478DA57DDF83998E3AB6"><enum>(bb)</enum><text>may be made publicly available at the discretion of the Secretary;</text></item></subclause> <subclause id="H2393D8D067AA4FFC936A0BF369AE1C08"><enum>(II)</enum><text>certification by each promoter that such promoter is not ineligible under subparagraph (H)(i);</text></subclause>
<subclause id="H63730B3E6FC64D18A89907C787CE138E"><enum>(III)</enum><text>guidelines for accurately representing the visa process to foreign investors; and</text></subclause> <subclause id="HEBB584EA4B674276AB06D40D7EDBCE45"><enum>(IV)</enum><text>guidelines describing permissible fee arrangements under applicable securities and immigration laws.</text></subclause></clause>
<clause id="H35E9D4D39C114CF9BBA1626EF6055D82"><enum>(ii)</enum><header>Effect of violation</header><text>If the Secretary determines that a direct or third-party promoter has violated clause (i), the Secretary shall suspend or permanently bar such individual from participation in the program described in subparagraph (E).</text></clause> <clause id="HABE4D51CA3E8432CB89D2E53D5E31330"><enum>(iii)</enum><header>Compliance</header><text>Each regional center, new commercial enterprise, and affiliated job-creating entity shall maintain a written agreement between or among such entities and each direct or third-party promoter operating on behalf of such entities that outlines the rules and standards prescribed under clause (i).</text></clause>
<clause id="HF26EBDF8945E4C899003819D45B57FAB"><enum>(iv)</enum><header>Disclosure</header><text>Each petition filed under section 204(a)(1)(H) shall include a disclosure, signed by the investor, that reflects all fees, ongoing interest, and other compensation paid to any person that the regional center or new commercial enterprise knows has received, or will receive, in connection with the investment, including compensation to agents, finders, or broker dealers involved in the offering, to the extent not already specifically identified in the business plan filed under subparagraph (F).</text></clause></subparagraph> <subparagraph id="H97B61342C8B74A53AD6D5D6D0D1DC22D"><enum>(L)</enum><header>Source of funds</header> <clause id="H4F3E95451B5343E387448D4C38D12C11"><enum>(i)</enum><header>In general</header><text>An alien investor shall demonstrate that the capital required under subparagraph (A) and any funds used to pay administrative costs and fees associated with the alien’s investment were obtained from a lawful source and through lawful means.</text></clause>
<clause id="H740C34C7187641BBB3900CC05C9691A2"><enum>(ii)</enum><header>Required information</header><text>The Secretary of Homeland Security shall require that an alien investor’s petition under this paragraph contain, as applicable—</text> <subclause id="HDD8E083A1EBC403BBE765DF7D6E54769"><enum>(I)</enum><text>business and tax records, or similar records, including—</text>
<item id="H54BE016926E04BB184D46F4DB2253ACE"><enum>(aa)</enum><text>foreign business registration records;</text></item> <item id="H2B7FD7B1F4774CA880DE598546E30E35"><enum>(bb)</enum><text>corporate or partnership tax returns (or tax returns of any other entity in any form filed in any country or subdivision of such country), and personal tax returns, including income, franchise, property (whether real, personal, or intangible), or any other tax returns of any kind, filed during the past 7 years (or another period to be determined by the Secretary to ensure that the investment is obtained from a lawful source of funds) with any taxing jurisdiction within or outside the United States by or on behalf of the alien investor; and</text></item>
<item id="H4E83373B865244508AC1AB6ABEFD1E6D"><enum>(cc)</enum><text>any other evidence identifying any other source of capital or administrative fees;</text></item></subclause> <subclause id="HB90254E26BF040DC832ED060C07B1B92"><enum>(II)</enum><text>evidence related to monetary judgments against the alien investor, including certified copies of any judgments, and evidence of all pending governmental civil or criminal actions, governmental administrative proceedings, and any private civil actions (pending or otherwise) involving possible monetary judgments against the alien investor from any court within or outside the United States; and</text></subclause>
<subclause id="HA103B07AB8DE4E7D90DF87AEE9BB06ED"><enum>(III)</enum><text>the identity of all persons who transfer into the United States, on behalf of the investor, any funds that are used to meet the capital requirement under subparagraph (A).</text></subclause></clause> <clause id="H41E7234783D046828A7A12ECE39EEC53"><enum>(iii)</enum><header>Gift and loan restrictions</header> <subclause id="H09C3615BF7C34BB1A04E24CEBC07E548"><enum>(I)</enum><header>In general</header><text>Gifted and borrowed funds may not be counted toward the minimum capital investment requirement under subparagraph (C) unless such funds—</text>
<item id="H11E39BB68B784A558CF13A42E6F707DE"><enum>(aa)</enum><text>were gifted or loaned to the alien investor in good faith; and</text></item> <item id="H7DF967939B754D25AB2DD7F599A4CB8A"><enum>(bb)</enum><text>were not gifted or loaned to circumvent any limitations imposed on permissible sources of capital under this subparagraph, including but not limited to proceeds from illegal activity.</text></item></subclause>
<subclause id="HC1125E526D254B458829CF9EAF8A9864"><enum>(II)</enum><header>Records requirement</header><text>If funds invested under subparagraph (A) are gifted or loaned to the alien investor, the Secretary shall require that the alien investor’s petition under this paragraph includes the records described in subclauses (I) and (II) of clause (ii) from the donor or, if other than a bank, the lender. </text></subclause></clause></subparagraph> <subparagraph id="H3B2FD7461460412F9D993CDA74E7C592"><enum>(M)</enum><header>Treatment of good faith investors following program noncompliance</header> <clause id="H8C85B00019B649519D604ECA7366FC29"><enum>(i)</enum><header>Termination or debarment of EB–5 entity</header><text>Except as provided in clause (vi), upon the termination or debarment, as applicable, from the program under this paragraph of a regional center, a new commercial enterprise, or a job-creating entity—</text>
<subclause id="HAEEC961D45AB42F187D79B11F8E4FFEF"><enum>(I)</enum><text>an otherwise qualified petition under section 204(a)(1)(H) or the conditional permanent residence of an alien who has been admitted to the United States pursuant to section 216A(a)(1) based on an investment in a terminated regional center, new commercial enterprise, or job-creating entity shall remain valid or continue to be authorized, as applicable, consistent with this subparagraph; and </text></subclause> <subclause id="H88AA17DD9F6D42C8B39FF5C7B81823AE"><enum>(II)</enum><text>the Secretary of Homeland Security shall notify the alien beneficiaries of such petitions of such termination or debarment.</text></subclause></clause>
<clause id="HC7A8405FBD154B829E8100DFF76B9042"><enum>(ii)</enum><header>New regional center or investment</header><text>The petition under section 204(a)(1)(H) of an alien described in clause (i) and the conditional permanent resident status of an alien described in clause (i) shall be terminated 180 days after notification of the termination from the program under this paragraph of a regional center, a new commercial enterprise, or a job creating entity (but not sooner than 180 days after the date of the enactment of the <short-title>EB–5 Reform and Integrity Act of 2021</short-title>) unless—</text> <subclause id="H5096B7B71E1F4CAFA055F85E577437F0"><enum>(I)</enum><text>in the case of the termination of a regional center—</text>
<item id="H8310488DA28B4E3F973AD2F71EE26F10"><enum>(aa)</enum><text>the new commercial enterprise associates with an approved regional center, regardless of the approved geographical boundaries of such regional center’s designation; or</text></item> <item id="H299BBBBD1236499BBE42B5BC89FF1E25"><enum>(bb)</enum><text>such alien makes a qualifying investment in another new commercial enterprise; or</text></item></subclause>
<subclause id="HD68E738D45DF4653816E2A9B6B118297"><enum>(II)</enum><text>in the case of the debarment of a new commercial enterprise or job-creating entity, such alien—</text> <item id="HFF64723B9D5D46B09B2A14714C85D634"><enum>(aa)</enum><text> associates with a new commercial enterprise in good standing; and</text></item>
<item id="HCEF44D5AB0C9442987D40293E420B4F1"><enum>(bb)</enum><text>invests additional investment capital solely to the extent necessary to satisfy remaining job creation requirements under subparagraph (A)(ii). </text></item></subclause></clause> <clause id="H8F0882FB6D3D412C807FE3FFDD56A89D"><enum>(iii)</enum><header>Amendments</header> <subclause id="H8BDF60EC16D148C486519779383703D3"><enum>(I)</enum><header>Filing requirement</header><text>The Secretary shall permit a petition described in clause (i)(I) to be amended to allow such petition to meet the applicable eligibility requirements under clause (ii), or to notify the Secretary that a pending or approved petition continues to meet the eligibility requirements described in clause (ii) notwithstanding termination or debarment described in clause (i) if such amendment is filed not later than 180 days after the Secretary provides notification of termination or debarment of a regional center, a new commercial enterprise, or a job-creating entity, as applicable.</text></subclause>
<subclause id="HDD88DA89E66844F7A035F65D947B65FA"><enum>(II)</enum><header>Determination of eligibility</header><text>For purposes of determining eligibility under subclause (I)—</text> <item id="H7A9AC2E555104340A63A0C39DB54E140"><enum>(aa)</enum><text>the Secretary shall permit amendments to the business plan, without such facts underlying the amendment being deemed a material change; and</text></item>
<item id="H486B358883E143D098EF34DD2CD5BD74"><enum>(bb)</enum><text>may deem any funds obtained or recovered by an alien investor, directly or indirectly, from claims against third parties, including insurance proceeds, or any additional investment capital provided by the alien, to be such alien’s investment capital for the purposes of subparagraph (A) if such investment otherwise complies with the requirements under this paragraph and section 216A. </text></item></subclause></clause> <clause id="H5518EED8AEE74E92B523EB7FB30480B1"><enum>(iv)</enum><header>Removal of conditions</header><text>Aliens described in subclauses (I)(bb) and (II) of clause (ii) shall be eligible to have their conditions removed pursuant to section 216A beginning on the date that is 2 years after the date of the subsequent investment.</text></clause>
<clause id="HD2242CA006F141799F353487086D569B"><enum>(v)</enum><header>Remedies</header><text>For petitions approved under clause (ii), including following an amendment filed under clause (iii), the Secretary—</text> <subclause id="H10E07C70E04D4382954A6C28B6837788"><enum>(I)</enum><text>shall retain the immigrant visa priority date related to the original petition and prevent age-out of derivative beneficiaries; and</text></subclause>
<subclause id="HD6EE822BC0574779BDF00DC07A010631"><enum>(II)</enum><text>may hold such petition in abeyance and extend any applicable deadlines under this paragraph. </text></subclause></clause> <clause id="HAD342B9619144341903E610226A9DFF6"><enum>(vi)</enum><header>Exception</header><text>If the Secretary has reason to believe that an alien was a knowing participant in the conduct that led to the termination of a regional center, new commercial enterprise, or job-creating entity described in clause (i)—</text>
<subclause id="H45C1D2FA1AA44A94B15F34AB23E6C61D"><enum>(I)</enum><text>the alien shall not be accorded any benefit under this subparagraph; and</text></subclause> <subclause id="H6BFE64A4B9E2404D9356941B18B44EBE"><enum>(II)</enum><text>the Secretary shall—</text>
<item id="H5F944F5681004358B85FBBBD4309F490"><enum>(aa)</enum><text>notify the alien of such belief; and</text></item> <item id="HFE67720389A44A57B5D14687C77B3C1D"><enum>(bb)</enum><text>subject to section 216A(b)(2), shall deny or initiate proceedings to revoke the approval of such alien’s petition, application, or benefit (and that of any spouse or child, if applicable) described in this paragraph.</text></item></subclause></clause></subparagraph>
<subparagraph id="HE7ED68C023D34EB6B2882D4505351CB3"><enum>(N)</enum><header>Threats to the national interest</header>
<clause id="HDBF7F58686B341A299CFFFFEB3D929CA"><enum>(i)</enum><header>Denial or revocation</header><text>The Secretary of Homeland Security shall deny or revoke the approval of a petition, application, or benefit described in this paragraph, including the documents described in clause (ii), if the Secretary determines, in the Secretary’s discretion, that the approval of such petition, application, or benefit is contrary to the national interest of the United States for reasons relating to threats to public safety or national security.</text></clause> <clause id="HD737E41E81E5465AAA214FCCC83E69D3"><enum>(ii)</enum><header>Documents</header><text>The documents described in this clause are—</text>
<subclause id="H31B7E29B3C624F1FB0A013B3C0CE42DD"><enum>(I)</enum><text>a certification, designation, or amendment to the designation of a regional center;</text></subclause> <subclause id="H4BAE83FAC5CB45B3974E68E6690EECF0"><enum>(II)</enum><text>a petition seeking classification of an alien as an alien investor under this paragraph;</text></subclause>
<subclause id="H78CF11EB118D47478706B4432895B22A"><enum>(III)</enum><text>a petition to remove conditions under section 216A;</text></subclause> <subclause id="HE2635576CDDD421CBA6D4522A7F59C9C"><enum>(IV)</enum><text>an application for approval of a business plan in a new commercial enterprise under subparagraph (F); or</text></subclause>
<subclause id="H2BCC5C071B994D969798DB39BAD6CCD7"><enum>(V)</enum><text>a document evidencing conditional permanent resident status that was issued to an alien pursuant to section 216A.</text></subclause></clause> <clause id="H2F81AFBBE201438F9A3C60377E217969"><enum>(iii)</enum><header>Debarment</header><text>If a regional center, new commercial enterprise, or job-creating entity has its designation or participation in the program under this paragraph terminated for reasons relating to public safety or national security, any person associated with such regional center, new commercial enterprise, or job-creating entity, including an alien investor, shall be permanently barred from future participation in the program under this paragraph if the Secretary of Homeland Security, in the Secretary’s discretion, determines, by a preponderance of the evidence, that such person was a knowing participant in the conduct that led to the termination.</text></clause>
<clause id="H069097BDB1EA481AB98524EF9C3E28EE"><enum>(iv)</enum><header>Notice</header><text>If the Secretary of Homeland Security determines that the approval of a petition, application, or benefit described in this paragraph should be denied or revoked pursuant to clause (i), the Secretary shall—</text> <subclause id="HF34E5F6FCEF54F95AE26320B437218AE"><enum>(I)</enum><text>notify the relevant individual, regional center, or commercial entity of such determination; </text></subclause>
<subclause id="HC48CCB43AFBD492AAF1E560406D99898"><enum>(II)</enum><text>deny or revoke such petition, application, or benefit or terminate the permanent resident status of the alien (and the alien spouse and alien children of such immigrant), as of the date of such determination; and</text></subclause> <subclause id="HCAEBA711E45F4A868919DC3748124B0B"><enum>(III)</enum><text>provide any United States-owned regional center, new commercial enterprise, or job creating entity an explanation for such determination unless the relevant information is classified or disclosure is otherwise prohibited under law. </text></subclause></clause>
<clause id="H6504140E919946F793FD01A3CE6DC7A2"><enum>(v)</enum><header>Judicial review</header><text>Notwithstanding any other provision of law (statutory or nonstatutory), including section 2241 of title 28, United States Code, or any other habeas corpus provision, and sections 1361 and 1651 of such title, no court shall have jurisdiction to review a denial or revocation under this subparagraph. Nothing in this clause may be construed as precluding review of constitutional claims or questions of law raised upon a petition for review filed with an appropriate court of appeals in accordance with section 242.</text></clause></subparagraph> <subparagraph id="HD5A89403A9B44C3B973F205265083848"><enum>(O)</enum><header>Fraud, misrepresentation, and criminal misuse</header> <clause id="HB7EDF609E8BB40A7B31F372C4F79DF22"><enum>(i)</enum><header>Denial or revocation</header><text>Subject to subparagraph (M), the Secretary of Homeland Security shall deny or revoke the approval of a petition, application, or benefit described in this paragraph, including the documents described in subparagraph (N)(ii), if the Secretary determines, in the Secretary’s discretion, that such petition, application, or benefit was predicated on or involved fraud, deceit, intentional material misrepresentation, or criminal misuse.</text></clause>
<clause id="HA5E525AC010E46ADAD6CACF1A5D9E5BF"><enum>(ii)</enum><header>Debarment</header><text>If a regional center, new commercial enterprise, or job-creating entity has its designation or participation in the program under this paragraph terminated for reasons relating to fraud, intentional material misrepresentation, or criminal misuse, any person associated with such regional center, new commercial enterprise, or job-creating entity, including an alien investor, shall be permanently barred from future participation in the program if the Secretary determines, in the Secretary’s discretion, by a preponderance of the evidence, that such person was a knowing participant in the conduct that led to the termination.</text></clause> <clause id="H093ED505BA664C5B9D82958AF0CCB39F"><enum>(iii)</enum><header>Notice</header><text>If the Secretary determines that the approval of a petition, application, or benefit described in this paragraph should be denied or revoked pursuant to clause (i), the Secretary shall—</text>
<subclause id="H1D99CF79999F478CA286CDAB22820A9B"><enum>(I)</enum><text>notify the relevant individual, regional center, or commercial entity of such determination; and</text></subclause> <subclause id="H5D05D8FE30564374A718D35DAB4C2FEA"><enum>(II)</enum><text>deny or revoke such petition, application, or benefit or terminate the permanent resident status of the alien (and the alien spouse and alien children of such immigrant), in accordance with clause (i), as of the date of such determination.</text></subclause></clause></subparagraph>
<subparagraph id="H7525527E7402482FB8C89561AB5E4CD5"><enum>(P)</enum><header>Administrative appellate review</header>
<clause id="H6AEFDFB8353348B39659CB5236BFBE2F"><enum>(i)</enum><header>In general</header><text>The Director of U.S. Citizenship and Immigration Services shall provide an opportunity for an administrative appellate review by the Administrative Appeals Office of U.S. Citizenship and Immigration Services of any determination made under this paragraph, including—</text> <subclause id="H3EC0FE4C5E6D4D1D875131D3C1D5FDF7"><enum>(I)</enum><text>an application for regional center designation or regional center amendment;</text></subclause>
<subclause id="H7FDA74BD4A3A4E91AD73C32AB6B1C47E"><enum>(II)</enum><text>an application for approval of a business plan filed under subparagraph (F);</text></subclause> <subclause id="H6D07E7574508483BBAC854F482C0089E"><enum>(III)</enum><text>a petition by an alien investor for status as an immigrant under this paragraph;</text></subclause>
<subclause id="H001A7A6AAD34458B961EED99D510E9BD"><enum>(IV)</enum><text>the termination or suspension of any benefit accorded under this paragraph; and</text></subclause> <subclause id="H7A1363F68B584BA786542B1E557EE3C2"><enum>(V)</enum><text>any sanction imposed by the Secretary under this paragraph.</text></subclause></clause>
<clause id="H285E888B31FF45E2B13D30D27C06C745"><enum>(ii)</enum><header>Judicial review</header><text>Subject to subparagraph (N)(v) and section 242(a)(2), and notwithstanding any other provision of law (statutory or nonstatutory), including section 2241 of title 28, United States Code, or any other habeas corpus provision, and sections 1361 and 1651 of such title, no court shall have jurisdiction to review a determination under this paragraph until the regional center, its associated entities, or the alien investor has exhausted all administrative appeals.</text></clause></subparagraph> <subparagraph id="HED061E2A6EA0492798A2201E04D0CFBD"><enum>(Q)</enum><header>Fund administration</header> <clause id="HE58CA8C4016E4B07BC1A8B793FBE78B8"><enum>(i)</enum><header>In general</header><text>Each new commercial enterprise shall deposit and maintain the capital investment of each alien investor in a separate account, including amounts held in escrow.</text></clause>
<clause id="HA01F1C730A794FE18BBF75ACBEDEC88B"><enum>(ii)</enum><header>Use of funds</header><text>Amounts in a separate account may only—</text> <subclause id="H8316F9B255C640979FB1D0436FBA7118"><enum>(I)</enum><text>be transferred to another separate account or a job creating entity;</text></subclause>
<subclause id="H26663A2F7121469C99E347A1869F4F3C"><enum>(II)</enum><text>otherwise be deployed into the capital investment project for which the funds were intended; or</text></subclause> <subclause id="H6D6C0F876693487B94B0C8EBE341B555"><enum>(III)</enum><text>be transferred to the alien investor who contributed the funds as a refund of that investor’s capital investment, if otherwise permitted under this paragraph.</text></subclause></clause>
<clause id="H0FFC0470E6564DD4986BFB3C22BC23D8"><enum>(iii)</enum><header>Deployment of funds into an affiliated job-creating entity</header><text>If amounts are transferred to an affiliated job-creating entity pursuant to clause (ii)(I)—</text> <subclause id="H1148C6E3512C47C4AD2826CA64849EF3"><enum>(I)</enum><text>the affiliated job-creating entity shall maintain such amounts in a separate account until they are deployed into the capital investment project for which they were intended; and</text></subclause>
<subclause id="HDCC528B496C24692968C681809D21EBB"><enum>(II)</enum><text>not later than 30 days after such amounts are deployed pursuant to subclause (I), the affiliated job-creating entity shall provide written notice to the fund administrator retained pursuant to clause (iv) that a construction consultant or other individual authorized by the Secretary has verified that such amounts have been deployed into the project.</text></subclause></clause> <clause id="H618C883514824D15AFA8E90B45A6A5FE"><enum>(iv)</enum><header>Fund administrator</header><text>Except as provided in clause (v), the new commercial enterprise shall retain a fund administrator to fulfill the requirements under this subparagraph. The fund administrator—</text>
<subclause id="HF458CA9F2BE84A7E9902BE236ECFAEAC"><enum>(I)</enum><text>shall be independent of, and not directly related to, the new commercial enterprise, the regional center associated with the new commercial enterprise, the job creating entity, or any of the principals or managers of such entities;</text></subclause> <subclause id="H79DF5E6561F742BE869B46E596AEE0F2"><enum>(II)</enum><text>shall be licensed, active, and in good standing as—</text>
<item id="HC3891DF793074947859A92CFF79C1162"><enum>(aa)</enum><text>a certified public accountant;</text></item> <item id="H2B09EB5483C04054A0258902A97379D4"><enum>(bb)</enum><text>an attorney;</text></item>
<item id="HBB8F5E1AF91049C5A05BB6CE126FC35D"><enum>(cc)</enum><text>a broker-dealer or investment adviser registered with the Securities and Exchange Commission; or</text></item> <item id="H51489EFB0A1F4B82A53ABDC0E131C0D7"><enum>(dd)</enum><text>an individual or company that otherwise meets such requirements as may be established by the Secretary;</text></item></subclause>
<subclause id="HD527505BE8A7442A8A04BA90B6305430"><enum>(III)</enum><text>shall monitor and track any transfer of amounts from the separate account;</text></subclause> <subclause id="H4BA5CD48167C4BABA5D62A133E7C511B"><enum>(IV)</enum><text>shall serve as a cosignatory on all separate accounts;</text></subclause>
<subclause id="H5B46618062D64B04B523DE4D98A2B517"><enum>(V)</enum><text>before any transfer of amounts from a separate account, shall—</text> <item id="H47F99DD628C446B4A589D7E9FBAD2962"><enum>(aa)</enum><text>verify that the transfer complies with all governing documents, including organizational, operational, and investment documents; and</text></item>
<item id="HCD64047E5728410089B1FB0809730E54"><enum>(bb)</enum><text>approve such transfer with a written or electronic signature;</text></item></subclause> <subclause id="H46DFF6FB9EF6415194C0D94E6FF6AE74"><enum>(VI)</enum><text>shall periodically provide each alien investor with information about the activity of the account in which the investor’s capital investment is held, including—</text>
<item id="H08EFCEA09BB24A3688D4C5AEC769689A"><enum>(aa)</enum><text>the name and location of the bank or financial institution at which the account is maintained;</text></item> <item id="H03F7AFE0090747C483572D8711316B14"><enum>(bb)</enum><text>the history of the account; and</text></item>
<item id="HB311B2820F684392A718307435DC8BE0"><enum>(cc)</enum><text>any additional information required by the Secretary; and</text></item></subclause> <subclause id="HD5F5A10B0BE2471A955EE3A3D5323172"><enum>(VII)</enum><text>shall make and preserve, during the 5-year period beginning on the last day of the Federal fiscal year in which any transactions occurred, books, ledgers, records, and other documentation necessary to comply with this clause, which shall be provided to the Secretary upon request.</text></subclause></clause>
<clause id="H96CA0F09542644E4BED27AC739748696"><enum>(v)</enum><header>Waiver</header>
<subclause id="H381ECD57A53E4EB09A6ABDEC7E0AF892"><enum>(I)</enum><header>Waiver permitted</header><text>The Secretary of Homeland Security, after consultation with the Securities and Exchange Commission, may waive the requirements under clause (iv) for any new commercial enterprise or affiliated job-creating entity that is controlled by or under common control of an investment adviser or broker-dealer that is registered with the Securities and Exchange Commission if the Secretary, in the Secretary’s discretion, determines that the Securities and Exchange Commission provides comparable protections and transparency for alien investors as the protections and transparency provided under clause (iv).</text></subclause> <subclause id="H46DFB391F72A4862BE5C68ED440600F1"><enum>(II)</enum><header>Waiver required</header><text>The Secretary of Homeland Security shall waive the requirements under clause (iv) for any new commercial enterprise that commissions an annual independent financial audit of such new commercial enterprise or job creating entity conducted in accordance with Generally Accepted Auditing Standards, which audit shall be provided to the Secretary and all investors in the new commercial enterprise. </text></subclause></clause>
<clause id="HB99B9F38F7E94040A363DACEFB84BB6E"><enum>(vi)</enum><header>Defined term</header><text>In this subparagraph, the term <term>separate account</term> means an account that—</text> <subclause id="H04593AB72D5C4D1287CF02DB1EF61509"><enum>(I)</enum><text>is maintained in the United States by a new commercial enterprise or job creating entity at a Federally regulated bank or at another financial institution (as defined in section 20 of title 18, United States Code) in the United States;</text></subclause>
<subclause id="H00F153EAAB544D02A402AB3B70F3FD0B"><enum>(II)</enum><text>is insured; and</text></subclause> <subclause id="HA1242199A803468DAB50C7B0B84FA675"><enum>(III)</enum><text>contains only the pooled investment funds of alien investors in a new commercial enterprise with respect to a single capital investment project.</text></subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="HDC9BC1D849C74AF9AB1EAC81412CD1CE"><enum>(c)</enum><header>Effective date</header><text>Unless otherwise provided in this section, the amendments made by this section shall take effect on the date that is 90 days after the date of the enactment of this Act.</text></subsection></section> <section id="HF3FD9009B2624ED789937F84C8EC4786"><enum>3.</enum><header>Conditional permanent resident status for alien investors, spouses, and children</header> <subsection id="HC7D672C993C94F068556677774FD45D2"><enum>(a)</enum><header>In general</header><text>Section 216A of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1186b">8 U.S.C. 1186b</external-xref>) is amended—</text>
<paragraph id="H47F66E66F92C421BA637A8045C990AF1"><enum>(1)</enum><text>by striking <quote>Attorney General</quote> each place such term appears (except in subsection (d)(2)(C)) and inserting <quote>Secretary of Homeland Security</quote>;</text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="H4A4E571992934BA0AC1CB6686F62CEC4"><enum>(2)</enum><text display-inline="yes-display-inline">by striking <quote>entrepreneur</quote> each place such term appears and inserting <quote>investor</quote>;</text></paragraph>
<paragraph id="H22B299084849439B94C96E5EF2DCEEEB"><enum>(3)</enum><text>in subsection (a), by amending paragraph (1) to read as follows:</text> <quoted-block style="OLC" display-inline="no-display-inline" id="H402AD9B52269499D891EE3DD7424DB63"> <paragraph id="HE3BA06F1878445D59F1D42EDCE43B9BB"><enum>(1)</enum><header>Conditional basis for status</header><text>An alien investor, alien spouse, and alien child shall be considered, at the time of obtaining status as an alien lawfully admitted for permanent residence, to have obtained such status on a conditional basis subject to the provisions of this section.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph>
<paragraph id="HEA263F52FAD64267A52DFFDAB915BED5"><enum>(4)</enum><text>in subsection (b)—</text> <subparagraph id="HA899ACE13D984F13AF6BA0C08C4594B1"><enum>(A)</enum><text>in the subsection heading, by striking <quote><header-in-text level="subsection" style="OLC">entrepreneurship</header-in-text></quote> and inserting <quote><header-in-text level="subsection" style="OLC">investment</header-in-text></quote>; and</text></subparagraph>

<clause id="HF8F43067A98D4EE7B554B6BA19D88391"><enum>(i)</enum><text>in subparagraph (A), in the undesignated matter following clause (ii), by striking <quote>the</quote> before <quote>such filing</quote>; and</text></clause> <clause id="HCDE1659F7ABD44E4B45367E122914CF0"><enum>(ii)</enum><text>by amending subparagraph (B) to read as follows:</text>

<clause id="H652F1F9D9CF949C3B5DEE93067E4D32D"><enum>(i)</enum><header>In general</header><text>Except as provided in clause (ii), if the Secretary determines that the facts and information contained in a petition submitted under paragraph (1)(A) are true, including demonstrating that the alien complied with subsection (d)(1)(B)(i), the Secretary shall—</text> <subclause id="HF1FFE3F941A04A1E810B926ED18E48E5"><enum>(I)</enum><text>notify the alien involved of such determination; and</text></subclause>
<subclause id="H143FE64EC59E4DA48AABAA628D486DB7"><enum>(II)</enum><text>remove the conditional basis of the alien’s status effective as of the second anniversary of the alien’s lawful admission for permanent residence.</text></subclause></clause> <clause id="H5D5168F632514A66B90184B46CCD4C61"><enum>(ii)</enum><header>Exception</header><text>If the petition demonstrates that the facts and information are true and that the alien is in compliance with subsection (d)(1)(B)(ii)—</text>
<subclause id="H074746DD7EBA4D9FBD5D4C6D5FC2D463"><enum>(I)</enum><text>the Secretary, in the Secretary’s discretion, may provide a 1-year extension of the alien’s conditional status; and</text></subclause> <subclause id="H68C1430905E24573887BD35D39A4E221"><enum>(II)</enum> <item commented="no" display-inline="yes-display-inline" id="HFC05FD96626D4B53B90378C5ACBCE175"><enum>(aa)</enum><text>if the alien files a petition not later than 30 days after the third anniversary of the alien’s lawful admission for permanent residence demonstrating that the alien complied with subsection (d)(1)(B)(i), the Secretary shall remove the conditional basis of the alien’s status effective as of such third anniversary; or</text></item>
<item id="H3FF9812D20FD4FF694D4FBA94DEBBF2C" indent="up1"><enum>(bb)</enum><text>if the alien does not file the petition described in item (aa), the conditional status shall terminate at the end of such additional year.</text></item></subclause></clause></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block></clause></subparagraph></paragraph> <paragraph id="HF861C4C2217C4E28AC4FFD1BA49FB88F"><enum>(6)</enum><text>in subsection (d)—</text>
<subparagraph id="H12E2030CD804457B91523CD4395F1EF0"><enum>(A)</enum><text>in paragraph (1)—</text> <clause id="HF330162849684190A4120D28F27DC008"><enum>(i)</enum><text>by amending subparagraph (A) to read as follows:</text>

<clause id="HF84B1231373C456B8A051114AC55A36B" indent="up1"><enum>(ii)</enum><text>is actively in the process of creating the employment required under section 203(b)(5)(A)(ii) and will create such employment before the third anniversary of the alien’s lawful admission for permanent residence, provided that such alien’s capital will remain invested during such time; and</text></clause></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block></clause></subparagraph> <subparagraph id="HAC2D563CD37D4860A6D65B5BC70EA6D5"><enum>(B)</enum><text>in paragraph (2), by amending subparagraph (A) to read as follows:</text>

<subparagraph id="H60D908B48AD84631A1F1C31AB4F5F040"><enum>(A)</enum><header>Ninety-day period before second anniversary</header>
<clause id="H2519F6DA2E6644FFA11DFD59FE9664A9"><enum>(i)</enum><header>In general</header><text>Except as provided in clause (ii) and subparagraph (B), a petition under subsection (c)(1)(A) shall be filed during the 90-day period immediately preceding the second anniversary of the alien investor’s lawful admission for permanent residence.</text></clause> <clause id="H0128834BA528458D8C2ADE174A7E2ED1"><enum>(ii)</enum><header>Exception</header><text>Aliens described in subclauses (I)(bb) and (II) of section 203(b)(5)(M)(ii) shall file a petition under subsection (c)(1)(A) during the 90-day period before the second anniversary of the subsequent investment.</text></clause></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph>
<subparagraph id="H6370DA8FCC6F4BD9AFE6D03EE8869ECC"><enum>(C)</enum><text>in paragraph (3)—</text> <clause id="H9440852D8A164262BCD5398393C00143"><enum>(i)</enum><text>by striking <quote>The interview</quote> and inserting the following:</text>

A waiver may not be granted under this subparagraph if the alien to be interviewed—</text>
<clause id="H3E4E1F5FEF9A4859BF758D0DA2088B2D"><enum>(i)</enum><text>invested in a regional center, new commercial enterprise, or job-creating entity that was sanctioned under section 203(b)(5); or</text></clause> <clause id="H5FD14B986D3E4BC68D0210AC047D1B2A"><enum>(ii)</enum><text>is in a class of aliens determined by the Secretary to be threats to public safety or national security.</text></clause></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block></clause></subparagraph></paragraph>
<paragraph id="H98928F32A86E4AB59B7B0DF1C48728C1"><enum>(7)</enum><text>in subsection (f)(3), by striking <quote>a limited partnership</quote> and inserting <quote>any entity formed for the purpose of doing for-profit business</quote>.</text></paragraph></subsection> <subsection id="HBCCAF3D1AC134836A99DC756504CC55F"><enum>(b)</enum><header>Effective dates</header> <paragraph id="HB7A4ACD901DB454BA446D721A03EFBF6"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), the amendments made by subsection (a) shall take effect on the date of the enactment of this Act.</text></paragraph>
<paragraph id="H49F8AC76D6B44676B48416BC0345B56F"><enum>(2)</enum><header>Exceptions</header>
<subparagraph id="H014282E2A8C843D493E01386AB003E60"><enum>(A)</enum><header>Site visits</header><text>The amendment made by subsection (a)(5)(B)(iv) shall take effect on the date that is 2 years after the date of the enactment of this Act.</text></subparagraph> <subparagraph id="H92FF8A4FDEAC4762B209D4D9F0F78C57"><enum>(B)</enum><header>Petition beneficiaries</header><text>The amendments made by subsection (a) shall not apply to the beneficiary of a petition that is filed under section 216A of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1186b">8 U.S.C. 1186b</external-xref>) if the underlying petition was filed under section 203(b)(5) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>) before the date of the enactment of this Act.</text></subparagraph></paragraph></subsection></section>
<section id="H321D052AA29343AA90ECFD67CC057D3A"><enum>4.</enum><header>EB–5 visa reforms</header>
<subsection id="H1CCF5841CF1A4D0284B9BE2BDD1F4C70"><enum>(a)</enum><header>Definitions</header><text>Section 203(b)(5)(D) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)(D)</external-xref>) is amended to read as follows:</text> <quoted-block style="OLC" display-inline="no-display-inline" id="HD2667C1FF7454C72943D1ED7669B514A"> <subparagraph id="H7327352F8D854FC7BC9E02DCF4E3710E"><enum>(D)</enum><header>Definitions</header><text>In this paragraph:</text>
<clause id="HC7EFE27789FF4AB989F1ABB61CB33A35"><enum>(i)</enum><header>Affiliated job-creating entity</header><text>The term <term>affiliated job-creating entity</term> means any job-creating entity that is controlled, managed, or owned by any of the people involved with the regional center or new commercial enterprise under section 203(b)(5)(H)(v).</text></clause> <clause id="HEAADFEB5B14B4A8480B599239F456BDB"><enum>(ii)</enum><header>Capital</header><text>The term <term>capital</term>—</text>
<subclause id="HCDCE160BEE9A4E449095A97FEAC9E30D"><enum>(I)</enum><text>means cash and all real, personal, or mixed tangible assets owned and controlled by the alien investor, or held in trust for the benefit of the alien and to which the alien has unrestricted access; </text></subclause> <subclause id="H93C07A88F7F34EBA8140437670EFC021"><enum>(II)</enum><text>shall be valued at fair market value in United States dollars, in accordance with Generally Accepted Accounting Principles or other standard accounting practice adopted by the Securities and Exchange Commission, at the time it is invested under this paragraph;</text></subclause>
<subclause id="H5D40F7EB20C440768140CD3990270DBD"><enum>(III)</enum><text>does not include—</text> <item id="HF3F6DDE8D9CD4D8AB49F428C98F3C2ED"><enum>(aa)</enum><text>assets directly or indirectly acquired by unlawful means, including any cash proceeds of indebtedness secured by such assets;</text></item>
<item id="HED4E244CF6304BB8B3D311CB8D8BA236"><enum>(bb)</enum><text>capital invested in exchange for a note, bond, convertible debt, obligation, or any other debt arrangement between the alien investor and the new commercial enterprise;</text></item> <item id="HC96D57724D9141ABB3D2E7095DB83F1B"><enum>(cc)</enum><text>capital invested with a guaranteed rate of return on the amount invested by the alien investor; or</text></item>
<item id="HF40F56F57CB145278027C80B222AE6F8"><enum>(dd)</enum><text>except as provided in subclause (IV), capital invested that is subject to any agreement between the alien investor and the new commercial enterprise that provides the investor with a contractual right to repayment, such as a mandatory redemption at a certain time or upon the occurrence of a certain event, or a put or sell-back option held by the alien investor, even if such contractual right is contingent on the success of the new commercial enterprise, such as having sufficient available cash flow; and</text></item></subclause> <subclause id="H78BEFFEC8B4043309B4D04D77CA05692"><enum>(IV)</enum><text>includes capital invested that—</text>
<item id="H62E9FF9A6A5D4016AE712E95B672417D"><enum>(aa)</enum><text>is subject to a buy back option that may be exercised solely at the discretion of the new commercial enterprise; and </text></item> <item id="H813300F6D0EC4064ACCA98E0BD8385A1"><enum>(bb)</enum><text>results in the alien investor withdrawing his or her petition unless the alien investor has fulfilled his or her sustainment period and other requirements under this paragraph. </text></item></subclause></clause>
<clause id="H8A62461581824F75BFBFFC0CF05E6762"><enum>(iii)</enum><header>Certifier</header><text>The term <term>certifier</term> means a person in a position of substantive authority for the management or operations of a regional center, new commercial enterprise, affiliated job-creating entity, or issuer of securities, such as a principal executive officer or principal financial officer, with knowledge of such entities’ policies and procedures related to compliance with the requirements under this paragraph.</text></clause> <clause id="HA1FD8DD9ABC94DBF8DAA495B52441384"><enum>(iv)</enum><header>Job-creating entity</header><text>The term <term>job-creating entity</term> means any organization formed in the United States for the ongoing conduct of lawful business, including sole proprietorship, partnership (whether limited or general), corporation, limited liability company, business trust, or other entity, which may be publicly or privately owned, including an entity consisting of a holding company and its wholly-owned subsidiaries or affiliates (provided that each subsidiary or affiliate is engaged in an activity formed for the ongoing conduct of a lawful business) that receives, or is established to receive, capital investment from alien investors or a new commercial enterprise under the regional center program described in subparagraph (E) and which is responsible for creating jobs to satisfy the requirement under subparagraph (A)(ii).</text></clause>
<clause id="HD25492CD4A07482E83DA8523EC89E85A"><enum>(v)</enum><header>New commercial enterprise</header><text>The term <term>new commercial enterprise</term> means any for-profit organization formed in the United States for the ongoing conduct of lawful business, including sole proprietorship, partnership (whether limited or general), holding company and its wholly-owned subsidiaries (provided that each subsidiary is engaged in a for-profit activity formed for the ongoing conduct of a lawful business), joint venture, corporation, business trust, limited liability company, or other entity (which may be publicly or privately owned) that receives, or is established to receive, capital investment from investors under this paragraph.</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="H107118FD112C49E8A1F02F6BB472A7E5"><enum>(b)</enum><header>Age determination for children of alien investors</header><text>Section 203(h) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(h)</external-xref>) is amended by adding at the end the following:</text>
<quoted-block style="OLC" display-inline="no-display-inline" id="H6D92C5F290AC4346928778434FAE8A74">
<paragraph id="H49DC66C068D442318D5E7E604A26239E"><enum>(5)</enum><header>Age determination for children of alien investors</header><text>An alien who has reached 21 years of age and has been admitted under subsection (d) as a lawful permanent resident on a conditional basis as the child of an alien lawfully admitted for permanent residence under subsection (b)(5), whose lawful permanent resident status on a conditional basis is terminated under section 216A or subsection (b)(5)(M), shall continue to be considered a child of the principal alien for the purpose of a subsequent immigrant petition by such alien under subsection (b)(5) if the alien remains unmarried and the subsequent petition is filed by the principal alien not later than 1 year after the termination of conditional lawful permanent resident status. No alien shall be considered a child under this paragraph with respect to more than 1 petition filed after the alien reaches 21 years of age.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="H8977C4159C1D464E93DDEA0B2832017B"><enum>(c)</enum><header>Enhanced pay scale for certain Federal employees administering the employment creation program</header><text>The Secretary of Homeland Security may establish, fix the compensation of, and appoint individuals to designated critical, technical, and professional positions needed to administer sections 203(b)(5) and 216A of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref> and 1186b).</text></subsection>
<subsection id="HB462460E78BB4985A88320FDE4E7E482"><enum>(d)</enum><header>Concurrent filing of EB–5 petitions and applications for adjustment of status</header><text>Section 245 of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1255">8 U.S.C. 1255</external-xref>) is amended—</text> <paragraph id="H21C8DD2D61A143C08E408000FFE80067"><enum>(1)</enum><text>in subsection (k), in the matter preceding paragraph (1), by striking <quote>or (3)</quote> and inserting <quote>(3), or (5)</quote>; and</text></paragraph>
<paragraph id="H5A615D2538454184946CAF3911BF2B6F"><enum>(2)</enum><text>by adding at the end the following:</text> <quoted-block style="OLC" display-inline="no-display-inline" id="HE76FE433997C4A90801DFC548384727E"> <subsection id="H4856EF1A1796401BA30E59B300FE1A28"><enum>(n)</enum><text>If the approval of a petition for classification under section 203(b)(5) would make a visa immediately available to the alien beneficiary, the alien beneficiary’s application for adjustment of status under this section shall be considered to be properly filed whether the application is submitted concurrently with, or subsequent to, the visa petition.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection>
<subsection id="HAD78797394D44636AC078894B9F1A755"><enum>(e)</enum><header>Type of investment</header><text>Section 203(b)(5)(A) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)(A)</external-xref>), as amended by subsection (a)(2), is further amended—</text> <paragraph id="HFF131529DF164D87B7BFE7B9DB535704"><enum>(1)</enum><text>in clause (i), by striking <quote>(C), and</quote> and inserting <quote>(C) and which is expected to remain invested for not less than 2 years; and</quote>; and</text></paragraph>
<paragraph id="H8668F794937A4F2F85DC15C1EF229DB7"><enum>(2)</enum><text>in clause (ii)—</text> <subparagraph id="HB039DAB794924215BDB92023E2279643"><enum>(A)</enum><text>by striking <quote>and create</quote> and inserting <quote>by creating</quote>; and</text></subparagraph>
<subparagraph id="H7E595D60E5E447BFB154A35231E4E990"><enum>(B)</enum><text>by inserting <quote>, United States nationals,</quote> after <quote>citizens</quote>.</text></subparagraph></paragraph></subsection> <subsection id="HEB24439587B34C69B9CBE468CBE51F8D"><enum>(f)</enum><header>Required checks</header><text>Section 203(b)(5) of the Immigration and Nationality Act, as amended by this section and section 2, is further amended by adding at the end the following:</text>
<quoted-block style="OLC" display-inline="no-display-inline" id="H20D0F0BA6D5A411C8E92B420432A59AE">
<subparagraph id="HD409D4F7096940B0A48BA188F2815C53"><enum>(R)</enum><header>Required checks</header><text>Any petition filed by an alien under section 204(a)(1)(H) may not be approved under this paragraph unless the Secretary of Homeland Security has searched for the alien and any associated employer of such alien on the Specially Designated Nationals List of the Department of Treasury Office of Foreign Assets Control.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection commented="no" id="H540F69A9F2C24FE5B1439B711540F887"><enum>(g)</enum><header>Effective date</header><text display-inline="yes-display-inline">The amendments made by this section shall take effect on the date of the enactment of this Act.</text></subsection></section>
<section id="H33F8EF1B7A83454ABF18D52A1DC4DAC2"><enum>5.</enum><header>Procedure for granting immigrant status</header>
<subsection id="HB643505F6E004276865D527E61F978DB"><enum>(a)</enum><header>Filing order and eligibility</header><text>Section 204(a)(1)(H) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1154">8 U.S.C. 1154(a)(1)(H)</external-xref>) is amended to read as follows:</text> <quoted-block style="OLC" display-inline="no-display-inline" id="H14190D1817A2441A929CCA8FF68FB187"> <subparagraph id="HD84917877F2447768C4C3BF8C4094F16" indent="up2"><enum>(H)</enum> <clause commented="no" display-inline="yes-display-inline" id="HA1B3881F63B9484EA99BA86533ABBDD9"><enum>(i)</enum><text>Any alien seeking classification under section 203(b)(5) may file a petition for such classification with the Secretary of Homeland Security. An alien seeking to pool his or her investment with 1 or more additional aliens seeking classification under section 203(b)(5) shall file for such classification in accordance with section 203(b)(5)(E), or before the date of the enactment of the <short-title>EB–5 Reform and Integrity Act of 2021</short-title>, in accordance with section 203(b)(5). An alien petitioning for classification under section 203(b)(5)(E) may file a petition with the Secretary after a regional center has filed an application for approval of an investment under section 203(b)(5)(F).</text></clause>
<clause id="H0298E15E81C34EEEA16B280A6270A136" indent="up1"><enum>(ii)</enum><text>A petitioner described in clause (i) shall establish eligibility at the time he or she files a petition for classification under section 203(b)(5). A petitioner who was eligible for such classification at the time of such filing shall be deemed eligible for such classification at the time such petition is adjudicated, subject to the approval of the petitioner’s associated application under section 203(b)(5)(F).</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="HE1B923C25D3F4B70AAF6BFACCF50B393"><enum>(b)</enum><header>Effective dates</header> <paragraph id="HB79FA0E192084FDBA04B1D10DE735838"><enum>(1)</enum><header>In general</header><text>The amendment made by subsection (a) shall take effect on the date of the enactment of this Act.</text></paragraph>
<paragraph id="H666DAAB95EB84C28A2A9CA377D35E854"><enum>(2)</enum><header>Applicability to petitions</header><text>Section 204(a)(1)(H)(i) of the Immigration and Nationality Act, as added by subsection (a), shall apply to any petition for classification pursuant to section 203(b)(5)(E) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)(E)</external-xref>) that is filed with the Secretary of Homeland Security on or after the date of the enactment of this Act.</text></paragraph></subsection> <subsection id="HDBC1AE1C237041FF86514687586B34AF"><enum>(c)</enum><header>Adjudication of petitions</header><text>The Secretary of Homeland Security shall continue to adjudicate petitions and benefits under sections 203(b)(5) and 216A of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref> and 1186b) during the implementation of this Act and the amendments made by this Act.</text></subsection></section>
<section id="HE87A91B308FA4CDAB6B251927BA37DB8"><enum>6.</enum><header>Timely processing</header>
<subsection id="H15BF9CF8B45C4BFC9D136908F66CE2A6"><enum>(a)</enum><header>Fee study</header><text>Not later than 1 year after the date of the enactment of this Act, the Director of U.S. Citizenship and Immigration Services shall complete a study of fees charged in the administration of the program described in sections 203(b)(5) and 216A of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref> and 1186b).</text></subsection> <subsection id="HBF7D9A63006E4660A7652877BB89B6BF"><enum>(b)</enum><header>Adjustment of fees To achieve efficient processing</header><text>Notwithstanding section 286(m) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1356">8 U.S.C. 1356(m)</external-xref>), and except as provided under subsection (c), the Director, not later than 60 days after the completion of the study under subsection (a), shall set fees for services provided under sections 203(b)(5) and 216A of such Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref> and 1186b) at a level sufficient to ensure the full recovery only of the costs of providing such services, including the cost of attaining the goal of completing adjudications, on average, not later than—</text>
<paragraph id="HF687E932A0BA41D58F7D439E2394AAD6"><enum>(1)</enum><text>180 days after receiving a proposal for the establishment of a regional center described in section 203(b)(5)(E) of such Act;</text></paragraph> <paragraph id="H05D1840730B54EB2AA6516CF44F1B8D6"><enum>(2)</enum><text>180 days after receiving an application for approval of an investment in a new commercial enterprise described in section 203(b)(5)(F) of such Act;</text></paragraph>
<paragraph id="H1ECC25B6D9184630886CBDE5460013F8"><enum>(3)</enum><text>90 days after receiving an application for approval of an investment in a new commercial enterprise described in section 203(b)(5)(F) of such Act that is located in a targeted employment area (as defined in section 203(b)(5)(B) of such Act); </text></paragraph> <paragraph id="H8936C3FE41174F3E9627A4A0A90759F1"><enum>(4)</enum><text>240 days after receiving a petition from an alien desiring to be classified under section 203(b)(5)(E) of such Act;</text></paragraph>
<paragraph id="H341B13F8A3BE40E7B6F201664C693260"><enum>(5)</enum><text>120 days after receiving a petition from an alien desiring to be classified under section 203(b)(5)(E) of such Act with respect to an investment in a targeted employment area (as defined in section 203(b)(5)(B) of such Act); and </text></paragraph> <paragraph id="H3AA910D4D2684CE5AD59202883189E6A"><enum>(6)</enum><text>240 days after receiving a petition from an alien for removal of conditions described in section 216A(c) of such Act.</text></paragraph></subsection>
<subsection id="H039B441A662B44489E9172E911CFB077"><enum>(c)</enum><header>Additional fees</header><text>Fees in excess of the fee levels described in subsection (b) may be charged only—</text> <paragraph id="H9F26695B2F484F17A59F3487C8F9C99F"><enum>(1)</enum><text>in an amount that is equal to the amount paid by all other classes of fee-paying applicants for immigration-related benefits, to contribute to the coverage or reduction of the costs of processing or adjudicating classes of immigration benefit applications that Congress, or the Secretary of Homeland Security in the case of asylum applications, has authorized to be processed or adjudicated at no cost or at a reduced cost to the applicant; and</text></paragraph>
<paragraph id="HF2D06F5BCEB0410D9B0E90F5244714AA"><enum>(2)</enum><text>in an amount that is not greater than 1 percent of the fee for filing a petition under section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>), to make improvements to the information technology systems used by the Secretary of Homeland Security to process, adjudicate, and archive applications and petitions under such section, including the conversion to electronic format of documents filed by petitioners and applicants for benefits under such section.</text></paragraph></subsection> <subsection id="H694DACDD89FB420DB56CC1B2DFF2FB0E"><enum>(d)</enum><header>Exemption from Paperwork Reduction Act</header><text>During the 1-year period beginning on the date of the enactment of this Act, the requirements under <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/44/35">chapter 35</external-xref> of title 44, United States Code, shall not apply to any collection of information required under this subtitle, any amendment made by this subtitle, or any rule promulgated by the Secretary of Homeland Security to implement this subtitle or the amendments made by this subtitle, to the extent that the Secretary determines that compliance with such requirements would impede the expeditious implementation of this subtitle or the amendments made by this subtitle.</text></subsection>
<subsection id="HCFB57744B42E44C39727973C7534DAAB"><enum>(e)</enum><header>Rule of construction regarding adjudication delays</header><text>Nothing in this subtitle may be construed to limit the authority of the Secretary of Homeland Security to suspend the adjudication of any application or petition under section 203(b)(5) or 216A of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref> and 1186b) pending the completion of a national security or law enforcement investigation relating to such application or petition.</text></subsection> <subsection id="HE1FE133DF0924EDF875CA3C16A14B695"><enum>(f)</enum><header>Rule of construction regarding modification of fees</header><text>Nothing in this section may be construed to require any modification of fees before the completion of—</text>
<paragraph id="H0542EC9502204F44A86FD499209F5259"><enum>(1)</enum><text>the fee study described in subsection (a); or</text></paragraph> <paragraph id="H2279571C9EA94FEE9EEAEB8C5FD83367"><enum>(2)</enum><text>regulations promulgated by the Secretary of Homeland Security, in accordance with subchapter II of chapter 5 and <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/7">chapter 7</external-xref> of title 5, United States Code (commonly known as the <quote>Administrative Procedure Act</quote>), to carry out subsections (b) and (c).</text></paragraph></subsection></section>
<section id="H8C8975F1404D472C9DF55E53A3CF7A25"><enum>7.</enum><header>Transparency</header>
<subsection id="H0A987BEEFF154E78A2755BB115A6D46E"><enum>(a)</enum><header>In general</header><text>Employees of the Department of Homeland Security, including the Secretary of Homeland Security, the Secretary’s counselors, the Assistant Secretary for the Private Sector, the Director of U.S. Citizenship and Immigration Services, counselors to such Director, and the Chief of the Immigrant Investor Programs Office (or any successor to such Office) at U.S. Citizenship and Immigration Services, shall act impartially and may not give preferential treatment to any entity, organization, or individual in connection with any aspect of the immigrant visa program described in section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>).</text></subsection> <subsection id="H0D1746E87B3245F1A0AC506F13EE02F6"><enum>(b)</enum><header>Improper activities</header><text>Activities that constitute preferential treatment under subsection (a) shall include—</text>
<paragraph id="H5C81D4105605485795F280E3EA5E9116"><enum>(1)</enum><text>working on, or in any way attempting to influence, in a manner not available to or accorded to all other petitioners, applicants, and seekers of benefits under the immigrant visa program referred to in subsection (a), the standard processing of an application, petition, or benefit for—</text> <subparagraph id="H910E31767BE64C718F5756C66C25285A"><enum>(A)</enum><text>a regional center;</text></subparagraph>
<subparagraph id="HA71631F63C114A37B6A88E47A0EBAF03"><enum>(B)</enum><text>a new commercial enterprise;</text></subparagraph> <subparagraph id="HD81A9E3F1387419CAA26A586286F4BAB"><enum>(C)</enum><text>a job-creating entity; or</text></subparagraph>
<subparagraph id="H1BF39F11C7E340AAB4CC7D78C160C9C5"><enum>(D)</enum><text>any person or entity associated with such regional center, new commercial enterprise, or job-creating entity; and</text></subparagraph></paragraph> <paragraph id="HCD889D146D3B4859864AD267AD2C7E6A"><enum>(2)</enum><text>meeting or communicating with persons associated with the entities listed in paragraph (1), at the request of such persons, in a manner not available to or accorded to all other petitioners, applicants, and seekers of benefits under such immigrant visa program.</text></paragraph></subsection>
<subsection id="H97BB9083D0EC40A082AE115087C8BC9C"><enum>(c)</enum><header>Reporting of communications</header>
<paragraph commented="no" id="H3B266066297745E9BBCF50B8A1ED2EC8"><enum>(1)</enum><header>Written communication</header><text>Employees of the Department of Homeland Security, including the officials listed in subsection (a), shall include, in the record of proceeding for a case under section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>), actual or electronic copies of all case-specific written communication, including e-mails from government and private accounts, with non-Department persons or entities advocating for regional center applications or individual petitions under such section that are pending on or after the date of the enactment of this Act (other than routine communications with other agencies of the Federal Government regarding the case, including communications involving background checks and litigation defense).</text></paragraph> <paragraph commented="no" id="HBBB916A80C13485F93039848D659301E"><enum>(2)</enum><header>Oral communication</header><text>If substantive oral communication, including telephonic communication, virtual communication, or in-person meetings, takes place between officials of the Department of Homeland Security and non-Department persons or entities advocating for regional center applications or individual petitions under section 203(b)(5) of such Act that are pending on or after the date of the enactment of this Act (except communications exempted under paragraph (1))—</text>
<subparagraph id="HD710091935F04087BBD5D9DCACBC6070"><enum>(A)</enum><text>the conversation shall be recorded; or</text></subparagraph> <subparagraph id="H3F743C5D52784E74A6D4CF93F840997E"><enum>(B)</enum><text>detailed minutes of the session shall be taken and included in the record of proceeding.</text></subparagraph></paragraph>
<paragraph id="HD68DA36592AF4AB894A3389802260B92"><enum>(3)</enum><header>Notification</header>
<subparagraph id="H9B82C4E5E0E849D6AFA55B76990DF6CB"><enum>(A)</enum><header>In general</header><text>If the Secretary, in the course of written or oral communication described in this subsection, receives evidence about a specific case from anyone other than an affected party or his or her representative (excluding Federal Government or law enforcement sources), such information may not be made part of the record of proceeding and may not be considered in adjudicative proceedings unless—</text> <clause id="H4B579EE4220B40C7B3C8583DC8ED5087"><enum>(i)</enum><text>the affected party has been given notice of such evidence; and</text></clause>
<clause id="H1A846A071BA449DDBB2B70E9C62D078A"><enum>(ii)</enum><text>if such evidence is derogatory, the affected party has been given an opportunity to respond to the evidence.</text></clause></subparagraph> <subparagraph id="HD24974AB1712418FAA2C8877540478D2"><enum>(B)</enum><header>Information from law enforcement, intelligence agencies, or confidential sources</header> <clause id="H47F85CA2DA2843F39159CD90488E9600"><enum>(i)</enum><header>Law enforcement or intelligence agencies</header><text>Evidence received from law enforcement or intelligence agencies may not be made part of the record of proceeding without the consent of the relevant agency or law enforcement entity.</text></clause>
<clause id="H9374613EA3DD4640BF39C33DEB76F3AE"><enum>(ii)</enum><header>Whistleblowers, confidential sources, or intelligence agencies</header><text>Evidence received from whistleblowers, other confidential sources, or the intelligence community that is included in the record of proceeding and considered in adjudicative proceedings shall be handled in a manner that does not reveal the identity of the whistleblower or confidential source, or reveal classified information.</text></clause></subparagraph></paragraph></subsection> <subsection id="HD46F8EE17E61443588980B782BC916FE"><enum>(d)</enum><header>Consideration of evidence</header> <paragraph id="H098D9E98DC1B4CD2841BE839518756DA"><enum>(1)</enum><header>In general</header><text>No case-specific communication with persons or entities that are not part of the Department of Homeland Security may be considered in the adjudication of an application or petition under section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>) unless the communication is included in the record of proceeding of the case.</text></paragraph>
<paragraph id="H7FC53197731F43199C96224D8C275B6D"><enum>(2)</enum><header>Waiver</header><text>The Secretary of Homeland Security may waive the requirement under paragraph (1) only in the interests of national security or for investigative or law enforcement purposes.</text></paragraph></subsection> <subsection id="H0C299965D2C04E978363144ED83FA700"><enum>(e)</enum><header>Channels of communication</header> <paragraph id="HB1DAFEF133C347BDA2B948E164190067"><enum>(1)</enum><header>E-mail address or equivalent</header><text>The Director of U.S. Citizenship and Immigration Services shall maintain an e-mail account (or equivalent means of communication) for persons or entities—</text>
<subparagraph id="H0BCEE86FDF944F5E891D78C55F807419"><enum>(A)</enum><text>with inquiries regarding specific petitions or applications under the immigrant visa program described in section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>); or</text></subparagraph> <subparagraph id="H0D50111293D94BCBB150E8D166A2B7CA"><enum>(B)</enum><text>seeking information that is not case-specific about the immigrant visa program described in such section 203(b)(5).</text></subparagraph></paragraph>
<paragraph id="H05B65DC5C6154B6A9335657C4447EA53"><enum>(2)</enum><header>Communication only through appropriate channels or offices</header>
<subparagraph id="H993B4A66B60E4F48B00A5EA321436725"><enum>(A)</enum><header>Announcement of appropriate channels of communication</header><text>Not later than 40 days after the date of the enactment of this Act, the Director of U.S. Citizenship and Immigration Services shall announce that the only channels or offices by which industry stakeholders, petitioners, applicants, and seekers of benefits under the immigrant visa program described in section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>) may communicate with the Department of Homeland Security regarding specific cases under such section (except for communication made by applicants and petitioners pursuant to regular adjudicatory procedures), or information that is not case-specific about the visa program applicable to certain cases under such section, are through—</text> <clause id="HAA007D8D87DA415EB8278FA4D0CC67EC"><enum>(i)</enum><text>the e-mail address or equivalent channel described in paragraph (1);</text></clause>
<clause id="H151ACD7C336C4E0BBA5ADB02D1409A40"><enum>(ii)</enum><text>the National Customer Service Center, or any successor to such Center; or</text></clause> <clause id="H4ACC999D515F438E829005C828C22C3A"><enum>(iii)</enum><text>the Office of Public Engagement, Immigrant Investor Program Office, including the Stakeholder Engagement Branch, or any successors to those Offices or that Branch.</text></clause></subparagraph>
<subparagraph id="HC8EEE6FC5F3241C2A51E50DE66036277"><enum>(B)</enum><header>Direction of incoming communications</header>
<clause id="H261D747FF2EC42EE81835E9BBF37662D"><enum>(i)</enum><header>In general</header><text>Employees of the Department of Homeland Security shall direct communications described in subparagraph (A) to the channels of communication or offices listed in clauses (i) through (iii) of subparagraph (A).</text></clause> <clause id="H8888D62303C04117987A48750CF2593A"><enum>(ii)</enum><header>Rule of construction</header><text>Nothing in this subparagraph may be construed to prevent—</text>
<subclause id="H8BCD9C8FDE7944799296D078FBB03F89"><enum>(I)</enum><text>any person from communicating with the Ombudsman of U.S. Citizenship and Immigration Services regarding the immigrant investor program under section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>); or</text></subclause> <subclause id="H7981EF305327462D869783B3BC67E2AE"><enum>(II)</enum><text>the Ombudsman from resolving problems regarding such immigrant investor program pursuant to the authority granted under section 452 of the Homeland Security Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/6/272">6 U.S.C. 272</external-xref>).</text></subclause></clause></subparagraph>
<subparagraph id="HAD097C910CA346A5BB0A5833A03D4980"><enum>(C)</enum><header>Log</header>
<clause id="H867579D888424C7480DDC1A846C53DAF"><enum>(i)</enum><header>In general</header><text>The Director of U.S. Citizenship and Immigration Services shall maintain a written or electronic log of—</text> <subclause id="HB8D35F1C1BF845FD8A88484536B92D05"><enum>(I)</enum><text>all communications described in subparagraph (A) and communications from members of Congress, which shall reference the date, time, and subject of the communication, and the identity of the Department official, if any, to whom the inquiry was forwarded;</text></subclause>
<subclause id="HDD38E1E9CE6E495497367333CF74BF46"><enum>(II)</enum><text>with respect to written communications described in subsection (c)(1), the date on which the communication was received, the identities of the sender and addressee, and the subject of the communication; and</text></subclause> <subclause id="HD8E257CDC973430CBF9111A7902027FB"><enum>(III)</enum><text>with respect to oral communications described in subsection (c)(2), the date on which the communication occurred, the participants in the conversation or meeting, and the subject of the communication.</text></subclause></clause>
<clause id="HF8EAC9431DF44DBFA31C474E03CE6409"><enum>(ii)</enum><header>Transparency</header><text>The log of communications described in clause (i) shall be made publicly available in accordance with section 552 of title 5, United States Code (commonly known as the <quote>Freedom of Information Act</quote>).</text></clause></subparagraph></paragraph> <paragraph id="H01794C72A8F845798B7BF956C2D4BD35"><enum>(3)</enum><header>Publication of information</header><text>Not later than 30 days after a person or entity inquiring about a specific case or generally about the immigrant visa program described in section 203(b)(5) of the Immigration and Nationality Act (<external-xref legal-doc="usc" parsable-cite="usc/8/1153">8 U.S.C. 1153(b)(5)</external-xref>) receives, as a result of a communication with an official of the Department of Homeland Security, generally applicable and information that is not case-specific about program requirements or administration that has not been made publicly available by the Department, the Director of U.S. Citizenship and Immigration Services shall publish such information on the U.S. Citizenship and Immigration Services website as an update to the relevant Frequently Asked Questions page or by some other comparable mechanism.</text></paragraph></subsection>
<subsection id="HE4945E5A02974BF59DDEED18BC5BB6F5"><enum>(f)</enum><header>Penalty</header>
<paragraph id="H95E4025F47314B428D831F3ED2BF92F4"><enum>(1)</enum><header>In general</header><text>Any person who intentionally violates the prohibition on preferential treatment under this section or intentionally violates the reporting requirements under subsection (c) shall be disciplined in accordance with paragraph (2).</text></paragraph> <paragraph id="HAC75F0A3CDD44941A1D53EE7235A8A4D"><enum>(2)</enum><header>Sanctions</header><text>Not later than 90 days after the date of the enactment of this Act, the Secretary of Homeland Security shall establish a graduated set of sanctions based on the severity of the violation referred to in paragraph (1), which may include, in addition to any criminal or civil penalties that may be imposed, written reprimand, suspension, demotion, or removal.</text></paragraph></subsection>
<subsection id="H88039FB52B5F4547B7715AA72B452607"><enum>(g)</enum><header>Rule of construction regarding classified information</header><text>Nothing in this section may be construed to modify any law, regulation, or policy regarding the handling or disclosure of classified information.</text></subsection> <subsection id="H7530E1343D5544D6B2E13811F0F468FD"><enum>(h)</enum><header>Rule of construction regarding private right of action</header><text>Nothing in this section may be construed to create or authorize a private right of action to challenge a decision of an employee of the Department of Homeland Security.</text></subsection>
<subsection id="H4DCCA98C622E41BCAB8394EE6DF485D1"><enum>(i)</enum><header>Effective date</header><text>This section, and the amendments made by this section, shall take effect on the date of the enactment of this Act. </text></subsection></section> </legis-body> </bill>
