which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To amend the Securities Exchange Act of 1934 to require issuers to make certain disclosures relating to the Xinjiang Uyghur Autonomous Region, and for other purposes.</official-title></form><legis-body id="HAB77045F67A6410BBFFCCFEF263AC653" style="OLC"><section id="H4C67BA030D3E4D74AD6253D2C81CF258" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Uyghur Forced Labor Disclosure Act</short-title></quote>.</text></section><section id="H11CB446DE127489D84110B707CFED797"><enum>2.</enum><header>Disclosure of certain activities relating to the Xinjiang Uyghur Autonomous Region</header><subsection id="H11D2C882DA6F4DEDB1BCD575785DCE62"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 13 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m</external-xref>) is amended by adding at the end the following:</text><quoted-block id="H9AA1AFC94ACC4852BA526353DA3BD047" style="OLC"><subsection id="HADE1CEDE8F184EA280678469EAA9B0AD"><enum>(s)</enum><header>Disclosure of certain activities relating to the Xinjiang Uyghur Autonomous Region</header><paragraph id="H7664AC0164214146AAED995E60C01FAC"><enum>(1)</enum><header>In general</header><text>Not later than the end of the 180-day period beginning on the date of enactment of this subsection, the Commission shall issue rules to require each issuer required to file an annual report under this section or section 15(d) or a proxy statement under section 14 to disclose in each such report or proxy statement whether, during the period covered by the report or proxy statement—</text><subparagraph id="H6164E35A4126423892858FD0CF070DBC"><enum>(A)</enum><text display-inline="yes-display-inline">the issuer or any affiliate of the issuer, directly or indirectly, engaged with an entity or the affiliate of an entity to import—</text><clause id="H21737EC0D360474CAE443AA9E7860748"><enum>(i)</enum><text display-inline="yes-display-inline">manufactured goods, including electronics, food products, textiles, shoes, auto parts, polysilicon, and teas, that are sourced from or through the XUAR;</text></clause><clause id="H56DF9D73B72C4AE6BFA83F36CFC25115"><enum>(ii)</enum><text display-inline="yes-display-inline">manufactured goods containing materials that are sourced from or through the XUAR; or</text></clause><clause id="H840271B8D87D441BA98EEAA08358C56E"><enum>(iii)</enum><text display-inline="yes-display-inline">goods manufactured by an entity engaged in labor transfers from the XUAR;</text></clause></subparagraph><subparagraph id="HB920677DC5754B7AA8969B2A6376CDA4"><enum>(B)</enum><text>with respect to any goods or materials described under subparagraph (A), whether the goods or material originated in forced labor camps; and</text></subparagraph><subparagraph id="H97CDBFD366094FC093D022C164677265"><enum>(C)</enum><text display-inline="yes-display-inline">with respect to each manufactured good or material described under subparagraph (A)—</text><clause id="HEB08C65B01884719A6AEE6ABC7874954"><enum>(i)</enum><text display-inline="yes-display-inline">the nature and extent of the commercial activity related to such good or material;</text></clause><clause id="H6249E2345E34463A978E2A381A66BE41"><enum>(ii)</enum><text display-inline="yes-display-inline">the gross revenue and net profits, if any, attributable to the good or material; and</text></clause><clause id="H6EA20AF657FA4586AB954F2F5AA1E87A"><enum>(iii)</enum><text>whether the issuer or the affiliate of the issuer intends to continue with such importation.</text></clause></subparagraph></paragraph><paragraph id="HF0F0A06FCECD41FA87989F3D4ADCC54E"><enum>(2)</enum><header>Availability of information</header><text>The Commission shall make all information disclosed pursuant to this subsection available to the public on the website of the Commission.</text></paragraph><paragraph id="H2279C64634674D3F981C1670E19A8A3B"><enum>(3)</enum><header>Reports</header><subparagraph id="HE922C1E2D6664E00A403BCC426CBA26B"><enum>(A)</enum><header>Annual report to Congress</header><text display-inline="yes-display-inline">The Commission shall—</text><clause id="HAB9295D226804338BFB838A04A816795"><enum>(i)</enum><text>conduct an annual assessment of the compliance of issuers with the requirements of this subsection; and</text></clause><clause id="HEFC823CA19D94B62966645D2963A38CB"><enum>(ii)</enum><text>issue a report to Congress containing the results of the assessment required under clause (i).</text></clause></subparagraph><subparagraph id="H19320CFBD3814623A603C180B5FCA495"><enum>(B)</enum><header>GAO report</header><text>The Comptroller General of the United States shall periodically evaluate and report to Congress on the effectiveness of the oversight by the Commission of the disclosure requirements under this subsection.</text></subparagraph></paragraph><paragraph id="HA1A655314D754B7B9935FFDD7D7AE686"><enum>(4)</enum><header>Definitions</header><text>In this subsection:</text><subparagraph id="H3A1F53CC4A8B451FBE9357C4A3C94246"><enum>(A)</enum><header>Forced labor camp</header><text>The term <term>forced labor camp</term> means—</text><clause id="H8E721BD991F44568B75E7748EA5959D9"><enum>(i)</enum><text>any entity engaged in the <quote>mutual pairing assistance</quote> program which subsidizes the establishment of manufacturing facilities in XUAR;</text></clause><clause id="H5E92A8F561104884B7211AC1BC872288"><enum>(ii)</enum><text display-inline="yes-display-inline">any entity using convict labor, forced labor, or indentured labor described under section 307 of the Tariff Act of 1930 (<external-xref legal-doc="usc" parsable-cite="usc/19/1307">19 U.S.C. 1307</external-xref>); and</text></clause><clause id="H73BFB6EE4C5B4FC9B93205E218A6F8F7"><enum>(iii)</enum><text>any other entity that the Commission determines is appropriate.</text></clause></subparagraph><subparagraph id="HD7F70BB7B02D4964AEB92039F668CDEF"><enum>(B)</enum><header>XUAR</header><text display-inline="yes-display-inline">The term <term>XUAR</term> means the Xinjiang Uyghur Autonomous Region.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection id="HD61CBCD6C7F04DCA9CE4B3B6AF2B07E0"><enum>(b)</enum><header>Repeal</header><text>The amendment made by this section shall be repealed on the earlier of—</text><paragraph id="HCA3EACD504974C07BE6F4E9F6383F3E9"><enum>(1)</enum><text>the date that is 8 years after the date of the enactment of this section; or</text></paragraph><paragraph id="HA5F2B91780D04F4A874C5641F24A0A8E"><enum>(2)</enum><text display-inline="yes-display-inline">the date on which the President submits to Congress (including the Office of the Law Revision Council) a determination that the Government of the People’s Republic of China has ended mass internment, forced labor, and any other gross violations of human rights experienced by Uyghurs, Kazakhs, Kyrgyz, and members of other persecuted groups in the Xinjiang Uyghur Autonomous Region.</text></paragraph></subsection></section></legis-body></bill>
