which was referred to the <committee-name committee-id="HBA00">Committee on Financial Services</committee-name>, and in addition to the Committee on <committee-name committee-id="HFA00">Foreign Affairs</committee-name>, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To preserve national security by providing guarantees to investors for investments in businesses at risk of predatory economic tactics by the Communist Party of the People’s Republic of China, and for other purposes.</official-title></form><legis-body><section id="id1FC2B80FAB1F413D9BC7D01569E6FA8D" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the “<short-title>Secure Our Systems Against China’s Tactics Act</short-title>” or the “<short-title>SOS ACT Act</short-title>”.</text></section><section section-type="subsequent-section" id="idC0E2B258E4FA4205A3C5B5B52C379F8E"><enum>2.</enum><header>Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that—</text><paragraph id="idF6567587A0BD4100A3D2CD26EBF909D1"><enum>(1)</enum><text>while the United States is committed to promoting cultural and technological exchange with other countries, it is our responsibility to protect the United States when channels for such exchange are exploited by adversaries; and</text></paragraph><paragraph id="id12D6D6F2E41E414994D4537F4C2DD49D"><enum>(2)</enum><text>the People’s Republic of China consistently seeks to exploit those channels, not only in its theft of intellectual property but also in its manipulation of lawful acquisition of companies in the United States in ways that directly support its military objectives and threaten those of the United States.</text></paragraph></section><section id="id4E9870FD8D9D478F9AC830C1676A04D4"><enum>3.</enum><header>Guarantees</header><subsection id="id3D23F5EE154E4B56A6185813394DF380"><enum>(a)</enum><header>In general</header><text>The Secretary of the Treasury is authorized to make guarantees to investors to cover up to 50 percent of the costs of an investment in an eligible business made during the emergency period (as defined in paragraph (1)(B) of section 1135(g) of the Social Security Act (<external-xref legal-doc="usc" parsable-cite="usc/42/1320b-5">42 U.S.C. 1320b–5(g)</external-xref>)).</text></subsection><subsection id="id3B63B5FF954A4C2A9C77131CDE66C460"><enum>(b)</enum><header>Criteria for awarding guarantees</header><paragraph id="idC5C8B9B3B2694033BF3BD841D6086567"><enum>(1)</enum><header>In general</header><text>In making guarantees pursuant to subsection (a), the Secretary of the Treasury shall, in consultation with the Secretary of Defense and the Secretary of Commerce, establish criteria to award guarantees to investors.</text></paragraph><paragraph id="id0A6D342EB11240FA9800AB5A401EA0AE"><enum>(2)</enum><header>National security interest</header><text>In establishing the criteria under paragraph (1), the Secretary of the Treasury shall, in consultation with the Secretary of Defense and the Secretary of State, determine which eligible businesses should be prioritized based on the objectives of the 2018 National Defense Strategy.</text></paragraph><paragraph id="idDD1C2A6185964A6B8721EA692CEC3E81"><enum>(3)</enum><header>Report required</header><text>Not later than 15 days after the date of the enactment of this Act, the Secretary of the Treasury, the Secretary of Defense, and the Secretary of Commerce shall jointly submit to Congress a report outlining the criteria established under paragraph (1).</text></paragraph></subsection><subsection id="id740939C8E5D04A8892343BDBF8DCEF3B"><enum>(c)</enum><header>Funding</header><text>In carrying out this section, the Secretary of the Treasury shall redirect, from the funds available under section 4003(b)(4) of the CARES Act (<external-xref legal-doc="public-law" parsable-cite="pl/116/136">Public Law 116–136</external-xref>), $10,000,000,000 to fund the guarantees under subsection (a).</text></subsection><subsection id="idF62C595B2F7D4178A24789216D017DEB"><enum>(d)</enum><header>Duration</header><text>The Secretary of the Treasury may make the guarantees authorized under subsection (a) during the period beginning on the date of the submission of the report required under subsection (b)(3) and ending on the date that is 1 year after the date of the enactment of this Act.</text></subsection><subsection id="id431FD757272743AD884A7C42CDC35ED8"><enum>(e)</enum><header>Limitations</header><text>With respect to an investment guaranteed under this section by an investor in an eligible business, if such business fails—</text><paragraph id="id0ED941B3C44B40FE960DFD1AAF32CE47"><enum>(1)</enum><text>such investor may only receive monetary compensation for up to 3 years after the last day of the emergency period (as defined in paragraph (1)(B) of section 1135(g) of the Social Security Act (<external-xref legal-doc="usc" parsable-cite="usc/42/1320b-5">42 U.S.C. 1320b–5(g)</external-xref>)), if the reason for the failure of such business is reasonably related to issues stemming from COVID–19; and</text></paragraph><paragraph id="id88D937F9191B40599A96E239CC46C8C7"><enum>(2)</enum><text>the Secretary of the Treasury shall determine how much money such investor may recover and whether such investor may recover money before or after the liquidation of such business.</text></paragraph></subsection><subsection id="idF6393BD3ECDE4C73870CF50241B29760"><enum>(f)</enum><header>Eligible business defined</header><text>In this section, the term <term>eligible business</term> means a company that—</text><paragraph id="id129D3FDB22D549ADAC80C2FA2D305FC5"><enum>(1)</enum><text>incurred losses as a result of COVID–19; </text></paragraph><paragraph id="id15F30498C1B04A80A0C71CB75B5CBE4F"><enum>(2)</enum><text>advances a national security interest; and </text></paragraph><paragraph id="id043D757FF53B4F4EA80038905248B6CF"><enum>(3)</enum><text>is susceptible to being purchased by an entity from, associated with, or located within China (as defined in paragraph (1)(B) of section 1135(g) of the Social Security Act (<external-xref legal-doc="usc" parsable-cite="usc/42/1320b-5">42 U.S.C. 1320b–5(g)</external-xref>)). </text></paragraph></subsection></section></legis-body></bill>
