<section id="H2D2806443F684A1E8BF1455938FEA530" section-type="section-one"><enum>1.</enum><header>Restriction on acquisitions by the People’s Republic of China</header>
<subsection id="H465D79EDC9274560A973DB447DE82303"><enum>(a)</enum><header>In general</header><text>The Committee on Foreign Investment in the United States shall review, and the President shall deny, any purchase of a controlling interest in a covered company by a covered foreign interest, except as provided by subsection (b).</text></subsection> <subsection id="HE2675BCF9C9340C58C59EB9229EF4936"><enum>(b)</enum><header>Waiver</header><text display-inline="yes-display-inline">The President may approve the purchase of a controlling interest in a covered company by a covered foreign interest if the President, acting through the Committee on Foreign Investment in the United States, determines—</text>
<paragraph id="H981B36447DB04CA099C26EA2870448AF"><enum>(1)</enum><text display-inline="yes-display-inline">that it is not in the interest of the United States to take further action under section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565</external-xref>) with respect to such purchase;</text></paragraph> <paragraph id="HC975A30443284C689F42F5E8CD9F7420"><enum>(2)</enum><text>that the purchase price was not significantly affected by the COVID–19 pandemic; and</text></paragraph>
<paragraph id="H9F5ABC7B51A44C1F83B75051CB8F3383"><enum>(3)</enum><text>that sale of the covered company to a covered foreign interest will not permit the covered foreign interest additional access to distribute propaganda or otherwise alter U.S. news and media consumption.</text></paragraph></subsection> <subsection id="H68D56C33FBBE4BC5B4ADB90112B7F7DA"><enum>(c)</enum><header>Sunset</header><text>This section shall cease to have any force or effect on and after the date on which the President—</text>
<paragraph id="H626EF983D38D44CBB1BE4AAC17998C61"><enum>(1)</enum><text>determines that the United States has substantially recovered from the economic impacts of COVID–19; and</text></paragraph> <paragraph id="H21B289ED239C4F248C704470F30F3A9E"><enum>(2)</enum><text display-inline="yes-display-inline">notifies the Committee on Foreign Investment in the United States, the Congress, and the public of such determination.</text></paragraph></subsection>
<subsection id="H014F2CFB45104D9397E082F17D458890"><enum>(d)</enum><header>Definitions</header><text>In this section:</text> <paragraph id="HD2285BDFE1E5408D970A2C548DAD2C5D"><enum>(1)</enum><header>Covered company</header><text>The term <term>covered company</term> means any company registered and doing business in the United States that is—</text>
<subparagraph id="H242C4970964C4AB6BB4C101CBF73810F"><enum>(A)</enum><text display-inline="yes-display-inline">critical infrastructure, as described section 721(a)(4)(D)(ii)(II) of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565(a)(4)(D)(iii)(II)</external-xref>);</text></subparagraph> <subparagraph id="H775035C5215D4DF283724B24996A56A1"><enum>(B)</enum><text>engaged in the production and dissemination of news media; or</text></subparagraph>
<subparagraph id="HD4D07DE769E44635AE97EFFE01D93586"><enum>(C)</enum><text>otherwise determined to be critical to national security, critical infrastructure, or culturally significant by the President.</text></subparagraph></paragraph> <paragraph id="HBB7DC082FBF445EF99E927D627665333"><enum>(2)</enum><header>Covered foreign interest</header><text>The term <term>covered foreign interest</term> shall mean—</text>
<subparagraph id="H3C15A13128B14FB5865E9A978A65E8B3"><enum>(A)</enum><text>the Government of the People’s Republic of China;</text></subparagraph> <subparagraph id="H61FACD53873340EE94CC0CA6BAD86909"><enum>(B)</enum><text>any entity partially or wholly owned or controlled by the Government of the People’s Republic of China, and any subsidiaries of such an entity;</text></subparagraph>
<subparagraph id="HE5B10B6F02484729B547C1DA109CE2DC"><enum>(C)</enum><text>any other entity registered in the People’s Republic of China with substantial ties to the Government of the People’s Republic of China; and</text></subparagraph> <subparagraph id="HA22AA19BFD524E77BA0F035F6B0E14EC"><enum>(D)</enum><text display-inline="yes-display-inline">any other entity that the President determines to be subject to the control (as defined under section 721(a)(3) of the Defense Production Act of 1950 (<external-xref legal-doc="usc" parsable-cite="usc/50/4565">50 U.S.C. 4565(a)(3)</external-xref>)), whether direct or indirect, of the Government of the People’s Republic of China.</text></subparagraph></paragraph></subsection></section>
