		<official-title>To amend the Securities Exchange Act of 1934 to clarify that the Securities and Exchange Commission
			 may seek disgorgement and restitution as a result of a violation of the
			 securities laws, to establish the statute of limitations for disgorgement
			 and equitable actions brought by the Commission, and for other purposes.</official-title>

		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header>
 <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Securities Fraud Enforcement and Investor Compensation Act of 2019</short-title></quote>.</text>
		</section><section id="id131B05F4A74240B1A54C8EA9BCF46CC1"><enum>2.</enum><header>Investigations and prosecution of offenses for violations of the securities laws</header>
 <subsection id="id540B0C269DDB4E51B254192E84CAF9B0"><enum>(a)</enum><header>In general</header><text>Section 21(d) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78u">15 U.S.C. 78u(d)</external-xref>) is amended—</text> <paragraph id="id3EB4A331B38D4E63A3F35F534E91D50F"><enum>(1)</enum><text>in paragraph (3)—</text>
 <subparagraph id="id7ADDAC3831544DE3A372A15603B67371"><enum>(A)</enum><text>in the paragraph heading—</text> <clause id="id3E14C29AACC043F5935ED4C7DD2DA825"><enum>(i)</enum><text>by inserting <quote><header-in-text level="paragraph" style="OLC">Civil</header-in-text></quote> before <quote><header-in-text level="paragraph" style="OLC">Money penalties</header-in-text></quote>; and</text>
 </clause><clause id="id4A0D4BCE119747078EFEE2CD4309A4C8"><enum>(ii)</enum><text>by striking <quote><header-in-text level="paragraph" style="OLC">in civil actions</header-in-text></quote> and inserting <quote><header-in-text level="paragraph" style="OLC">and authority to seek disgorgement</header-in-text></quote>;</text> </clause></subparagraph><subparagraph id="idDD2AB99C9E2C474BBEA4354B2DDF2185"><enum>(B)</enum><text>in subparagraph (A), by striking <quote>jurisdiction to impose</quote> and all that follows through the period at the end and inserting the following: “jurisdiction to—</text>
						<quoted-block display-inline="no-display-inline" id="idB50501C53DE8434DAAD256DFEACCDAB7" style="OLC">
 <clause id="idC43049D55F894FB180B91DAA21C4C449" indent="up1"><enum>(i)</enum><text>impose, upon a proper showing, a civil penalty to be paid by the person who committed such violation; and</text>
 </clause><clause id="id9C7E429E23DF44598973ABB848C705E1" indent="up1"><enum>(ii)</enum><text>require disgorgement under paragraph (7) by the person who received any unjust enrichment as a result of such violation.</text></clause><after-quoted-block>; and</after-quoted-block></quoted-block>
 </subparagraph><subparagraph id="idE2951E26A58748B98517C7F243C3E1E9"><enum>(C)</enum><text>in subparagraph (B)—</text> <clause id="id6AB3DED0A986481BA4942FB99AD5A20A"><enum>(i)</enum><text>in clause (i), in the first sentence, by striking <quote>the penalty</quote> and inserting <quote>a civil penalty imposed under subparagraph (A)(i)</quote>;</text>
 </clause><clause id="id6BA4664829D341FF97A583C80360C35F"><enum>(ii)</enum><text>in clause (ii), by striking <quote>amount of penalty</quote> and inserting <quote>amount of a civil penalty imposed under subparagraph (A)(i)</quote>; and</text> </clause><clause id="id477CBEAC638043E6940FEF4CAE777A17"><enum>(iii)</enum><text>in clause (iii), in the matter preceding item (aa), by striking <quote>amount of penalty for each such violation</quote> and inserting <quote>amount of a civil penalty imposed under subparagraph (A)(i) for each violation described in that subparagraph</quote>;</text>
 </clause></subparagraph></paragraph><paragraph id="idAAE59EDD16A0459C87354CBF9E0D13A9"><enum>(2)</enum><text>in paragraph (4), by inserting <quote>under paragraph (7)</quote> after <quote>funds disgorged</quote>; and</text> </paragraph><paragraph id="id68A3A1C7D4D4425D9F97BC283766F43A"><enum>(3)</enum><text>by adding at the end the following:</text>
					<quoted-block display-inline="no-display-inline" id="idEA3147C1E5A6462CA22E4856E3022377" style="OLC">
						<paragraph id="id2B603A7B17EA49599448081E083424CE" indent="up1"><enum>(7)</enum><header>Disgorgement</header>
 <subparagraph id="id53C644AE345940988FE1ADD7F6F15896"><enum>(A)</enum><header>In general</header><text>In any action or proceeding brought by the Commission under any provision of the securities laws, the Commission may seek, and any Federal court may order, dis­gorge­ment of any unjust enrichment that a person obtained as a result of a violation of that provision.</text>
 </subparagraph><subparagraph id="id5396969605504C9F9E58A4D3646110B2"><enum>(B)</enum><header>Calculation</header><text>Any disgorgement that is ordered with respect to a person under subparagraph (A) shall be offset by any amount of restitution that the person is ordered to pay under paragraph (8).</text>
 </subparagraph></paragraph><paragraph id="idB61EA459905A4C67A4032A8E76CFD4A6" indent="up1"><enum>(8)</enum><header>Restitution</header><text>In any proceeding brought or instituted by the Commission under any provision of the securities laws, the Commission may seek, and any Federal court, or, with respect to a proceeding instituted by the Commission, the Commission, may order restitution to an investor in the amount of the loss that the investor sustained as a result of a violation of that provision by a person that is—</text>
 <subparagraph id="id893F215FACE74DF9B2AAEB470280B2A3"><enum>(A)</enum><text>registered as, or required to be registered as, a broker, dealer, investment adviser, municipal securities dealer, municipal advisor, or transfer agent; or</text>
 </subparagraph><subparagraph id="idE1CF92D035C14D0A9034D6FB57A1B947"><enum>(B)</enum><text>associated with or, as of the date on which the violation occurs, seeking to become associated with, an entity described in subparagraph (A).</text>
							</subparagraph></paragraph><paragraph id="idDEFA3684ED5148EB8CB7680BACC5DF21" indent="up1"><enum>(9)</enum><header>Limitations periods</header>
 <subparagraph id="idE085952AAE064AF0A652915D29697520"><enum>(A)</enum><header>Disgorgement</header><text>The Commission may bring a claim for disgorgement under paragraph (7) not later than 5 years after the date on which the person against which the claim is brought receives any unjust enrichment as a result of the violation that gives rise to the action or proceeding in which the Commission seeks the claim.</text>
 </subparagraph><subparagraph id="idC84A8630FF664F67BE2861376610A8EF"><enum>(B)</enum><header>Equitable remedies</header><text>The Commission may seek a claim for any equitable remedy, including for restitution under paragraph (8), an injunction, or a bar, suspension, or cease and desist order, not later than 10 years after the latest date on which a violation that gives rise to the claim occurs.</text>
 </subparagraph><subparagraph id="id81116DADFAB8403090EC4872919218B6"><enum>(C)</enum><header>Calculation</header><text>For the purposes of calculating any limitations period under this paragraph with respect to an action or claim, any time in which the person against which the action or claim, as applicable, is brought is outside of the United States shall not count towards the accrual of that period.</text>
 </subparagraph></paragraph><paragraph id="idF943F5EAFB2A48B88DF2DFA4FEE4962B" indent="up1"><enum>(10)</enum><header>Rule of construction</header><text>Nothing in paragraph (7) or (8) may be construed as altering any right that any private party may have to maintain a suit for a violation of this Act.</text>
						</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
 </paragraph></subsection><subsection id="id9998B599C8294C0DBC677E819BCBE8D7"><enum>(b)</enum><header>Applicability</header><text>The amendments made by subsection (a) shall apply with respect to any action or proceeding that is commenced on or after the date of enactment of this Act.</text>
