within the jurisdiction of the committee concerned</action-desc></action><legis-type>A BILL</legis-type><official-title display="yes">To clarify which Federal agencies regulate digital assets, to require those agencies to notify the public of any Federal licences, certifications, or registrations required to create or trade in such assets, and for other purposes.</official-title></form><legis-body id="HFB1CA99A00D84EE4BA419A58226EDC10" style="OLC"><section id="H34E27EAF5D6F43EDB14E5D0DD3350191" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Crypto-Currency Act of 2020</short-title></quote>.</text></section><section id="HEC92A546492B4A198ED71A91AD797DCF"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="HF25B43D0391F46F2866FA2A053475D44"><enum>(1)</enum><header>Crypto-commodity</header><text>The term <quote>crypto-commodity</quote> means economic goods or services, including derivatives, that—</text><subparagraph id="H358191BB2C2B45F98C9F9CA1A4AA6694"><enum>(A)</enum><text>have full or substantial fungibility;</text></subparagraph><subparagraph id="HC31C9D340FC540828C982540B5A55650"><enum>(B)</enum><text>the markets treat with no regard as to who produced the goods or services; and</text></subparagraph><subparagraph id="H2309D9442113499CA8FDB9219DDC48F1"><enum>(C)</enum><text>rest on a blockchain or decentralized cryptographic ledger.</text></subparagraph></paragraph><paragraph id="HD098A665EAA5400E8272AFEA28F9192C"><enum>(2)</enum><header>Crypto-currency</header><text display-inline="yes-display-inline">The term <quote>crypto-currency</quote> means representations of United States currency or synthetic derivatives resting on a blockchain or decentralized cryptographic ledger, including—</text><subparagraph id="H3F883E17ADEA4A8B8CBE3A492B08F895"><enum>(A)</enum><text>such representations or synthetic derivatives that are reserve-backed digital assets that are fully collateralized in a correspondent banking account, such as stablecoins; and</text></subparagraph><subparagraph id="HC04D64B7C2BA428491809C33D3E0CF9A"><enum>(B)</enum><text>synthetic derivatives that are—</text><clause id="HA1C28BF9FF3145DC841FE2951DEAA7CF"><enum>(i)</enum><text>determined by decentralized oracles or smart contracts; and</text></clause><clause id="H4F5C2D7D812C403090442488174A4284"><enum>(ii)</enum><text>collateralized by crypto-commodities, other crypto-currencies, or crypto-securities.</text></clause></subparagraph></paragraph><paragraph id="H988A9A805CC74EB4A762809BE671A322"><enum>(3)</enum><header>Crypto-security</header><subparagraph id="HD433EE8CD61E4981B2FCA6D0AC50917A"><enum>(A)</enum><header>In general</header><text>The term <quote>crypto-security</quote> means all debt and equity that rest on a blockchain or decentralized cryptographic ledger.</text></subparagraph><subparagraph id="HB65243D84E90493EB62860871DE7FE2D"><enum>(B)</enum><header>Exception</header><text display-inline="yes-display-inline">The term <quote>crypto-security</quote> does not include a synthetic derivative that—</text><clause id="H979084E3B43E420887C67B995C9FB089"><enum>(i)</enum><text display-inline="yes-display-inline">is operated as, and is registered with the Department of the Treasury as, a money services business (as defined under section 1010.100 of title 31, Code of Federal Regulations); and</text></clause><clause id="HE8555530D8EA44A4AF986DD096D5D65D"><enum>(ii)</enum><text display-inline="yes-display-inline">is operated in compliance with all applicable requirements of subchapter II of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/53">chapter 53</external-xref> of title 31, United States Code (commonly referred to as the <quote>Bank Secrecy Act</quote>) and all other Federal anti-money laundering, anti-terrorism, and screening requirements of the Office of Foreign Assets Control and the Financial Crimes Enforcement Network.</text></clause></subparagraph></paragraph><paragraph id="H4AE9811B7F784C2190E3016A049B7F0E"><enum>(4)</enum><header>Decentralized cryptographic ledger</header><text>The term <quote>decentralized cryptographic ledger</quote> means a ledger that—</text><subparagraph id="H4F2DBD4A372049098BC5A31FB834390C"><enum>(A)</enum><text display-inline="yes-display-inline">runs as a stand-alone blockchain that is secured through a minting mechanism such as proof-of-work, proof-of-stake, or otherwise;</text></subparagraph><subparagraph id="HFC015254E6B043D4B661CB2504DDCB0C" commented="no"><enum>(B)</enum><text display-inline="yes-display-inline">runs as a cryptographic asset or smart-contract on an existing stand-alone blockchain and is secured through the issuing blockchain minting mechanism;</text></subparagraph><subparagraph id="H5640F0464D6A40D8AE980F05FAF31B78"><enum>(C)</enum><text>is immutable and can not be overwritten without controlling a majority stake of the associated network;</text></subparagraph><subparagraph id="H8BDBBBB84CD14AEEBB2DCA9C1EF79566"><enum>(D)</enum><text>requires a cryptographic link between blocks of transactional data;</text></subparagraph><subparagraph id="H6C8DC979C6DC4B94B405B839D4AEB2C9"><enum>(E)</enum><text>is permissionless, requiring no third party to transact, only a connection to the internet;</text></subparagraph><subparagraph id="HE533D1DF483244AABF06ABBB59D07212"><enum>(F)</enum><text>is an irreversible bearer commodity, with all transactions being final;</text></subparagraph><subparagraph id="H0D7C90A8F3254BC98F684009ED792E04"><enum>(G)</enum><text>is not controllable by any one single entity (defined as having less than half of all nodes controlled by one single entity); and</text></subparagraph><subparagraph id="HB225B1EBDAF34985BCDBFFB4B6CE1532"><enum>(H)</enum><text>is not directly issued by a nation-state or private entity.</text></subparagraph></paragraph><paragraph id="H3F0A268DC9394A7E85B90DE17BE14F79"><enum>(5)</enum><header>Decentralized oracle</header><text display-inline="yes-display-inline">The term <quote>decentralized oracle</quote> means a service that sends and verifies real world data from external sources outside of a blockchain and submits such information to smart contracts that rest on the blockchain, thus triggering the execution of predefined functions of the smart contract.</text></paragraph><paragraph id="HA929AA27837949B6A4AC4C2C4C95E416"><enum>(6)</enum><header>Digital asset</header><text display-inline="yes-display-inline">The term <quote>digital asset</quote> means a crypto-commodity, crypto-currency, or crypto-security.</text></paragraph><paragraph id="HA64FF2A928284C0F9B89235EEE637333"><enum>(7)</enum><header>Insured depository institution</header><text>The term <quote>insured depository institution</quote> has the meaning given such term under section 3 of the Federal Deposit Insurance Act.</text></paragraph><paragraph id="HA2897B43BBCE4D66939DD66CC37AE863"><enum>(8)</enum><header>Primary Federal digital asset regulator</header><text>The term <quote>primary Federal digital asset regulator</quote> means—</text><subparagraph id="H216691FD22BA41C3AB33B1861AF424B0"><enum>(A)</enum><text display-inline="yes-display-inline">the Commodity Futures Trading Commission, with respect to crypto-commodities;</text></subparagraph><subparagraph id="H82678A4BA2DD45F8A8D06EEB56D34FAE"><enum>(B)</enum><text display-inline="yes-display-inline">the Secretary of the Treasury, acting through the Financial Crimes Enforcement Network, and the Comptroller of the Currency with respect to crypto-currencies; and</text></subparagraph><subparagraph id="H0BB25A0353DD43DE88F320F5C38DEB2B"><enum>(C)</enum><text display-inline="yes-display-inline">the Securities and Exchange Commission, with respect to crypto-securities.</text></subparagraph></paragraph><paragraph id="H0154415B46154700A256BA26CB98BE86"><enum>(9)</enum><header>Reserve-backed stablecoin</header><text display-inline="yes-display-inline">The term <quote>reserve-backed stablecoin</quote> means a digital asset that—</text><subparagraph id="HBC52C77055F44B3C8E91B4C083DD1992"><enum>(A)</enum><text>is a representation of currency issued by the United States or a foreign government;</text></subparagraph><subparagraph id="H1B5B1608B7D6455A906F723815B85672"><enum>(B)</enum><text>rests on a blockchain or decentralized cryptographic ledger; and</text></subparagraph><subparagraph id="HD0FFE45136934056B5853556DD36C924"><enum>(C)</enum><text display-inline="yes-display-inline">is collateralized on a one-to-one basis by such currency, and such currency is deposited in an insured depository institution.</text></subparagraph></paragraph><paragraph id="H3B45FD7A54AF4D4E8C04A1D17999F5F6"><enum>(10)</enum><header>Smart contract</header><text display-inline="yes-display-inline">The term <quote>smart contract</quote> means a computer protocol intended—</text><subparagraph id="H43B23A8B75644DC5864886DBE19A0068"><enum>(A)</enum><text>to digitally facilitate, verify, or enforce the negotiation or performance of a contract; and</text></subparagraph><subparagraph id="H52404D60E791428DB9D9B81A70CA84AB"><enum>(B)</enum><text>to allow the performance of credible transactions without third parties.</text></subparagraph></paragraph><paragraph id="H6D74ADB046854A119650748EC52B2263"><enum>(11)</enum><header>Synthetic stablecoin</header><text>The term <quote>synthetic stablecoin</quote> means a digital asset, other than a reserve-backed stablecoin, that—</text><subparagraph id="H6EDFFDE8AEF3453CBED5C3F3A28173BC"><enum>(A)</enum><text display-inline="yes-display-inline">is stabilized against the value of a currency or other asset; and</text></subparagraph><subparagraph id="HBF458DFD95C04AE2B497547A8373AD88"><enum>(B)</enum><text>rests on a blockchain or decentralized cryptographic ledger.</text></subparagraph></paragraph></section><section id="H89F1C7D21A874D6C88257C985EB2C0C3"><enum>3.</enum><header>Establishing areas of primary regulatory oversight for digital assets</header><subsection id="H721F71A6D0EA4A3B8A3C55028D29D997"><enum>(a)</enum><header>Crypto-Commodities</header><text display-inline="yes-display-inline">The Commodity Futures Trading Commission shall be the primary Government agency with the authority to regulate crypto-commodities.</text></subsection><subsection id="H7DCF646BA49344CE8F205D56FE774534"><enum>(b)</enum><header>Crypto-Currencies</header><text display-inline="yes-display-inline">The Secretary of the Treasury, acting through the Financial Crimes Enforcement Network, and the Comptroller of the Currency shall be the primary Government agencies with the authority to regulate crypto-currencies (other than synthetic stablecoins).</text></subsection><subsection id="H17094CB95A7E4975ADA5AB2C66038960"><enum>(c)</enum><header>Crypto-Securities</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall be the primary Government agency with the authority to regulate crypto-securities and synthetic stablecoins.</text></subsection></section><section id="H140852E6DB704ABBAC5694C5E637A687" commented="no"><enum>4.</enum><header>Registration and public lists of digital asset exchanges</header><subsection id="HEC537B5148254EFBAC2A50C906C21535" commented="no"><enum>(a)</enum><header>Crypto-Commodities</header><text display-inline="yes-display-inline">The Commodity Futures Trading Commission shall require any exchange trading in crypto-commodities to register with the Commission, and shall maintain a public list of all such exchanges.</text></subsection><subsection id="H9CC9E28592B24F949D5473FDE4F97234" commented="no"><enum>(b)</enum><header>Crypto-Currencies</header><text display-inline="yes-display-inline">The Secretary of the Treasury, acting through the Financial Crimes Enforcement Network, shall require any exchange trading in crypto-currencies (other than synthetic stablecoins) to register with the Secretary, and shall maintain a public list of all such exchanges.</text></subsection><subsection id="HFE6259A019954D74B79E52E01D46E8B9" commented="no"><enum>(c)</enum><header>Crypto-Securities</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall maintain a public list of all registered national securities exchanges trading in crypto-securities or synthetic stablecoins.</text></subsection></section><section id="H27B192E86B2F47E88459DC4EFEBADACE"><enum>5.</enum><header>Availability of information to the public on requirements to create or trade in digital assets</header><text display-inline="no-display-inline">Each primary Federal digital asset regulator shall, with respect to digital assets over which it is the primary Federal digital asset regulator, make available to the public (and keep current) a list of all Federal licenses, certifications, or registrations required to create or trade in digital assets.</text></section><section id="HB11DBA9CA6AE4BDF99DF090D802F89E1"><enum>6.</enum><header>Requirements related to crypto-currencies</header><subsection id="HA27032A9511549DC826A1C93C7F87CBD"><enum>(a)</enum><header>Tracing of transactions</header><text display-inline="yes-display-inline">Notwithstanding section 3(c), the Secretary of the Treasury, acting through the Financial Crimes Enforcement Network, shall issue rules to require each crypto-currency (including synthetic stablecoins) to allow for the tracing of transactions in the crypto-currency and persons engaging in such transactions in a manner similar to that required of financial institutions with respect to currency transactions under subchapter II of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/53">chapter 53</external-xref> of title 31, United States Code.</text></subsection><subsection id="H57F8C55045DA43728E901060BCAF6C42"><enum>(b)</enum><header>Reserve-Backed stablecoin audits</header><text display-inline="yes-display-inline">The Secretary of the Treasury, acting through the Financial Crimes Enforcement Network, shall carry out audits of each reserve-backed stablecoin to ensure that such stablecoin is fully backed by currency issued by the United States or a foreign government.</text></subsection><subsection id="H42FB9C550E1743A3A16AEC3E1D8B7A62"><enum>(c)</enum><header>Transition rule for stablecoins</header><text>If an event (including a dilution event, technical hack, or concerted choice) causes a reserve-backed stablecoin to become a synthetic stablecoin or for a synthetic stable to become a reserve-backed stablecoin, the primary Federal digital asset regulator of the stablecoin shall notify the issuer of the stablecoin and the public of such transition.</text></subsection></section></legis-body></bill>
