<official-title display="yes">To ensure that persons who form corporations or limited liability companies in the United States disclose the beneficial owners of those corporations or limited liability companies, in order to prevent wrongdoers from exploiting United States corporations and limited liability companies for criminal gain, to assist law enforcement in detecting, preventing, and punishing terrorism, money laundering, and other misconduct involving United States corporations and limited liability companies, and for other purposes.</official-title>

<division id="HF3A0DE958CD14DD2BCCCB71E0CCDFC9F"><enum>A</enum><header>Corporate Transparency Act of 2019</header> 
<section id="H353D775ADDB54C458D615D44967C625D" section-type="section-one" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header> 
<subsection id="H30EB8BDF6A974A4A97758DC4E44F1897"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">This Act may be cited as the <quote><short-title>Corporate Transparency Act of 2019</short-title></quote>.</text></subsection> <subsection id="H5337C92F92E4409698E1777FEF053C72"><enum>(b)</enum><header>References to this Act</header><text>In this division—</text> 
<paragraph id="HEF8559C73891435E87FEEC87DE55DB7E"><enum>(1)</enum><text>any reference to <quote>this Act</quote> shall be deemed a reference to <quote>this division</quote>; and</text></paragraph> <paragraph id="HA5B36CC4D5F84DF0B0820E2823B3F79A"><enum>(2)</enum><text>except as otherwise expressly provided, any reference to a section or other provision shall be deemed a reference to that section or other provision of this division.</text></paragraph></subsection></section> 
<section id="HBDA6C720184C4916B7F3F0E0DC4A7BBC"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text> <paragraph id="H5B0BE0D40E9A48F3B4B2D54473500562"><enum>(1)</enum><text>Nearly 2,000,000 corporations and limited liability companies are being formed under the laws of the States each year.</text></paragraph> 
<paragraph id="HF85B0D68CC7E4C488E11ADDB25585ED4"><enum>(2)</enum><text>Very few States require information about the beneficial owners of the corporations and limited liability companies formed under their laws.</text></paragraph> <paragraph id="H87251CFAE31F495F9AE3E4B20CF9EAFF"><enum>(3)</enum><text>A person forming a corporation or limited liability company within the United States typically provides less information at the time of incorporation than is needed to obtain a bank account or driver’s license and typically does not name a single beneficial owner.</text></paragraph> 
<paragraph id="HF128F7A3DB7A41A8A5F202710FB83D1B"><enum>(4)</enum><text display-inline="yes-display-inline">Criminals have exploited State formation procedures to conceal their identities when forming corporations or limited liability companies in the United States, and have then used the newly created entities to commit crimes affecting interstate and international commerce such as terrorism, proliferation financing, drug and human trafficking, money laundering, tax evasion, counterfeiting, piracy, securities fraud, financial fraud, and acts of foreign corruption.</text></paragraph> <paragraph id="HBAD70830BDD04D7D962DC14057F77152"><enum>(5)</enum><text>Law enforcement efforts to investigate corporations and limited liability companies suspected of committing crimes have been impeded by the lack of available beneficial ownership information, as documented in reports and testimony by officials from the Department of Justice, the Department of Homeland Security, the Department of the Treasury, and the Government Accountability Office, and others.</text></paragraph> 
<paragraph id="HB46D08E70D294AA39CBCB19015985F3C"><enum>(6)</enum><text>In July 2006, the leading international antimoney laundering standard-setting body, the Financial Action Task Force on Money Laundering (in this section referred to as the <quote>FATF</quote>), of which the United States is a member, issued a report that criticizes the United States for failing to comply with a FATF standard on the need to collect beneficial ownership information and urged the United States to correct this deficiency by July 2008. In December 2016, FATF issued another evaluation of the United States, which found that little progress has been made over the last ten years to address this problem. It identified the <quote>lack of timely access to adequate, accurate and current beneficial ownership information</quote> as a fundamental gap in United States efforts to combat money laundering and terrorist finance.</text></paragraph> <paragraph id="HE022F6AB642F4B199218CC699EA61B71"><enum>(7)</enum><text>In response to the 2006 FATF report, the United States has urged the States to obtain beneficial ownership information for the corporations and limited liability companies formed under the laws of such States.</text></paragraph> 
<paragraph id="H512153022769460DBB48C1DADDE3911C"><enum>(8)</enum><text display-inline="yes-display-inline">In contrast to practices in the United States, all 28 countries in the European Union are required to have corporate registries that include beneficial ownership information.</text></paragraph> <paragraph id="HE3D5D98781D647A3B8A69D983110987B"><enum>(9)</enum><text>To reduce the vulnerability of the United States to wrongdoing by United States corporations and limited liability companies with hidden owners, to protect interstate and international commerce from criminals misusing United States corporations and limited liability companies, to strengthen law enforcement investigations of suspect corporations and limited liability companies, to set a clear, universal standard for State incorporation practices, and to bring the United States into compliance with international anti-money laundering standards, Federal legislation is needed to require the collection of beneficial ownership information for the corporations and limited liability companies formed under the laws of such States.</text></paragraph></section> 
<section id="HDBEE13B9D55E4968BAAD0BC1BED16FE6"><enum>3.</enum><header>Transparent incorporation practices</header> 
<subsection id="H5B89FAD10F1B4425B47E161CE15C14FD"><enum>(a)</enum><header>In general</header> 
<paragraph id="HDEE084D587F04F6AA85C4B1816E5AA1D"><enum>(1)</enum><header>Amendment to the Bank Secrecy Act</header><text><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/53">Chapter 53</external-xref> of title 31, United States Code, is amended by inserting after <external-xref legal-doc="usc" parsable-cite="usc/31/5332">section 5332</external-xref> the following new section:</text> <quoted-block id="H12C8F491F38E46B3851FA3D28A099FED" style="USC"> <section id="HABB20FFA061342A5B8052D1266CBE142"><enum>5333</enum><header>Transparent incorporation practices</header> <subsection id="H10BF1DDFFD9745DD92B41913A427EE55"><enum>(a)</enum><header>Reporting requirements</header> <paragraph id="H4B12478C05034AF6A16B70F243B1F911"><enum>(1)</enum><header>Beneficial ownership reporting</header> <subparagraph id="HC773F0F933B647D5A7F08CFD78E47366"><enum>(A)</enum><header>In general</header><text>Each applicant to form a corporation or limited liability company under the laws of a State or Indian Tribe shall file a report with FinCEN containing a list of the beneficial owners of the corporation or limited liability company that—</text> 
<clause id="HFCBF212E0E884BB3A9CD91BF7A059AC5"><enum>(i)</enum><text>except as provided in paragraphs (3) and (4), and subject to paragraph (2), identifies each beneficial owner by—</text> <subclause id="H94BE43F32E68453BBCBD62A65AEF011C"><enum>(I)</enum><text>full legal name;</text></subclause> 
<subclause id="H44F3031994864E9189A123F685CBB46D"><enum>(II)</enum><text>date of birth;</text></subclause> <subclause id="H470B86C1FB954C71A1F03A199E8DA0DA"><enum>(III)</enum><text>current residential or business street address; and</text></subclause> 
<subclause id="HB598B609CAAF41E69B28FDCF8E225F42"><enum>(IV)</enum><text display-inline="yes-display-inline">a unique identifying number from a non-expired passport issued by the United States, a non-expired personal identification card, or a non-expired driver’s license issued by a State; and</text></subclause></clause> <clause id="H3D972303D0574E0EBA0B07DA12525882"><enum>(ii)</enum><text>if the applicant is not a beneficial owner, also provides the identification information described in clause (i) relating to such applicant.</text></clause></subparagraph> 
<subparagraph id="H83C9502F1FF0407F92FE24D27E410631"><enum>(B)</enum><header>Updated information</header><text display-inline="yes-display-inline">Each corporation or limited liability company formed under the laws of a State or Indian Tribe shall—</text> <clause id="H8D977DB5A4854D6F8783189713BF0DAA"><enum>(i)</enum><text>submit to FinCEN an annual filing containing a list of—</text> 
<subclause id="H946B119455BE44BEB80C33472C549B2E"><enum>(I)</enum><text>the current beneficial owners of the corporation or limited liability company and the information described in subparagraph (A) for each such beneficial owner; and</text></subclause> <subclause id="H58C5271FE67442328417594FADD0D2B1"><enum>(II)</enum><text display-inline="yes-display-inline">any changes in the beneficial owners of the corporation or limited liability company during the previous year; and</text></subclause></clause> 
<clause id="H32A8035AABC84B208A746DF2E3B65079"><enum>(ii)</enum><text display-inline="yes-display-inline">pursuant to any rule issued by the Secretary of the Treasury under subparagraph (C), update the list of the beneficial owners of the corporation or limited liability company within the time period prescribed by such rule.</text></clause></subparagraph> <subparagraph id="H16C183CE59474AAC8363055FF79E600A"><enum>(C)</enum><header>Rulemaking on updating information</header><text display-inline="yes-display-inline">Not later than 9 months after the completion of the study required under section 4(a)(1) of the Corporate Transparency Act of 2019, the Secretary of the Treasury shall consider the findings of such study and, if the Secretary determines it to be necessary or appropriate, issue a rule requiring corporations and limited liability companies to update the list of the beneficial owners of the corporation or limited liability company within a specified amount of time after the date of any change in the list of beneficial owners or the information required to be provided relating to each beneficial owner.</text></subparagraph> 
<subparagraph id="H077D45CF1B644424A307C978C0BEAEED" commented="no"><enum>(D)</enum><header>State notification</header><text display-inline="yes-display-inline">Each State in which a corporation or limited liability company is being formed shall notify each applicant of the requirements listed in subparagraphs (A) and (B).</text></subparagraph></paragraph> <paragraph id="H6C6192D1D30A4B8F91D40545ED9E53E9"><enum>(2)</enum><header>Certain beneficial owners</header><text display-inline="yes-display-inline">If an applicant to form a corporation or limited liability company or a beneficial owner, or similar agent of a corporation or limited liability company who is required to provide identification information under this subsection, does not have a nonexpired passport issued by the United States, a nonexpired personal identification card, or a non-expired driver’s license issued by a State, each such person shall provide to FinCEN the full legal name, current residential or business street address, a unique identifying number from a non-expired passport issued by a foreign government, and a legible and credible copy of the pages of a non-expired passport issued by the government of a foreign country bearing a photograph, date of birth, and unique identifying information for each beneficial owner, and each application described in paragraph (1)(A) and each update described in paragraph (1)(B) shall include a written certification by a person residing in the State or Indian country under the jurisdiction of the Indian Tribe forming the entity that the applicant, corporation, or limited liability company—</text> 
<subparagraph id="H148599ED70844046A4B9B3770A98A55B"><enum>(A)</enum><text>has obtained for each such beneficial owner, a current residential or business street address and a legible and credible copy of the pages of a non-expired passport issued by the government of a foreign country bearing a photograph, date of birth, and unique identifying information for the person;</text></subparagraph> <subparagraph id="HD263473D20D146589154F4F2B9FFD360"><enum>(B)</enum><text>has verified the full legal name, address, and identity of each such person;</text></subparagraph> 
<subparagraph id="HB340D05EDEBC4A5F842A817F4BDADCD1"><enum>(C)</enum><text>will provide the information described in subparagraph (A) and the proof of verification described in subparagraph (B) upon request of FinCEN; and</text></subparagraph> <subparagraph id="HDF9BC78F33B44A0DA3A544AA41B6A85B"><enum>(D)</enum><text>will retain the information and proof of verification under this paragraph until the end of the 5-year period beginning on the date that the corporation or limited liability company terminates under the laws of the State or Indian Tribe.</text></subparagraph></paragraph> 
<paragraph id="HB27EB82BEAFD44EBA491899BC7E18ED9"><enum>(3)</enum><header>Exempt entities</header> 
<subparagraph id="H140E4AF981EC4C4287D0C6BD1500C74E"><enum>(A)</enum><header>In general</header><text>With respect to an applicant to form a corporation or limited liability company under the laws of a State or Indian Tribe, if such entity is described in subparagraph (C) or (D) of subsection (d)(4) and will be exempt from the beneficial ownership disclosure requirements under this subsection, such applicant, or a prospective officer, director, or similar agent of the applicant, shall file a written certification with FinCEN—</text> <clause id="H4568ECD1230240EE83509C8F506F127D"><enum>(i)</enum><text>identifying the specific provision of subsection (d)(4) under which the entity proposed to be formed would be exempt from the beneficial ownership disclosure requirements under paragraphs (1) and (2);</text></clause> 
<clause id="H30D82479A0B24DA2855B5E95806A7851"><enum>(ii)</enum><text>stating that the entity proposed to be formed meets the requirements for an entity described under such provision of subsection (d)(4); and</text></clause> <clause id="HB6E524A5D4CA4E728BF4CE2A15769D5A"><enum>(iii)</enum><text>providing identification information for the applicant or prospective officer, director, or similar agent making the certification in the same manner as provided under paragraph (1) or (2).</text></clause></subparagraph> 
<subparagraph id="H9ED39853AE4C4078977FFBE9B333E85E"><enum>(B)</enum><header>Existing corporations or limited liability companies</header><text>On and after the date that is 2 years after the final regulations are issued to carry out this section, a corporation or limited liability company formed under the laws of the State or Indian Tribe before such date shall be subject to the requirements of this subsection unless an officer, director, or similar agent of the entity submits to FinCEN a written certification—</text> <clause id="H10F65811353D4263B04DCA0F2BFE4E5D"><enum>(i)</enum><text>identifying the specific provision of subsection (d)(4) under which the entity is exempt from the requirements under paragraphs (1) and (2);</text></clause> 
<clause id="HB7D5CE79CA394FE0A9E07BCCD4F14275"><enum>(ii)</enum><text>stating that the entity meets the requirements for an entity described under such provision of subsection (d)(4); and</text></clause> <clause id="HEE2F49A7E1554643A3B4D1CAE6976742"><enum>(iii)</enum><text>providing identification information for the officer, director, or similar agent making the certification in the same manner as provided under paragraph (1) or (2).</text></clause></subparagraph> 
<subparagraph id="H5A171DC638CE4878B80AC857676BB431"><enum>(C)</enum><header>Exempt entities having ownership interest</header><text>If an entity described in subparagraph (C) or (D) of subsection (d)(4) has or will have an ownership interest in a corporation or limited liability company formed or to be formed under the laws of a State or Indian Tribe, the applicant, corporation, or limited liability company in which the entity has or will have the ownership interest shall provide the information required under this subsection relating to the entity, except that the entity shall not be required to provide information regarding any natural person who has an ownership interest in, exercises substantial control over, or receives substantial economic benefits from the entity.</text></subparagraph></paragraph> <paragraph id="HA7220355F00D43DCA56BE6A56BE93AFE"><enum>(4)</enum><header>FinCEN ID numbers</header> <subparagraph id="H683206053D0741729E35135272EDB39A"><enum>(A)</enum><header>Issuance of FinCEN ID number</header> <clause id="H47FBF3E0E9B84944B246AF1592B82697"><enum>(i)</enum><header>In general</header><text>FinCEN shall issue a FinCEN ID number to any individual who requests such a number and provides FinCEN with the information described under subclauses (I) through (IV) of paragraph (1)(A)(i).</text></clause> 
<clause id="HCD6EF1D96573402D871DB166A425D463"><enum>(ii)</enum><header>Updating of information</header><text display-inline="yes-display-inline">An individual with a FinCEN ID number shall submit an annual filing with FinCEN updating any information described under subclauses (I) through (IV) of paragraph (1)(A)(i).</text></clause></subparagraph> <subparagraph id="H81A75CC58AFA4AEFBA8DA8142FDF3C0A"><enum>(B)</enum><header>Use of FinCEN ID number in reporting requirements</header><text>Any person required to report the information described under paragraph (1)(A)(i) with respect to an individual may instead report the FinCEN ID number of the individual.</text></subparagraph> 
<subparagraph id="HEEACC4919DE140CCA64F7871A2186195"><enum>(C)</enum><header>Treatment of information submitted for FinCEN ID number</header><text display-inline="yes-display-inline">For purposes of this section, any information submitted under subparagraph (A) shall be deemed to be beneficial ownership information.</text></subparagraph></paragraph> <paragraph id="H7EC29EECA871432EB7332DB89804512A"><enum>(5)</enum><header>Retention and disclosure of beneficial ownership information by FinCEN</header> <subparagraph id="HF98EC6170AEE4189A1194CE949492F4B"><enum>(A)</enum><header>Retention of information</header><text display-inline="yes-display-inline">Beneficial ownership information relating to each corporation or limited liability company formed under the laws of the State or Indian Tribe shall be maintained by FinCEN until the end of the 5-year period (or such other period of time as the Secretary of the Treasury may, by rule, determine) beginning on the date that the corporation or limited liability company terminates.</text></subparagraph> 
<subparagraph id="HC7EDAF26753040939F3A863C80B58595"><enum>(B)</enum><header>Disclosure of information</header><text>Beneficial ownership information reported to FinCEN pursuant to this section shall be provided by FinCEN only upon receipt of—</text> <clause id="HC3A5E5C8D0F045FA96FA2E25BBA058ED"><enum>(i)</enum><text>subject to subparagraph (C), a request, through appropriate protocols, by a local, Tribal, State, or Federal law enforcement agency;</text></clause> 
<clause id="H8F0F307DE5174700921C1E6C56220921"><enum>(ii)</enum><text>a request made by a Federal agency on behalf of a law enforcement agency of another country under an international treaty, agreement, or convention, or an order under section 3512 of title 18 or section 1782 of title 28; or</text></clause> <clause id="H49A6EBB844DC495BBA831BE9E8B33483"><enum>(iii)</enum><text>a request made by a financial institution, with customer consent, as part of the institution’s compliance with due diligence requirements imposed under the Bank Secrecy Act, the USA PATRIOT Act, or other applicable Federal, State, or Tribal law.</text></clause></subparagraph> 
<subparagraph id="H9CAE21B36EEF4AB8B37DC02105C187FB"><enum>(C)</enum><header>Appropriate protocols</header> 
<clause id="HFE4F1AB6DA4C4F7297119D5DFE966ADA"><enum>(i)</enum><header>Privacy</header><text display-inline="yes-display-inline">The protocols described in subparagraph (B)(i) shall—</text> <subclause id="H461C99E324B94D62AB180E04853C1C4A"><enum>(I)</enum><text>protect the privacy of any beneficial ownership information provided by FinCEN to a local, Tribal, State, or Federal law enforcement agency;</text></subclause> 
<subclause id="HD0695208AAEF4CA695B49A6ED5B8FB2C"><enum>(II)</enum><text>ensure that a local, Tribal, State, or Federal law enforcement agency requesting beneficial ownership information has an existing investigatory basis for requesting such information;</text></subclause> <subclause id="H38DF3565C1904BB4BB86C470C682144E"><enum>(III)</enum><text display-inline="yes-display-inline">ensure that access to beneficial ownership information is limited to authorized users at a local, Tribal, State, or Federal law enforcement agency who have undergone appropriate training, and refresher training no less than every two years, and that the identity of such authorized users is verified through appropriate mechanisms, such as two-factor authentication;</text></subclause> 
<subclause id="HE9BDBA2C6D2743B6A2AC01737C664A6D"><enum>(IV)</enum><text>include an audit trail of requests for beneficial ownership information by a local, Tribal, State, or Federal law enforcement agency, including, as necessary, information concerning queries made by authorized users at a local, Tribal, State, or Federal law enforcement agency;</text></subclause> <subclause id="H680D8DD5895F4BF3BA717B7543558314"><enum>(V)</enum><text>require that every local, Tribal, State, or Federal law enforcement agency that receives beneficial ownership information from FinCEN conducts an annual audit to verify that the beneficial ownership information received from FinCEN has been accessed and used appropriately, and consistent with this paragraph; and</text></subclause> 
<subclause id="HBD3D1909088148A1A96FB5579B6980A7"><enum>(VI)</enum><text>require FinCEN to conduct an annual audit of every local, Tribal, State, or Federal law enforcement agency that has received beneficial ownership information to ensure that such agency has requested beneficial ownership information, and has used any beneficial ownership information received from FinCEN, appropriately, and consistent with this paragraph.</text></subclause></clause> <clause id="HC6CD2AFB4A304AD28FE8D834056FEBDB"><enum>(ii)</enum><header>Limitation on use</header><text>Beneficial ownership information provided to a local, Tribal, State, or Federal law enforcement agency under this paragraph may only be used for law enforcement, national security, or intelligence purposes.</text></clause></subparagraph> 
<subparagraph id="H6E3F8FA9A54B40CAA62DACB15409CDEB"><enum>(D)</enum><header>Access procedures</header><text display-inline="yes-display-inline">FinCEN shall establish stringent procedures for the protection and proper use of beneficial ownership information disclosed pursuant to subparagraph (B), including procedures to ensure such information is not being inappropriately accessed or misused by law enforcement agencies.</text></subparagraph> <subparagraph id="H27CF2E9F3A4A4453A83706123E2E1DCE"><enum>(E)</enum><header>Report to Congress</header><text>FinCEN shall issue an annual report to Congress stating—</text> 
<clause id="H57D35F39C78F48BB96EA29A72A15EC25"><enum>(i)</enum><text display-inline="yes-display-inline">the number of times law enforcement agencies and financial institutions have accessed beneficial ownership information pursuant to subparagraph (B);</text></clause> <clause id="H90E5CA35F02D4A67BAE41A433812CA22"><enum>(ii)</enum><text>the number of times beneficial ownership information reported to FinCEN pursuant to this section was inappropriately accessed, and by whom; and</text></clause> 
<clause id="HF5716518952345249A1D7FE3602A5C0A"><enum>(iii)</enum><text>the number of times beneficial ownership information was disclosed under subparagraph (B) pursuant to a subpoena.</text></clause></subparagraph> <subparagraph id="HE2995D6C146145039FBDEC58D97EA7F0"><enum>(F)</enum><header>Disclosure of non-PII data</header><text display-inline="yes-display-inline">Notwithstanding subparagraph (B), FinCEN may issue guidance and otherwise make materials available to financial institutions and the public using beneficial ownership information reported pursuant to this section if such information is aggregated in a manner that removes all personally identifiable information. For purposes of this subparagraph, <quote>personally identifiable information</quote> includes information that would allow for the identification of a particular corporation or limited liability company.</text></subparagraph></paragraph></subsection> 
<subsection id="H354ADC0C5F484FA9A199085862D8D403"><enum>(b)</enum><header>No bearer share corporations or limited liability companies</header><text>A corporation or limited liability company formed under the laws of a State or Indian Tribe may not issue a certificate in bearer form evidencing either a whole or fractional interest in the corporation or limited liability company.</text></subsection> <subsection id="H7B20161787B942419B8965B28818313F"><enum>(c)</enum><header>Penalties</header> <paragraph id="HA8B18BC5D7C64AB9888852F8251A48CE"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">It shall be unlawful for any person to affect interstate or foreign commerce by—</text> 
<subparagraph id="HCE3D4DB37B3F42BBA9EE6F4A5533C383"><enum>(A)</enum><text>knowingly providing, or attempting to provide, false or fraudulent beneficial ownership information, including a false or fraudulent identifying photograph, to FinCEN in accordance with this section;</text></subparagraph> <subparagraph id="H7FCEFB701E7349FD8DA2674194250A34"><enum>(B)</enum><text>willfully failing to provide complete or updated beneficial ownership information to FinCEN in accordance with this section; or</text></subparagraph> 
<subparagraph id="H7FDEC7D279FC446A87311E134761A02A"><enum>(C)</enum><text>knowingly disclosing the existence of a subpoena or other request for beneficial ownership information reported pursuant to this section, except—</text> <clause id="H42687ED67D90403CACA4D201CF65773D"><enum>(i)</enum><text>to the extent necessary to fulfill the authorized request; or</text></clause> 
<clause id="H794F8FBB74594A9098B7F85F8154A507"><enum>(ii)</enum><text>as authorized by the entity that issued the subpoena, or other request.</text></clause></subparagraph></paragraph> <paragraph id="H9F42A4FDA6D7418AA2C0576AAB3D4F2E"><enum>(2)</enum><header>Civil and criminal penalties</header><text>Any person who violates paragraph (1)—</text> 
<subparagraph id="H773D8AC8967941B6A85A50F2A9B71D18"><enum>(A)</enum><text>shall be liable to the United States for a civil penalty of not more than $10,000; and</text></subparagraph> <subparagraph id="H45B2F78FBCCC4D1DB2778CFA9CAFD40A"><enum>(B)</enum><text>may be fined under title 18, United States Code, imprisoned for not more than 3 years, or both.</text></subparagraph></paragraph> 
<paragraph id="H23F18B899B7E49B48F256FA12A0BB55A"><enum>(3)</enum><header>Limitation</header><text display-inline="yes-display-inline">Any person who negligently violates paragraph (1) shall not be subject to civil or criminal penalties under paragraph (2).</text></paragraph> <paragraph id="HCB8E63EF12994E648DB87C5945F7D488" commented="no"><enum>(4)</enum><header>Waiver</header><text display-inline="yes-display-inline">The Secretary of the Treasury may waive the penalty for violating paragraph (1) if the Secretary determines that the violation was due to reasonable cause and was not due to willful neglect.</text></paragraph> 
<paragraph id="HF9680217EB78479EB829A2C068F8495D"><enum>(5)</enum><header>Criminal penalty for the misuse or unauthorized disclosure of beneficial ownership information</header><text display-inline="yes-display-inline">The criminal penalties provided for under section 5322 shall apply to a violation of this section to the same extent as such criminal penalties apply to a violation described in section 5322, if the violation of this section consists of the misuse or unauthorized disclosure of beneficial ownership information.</text></paragraph></subsection> <subsection id="H09C4E992EA0C41E38893908396774A48"><enum>(d)</enum><header>Definitions</header><text>For the purposes of this section:</text> 
<paragraph id="H4D6E0952B71D4FB29E20E69146C19CD3"><enum>(1)</enum><header>Applicant</header><text>The term <term>applicant</term> means any natural person who files an application to form a corporation or limited liability company under the laws of a State or Indian Tribe.</text></paragraph> <paragraph id="H12F4F88A1BFC4BADB443FD75B7303F6F"><enum>(2)</enum><header>Bank Secrecy Act</header><text>The term <term>Bank Secrecy Act</term> means—</text> 
<subparagraph id="H1E35964F102742DD84B30DB5782464C1"><enum>(A)</enum><text>section 21 of the Federal Deposit Insurance Act;</text></subparagraph> <subparagraph id="H5070510FFCE2490C8C707227FD35D670"><enum>(B)</enum><text>chapter 2 of title I of <external-xref legal-doc="public-law" parsable-cite="pl/91/508">Public Law 91–508</external-xref>; and</text></subparagraph> 
<subparagraph id="H55F97B2CC6894C0B88610D31ED3ABB27"><enum>(C)</enum><text>this subchapter.</text></subparagraph></paragraph> <paragraph id="HEEB4075A50364091A7D9634C44D65AF5"><enum>(3)</enum><header>Beneficial owner</header> <subparagraph id="H93F5A04B77E941CF9A4E8B4A9E69A741"><enum>(A)</enum><header>In general</header><text>Except as provided in subparagraph (B), the term <term>beneficial owner</term> means a natural person who, directly or indirectly, through any contract, arrangement, understanding, relationship, or otherwise—</text> 
<clause id="H1DB4632261404330AE87A54006878888"><enum>(i)</enum><text>exercises substantial control over a corporation or limited liability company;</text></clause> <clause id="H13928817DE2C4B629030CDE20664E3F7"><enum>(ii)</enum><text display-inline="yes-display-inline">owns 25 percent or more of the equity interests of a corporation or limited liability company; or</text></clause> 
<clause id="H5691202872764989A7755EA15251B020"><enum>(iii)</enum><text>receives substantial economic benefits from the assets of a corporation or limited liability company.</text></clause></subparagraph> <subparagraph id="HC72629D890204D91A1DC6FF77AF28BBA"><enum>(B)</enum><header>Exceptions</header><text>The term <term>beneficial owner</term> shall not include—</text> 
<clause id="HCFF51F2297BF43C3B873347476E88D4F"><enum>(i)</enum><text>a minor child, as defined in the State or Indian Tribe in which the entity is formed;</text></clause> <clause id="HB325C308D0A748BAA12611C930385DD4"><enum>(ii)</enum><text>a person acting as a nominee, intermediary, custodian, or agent on behalf of another person;</text></clause> 
<clause id="HABE7DFD4742849F8BA6924FCF85AA429"><enum>(iii)</enum><text>a person acting solely as an employee of a corporation or limited liability company and whose control over or economic benefits from the corporation or limited liability company derives solely from the employment status of the person;</text></clause> <clause id="HBFEA4E980E6C488983B3D29C210CBC26"><enum>(iv)</enum><text>a person whose only interest in a corporation or limited liability company is through a right of inheritance; or</text></clause> 
<clause id="HE11C5F26827644F2BE85CF8BA5915327"><enum>(v)</enum><text>a creditor of a corporation or limited liability company, unless the creditor also meets the requirements of subparagraph (A).</text></clause></subparagraph> <subparagraph id="H47BB314B325749D9847CC5D8601D361C"><enum>(C)</enum><header>Substantial economic benefits defined</header> <clause id="H54CC411AC93D4A8FA3271D6BA362667E"><enum>(i)</enum><header>In general</header><text>For purposes of subparagraph (A)(ii), a natural person receives substantial economic benefits from the assets of a corporation or limited liability company if the person has an entitlement to more than a specified percentage of the funds or assets of the corporation or limited liability company, which the Secretary of the Treasury shall, by rule, establish.</text></clause> 
<clause id="H4061DDDDA72945A581BE5ED4CC31E3D9"><enum>(ii)</enum><header>Rulemaking criteria</header><text>In establishing the percentage under clause (i), the Secretary of the Treasury shall seek to—</text> <subclause id="H97AF0F29458F4681BD80ED0791B4C5CA"><enum>(I)</enum><text>provide clarity to corporations and limited liability companies with respect to the identification and disclosure of a natural person who receives substantial economic benefits from the assets of a corporation or limited liability company; and</text></subclause> 
<subclause id="HDD5D595DF6C7489192F2A2CA80938901"><enum>(II)</enum><text>identify those natural persons who, as a result of the substantial economic benefits they receive from the assets of a corporation or limited liability company, exercise a dominant influence over such corporation or limited liability company.</text></subclause></clause></subparagraph></paragraph> <paragraph id="H2DDD11FC14754AD4AA66EB331BF45A4B"><enum>(4)</enum><header>Corporation; limited liability company</header><text>The terms <term>corporation</term> and <term>limited liability company</term>—</text> 
<subparagraph id="H54D7FD1FD44741B794504737E52D8EB5"><enum>(A)</enum><text>have the meanings given such terms under the laws of the applicable State or Indian Tribe;</text></subparagraph> <subparagraph id="H4FE4871F6CD54627966941513555D96D"><enum>(B)</enum><text display-inline="yes-display-inline">include any non-United States entity eligible for registration or registered to do business as a corporation or limited liability company under the laws of the applicable State or Indian Tribe;</text></subparagraph> 
<subparagraph id="H814DB721CCEC4C049E14A1FC66F99522"><enum>(C)</enum><text>do not include any entity that is—</text> <clause id="H4E2D13C6245D40529FC1CB962DDDB0F8"><enum>(i)</enum><text>a business concern that is an issuer of a class of securities registered under section 12 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/781">15 U.S.C. 781</external-xref>) or that is required to file reports under section 15(d) of that Act (<external-xref legal-doc="usc" parsable-cite="usc/15/78o">15 U.S.C. 78o(d)</external-xref>);</text></clause> 
<clause id="HD412F23E40994A209E6A110E34653EDB"><enum>(ii)</enum><text display-inline="yes-display-inline">a business concern constituted, sponsored, or chartered by a State or Indian Tribe, a political subdivision of a State or Indian Tribe, under an interstate compact between two or more States, by a department or agency of the United States, or under the laws of the United States;</text></clause> <clause id="H03B0CCE4EEE546FEB2D8E609AE07BB4D"><enum>(iii)</enum><text>a depository institution (as defined in section 3 of the Federal Deposit Insurance Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1813">12 U.S.C. 1813</external-xref>));</text></clause> 
<clause id="H9B4FDBA801234806B88CF689CA4853CF"><enum>(iv)</enum><text>a credit union (as defined in section 101 of the Federal Credit Union Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1752">12 U.S.C. 1752</external-xref>));</text></clause> <clause id="H5B6251ADA03B4AA5B5E29D73404FFE5C"><enum>(v)</enum><text display-inline="yes-display-inline">a bank holding company (as defined in section 2 of the Bank Holding Company Act of 1956 (<external-xref legal-doc="usc" parsable-cite="usc/12/1841">12 U.S.C. 1841</external-xref>)) or a savings and loan holding company (as defined in section 10(a) of the Home Owners’ Loan Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1467a">12 U.S.C. 1467a(a)</external-xref>);</text></clause> 
<clause id="HDAFFB86CABEA44D59CC94FE07BBA3190"><enum>(vi)</enum><text>a broker or dealer (as defined in section 3 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c</external-xref>)) that is registered under section 15 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o">15 U.S.C. 78o</external-xref>);</text></clause> <clause id="H711F007E0515403884BAB7FB80457593"><enum>(vii)</enum><text>an exchange or clearing agency (as defined in section 3 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c</external-xref>)) that is registered under section 6 or 17A of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78f">15 U.S.C. 78f</external-xref> and 78q–1);</text></clause> 
<clause id="H68CC77B947A448A0B4194BF35FD6B9AE"><enum>(viii)</enum><text display-inline="yes-display-inline">an investment company (as defined in section 3 of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-3">15 U.S.C. 80a–3</external-xref>)) or an investment adviser (as defined in section 202(11) of the Investment Advisers Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-2">15 U.S.C. 80b–2(11)</external-xref>)), if the company or adviser is registered with the Securities and Exchange Commission, has filed an application for registration which has not been denied, under the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-1">15 U.S.C. 80a–1</external-xref> et seq.) or the Investment Adviser Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-1">15 U.S.C. 80b–1</external-xref> et seq.), or is an investment adviser described under section 203(l) of the Investment Advisers Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-3">15 U.S.C. 80b–3(l)</external-xref>);</text></clause> <clause id="H92BA7560E97547B7971A4C9E9B6BE06B"><enum>(ix)</enum><text>an insurance company (as defined in section 2 of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-2">15 U.S.C. 80a–2</external-xref>));</text></clause> 
<clause id="HD42A922EEC4E429BB051EB683F01CB75"><enum>(x)</enum><text>a registered entity (as defined in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>)), or a futures commission merchant, introducing broker, commodity pool operator, or commodity trading advisor (as defined in section 1a of the Commodity Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/1a">7 U.S.C. 1a</external-xref>)) that is registered with the Commodity Futures Trading Commission;</text></clause> <clause id="H329E06B23BA54462ACDFDE8D222FC42D"><enum>(xi)</enum><text display-inline="yes-display-inline">a public accounting firm registered in accordance with section 102 of the Sarbanes-Oxley Act (<external-xref legal-doc="usc" parsable-cite="usc/15/7212">15 U.S.C. 7212</external-xref>) or an entity controlling, controlled by, or under common control of such a firm;</text></clause> 
<clause id="H571A1CAF5B4047F4B3B1C0FE55536C02"><enum>(xii)</enum><text>a public utility that provides telecommunications service, electrical power, natural gas, or water and sewer services, within the United States;</text></clause> <clause id="H0C5309F8039D4E02AED6F20AE674BBC8"><enum>(xiii)</enum><text>a church, charity, nonprofit entity, or other organization that is described in section 501(c), 527, or 4947(a)(1) of the Internal Revenue Code of 1986, that has not been denied tax exempt status, and that has filed the most recently due annual information return with the Internal Revenue Service, if required to file such a return;</text></clause> 
<clause id="HA22E9C1E9E7C47C8A2F48248FB372A74"><enum>(xiv)</enum><text display-inline="yes-display-inline">a financial market utility designated by the Financial Stability Oversight Council under section 804 of the Dodd-Frank Wall Street Reform and Consumer Protection Act; </text></clause> <clause id="H2DB6D86180B24638B0D7975BE234D1E2"><enum>(xv)</enum><text display-inline="yes-display-inline">an insurance producer (as defined in section 334 of the Gramm-Leach-Bliley Act);</text></clause> 
<clause id="H4948951EF61F408CA8CF1B90B257E48B"><enum>(xvi)</enum><text display-inline="yes-display-inline">any pooled investment vehicle that is operated or advised by a person described in clause (iii), (iv), (v), (vi), (viii), (ix), or (xi); </text></clause> <clause id="HE3F00926E6604B1DA5B808A6D833AB63"><enum>(xvii)</enum><text>any business concern that—</text> 
<subclause id="H41101939AF7341C2835503D3CF257FE1"><enum>(I)</enum><text>employs more than 20 employees on a full-time basis in the United States;</text></subclause> <subclause id="H32E19C3182434EDDACC607F387064674"><enum>(II)</enum><text>files income tax returns in the United States demonstrating more than $5,000,000 in gross receipts or sales; and</text></subclause> 
<subclause id="H86506AFF82894453A6C0BCF7FF14E7BE"><enum>(III)</enum><text>has an operating presence at a physical office within the United States; or</text></subclause></clause> <clause id="HEC14CB3288454134BBD343D2126E1A9E"><enum>(xviii)</enum><text>any corporation or limited liability company formed and owned by an entity described in this clause or in clause (i), (ii), (iii), (iv), (v), (vi), (vii), (viii), (ix), (x), (xi), (xii), (xiii), (xiv), (xv), or (xvi); and</text></clause></subparagraph> 
<subparagraph id="HBA64733E08004E3FB31E36E2929EF880"><enum>(D)</enum><text>do not include any individual business concern or class of business concerns which the Secretary of the Treasury and the Attorney General of the United States have jointly determined, by rule of otherwise, to be exempt from the requirements of subsection (a), if the Secretary and the Attorney General jointly determine that requiring beneficial ownership information from the business concern would not serve the public interest and would not assist law enforcement efforts to detect, prevent, or prosecute terrorism, money laundering, tax evasion, or other misconduct.</text></subparagraph></paragraph> <paragraph id="H60CB8C92C1F94C53BD5BB821F06800A1"><enum>(5)</enum><header>Fincen</header><text>The term <term>FinCEN</term> means the Financial Crimes Enforcement Network of the Department of the Treasury.</text></paragraph> 
<paragraph id="H20C4E15E872E44BABEC153AC8F1957A8"><enum>(6)</enum><header>Indian country</header><text display-inline="yes-display-inline">The term <term>Indian country</term> has the meaning given that term in section 1151 of title 18.</text></paragraph> <paragraph id="HA4FEFCA313904FC6AEA9E828767FE609"><enum>(7)</enum><header>Indian tribe</header><text display-inline="yes-display-inline">The term <term>Indian Tribe</term> has the meaning given that term under section 102 of the Federally Recognized Indian Tribe List Act of 1994.</text></paragraph> 
<paragraph id="H6BBDFDD1E86F45A0953FD75A90D984B3"><enum>(8)</enum><header>Personal identification card</header><text>The term <term>personal identification card</term> means an identification document issued by a State, Indian Tribe, or local government to an individual solely for the purpose of identification of that individual.</text></paragraph> <paragraph id="HD5064AA458774B5BBC39828218067694"><enum>(9)</enum><header>State</header><text>The term <term>State</term> means any State, commonwealth, territory, or possession of the United States, the District of Columbia, the Commonwealth of Puerto Rico, the Commonwealth of the Northern Mariana Islands, American Samoa, Guam, or the United States Virgin Islands.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H1FCDCA311DD9417D87244CF5792C23D2"><enum>(2)</enum><header>Rulemaking</header> 
<subparagraph id="H117FCD853E854D57892E9C0F329037FF"><enum>(A)</enum><header>In general</header><text>Not later than 1 year after the date of enactment of this Act, the Secretary of the Treasury shall issue regulations to carry out this Act and the amendments made by this Act, including, to the extent necessary, to clarify the definitions in section 5333(d) of title 31, United States Code.</text></subparagraph> <subparagraph id="HD30C9964FA28407EB842930A1F5FAF44"><enum>(B)</enum><header>Revision of final rule</header><text>Not later than 1 year after the date of enactment of this Act, the Secretary of the Treasury shall revise the final rule titled <quote>Customer Due Diligence Requirements for Financial Institutions</quote> (May 11, 2016; 81 Fed. Reg. 29397) to—</text> 
<clause id="HE1830509D8244907A00EA419EE90CE69"><enum>(i)</enum><text>bring the rule into conformance with this Act and the amendments made by this Act;</text></clause> <clause id="HF128CF77C3014944B73A6681F47D6C54"><enum>(ii)</enum><text display-inline="yes-display-inline">account for financial institutions’ access to comprehensive beneficial ownership information filed by corporations and limited liability companies, under threat of civil and criminal penalties, under this Act and the amendments made by this Act; and</text></clause> 
<clause id="H528B26B28C904FD5A7B19A7953FA8440"><enum>(iii)</enum><text display-inline="yes-display-inline">reduce any burdens on financial institutions that are, in light of the enactment of this Act and the amendments made by this Act, unnecessary or duplicative.</text></clause></subparagraph></paragraph> <paragraph id="H4587FF5A249B49709143166FE537E0AB"><enum>(3)</enum><header>Conforming amendments</header><text>Title 31, United States Code, is amended—</text> 
<subparagraph id="H3504509F819E4B6CAFAAA9F69CC13314"><enum>(A)</enum><text>in section 5321(a)—</text> <clause id="H3F350E1DBDCB43ABA8A057F47FE74C6E"><enum>(i)</enum><text>in paragraph (1), by striking <quote>sections 5314 and 5315</quote> each place it appears and inserting <quote>sections 5314, 5315, and 5333</quote>; and</text></clause> 
<clause id="HE2EA34DC971A4FDAA27B72C52746CDF4"><enum>(ii)</enum><text>in paragraph (6), by inserting <quote>(except section 5333)</quote> after <quote>subchapter</quote> each place it appears; and</text></clause></subparagraph> <subparagraph id="H1670D34358E74986B8AB741592626042"><enum>(B)</enum><text>in section 5322, by striking <quote>section 5315 or 5324</quote> each place it appears and inserting <quote>section 5315, 5324, or 5333</quote>.</text></subparagraph></paragraph> 
<paragraph id="HB82DC2F334FA4430BB9E30F99F8CC480"><enum>(4)</enum><header>Table of contents</header><text>The table of contents of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/53">chapter 53</external-xref> of title 31, United States Code, is amended by inserting after the item relating to <external-xref legal-doc="usc" parsable-cite="usc/31/5332">section 5332</external-xref> the following:</text> <quoted-block id="H9DF0E224457A498E80654FE01CE255B0" style="USC"> <toc regeneration="no-regeneration"> <toc-entry level="section">5333. Transparent incorporation practices.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> <subsection id="HBE991D7C7EA84746A6B380A498C624F0"><enum>(b)</enum><header>Authorization of appropriations</header><text display-inline="yes-display-inline">There is authorized to be appropriated $20,000,000 for each of fiscal years 2020 and 2021 to the Financial Crimes Enforcement Network to carry out this Act and the amendments made by this Act.</text></subsection> 
<subsection id="H229C450D78CC4251BF6B0660740E2025"><enum>(c)</enum><header>Federal contractors</header><text>Not later than the first day of the first full fiscal year beginning at least 1 year after the date of the enactment of this Act, the Administrator for Federal Procurement Policy shall revise the Federal Acquisition Regulation maintained under section 1303(a)(1) of title 41, United States Code, to require any contractor or subcontractor who is subject to the requirement to disclose beneficial ownership information under section 5333 of title 31, United States Code, to provide the information required to be disclosed under such section to the Federal Government as part of any bid or proposal for a contract with a value threshold in excess of the simplified acquisition threshold under section 134 of title 41, United States Code.</text></subsection></section> <section id="H55BD1EE91E554C9896CAA0C4D4C89427"><enum>4.</enum><header>Studies and reports</header> <subsection id="HE1A51A386DCF4B1CBCBEB49D82973439"><enum>(a)</enum><header>Updating of beneficial ownership information</header> <paragraph id="H0AB84716F4DC47348A3BB533237936BF"><enum>(1)</enum><header>Study</header><text display-inline="yes-display-inline">The Secretary of the Treasury, in consultation with the Attorney General of the United States, shall conduct a study to evaluate—</text> 
<subparagraph id="HDA89F0F5889F4669A7E7A91AA0C26706"><enum>(A)</enum><text>the necessity of a requirement for corporations and limited liability companies to update the list of their beneficial owners within a specified amount of time after the date of any change in the list of beneficial owners or the information required to be provided relating to each beneficial owner, taking into account the annual filings required under section 5333(a)(1)(B)(i) of title 31, United States Code, and the information contained in such annual filings; and</text></subparagraph> <subparagraph id="HEB97E028C1B44317B9457C429425B6D3"><enum>(B)</enum><text>the burden that a requirement to update the list of beneficial owners within a specified period of time after a change in such list of beneficial owners would impose on corporations and limited liability companies.</text></subparagraph></paragraph> 
<paragraph id="HC93FA6695E9D45B3935D27BD9AF336A7"><enum>(2)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than 1 year after the date of enactment of this Act, the Secretary of the Treasury shall submit a report on the study required under paragraph (1) to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate.</text></paragraph> <paragraph id="HF95D1134ABDE4B0BAC8F3C5907A6C10F"><enum>(3)</enum><header>Public comment</header><text>The Secretary of the Treasury shall seek and consider public input, comments, and data in order to conduct the study required under subparagraph paragraph (1).</text></paragraph></subsection> 
<subsection id="H99A7899237464049958A00FAC1717EAD"><enum>(b)</enum><header>Other legal entities</header><text>Not later than 2 years after the date of enactment of this Act, the Comptroller General of the United States shall conduct a study and submit to the Congress a report—</text> <paragraph id="H7D37A30459B6457EB732C6721C8C7666"><enum>(1)</enum><text display-inline="yes-display-inline">identifying each State or Indian Tribe that has procedures that enable persons to form or register under the laws of the State or Indian Tribe partnerships, trusts, or other legal entities, and the nature of those procedures;</text></paragraph> 
<paragraph id="H1F47F0C750964CF1B04DC0E9FC874D7C"><enum>(2)</enum><text display-inline="yes-display-inline">identifying each State or Indian Tribe that requires persons seeking to form or register partnerships, trusts, or other legal entities under the laws of the State or Indian Tribe to provide information about the beneficial owners (as that term is defined in section 5333(d)(1) of title 31, United States Code, as added by this Act) or beneficiaries of such entities, and the nature of the required information;</text></paragraph> <paragraph id="HE4FA7B76C56447B792D53CC11F6A6115"><enum>(3)</enum><text>evaluating whether the lack of available beneficial ownership information for partnerships, trusts, or other legal entities—</text> 
<subparagraph id="H3023C4C7EA724C10B8D164D91CAB4B64"><enum>(A)</enum><text>raises concerns about the involvement of such entities in terrorism, money laundering, tax evasion, securities fraud, or other misconduct;</text></subparagraph> <subparagraph id="H4372B68513BF4382A7CF0C1704733551"><enum>(B)</enum><text>has impeded investigations into entities suspected of such misconduct; and</text></subparagraph> 
<subparagraph id="H995D301B53534B61BECC236C90D7E41F"><enum>(C)</enum><text display-inline="yes-display-inline">increases the costs to financial institutions of complying with due diligence requirements imposed under the Bank Secrecy Act, the USA PATRIOT Act, or other applicable Federal, State, or Tribal law; and</text></subparagraph></paragraph> <paragraph id="H9EF6B5BEE3ED4A08B5358457EC4C88FA"><enum>(4)</enum><text>evaluating whether the failure of the United States to require beneficial ownership information for partnerships and trusts formed or registered in the United States has elicited international criticism and what steps, if any, the United States has taken or is planning to take in response.</text></paragraph></subsection> 
<subsection id="HEA2C8F68FBF342CA8204DA9C7C4D36C1"><enum>(c)</enum><header>Effectiveness of incorporation practices</header><text>Not later than 5 years after the date of enactment of this Act, the Comptroller General of the United States shall conduct a study and submit to the Congress a report assessing the effectiveness of incorporation practices implemented under this Act and the amendments made by this Act in—</text> <paragraph id="H631C7EEE0C0E4B34A649D21918F44323"><enum>(1)</enum><text>providing law enforcement agencies with prompt access to reliable, useful, and complete beneficial ownership information; and</text></paragraph> 
<paragraph id="H949B8BB87475416B85C47602E1588277"><enum>(2)</enum><text>strengthening the capability of law enforcement agencies to combat incorporation abuses, civil and criminal misconduct, and detect, prevent, or punish terrorism, money laundering, tax evasion, or other misconduct.</text></paragraph></subsection> <subsection id="HDEA7439481E942B98675D40BEE314319"><enum>(d)</enum><header>Annual report on beneficial ownership information</header> <paragraph id="H283EFE4DFB1541CFB6559F81B8CAAEA9"><enum>(1)</enum><header>Report</header><text>The Secretary of the Treasury shall issue an annual report to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate with respect to the beneficial ownership information collected pursuant to section 5333 of title 31, United States Code, that contains—</text> 
<subparagraph id="HF8A4F782BC744B2C863BABBE57BA845C"><enum>(A)</enum><text display-inline="yes-display-inline">aggregate data on the number of beneficial owners per reporting corporation or limited liability company;</text></subparagraph> <subparagraph id="H1512DB1028604703B6CDAF626CEF3462"><enum>(B)</enum><text display-inline="yes-display-inline">the industries or type of business of each reporting corporation or limited liability company; and</text></subparagraph> 
<subparagraph id="HB6DD2070758248579A5C02C5A77633AE"><enum>(C)</enum><text>the locations of the beneficial owners.</text></subparagraph></paragraph> <paragraph id="H69C5A72A8F674C479213612993B6E976"><enum>(2)</enum><header>Privacy</header><text display-inline="yes-display-inline">In issuing reports under paragraph (1), the Secretary shall not reveal the identities of beneficial owners or names of the reporting corporations or limited liability companies.</text></paragraph></subsection></section>

<paragraph id="HB1421E8502A240DCB656D22B878FC5BB"><enum>(1)</enum><text>the number of new employees hired since the preceding report through the authorities described under section 310(d) of title 31, United States Code, along with position titles and associated pay grades for such hires; and</text></paragraph> <paragraph id="H0953129C648244DEA8ACF1D806BFE439"><enum>(2)</enum><text display-inline="yes-display-inline">a copy of any Federal Government survey of staff perspectives at the Office of Terrorism and Financial Intelligence, including findings regarding the Office and the Financial Crimes Enforcement Network from the most recently administered Federal Employee Viewpoint Survey.</text></paragraph></subsection></section> 
<section id="H47ACBB5BFF9C42119540A3D0F5503857"><enum>103.</enum><header>Civil Liberties and Privacy Officer</header> 
<subsection id="HAC86937248D146C2A814137B6093ABD6"><enum>(a)</enum><header>Appointment of Officers</header><text display-inline="yes-display-inline">Not later than the end of the 3-month period beginning on the date of enactment of this Act, a Civil Liberties and Privacy Officer shall be appointed, from among individuals who are attorneys with expertise in data privacy laws—</text> <paragraph id="HCDA57CD940DD4885AECE11A14178BBC1"><enum>(1)</enum><text>within each Federal functional regulator, by the head of the Federal functional regulator;</text></paragraph> 
<paragraph id="H0AAFF843CF4C46BC9A74C902327ABF14"><enum>(2)</enum><text display-inline="yes-display-inline">within the Financial Crimes Enforcement Network, by the Secretary of the Treasury; and</text></paragraph> <paragraph id="H70E3B7C26C6B45D3BB15D6350E16E2A4"><enum>(3)</enum><text display-inline="yes-display-inline">within the Internal Revenue Service Small Business and Self-Employed Tax Center, by the Secretary of the Treasury.</text></paragraph></subsection> 
<subsection id="HE1B1341AB741415EACFA8DE89E204A73"><enum>(b)</enum><header>Duties</header><text display-inline="yes-display-inline">Each Civil Liberties and Privacy Officer shall, with respect to the applicable regulator, Network, or Center within which the Officer is located—</text> <paragraph id="H7CB19D2266794366A6F210E4F4326C7B"><enum>(1)</enum><text display-inline="yes-display-inline">be consulted each time Bank Secrecy Act or anti-money laundering regulations affecting civil liberties or privacy are developed or reviewed;</text></paragraph> 
<paragraph id="H587E1646534F4AD6A97CDA4B7CA0B955"><enum>(2)</enum><text>be consulted on information-sharing programs, including those that provide access to personally identifiable information;</text></paragraph> <paragraph id="H9C82741CD09448EEA7EB4427B0942DD0"><enum>(3)</enum><text display-inline="yes-display-inline">ensure coordination and clarity between anti-money laundering, civil liberties, and privacy regulations;</text></paragraph> 
<paragraph id="H46F6C9666B54450BA31E359223D3806B"><enum>(4)</enum><text display-inline="yes-display-inline">contribute to the evaluation and regulation of new technologies that may strengthen data privacy and the protection of personally identifiable information collected by each Federal functional regulator; and</text></paragraph> <paragraph id="HB46737BD30DB416B8661A4B73A2D5660"><enum>(5)</enum><text display-inline="yes-display-inline">develop metrics of program success. </text></paragraph></subsection> 
<subsection id="H462D5E5BD8C54CBBBDA1A6E1478545D3"><enum>(c)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this section:</text> <paragraph id="H9310A1EC4CB54875A908005F2E766A90"><enum>(1)</enum><header>Bank Secrecy Act</header><text display-inline="yes-display-inline">The term <quote>Bank Secrecy Act</quote> has the meaning given that term under section 5312 of title 31, United States Code. </text></paragraph> 
<paragraph id="HD2726EFF01A148DB8E146A5F5C80CC16"><enum>(2)</enum><header>Federal functional regulator</header><text display-inline="yes-display-inline">The term <term>Federal functional regulator</term> means the Board of Governors of the Federal Reserve System, the Comptroller of the Currency, the Federal Deposit Insurance Corporation, the National Credit Union Administration, the Securities and Exchange Commission, and the Commodity Futures Trading Commission.</text></paragraph></subsection></section> <section id="H651DCA1A5E30432A9CFB29BB6629D370"><enum>104.</enum><header>Civil Liberties and Privacy Council</header> <subsection id="H2AEB37EB7F854F03BF463784170FD071"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">There is established the Civil Liberties and Privacy Council (hereinafter in this section referred to as the <quote>Council</quote>), which shall consist of the Civil Liberties and Privacy Officers appointed pursuant to section 103.</text></subsection> 
<subsection id="H4CAA8DBBB4894280A6B21001452D8AE8" commented="no"><enum>(b)</enum><header>Chair</header><text display-inline="yes-display-inline">The Director of the Financial Crimes Enforcement Network shall serve as the Chair of the Council.</text></subsection> <subsection id="H31B74938D05D4E2E9B4EBF7A60A5E423"><enum>(c)</enum><header>Duty</header><text display-inline="yes-display-inline">The members of the Council shall coordinate on activities related to their duties as Civil Liberties Privacy Officers, but may not supplant the individual agency determinations on civil liberties and privacy.</text></subsection> 
<subsection id="HA355F525654B4FB3B2E69B973015E4A0"><enum>(d)</enum><header>Meetings</header><text display-inline="yes-display-inline">The meetings of the Council—</text> <paragraph id="H81D77C97DFC4415EB6AF2FF8D3E1B532"><enum>(1)</enum><text>shall be at the call of the Chair, but in no case may the Council meet less than quarterly;</text></paragraph> 
<paragraph id="H57AE996D9F784BADAEF857DF6EB5C7A8"><enum>(2)</enum><text>may include open and partially closed sessions, as determined necessary by the Council; and</text></paragraph> <paragraph id="H5EED116FEE1D4FF19EF67DBA2214F174"><enum>(3)</enum><text>shall include participation by public and private entities and law enforcement agencies.</text></paragraph></subsection> 
<subsection id="H0C92692BC90E44ACA46A73D6559829CD"><enum>(e)</enum><header>Report</header><text display-inline="yes-display-inline">The Chair of the Council shall issue an annual report to the Congress on the program and policy activities, including the success of programs as measured by metrics of program success developed pursuant to section 103(b)(5), of the Council during the previous year and any legislative recommendations that the Council may have.</text></subsection> <subsection id="H021722C3E11B4E1CB3E6256401B63A56"><enum>(f)</enum><header>Nonapplicability of FACA</header><text display-inline="yes-display-inline">The Federal Advisory Committee Act (5 U.S.C. App.) shall not apply to the Council.</text></subsection></section>

<subsection id="H5B229C3D89714F69A7821C9BDA0CC890"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Secretary of the Treasury shall work with the Secretary’s foreign counterparts, including through the Financial Action Task Force, the International Monetary Fund, the World Bank, the Egmont Group of Financial Intelligence Units, the Organisation for Economic Co-operation and Development, and the United Nations, to promote stronger anti-money laundering frameworks and enforcement of anti-money laundering laws.</text></subsection> <subsection id="HE3E30F4D34A64F4F9930A78D4B492173"><enum>(b)</enum><header>Cooperation goal</header><text display-inline="yes-display-inline">In carrying out subsection (a), the Secretary of the Treasury may work directly with foreign counterparts and other organizations where the goal of cooperation can best be met.</text></subsection> 
<subsection id="HA1E16BFA539F445B8CE2F373CE61340A"><enum>(c)</enum><header>International Monetary Fund</header> 
<paragraph id="H5F545CC904DD4707B710662E442B57E6"><enum>(1)</enum><header>Support for capacity of the International Monetary Fund to prevent money laundering and financing of terrorism</header><text>Title XVI of the International Financial Institutions Act (<external-xref legal-doc="usc" parsable-cite="usc/22/262p">22 U.S.C. 262p</external-xref> et seq.) is amended by adding at the end the following:</text> <quoted-block id="HED4F43CDEB6946C5B760955A69959586" style="OLC"> <section id="H24C22ACEE63D48B7818D77CE23BCA1C1"><enum>1629.</enum><header>Support for capacity of the International Monetary Fund to prevent money laundering and financing of terrorism</header><text display-inline="no-display-inline">The Secretary of the Treasury shall instruct the United States Executive Director at the International Monetary Fund to support the increased use of the administrative budget of the Fund for technical assistance that strengthens the capacity of Fund members to prevent money laundering and the financing of terrorism.</text></section><after-quoted-block>.</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H6ED0F82A561E467C884FF62C6068D157"><enum>(2)</enum><header>National Advisory Council report to Congress</header><text>The Chairman of the National Advisory Council on International Monetary and Financial Policies shall include in the report required by section 1701 of the International Financial Institutions Act (<external-xref legal-doc="usc" parsable-cite="usc/22/262r">22 U.S.C. 262r</external-xref>) a description of—</text> <subparagraph id="H8BCEA653A4044B1EB13A0E7502339555"><enum>(A)</enum><text>the activities of the International Monetary Fund in the most recently completed fiscal year to provide technical assistance that strengthens the capacity of Fund members to prevent money laundering and the financing of terrorism, and the effectiveness of the assistance; and</text></subparagraph> 
<subparagraph id="H5EED603D0BF04AC38507EC17532A5FF7"><enum>(B)</enum><text>the efficacy of efforts by the United States to support such technical assistance through the use of the Fund’s administrative budget, and the level of such support.</text></subparagraph></paragraph> <paragraph id="H1F88E16AD1E44D899FEA4AB233CC6628"><enum>(3)</enum><header>Sunset</header><text display-inline="yes-display-inline">Effective on the date that is the end of the 4-year period beginning on the date of enactment of this Act, section 1629 of the International Financial Institutions Act, as added by paragraph (1), is repealed.</text></paragraph></subsection></section> 
<section id="HF72561E68B5C4404ADEC6CCFEA8AA400"><enum>106.</enum><header>Treasury Attachés Program</header> 
<subsection id="H80D7A433ADD54D618DCF95DB6D4A468C"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Title 31, United States Code, is amended by inserting after section 315 the following:</text> <quoted-block style="USC" id="H738EB7811AA448CA993ECF33AEA3B28D" display-inline="no-display-inline"> <section id="H2067E07E611B4C19A92D9A8445C3A1AC"><enum>316.</enum><header>Treasury Attachés Program</header> <subsection id="H3705FE0214B3461180CC8F9E80771D93"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">There is established the Treasury Attachés Program, under which the Secretary of the Treasury shall appoint employees of the Department of the Treasury, after nomination by the Director of the Financial Crimes Enforcement Network (<quote>FinCEN</quote>), as a Treasury attaché, who shall—</text> 
<paragraph id="H3283FAAB6EC84FCB957632C69243534D"><enum>(1)</enum><text display-inline="yes-display-inline">be knowledgeable about the Bank Secrecy Act and anti-money laundering issues;</text></paragraph> <paragraph id="H95A8D9ACCAE748BAB7A87FFCAA1E48BD"><enum>(2)</enum><text>be co-located in a United States embassy;</text></paragraph> 
<paragraph id="H26AD3768A2CA4A459FD980D46D7602FE"><enum>(3)</enum><text display-inline="yes-display-inline">perform outreach with respect to Bank Secrecy Act and anti-money laundering issues;</text></paragraph> <paragraph id="HAC8C5AB3B0034AA494CBF1E2A5842EF5"><enum>(4)</enum><text>establish and maintain relationships with foreign counterparts, including employees of ministries of finance, central banks, and other relevant official entities;</text></paragraph> 
<paragraph id="HBB388079890D41999C25116E5F689959"><enum>(5)</enum><text>conduct outreach to local and foreign financial institutions and other commercial actors, including—</text> <subparagraph id="H712229FB74244EABAEABD7384788CBA0"><enum>(A)</enum><text>information exchanges through FinCEN and FinCEN programs; and</text></subparagraph> 
<subparagraph id="H5BABBA045CA84D508B76B09A58CE0592"><enum>(B)</enum><text>soliciting buy-in and cooperation for the implementation of—</text> <clause id="H3A1DF5BD9D3D4769B3EB877CA8CDDA87"><enum>(i)</enum><text>United States and multilateral sanctions; and</text></clause> 
<clause id="H55E2E9DD9D044ED09146EBD1AF99FFE1"><enum>(ii)</enum><text>international standards on anti-money laundering and the countering of the financing of terrorism; and</text></clause></subparagraph></paragraph> <paragraph id="H34763750CFC947DA9D6EC1E87415C26D"><enum>(6)</enum><text>perform such other actions as the Secretary determines appropriate.</text></paragraph></subsection> 
<subsection id="H3AB4354E05324549986ECBF27862D9B3"><enum>(b)</enum><header>Number of attachés</header><text display-inline="yes-display-inline">The number of Treasury attachés appointed under this section at any one time shall be not fewer than 6 more employees than the number of employees of the Department of the Treasury serving as Treasury attachés on March 1, 2019.</text></subsection> <subsection id="H937C7E817F4B47E3A02E86C4F57AEEE1"><enum>(c)</enum><header>Compensation</header><text display-inline="yes-display-inline">Each Treasury attaché appointed under this section and located at a United States embassy shall receive compensation at the higher of—</text> 
<paragraph id="H3A6E7657E32F435398D43FEF7853D1AE"><enum>(1)</enum><text display-inline="yes-display-inline">the rate of compensation provided to a Foreign Service officer at a comparable career level serving at the same embassy; or</text></paragraph> <paragraph id="H751D8DB7A38947BF8FA7C2D46A6D78C3"><enum>(2)</enum><text display-inline="yes-display-inline">the rate of compensation the Treasury attaché would otherwise have received, absent the application of this subsection.</text></paragraph></subsection> 
<subsection id="H70B25274F5584F6694E3A060F5C56998"><enum>(d)</enum><header>Bank Secrecy Act defined</header><text display-inline="yes-display-inline">In this section, the term <term>Bank Secrecy Act</term> has the meaning given that term under section 5312.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="HA9B3D1F4EC2B4F10985B2E032B07E090"><enum>(b)</enum><header>Clerical amendment</header><text>The table of contents for <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/3">chapter 3</external-xref> of title 31, United States Code, is amended by inserting after the item relating to <external-xref legal-doc="usc" parsable-cite="usc/31/315">section 315</external-xref> the following:</text>

<subsection id="H48041D0630D04656BA07BD7A6D6FE9A7"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">There is authorized to be appropriated for each of fiscal years 2020 through 2024 to the Secretary of the Treasury for purposes of providing technical assistance that promotes compliance with international standards and best practices, including in particular those aimed at the establishment of effective anti-money laundering and countering the financing of terrorism regimes, in an amount equal to twice the amount authorized for such purpose for fiscal year 2019.</text></subsection> <subsection id="HE61D74031BEA412D87CDCD60E3DA7644"><enum>(b)</enum><header>Activity and evaluation report</header><text display-inline="yes-display-inline">Not later than 360 days after enactment of this Act, and every year thereafter for five years, the Secretary of the Treasury shall issue a report to the Congress on the assistance (as described under subsection (a)) of the Office of Technical Assistance of the Department of the Treasury containing—</text> 
<paragraph id="H380A635A6CD144E7977038AD3E818627"><enum>(1)</enum><text>a narrative detailing the strategic goals of the Office in the previous year, with an explanation of how technical assistance provided in the previous year advances the goals;</text></paragraph> <paragraph id="H6D9B7928638C4DCAB353C11A508EB95A"><enum>(2)</enum><text>a description of technical assistance provided by the Office in the previous year, including the objectives and delivery methods of the assistance;</text></paragraph> 
<paragraph id="H337C0E6E9E7E46A39908AFAFD2A28D3A"><enum>(3)</enum><text>a list of beneficiaries and providers (other than Office staff) of the technical assistance;</text></paragraph> <paragraph id="HC3BC785A2EA94E3AB719FC90B7F41D15"><enum>(4)</enum><text>a description of how technical assistance provided by the Office complements, duplicates, or otherwise affects or is affected by technical assistance provided by the international financial institutions (as defined under section 1701(c) of the International Financial Institutions Act); and</text></paragraph> 
<paragraph id="H10EC43ACBDAC4F48B17F36FD739DC318"><enum>(5)</enum><text>a copy of any Federal Government survey of staff perspectives at the Office of Technical Assistance, including any findings regarding the Office from the most recently administered Federal Employee Viewpoint Survey.</text></paragraph></subsection></section> <section id="H3853EB006C2F4BDE88E1D4180200959C"><enum>108.</enum><header>FinCEN Domestic Liaisons</header><text display-inline="no-display-inline">Section 310 of title 31, United States Code, as amended by section 102, is further amended by inserting after subsection (d) the following:</text>

<subsection id="H4665FC36572A41A1A7769A3871462CB2"><enum>(e)</enum><header>FinCEN Domestic Liaisons</header> 
<paragraph id="H84E53FBFF62E41BE997827DA87BA5554"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Director of FinCEN shall appoint at least 6 senior FinCEN employees as FinCEN Domestic Liaisons, who shall—</text> <subparagraph id="HE5A8B222BF3E4B9AAA79BE696A2E90BD"><enum>(A)</enum><text display-inline="yes-display-inline">each be assigned to focus on a specific region of the United States;</text></subparagraph> 
<subparagraph id="H7D7E7DA8251645E68F7754384FF9C2AF"><enum>(B)</enum><text>be located at an office in such region (or co-located at an office of the Board of Governors of the Federal Reserve System in such region); and</text></subparagraph> <subparagraph id="H0BB3C2377BB74B74BAD5BCD2140F40F5"><enum>(C)</enum><text display-inline="yes-display-inline">perform outreach to BSA officers at financial institutions (including non-bank financial institutions) and persons who are not financial institutions, especially with respect to actions taken by FinCEN that require specific actions by, or have specific effects on, such institutions or persons, as determined by the Director.</text></subparagraph></paragraph> 
<paragraph id="H522ADDDF581C4A6E8C05BA0AA4791079"><enum>(2)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this subsection:</text> <subparagraph id="HFB50733BE1554205BC8AD111F7E559F1"><enum>(A)</enum><header>BSA officer</header><text>The term <quote>BSA officer</quote> means an employee of a financial institution whose primary job responsibility involves compliance with the Bank Secrecy Act, as such term is defined under section 5312.</text></subparagraph> 
<subparagraph id="HC131B77E1456424A9D8A0D67172F5B72"><enum>(B)</enum><header>Financial institution</header><text>The term <term>financial institution</term> has the meaning given that term under section 5312.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section> <section id="H2798682EE2B8435DAF07134C071AB4A0"><enum>109.</enum><header>FinCEN Exchange</header><text display-inline="no-display-inline">Section 310 of title 31, United States Code, as amended by section 108, is further amended by inserting after subsection (e) the following:</text>

<subsection id="H0705E5D198104944A7AC8F1BA5116BC7"><enum>(f)</enum><header>FinCEN Exchange</header> 
<paragraph id="HAB6044517C164B21AE054CC04B004862"><enum>(1)</enum><header>Establishment</header><text>The FinCEN Exchange is hereby established within FinCEN, which shall consist of the FinCEN Exchange program of FinCEN in existence on the day before the date of enactment of this paragraph.</text></paragraph> <paragraph id="HEDF2ACCB18744A9DB1C9EA8BD2681C5B"><enum>(2)</enum><header>Purpose</header><text display-inline="yes-display-inline">The FinCEN Exchange shall facilitate a voluntary public-private information sharing partnership among law enforcement, financial institutions, and FinCEN to—</text> 
<subparagraph id="H1BD0003908DE436A95EC652EC37BE1F1"><enum>(A)</enum><text>effectively and efficiently combat money laundering, terrorism financing, organized crime, and other financial crimes;</text></subparagraph> <subparagraph id="H16243C9CC5FB45E985C0778C61C904F2"><enum>(B)</enum><text>protect the financial system from illicit use; and</text></subparagraph> 
<subparagraph id="H1131DEB1B5B2461C91C32E0A377DFB67"><enum>(C)</enum><text>promote national security.</text></subparagraph></paragraph> <paragraph id="H91363334214440A8B4AD8489064D5497"><enum>(3)</enum><header>Report</header> <subparagraph id="HD03F135F04B64982B1927E9594323549"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than one year after the date of enactment of this subsection, and annually thereafter for the next five years, the Secretary of the Treasury shall submit to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate a report containing—</text> 
<clause id="H70E5FAAAA5C14475AB08B75D4CBBDA8A"><enum>(i)</enum><text>an analysis of the efforts undertaken by the FinCEN Exchange and the results of such efforts;</text></clause> <clause id="H69C37BB5348A421EA74D60A830EADA9F"><enum>(ii)</enum><text>an analysis of the extent and effectiveness of the FinCEN Exchange, including any benefits realized by law enforcement from partnership with financial institutions; and</text></clause> 
<clause id="HED90197AC98547C090313F2528AAD150"><enum>(iii)</enum><text>any legislative, administrative, or other recommendations the Secretary may have to strengthen FinCEN Exchange efforts.</text></clause></subparagraph> <subparagraph id="HCBAF70B5F25F41569F5A8D7F3EF9DD21"><enum>(B)</enum><header>Classified annex</header><text>Each report under subparagraph (A) may include a classified annex.</text></subparagraph></paragraph> 
<paragraph id="H0B7A319DF0FB432D8C836543D539EA37"><enum>(4)</enum><header>Information sharing requirement</header><text>Information shared pursuant to this subsection shall be shared in compliance with all other applicable Federal laws and regulations.</text></paragraph> <paragraph id="HF415806A317A4A029A86A066AB6B5A7C"><enum>(5)</enum><header>Rule of construction</header><text display-inline="yes-display-inline">Nothing under this subsection may be construed to create new information sharing authorities related to the Bank Secrecy Act (as such term is defined under section 5312 of title 31, United States Code). </text></paragraph> 
<paragraph id="H3AD0B680C4344D91927D02D7E9B2F05E"><enum>(6)</enum><header>Financial institution defined</header><text>In this subsection, the term <quote>financial institution</quote> has the meaning given that term under section 5312. </text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section> <section id="H6BBEE578B9E8413B826B11105BCF1A49"><enum>110.</enum><header>Study and strategy on trade-based money laundering</header> <subsection id="HD37D56636F654A358A4AEA0D452B7CC9"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Secretary of the Treasury shall carry out a study, in consultation with appropriate private sector stakeholders and Federal departments and agencies, on trade-based money laundering.</text></subsection> 
<subsection id="H8BC34CA07CAC464F9E4394569CEF77C9"><enum>(b)</enum><header>Report</header><text>Not later than the end of the 1-year period beginning on the date of the enactment of this Act, the Secretary shall issue a report to the Congress containing—</text> <paragraph id="HCEB5CC79F0E3486596B43A0786C931F9"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text></paragraph> 
<paragraph id="H8B84C77C640F43A084E622A97E0C28F1"><enum>(2)</enum><text display-inline="yes-display-inline">proposed strategies to combat trade-based money laundering.</text></paragraph></subsection> <subsection id="H63E096005ADA46379BD6846E62DAF4BD"><enum>(c)</enum><header>Classified annex</header><text display-inline="yes-display-inline">The report required under this section may include a classified annex.</text></subsection> 
<subsection id="H1C617B2E57A5438BA42983EEDA1226E6"><enum>(d)</enum><header>Contracting authority</header><text display-inline="yes-display-inline">The Secretary may contract with a private third-party to carry out the study required under this section. The authority of the Secretary to enter into contracts under this subsection shall be in effect for each fiscal year only to the extent and in the amounts as are provided in advance in appropriations Acts.</text></subsection></section> <section id="HDED406BBE84A4B66A10371D1DBD72AF4"><enum>111.</enum><header>Study and strategy on de-risking</header> <subsection id="HBD89BC1D784F44FCBEA72AA930E72475"><enum>(a)</enum><header>Review</header><text display-inline="yes-display-inline">The Secretary of the Treasury, in consultation with appropriate private sector stakeholders, examiners, and the Federal functional regulators (as defined under section 103) and other relevant stakeholders, shall undertake a formal review of—</text> 
<paragraph id="HA7C04D2E03A249AB8B9606FC6DEB2CC2"><enum>(1)</enum><text>any adverse consequences of financial institutions de-risking entire categories of relationships, including charities, embassy accounts, money services businesses (as defined under section 1010.100(ff) of title 31, Code of Federal Regulations) and their agents, countries, international and domestic regions, and respondent banks;</text></paragraph> <paragraph id="H89079E29448E49B894B5A38A1C3DE16C"><enum>(2)</enum><text>the reasons why financial institutions are engaging in de-risking;</text></paragraph> 
<paragraph id="HA3EB2EDA82D248EE92161E84082D5EE6"><enum>(3)</enum><text>the association with and effects of de-risking on money laundering and financial crime actors and activities;</text></paragraph> <paragraph id="H7963581935524A83823EA81B71B023EC"><enum>(4)</enum><text display-inline="yes-display-inline">the most appropriate ways to promote financial inclusion, particularly with respect to developing countries, while maintaining compliance with the Bank Secrecy Act, including an assessment of policy options to—</text> 
<subparagraph id="H64DDF5E40BB14C049C1B685CD8E97CCF"><enum>(A)</enum><text>more effectively tailor Federal actions and penalties to the size of foreign financial institutions and any capacity limitations of foreign governments; and</text></subparagraph> <subparagraph id="HAEC102B159274755B0CEF0C2C3C62DF5"><enum>(B)</enum><text>reduce compliance costs that may lead to the adverse consequences described in paragraph (1);</text></subparagraph></paragraph> 
<paragraph id="H73E905911A2D4E3E8E76EF5E61CA783A"><enum>(5)</enum><text display-inline="yes-display-inline">formal and informal feedback provided by examiners that may have led to de-risking;</text></paragraph> <paragraph id="H00DCD39A811D4B0A8C12304C4FE29B97"><enum>(6)</enum><text>the relationship between resources dedicated to compliance and overall sophistication of compliance efforts at entities that may be experiencing de-risking versus those that have not experienced de-risking; and</text></paragraph> 
<paragraph id="HBE147FEDCEEB4AB6B0ADFC0E9212B69C"><enum>(7)</enum><text>any best practices from the private sector that facilitate correspondent bank relationships.</text></paragraph></subsection> <subsection id="H0D49E561A16B43549AF459ED641B197C"><enum>(b)</enum><header>De-risking strategy</header><text display-inline="yes-display-inline">The Secretary shall develop a strategy to reduce de-risking and adverse consequences related to de-risking.</text></subsection> 
<subsection id="H645D1405E66A4A4A9C64D60D755FDD2C"><enum>(c)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than the end of the 1-year period beginning on the date of the enactment of this Act, the Secretary, in consultation with the Federal functional regulators and other relevant stakeholders, shall issue a report to the Congress containing—</text> <paragraph id="HD2259F22554B43818AA766DD93164060"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text></paragraph> 
<paragraph id="H205BCF50F7994DBBAADFEA091CF37CD0"><enum>(2)</enum><text>the strategy developed pursuant to subsection (b).</text></paragraph></subsection> <subsection id="H03E82EE0AEA24796AC1CF2D7E2F49CE9"><enum>(d)</enum><header>Definitions</header><text>In this section:</text> 
<paragraph id="HCA12D3C0F1384998856FF5429E6B6B4F"><enum>(1)</enum><header>De-risking</header><text display-inline="yes-display-inline">The term <term>de-risking</term> means the wholesale closing of accounts or limiting of financial services for a category of customer due to unsubstantiated risk as it relates to compliance with the Bank Secrecy Act. </text></paragraph> <paragraph id="HE8815439F5B742BEA5D7BA9971564C38"><enum>(2)</enum><header>BSA terms</header><text>The terms <term>Bank Secrecy Act</term> and <term>financial institution</term> have the meaning given those terms, respectively, under section 5312 off title 31, United States Code.</text></paragraph></subsection></section> 
<section id="H9C4C44145CA147999101876CE05A1E9F"><enum>112.</enum><header>AML examination authority delegation study</header> 
<subsection id="H44D7B79EF8E84BD286B6826525EFB67F"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Secretary of the Treasury shall carry out a study on the Secretary’s delegation of examination authority under the Bank Secrecy Act, including—</text> <paragraph id="H158C6A84A78F4505ACCD2298DF4C56A1"><enum>(1)</enum><text>an evaluation of the efficacy of the delegation, especially with respect to the mission of the Bank Secrecy Act;</text></paragraph> 
<paragraph id="H9E107E3007EE470D9B7A5679BB6EA5C0"><enum>(2)</enum><text>whether the delegated agencies have appropriate resources to perform their delegated responsibilities; and</text></paragraph> <paragraph id="HC19B599267EA46CBAC44E1DCF72CB15E"><enum>(3)</enum><text>whether the examiners in delegated agencies have sufficient training and support to perform their responsibilities.</text></paragraph></subsection> 
<subsection id="HD64B7C51C0214179B59161FD124E7473"><enum>(b)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than one year after the date of enactment of this Act, the Secretary of the Treasury shall submit to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate a report containing—</text> <paragraph id="HC47D2C5676B641D7B2E98D57525B30EE"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text></paragraph> 
<paragraph id="H95545FF1B3824241B95AD9A8E5C5462B"><enum>(2)</enum><text> recommendations to improve the efficacy of delegation authority, including the potential for de-delegation of any or all such authority where it may be appropriate.</text></paragraph></subsection> <subsection id="H3DEA61A004FE4D448EEBB2CF6D38734A"><enum>(c)</enum><header>Bank Secrecy Act defined</header><text>The term <term>Bank Secrecy Act</term> has the meaning given that term under section 5312 off title 31, United States Code.</text></subsection></section> 
<section id="H7BE2A4C8AC204B52A6D319B0984B983E"><enum>113.</enum><header>Study and strategy on Chinese money laundering</header> 
<subsection id="HFACA6860881C40969DC9D09E453F0718"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Secretary of the Treasury shall carry out a study on the extent and effect of Chinese money laundering activities in the United States, including territories and possessions of the United States, and worldwide.</text></subsection> <subsection id="HE9DB15E33D1D440D88A997E6E7987D04"><enum>(b)</enum><header>Strategy to combat Chinese money laundering</header><text display-inline="yes-display-inline">Upon the completion of the study required under subsection (a), the Secretary shall, in consultation with such other Federal departments and agencies as the Secretary determines appropriate, develop a strategy to combat Chinese money laundering activities.</text></subsection> 
<subsection id="H53347A9DC84A4CD593BBF6D0697F9E8E"><enum>(c)</enum><header>Report</header><text>Not later than the end of the 1-year period beginning on the date of enactment of this Act, the Secretary of the Treasury shall issue a report to Congress containing—</text> <paragraph id="H43D44E772D1C42828A14854399C0E497"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text></paragraph> 
<paragraph id="HADB1995C75D7404B85B400CECA5AF883"><enum>(2)</enum><text>the strategy developed under subsection (b).</text></paragraph></subsection></section></title> <title id="H7A0C27F2851740B7BEDC4FF755C1CD55"><enum>II</enum><header>Improving AML/CFT Oversight</header> <section id="H7A126168E1FB4114A48022FB4408FD37"><enum>201.</enum><header>Pilot program on sharing of suspicious activity reports within a financial group</header> <subsection id="H3F96F6D8688A4590858E4446B56F2E0B"><enum>(a)</enum><header>In general</header> <paragraph id="H121FA914A99F4E59977092677C023095"><enum>(1)</enum><header>Sharing with foreign branches and affiliates</header><text>Section 5318(g) of title 31, United States Code, is amended by adding at the end the following:</text> 
<quoted-block display-inline="no-display-inline" id="H08F5644F9C95436F83E85AACF670FEAC" style="USC"> 
<paragraph id="H5CC0527BE2CA46A0AD85459692C46ABE"><enum>(5)</enum><header>Pilot program on sharing with foreign branches, subsidiaries, and affiliates</header> 
<subparagraph id="H47B5F35B26F3493BB6841410CD36B25A"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The Secretary of the Treasury shall issue rules establishing the pilot program described under subparagraph (B), subject to such controls and restrictions as the Director of the Financial Crimes Enforcement Network determines appropriate, including controls and restrictions regarding participation by financial institutions and jurisdictions in the pilot program. In prescribing such rules, the Secretary shall ensure that the sharing of information described under such subparagraph (B) is subject to appropriate standards and requirements regarding data security and the confidentiality of personally identifiable information.</text></subparagraph> <subparagraph id="H4AB25F6899574F65B761E9CDCA86DDF6"><enum>(B)</enum><header>Pilot program described</header><text>The pilot program required under this paragraph shall—</text> 
<clause id="HB1C2CD2D9B1047A1AADBA196F7476FC2"><enum>(i)</enum><text display-inline="yes-display-inline">permit a financial institution with a reporting obligation under this subsection to share reports (and information on such reports) under this subsection with the institution’s foreign branches, subsidiaries, and affiliates for the purpose of combating illicit finance risks, notwithstanding any other provision of law except subparagraphs (A) and (C);</text></clause> <clause id="HECCC4CEDFEF04DEF994B5FCB9B2F38B6"><enum>(ii)</enum><text display-inline="yes-display-inline">terminate on the date that is five years after the date of enactment of this paragraph, except that the Secretary may extend the pilot program for up to two years upon submitting a report to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate that includes—</text> 
<subclause id="HD1AC9883720648EDB710A9BCA423308A"><enum>(I)</enum><text>a certification that the extension is in the national interest of the United States, with a detailed explanation of the reasons therefor;</text></subclause> <subclause id="H51C2B8918E0C4C339052CEBF5281A327"><enum>(II)</enum><text>an evaluation of the usefulness of the pilot program, including a detailed analysis of any illicit activity identified or prevented as a result of the program; and</text></subclause> 
<subclause id="HD3DA25D40F9549D5B80A16F27CAA65B0"><enum>(III)</enum><text>a detailed legislative proposal providing for a long-term extension of the pilot program activities, including expected budgetary resources for the activities, if the Secretary determines that a long-term extension is appropriate. </text></subclause></clause></subparagraph> <subparagraph id="H8DA07C0072B44AA381DA538FF39D3927"><enum>(C)</enum><header>Prohibition involving certain jurisdictions</header><text display-inline="yes-display-inline">In issuing the regulations required under subparagraph (A), the Secretary may not permit a financial institution to share information on reports under this subsection with a foreign branch, subsidiary, or affiliate located in—</text> 
<clause id="H6C77948836034674946C0BADF18BE8DD"><enum>(i)</enum><text>the People’s Republic of China;</text></clause> <clause id="HC7D41C02651245DE9C41FC80345EC3D4"><enum>(ii)</enum><text>the Russian Federation; or</text></clause> 
<clause id="H7C8D262A2693448EA0003487E56A06ED"><enum>(iii)</enum><text>a jurisdiction that—</text> <subclause id="HBB612CCE3BE349429954B55F5953711F"><enum>(I)</enum><text display-inline="yes-display-inline">is subject to countermeasures imposed by the Federal Government;</text></subclause> 
<subclause id="HB4C64A52780242FD94FB89A85A1A6FE2"><enum>(II)</enum><text>is a state sponsor of terrorism; or</text></subclause> <subclause id="H25119CEAAEE3431FA8276433DB875BFC"><enum>(III)</enum><text display-inline="yes-display-inline">the Secretary has determined cannot reasonably protect the privacy and confidentiality of such information or would otherwise use such information in a manner that is not consistent with the national interest of the United States.</text></subclause></clause></subparagraph> 
<subparagraph id="HBAE61A827A5C4FD2900056BB0C6B8352"><enum>(D)</enum><header>Implementation updates</header><text display-inline="yes-display-inline">Not later than 360 days after the date rules are issued under subparagraph (A), and annually thereafter for three years, the Secretary, or the Secretary’s designee, shall brief the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate on—</text> <clause id="H0C049D0A8BF14886B54F28BC32A1D14B"><enum>(i)</enum><text>the degree of any information sharing permitted under the pilot program, and a description of criteria used by the Secretary to evaluate the appropriateness of the information sharing;</text></clause> 
<clause id="HB370BA597500464B9766A95D1C17F54D"><enum>(ii)</enum><text>the effectiveness of the pilot program in identifying or preventing the violation of a United States law or regulation, and mechanisms that may improve such effectiveness; and</text></clause> <clause id="H62CB5A6EB44B4F8589584CB23B629A74"><enum>(iii)</enum><text>any recommendations to amend the design of the pilot program.</text></clause></subparagraph> 
<subparagraph id="HDD2BEBAB5BD04CFE88E90F541A1D1146"><enum>(E)</enum><header>Rule of construction</header><text display-inline="yes-display-inline">Nothing in this paragraph shall be construed as limiting the Secretary’s authority under provisions of law other than this paragraph to establish other permissible purposes or methods for a financial institution sharing reports (and information on such reports) under this subsection with the institution’s foreign headquarters or with other branches of the same institution.</text></subparagraph> <subparagraph id="H5F0E891BE37E4350AB03A1E4AA9056B7"><enum>(F)</enum><header>Notice of use of other authority</header><text display-inline="yes-display-inline">If the Secretary, pursuant to any authority other than that provided under this paragraph, permits a financial institution to share information on reports under this subsection with a foreign branch, subsidiary, or affiliate located in a foreign jurisdiction, the Secretary shall notify the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of such permission and the applicable foreign jurisdiction.</text></subparagraph></paragraph> 
<paragraph id="H12F875CA099D4F5481712D47C52B700B"><enum>(6)</enum><header>Treatment of foreign jurisdiction-originated reports</header><text display-inline="yes-display-inline">A report received by a financial institution from a foreign affiliate with respect to a suspicious transaction relevant to a possible violation of law or regulation shall be subject to the same confidentiality requirements provided under this subsection for a report of a suspicious transaction described under paragraph (1).</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph> <paragraph id="H17593B2BDD7249A99910AED8B8036E3B"><enum>(2)</enum><header>Notification prohibitions</header><text>Section 5318(g)(2)(A) of title 31, United States Code, is amended—</text> 
<subparagraph id="HE32CFDAD73C54519BA4B7977A52DE410"><enum>(A)</enum><text>in clause (i), by inserting after <quote>transaction has been reported</quote> the following: <quote>or otherwise reveal any information that would reveal that the transaction has been reported</quote>; and</text></subparagraph> <subparagraph id="HC0B01707891144D0B022116413D0E375"><enum>(B)</enum><text>in clause (ii), by inserting after <quote>transaction has been reported,</quote> the following: <quote>or otherwise reveal any information that would reveal that the transaction has been reported,</quote>.</text></subparagraph></paragraph></subsection> 
<subsection id="H4C86FBDF39464318878B9ABCEEF43D95"><enum>(b)</enum><header>Rulemaking</header><text display-inline="yes-display-inline">Not later than the end of the 360-day period beginning on the date of enactment of this Act, the Secretary of the Treasury shall issue regulations to carry out the amendments made by this section.</text></subsection></section> <section id="HAD979BA30E2B4744B9AFD720EB293311"><enum>202.</enum><header>Sharing of compliance resources</header> <subsection id="H55518AD75EEF44E1AF427438E55A5643"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 5318 of title 31, United States Code, is amended by adding at the end the following:</text>

<paragraph id="HE7064C943F3F4E4C889D07963ABD3FBF"><enum>(1)</enum><header>Sharing permitted</header><text display-inline="yes-display-inline">Two or more financial institutions may enter into collaborative arrangements in order to more efficiently comply with the requirements of this subchapter.</text></paragraph> <paragraph id="HC7CE88C3E5F64DDCAC5F3C310F0ECC0E"><enum>(2)</enum><header>Outreach</header><text>The Secretary of the Treasury and the appropriate supervising agencies shall carry out an outreach program to provide financial institutions with information, including best practices, with respect to the sharing of resources described under paragraph (1).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H5ED70F0633BE43A0956B332B24284FF7"><enum>(b)</enum><header>Rule of construction</header><text>The amendment made by subsection (a) may not be construed to require financial institutions to share resources.</text></subsection></section> <section id="H4F43B2B96F8941BDA0FF96B686C2A233" commented="no"><enum>203.</enum><header>GAO Study on feedback loops</header> <subsection id="HF5DCBECAD9444FDCAAAAD8E265FB6C53" commented="no"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Comptroller General of the United States shall carry out a study on—</text> 
<paragraph id="HCF6BE2B04C0F44D1B3EC3261E627DA1B"><enum>(1)</enum><text display-inline="yes-display-inline">best practices within the United States Government for providing feedback (<quote>feedback loop</quote>) to relevant parties (including regulated private entities) on the usage and usefulness of personally identifiable information (<quote>PII</quote>), sensitive-but-unclassified (<quote>SBU</quote>) data, or similar information provided by such parties to Government users of such information and data (including law enforcement or regulators); and</text></paragraph> <paragraph id="H1D154510ACAF4FECBECCB9032B5121EA"><enum>(2)</enum><text>any practices or standards inside or outside the United States for providing feedback through sensitive information and public-private partnership information sharing efforts, specifically related to efforts to combat money laundering and other forms of illicit finance.</text></paragraph></subsection> 
<subsection id="H4E4803479FEB46DD912952C096482D9D" commented="no"><enum>(b)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than the end of the 18-month period beginning on the date of the enactment of this Act, the Comptroller General shall issue a report to the Committee on Banking, Housing, and Urban Affairs of the Senate and the Committee on Financial Services of the House of Representatives containing—</text> <paragraph id="H0DE67F929BB843108DD87BFBA2B24586" commented="no"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a);</text></paragraph> 
<paragraph id="H3CF24D60C9C74FE7B35092AB6AC2CC38" commented="no"><enum>(2)</enum><text display-inline="yes-display-inline">with respect to each of paragraphs (1) and (2) of subsection (a), any best practices or significant concerns identified by the Comptroller General, and their applicability to public-private partnerships and feedback loops with respect to U.S. efforts to combat money laundering and other forms of illicit finance; and</text></paragraph> <paragraph id="HD0379713AEAD4918A520B3C7BE104F92"><enum>(3)</enum><text display-inline="yes-display-inline">recommendations to reduce or eliminate any unnecessary Government collection of the information described under subsection (a)(1).</text></paragraph></subsection></section> 
<section id="H921C80F8EC914C309930663AB1BBC48E"><enum>204.</enum><header>FinCEN study on BSA value</header> 
<subsection id="H76D0D3DF5A4146BA9AF627667BA75543"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Director of the Financial Crimes Enforcement Network shall carry out a study on Bank Secrecy Act value.</text></subsection> <subsection id="H369FCE8715464B45A266FCC2F11ADC9D"><enum>(b)</enum><header>Report</header><text>Not later than the end of the 30-day period beginning on the date the study under subsection (a) is completed, the Director shall issue a report to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate containing all findings and determinations made in carrying out the study required under this section.</text></subsection> 
<subsection id="H211AA296B7FA48C9AF6E8816E29F654A" display-inline="no-display-inline"><enum>(c)</enum><header>Classified annex</header><text display-inline="yes-display-inline">The report required under this section may include a classified annex, if the Director determines it appropriate.</text></subsection> <subsection id="H4868AB568B764EFAB4C83EFD2E8CF367"><enum>(d)</enum><header>Bank Secrecy Act defined</header><text>For purposes of this section, the term <term>Bank Secrecy Act</term> has the meaning given that term under section 5312 of title 31, United States Code.</text></subsection></section> 
<section id="H812D4E5C448F41FEB31573A9854BCA36"><enum>205.</enum><header>Sharing of threat pattern and trend information</header><text display-inline="no-display-inline">Section 5318(g) of title 31, United States Code, as amended by section 201(a)(1), is further amended by adding at the end the following:</text> <quoted-block style="OLC" id="HAD5D44B7DDC948669A3902564FB2013E" display-inline="no-display-inline"> <paragraph id="H454C18EEC1204918B4DFEA78455144F0"><enum>(7)</enum><header>Sharing of threat pattern and trend information</header> <subparagraph id="HF752B2A79690425CB262495D29FE5B36"><enum>(A)</enum><header>SAR Activity Review</header><text display-inline="yes-display-inline">The Director of the Financial Crimes Enforcement Network shall restart publication of the <quote>SAR Activity Review – Trends, Tips &amp; Issues</quote>, on not less than a semi-annual basis, to provide meaningful information about the preparation, use, and value of reports filed under this subsection by financial institutions, as well as other reports filed by financial institutions under the Bank Secrecy Act.</text></subparagraph> 
<subparagraph id="H673372166ED34249BB22E6A9A2E96895"><enum>(B)</enum><header>Inclusion of typologies</header><text display-inline="yes-display-inline">In each publication described under subparagraph (A), the Director shall provide financial institutions with typologies, including data that can be adapted in algorithms (including for artificial intelligence and machine learning programs) where appropriate, on emerging money laundering and counter terror financing threat patterns and trends.</text></subparagraph> <subparagraph id="H918AA15A0F3A4E25AE5B6FA0C620229B"><enum>(C)</enum><header>Typology defined</header><text display-inline="yes-display-inline">For purposes of this paragraph, the term <quote>typology</quote> means the various techniques used to launder money or finance terrorism.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section> 
<section id="H2AD7E081FA7843FCA509E2065931F62C"><enum>206.</enum><header>Modernization and upgrading whistleblower protections<editorial></editorial></header> 
<subsection id="HCAF11CA6FE074EA88FA39923A7E294EA"><enum>(a)</enum><header>Rewards</header><text display-inline="yes-display-inline">Section 5323(d) of title 31, United States Code, is amended to read as follows:</text> <quoted-block display-inline="no-display-inline" id="H8D97D0B59D2640FFB46017A779D4D823" style="USC"> <subsection commented="no" id="HA102397BAB014EDA89336084B265B483"><enum>(d)</enum><header>Source of rewards</header><text display-inline="yes-display-inline">For the purposes of paying a reward under this section, the Secretary may, subject to amounts made available in advance by appropriation Acts, use criminal fine, civil penalty, or forfeiture amounts recovered based on the original information with respect to which the reward is being paid.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection>

<subsection id="H809FDD9394984AD19CA1A3C631C9FB8D"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this section:</text> <paragraph id="H50B4424EC7194363B9CFB8DD947717FB"><enum>(1)</enum><header>Covered judicial or administrative action</header><text>The term <term>covered judicial or administrative action</term> means any judicial or administrative action brought by FinCEN under the Bank Secrecy Act that results in monetary sanctions exceeding $1,000,000.</text></paragraph> 
<paragraph id="HB0A8CC6790A540E9BDB4AE77B3430B14"><enum>(2)</enum><header>FinCEN</header><text>The term <term>FinCEN</term> means the Financial Crimes Enforcement Network.</text></paragraph> <paragraph id="H963E3C70B4894AC886A91FE02D859DB7"><enum>(3)</enum><header>Monetary sanctions</header><text>The term <term>monetary sanctions</term>, when used with respect to any judicial or administrative action, means—</text> 
<subparagraph id="H3B75A72A91BD4219BE1967944F639309"><enum>(A)</enum><text>any monies, including penalties, disgorgement, and interest, ordered to be paid; and</text></subparagraph> <subparagraph id="H33798A89707D4A3FA32A2EA664E56790"><enum>(B)</enum><text>any monies deposited into a disgorgement fund as a result of such action or any settlement of such action.</text></subparagraph></paragraph> 
<paragraph id="H9DBD2926635C4BEABF3F4235DFFD90CC"><enum>(4)</enum><header>Original information</header><text>The term <term>original information</term> means information that—</text> <subparagraph id="H47AB40777D294E7F93B2414EDB74B1D4"><enum>(A)</enum><text>is derived from the independent knowledge or analysis of a whistleblower;</text></subparagraph> 
<subparagraph id="HAC74728510E44851ADE6C020BAFBA44E"><enum>(B)</enum><text>is not known to FinCEN from any other source, unless the whistleblower is the original source of the information; and</text></subparagraph> <subparagraph id="H3608851943A444E6841B2F0EAD55823E"><enum>(C)</enum><text>is not exclusively derived from an allegation made in a judicial or administrative hearing, in a governmental report, hearing, audit, or investigation, or from the news media, unless the whistleblower is a source of the information.</text></subparagraph></paragraph> 
<paragraph id="HCE310A0C6802480B8A6B53460227E8AA"><enum>(5)</enum><header>Related action</header><text>The term <term>related action</term>, when used with respect to any judicial or administrative action brought by FinCEN, means any judicial or administrative action that is based upon original information provided by a whistleblower that led to the successful enforcement of the action.</text></paragraph> <paragraph id="H78F8D33608BA456EA011DED1C0C9A112"><enum>(6)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of the Treasury.</text></paragraph> 
<paragraph id="H002B8BCB4EA24AE0A8A53E55C1F83E69"><enum>(7)</enum><header>Whistleblower</header><text>The term <term>whistleblower</term> means any individual who provides, or 2 or more individuals acting jointly who provide, information relating to a violation of laws enforced by FinCEN, in a manner established, by rule or regulation, by FinCEN.</text></paragraph></subsection> <subsection id="H558ED0E9C2F64696A28D87CCAFCB5FFA"><enum>(b)</enum><header>Awards</header> <paragraph id="H9BFF4671CA524A4AA642C39018B1D4D6"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">In any covered judicial or administrative action, or related action, the Secretary, under such rules as the Secretary may issue and subject to subsection (c), shall pay an award or awards to 1 or more whistleblowers who voluntarily provided original information to FinCEN that led to the successful enforcement of the covered judicial or administrative action, or related action, in an aggregate amount equal to not more than 30 percent, in total, of what has been collected of the monetary sanctions imposed in the action.</text></paragraph> 
<paragraph id="H8AE78125D1F8475AB55D7761D2D9DF7C"><enum>(2)</enum><header>Source of awards</header><text display-inline="yes-display-inline">For the purposes of paying any award under paragraph (1), the Secretary may, subject to amounts made available in advance by appropriation Acts, use monetary sanction amounts recovered based on the original information with respect to which the award is being paid.</text></paragraph></subsection> <subsection id="H2B993F759F3644CE92CAC08337591902"><enum>(c)</enum><header>Determination of amount of award; denial of award</header> <paragraph id="HEB499EBF15A04036A442E90DA2E377C7"><enum>(1)</enum><header>Determination of amount of award</header> <subparagraph id="HD69ACCE27A40492F9C6CD9ED4CA894EF"><enum>(A)</enum><header>Discretion</header><text display-inline="yes-display-inline">The determination of the amount of an award made under subsection (b) shall be in the discretion of the Secretary.</text></subparagraph> 
<subparagraph id="HCF16562FC2F44DA98CFB09E369C8BB16"><enum>(B)</enum><header>Criteria</header><text>In responding to a disclosure and determining the amount of an award made, FinCEN staff shall meet with the whistleblower to discuss evidence disclosed and rebuttals to the disclosure, and shall take into consideration—</text> <clause id="HE892F720308648128F53413DD7F5F13A"><enum>(i)</enum><text>the significance of the information provided by the whistleblower to the success of the covered judicial or administrative action;</text></clause> 
<clause id="H8B021BE22B854E0288301D00B3E134F6"><enum>(ii)</enum><text>the degree of assistance provided by the whistleblower and any legal representative of the whistleblower in a covered judicial or administrative action;</text></clause> <clause id="HB6242BF520C94FA09FC7833075D2D4FC"><enum>(iii)</enum><text>the mission of FinCEN in deterring violations of the law by making awards to whistleblowers who provide information that lead to the successful enforcement of such laws; and</text></clause> 
<clause id="H51E534ED887E4EE09D14E284A85F71A6"><enum>(iv)</enum><text display-inline="yes-display-inline">such additional relevant factors as the Secretary may establish by rule.</text></clause></subparagraph></paragraph> <paragraph id="HF9CE625ECCA944148D5AB280FCA35CC0"><enum>(2)</enum><header>Denial of award</header><text>No award under subsection (b) shall be made—</text> 
<subparagraph id="HF9477F6377A541AA9629E8A04015891B"><enum>(A)</enum><text>to any whistleblower who is, or was at the time the whistleblower acquired the original information submitted to FinCEN, a member, officer, or employee of—</text> <clause id="HC3DD174FC0E34E759CBC220DD9F931D3"><enum>(i)</enum><text>an appropriate regulatory agency;</text></clause> 
<clause id="HCD0BA41398EA486990943558515B220B"><enum>(ii)</enum><text>the Department of Justice;</text></clause> <clause id="H07EF934F24DE40C7956EE09ACCC2DDCA"><enum>(iii)</enum><text>a self-regulatory organization; or</text></clause> 
<clause id="H53037C9A1AE94AEEB0BD95179F0CB9AA"><enum>(iv)</enum><text>a law enforcement organization;</text></clause></subparagraph> <subparagraph id="H1B276B6A62214D3A959B528897CF73CF"><enum>(B)</enum><text display-inline="yes-display-inline">to any whistleblower who is convicted of a criminal violation, or who the Secretary has a reasonable basis to believe committed a criminal violation, related to the judicial or administrative action for which the whistleblower otherwise could receive an award under this section;</text></subparagraph> 
<subparagraph id="H033AF629E7B74F8C80F4CE49B3B5F4DA"><enum>(C)</enum><text display-inline="yes-display-inline">to any whistleblower who gains the information through the performance of an audit of financial statements required under the Bank Secrecy Act and for whom such submission would be contrary to its requirements; or</text></subparagraph> <subparagraph id="H0318F14E9AF947519B1BADB871F703C9"><enum>(D)</enum><text display-inline="yes-display-inline">to any whistleblower who fails to submit information to FinCEN in such form as the Secretary may, by rule, require.</text></subparagraph></paragraph> 
<paragraph id="H2E9C0FEDABFF48AA921A7FE51EA617BD"><enum>(3)</enum><header>Statement of reasons</header><text display-inline="yes-display-inline">For any decision granting or denying an award, the Secretary shall provide to the whistleblower a statement of reasons that includes findings of fact and conclusions of law for all material issues.</text></paragraph></subsection> <subsection id="HE8D36CF820744E469443CA3A1B369E09"><enum>(d)</enum><header>Representation</header> <paragraph id="HD46C47DC1D554B2B970A491083366259"><enum>(1)</enum><header>Permitted representation</header><text>Any whistleblower who makes a claim for an award under subsection (b) may be represented by counsel.</text></paragraph> 
<paragraph id="H756C4F281DED45E8897264A5025BDAE6"><enum>(2)</enum><header>Required representation</header> 
<subparagraph id="H5AD3CDF272504367BB3F6F1509B3D5A0"><enum>(A)</enum><header>In general</header><text>Any whistleblower who anonymously makes a claim for an award under subsection (b) shall be represented by counsel if the whistleblower anonymously submits the information upon which the claim is based.</text></subparagraph> <subparagraph id="H4ACE88E6CCE74E109627D064114757C0"><enum>(B)</enum><header>Disclosure of identity</header><text display-inline="yes-display-inline">Prior to the payment of an award, a whistleblower shall disclose their identity and provide such other information as the Secretary may require, directly or through counsel for the whistleblower.</text></subparagraph></paragraph></subsection> 
<subsection id="HFEDC77BD908943EEA8A27A0ABABA2461"><enum>(e)</enum><header>Appeals</header><text display-inline="yes-display-inline">Any determination made under this section, including whether, to whom, or in what amount to make awards, shall be in the discretion of the Secretary. Any such determination, except the determination of the amount of an award if the award was made in accordance with subsection (b), may be appealed to the appropriate court of appeals of the United States not more than 30 days after the determination is issued by the Secretary. The court shall review the determination made by the Secretary in accordance with section 706 of title 5.</text></subsection> <subsection id="HF0E4265670934B0DB641405709077FD9"><enum>(f)</enum><header>Employee protections</header><text>The Secretary of the Treasury shall issue regulations protecting a whistleblower from retaliation, which shall be as close as practicable to the employee protections provided for under section 1057 of the Consumer Financial Protection Act of 2010.</text></subsection></section><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph>
<paragraph id="H3E09550553814804A40B251FABE0A0D0"><enum>(2)</enum><text display-inline="yes-display-inline">in the table of contents for such chapter, by inserting after the item relating to section 5323 the following new item:</text> <quoted-block display-inline="no-display-inline" id="HB5F2CE25E1944D33B8DF2F13D9FB6AA8" style="USC"> <toc regeneration="no-regeneration"> <toc-entry level="section">5323A. Whistleblower incentives.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> </section> <section id="HFF10CDB7A6834F2BAE302064BE802D35"><enum>207.</enum><header>Certain violators barred from serving on boards of United States financial institutions</header><text display-inline="no-display-inline">Section 5321 of title 31, United States Code, is amended by adding at the end the following:</text>

<subsection id="H21A047229E4145139867C79183A2E5EF"><enum>(f)</enum><header>Certain violators barred from serving on boards of United States financial institutions</header> 
<paragraph id="HC9AFBAD08E3C42B59FC3D92BCF8D77EC"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">An individual found to have committed an egregious violation of a provision of (or rule issued under) the Bank Secrecy Act shall be barred from serving on the board of directors of a United States financial institution for a 10-year period beginning on the date of such finding.</text></paragraph> <paragraph id="HB9DDFCC9879B4C7D9D4EC0B22EC5288F"><enum>(2)</enum><header>Egregious violation defined</header><text>With respect to an individual, the term <term>egregious violation</term> means—</text> 
<subparagraph id="H8FFEE7D79F3E42C882603368C7E94CD3"><enum>(A)</enum><text>a felony criminal violation for which the individual was convicted; and</text></subparagraph> <subparagraph id="HE090A07451EB46D2AFF5DB0A81F3AEBB"><enum>(B)</enum><text>a civil violation where the individual willfully committed such violation and the violation facilitated money laundering or the financing of terrorism.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section> 
<section id="HE7D327A2906B4A3FA3759F7EF69B879D"><enum>208.</enum><header>Additional damages for repeat Bank Secrecy Act violators</header> 
<subsection id="HFBE5B52429FD41018643159E87E45A09"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 5321 of title 31, United States Code, as amended by section 208, is further amended by adding at the end the following:</text> <quoted-block style="USC" id="H539AB1BFAA394FCCB6D176D4458BFB00" display-inline="no-display-inline"> <subsection id="HA76A5EA130AF4717BBE74C01812F7327"><enum>(g)</enum><header>Additional damages for repeat violators</header><text display-inline="yes-display-inline">In addition to any other fines permitted by this section and section 5322, with respect to a person who has previously been convicted of a criminal provision of (or rule issued under) the Bank Secrecy Act or who has admitted, as part of a deferred- or non-prosecution agreement, to having previously committed a violation of a criminal provision of (or rule issued under) the Bank Secrecy Act, the Secretary may impose an additional civil penalty against such person for each additional such violation in an amount equal to up three times the profit gained or loss avoided by such person as a result of the violation.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H0AE4D3AA064D429692145C183E43B656"><enum>(b)</enum><header>Prospective application of amendment</header><text>For purposes of determining whether a person has committed a previous violation under section 5321(g) of title 31, United States Code, such determination shall only include violations occurring after the date of enactment of this Act.</text></subsection></section> <section id="HF75D68900FE648E0A0E928CDAE247AEF"><enum>209.</enum><header>Justice annual report on deferred and non-prosecution agreements</header> <subsection id="H6E7BB2D2A1D8442BA21397E788A8B4B3"><enum>(a)</enum><header>Annual report</header><text display-inline="yes-display-inline">The Attorney General shall issue an annual report, every year for the five years beginning on the date of enactment of this Act, to the Committees on Financial Services and the Judiciary of the House of Representatives and the Committees on Banking, Housing, and Urban Affairs and the Judiciary of the Senate containing—</text> 
<paragraph id="HD2AA68E1FC8241B69FBCA2EFA6BF3E5B"><enum>(1)</enum><text>a list of deferred prosecution agreements and non-prosecution agreements that the Attorney General has entered into during the previous year with any person with respect to a violation or suspected violation of the Bank Secrecy Act;</text></paragraph> <paragraph id="HB95F037DEEC847E5A6218F7666EEB1DC"><enum>(2)</enum><text display-inline="yes-display-inline">the justification for entering into each such agreement;</text></paragraph> 
<paragraph id="H786D666A04E1435284029E4C17B4EC8E"><enum>(3)</enum><text>the list of factors that were taken into account in determining that the Attorney General should enter into each such agreement; and</text></paragraph> <paragraph id="H045B334245AC43ACAE26CD295D838760"><enum>(4)</enum><text display-inline="yes-display-inline">the extent of coordination the Attorney General conducted with the Financial Crimes Enforcement Network prior to entering into each such agreement.</text></paragraph></subsection> 
<subsection id="HB44A6BFE2DE94A9FA5E708BD9E64A81A"><enum>(b)</enum><header>Classified annex</header><text>Each report under subsection (a) may include a classified annex.</text></subsection> <subsection id="HAD761F9E713541CFA7CDED7FCD4E17E9"><enum>(c)</enum><header>Bank Secrecy Act defined</header><text display-inline="yes-display-inline">For purposes of this section, the term <term>Bank Secrecy Act</term> has the meaning given that term under section 5312 of title 31, United States Code.</text></subsection></section> 
<section id="H72336D0C2061414C9C54C3C50D9FBFB7"><enum>210.</enum><header>Return of profits and bonuses</header> 
<subsection id="HF3034F14EF064A67AEC884A3335B4961"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 5322 of title 31, United States Code, is amended by adding at the end the following:</text> <quoted-block style="USC" id="H3D896DB1582C4659ABDF6EFF7ACD92B8" display-inline="no-display-inline"> <subsection id="HCB7578FD488E4C3492413039166351CA"><enum>(e)</enum><header>Return of profits and bonuses</header><text display-inline="yes-display-inline">A person convicted of violating a provision of (or rule issued under) the Bank Secrecy Act shall—</text> 
<paragraph id="HE3D30842A90D44858C25C0FFADDF511A"><enum>(1)</enum><text>in addition to any other fine under this section, be fined in an amount equal to the profit gained by such person by reason of such violation, as determined by the court; and</text></paragraph> <paragraph id="H164732C1C88A43CFBA3FD6AB93CB6062"><enum>(2)</enum><text display-inline="yes-display-inline">if such person is an individual who was a partner, director, officer, or employee of a financial institution at the time the violation occurred, repay to such financial institution any bonus paid to such individual during the Federal fiscal year in which the violation occurred or the Federal fiscal year after which the violation occurred.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HEF2BED304AB24F3BB2D64E09F4E8C558"><enum>(b)</enum><header>Rule of construction</header><text display-inline="yes-display-inline">The amendment made by subsection (a) may not be construed to prohibit a financial institution from requiring the repayment of a bonus paid to a partner, director, officer, or employee if the financial institution determines that the partner, director, officer, or employee engaged in unethical, but non-criminal, activities.</text></subsection></section> <section id="H0571AA31474746D98ACA836F1FF14588"><enum>211.</enum><header>Application of Bank Secrecy Act to dealers in antiquities</header> <subsection id="H41D9BD1CDD6F47AF8DFD95A04A2F6E54"><enum>(a)</enum><header>In general</header><text>Section 5312(a)(2) of title 31, United States Code, is amended—</text> 
<paragraph id="H23278098B2734FDB8A2EFA56F9ECC307"><enum>(1)</enum><text>in subparagraph (Y), by striking <quote>or</quote> at the end;</text></paragraph> <paragraph id="HC6218A107E154C9EB42BE8E5663D6921"><enum>(2)</enum><text>by redesignating subparagraph (Z) as subparagraph (AA); and</text></paragraph> 
<paragraph id="HE828CA659EFD4A6EA9F006E2BC971B25"><enum>(3)</enum><text>by inserting after subsection (Y) the following:</text> <quoted-block id="H3CDD5B207DFC411088E0DEA6D10F410D" style="OLC"> <subparagraph id="HD7587A5E13C643B58087370428543E4F"><enum>(Z)</enum><text display-inline="yes-display-inline">a person trading or acting as an intermediary in the trade of antiquities, including an advisor, consultant or any other person who engages as a business in the solicitation of the sale of antiquities; or</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H8FE87E0106D24FBFB029135F841542CB"><enum>(b)</enum><header>Study on the facilitation of money laundering and terror finance through the trade of works of art or antiquities</header> 
<paragraph id="H64F4B64384CC49C2839B7F0CF7634A3B"><enum>(1)</enum><header>Study</header><text display-inline="yes-display-inline">The Secretary of the Treasury, in coordination with Federal Bureau of Investigation, the Attorney General, and Homeland Security Investigations, shall perform a study on the facilitation of money laundering and terror finance through the trade of works of art or antiquities, including an analysis of—</text> <subparagraph id="HED5F9C2B1BBD41D5937350CA5F213929"><enum>(A)</enum><text display-inline="yes-display-inline">the extent to which the facilitation of money laundering and terror finance through the trade of works of art or antiquities may enter or affect the financial system of the United States, including any qualitative data or statistics;</text></subparagraph> 
<subparagraph id="HD6415202C6C241B1966227B780C68ED5"><enum>(B)</enum><text>whether thresholds and definitions should apply in determining which entities to regulate;</text></subparagraph> <subparagraph id="H8171017B2EED49B0985E5AE9ED237BCE"><enum>(C)</enum><text display-inline="yes-display-inline">an evaluation of which markets, by size, entity type, domestic or international geographical locations, or otherwise, should be subject to regulations, but only to the extent such markets are not already required to report on the trade of works of art or antiquities to the Federal Government;</text></subparagraph> 
<subparagraph id="H22D85EB9D15A4A1D965B1D1D2B31AD4F"><enum>(D)</enum><text>an evaluation of whether certain exemptions should apply; and</text></subparagraph> <subparagraph id="HA18B2214EBCB46F08861B978D463FC16"><enum>(E)</enum><text>any other points of study or analysis the Secretary determines necessary or appropriate.</text></subparagraph></paragraph> 
<paragraph id="HD1A7CD602F0442A585E194DAC22F6680"><enum>(2)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than the end of the 180-day period beginning on the date of the enactment of this Act, the Secretary of the Treasury shall issue a report to the Committee on Financial Services of the House of Representatives and the Committee on Banking, Housing, and Urban Affairs of the Senate containing all findings and determinations made in carrying out the study required under paragraph (1).</text></paragraph></subsection> <subsection id="H21999E8A577946EB867F2782B701EF94"><enum>(c)</enum><header>Rulemaking</header><text>Not later than the end of the 180-day period beginning on the date the Secretary issues the report required under subsection (b)(2), the Secretary shall issue regulations to carry out the amendments made by subsection (a).</text></subsection></section> 
<section id="HBF2820E8BEF24CAB9F48071FC342B9F5" section-type="subsequent-section" display-inline="no-display-inline"><enum>212.</enum><header>Geographic targeting order</header><text display-inline="no-display-inline">The Secretary of the Treasury shall issue a geographic targeting order, similar to the order issued by the Financial Crimes Enforcement Network on November 15, 2018, that—</text> <paragraph id="H9B37A88AD94F4F91BB646D79C3F9B22C"><enum>(1)</enum><text display-inline="yes-display-inline">applies to commercial real estate to the same extent, with the exception of having the same thresholds, as the order issued by FinCEN on November 15, 2018, applies to residential real estate; and</text></paragraph> 
<paragraph id="HB82E74452E1E446FA9C4924CDFC2C053"><enum>(2)</enum><text display-inline="yes-display-inline">establishes a specific threshold for commercial real estate.</text></paragraph></section> <section id="H6B6F6726E59B4FCCAD1F957EEF1EDCFB"><enum>213.</enum><header>Study and revisions to currency transaction reports and suspicious activity reports</header> <subsection id="H53D9A4F8FE314B339BCD51FF854096EA"><enum>(a)</enum><header>Currency transaction reports</header> <paragraph id="HA92580D650954F1A818C7E1E6A548884"><enum>(1)</enum><header>CTR indexed for inflation</header> <subparagraph id="HB4492AAA97924A73832813391699C5AF"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Every 5 years after the date of enactment of this Act, the Secretary of the Treasury shall revise regulations issued with respect to section 5313 of title 31, United States Code, to update each $10,000 threshold amount in such regulation to reflect the change in the Consumer Price Index for All Urban Consumers published by the Department of Labor, rounded to the nearest $100. For purposes of calculating the change described in the previous sentence, the Secretary shall use $10,000 as the base amount and the date of enactment of this Act as the base date.</text></subparagraph> 
<subparagraph id="HDE6FBCB07A1944EC9ED02FCDF8EF375D"><enum>(B)</enum><header>Exception</header><text>Notwithstanding subparagraph (A), the Secretary may make appropriate adjustments to the threshold amounts described under subparagraph (A) in high-risk areas (e.g., High Intensity Financial Crime Areas or HIFCAs), if the Secretary has demonstrable evidence that shows a threshold raise would increase serious crimes, such as trafficking, or endanger national security.</text></subparagraph></paragraph> <paragraph id="HF654100CAECD43AFB172D8A785152438"><enum>(2)</enum><header>GAO CTR study</header> <subparagraph id="H44D1F85B08D54E9D90BF995BF5805EA2"><enum>(A)</enum><header>Study</header><text>The Comptroller General of the United States shall carry out a study of currency transaction reports. Such study shall include—</text> 
<clause id="HD43A126C2E494E7893016609F1C30959"><enum>(i)</enum><text>a review (carried out in consultation with the Secretary of the Treasury, the Financial Crimes Enforcement Network, the United States Attorney General, the State Attorneys General, and State, Tribal, and local law enforcement) of the effectiveness of the current currency transaction reporting regime;</text></clause> <clause id="H3D22D5141003470C9926B9B0F39CEA2D"><enum>(ii)</enum><text>an analysis of the importance of currency transaction reports to law enforcement; and</text></clause> 
<clause id="H8106738C9C334ED08CB0EB6BF8CDE537"><enum>(iii)</enum><text>an analysis of the effects of raising the currency transaction report threshold.</text></clause></subparagraph> <subparagraph id="H4DDD8A24E5064C3FA9045A2E7A101DF3"><enum>(B)</enum><header>Report</header><text>Not later than the end of the 1-year period beginning on the date of enactment of this Act, the Comptroller General shall issue a report to the Secretary of the Treasury and the Congress containing—</text> 
<clause id="H4DC34F3FDC414056B277C44F3491BAB2"><enum>(i)</enum><text>all findings and determinations made in carrying out the study required under subparagraph (A); and</text></clause> <clause id="H0CB2F8D4EB3344359CDFCEDE7FF4A57B"><enum>(ii)</enum><text>recommendations for improving the current currency transaction reporting regime.</text></clause></subparagraph></paragraph></subsection> 
<subsection id="H687482D9529841DC9A53B18F9EA87548"><enum>(b)</enum><header>Modified SARs study and design</header> 
<paragraph id="H364CA6F3A14E42269C3C89B9D2DF848C"><enum>(1)</enum><header>Study</header><text display-inline="yes-display-inline">The Director of the Financial Crimes Enforcement Network shall carry out a study, in consultation with industry stakeholders (including money services businesses, community banks, and credit unions), regulators, and law enforcement, of the design of a modified suspicious activity report form for certain customers and activities. Such study shall include—</text> <subparagraph id="H4D479E0155F74BDD93F39692EDB1160E"><enum>(A)</enum><text>an examination of appropriate optimal SARs thresholds to determine the level at which a modified SARs form could be employed;</text></subparagraph> 
<subparagraph id="HF80A3867A013438782F1E03231AE6913"><enum>(B)</enum><text>an evaluation of which customers or transactions would be appropriate for a modified SAR, including—</text> <clause id="H8CE36AB26E7242D183261B8A35558267"><enum>(i)</enum><text>seasoned business customers;</text></clause> 
<clause id="H8A5865E89F654353A5F55E220299F124"><enum>(ii)</enum><text>financial technology (Fintech) firms;</text></clause> <clause id="HB0DA85550D964EAFAEBC9BAEF2669BDB"><enum>(iii)</enum><text>structuring transactions; and</text></clause> 
<clause id="H0959907C237C47A1A6E8D1AB8799E12E"><enum>(iv)</enum><text>any other customer or transaction that may be appropriate for a modified SAR; and</text></clause></subparagraph> <subparagraph id="H5E25CB4BD85541E8AE8669E357F031BD"><enum>(C)</enum><text>an analysis of the most effective methods to reduce the regulatory burden imposed on financial institutions in complying with the Bank Secrecy Act, including an analysis of the effect of—</text> 
<clause id="H9241604F378E46E89A7D7253A9E4697A"><enum>(i)</enum><text>modifying thresholds;</text></clause> <clause id="H0B4E829511924A77A7CB5F3E25AC2749"><enum>(ii)</enum><text>shortening forms;</text></clause> 
<clause id="H7C23A24A52484CA5A3AB7C7423F0ED8D"><enum>(iii)</enum><text>combining Bank Secrecy Act forms;</text></clause> <clause id="HBC243B373FDD4CB0859031B5FABB602F"><enum>(iv)</enum><text>filing reports in periodic batches; and</text></clause> 
<clause id="H84B924BB933D4036BB9CA5B2E37FB1F6"><enum>(v)</enum><text>any other method that may reduce the regulatory burden.</text></clause></subparagraph></paragraph> <paragraph id="HA94FAD8F8AEE4243AEDEBF3B63F32835"><enum>(2)</enum><header>Study considerations</header><text display-inline="yes-display-inline">In carrying out the study required under paragraph (1), the Director shall seek to balance law enforcement priorities, regulatory burdens experienced by financial institutions, and the requirement for reports to have a <quote>high degree of usefulness to law enforcement</quote> under the Bank Secrecy Act.</text></paragraph> 
<paragraph id="HD338E5AABE004CF1AA2F77994AE05064"><enum>(3)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than the end of the 1-year period beginning on the date of enactment of this Act, the Director shall issue a report to Congress containing—</text> <subparagraph id="H3B0AF5A7601A469C8C50F4C36E16A692"><enum>(A)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text></subparagraph> 
<subparagraph id="HCB9BC6C47F844F10A117C72ECA2DAB67"><enum>(B)</enum><text display-inline="yes-display-inline">sample designs of modified SARs forms based on the study results.</text></subparagraph></paragraph> <paragraph id="HA7BD75044C574477B758F6AC201D2B32"><enum>(4)</enum><header>Contracting authority</header><text display-inline="yes-display-inline">The Director may contract with a private third-party to carry out the study required under this subsection. The authority of the Director to enter into contracts under this paragraph shall be in effect for each fiscal year only to the extent and in the amounts as are provided in advance in appropriations Acts.</text></paragraph></subsection> 
<subsection id="HDC1FB785B292414EBF8104DB30B0B7EF"><enum>(c)</enum><header>Definitions</header><text>For purposes of this section:</text> <paragraph id="HC45E0FABBFB64A94AB8CA68471FA98E8"><enum>(1)</enum><header>Bank Secrecy Act</header><text>The term <quote>Bank Secrecy Act</quote> has the meaning given that term under section 5312 of title 31, United States Code.</text></paragraph> 
<paragraph id="H8C0F5578CFEE433990C4365F993E03F2"><enum>(2)</enum><header>Regulatory burden</header><text display-inline="yes-display-inline">The term <quote>regulatory burden</quote> means the man-hours to complete filings, cost of data collection and analysis, and other considerations of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/44/35">chapter 35</external-xref> of title 44, United States Code (commonly referred to as the Paperwork Reduction Act). </text></paragraph> <paragraph id="HA97D2734F7544317AD63F55C75DDB1D4"><enum>(3)</enum><header>SAR; suspicious activity report</header><text display-inline="yes-display-inline">The term <quote>SAR</quote> and <quote>suspicious activity report</quote> mean a report of a suspicious transaction under section 5318(g) of title 31, United States Code.</text></paragraph> 
<paragraph id="HA00C11942CE8490A83C1D29B33F0FF3A"><enum>(4)</enum><header>Seasoned Business Customer</header><text display-inline="yes-display-inline">The term <quote>seasoned business customer</quote>, shall have such meaning as the Secretary of the Treasury shall prescribe, which shall include any person that—</text> <subparagraph id="HC04917730C4A40A5BC59484418FA94A5"><enum>(A)</enum><text>is incorporated or organized under the laws of the United States or any State, or is registered as, licensed by, or otherwise eligible to do business within the United States, a State, or political subdivision of a State;</text></subparagraph> 
<subparagraph id="H0499B301686A449F8874E023A62FBE74"><enum>(B)</enum><text>has maintained an account with a financial institution for a length of time as determined by the Secretary; and</text></subparagraph> <subparagraph id="HEB4F5729B4F44F17BB0D6130E7BFB176"><enum>(C)</enum><text>meet such other requirements as the Secretary may determine necessary or appropriate.</text></subparagraph></paragraph></subsection></section> 
<section id="HE63735E9F1904DD6A7C3D42ACF668E9D" section-type="subsequent-section"><enum>214.</enum><header>Streamlining requirements for currency transaction reports and suspicious activity reports</header> 
<subsection id="H844C3F3E05E84001A455D6DF8A9F85E8"><enum>(a)</enum><header>Review</header><text display-inline="yes-display-inline">The Secretary of the Treasury (in consultation with Federal law enforcement agencies, the Director of National Intelligence, and the Federal functional regulators and in consultation with other relevant stakeholders) shall undertake a formal review of the current financial institution reporting requirements under the Bank Secrecy Act and its implementing regulations and propose changes to further reduce regulatory burdens, and ensure that the information provided is of a <quote>high degree of usefulness</quote> to law enforcement, as set forth under section 5311 of title 31, United States Code.</text></subsection> <subsection id="H907D8D059DB64FFFBDC38C59DFA2F0A9"><enum>(b)</enum><header>Contents</header><text>The review required under subsection (a) shall include a study of—</text> 
<paragraph id="H5FF0B2CCFAAD4D0986A96F8D5B11A1A9"><enum>(1)</enum><text display-inline="yes-display-inline">whether the timeframe for filing a suspicious activity report should be increased from 30 days;</text></paragraph> <paragraph id="HA64D4B4A252F4B9B823425D8736C66F6"><enum>(2)</enum><text display-inline="yes-display-inline">whether or not currency transaction report and suspicious activity report thresholds should be tied to inflation or otherwise periodically be adjusted;</text></paragraph> 
<paragraph commented="no" id="HC4DC3D0F124E4CDAA73FF1E613D20F88"><enum>(3)</enum><text display-inline="yes-display-inline">whether the circumstances under which a financial institution determines whether to file a <quote>continuing suspicious activity report</quote>, or the processes followed by a financial institution in determining whether to file a <quote>continuing suspicious activity report</quote> (or both) can be narrowed;</text></paragraph> <paragraph id="HBA3CA3DE8B5A4B4AB559B07732226831"><enum>(4)</enum><text display-inline="yes-display-inline">analyzing the fields designated as <quote>critical</quote> on the suspicious activity report form and whether the number of fields should be reduced;</text></paragraph> 
<paragraph id="H85AB29AF9FCE49B59592BEA117203A60"><enum>(5)</enum><text display-inline="yes-display-inline">the increased use of exemption provisions to reduce currency transaction reports that are of little or no value to law enforcement efforts;</text></paragraph> <paragraph id="H110D890546C243A896ED07C5D4AF97EC"><enum>(6)</enum><text display-inline="yes-display-inline">the current financial institution reporting requirements under the Bank Secrecy Act and its implementing regulations and guidance; and</text></paragraph> 
<paragraph id="H07DDE2921FB04373974F0ADDFDCB30DD"><enum>(7)</enum><text>such other items as the Secretary determines appropriate.</text></paragraph></subsection> <subsection id="H4A9461E239864F96A3678C920811703B"><enum>(c)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than the end of the one year period beginning on the date of the enactment of this Act, the Secretary of the Treasury, in consultation with law enforcement and persons subject to Bank Secrecy Act requirements, shall issue a report to the Congress containing all findings and determinations made in carrying out the review required under subsection (a).</text></subsection>

<paragraph id="H307D000F60F84B24BAE951F33918489C"><enum>(2)</enum><header>Other terms</header><text>The terms <quote>Bank Secrecy Act</quote> and <quote>financial institution</quote> have the meaning given those terms, respectively, under section 5312 of title 31, United States Code.</text></paragraph></subsection></section></title> <title id="H38808747A856470285ECE3B413D57DF0"><enum>III</enum><header>Modernizing the AML System</header> <section id="H099CA02A067242938674FDBCF9E21B27"><enum>301.</enum><header>Encouraging innovation in BSA compliance</header><text display-inline="no-display-inline">Section 5318 of title 31, United States Code, as amended by section 202, is further amended by adding at the end the following:</text>

<paragraph id="H3BD2239CB8B540D1BE4B4FFA7747AEF7"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Federal functional regulators shall encourage financial institutions to consider, evaluate, and, where appropriate, responsibly implement innovative approaches to meet the requirements of this subchapter, including through the use of innovation pilot programs.</text></paragraph> <paragraph id="HD005E47AA1BB4DC3AA7CE21307119D57"><enum>(2)</enum><header>Exemptive relief</header><text display-inline="yes-display-inline">The Secretary, pursuant to subsection (a), may provide exemptions from the requirements of this subchapter if the Secretary determines such exemptions are necessary to facilitate the testing and potential use of new technologies and other innovations.</text></paragraph> 
<paragraph id="H35321FBE63DB4BF2A2128C97E17C7F08"><enum>(3)</enum><header>Rule of construction</header><text display-inline="yes-display-inline">This subsection may not be construed to require financial institutions to consider, evaluate, or implement innovative approaches to meet the requirements of the Bank Secrecy Act. </text></paragraph> <paragraph id="H0FE816E68DF345A5AD89FBB16B16C3C7"><enum>(4)</enum><header>Federal functional regulator defined</header><text display-inline="yes-display-inline">In this subsection, the term <term>Federal functional regulator</term> means the Board of Governors of the Federal Reserve System, the Comptroller of the Currency, the Federal Deposit Insurance Corporation, the National Credit Union Administration, the Securities and Exchange Commission, and the Commodity Futures Trading Commission.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section>

<subsection id="H1EDE2EFCD6204BCBAF1870943F45D7EE"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Subchapter II of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/53">chapter 53</external-xref> of title 31, United States Code, is amended by adding at the end the following:</text> <quoted-block style="USC" id="HA3F4EFEE4CFB4AA4B4E596F7C62A08B8" display-inline="no-display-inline"> <section id="H5ACEABA6333443908C9BFF1CA3E3941B"><enum>5333.</enum><header>Innovation Labs</header> <subsection id="HE741D36240E346238D3944AE1A426C6B"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">There is established within the Department of the Treasury and each Federal functional regulator an Innovation Lab.</text></subsection> 
<subsection id="H47AE4331523C4EE285FFEF2E9F0BF819"><enum>(b)</enum><header>Director</header><text display-inline="yes-display-inline">The head of each Innovation Lab shall be a Director, to be appointed by the Secretary of the Treasury or the head of the Federal functional regulator, as applicable.</text></subsection> <subsection id="H5D256D3B7586402D8B4122204ED090D6"><enum>(c)</enum><header>Duties</header><text>The duties of the Innovation Lab shall be—</text> 
<paragraph id="H232FB907B79A4BD3B19F545ACCAA6081"><enum>(1)</enum><text>to provide outreach to law enforcement agencies, financial institutions, and other persons (including vendors and technology companies) with respect to innovation and new technologies that may be used to comply with the requirements of the Bank Secrecy Act;</text></paragraph> <paragraph id="H247F3835F82F4917954333B7C26EDA70"><enum>(2)</enum><text display-inline="yes-display-inline">to support the implementation of responsible innovation and new technology, in a manner that complies with the requirements of the Bank Secrecy Act;</text></paragraph> 
<paragraph id="HF10817DB4FB04FCAB705BA2EFF47DB2E"><enum>(3)</enum><text display-inline="yes-display-inline">to explore opportunities for public-private partnerships; and</text></paragraph> <paragraph id="H93D221AAF15E48D7BCAD8ACCA93BB191"><enum>(4)</enum><text>to develop metrics of success. </text></paragraph></subsection>

<subsection id="H466B2E16F89846C5A932458815B8B840"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">There is established the Innovation Council (hereinafter in this section referred to as the <quote>Council</quote>), which shall consist of each Director of an Innovation Lab established under section 5334 and the Director of the Financial Crimes Enforcement Network.</text></subsection> <subsection id="HD2A8224C0C4C47DA85A0BDFA164A8A0C" commented="no"><enum>(b)</enum><header>Chair</header><text>The Director of the Innovation Lab of the Department of the Treasury shall serve as the Chair of the Council.</text></subsection> 
<subsection id="HC2CFFF865EAD42DDA28E59FEAE30AB01"><enum>(c)</enum><header>Duty</header><text display-inline="yes-display-inline">The members of the Council shall coordinate on activities related to innovation under the Bank Secrecy Act, but may not supplant individual agency determinations on innovation.</text></subsection> <subsection id="H0E82EDD4B22A451081F317990D9FE062"><enum>(d)</enum><header>Meetings</header><text display-inline="yes-display-inline">The meetings of the Council—</text> 
<paragraph id="H356B1039A0AD4119B0753F45549B1292"><enum>(1)</enum><text>shall be at the call of the Chair, but in no case may the Council meet less than semi-annually;</text></paragraph> <paragraph id="H71603C98FA5D4131813D680647DF4511"><enum>(2)</enum><text>may include open and closed sessions, as determined necessary by the Council; and</text></paragraph> 
<paragraph id="HD4CD45355D8E4771A84E85A64ABF8BB9"><enum>(3)</enum><text>shall include participation by public and private entities and law enforcement agencies.</text></paragraph></subsection> <subsection id="H0647305BAE9B41A785B540ACAECEABC1"><enum>(e)</enum><header>Report</header><text display-inline="yes-display-inline">The Council shall issue an annual report, for each of the 7 years beginning on the date of enactment of this section, to the Secretary of the Treasury on the activities of the Council during the previous year, including the success of programs as measured by metrics of success developed pursuant to section 5334(c)(4), and any regulatory or legislative recommendations that the Council may have.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection>

<subsection id="HEDD3A253AF7C4EFE8391D45452CA413A"><enum>(q)</enum><header>Testing</header> 
<paragraph id="H77658A2936CD4959A1893D7FF427AF79"><enum>(1)</enum><header>In general</header><text>The Secretary of the Treasury, in consultation with the head of each agency to which the Secretary has delegated duties or powers under subsection (a), shall issue a rule to specify—</text> <subparagraph id="H096C1F9556FC4F978E0A869D4DF83236"><enum>(A)</enum><text>with respect to technology and related technology-internal processes (<quote>new technology</quote>) designed to facilitate compliance with the Bank Secrecy Act requirements, the standards by which financial institutions are to test new technology; and</text></subparagraph> 
<subparagraph id="H5A8CB1A28D344F55BDD01EAC73CB594F"><enum>(B)</enum><text display-inline="yes-display-inline">in what instances or under what circumstance and criteria a financial institution may replace or terminate legacy technology and processes for any examinable technology or process without the replacement or termination being determined an examination deficiency.</text></subparagraph></paragraph> <paragraph id="H6A30D5E91F07450E9F4543803F18EFD2"><enum>(2)</enum><header>Standards</header><text display-inline="yes-display-inline">The standards described under paragraph (1) may include—</text> 
<subparagraph id="HD0F119890F78457BBD460F23BBB53638"><enum>(A)</enum><text>an emphasis on using innovative approaches, such as machine learning, rather than rules-based systems;</text></subparagraph> <subparagraph id="H4DF640F91DC4457F92D831CC50EF6B9E"><enum>(B)</enum><text>risk-based back-testing of the regime to facilitate calibration of relevant systems;</text></subparagraph> 
<subparagraph id="HC5045FA84C1444B3A7CDF317E1FE236F"><enum>(C)</enum><text>requirements for appropriate data privacy and security; and</text></subparagraph> <subparagraph id="H30A5AFED06CC4F7FACF311F43FF654AA"><enum>(D)</enum><text>a requirement that the algorithms used by the regime be disclosed to the Financial Crimes Enforcement Network, upon request.</text></subparagraph></paragraph> 
<paragraph id="H7CF2D1B6964E405AB5D0232B8D6FC864"><enum>(3)</enum><header>Confidentiality of algorithms</header><text display-inline="yes-display-inline">If a financial institution or any director, officer, employee, or agent of any financial institution, voluntarily or pursuant to this subsection or any other authority, discloses the institution’s algorithms to a Government agency, such algorithms and any materials associated with the creation of such algorithms shall be considered confidential and not subject to public disclosure. </text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> <subsection id="H1915BE3C423045B6923C0A495C5679CB"><enum>(b)</enum><header>Update of manual</header><text display-inline="yes-display-inline">The Financial Institutions Examination Council shall ensure—</text> 
<paragraph id="H103D5FEEAF26436E8505E1EFD40D2854"><enum>(1)</enum><text>that any manual prepared by the Council is updated to reflect the rulemaking required by the amendment made by subsection (a); and</text></paragraph> <paragraph id="H7A3C83A05551436A99025E7B69BF958F"><enum>(2)</enum><text>that financial institutions are not penalized for the decisions based on such rulemaking to replace or terminate technology used for compliance with the Bank Secrecy Act (as defined under section 5312 of title 31, United States Code) or other anti-money laundering laws.</text></paragraph></subsection></section> 
<section id="H857A3B5282A244D8BBAB5E6DF741CB40"><enum>305.</enum><header>FinCEN study on use of emerging technologies</header> 
<subsection id="H726C73B216BE4F5AAB4FB1634374C937"><enum>(a)</enum><header>Study</header> 
<paragraph id="HFAC8CA35A87144088884DD80546D1003"><enum>(1)</enum><header>In general</header><text>The Director of the Financial Crimes Enforcement Network (<quote>FinCEN</quote>) shall carry out a study on—</text> <subparagraph id="H0F9A0BC730C949EE893F02B6CE28F4B1"><enum>(A)</enum><text display-inline="yes-display-inline">the status of implementation and internal use of emerging technologies, including artificial intelligence (<quote>AI</quote>), digital identity technologies, blockchain technologies, and other innovative technologies within FinCEN;</text></subparagraph> 
<subparagraph id="HDE8507FD8F74443E86A69EA5BED28BAA"><enum>(B)</enum><text display-inline="yes-display-inline">whether AI, digital identity technologies, blockchain technologies, and other innovative technologies can be further leveraged to make FinCEN’s data analysis more efficient and effective; and</text></subparagraph> <subparagraph id="HAF91A7045DC24266B5107A7BFFEC5924"><enum>(C)</enum><text display-inline="yes-display-inline">how FinCEN could better utilize AI, digital identity technologies, blockchain technologies, and other innovative technologies to more actively analyze and disseminate the information it collects and stores to provide investigative leads to Federal, State, Tribal, and local law enforcement, and other Federal agencies (collective, <quote>Agencies</quote>), and better support its ongoing investigations when referring a case to the Agencies.</text></subparagraph></paragraph> 
<paragraph id="H849EC582A0D846AC880757059D7FFCEF"><enum>(2)</enum><header>Inclusion of GTO data</header><text>The study required under this subsection shall include data collected through the Geographic Targeting Orders (<quote>GTO</quote>) program.</text></paragraph> <paragraph id="H08893103000146EA9ACFB6B56171C684"><enum>(3)</enum><header>Consultation</header><text display-inline="yes-display-inline">In conducting the study required under this subsection, FinCEN shall consult with the Directors of the Innovations Labs established in section 302.</text></paragraph></subsection> 
<subsection id="HCA0BC9694A274237AA9B782E4F96DFE7"><enum>(b)</enum><header>Report</header><text>Not later than the end of the 6-month period beginning on the date of the enactment of this Act, the Director shall issue a report to the Committee on Banking, Housing, and Urban Affairs of the Senate and the Committee on Financial Services of the House of Representatives containing—</text> <paragraph id="H33C3F6F9F378462B98BF183C06A3B554"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a);</text></paragraph> 
<paragraph id="HB65ABAADBBA54E0E9B127E8E41EEAD4B"><enum>(2)</enum><text display-inline="yes-display-inline">with respect to each of subparagraphs (A), (B) and (C) of subsection (a)(1), any best practices or significant concerns identified by the Director, and their applicability to AI, digital identity technologies, blockchain technologies, and other innovative technologies with respect to U.S. efforts to combat money laundering and other forms of illicit finance; and</text></paragraph> <paragraph id="HEAFDD468E7BD499DB4C313348EF9C829"><enum>(3)</enum><text display-inline="yes-display-inline">any policy recommendations that could facilitate and improve communication and coordination between the private sector, FinCEN, and Agencies through the implementation of innovative approaches, in order to meet their Bank Secrecy Act (as defined under section 5312 of title 31, United States Code) and anti-money laundering compliance obligations.</text></paragraph></subsection></section> 
<section id="HD71B6E3041EA4764A521DC9598CA2AAD"><enum>306.</enum><header>Discretionary surplus funds</header> 
<subsection id="H7B6EB753A05247649D17E3364A8976E4"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 7(a)(3)(A) of the Federal Reserve Act (<external-xref legal-doc="usc" parsable-cite="usc/12/289">12 U.S.C. 289(a)(3)(A)</external-xref>) is amended by striking <quote>$6,825,000,000</quote> and inserting <quote>$6,798,000,000</quote>.</text></subsection> <subsection id="H2EB5BE685C294F74A6715B7A195C19AE"><enum>(b)</enum><header>Effective date</header><text>The amendment made by subsection (a) shall take effect on September 30, 2029.</text></subsection></section></title></division>
