and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idBFFDAEB579104C738F1400893032F322"><enum>(6)</enum><text display-inline="yes-display-inline">by redesignating section 726 as section 1325.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id8B155B5822024D759825BD20B91CAF41"><enum>(b)</enum><header display-inline="yes-display-inline">Independent establishment</header><text display-inline="yes-display-inline">Section 1301, as redesignated by subsection (a)(3), is amended by striking subsection (a) and inserting the following:</text><quoted-block display-inline="no-display-inline" id="idcd7d6545-bcec-4ea7-a517-c6e6088f2a5a" style="OLC"><subsection commented="no" display-inline="no-display-inline" id="idb0d7fd4a-ed84-4f7d-a4ce-64a113acdb96"><enum>(a)</enum><header display-inline="yes-display-inline">Establishment</header><text display-inline="yes-display-inline">The Surface Transportation Board is an independent establishment of the United States Government.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="id5fb86eea-4448-455a-a9d5-2d436139f1c0"><enum>(c)</enum><header display-inline="yes-display-inline">Conforming amendments</header><paragraph commented="no" display-inline="no-display-inline" id="idf1c44d83-6bea-4d8a-b807-6274a960569e"><enum>(1)</enum><header display-inline="yes-display-inline">Administrative provisions</header><text display-inline="yes-display-inline">Section 1303, as redesignated by subsection (a)(3), is amended—</text><subparagraph commented="no" display-inline="no-display-inline" id="ide2890772-9173-4e4b-a851-e7dd9346ea62"><enum>(A)</enum><text display-inline="yes-display-inline">by striking subsections (a), (c), (f), and (g);</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id7eea1cce-8647-48cc-99d0-72835b4acc17"><enum>(B)</enum><text display-inline="yes-display-inline">by redesignating subsections (b), (d), and (e) as subsections (a), (b), and (c), respectively; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id8630b3e8-6d41-4b01-b9ba-5f550f1fcf43"><enum>(C)</enum><text display-inline="yes-display-inline">by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="id1f24da1b-df67-471e-b2ea-c3ca29d3cd84" style="OLC"><subsection commented="no" display-inline="no-display-inline" id="idbd496178-2ef5-4fb5-aa3e-b511eefd1cd8"><enum>(d)</enum><header display-inline="yes-display-inline">Submission of certain documents to Congress</header><paragraph commented="no" display-inline="no-display-inline" id="id2B2D75B2AEC44B459E17401B8BD3A6F9"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">If the Board submits any budget estimate, budget request, supplemental budget estimate, or other budget information, legislative recommendation, prepared testimony for a congressional hearing, or comment on legislation to the President or to the Office of Management and Budget, the Board shall concurrently submit a copy of such document to—</text><subparagraph commented="no" display-inline="no-display-inline" id="idB57B32ACD08C4B6199C33CAF6396A923"><enum>(A)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation of the Senate</committee-name>; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id88046A21C1D6412C822172324617F018"><enum>(B)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="">Committee on Transportation and Infrastructure of the House of Representatives</committee-name>.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idF3F70A87696E431A97885409D8B6AA39"><enum>(2)</enum><header display-inline="yes-display-inline">No approval required</header><text display-inline="yes-display-inline">No officer or agency of the United States has any authority to require the Board to submit budget estimates or requests, legislative recommendations, prepared testimony for congressional hearings, or comments on legislation to any officer or agency of the United States for approval, comments, or review before submitting such recommendations, testimony, or comments to Congress.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id6a034243-f601-4ffe-8b33-635f35b2c8ea" section-type="subsequent-section"><enum>4.</enum><header display-inline="yes-display-inline">Surface Transportation Board membership</header><subsection commented="no" display-inline="no-display-inline" id="iddccf81f2-40bf-40a8-933f-6d5b55c60760"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Section 1301(b), as redesignated by subsection 3(a), is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id65bd70d0-4e66-4016-8529-fa662d6062fc"><enum>(1)</enum><text display-inline="yes-display-inline">in paragraph (1)—</text><subparagraph commented="no" display-inline="no-display-inline" id="id62945a96-d3b0-4070-b40e-2723b01704ca"><enum>(A)</enum><text display-inline="yes-display-inline">by striking <quote>3 members</quote> and inserting <quote>5 members</quote>; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ide5e6f1c7-8459-4db9-b78a-04ffa8566bf4"><enum>(B)</enum><text display-inline="yes-display-inline">by striking <quote>2 members</quote> and inserting <quote>3 members</quote>; and</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id17fbca55-7d6b-462f-824c-70e1da2603ba"><enum>(2)</enum><text display-inline="yes-display-inline">by striking paragraph (2) and inserting the following:</text><quoted-block display-inline="no-display-inline" id="idb13c34bd-82ba-4707-8759-20321c173b44" style="OLC"><paragraph commented="no" display-inline="no-display-inline" id="idaa39df52-2175-43a8-9346-895179e9daa9" indent="up1"><enum>(2)</enum><text display-inline="yes-display-inline">At all times—</text><subparagraph commented="no" display-inline="no-display-inline" id="id592E65E4DD8F418297EFAD5408E143FB"><enum>(A)</enum><text display-inline="yes-display-inline">at least 3 members of the Board shall be individuals with professional standing and demonstrated knowledge in the fields of transportation, transportation regulation, or economic regulation; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9BDAD96B96724D8E9D4C21347BD764F5"><enum>(B)</enum><text display-inline="yes-display-inline">at least 2 members shall be individuals with professional or business experience (including agriculture) in the private sector.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idc1029cd8-1562-499f-9270-9d6e5642d07e"><enum>(b)</enum><header display-inline="yes-display-inline">Repeal of obsolete provision</header><text display-inline="yes-display-inline">Section 1301(b), as amended by this section, is further amended—</text><paragraph commented="no" display-inline="no-display-inline" id="idb9b6fdef-ef27-4fe7-8ce1-200af57d0788"><enum>(1)</enum><text display-inline="yes-display-inline">by striking paragraph (4);</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="iddc1a21a2-fd72-4198-a32a-94880e3c9a7d"><enum>(2)</enum><text display-inline="yes-display-inline">by redesignating paragraphs (5), (6), and (7) as paragraphs (4), (5), and (6), respectively; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id1535069e-1d58-4202-8e06-d22b0d6ee380"><enum>(3)</enum><text display-inline="yes-display-inline">in paragraph (4), as redesignated, by striking <quote>who becomes a member of the Board pursuant to paragraph (4), or an individual</quote>.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id94450662-929f-42ea-a5cc-9a494d64d220" section-type="subsequent-section"><enum>5.</enum><header display-inline="yes-display-inline">Nonpublic collaborative discussions</header><text display-inline="no-display-inline">Section 1303(a), as redesignated by subsections (a) and (c) of section 3, is amended to read as follows:</text><quoted-block display-inline="no-display-inline" id="id372e9b11-1445-49e0-8c58-60686bbaf3a6" style="OLC"><subsection commented="no" display-inline="no-display-inline" id="idf9bb0fa3-7551-4d79-9f00-63fc540eef87"><enum>(a)</enum><header display-inline="yes-display-inline">Open meetings</header><paragraph commented="no" display-inline="no-display-inline" id="id6b3dfc1e-ba61-4479-a52a-a3f29b472b7c"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">The Board shall be deemed to be an agency for purposes of section 552b of title 5.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id30aac8ca-7020-4739-9414-2628ab20d2ba"><enum>(2)</enum><header display-inline="yes-display-inline">Nonpublic collaborative discussions</header><subparagraph commented="no" display-inline="no-display-inline" id="id5f43fb27-83f6-44b4-9958-23a45dc11116"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Notwithstanding section 552b of title 5, a majority of the members may hold a meeting that is not open to public observation to discuss official agency business if—</text><clause commented="no" display-inline="no-display-inline" id="id59012fa4-9ec8-48e4-a43d-c2e3a9bb540e"><enum>(i)</enum><text display-inline="yes-display-inline">no formal or informal vote or other official agency action is taken at the meeting;</text></clause><clause commented="no" display-inline="no-display-inline" id="id0e832dae-66fb-4707-bbe1-bbdb50fb6d58"><enum>(ii)</enum><text display-inline="yes-display-inline">each individual present at the meeting is a member or an employee of the Board; and</text></clause><clause commented="no" display-inline="no-display-inline" id="idc37c3a28-6b1e-46d3-ba5e-f803687be2a5"><enum>(iii)</enum><text display-inline="yes-display-inline">the General Counsel of the Board is present at the meeting.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3798eb01-ff28-46d8-9e39-a912bf3929a4"><enum>(B)</enum><header display-inline="yes-display-inline">Disclosure of nonpublic collaborative discussions</header><text display-inline="yes-display-inline">Except as provided under subparagraph (C), not later than 2 business days after the conclusion of a meeting under subparagraph (A), the Board shall make available to the public, in a place easily accessible to the public—</text><clause commented="no" display-inline="no-display-inline" id="id7d25b896-a117-4283-b31d-44641016f6b7"><enum>(i)</enum><text display-inline="yes-display-inline">a list of the individuals present at the meeting; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id20e7cd21-fad0-43e5-8ee0-b200a22a020f"><enum>(ii)</enum><text display-inline="yes-display-inline">a summary of the matters discussed at the meeting, except for any matters the Board properly determines may be withheld from the public under section 552b(c) of title 5.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id383B8107D2954310A5B8331F4B7FF252"><enum>(C)</enum><header display-inline="yes-display-inline">Summary</header><text display-inline="yes-display-inline">If the Board properly determines matters may be withheld from the public under section 555b(c) of title 5, the Board shall provide a summary with as much general information as possible on those matters withheld from the public.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idff324666-1cc6-4a0a-9c58-218e703d5527"><enum>(D)</enum><header display-inline="yes-display-inline">Ongoing proceedings</header><text display-inline="yes-display-inline">If a discussion under subparagraph (A) directly relates to an ongoing proceeding before the Board, the Board shall make the disclosure under subparagraph (B) on the date of the final Board decision.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd906fa00-039b-4f53-aaf8-e9b5651fdddd"><enum>(E)</enum><header display-inline="yes-display-inline">Preservation of open meetings requirements for agency action</header><text display-inline="yes-display-inline">Nothing in this paragraph may be construed to limit the applicability of section 552b of title 5 with respect to a meeting of the members other than that described in this paragraph.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idbb7d3a0f-cddc-4a6e-90d1-4003b2759c2a"><enum>(F)</enum><header display-inline="yes-display-inline">Statutory construction</header><text display-inline="yes-display-inline">Nothing in this paragraph may be construed—</text><clause commented="no" display-inline="no-display-inline" id="idadecf259-b55f-49c9-9466-9dc2dfd06d38"><enum>(i)</enum><text display-inline="yes-display-inline">to limit the applicability of section 552b of title 5 with respect to any information which is proposed to be withheld from the public under subparagraph (B)(ii); or</text></clause><clause commented="no" display-inline="no-display-inline" id="id2dfc6264-8c21-4058-aad4-e5f62cd81d24"><enum>(ii)</enum><text display-inline="yes-display-inline">to authorize the Board to withhold from any individual any record that is accessible to that individual under section 552a of title 5, United States Code.</text></clause></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section><section commented="no" display-inline="no-display-inline" id="id7180e03020f748e5a22407aa8a3f0d00" section-type="subsequent-section"><enum>6.</enum><header display-inline="yes-display-inline">Reports</header><subsection commented="no" display-inline="no-display-inline" id="id8F49576C5C3B4F9F86E018A9A175F8CF"><enum>(a)</enum><header display-inline="yes-display-inline">Reports</header><text display-inline="yes-display-inline">Section 1304, as amended by section 3, is further amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id2a0106b32e734e4aab3c2302f1fc1ae1"><enum>(1)</enum><text display-inline="yes-display-inline">by striking the section heading and inserting the following:</text><quoted-block display-inline="no-display-inline" id="id1589db2048c24c189e7a0e6757419e38" style="USC"><section commented="no" display-inline="no-display-inline" id="idfe51d91aab95480cb45659882d20fa91" section-type="subsequent-section"><enum>1304.</enum><header display-inline="yes-display-inline">Reports</header></section><after-quoted-block>;</after-quoted-block></quoted-block></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id323b4c443f19461ab0af1c72211d203f"><enum>(2)</enum><text display-inline="yes-display-inline">by inserting <quote>(a) <header-in-text level="subsection" style="OLC">Annual report.—</header-in-text></quote> before <quote>The Board</quote>;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id24025bd4-a42f-420e-8cef-c3b43bf78faf"><enum>(3)</enum><text display-inline="yes-display-inline">by striking <quote>on its activities.</quote> and inserting <quote>on its activities, including each instance in which the Board has initiated an investigation on its own initiative under this chapter or subtitle IV.</quote>; display-inline="yes-display-inline">Section 10709 is amended by striking subsection (h).</text></subsection></section><section commented="no" display-inline="no-display-inline" display-inline="yes-display-inline">Limitations on investigations of the Board’s initiative</header><text display-inline="yes-display-inline">Section 11701, as amended by subsection (a), is further amended by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="id465809f3f0cd4ab79a494e8a37433274" style="OLC"><subsection commented="no" display-inline="no-display-inline" id="idb6f9c37005964108b212758d19b016a8"><enum>(d)</enum><text display-inline="yes-display-inline">In any investigation commenced on the Board’s own initiative, the Board shall—</text><paragraph commented="no" display-inline="no-display-inline" id="id51c1737018f34c9eaba462e016c6d1e1"><enum>(1)</enum><text display-inline="yes-display-inline">not later than 30 days after initiating the investigation, provide written notice to the parties under investigation, which shall state the basis for such investigation;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id112be8f04ffb4562a3e5e12e9a519a7d"><enum>(2)</enum><text display-inline="yes-display-inline">only investigate issues that are of national or regional significance;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idFEFCCBD82AD440A4A24DB2B7823C040B"><enum>(3)</enum><text display-inline="yes-display-inline">permit the parties under investigation to file a written statement describing any or all facts and circumstances concerning a matter which may be the subject of such investigation;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5f1e433424534b2dad0eeb038386515c"><enum>(4)</enum><text display-inline="yes-display-inline">make available to the parties under investigation and Board members—</text><subparagraph commented="no" display-inline="no-display-inline" id="idE8AB7F9C4AC440C6A9CCD15E1DB40169"><enum>(A)</enum><text display-inline="yes-display-inline">any recommendations made as a result of the investigation; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id19F874E509DF4CE6BF27EFE7382F516F"><enum>(B)</enum><text display-inline="yes-display-inline">a summary of the findings that support such recommendations;</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id805f910c5b8a49838dc3c186bba37ccb"><enum>(5)</enum><text display-inline="yes-display-inline">to the extent practicable, separate the investigative and decisionmaking functions of staff;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idcd7e0e760aaf46fcbb19603ecdcdf336"><enum>(6)</enum><text display-inline="yes-display-inline">dismiss any investigation that is not concluded by the Board with administrative finality within 1 year after the date on which it was commenced; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idC98D298F4A1C46CCAC4203684493D255"><enum>(7)</enum><text display-inline="yes-display-inline">not later than 90 days after receiving the recommendations and summary of findings under paragraph (4)—</text><subparagraph commented="no" display-inline="no-display-inline" id="id24A622562B9B42E485A2E5B05D5C6F9B"><enum>(A)</enum><text display-inline="yes-display-inline">dismiss the investigation if no further action is warranted; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idBF34709449FC48908810C89027413FAF"><enum>(B)</enum><text display-inline="yes-display-inline">initiate a proceeding to determine if a provision under this part has been violated.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id619334F7663E4A34B0549465A6A726BD"><enum>(e)</enum><paragraph commented="no" display-inline="yes-display-inline" id="id918B500236A04265B5FB1DEA2956F25C"><enum>(1)</enum><text display-inline="yes-display-inline">Any parties to an investigation against whom a violation is found as a result of an investigation begun on the Board’s own initiative may, not later than 60 days after the date of the order of the Board finding such a violation, institute an action in the United States court of appeals for the appropriate judicial circuit for de novo review of such order in accordance with <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/7">chapter 7</external-xref> of title 5.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id7C26DC178AC14664A91629C955F2A4DB" indent="up1"><enum>(2)</enum><text display-inline="yes-display-inline">The court—</text><subparagraph commented="no" display-inline="no-display-inline" id="id10673339D71E43ABBD6204EFE2897721"><enum>(A)</enum><text display-inline="yes-display-inline">shall have jurisdiction to enter a judgment affirming, modifying, or setting aside, in whole or in part, the order of the Board; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5200C60C19524B18ADEC51A6D0776487"><enum>(B)</enum><text display-inline="yes-display-inline">may remand the proceeding to the Board for such further action as the court may direct.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="id7d477f9357524c80bfb96ca10fc2066c"><enum>(c)</enum><header display-inline="yes-display-inline">Rulemakings for investigations of the Board’s initiative</header><text display-inline="yes-display-inline">Not later than 1 year after the date of the enactment of this Act, the Board shall issue rules, after notice and comment rulemaking, for investigations commenced on its own initiative that—</text><paragraph commented="no" display-inline="no-display-inline" id="id3F3C6DC966C54875B91B3178820CDA80"><enum>(1)</enum><text display-inline="yes-display-inline">comply with the requirements of section 11701(d) of title 49, United States Code, as added by subsection (b);</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idE06BCCE226764BAFA7A14DBF91DFCDC9"><enum>(2)</enum><text display-inline="yes-display-inline">satisfy due process requirements; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id040DEDB4A2994CC39D1E829D2138C4C1"><enum>(3)</enum><text display-inline="yes-display-inline">take into account ex parte constraints.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="idb8758af4-bd5b-4f4f-bf81-a8ddbfcf8ac9" section-type="subsequent-section"><enum>13.</enum><header display-inline="yes-display-inline">Arbitration of certain rail rates and practices disputes</header><subsection commented="no" display-inline="no-display-inline" id="id59f9a93f-99b9-4005-9b13-3998ea01470d"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Chapter 117 is amended by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="idd82363bb-8bca-4204-8d8d-7472f775ba86" style="USC"><section commented="no" display-inline="no-display-inline" id="id87ab0d26-afc8-4d14-9d76-39225d6d52a1" section-type="subsequent-section"><enum>11708.</enum><header display-inline="yes-display-inline">Voluntary arbitration of certain rail rates and practices disputes</header><subsection commented="no" display-inline="no-display-inline" id="idaf64fd4e-dac4-4b8f-a9f7-db60ee6d3db9"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Not later than 1 year after the date of the enactment of the <short-title>Surface Transportation Board Reauthorization Act of 2015</short-title>, the Board shall promulgate regulations to establish a voluntary and binding arbitration process to resolve rail rate and practice complaints subject to the jurisdiction of the Board.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="ida2413638-b240-4b36-9e2e-b50a8cbfd547"><enum>(b)</enum><header display-inline="yes-display-inline">Covered disputes</header><text display-inline="yes-display-inline">The voluntary and binding arbitration process established pursuant to subsection (a)—</text><paragraph commented="no" display-inline="no-display-inline" id="id8a86b8c3-c268-427d-a69f-6ad88525b88c"><enum>(1)</enum><text display-inline="yes-display-inline">shall apply to disputes involving—</text><subparagraph commented="no" display-inline="no-display-inline" id="id9E73BF94A7AF4C1F8D25025BC27FE29B"><enum>(A)</enum><text display-inline="yes-display-inline">rates, demurrage, accessorial charges, misrouting, or mishandling of rail cars; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idEDAA370BD322468D88AC864D0F86273D"><enum>(B)</enum><text display-inline="yes-display-inline">a carrier’s published rules and practices as applied to particular rail transportation;</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idc8735bf3-a922-4426-be2b-5b546c124677"><enum>(2)</enum><text display-inline="yes-display-inline">shall not apply to disputes—</text><subparagraph commented="no" display-inline="no-display-inline" id="id4EF3D896C4D94827B54F2812E36AF355"><enum>(A)</enum><text display-inline="yes-display-inline">to obtain the grant, denial, stay, or revocation of any license, authorization, or exemption;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id73F249C8E0B944ABBE5CCAB373B8C9EF"><enum>(B)</enum><text display-inline="yes-display-inline">to prescribe for the future any conduct, rules, or results of general, industry-wide applicability;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idD12FDF2062884D6EA8FA24ABD6BFA88E"><enum>(C)</enum><text display-inline="yes-display-inline">to enforce a labor protective condition; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idc46f35af-054f-41b5-bb3e-47ca05a063c1"><enum>(D)</enum><text display-inline="yes-display-inline">that are solely between 2 or more rail carriers; and</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id3C437B7ACF894458A830C099A92E2123"><enum>(3)</enum><text display-inline="yes-display-inline">shall not prevent parties from independently seeking or utilizing private arbitration services to resolve any disputes the parties may have.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id8448507c-16cd-43d5-be5f-3eda843f4f8a"><enum>(c)</enum><header display-inline="yes-display-inline">Arbitration procedures</header><paragraph commented="no" display-inline="no-display-inline" id="idf84aab32-d237-4c72-a430-6de1a166cf74"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">The Board—</text><subparagraph commented="no" display-inline="no-display-inline" id="id5cb52501-a97a-43ee-8c5f-8f0547b246ae"><enum>(A)</enum><text display-inline="yes-display-inline">may make the voluntary and binding arbitration process established pursuant to subsection (a) available only to the relevant parties;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ida6b996372c16406fb457da5a206c5e63"><enum>(B)</enum><text display-inline="yes-display-inline">may make the voluntary and binding arbitration process available only—</text><clause commented="no" display-inline="no-display-inline" id="idB84A9D511FF44137A5A12DB4B5903DEE"><enum>(i)</enum><text display-inline="yes-display-inline">after receiving the written consent to arbitrate from all relevant parties; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id81E771B1918749E48C79D1C9A163FFD9"><enum>(ii)</enum><subclause commented="no" display-inline="yes-display-inline" id="idEA1EBE6F7BE04FBEA5E0191BF8A3ADAA"><enum>(I)</enum><text display-inline="yes-display-inline">after the filing of a written complaint; or</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id781A7F19B7404456AF87C4EA3F7C9972" indent="up1"><enum>(II)</enum><text display-inline="yes-display-inline">through other procedures adopted by the Board in a rulemaking proceeding;</text></subclause></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0fe73365-e808-4989-82e0-de342c57e49e"><enum>(C)</enum><text display-inline="yes-display-inline">with respect to rate disputes, may make the voluntary and binding arbitration process available only to the relevant parties if the rail carrier has market dominance (as determined under section 10707); and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idb26de987-706c-40dc-9b80-72f3b3d99944"><enum>(D)</enum><text display-inline="yes-display-inline">may initiate the voluntary and binding arbitration process not later than 40 days after the date on which a written complaint is filed or through other procedures adopted by the Board in a rulemaking proceeding.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id508a8978-a987-423f-958c-a68462a6de9a"><enum>(2)</enum><header display-inline="yes-display-inline">Limitation</header><text display-inline="yes-display-inline">Initiation of the voluntary and binding arbitration process shall preclude the Board from separately reviewing a complaint or dispute related to the same rail rate or practice in a covered dispute involving the same parties.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id75905eee-2f63-4b5f-bab5-44d43dca1a66"><enum>(3)</enum><header display-inline="yes-display-inline">Rates</header><text display-inline="yes-display-inline">In resolving a covered dispute involving the reasonableness of a rail carrier’s rates, the arbitrator or panel of arbitrators, as applicable, shall consider the Board’s methodologies for setting maximum lawful rates, giving due consideration to the need for differential pricing to permit a rail carrier to collect adequate revenues (as determined under section 10704(a)(2)).</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id5fc9d04f-76fa-4b07-9ad7-99735cfb8466"><enum>(d)</enum><header display-inline="yes-display-inline">Arbitration decisions</header><text display-inline="yes-display-inline">Any decision reached in an arbitration process under this section—</text><paragraph commented="no" display-inline="no-display-inline" id="id9ddfc268-094d-4685-a19b-8fead591fbb7"><enum>(1)</enum><text display-inline="yes-display-inline">shall be consistent with sound principles of rail regulation economics;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idF27D2B7449A54033ABBD265D1678D948"><enum>(2)</enum><text display-inline="yes-display-inline">shall be in writing;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id538559F4D62E4E34A3713D381C743FE3"><enum>(3)</enum><text display-inline="yes-display-inline">shall contain findings of fact and conclusions;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id76E593B23F764B369E4636702A08AF11"><enum>(4)</enum><text display-inline="yes-display-inline">shall be binding upon the parties; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idD90D0C6FD6AE46F097988E900F5CE564"><enum>(5)</enum><text display-inline="yes-display-inline">shall not have any precedential effect in any other or subsequent arbitration dispute.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id24679742-4342-49ea-ac3e-99d60cfef510"><enum>(e)</enum><header display-inline="yes-display-inline">Timelines</header><paragraph commented="no" display-inline="no-display-inline" id="id0f2b126f-e912-40aa-aeae-420fef890067"><enum>(1)</enum><header display-inline="yes-display-inline">Selection</header><text display-inline="yes-display-inline">An arbitrator or panel of arbitrators shall be selected not later than 14 days after the date of the Board’s decision to initiate arbitration.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idbd22744a-b33c-4c44-84a9-ce86183ac206"><enum>(2)</enum><header display-inline="yes-display-inline">Evidentiary process</header><text display-inline="yes-display-inline">The evidentiary process of the voluntary and binding arbitration process shall be completed not later than 90 days after the date on which the arbitration process is initiated unless—</text><subparagraph commented="no" display-inline="no-display-inline" id="idD57E6DC2DD894077A94BE548DFA6402F"><enum>(A)</enum><text display-inline="yes-display-inline">a party requests an extension; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id03668B2CD6AE4CAFB45CC2AD4E88196A"><enum>(B)</enum><text display-inline="yes-display-inline">the arbitrator or panel of arbitrators, as applicable, grants such extension request.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8860b1eb-aea6-4d98-ae57-2a170abf0c72"><enum>(3)</enum><header display-inline="yes-display-inline">Decision</header><text display-inline="yes-display-inline">The arbitrator or panel of arbitrators, as applicable, shall issue a decision not later than 30 days after the date on which the evidentiary record is closed.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id43db1746-c690-4a75-935c-ffc8c34c7f8a"><enum>(4)</enum><header display-inline="yes-display-inline">Extensions</header><text display-inline="yes-display-inline">The Board may extend any of the timelines under this subsection upon the agreement of all parties in the dispute.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id409650d0-849c-49cd-b67c-292f254e4d77"><enum>(f)</enum><header display-inline="yes-display-inline">Arbitrators</header><paragraph commented="no" display-inline="no-display-inline" id="idcc0e85f5-9f77-4b13-9c42-11084cc81663"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Unless otherwise agreed by all of the parties, an arbitration under this section shall be conducted by an arbitrator or panel of arbitrators, which shall be selected from a roster, maintained by the Board, of persons with rail transportation, economic regulation, professional or business experience, including agriculture, in the private sector.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5ea2fa87-ca30-494c-95ee-4fec0246aebc"><enum>(2)</enum><header display-inline="yes-display-inline">Independence</header><text display-inline="yes-display-inline">In an arbitration under this section, the arbitrators shall perform their duties with diligence, good faith, and in a manner consistent with the requirements of impartiality and independence.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idB31A384633D24908996AF17E0C2FE040"><enum>(3)</enum><header display-inline="yes-display-inline">Selection</header><subparagraph commented="no" display-inline="no-display-inline" id="ida7318462-41ee-4554-b5b4-e3b20512c178"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">If the parties cannot mutually agree on an arbitrator, or the lead arbitrator of a panel of arbitrators, the parties shall select the arbitrator or lead arbitrator from the roster by alternately striking names from the roster until only 1 name remains meeting the criteria set forth in paragraph (1).</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id83b61e62-9bf7-463f-ba9e-937a0f366277"><enum>(B)</enum><header display-inline="yes-display-inline">Panel of arbitrators</header><text display-inline="yes-display-inline">If the parties agree to select a panel of arbitrators, instead of a single arbitrator, the panel shall be selected under this subsection as follows:</text><clause commented="no" display-inline="no-display-inline" id="idD5233FE219614056BD728735E05D01FF"><enum>(i)</enum><text display-inline="yes-display-inline">The parties to a dispute may mutually select 1 arbitrator from the roster to serve as the lead arbitrator of the panel of arbitrators.</text></clause><clause commented="no" display-inline="no-display-inline" id="id567849F1F1B2460C9CEA63756450CB3F"><enum>(ii)</enum><text display-inline="yes-display-inline">If the parties cannot mutually agree on a lead arbitrator, the parties shall select a lead arbitrator using the process described in subparagraph (A).</text></clause><clause commented="no" display-inline="no-display-inline" id="id358cd7cb-ae96-435a-a820-27eac69d6d67"><enum>(iii)</enum><text display-inline="yes-display-inline">In addition to the lead arbitrator selected under this subparagraph, each party to a dispute shall select 1 additional arbitrator from the roster, regardless of whether the other party struck out the arbitrator’s name under subparagraph (A).</text></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id34b6bc7f-ab19-413e-ad94-801cb9d1b779"><enum>(4)</enum><header display-inline="yes-display-inline">Cost</header><text display-inline="yes-display-inline">The parties shall share the costs incurred by the Board and arbitrators equally, with each party responsible for paying its own legal and other associated arbitration costs.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id7f71928b-5e1e-43b8-87e4-7011ef1f02c5"><enum>(g)</enum><header display-inline="yes-display-inline">Relief</header><paragraph commented="no" display-inline="no-display-inline" id="id22A04B4BA556420BB31A077FBED941FD"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Subject to the limitations set forth in paragraphs (2) and (3), an arbitral decision under this section may award the payment of damages or rate prescriptive relief.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5be727cf-ccca-4887-a5f6-3f8e5a5cfc1c"><enum>(2)</enum><header display-inline="yes-display-inline">Practice disputes</header><text display-inline="yes-display-inline">The damage award for practice disputes may not exceed $2,000,000.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idf3141f11-56d0-497c-8677-190059c1c612"><enum>(3)</enum><header display-inline="yes-display-inline">Rate disputes</header><subparagraph commented="no" display-inline="no-display-inline" id="id1F6584FF144C4B01BBDF39B2A5AD78F0"><enum>(A)</enum><header display-inline="yes-display-inline">Monetary limit</header><text display-inline="yes-display-inline">The damage award for rate disputes, including any rate prescription, may not exceed $25,000,000.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idE164537F267C49DDAE36C2720139B998"><enum>(B)</enum><header display-inline="yes-display-inline">Time limit</header><text display-inline="yes-display-inline">Any rate prescription shall be limited to not longer than 5 years from the date of the arbitral decision.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ide8b55536-4573-4dda-bda8-ecd11629b705"><enum>(h)</enum><header display-inline="yes-display-inline">Board review</header><text display-inline="yes-display-inline">If a party appeals a decision under this section to the Board, the Board may review the decision under this section to determine if—</text><paragraph commented="no" display-inline="no-display-inline" id="id548d59f3-49bd-48b6-8c2e-aa2442831c6b"><enum>(1)</enum><text display-inline="yes-display-inline">the decision is consistent with sound principles of rail regulation economics;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id689A8FDCB8BC44FABC582FB19AD4C01C"><enum>(2)</enum><text display-inline="yes-display-inline">a clear abuse of arbitral authority or discretion occurred;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id866D67621D584712B114DA1D920F5EFC"><enum>(3)</enum><text display-inline="yes-display-inline">the decision directly contravenes statutory authority; or</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idc240e0ed-d7e8-44a8-a237-4b66a179a0be"><enum>(4)</enum><text display-inline="yes-display-inline">the award limitation under subsection (g) was violated.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="id2b4f878d-d0f5-4d52-89dd-789b7c148821"><enum>(b)</enum><header display-inline="yes-display-inline">Conforming amendment</header><text display-inline="yes-display-inline">The table of contents for chapter 117 is amended by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="id014d1141-1ebd-4e76-a63a-3d8d7494b502" style="OLC"><toc><toc-entry bold="off" Voluntary arbitration of certain rail rates and practice disputes.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section><section commented="no" display-inline="no-display-inline" id="id814ecc9b-74e1-4413-8c20-9a75b37cf8df" section-type="subsequent-section"><enum>14.</enum><header display-inline="yes-display-inline">Effect of proposals for rates from multiple origins and destinations</header><subsection commented="no" display-inline="no-display-inline" id="idD4B5262D5B464B9F9F563FD0777D3E53"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Not later than 90 days after the date of the enactment of this Act, the Comptroller General of the United States shall commence a study of rail transportation contract proposals containing multiple origin-to-destination movements.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id42D14975E7234148A0FF392A9DD60DB5"><enum>(b)</enum><header display-inline="yes-display-inline">Report</header><text display-inline="yes-display-inline">Not later than 1 year after commencing the study required under subsection (a), the Comptroller General shall submit a report containing the results of the study to—</text><paragraph commented="no" display-inline="no-display-inline" id="idC99BF77F5399464AB1191CAA02586A91"><enum>(1)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="SSCM00">Committee on Commerce, Science, and Transportation of the Senate</committee-name>; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id54CC30EF127D490C87B883380046FDE9"><enum>(2)</enum><text display-inline="yes-display-inline">the <committee-name committee-id="">Committee on Transportation and Infrastructure of the House of Representatives</committee-name>.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id04b1d157-9b96-483d-97a3-164c3222aae7" section-type="subsequent-section"><enum>15.</enum><header display-inline="yes-display-inline">Reports</header><subsection commented="no" display-inline="no-display-inline" id="idAFCCEF36B9194189A4EF206DBE57DC80"><enum>(a)</enum><header display-inline="yes-display-inline">Report on rate case methodology</header><text display-inline="yes-display-inline">Not later than 1 year after the date of the enactment of this Act, the Surface Transportation Board shall submit a report to the congressional committees referred to in section 14(b) that—</text><paragraph commented="no" display-inline="no-display-inline" id="id3718c3ba-a64c-4197-9138-8cc10b24c646"><enum>(1)</enum><text display-inline="yes-display-inline">indicates whether current large rate case methodologies are sufficient, not unduly complex, and cost effective;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idce01b7b4-54d7-47f3-9577-e2442d639df2"><enum>(2)</enum><text display-inline="yes-display-inline">indicates whether alternative methodologies exist, or could be developed, to streamline, expedite, and address the complexity of large rate cases; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5ACCE11827FB49B2A2CA9784A967AA7D"><enum>(3)</enum><text display-inline="yes-display-inline">only includes alternative methodologies, which exist or could be developed, that are consistent with sound economic principles.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ide9df8b3d-0451-4383-935c-8b3c9894a764"><enum>(b)</enum><header display-inline="yes-display-inline">Quarterly reports</header><text display-inline="yes-display-inline">Beginning not later than 60 days after the date of the enactment of this Act, the Surface Transportation Board shall submit quarterly reports to the congressional committees referred to in section 14(b) that describes the Surface Transportation Board’s progress toward addressing the issues raised in each unfinished regulatory proceeding, regardless of whether the proceeding is subject to a statutory or regulatory deadline.</text></subsection></section><section commented="no" display-inline="no-display-inline" id="idC3B1910C9ABA4622813CE1F05B49FCD1" section-type="subsequent-section"><enum>16.</enum><header display-inline="yes-display-inline">Criteria</header><text display-inline="no-display-inline">Section 10704(a)(2) is amended by inserting <quote>for the infrastructure and investment needed to meet the present and future demand for rail services and</quote> after <quote>management,</quote>.</text></section><section commented="no" display-inline="no-display-inline" id="id1267d786-6aa6-4745-91b1-1838d95cdd69" section-type="subsequent-section"><enum>17.</enum><header display-inline="yes-display-inline">Construction</header><text display-inline="no-display-inline">Nothing in this Act may be construed to affect any suit commenced by or against the Surface Transportation Board, or any proceeding or challenge pending before the Surface Transportation Board, before the date of the enactment of this Act.</text></section></legis-body><attestation><attestation-group><attestor display="no"></attestor><role>Speaker of the House of Representatives</role></attestation-group><attestation-group><attestor display="no"></attestor><role>Vice President of the United States and President of the Senate</role></attestation-group></attestation></bill>
