		  Economic Development to establish an early-stage business investment and
		  incubation grant program, and for other purposes.</official-title>

		<section id="H97B0B089F3EF4949BBDC3E457FD53E8C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Early-Stage Business Investment and
			 Incubation Act of 2011</short-title></quote>.</text>
		</section><section id="HAB356CEA30ED4665A76081F766E74EF9"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text>
			<paragraph id="HCA1986FD31B7441C824669DE6DD4AD8F"><enum>(1)</enum><header>Covered business
			 incubator</header><text display-inline="yes-display-inline">The term
			 <term>covered business incubator</term> means a public or private
			 not-for-profit organization, including an academic institution, that—</text>
				<subparagraph id="HED81E4CDB4C44719B363B756A7068D69"><enum>(A)</enum><text>operates a program
			 providing assistance to early-stage businesses in targeted industries to
			 support the development of those businesses;</text>
				</subparagraph><subparagraph id="HB68A4AC812394DE88BE76965FFCD950C"><enum>(B)</enum><text display-inline="yes-display-inline">has a physical location and on-site
			 management for the program described in subparagraph (A); and</text>
				</subparagraph><subparagraph id="H4ED9FE14F5CC410EBB2BFB3E79349ED8"><enum>(C)</enum><text>has procedures for
			 selecting businesses for, and graduating businesses from, the program described
			 in subparagraph (A).</text>
				</subparagraph></paragraph><paragraph id="H33671A68F7C94A459FEE006F4E192ADD"><enum>(2)</enum><header>Due diligence
			 activities</header><text display-inline="yes-display-inline">The term <term>due
			 diligence activities</term> means activities carried out to analyze and assess
			 the desirability, value, and potential of an opportunity to provide assistance
			 to an early-stage business in a targeted industry.</text>
			</paragraph><paragraph id="H882CDD52DCFC426D8796F10A25E699A2"><enum>(3)</enum><header>Early-stage
			 business in a targeted industry</header><text display-inline="yes-display-inline">The term <term>early-stage business in a
			 targeted industry</term> means a small business concern that—</text>
				<subparagraph id="H4007E392C69A429CA2A6B057D2AE492E"><enum>(A)</enum><text>is located in the
			 United States;</text>
				</subparagraph><subparagraph id="HC23B6A38374E45A5A53A7C8111102E06"><enum>(B)</enum><text display-inline="yes-display-inline">has not generated gross annual revenues
			 exceeding $15,000,000 in any of the most recent 3 years; and</text>
				</subparagraph><subparagraph id="HF065DBB5C0BB415AB4E0CF44BE87DC40"><enum>(C)</enum><text>is engaged
			 primarily in researching, developing, manufacturing, producing, or bringing to
			 market goods or services with respect to—</text>
					<clause id="HDFB3897A5DAC4ECDBE71F2DA40313B16"><enum>(i)</enum><text>agricultural
			 technology;</text>
					</clause><clause id="H4B712CDFF54D4A4DBB7DE56636C980BA"><enum>(ii)</enum><text>energy
			 technology;</text>
					</clause><clause id="HB5DB339CBEFF40C28B712DBE6237CC40"><enum>(iii)</enum><text>environmental
			 technology;</text>
					</clause><clause id="H37C5FFC9606448A8AB418A3EF77D628A"><enum>(iv)</enum><text>life science
			 technology;</text>
					</clause><clause id="H143B55CF1FE743BA8936F8A6E8195BFB"><enum>(v)</enum><text>biotechnology;</text>
					</clause><clause id="H15A9247F09F841E7BF6AFEFD8E2C2573"><enum>(vi)</enum><text>information
			 technology;</text>
					</clause><clause id="H8B5A8A88E3B344A2A577D12118F76B61"><enum>(vii)</enum><text>digital
			 media;</text>
					</clause><clause id="HE816C9996DED43D49C1DF8317D5EC780"><enum>(viii)</enum><text>clean
			 technology;</text>
					</clause><clause id="HCE848099C9774B4C8C3ABA1D5089E6EA"><enum>(ix)</enum><text>defense
			 technology;</text>
					</clause><clause id="H8840B8FE6C2B45DDA91D55F142DD13BD"><enum>(x)</enum><text>photonics
			 technology;</text>
					</clause><clause id="H49638308DB3C45A7BB6940DB9C20CB86"><enum>(xi)</enum><text>electronic
			 technology;</text>
					</clause><clause id="HE90725B33810423083BA279F425B44E4"><enum>(xii)</enum><text>semiconductor
			 technology;</text>
					</clause><clause id="H90FD09F9114E493988D4E5EDFBF00554"><enum>(xiii)</enum><text>material
			 science technology;</text>
					</clause><clause id="HB0D3FCA7CE764D88A6F9706BDD87C129"><enum>(xiv)</enum><text>aerospace;</text>
					</clause><clause id="H200AE7C331B34F2E82A24A68205502AF"><enum>(xv)</enum><text>communications;
			 or</text>
					</clause><clause id="H5CCDB537A11D43C98C10D7FAD7FDFAF4"><enum>(xvi)</enum><text>transportation.</text>
					</clause></subparagraph></paragraph><paragraph id="HE05984F8BAC74942A569D4B0A010928D"><enum>(4)</enum><header>Operational
			 expenses</header><text>The term <term>operational expenses</term> means the
			 costs of operating a covered business incubator, including overhead and
			 management expenses.</text>
			</paragraph><paragraph id="H4A7A540DE54740A5B529D17F146E832A"><enum>(5)</enum><header>Purchased
			 services</header><text display-inline="yes-display-inline">The term
			 <term>purchased services</term> means any training, counseling, or other
			 assistance provided to an early-stage business in a targeted industry by a
			 covered business incubator through an agreement with another entity, and not by
			 the incubator directly.</text>
			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H03987C9049AE4434BAA13792E364FB00"><enum>(6)</enum><header>Small business
			 concern</header><text>The term <term>small business concern</term> has the
			 meaning given that term in section 3 of the Small Business Act (15 U.S.C.
			 632).</text>
			</paragraph></section><section id="HBACCCC49E9B14F7ABDE9124973DC0FAC"><enum>3.</enum><header>Early-stage
			 business investment and incubation grant program</header>
			<subsection id="H5B3AD48E1C8C4A839E57B413C8062EC0"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">Not later than 60 days after the date of
			 the enactment of this Act, the Assistant Secretary of Commerce for Economic
			 Development (in this section referred to as the <term>Assistant
			 Secretary</term>) shall establish an early-stage business investment and
			 incubation grant program (in this section referred to as the
			 <term>Program</term>) to support the development of early-stage businesses in
			 targeted industries.</text>
			</subsection><subsection id="H6321BF5B9B3A474D9BEC08B6343ECB0E"><enum>(b)</enum><header>Grant
			 authority</header>
				<paragraph id="HC1B29438ADA94B6CB29BBB8472383652"><enum>(1)</enum><header>In
			 general</header><text>The Assistant Secretary may make grants to covered
			 business incubators under the Program.</text>
				</paragraph><paragraph id="H9D6727CFE22D48F3BDF08D204B9346A5"><enum>(2)</enum><header>Amount of
			 grants</header>
					<subparagraph id="HF848FF01090F4F33A9E0FD11C124BCB8"><enum>(A)</enum><header>Non-Federal
			 capital limitation</header><text display-inline="yes-display-inline">The amount
			 of a grant made to a covered business incubator under the Program may not
			 exceed the amount of the incubator’s capital that—</text>
						<clause id="H33CB8A8B9D2E4854AB910BCDD2F885C2"><enum>(i)</enum><text>is
			 not from a Federal source; and</text>
						</clause><clause id="HB6E943AEFEB644E8BE4696F7A10CCE5E"><enum>(ii)</enum><text>is
			 available for investment and incubation services on the day before the grant is
			 awarded.</text>
						</clause></subparagraph><subparagraph id="HC63572021F2342DEBFF8FE6AD0FA5987"><enum>(B)</enum><header>Aggregate amount
			 limitation</header><text display-inline="yes-display-inline">A covered business
			 incubator may receive not more than $5,000,000 in grants under the
			 Program.</text>
					</subparagraph></paragraph></subsection><subsection id="H7BE0E4DDBA0F408DB75EBC93D166B0FB"><enum>(c)</enum><header>Use of grant
			 funds</header>
				<paragraph id="HB386753A4FC0444B9F2A25D5C048C882"><enum>(1)</enum><header>In
			 general</header><text display-inline="yes-display-inline">Subject to paragraph
			 (2), a grant made to a covered business incubator under the Program may be used
			 by the incubator—</text>
					<subparagraph id="H7A6E510B071C46FB892DDE2E7ECC9752"><enum>(A)</enum><text>to make an
			 investment in an early-stage business in a targeted industry;</text>
					</subparagraph><subparagraph id="H59E6CBAE70224C5886CABA0C09DA2F07"><enum>(B)</enum><text>to provide
			 training, counseling, and other assistance to an early-stage business in a
			 targeted industry to support the development of the business;</text>
					</subparagraph><subparagraph id="HB5453A8CBBFD4EE48B997836B556FFB2"><enum>(C)</enum><text>to provide
			 purchased services to an early-stage business in a targeted industry;</text>
					</subparagraph><subparagraph id="H75DFB67C18EF49888C5585A6C64CCE54"><enum>(D)</enum><text>to conduct due
			 diligence activities; or</text>
					</subparagraph><subparagraph id="H33469516680C4501B4BC9348603B663F"><enum>(E)</enum><text>to meet
			 operational expenses of the incubator.</text>
					</subparagraph></paragraph><paragraph id="H971FB1CE44A14C6DA5691AD24800B7BA"><enum>(2)</enum><header>Limitations</header>
					<subparagraph id="HEBD4EF0A533E4CA78A704B8EC41F0403"><enum>(A)</enum><header>Purchased
			 services</header><text display-inline="yes-display-inline">A covered business
			 incubator may use not more than 20 percent of the amount of a grant made to the
			 incubator under the Program to provide purchased services to an early-stage
			 business in a targeted industry.</text>
					</subparagraph><subparagraph id="H95B81733427A44538CAC1938B04F417C"><enum>(B)</enum><header>Due diligence
			 activities</header><text display-inline="yes-display-inline">A covered business
			 incubator may use not more than 6 percent of the amount of a grant made to the
			 incubator under the Program to conduct due diligence activities.</text>
					</subparagraph><subparagraph id="H30E0F247BC454BBA8636E17A689F45CD"><enum>(C)</enum><header>Operational
			 expenses</header><text display-inline="yes-display-inline">A covered business
			 incubator may use not more than 5 percent of the amount of a grant made to the
			 incubator under the Program to meet operational expenses of the
			 incubator.</text>
					</subparagraph></paragraph></subsection><subsection id="id2FC08EB90B26414A9D5E536C7F28FD62"><enum>(d)</enum><header>Applications</header><text>A
			 covered business incubator seeking a grant under the Program shall submit to
			 the Assistant Secretary an application—</text>
				<paragraph id="idAFBD2597FAC6494EAD94F55453227537"><enum>(1)</enum><text>at such time and
			 in such manner as the Assistant Secretary may require;</text>
				</paragraph><paragraph id="id101E315DF904436DA0F424D673BA4259"><enum>(2)</enum><text>describing in
			 detail the activities the incubator intends to carry out using the grant;
			 and</text>
				</paragraph><paragraph commented="no" id="H255F2D8911C54D129F03FD340FFF3B3C"><enum>(3)</enum><text>setting forth the
			 percentage of the grant funds that the incubator intends to use for each of the
			 activities described in subparagraphs (A) through (E) of subsection
			 (c)(1).</text>
				</paragraph></subsection><subsection id="HC34156FA7EFC43EFAE837A90F1813C2B"><enum>(e)</enum><header>Grant
			 conditions</header><text>As a condition of receiving a grant under the program,
			 a covered business incubator shall do the following:</text>
				<paragraph id="idF975D0A8D79F4643894A65F1F802625C"><enum>(1)</enum><header>Fund
			 manager</header><text>Designate an individual as the fund manager for the grant
			 funds, who shall administer and be responsible to the Assistant Secretary for
			 information with respect to the grant funds received by the incubator.</text>
				</paragraph><paragraph id="HA4C3B981158D45D29147EE2BABA0AFEA"><enum>(2)</enum><header>Investment
			 committee</header><text display-inline="yes-display-inline">Establish an
			 investment committee, composed of not fewer than 5 individuals (3 of whom may
			 not be employed by the incubator or an affiliate of the incubator or be related
			 to an individual who owns or is otherwise responsible for the operations of the
			 incubator or an affiliate of the incubator), that shall—</text>
					<subparagraph id="H069FC6D937904C7481508EE7B8937276"><enum>(A)</enum><text>review proposals
			 for and advise the incubator on the use of grant funds;</text>
					</subparagraph><subparagraph id="H5C6EEC73531844FE9959A3BFC048D1F9"><enum>(B)</enum><text>provide letters of
			 support and reference to the Assistant Secretary with respect to proposals for
			 the use of grant funds by the incubator; and</text>
					</subparagraph><subparagraph id="HFF2E68A64B4047A384304F669CBAC65C"><enum>(C)</enum><text>submit periodic
			 reports to the Assistant Secretary on the results of activities carried out
			 with grant funds.</text>
					</subparagraph></paragraph><paragraph id="H62C8CE0D5E5F4F67B9F63265D34FF4B6"><enum>(3)</enum><header>Collaborator</header><text display-inline="yes-display-inline">Assign to each early-stage business in a
			 targeted industry that the incubator assists with grant funds a collaborator
			 who shall—</text>
					<subparagraph id="id6A0183D479ED45CFA603FF9A920A9DDA"><enum>(A)</enum><text display-inline="yes-display-inline">be an individual not employed by the
			 incubator or an affiliate of the incubator or be related to an individual who
			 owns or is otherwise responsible for the operations of the incubator or an
			 affiliate of the incubator; and</text>
					</subparagraph><subparagraph id="id90DC290AB7A24BF18059BE8A376ACA41"><enum>(B)</enum><text display-inline="yes-display-inline">shall assist the incubator in providing
			 support to the business.</text>
					</subparagraph></paragraph></subsection><subsection id="HB8C71E835CBB45898E088C70B62E2C35"><enum>(f)</enum><header>Federal share of
			 activities</header><text>The Federal share of the cost of an activity carried
			 out by a covered business incubator using a grant under the Program may not
			 exceed 75 percent of the cost of that activity.</text>
			</subsection><subsection id="H551F0A4BBBAA4626A53B734341BC45DD"><enum>(g)</enum><header>Monitoring and
			 evaluation</header>
				<paragraph id="HD9BDC145E2DB4114BF340814D9B4E282"><enum>(1)</enum><header>In
			 general</header><text display-inline="yes-display-inline">The Assistant
			 Secretary shall assess the effectiveness of covered business incubators that
			 receive grants under the Program in supporting the development of early-stage
			 businesses in targeted industries using the data provided by covered business
			 incubators under paragraph (2) and such other information as the Assistant
			 Secretary considers appropriate.</text>
				</paragraph><paragraph id="H19E3FA16823043FDB6210743DC091551"><enum>(2)</enum><header>Data from
			 incubators</header><text>Not later than 120 days after the date on which a
			 covered business incubator receives a grant under the Program, the incubator
			 shall provide to the Assistant Secretary information on the activities of the
			 incubator and on the businesses assisted using the grant, including—</text>
					<subparagraph id="H3F8FAB51DD7E4431A281640E3EC90858"><enum>(A)</enum><text>the number of jobs
			 created by those businesses;</text>
					</subparagraph><subparagraph id="H24A9AB854BDB4739B8E7EC47C9724DF7"><enum>(B)</enum><text display-inline="yes-display-inline">the amount of taxes paid by those
			 businesses and the employees of those businesses; and</text>
					</subparagraph><subparagraph id="HEDA6ECC41B124F74ABD94C4D411CA7F3"><enum>(C)</enum><text>other data that
			 the Assistant Secretary considers appropriate to determine the effectiveness of
			 assistance provided using grants made under the Program.</text>
					</subparagraph></paragraph></subsection><subsection id="HEC7C17C80A944AF0A54094C7D39862B7"><enum>(h)</enum><header>Authorization of
			 appropriations</header><text>There are authorized to be appropriated to carry
			 out the Program—</text>
				<paragraph id="H5EBC614E8A2C428DAD4F7249F747B314"><enum>(1)</enum><text>$250,000,000 for
			 the first fiscal year that begins after the date of the enactment of this Act;
			 and</text>
				</paragraph><paragraph id="H21145E76016040D194B9EE3EC2BBA73C"><enum>(2)</enum><text>such sums as may
			 be necessary for each fiscal year thereafter.</text>
				</paragraph></subsection></section></legis-body>
