		<official-title>To amend the securities laws to establish certain
		  thresholds for shareholder registration, and for other
		  purposes.</official-title>

		<section id="id13312FF985054BEDB506E343AFF91B99" section-type="section-one"><enum>1.</enum><header>Shareholder registration
			 threshold</header>
			<subsection id="ID8daa477717794d6090db66a54fd0fbf9"><enum>(a)</enum><header>Amendments to
			 section 12 of the Securities Exchange Act of 1934</header><text>Section 12(g)
			 of the Securities Exchange Act of 1934 (15 U.S.C. 781(g)) is amended—</text>
				<paragraph id="IDb8df545eb7df4d4e818125542aee7384"><enum>(1)</enum><text>in paragraph
			 (1)—</text>
					<subparagraph id="ID65e8516ad7844addb8800584cf232df8"><enum>(A)</enum><text>by striking
			 subparagraphs (A) and (B) and inserting the following:</text>
						<quoted-block display-inline="no-display-inline" id="id58FDEE9D656047B79EFD5FEF9ED8542A" style="OLC">
							<paragraph id="IDbae6d6e3726a4f4d95cd1381729b3d10"><enum>(1)</enum><text>in the case of an
				issuer that is a bank, as such term is defined in section 3(a)(6) of this
				title, or a bank holding company, as such term is defined in section (2) of the
				Bank Holding Company Act of 1956 (12 U.S.C. 1841), 2000 persons or more;
				and</text>
							</paragraph><paragraph id="ID27b2be4bee714695b939711873b3b523"><enum>(2)</enum><text>in the case of an
				issuer that is not a bank or bank holding company, 500 persons or
				more,</text>
							</paragraph><after-quoted-block>;
				and</after-quoted-block></quoted-block>
					</subparagraph><subparagraph id="ID3bbb200d6204413fb16fe6312d7761c5"><enum>(B)</enum><text>by striking
			 <quote>commerce shall</quote> and inserting <quote>commerce shall, not later
			 than 120 days after the last day of its first fiscal year ended after the
			 effective date of this subsection, on which the issuer has total assets
			 exceeding $10,000,000 and a class of equity security (other than an exempted
			 security) held of record by</quote>; and</text>
					</subparagraph></paragraph><paragraph id="IDd4a905c7cd8e4d5ab84e534163ffddf8"><enum>(2)</enum><text>in paragraph (4),
			 by striking <quote>three hundred</quote> and inserting <quote>300 persons, or,
			 in the case of a bank, as such term is defined in section 3(a)(6), or a bank
			 holding company, as such term is defined in section (2) of the Bank Holding
			 Company Act of 1956 (12 U.S.C. 1841), 1200</quote>.</text>
				</paragraph></subsection><subsection id="ID91b74579b202473ebfde40859f7487a2"><enum>(b)</enum><header>Amendments to
			 section 15 of the Securities Exchange Act of 1934</header><text>Section 15(d)
			 of the Securities Exchange Act of 1934 (15 U.S.C. 78o(d)) is amended, in the
			 third sentence, by striking <quote>three hundred</quote> and inserting
			 <quote>300 persons, or, in the case of bank, as such term is defined in section
			 3(a)(6), or a bank holding company, as such term is defined in section (2) of
			 the Bank Holding Company Act of 1956 (12 U.S.C. 1841), 1200</quote>.</text>
			</subsection></section><section id="ID93e9f9ce6881474dada4ca2e3cf9194a"><enum>2.</enum><header>Study and report
			 on registration thresholds</header>
			<subsection id="ID37a8af3079a74b5f9af34288200834e0"><enum>(a)</enum><header>Study</header>
				<paragraph id="ID8d417482dbd34f82b31b02f663566c33"><enum>(1)</enum><header>Analysis
			 required</header><text>The Chief Economist and Director of the Division of
			 Corporation Finance of the Commission shall jointly conduct a study, including
			 a cost-benefit analysis, of shareholder registration thresholds.</text>
				</paragraph><paragraph id="ID506c25cfef6a4d788eeb39022e5439d8"><enum>(2)</enum><header>Costs and
			 benefits</header><text>The cost-benefit analysis under paragraph (1) shall take
			 into account—</text>
					<subparagraph id="ID21714665a74043688a724c16d08cec5f"><enum>(A)</enum><text>the incremental
			 benefits to investors of the increased disclosure that results from
			 registration;</text>
					</subparagraph><subparagraph id="IDa64d80bf9b434b52a8470b871add2041"><enum>(B)</enum><text>the incremental
			 costs to issuers associated with registration and reporting requirements;
			 and</text>
					</subparagraph><subparagraph id="ID22a0368bcec343b68a75e580735b45f8"><enum>(C)</enum><text>the incremental
			 administrative costs to the Commission associated with different
			 thresholds.</text>
					</subparagraph></paragraph><paragraph id="IDedb1fa79c2c145f49970013db44c5d35"><enum>(3)</enum><header>Thresholds</header><text>The
			 cost-benefit analysis under paragraph (1) shall evaluate whether it is
			 advisable to—</text>
					<subparagraph id="IDd7ea81f095d846f3ba2a49894947fc04"><enum>(A)</enum><text>increase the
			 asset threshold;</text>
					</subparagraph><subparagraph id="ID77e9f4cc296a481dae78f21b6ec0cee2"><enum>(B)</enum><text>index the asset
			 threshold to a measure of inflation;</text>
					</subparagraph><subparagraph id="IDbfe4693e0a6c405fbd0210cf04a6883c"><enum>(C)</enum><text>increase the
			 shareholder threshold;</text>
					</subparagraph><subparagraph id="ID810bbe845a644d90a255b12be076a6dc"><enum>(D)</enum><text>change the
			 shareholder threshold to be based on the number of beneficial owners;
			 and</text>
					</subparagraph><subparagraph id="IDc3559467a577418ca7a15f41fd3bc931"><enum>(E)</enum><text>create new
			 thresholds based on other criteria.</text>
					</subparagraph></paragraph></subsection><subsection id="IDad7fa2bbb99947849c1b2fadb14be20d"><enum>(b)</enum><header>Report</header><text>Not
			 later than 2 years after the date of enactment of this Act, the Chief Economist
			 and the Director of the Division of Corporation Finance of the Commission shall
			 jointly submit to the Committee on Banking, Housing, and Urban Affairs of the
			 Senate and the Committee on Financial Services of the House of Representatives
			 a report that includes—</text>
				<paragraph id="IDc593533d33cd4c968aa67be70c588be1"><enum>(1)</enum><text>the findings of
			 the study required under subsection (a); and</text>
				</paragraph><paragraph id="IDdb74dda1037044728b9d045c5100eccb"><enum>(2)</enum><text>recommendations
			 for statutory changes to improve the shareholder registration
			 thresholds.</text>
				</paragraph></subsection></section><section id="id4730A2246AB2497B834F81D11A71C6E7"><enum>3.</enum><header>Rulemaking</header><text display-inline="no-display-inline">Not later than one year after the date of
			 enactment of this Act, the Commission shall issue final regulations to
			 implement this Act and the amendments made by this Act.</text>
