		<official-title>To amend the Federal antitrust laws to provide expanded
		  coverage and to eliminate exemptions from such laws that are contrary to the
		  public interest with respect to railroads.</official-title>

	<legis-body display-enacting-clause="yes-display-enacting-clause">
		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short
			 title</header><text display-inline="no-display-inline">This Act may be cited as
			 the <quote><short-title>Railroad Antitrust Enforcement Act
			 of 2011</short-title></quote>.</text>
		</section><section id="ID8bf48d9cf1924e8fa9194ef97a1362ca"><enum>2.</enum><header>Injunctions
			 against railroad common carriers</header><text display-inline="no-display-inline">The proviso in section 16 of the Clayton Act
			 (15 U.S.C. 26) ending with <quote>Code.</quote> is amended to read as follows:
			 <quote><italic>Provided,</italic> That nothing herein contained shall be
			 construed to entitle any person, firm, corporation, or association, except the
			 United States, to bring suit for injunctive relief against any common carrier
			 that is not a railroad subject to the jurisdiction of the Surface
			 Transportation Board under subtitle IV of title 49, United States
			 Code.</quote>.</text>
		</section><section id="ID8761dde23bee4b43a2ad3d17be0aa16b"><enum>3.</enum><header>Mergers and
			 acquisitions of railroads</header><text display-inline="no-display-inline">The
			 sixth undesignated paragraph of section 7 of the Clayton Act (15 U.S.C. 18) is
			 amended to read as follows:</text>
			<quoted-block display-inline="no-display-inline" id="id6A1887B9AE7D4766B18026C6482C433D" style="OLC">
				<subsection id="IDf8fbedaccc774a07a17ca5a448b3a12f"><enum></enum><text display-inline="yes-display-inline">Nothing contained in this section shall
				apply to transactions duly consummated pursuant to authority given by the
				Secretary of Transportation, Federal Power Commission, Surface Transportation
				Board (except for transactions described in section 11321 of that title), the
				Securities and Exchange Commission in the exercise of its jurisdiction under
				section 10 (of the Public Utility Holding Company Act of 1935), the United
				States Maritime Commission, or the Secretary of Agriculture under any statutory
				provision vesting such power in the Commission, Board, or
				Secretary.</text>
				</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section id="IDb074f01078fe41109dfef41c2e13c729"><enum>4.</enum><header>Limitation of
			 primary jurisdiction</header><text display-inline="no-display-inline">The
			 Clayton Act is amended by adding at the end thereof the following:</text>
			<quoted-block display-inline="no-display-inline" id="idF6ECEB317CB14448A1B25C49551F38A2" style="traditional">
				<section id="idA7D1524FBB1C4A85994B1BC01C8E2A07"><enum>29.</enum><text>In any civil
				action against a common carrier railroad under section 4, 4C, 15, or 16 of this
				Act, the district court shall not be required to defer to the primary
				jurisdiction of the Surface Transportation
				Board.</text>
				</section><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section id="IDab6db4d99fbd4d62a6661bc9d3121d72"><enum>5.</enum><header>Federal trade
			 commission enforcement</header>
			<subsection id="id64DEEAEBB99C44FC9044CF7CBDC3A75E"><enum>(a)</enum><header>Clayton
			 Act</header><text>Section 11(a) of the Clayton Act (15 U.S.C. 21(a)) is amended
			 by striking <quote>subject to jurisdiction</quote> and all that follows through
			 the first semicolon and inserting <quote>subject to jurisdiction under subtitle
			 IV of title 49, United States Code (except for agreements described in section
			 10706 of that title and transactions described in section 11321 of that
			 title);</quote>.</text>
			</subsection><subsection id="idF7A624CCB6824FD2922452047C6F5590"><enum>(b)</enum><header>FTC
			 Act</header><text>Section 5(a)(2) of the Federal Trade Commission Act (15
			 U.S.C. 45(a)(2)) is amended by striking <quote>common carriers subject</quote>
			 and inserting <quote>common carriers, except for railroads,
			 subject</quote>.</text>
			</subsection></section><section id="ID8eb6f241e72f4fd7bc7a6123821ec6c9"><enum>6.</enum><header>Expansion of
			 treble damages to rail common carriers</header><text display-inline="no-display-inline">Section 4 of the Clayton Act (15 U.S.C. 15)
			 is amended by—</text>
			<paragraph id="idADAE4BC97EC24445AC919E31AB8DB68E"><enum>(1)</enum><text display-inline="yes-display-inline">redesignating subsections (b) and (c) as
			 subsections (c) and (d), respectively; and</text>
			</paragraph><paragraph id="id1EAE8885EE1E41DFB6A8380119953542"><enum>(2)</enum><text>inserting after
			 subsection (a) the following:</text>
				<quoted-block display-inline="no-display-inline" id="id48FAE261264249C99FA0CB786402B01B" style="OLC">
					<subsection id="ID6653e4f843f54c55a3d6c56b7519bf22"><enum>(b)</enum><text>Subsection (a)
				shall apply to a common carrier by railroad subject to the jurisdiction of the
				Surface Transportation Board under subtitle IV of title 49, United States Code,
				without regard to whether such railroads have filed rates or whether a
				complaint challenging a rate has been
				filed.</text>
					</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="IDf6ecac259f23451f8a8c86cee5cdd0f8"><enum>7.</enum><header>Termination of
			 exemptions in title <enum-in-header>49</enum-in-header></header>
			<subsection id="ID8ee2109c2e4c44bca6b08651e177a9fa"><enum>(a)</enum><header>In
			 general</header><text>Section 10706 of title 49, United States Code, is
			 amended—</text>
				<paragraph id="IDdb302cc1b3a54535be579035cc2cac30"><enum>(1)</enum><text>in subsection
			 (a)—</text>
					<subparagraph id="ID898eb32341c145628e3add0e15145c9e"><enum>(A)</enum><text>in paragraph
			 (2)(A), by striking <quote>, and the Sherman Act (15 U.S.C. 1 et seq.),</quote>
			 and all that follows through <quote>or carrying out the agreement</quote> in
			 the third sentence;</text>
					</subparagraph><subparagraph id="ID849f76e57b7641e28532e684927792ac"><enum>(B)</enum><text>in paragraph
			 (4)—</text>
						<clause id="IDfbf1df1ef7c94f7a9744d18f02f12bae"><enum>(i)</enum><text>by
			 striking the second sentence; and</text>
						</clause><clause id="ID614eea24a76140128c9b14d2c5f04814"><enum>(ii)</enum><text>by
			 striking <quote>However, the</quote> in the third sentence and inserting
			 <quote>The</quote>; and</text>
						</clause></subparagraph><subparagraph id="IDf03837b84866406e9646c62a5f44a008"><enum>(C)</enum><text>in paragraph
			 (5)(A), by striking <quote>, and the antitrust laws set forth in paragraph (2)
			 of this subsection do not apply to parties and other persons with respect to
			 making or carrying out the agreement</quote>; and</text>
					</subparagraph></paragraph><paragraph id="IDc93bf0e704484a95a8a5ea3563bb89b3"><enum>(2)</enum><text>by striking
			 subsection (e) and inserting the following:</text>
					<quoted-block display-inline="no-display-inline" id="id1544E89EC02E4BAA88C6792028568045" style="OLC">
						<subsection id="ID4a837e9ffcb94629b5246076f8fe80f9"><enum>(e)</enum><header>Application of
				antitrust laws</header>
							<paragraph id="IDe45b6fdd764549b8bf920d5822f157c4"><enum>(1)</enum><header>In
				general</header><text>Nothing in this section exempts a proposed agreement
				described in subsection (a) from the application of the Sherman Act (15 U.S.C.
				1 et seq.), the Clayton Act (15 U.S.C. 12, 14 et seq.), the Federal Trade
				Commission Act (15 U.S.C. 41 et seq.), section 73 or 74 of the Wilson Tariff
				Act (15 U.S.C. 8 and 9), or the Act of June 19, 1936 (15 U.S.C. 13, 13a, 13b,
				21a).</text>
							</paragraph><paragraph id="ID66ae9ad64d9642329197014673b0ad96"><enum>(2)</enum><header>Antitrust
				analysis to consider impact</header><text>In reviewing any such proposed
				agreement for the purpose of any provision of law described in paragraph (1),
				the Board shall take into account, among any other considerations, the impact
				of the proposed agreement on shippers, on consumers, and on affected
				communities.</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="IDe917816ff5364347a87ad893a5c2a7ba"><enum>(b)</enum><header>Combinations</header><text>Section
			 11321 of title 49, United States Code, is amended—</text>
				<paragraph id="ID30e02b85fd5c4fa59e880c3baa4d1487"><enum>(1)</enum><text>in subsection
			 (a)—</text>
					<subparagraph id="ID86e8ebe3723948dfa4fd6ffe76fa1afe"><enum>(A)</enum><text>by striking
			 <quote>The authority</quote> in the first sentence and inserting <quote>Except
			 as provided in sections 4 (15 U.S.C. 15), 4C (15 U.S.C. 15c), section 15 (15
			 U.S.C. 25), and section 16 (15 U.S.C. 26) of the Clayton Act (15 U.S.C. 21(a)),
			 the authority</quote>; and</text>
					</subparagraph><subparagraph id="IDb9a05d0858e14e3f928fa31a46db20e6"><enum>(B)</enum><text>by striking
			 <quote>is exempt from the antitrust laws and from all other law,</quote> in the
			 third sentence and inserting <quote>is exempt from all other law (except the
			 antitrust laws referred to in subsection (c)),</quote>; and</text>
					</subparagraph></paragraph><paragraph id="IDe1c2896fc08142309cf19d9d2936274d"><enum>(2)</enum><text>by adding at the
			 end the following:</text>
					<quoted-block display-inline="no-display-inline" id="id22579CD721714E3DA46FF9FB129B339D" style="OLC">
						<subsection id="ID0f9177fc64b548d0974cd50254eab0f7"><enum>(c)</enum><header>Application of
				antitrust laws</header>
							<paragraph id="IDb8241a3c22194fb9afd26cfbfda2b607"><enum>(1)</enum><header>In
				general</header><text>Nothing in this section exempts a transaction described
				in subsection (a) from the application of the Sherman Act (15 U.S.C. 1 et
				seq.), the Clayton Act (15 U.S.C. 12, 14 et seq.), the Federal Trade Commission
				Act (15 U.S.C. 41 et seq.), section 73 or 74 of the Wilson Tariff Act (15
				U.S.C. 8–9), or the Act of June 19, 1936 (15 U.S.C. 13, 13a, 13b, 21a). The
				preceding sentence shall not apply to any transaction relating to the pooling
				of railroad cars approved by the Surface Transportation Board or its
				predecessor agency pursuant to section 11322 of title 49, United States
				Code.</text>
							</paragraph><paragraph id="IDeb2cf6d020c840458feef3ac73d5f315"><enum>(2)</enum><header>Antitrust
				analysis to consider impact</header><text>In reviewing any such transaction for
				the purpose of any provision of law described in paragraph (1), the Board shall
				take into account, among any other considerations, the impact of the
				transaction on shippers and on affected
				communities.</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="IDddf2dd5d362c436dbd92582ce2ffe3b4"><enum>(c)</enum><header>Conforming
			 amendments</header>
				<paragraph id="ID5d3f946cf8f344249cad35071c57e8c7"><enum>(1)</enum><text>The heading for
			 section 10706 of title 49, United States Code, is amended to read as follows:
			 <quote><header-in-text level="section" style="USC">Rate
			 agreements</header-in-text></quote>.</text>
				</paragraph><paragraph id="ID451f93712a3c4815abfe171b7ddaa068"><enum>(2)</enum><text>The item relating
			 to such section in the chapter analysis at the beginning of chapter 107 of such
			 title is amended to read as follows:</text>

			 date</header>
			<subsection id="IDf068c52e24764889ae93c23f94a88ace"><enum>(a)</enum><header>In
			 general</header><text>Subject to the provisions of subsection (b), this Act
			 shall take effect on the date of enactment of this Act.</text>
			</subsection><subsection id="idC7FDAC454BC043C5B1552FFE826FC4DC"><enum>(b)</enum><header>Conditions</header>
				<paragraph id="idCF7E5BB12E96436C8F77AA917947636D"><enum>(1)</enum><header>Previous
			 conduct</header><text>A civil action under section 4, 15, or 16 of the Clayton
			 Act (15 U.S.C. 15, 25, 26) or complaint under section 5 of the Federal Trade
			 Commission Act (15 U.S.C. 45) may not be filed with respect to any conduct or
			 activity that occurred prior to the date of enactment of this Act that was
			 previously exempted from the antitrust laws as defined in section 1 of the
			 Clayton Act (15 U.S.C. 12) by orders of the Interstate Commerce Commission or
			 the Surface Transportation Board issued pursuant to law.</text>
				</paragraph><paragraph id="idE8DE71912DA243A28D9A199F5F4AF1C9"><enum>(2)</enum><header>Grace
			 period</header><text>A civil action or complaint described in paragraph (1) may
			 not be filed earlier than 180 days after the date of enactment of this Act with
			 respect to any previously exempted conduct or activity or previously exempted
			 agreement that is continued subsequent to the date of enactment of this
			 Act.</text>
				</paragraph></subsection></section></legis-body>
