		<official-title>To modify chapter 90 of title 18, United States Code, to
		  provide Federal jurisdiction for theft of trade secrets.</official-title>

		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short
			 title</header><text display-inline="no-display-inline">This Act may be cited as
			 the <quote><short-title>Protecting American Trade Secrets
			 and Innovation Act of 2012</short-title></quote>.</text>
		</section><section id="id34EBC2E1DE404E9BA9FC6FDFC73136F1"><enum>2.</enum><header>Federal
			 jurisdiction for theft of trade secrets</header>
			<subsection id="id5E5AB7460C344F1984F4EFA746CB9855"><enum>(a)</enum><header>In
			 general</header><text>Section 1836 of title 18, United States Code, is amended
			 to read as follows:</text>
				<quoted-block display-inline="no-display-inline" id="idBF4E4BFB6B3B4F208F7B475280A37E3A" style="USC">
					<section id="IDa47da9e200134e3b93de313e84fa89b3"><enum>1836.</enum><header>Civil
				proceedings</header>
						<subsection id="id1656AB19B72045C591B11DAFBDA8E08B"><enum>(a)</enum><header>Private civil
				actions</header>
							<paragraph id="IDb1f2a65c3c8146d58830ac914b3c494d"><enum>(1)</enum><header>In
				general</header><text>A person may bring a civil action under this subsection
				if the person is aggrieved by—</text>
								<subparagraph id="id26DA9B6B5A304514A361B850B0592FA2"><enum>(A)</enum><text>a violation of
				section 1831(a) or 1832(a); or</text>
								</subparagraph><subparagraph id="idAAD4190FA08142049DB6994420BB6A84"><enum>(B)</enum><text>a
				misappropriation of a trade secret that is related to or included in a product
				that is produced for or placed in interstate or foreign commerce.</text>
								</subparagraph></paragraph><paragraph id="ID4968499ac16b444092899e4ad0ca7362"><enum>(2)</enum><header>Pleadings</header><text>A
				complaint filed in a civil action brought under this subsection shall—</text>
								<subparagraph id="IDcebc41ba66ef4803859b47815c343528"><enum>(A)</enum><text>describe with
				specificity the reasonable measures taken to protect the secrecy of the alleged
				trade secrets in dispute; and</text>
								</subparagraph><subparagraph id="ID56e1e1bb0a8a48dca1856203406fbac6"><enum>(B)</enum><text>include a sworn
				representation by the party asserting the claim that the dispute involves
				either substantial need for nationwide service of process or misappropriation
				of trade secrets from the United States to another country.</text>
								</subparagraph></paragraph><paragraph id="ID9f4510de3e4643458f02f6374c719de4"><enum>(3)</enum><header>Civil ex parte
				seizure order</header>
								<subparagraph id="id7514A23F2E254A20BFF6316BF7D47F0B"><enum>(A)</enum><header>In
				general</header><text>In a civil action brought under this subsection, the
				court may, upon ex parte application and if the court finds by clear and
				convincing evidence that issuing the order is necessary to prevent irreparable
				harm, issue an order providing for—</text>
									<clause id="id939A1FA3C328409EAC51DBDCB3EEC524"><enum>(i)</enum><text>the seizure of
				any property (including computers) used or intended to be used, in any manner
				or part, to commit or facilitate the commission of the violation alleged in the
				civil action; and</text>
									</clause><clause id="idFC75CCB2BF554F589CB6EB1D12D821EE"><enum>(ii)</enum><text>the preservation
				of evidence in the civil action.</text>
									</clause></subparagraph><subparagraph id="id592EA6E075334E08B45755329B8FFD69"><enum>(B)</enum><header>Scope of
				orders</header><text>An order issued under subparagraph (A) shall—</text>
									<clause id="id34E29995DBE44EE4A56D9DBFD1F6C14A"><enum>(i)</enum><text>authorize the
				retention of the seized property for a reasonably limited period, not to exceed
				72 hours under the initial order, which may be extended by the court after
				notice to the affected party and an opportunity to be heard;</text>
									</clause><clause id="idA9CAE983335D4629A38D69C9A48061E4"><enum>(ii)</enum><text>require that any
				copies of seized property made by the requesting party be made at the expense
				of the requesting party;</text>
									</clause><clause id="id6DA5BD087FBB459893449AB533E79551"><enum>(iii)</enum><text>require the
				requesting party to return the seized property to the party from which the
				property were seized at the end of the period authorized under clause (i),
				including any extension; and</text>
									</clause><clause id="IDabe0f94ae8d144c28f3ae0420a83e3d8"><enum>(iv)</enum><text>include an
				appropriate protective order with respect to discovery and use of any property
				that has been seized, which shall provide for appropriate procedures to ensure
				that confidential, private, proprietary, or privileged information contained in
				the seized property is not improperly disclosed or used.</text>
									</clause></subparagraph><subparagraph id="ID717295eede4044b09f00757aa9c294d2"><enum>(C)</enum><header>Seizures</header><text>A
				party injured by a seizure under an order under this paragraph—</text>
									<clause id="idD6A606EFE0334314895C3C2EAC8BB6B0"><enum>(i)</enum><text>may bring a civil
				action against the applicant for the order; and</text>
									</clause><clause id="id8BE5029F74D542638304249C84DDF022"><enum>(ii)</enum><text>shall be
				entitled to recover appropriate relief, including—</text>
										<subclause id="id0690B394E1D04F5BA3CDDB5504B34E93"><enum>(I)</enum><text>damages for lost
				profits, cost of materials, and loss of good will;</text>
										</subclause><subclause id="idCEA9D49D54174F8CA6A459031A70B93F"><enum>(II)</enum><text>if the seizure
				was sought in bad faith, punitive damages; and</text>
										</subclause><subclause id="id560D1F404D554C85986F040A39C2A6F4"><enum>(III)</enum><text>unless the
				court finds extenuating circumstances, to recover a reasonable attorney’s
				fee.</text>
										</subclause></clause></subparagraph></paragraph><paragraph id="IDd113ef7a0e214e509218e547864d5907"><enum>(4)</enum><header>Remedies</header><text>In
				a civil action brought under this subsection, a court may—</text>
								<subparagraph id="IDb76c8eff2124433ea903db957da6769d"><enum>(A)</enum><text>issue—</text>
									<clause id="IDa3d3579f8a414fdf902eb88e9c0e34e0"><enum>(i)</enum><text>an order for
				appropriate injunctive relief against any violation described in paragraph (1),
				including the actual or threatened misappropriation of trade secrets;</text>
									</clause><clause id="ID0b8cdd5b94c04d94a884c0eda499f1e4"><enum>(ii)</enum><text>if determined
				appropriate by the court, an order requiring affirmative actions to be taken to
				protect a trade secret; and</text>
									</clause><clause id="IDa02165952bf14047bb7a01178c9af2ed"><enum>(iii)</enum><text>if the court
				determines that it would be unreasonable to prohibit use of a trade secret, an
				order requiring payment of a reasonable royalty for any use of the trade
				secret;</text>
									</clause></subparagraph><subparagraph id="idE8FAC2B26CE04BD9A7E1C97F56048F96"><enum>(B)</enum><text>award—</text>
									<clause id="idEABDE59D9C834D72AB4919AB1C95C524"><enum>(i)</enum><text>damages for
				actual loss caused by the misappropriation of a trade secret; and</text>
									</clause><clause id="id096B9BF977B04831B5174EB7A6EF352A"><enum>(ii)</enum><text>damages for any
				unjust enrichment caused by the misappropriation of the trade secret that is
				not addressed in computing damages for actual loss;</text>
									</clause></subparagraph><subparagraph id="ID126e91f7dc0d416e86d8b26649a9aba9"><enum>(C)</enum><text>if the trade
				secret described in paragraph (1)(B) is willfully or maliciously
				misappropriated, award exemplary damages in an amount not more than the amount
				of the damages awarded under subparagraph (B); and</text>
								</subparagraph><subparagraph id="ID0567807a80b14245be5e0a186e890e64"><enum>(D)</enum><text>if a claim of
				misappropriation is made in bad faith, a motion to terminate an injunction is
				made or opposed in bad faith, or a trade secret is willfully and maliciously
				misappropriated, award reasonable attorney's fees to the prevailing
				party.</text>
								</subparagraph></paragraph></subsection><subsection id="idF6CF1CE7497E4597A2CAF6AD723F490B"><enum>(b)</enum><header>Jurisdiction</header><text>The
				district courts of the United States shall have original jurisdiction of civil
				actions brought under this section.</text>
						</subsection><subsection id="ID602e254d317f477a97214e3dac4e47bb"><enum>(c)</enum><header>Period of
				limitations</header><text>A civil action under this section may not be
				commenced later than 3 years after the date on which the misappropriation is
				discovered or by the exercise of reasonable diligence should have been
				discovered. For purposes of this subsection, a continuing misappropriation
				constitutes a single claim of
				misappropriation.</text>
						</subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="idDF8A8E77C2FC45F6A267A704AA84F306"><enum>(b)</enum><header>Definitions</header><text>Section
			 1839 of title 18, United States Code, is amended—</text>
				<paragraph id="idF51EBA7E05DC414F9E4427E658DE0539"><enum>(1)</enum><text>in paragraph (3),
			 by striking <quote>and</quote> at the end;</text>
				</paragraph><paragraph id="id8459867898E8466CA973F75B2A3A76EA"><enum>(2)</enum><text>in paragraph (4),
			 by striking the period at the end and inserting a semicolon; and</text>
				</paragraph><paragraph id="id5E5982BC8C0848D29AB3F45993B235FB"><enum>(3)</enum><text>by adding at the
			 end the following:</text>
					<quoted-block display-inline="no-display-inline" id="id7BA1729DEDE14B5EA365E54B1441F1E1" style="OLC">
						<paragraph id="ID9a0fdaf202cf46ce8119be8802cbf1e1"><enum>(5)</enum><text>the term
				<term>misappropriation</term> means—</text>
							<subparagraph id="ID39d0d0cd76d04deaaec95cfb4412211a"><enum>(A)</enum><text>acquisition of a
				trade secret of another by a person who knows or has reason to know that the
				trade secret was acquired by improper means; or</text>
							</subparagraph><subparagraph id="ID7c9ffe88f6dc4f9e9a33a44b35023758"><enum>(B)</enum><text>disclosure or use
				of a trade secret of another without express or implied consent by a person
				who—</text>
								<clause id="ID20c18a49c84f4562b27a07ca0c4b5cc3"><enum>(i)</enum><text>used improper
				means to acquire knowledge of the trade secret;</text>
								</clause><clause id="IDce470dc0ea714918b53e0d57d63073f0"><enum>(ii)</enum><text>at the time of
				disclosure or use, knew or had reason to know that the knowledge of the trade
				secret was—</text>
									<subclause id="IDfd68102bdc8347acac4e99c290d81d81"><enum>(I)</enum><text>derived from or
				through a person who had used improper means to acquire the trade
				secret;</text>
									</subclause><subclause id="ID863dd575a0dc4b1f9b6fae9885df2d62"><enum>(II)</enum><text>acquired under
				cir­cum­stances giving rise to a duty to maintain the secrecy of the trade
				secret or limit the use of the trade secret; or</text>
									</subclause><subclause id="IDf9e99f67142e49dca6420ce73a407136"><enum>(III)</enum><text>derived from or
				through a person who owed a duty to the person seeking relief to maintain the
				secrecy of the trade secret or limit the use of the trade secret; or</text>
									</subclause></clause><clause id="ID27eca8bc60fc4b888d088e029f022294"><enum>(iii)</enum><text>before a
				material change of the position of the person, knew or had reason to know
				that—</text>
									<subclause id="idA0F4D60BDBD84D9191F7266473157B47"><enum>(I)</enum><text>the trade secret
				was a trade secret; and</text>
									</subclause><subclause id="idB7E1528BCDEC4DE1BF745C937CE1F2E5"><enum>(II)</enum><text>knowledge of the
				trade secret had been acquired by accident or mistake; and</text>
									</subclause></clause></subparagraph></paragraph><paragraph id="ID5cb6e3f932604bceb97ba7993ca6e2ca"><enum>(6)</enum><text>the term
				<term>improper means</term>—</text>
							<subparagraph id="idABDEBB8A26204910BF0A2E189FACD81C"><enum>(A)</enum><text>includes theft,
				bribery, misrepresentation, breach or inducement of a breach of a duty to
				maintain secrecy, or espionage through electronic or other means; and</text>
							</subparagraph><subparagraph id="id033C3A569F39498685439A5AD80CB12F"><enum>(B)</enum><text>does not include
				reverse engineering or independent
				derivation.</text>
							</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="id8134E6131D4849B0920D9EAC3D8D6396"><enum>(c)</enum><header>Technical and
			 conforming amendment</header><text>The table of sections for chapter 90 of
			 title 18, United States Code, is amended by striking the item relating to
			 section 1836 and inserting the following:</text>

			</subsection><subsection commented="no" id="id21D4E744D5814E79B992B0DC98ECC74C"><enum>(d)</enum><header>Rule of
			 construction</header><text>Nothing in the amendments made by this section shall
			 be construed to modify the rule of construction under section 1838 of title 18,
			 United States Code, or to preempt any other provision of law.</text>
