		<official-title>To improve the consideration by the Securities and
		  Exchange Commission of the costs and benefits of its regulations and
		  orders.</official-title>

		<section id="HC72926CCF2034DC9A2350370261BB3ED" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>SEC Regulatory Accountability
			 Act</short-title></quote>.</text>
		</section><section id="HD0F9C00C1E4E4CF2B19CBB410CC2ED12"><enum>2.</enum><header>Consideration by
			 the Securities and Exchange Commission of the costs and benefits of its
			 regulations and orders</header><text display-inline="no-display-inline">Section
			 23 of the Securities Exchange Act of 1934 (15 U.S.C. 78w) is amended by adding
			 at the end the following:</text>

				<subsection id="H892C02415CF74C7A9E4C730E1A27F3A5"><enum>(e)</enum><header>Consideration of
				costs and benefits</header>
					<paragraph id="HDEF132B342E74276B764E8F8EA77574D"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">Before promulgating a
				regulation under the securities laws, or issuing any order pursuant to such
				laws, the Commission shall—</text>
						<subparagraph id="HA43213AA80814F9780C1D23F3D254D6B"><enum>(A)</enum><text display-inline="yes-display-inline">clearly identify the nature of the problem
				that the proposed regulation is designed to address, as well as assess the
				significance of that problem, to enable assessment of whether any new
				regulation is warranted;</text>
						</subparagraph><subparagraph id="HEC5308F4EBA847589B053B9A1FADE02C"><enum>(B)</enum><text display-inline="yes-display-inline">utilize the Office of the Chief Economist
				to assess the costs and benefits, both qualitative and quantitative, of the
				intended regulation or order and propose or adopt a regulation or order only on
				a reasoned determination that the benefits of the intended regulation or order
				justify the costs of the intended regulation or order;</text>
						</subparagraph><subparagraph id="HA93F80028D4F4F509E5A86CF3FB317B0"><enum>(C)</enum><text display-inline="yes-display-inline">ensure that any regulation or order is
				accessible, consistent, written in plain language, and easy to understand;
				and</text>
						</subparagraph><subparagraph id="idD3B05C3D5EAE4572B14C2AD51A2D3B5A"><enum>(D)</enum><text display-inline="yes-display-inline">measure and seek to improve the actual
				results of regulatory requirements.</text>
						</subparagraph></paragraph><paragraph id="H326A7461C9EB446DA64D30DF93FE9B60"><enum>(2)</enum><header>Considerations</header><text display-inline="yes-display-inline">In deciding whether and how to regulate,
				the Commission shall assess the costs and benefits of available regulatory
				alternatives, including the alternative of not regulating. In addition, the
				Commission may, in making a reasoned determination of the costs and benefits of
				a potential regulation—</text>
						<subparagraph id="H7D85A099EA5448C4997AF8C226B65109"><enum>(A)</enum><text display-inline="yes-display-inline">assess the best ways of protecting market
				participants and the public;</text>
						</subparagraph><subparagraph id="H078DEF71A360424EA00908C3D526A95A"><enum>(B)</enum><text>take into
				consideration investor choice;</text>
						</subparagraph><subparagraph id="H09A1A2D4F94A4139B69F05369B3EBE04"><enum>(C)</enum><text>consider the
				impact on capital formation;</text>
						</subparagraph><subparagraph id="HBD21BE55757944A887AB7F94E68A3CE8"><enum>(D)</enum><text>evaluate the
				effect on the efficiency, competitiveness, and financial integrity of
				securities markets;</text>
						</subparagraph><subparagraph id="H04787AA2B6A743A3A0A4EB7E66112F06"><enum>(E)</enum><text>consider the
				impact on market liquidity in the securities markets;</text>
						</subparagraph><subparagraph id="H9B1C1421EEA3426C9BF0E42EF6B3EBB6"><enum>(F)</enum><text>take into
				consideration price discovery;</text>
						</subparagraph><subparagraph id="H472B4C10F73147168851FC51D65DD6FD"><enum>(G)</enum><text>evaluate sound
				risk management practices;</text>
						</subparagraph><subparagraph id="H19FDE99229664F01AB91B4E97A02CD76"><enum>(H)</enum><text>evaluate the
				degree and nature of the risks posed by various activities within the scope of
				its jurisdiction;</text>
						</subparagraph><subparagraph id="HBCF48A3D7E274045BFB466CBB1D600F5"><enum>(I)</enum><text>determine whether,
				consistent with obtaining regulatory objectives, the regulation is tailored to
				impose the least burden on society, including market participants, individuals,
				businesses of differing sizes, and other entities (including State and local
				governmental entities), taking into account, to the extent practicable, the
				cumulative costs of regulations;</text>
						</subparagraph><subparagraph id="H1945777F335B40D38CEA19FEA43D84FF"><enum>(J)</enum><text>determine whether
				the regulation is inconsistent, incompatible, or duplicative of other Federal
				regulations; and</text>
						</subparagraph><subparagraph id="H4ECC244D362C4EE395720926E19997B1"><enum>(K)</enum><text>determine whether,
				in choosing among alternative regulatory approaches, those approaches maximize
				net benefits.</text>
						</subparagraph></paragraph><paragraph id="HCBADC4B46573487B99BEFD91A683F721"><enum>(3)</enum><header>Review of
				Existing Regulations</header><text display-inline="yes-display-inline">The
				Commission shall periodically review its regulations and orders in effect
				before the date of enactment of this subsection to determine whether any such
				regulations or orders are outmoded, ineffective, insufficient, or excessively
				burdensome, and shall modify, streamline, expand, or repeal them in accordance
				with such
				review.</text>
					</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
