		<section id="H4C1785ABCDB44F529F9A99D7688792B0" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Small Business Tax Cut
			 Act</short-title></quote>.</text>
		</section><section id="HBB81633B7BD64099A37C6547EFF10926"><enum>2.</enum><header>Deduction for
			 domestic business income of qualified small businesses</header>
			<subsection id="H2677F83B13D44983BCC1678C04DEFDA3"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">Part VI of subchapter
			 B of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal
			 Revenue Code of 1986 is amended by adding at the end the following new
			 section:</text>
				<quoted-block display-inline="no-display-inline" id="HDE6B4B956EC348D6B088ADAFC17A6AC2" style="OLC">
					<section id="H7E48997A08EF43D094F03D545DE616CF"><enum>200.</enum><header>Domestic
				business income of qualified small businesses</header>
						<subsection id="H16DDF53F8604406AA143292CB3A36203"><enum>(a)</enum><header>Allowance of
				deduction</header><text display-inline="yes-display-inline">In the case of a
				qualified small business, there shall be allowed as a deduction an amount equal
				to 20 percent of the lesser of—</text>
							<paragraph id="H4A8AC156CB2645EAAF23C3FBA750EC9F"><enum>(1)</enum><text>the qualified
				domestic business income of the taxpayer for the taxable year, or</text>
							</paragraph><paragraph id="HEEA9C7D8F021475E806968136D4FAC09"><enum>(2)</enum><text>taxable income
				(determined without regard to this section) for the taxable year.</text>
							</paragraph></subsection><subsection id="H33F03E2016BE42D48368A3A74E50D859"><enum>(b)</enum><header>Deduction
				limited based on wages paid</header>
							<paragraph id="HB98E8128B4CC42D5B20FBAE0A3347312"><enum>(1)</enum><header>In
				general</header><text>The amount of the deduction allowable under subsection
				(a) for any taxable year shall not exceed 50 percent of the greater of—</text>
								<subparagraph id="HA366975067354C2E9ACE143BD77A6234"><enum>(A)</enum><text>the W–2 wages of
				the taxpayer paid to non-owners, or</text>
								</subparagraph><subparagraph id="H84C455A46A2349D1AE516E618E6B8E21"><enum>(B)</enum><text>the sum of—</text>
									<clause id="H0CC6978D7D0E4A049EA7B62AF559E69A"><enum>(i)</enum><text>the W–2 wages of
				the taxpayer paid to individuals who are non-owner family members of direct
				owners, plus</text>
									</clause><clause id="HDB6C1F41CF8046318A470B63066B7D69"><enum>(ii)</enum><text>any W–2 wages of
				the taxpayer paid to 10-percent-or-less direct owners.</text>
									</clause></subparagraph></paragraph><paragraph id="HFE734A2334CA402391607A6B4C0AE79F"><enum>(2)</enum><header>Definitions
				related to ownership</header><text>For purposes of this section—</text>
								<subparagraph id="H73A594AC47594347A0E02187D6B9C28C"><enum>(A)</enum><header>Non-owner</header><text display-inline="yes-display-inline">The term <term>non-owner</term> means, with
				respect to any qualified small business, any person who does not own (and is
				not considered as owning within the meaning of subsection (c) or (e)(3) of
				section 267, as the case may be) any stock of such business (or, if such
				business is other than a corporation, any capital or profits interest of such
				business).</text>
								</subparagraph><subparagraph id="H49096755A38A484C87E02DAEB37BF3C0"><enum>(B)</enum><header>Non-owner family
				members</header><text>An individual is a non-owner family member of a direct
				owner if—</text>
									<clause id="H72C161930AAD44CAA5C76AAAE716F3A8"><enum>(i)</enum><text>such individual is
				family (within the meaning of section 267(c)(4)) of a direct owner, and</text>
									</clause><clause id="H4AFC046087A24AFB9484443AF2CD6B26"><enum>(ii)</enum><text>such individual
				would be a non-owner if subsections (c) and (e)(3) of section 267 were applied
				without regard to section 267(c)(2).</text>
									</clause></subparagraph><subparagraph id="H09CF45A677D949FC91F1E05023E68A74"><enum>(C)</enum><header>Direct
				owner</header><text display-inline="yes-display-inline">The term <term>direct
				owner</term> means, with respect to any qualified small business, any person
				who owns (or is considered as owning under the applicable non-family
				attribution rules) any stock of such business (or, if such business is other
				than a corporation, any capital or profits interest of such business).</text>
								</subparagraph><subparagraph id="HF035C16C534148D399CBEE437249F1B1"><enum>(D)</enum><header>10-percent-or-less
				direct owners</header><text>The term <term>10-percent-or-less direct
				owner</term> means, with respect to any qualified small business, any direct
				owner of such business who owns (or is considered as owning under the
				applicable non-family attribution rules)—</text>
									<clause id="HF3831902EA224DC1B828C1523EBC969B"><enum>(i)</enum><text>in
				the case of a qualified small business which is a corporation, not more than 10
				percent of the outstanding stock of the corporation or stock possessing more
				than 10 percent of the total combined voting power of all stock of the
				corporation, or</text>
									</clause><clause id="H82A9CBC11F594C21BDC3EA046580B1E2"><enum>(ii)</enum><text>in the case of a
				qualified small business which is not a corporation, not more than 10 percent
				of the capital or profits interest of such business.</text>
									</clause></subparagraph><subparagraph id="H4AAF699D6EE14C80BB21C55AE8DE43FC"><enum>(E)</enum><header>Applicable
				non-family attribution rules</header><text>The term <term>applicable non-family
				attribution rules</term> means the attribution rules of subsection (c) or
				(e)(3) of section 267, as the case may be, but in each case applied without
				regard to section 267(c)(2).</text>
								</subparagraph></paragraph><paragraph id="HADE098E4E7D144EAB6DAD21304099A3F"><enum>(3)</enum><header>W–<enum-in-header>2</enum-in-header>
				wages</header><text>For purposes of this section—</text>
								<subparagraph id="HC32B102C5E8D49589AD96483346F1EAA"><enum>(A)</enum><header>In
				general</header><text>The term <quote>W–2 wages</quote> means, with respect to
				any person for any taxable year of such person, the sum of the amounts
				described in paragraphs (3) and (8) of section 6051(a) paid by such person with
				respect to employment of employees by such person during the calendar year
				ending during such taxable year.</text>
								</subparagraph><subparagraph id="H23FA9B0277E441319D3DD101ECBD82EB"><enum>(B)</enum><header>Limitation to
				wages attributable to qualified domestic business income</header><text>Such
				term shall not include any amount which is not properly allocable to domestic
				business gross receipts for purposes of subsection (c)(1).</text>
								</subparagraph><subparagraph id="H38B04E24B58B49FF8AABFF993A260ACB"><enum>(C)</enum><header>Other
				requirements</header><text display-inline="yes-display-inline">Except in the
				case of amounts treated as W–2 wages under paragraph (4)—</text>
									<clause id="H867EFFFCA20246F9AE33D1A4EE0C6148"><enum>(i)</enum><text>such term shall
				not include any amount which is not allowed as a deduction under section 162
				for the taxable year, and</text>
									</clause><clause id="H64918316C2DD41FF8CF48AEE8C22FF9A"><enum>(ii)</enum><text>such term shall
				not include any amount which is not properly included in a return filed with
				the Social Security Administration on or before the 60th day after the due date
				(including extensions) for such return.</text>
									</clause></subparagraph></paragraph><paragraph id="H49C912969C1B442FA2D4368286EE39FE"><enum>(4)</enum><header>Certain
				partnership distributions treated as W–2 wages</header>
								<subparagraph id="H01DFE905A0D14961BA914F8957B0C6A7"><enum>(A)</enum><header>In
				general</header><text>In the case of a qualified small business which is a
				partnership and elects the application of this paragraph for the taxable
				year—</text>
									<clause id="HC070BD62C51C4D11BBA014EE5916399B"><enum>(i)</enum><text>the qualified
				domestic business taxable income of such partnership for such taxable year
				(determined after the application of clause (ii)) which is allocable under
				rules similar to the rules of section 199(d)(1)(A)(ii) to each qualified
				service-providing partner shall be treated for purposes of this section as W–2
				wages paid during such taxable year to such partner as an employee, and</text>
									</clause><clause id="HE733F30C266D481F9EDD2EF5E18A40AB"><enum>(ii)</enum><text>the domestic
				business gross receipts of such partnership for such taxable year shall be
				reduced by the amount so treated.</text>
									</clause></subparagraph><subparagraph id="HC9D6D46047F94257AD502051F35C5775"><enum>(B)</enum><header>Qualified
				service-providing partner</header><text>For purposes of this paragraph, the
				term <term>qualified service-providing partner</term> means, with respect to
				any qualified domestic business taxable income, any partner who is a
				10-percent-or-less direct owner and who materially participates in the trade or
				business to which such income relates.</text>
								</subparagraph></paragraph><paragraph id="HF567917B29AD4A2F82DF6B9DBEBAC28C"><enum>(5)</enum><header>Acquisitions and
				dispositions</header><text display-inline="yes-display-inline">The Secretary
				shall provide for the application of this subsection in cases where the
				taxpayer acquires, or disposes of, the major portion of a trade or business or
				the major portion of a separate unit of a trade or business during the taxable
				year.</text>
							</paragraph></subsection><subsection id="H5843DEF1089D4D32BD427E7CB5AB8A41"><enum>(c)</enum><header>Qualified
				domestic business income</header><text display-inline="yes-display-inline">For
				purposes of this section—</text>
							<paragraph id="H9A3E89B2703A4ACDA0311C6A15D8E7CD"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">The term
				<term>qualified domestic business income</term> for any taxable year means an
				amount equal to the excess (if any) of—</text>
								<subparagraph id="HB3E3738B19254D5682F33A1502240865"><enum>(A)</enum><text>the taxpayer’s
				domestic business gross receipts for such taxable year, over</text>
								</subparagraph><subparagraph id="HF8A443798DB446DFB01419F47B601FBB"><enum>(B)</enum><text>the sum of—</text>
									<clause id="H82451FE42A9B478E9371993EA2C98843"><enum>(i)</enum><text>the cost of goods
				sold that are allocable to such receipts, and</text>
									</clause><clause id="HE579279C384A457A8B31494A939430B9"><enum>(ii)</enum><text>other expenses,
				losses, or deductions (other than the deduction allowed under this section),
				which are properly allocable to such receipts.</text>
									</clause></subparagraph></paragraph><paragraph id="H62A27B8E02CC40BE8B511F0E8469E818"><enum>(2)</enum><header>Domestic
				business gross receipts</header>
								<subparagraph id="HD509E0F3D030433D932FF4BDA741B86A"><enum>(A)</enum><header>In
				general</header><text>The term <term>domestic business gross receipts</term>
				means the gross receipts of the taxpayer which are effectively connected with
				the conduct of a trade or business within the United States within the meaning
				of section 864(c) but determined—</text>
									<clause id="H4C738204AE6649779CB2ADAA8A7AF458"><enum>(i)</enum><text>without regard to
				paragraphs (3), (4), and (5) thereof, and</text>
									</clause><clause id="H76F1A2DD5A1C414581CFA8E89903413E"><enum>(ii)</enum><text>by substituting
				<quote>qualified small business (within the meaning of section 200)</quote> for
				<quote>nonresident alien individual or a foreign corporation</quote> each place
				it appears therein.</text>
									</clause></subparagraph><subparagraph id="H78CAD22202DA44B5BB070F4C4850FE26"><enum>(B)</enum><header>Exceptions</header><text display-inline="yes-display-inline">For purposes of paragraph (1), domestic
				business gross receipts shall not include any of the following:</text>
									<clause id="H262A9F73D25F4437963695A745AB8582"><enum>(i)</enum><text display-inline="yes-display-inline">Gross receipts derived from the sale or
				exchange of—</text>
										<subclause id="H4D255F786E4548E0BA347B0C9E3550DE"><enum>(I)</enum><text>a capital asset,
				or</text>
										</subclause><subclause id="H44E1010051CD49039A605C461F9219ED"><enum>(II)</enum><text>property used in
				the trade or business (as defined in section 1231(b)).</text>
										</subclause></clause><clause id="HC2DA76AB37B54B7184F2DB877DA70D73"><enum>(ii)</enum><text display-inline="yes-display-inline">Royalties, rents, dividends, interest, or
				annuities.</text>
									</clause><clause id="HDC1EA5036BCE4A28A2B059B6D63EE7C6"><enum>(iii)</enum><text>Any amount which
				constitutes wages (as defined in section 3401).</text>
									</clause></subparagraph></paragraph><paragraph id="H4D7330AB5F26490FA7E9DD5EFD1BF6B3"><enum>(3)</enum><header>Application of
				certain rules</header><text display-inline="yes-display-inline">Rules similar
				to the rules of paragraphs (2) and (3) of section 199(c) shall apply for
				purposes of this section (applied with respect to qualified domestic business
				income in lieu of qualified production activities income and with respect to
				domestic business gross receipts in lieu of domestic production gross
				receipts).</text>
							</paragraph></subsection><subsection id="H896352E79D224FCCB6A106E0CFDDD273"><enum>(d)</enum><header>Qualified small
				business</header><text display-inline="yes-display-inline">For purposes of this
				section—</text>
							<paragraph id="H4BA5EFFEFFB343FD9DF1411183C5CB63"><enum>(1)</enum><header>In
				general</header><text>The term <term>qualified small business</term> means any
				employer engaged in a trade or business if such employer had fewer than 500
				full-time equivalent employees for either calendar year 2010 or 2011.</text>
							</paragraph><paragraph id="H285A68EEF6E648C3B9012B7C75C86DD1"><enum>(2)</enum><header>Full-time
				equivalent employees</header><text>The term <quote>full-time equivalent
				employees</quote> has the meaning given such term by subsection (d)(2) of
				section 45R applied—</text>
								<subparagraph id="H4AE91C0E6C734D87BB557E8AF5BD974E"><enum>(A)</enum><text>without regard to
				subsection (d)(5) of such section,</text>
								</subparagraph><subparagraph commented="no" id="H1371D0A56CF24938811CD91FEF128DA5"><enum>(B)</enum><text>with regard to
				subsection (e)(1) of such section, and</text>
								</subparagraph><subparagraph id="HB75D3A137EC8435EBFF46993072C4471"><enum>(C)</enum><text>by substituting
				<quote>calendar year</quote> for <quote>taxable year</quote> each place it
				appears therein.</text>
								</subparagraph></paragraph><paragraph display-inline="no-display-inline" id="H10E724A26ADA4AC2959561AB3F9FFFFF"><enum>(3)</enum><header>Employers not in
				existence prior to 2012</header><text>In the case of an employer which was not
				in existence on January 1, 2012, the determination under paragraph (1) shall be
				made with respect to calendar year 2012.</text>
							</paragraph><paragraph id="H03DF0B92BD994811AB1CCD66C59EA216"><enum>(4)</enum><header>Application to
				calendar years in which employer in existence for portion of calendar
				year</header><text>In the case of any calendar year during which the employer
				comes into existence, the number of full-time equivalent employees determined
				under paragraph (2) with respect to such calendar year shall be increased by
				multiplying the number so determined (without regard to this paragraph) by the
				quotient obtained by dividing—</text>
								<subparagraph id="HB53FB6DD938C436FB9B03932E839156B"><enum>(A)</enum><text>the number of days
				in such calendar year, by</text>
								</subparagraph><subparagraph id="H324EA0D0090B4AC2B3D4A9777AB08F39"><enum>(B)</enum><text>the number of days
				during such calendar year which such employer is in existence.</text>
								</subparagraph></paragraph><paragraph display-inline="no-display-inline" id="HD2132915E57C47958C12B9913060C6C7"><enum>(5)</enum><header>Special
				rules</header>
								<subparagraph id="H84D3CC473ACA4D10A9404B4A599A4419"><enum>(A)</enum><header>Aggregation
				rule</header><text>For purposes of paragraph (1), any person treated as a
				single employer under subsection (a) or (b) of section 52 (applied without
				regard to section 1563(b)) or subsection (m) or (o) of section 414 shall be
				treated as a single employer for purposes of this subsection.</text>
								</subparagraph><subparagraph id="HF48582D35266492793F25308E62482DD"><enum>(B)</enum><header>Predecessors</header><text>Any
				reference in this subsection to an employer shall include a reference to any
				predecessor of such employer.</text>
								</subparagraph></paragraph></subsection><subsection id="H481818D60C6144AB8553166DE7673AA5"><enum>(e)</enum><header>Special
				rules</header>
							<paragraph id="H7BD11FF8678C4A26960236CD19B87A97"><enum>(1)</enum><header>Elective
				application of deduction</header><text>Except as otherwise provided by the
				Secretary, the taxpayer may elect not to take any item of income into account
				as domestic business gross receipts for purposes of this section.</text>
							</paragraph><paragraph commented="no" id="H97A143761C4C410884F6AD019048ECE4"><enum>(2)</enum><header>Coordination
				with section 199</header><text>If a deduction is allowed under this section
				with respect to any taxpayer for any taxable year—</text>
								<subparagraph id="H6C3F4D011DC1479F836889621C7D0069"><enum>(A)</enum><text>any gross receipts
				of the taxpayer which are taken into account under this section for such
				taxable year shall not be taken into account under section 199 for such taxable
				year, and</text>
								</subparagraph><subparagraph id="HBCB22B0F8E32475EB87AC7C8F13C5061"><enum>(B)</enum><text display-inline="yes-display-inline">the W–2 wages of the taxpayer which are
				taken into account under this section shall not be taken into account under
				section 199 for such taxable year.</text>
								</subparagraph></paragraph><paragraph id="H7248B2599B1A4D6F9DA6BB566466EBFA"><enum>(3)</enum><header>Application of
				certain rules</header><text>Rules similar to the rules of paragraphs (1), (2),
				(3), (4), (6), and (7) of section 199(d) shall apply for purposes of this
				section (applied with respect to qualified domestic business income in lieu of
				qualified production activities income).</text>
							</paragraph></subsection><subsection id="H79891A788D2F46D393F3CD04A964D996"><enum>(f)</enum><header>Regulations</header><text>The
				Secretary shall prescribe such regulations as are necessary to carry out the
				purposes of this section, including regulations which prevent a taxpayer which
				reorganizes from being treated as a qualified small business if such taxpayer
				would not have been treated as a qualified small business prior to such
				reorganization.</text>
						</subsection><subsection id="HEAE8288DAEEF4E8CA332ACA46D72F0E7"><enum>(g)</enum><header>Application</header><text>Subsection
				(a) shall apply only with respect to the first taxable year of the taxpayer
				beginning after December 31,
				2011.</text>
						</subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H664AC2FE0F354719986A7D7FB8345997"><enum>(b)</enum><header>Conforming
			 amendments</header>
				<paragraph id="H1537EB1D6C3A4D93B3252555518AAE97"><enum>(1)</enum><text display-inline="yes-display-inline">Section 56(d)(1)(A) of such Code is amended
			 by striking <quote>deduction under section 199</quote> both places it appears
			 and inserting <quote>deductions under sections 199 and 200</quote>.</text>
				</paragraph><paragraph id="H77613D19D09B4571983D1B5D45F08C50"><enum>(2)</enum><text>Section
			 56(g)(4)(C) of such Code is amended by adding at the end the following new
			 clause:</text>
					<quoted-block display-inline="no-display-inline" id="H1503FB46E9CA47A69EB78FBB12CA9B35" style="OLC">
						<clause id="H431488C77EF34F68A906137C801FD768"><enum>(vii)</enum><header>Deduction for
				domestic business income of qualified small businesses</header><text display-inline="yes-display-inline">Clause (i) shall not apply to any amount
				allowable as a deduction under section
				200.</text>
						</clause><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="HB98ECEE8966A4D2E840C97662AB720C5"><enum>(3)</enum><text display-inline="yes-display-inline">The following provisions of such Code are
			 each amended by inserting <quote>200,</quote> after <quote>199,</quote>.</text>

			 170(b)(2)(C) of such Code is amended by striking <quote>and</quote> at the end
			 of clause (iv), by striking the period at the end of clause (v) and inserting
			 <quote>, and</quote>, and by inserting after clause (v) the following new
			 clause:</text>

			 such Code is amended by adding at the end the following new paragraph:</text>

			 such Code is amended by striking <quote>deduction under section 199</quote> and
			 inserting <quote>deductions under sections 199 and 200</quote>.</text>
				</paragraph><paragraph id="H7B6EE40A26E9449F9D21F1FCD6B261B3"><enum>(8)</enum><text>Section 613A(d)(1)
			 of such Code is amended by redesignating subparagraphs (C), (D), and (E) as
			 subparagraphs (D), (E), and (F), respectively, and by inserting after
			 subparagraph (B) the following new subparagraph:</text>

			 such Code is amended by striking <quote>and</quote> at the end of paragraph
			 (16), by redesignating paragraph (17) as paragraph (18), and by inserting after
			 paragraph (16) the following new paragraph:</text>
