		<official-title>To amend the Immigration and Nationality Act to provide
		  for additional immigrant visas for certain entrepreneurs and job creators, and
		  for other purposes.</official-title>

		<section id="H7119B819425741DA97CC3BF72B87446D" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>American Investment and Job Creation
			 Act of 2012</short-title></quote>.</text>
		</section><section id="H1CB66C5B1B414C7799BB68FB676EA743"><enum>2.</enum><header>Immigrant visas
			 for Entrepreneurs and Job Creators</header>
			<subsection id="HAC078CD76CBA4C85BAD534FEA7D45FE2"><enum>(a)</enum><header>Aliens who are
			 members of the professions holding advanced degrees</header><text>Section
			 203(b)(2)(B) of the Immigration and Nationality Act (8 U.S.C. 1153(b)(2)(B)) is
			 amended—</text>
				<paragraph id="H01540B31E45A49EA8AF70F003ECDCB7B"><enum>(1)</enum><text>by striking
			 <quote>(B) (i) Subject to clause (ii)</quote> and inserting the following:
			 <quote>(B) <header-in-text level="subparagraph" style="OLC">National Interest
			 Waivers.</header-in-text>—</quote></text>
					<quoted-block display-inline="no-display-inline" id="HDAA0FF6B93754AD8B6DE9D5C05F64B7E" style="OLC">
						<clause id="HDA85B1D427BE4404B0B559E3A12A9DBE"><enum>(i)</enum><header>In
				general</header><text display-inline="yes-display-inline">Subject to clauses
				(ii) and
				(iii)</text>
						</clause><after-quoted-block>;</after-quoted-block></quoted-block>
				</paragraph><paragraph id="HC4377B5F5F28467E9A075EC3F33E467A"><enum>(2)</enum><text>in clause
			 (ii)—</text>
					<subparagraph id="H879D922144EC4F1EACBF2D0B00E7CF21"><enum>(A)</enum><text>by striking
			 <quote>(ii) (I) The Attorney General</quote> and inserting the following:
			 <quote>(ii) <header-in-text level="clause" style="OLC">Physicians working in
			 shortage areas or veterans facilities.</header-in-text>—</quote></text>

							<subclause id="H739906D39A784FC0ABBDAD64ECB71C0A"><enum>(I)</enum><header>In
				general</header><text display-inline="yes-display-inline">The Secretary of
				Homeland
				Security</text>
							</subclause><after-quoted-block>;</after-quoted-block></quoted-block>
					</subparagraph><subparagraph id="H23E36105D44A49A184DC770635791599"><enum>(B)</enum><text display-inline="yes-display-inline">in subclause (II), by striking <quote>(II)
			 No permanent resident visa</quote> and inserting the following: <quote>(II)
			 <header-in-text level="subclause" style="OLC">Prohibition.—</header-in-text>No
			 permanent resident visa</quote>;</text>
					</subparagraph><subparagraph id="HB2C4025725694E1892260AD4A9D2A660"><enum>(C)</enum><text>in subclause
			 (III), by striking <quote>(III) Nothing in this subparagraph</quote> and
			 inserting the following: <quote>(III)
			 <header-in-text level="subclause" style="OLC">Statutory
			 construction.—</header-in-text>Nothing in this subparagraph</quote>; and</text>
					</subparagraph><subparagraph id="H5D14E6D6200147C38C1AFD773549AFF2"><enum>(D)</enum><text display-inline="yes-display-inline">in subclause (IV), by striking <quote>(IV)
			 The requirements of </quote> and inserting the following: <quote>(IV)
			 <header-in-text level="subclause" style="OLC">Effective
			 date.—</header-in-text>The requirements of</quote>; and</text>
					</subparagraph></paragraph><paragraph id="H123DD1A1AF72473F9EC1281C4442C12D"><enum>(3)</enum><text>by inserting after
			 clause (ii) the following:</text>
					<quoted-block display-inline="no-display-inline" id="H5C71807089964B66993FBC6B339564C4" style="OLC">
						<clause id="H569A670E992048F780A0291537096871"><enum>(iii)</enum><header>Entrepreneurs
				and job creators</header><text>The Secretary of Homeland Security shall grant a
				national interest waiver pursuant to clause (i) on behalf of any alien
				entrepreneur with respect to whom a petition for preference classification has
				been filed under subparagraph (A) if—</text>
							<subclause id="H58A6B725733B4B4B9B5F56DC3974E38E"><enum>(I)</enum><text>the alien has
				engaged in a new commercial enterprise (including a limited partnership or
				similar entity) in the United States; and</text>
							</subclause><subclause id="H2C7C8958663E4B32928D768B31888DB5"><enum>(II)</enum><text>such enterprise
				has benefitted the United States economy and satisfied the employment creation
				requirements described in section
				204(m).</text>
							</subclause></clause><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H0BD0B5C266C7467E80C9BA4E8F021757"><enum>(b)</enum><header>Skilled workers,
			 professionals, and other workers</header><text>Section 203(b)(3) of the
			 Immigration and Nationality Act (8 U.S.C. 1153(b)(3)) is amended by inserting
			 after subparagraph (C) the following:</text>
				<quoted-block display-inline="no-display-inline" id="H5590AD67EEA34A879D4F71CCFE646C2F" style="OLC">
					<subparagraph id="HE1527FFC21184DCF9C6AA7853B5E3267"><enum>(D)</enum><header>National
				interest waiver for entrepreneurs and job creators</header><text>The Secretary
				of Homeland Security shall waive application of subparagraph (C) on behalf of
				any alien entrepreneur with respect to whom a petition for preference
				classification has been filed under subparagraph (A) if—</text>
						<clause id="H38D4A11EA6AC4AF18373E73596D9B0B7"><enum>(i)</enum><text>the alien has
				engaged in a new commercial enterprise (including a limited partnership or
				similar entity) in the United States; and</text>
						</clause><clause id="H627571EDFB004C6E9BF8918B0022D1D4"><enum>(ii)</enum><text>such enterprise
				has benefitted the United States economy and satisfied the employment creation
				requirements described in section
				204(m).</text>
						</clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HA5F9848B65B04B1D9122CCFCA459A160"><enum>(c)</enum><header>Requirements</header>
				<paragraph id="H3BDCF1D2014D41388E55A254E453A8E8"><enum>(1)</enum><header>In
			 general</header><text>Section 204 of the Immigration and Nationality Act is
			 amended by adding at the end the following:</text>
					<quoted-block id="H0E49747912ED420187D191CB12B3FB1D" style="OLC">
						<subsection id="H38AE4D777A3E49D6B57FFA324DF74075"><enum>(m)</enum><header>Entrepreneurs
				and job creators</header>
							<paragraph id="H4227381C055344DC8A0B5A3B952A7A27"><enum>(1)</enum><header>Job creation
				requirements</header><text>For purposes of sections 203(b)(2)(B) and
				203(b)(3)(D), a new commercial enterprise shall be deemed to have benefitted
				the United States economy and satisfied the employment creation requirements of
				this subsection if the enterprise—</text>
								<subparagraph id="H3A70002809AC4BE19542FC3CB3DEADC7"><enum>(A)</enum><text>has, during the
				period beginning 4 years prior to the date that a petition for preference
				classification with respect to the alien has been filed under subparagraph (A),
				created direct, full-time employment—</text>
									<clause id="HE82654174593452A97B9E8DCC0E428A1"><enum>(i)</enum><text>for not less than
				5 United States workers; or</text>
									</clause><clause id="H1EBD9C07F1F7459F8B3ACB7D724F87AD"><enum>(ii)</enum><text>in the case of an
				enterprise in a Distressed Area Development Zone, for not less than 3 United
				States workers; and</text>
									</clause></subparagraph><subparagraph id="H098920D08AD7450BBD598DB09E371B59"><enum>(B)</enum><text>the enterprise has
				received enough investment or revenue during the period described in
				subparagraph (A) to support the employment creation requirements described in
				such subparagraph.</text>
								</subparagraph></paragraph><paragraph id="H020755A1DCD4482DBDF405C754380EBA"><enum>(2)</enum><header>Definitions</header><text>For
				purposes of sections 203(b)(2)(B) and 203(b)(3)(D):</text>
								<subparagraph id="H4187DFAC9BD34DA3ACEF65464FF9411A"><enum>(A)</enum><header>Full-time
				employment</header><text>The term <quote>full-time employment</quote> means
				employment in a position that requires at least 35 hours of service per week at
				any time, regardless of who fills the position. Such employment may be
				satisfied on a full-time equivalent basis by calculating the number of
				full-time employees that could have been employed if the reported number of
				hours worked by part-time employees had been worked by full-time employees.
				Full-time equivalent employment shall be calculated by dividing the part-time
				hours paid by the standard number of hours for full-time employees.</text>
								</subparagraph><subparagraph id="H1C84B01A85014D3B8B8FCC0DFBC6ACA5"><enum>(B)</enum><header>Investment or
				revenue</header><text display-inline="yes-display-inline">The term
				<quote>investment or revenue</quote> does not include any assets acquired,
				directly or indirectly, by unlawful means. The term <quote>investment</quote>
				includes assets provided by the alien entrepreneur and may include assets,
				including venture capital investments, provided pursuant to an investment
				agreement with investors who are United States citizens or aliens lawfully
				admitted to the United States for permanent residence.</text>
								</subparagraph><subparagraph id="H85DC9A2A5EBE402EBFCC7738F4563C36"><enum>(C)</enum><header>United states
				worker</header><text>The term <quote>United States worker</quote> means an
				employee (other than the immigrant or the immigrant’s spouse, sons, or
				daughters) who—</text>
									<clause id="HC0EAAA6CE38F4093BE35DBCDEA720853"><enum>(i)</enum><text>is
				a citizen or national of the United States; or</text>
									</clause><clause id="HC7578972BE1A42B28A30B27D4057AA79"><enum>(ii)</enum><text>is an alien who
				is lawfully admitted for permanent residence, is admitted as a refugee under
				section 207, is granted asylum under section 208, or is an immigrant otherwise
				authorized to be employed in the United States.</text>
									</clause></subparagraph></paragraph><paragraph id="H87776D60DBDF418880EB2DDF7EE80624"><enum>(3)</enum><header>Priority
				date</header><text>The priority date for any alien who is adjusting status from
				any nonimmigrant classification described in section 101(a)(15) and who
				receives a national interest waiver under section 203(b)(2)(B) or 203(b)(3)(D)
				shall be the date of the first petition or application for status under section
				101(a)(15) filed with respect to that alien.</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="H5581ABFE6C5F447DBF69ED825EE6E00B"><enum>(2)</enum><header>Distressed area
			 development zones</header><text>Section 101(a) of the Immigration and
			 Nationality Act (8 U.S.C. 1101(a)) is amended by adding at the end the
			 following:</text>
					<quoted-block id="H0168FCFE74D54753A48154F8E05AF2F0" style="OLC">
						<paragraph id="H3BE607983EC24D809189BB2B7D9C165C"><enum>(53)</enum><text>The term
				<quote>Distressed Area Development Zone</quote> means—</text>
							<subparagraph id="HFF7D8E1ED1F44431A228FE69DA16FF27"><enum>(A)</enum><text>a low-income
				geographic area, as such term is defined in section 351 of the Small Business
				Investment Act of 1958 (15 U.S.C. 689); or</text>
							</subparagraph><subparagraph id="H5177B50A45904F699936F6BEF5DCA0F6"><enum>(B)</enum><text>a city or county
				in the United States—</text>
								<clause id="HB14A1FBFD38B4914A96D79100BE44307"><enum>(i)</enum><text>that has
				experienced high unemployment (of not less than 150 percent of the national
				average, as determined by the Secretary of Labor) within the preceding 24
				months; or</text>
								</clause><clause id="H9DC9965E9E224378AD7632CA799D13AC"><enum>(ii)</enum><text>has had a 20
				percent or more decrease in population since
				1970.</text>
								</clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H66720A38C2594901AABFEE9D754D98A8"><enum>(d)</enum><header>Conforming
			 amendments</header>
				<paragraph id="H3DE751811E474807836624D9A2BBCA19"><enum>(1)</enum><text>Section 203 of the
			 Immigration and Nationality Act is amended by striking <quote>Attorney
			 General</quote> each place such term appears and inserting <quote>Secretary of
			 Homeland Security</quote>.</text>
				</paragraph><paragraph id="H9901D211E3C14F89BC814B64836A62DB"><enum>(2)</enum><text>Section
			 204(a)(1)(E) of the Immigration and Nationality Act is amended by inserting
			 <quote>or under paragraph (2) or (3) of section 203(b) if such alien is seeking
			 a national interest waiver under section 203(b)(2)(B) or 203(b)(3)(D),</quote>
			 after <quote>203(b)(1)(A)</quote>.</text>
