		<official-title>To amend the Investment Advisers Act of 1940 to require
		  certain investment advisers to pay fees to help cover the costs of inspecting
		  and examining investment advisers under such Act.</official-title>

		<section id="H965BBCEC0F3D451183E933CFEAB069F4" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Investment Adviser Examination
			 Improvement Act of 2012</short-title></quote>.</text>
		</section><section id="H1E49E51CA63147E8AE333CE65E067EAA"><enum>2.</enum><header>Sense of
			 Congress</header><text display-inline="no-display-inline">It is the sense of
			 the Congress that the Securities and Exchange Commission should increase the
			 number and frequency of examinations of investment advisers.</text>
		</section><section id="HD5A353E1E6224F24A118545ABE66A957"><enum>3.</enum><header>Inspection and
			 examination fees</header><text display-inline="no-display-inline">Section 204
			 of the Investment Advisers Act of 1940 (15 U.S.C. 80b–4) is amended by adding
			 at the end the following new subsection</text>
			<quoted-block display-inline="no-display-inline" id="HFC250EF8CA9B4793B475D3E1B42C1505" style="OLC">
				<subsection id="H068795E8AAFF45F88289D7E9330E072D"><enum>(e)</enum><header>Inspection and
				examination fees</header>
					<paragraph id="HEC4CF93ABCC74009B0C8EC54CFFC5E3D"><enum>(1)</enum><header>In
				general</header><text>The Commission shall collect an annual fee from
				investment advisers that are subject to inspection or examination by the
				Commission under this title to defray the cost of such inspections and
				examinations.</text>
					</paragraph><paragraph id="H48E788154DF0407BA29FA0EEBE98CA48"><enum>(2)</enum><header>Exemptions for
				certain State-regulated investment advisers</header><text display-inline="yes-display-inline">No fees shall be collected under this
				subsection from any investment adviser that is prohibited from registering with
				the Commission under section 203 by reason of section 203A.</text>
					</paragraph><paragraph id="H4858052EE6624A4CA34F4D3EC7A6D81C"><enum>(3)</enum><header>Fee
				amounts</header>
						<subparagraph id="HE1CC3CC8F2224E5AA8B34791AF33E7C9"><enum>(A)</enum><header>Amount to be
				collected</header>
							<clause id="H5A42FC3A56284C1987115C7672F2EAB8"><enum>(i)</enum><header>In
				general</header><text>The Commission shall seek to ensure that the aggregate
				amount of fees collected under this subsection with respect to a specific
				fiscal year are equal to the estimated cost of the Commission in carrying out
				additional inspections and examinations for such fiscal year.</text>
							</clause><clause id="H2B55B6E238A947BFA9A711C65EA36A94"><enum>(ii)</enum><header>Additional
				inspections and examinations defined</header><text display-inline="yes-display-inline">For purposes of this subparagraph and with
				respect to a fiscal year, the term <term>additional inspections and
				examinations</term> means those inspections and examinations of investment
				advisers under this title for such fiscal year that exceed the number of
				inspections and examinations of investment advisers under this title conducted
				during fiscal year 2011.</text>
							</clause></subparagraph><subparagraph id="H40B561575E17494DAC2A8B113FB7FBC8"><enum>(B)</enum><header>Fee calculation
				formula</header><text>The Commission shall establish by rulemaking a formula
				for determining the fee amount to be assessed against individual investment
				advisers, which shall take into account the following factors:</text>
							<clause id="HDBBFA2106D644A44A350B0C7F801970A"><enum>(i)</enum><text display-inline="yes-display-inline">The anticipated costs of conducting
				inspections and examinations of investment advisers under this title, including
				the anticipated frequency of such inspections and examinations.</text>
							</clause><clause id="HBBC212A43AE14A1EBF180991911296A8"><enum>(ii)</enum><text>The investment
				adviser's size, including the assets under management of the investment adviser
				(excluding any assets under management attributable to any of the adviser’s
				clients that are a registered investment company).</text>
							</clause><clause id="H9DABA7F808124482AD6E5F7A8C0B14BF"><enum>(iii)</enum><text>The number and
				type of clients of the investment adviser.</text>
							</clause><clause id="HE1B2CC9B32A44A8989026E2F5E82677A"><enum>(iv)</enum><text>Such other
				objective factors, such as risk characteristics, as the Commission determines
				to be appropriate.</text>
							</clause></subparagraph><subparagraph id="H3032889CB7164C418387B26AEF524CD7"><enum>(C)</enum><header>Adjustment of
				formula</header><text display-inline="yes-display-inline">Prior to the end of
				each fiscal year, the Commission shall review the fee calculation formula and,
				if, after allowing for a period of public comment, the Commission determines
				that the formula needs to be revised, the Commission shall revise such formula
				before fees are assessed for the following fiscal year.</text>
						</subparagraph></paragraph><paragraph id="H9C7D4CA37AB74C6F8BC410458D151E52"><enum>(4)</enum><header>Public
				disclosures</header><text>The Commission shall make the following information
				publicly available, including on the Web site of the Commission:</text>
						<subparagraph id="HEB06BAF4EF364FD3A29B63FEA6381853"><enum>(A)</enum><text>The formula used
				to determine the fee amount to be assessed against individual investment
				advisers, and any adjustment made to such formula.</text>
						</subparagraph><subparagraph id="HC0E210D3D4BB4230A513B62BE443E9A2"><enum>(B)</enum><text>The factors used
				to determine such formula, including any additional objective factors used by
				the Commission pursuant to paragraph (3)(B)(iv).</text>
						</subparagraph></paragraph><paragraph id="H2551A7865DE84242BEBFDFE2D33C301E"><enum>(5)</enum><header>Audit</header>
						<subparagraph id="H3108866B61C347819061EC6E35DABDE4"><enum>(A)</enum><header>In
				general</header><text>The Comptroller General of the United States shall, every
				2 years, conduct an audit of the use of the fees collected by the Commission
				under this subsection, the reviews of the formula used to calculate such fees,
				and any adjustments made by the Commission to such formula.</text>
						</subparagraph><subparagraph id="H39DBB6D3CB954DB99C3D6B333AC6F19F"><enum>(B)</enum><header>Report</header><text>After
				conducting each audit required under subparagraph (A), the Comptroller General
				shall issue a report on such audit to the Committee on Financial Services of
				the House of Representatives and the Committee on Banking, Housing, and Urban
				Affairs of the Senate.</text>
						</subparagraph></paragraph><paragraph id="H30DD4A5AC4AE4A2CAAFD8704D18ECDD1"><enum>(6)</enum><header>Treatment of
				fees</header>
						<subparagraph id="HFE7FA82E3925429CA5B2E480750F82BC"><enum>(A)</enum><header>In
				general</header><text display-inline="yes-display-inline">Funds derived from
				fees assessed under this subsection shall be available to the Commission,
				without further appropriation or fiscal year limitation, to pay any costs
				associated with inspecting and examining investment advisers that are subject
				to inspection and examination under this title.</text>
						</subparagraph><subparagraph id="H0266715EBB754D3882B0167E6E3371E4"><enum>(B)</enum><header>Funds not public
				funds</header><text>Funds derived from fees assessed under this subsection
				shall not be construed to be Government or public funds or appropriated money.
				Notwithstanding any other provision of law, funds derived from fees assessed
				under this subsection shall not be subject to apportionment for the purpose of
				chapter 15 of title 31, United States Code, or under any other
				authority.</text>
						</subparagraph><subparagraph id="HC815B8A98B264B969E5C21E00AD7D9FE"><enum>(C)</enum><header>Funds
				supplemental to other amounts</header><text>Funds derived from fees assessed
				under this subsection shall supplement, and be in addition to, any other
				amounts available to the Commission, under a regular appropriation or
				otherwise, for the purpose described in subparagraph
				(A).</text>
						</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
