		<official-title>To prohibit individuals from insuring against possible
		  losses from having to repay illegally-received compensation or from having to
		  pay civil penalties, and for other purposes.</official-title>

		<section id="H3032A1C236834C3B868E79689870A7B5" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Executive Compensation Clawback Full
			 Enforcement Act</short-title></quote>.</text>
		</section><section id="H40D4AD2266BD46A9AFBB5BDBC78941F6"><enum>2.</enum><header>No
			 avoidance of personal liability</header>
			<subsection id="H5951565D638C461D89F2EFB7111AEED3"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">An officer, director,
			 employee, or other institution-affiliated party of a depository institution,
			 depository institution holding company, or nonbank financial company who is
			 required by a Federal financial regulatory law that provides for personal
			 liability, or any rule or order promulgated by a Federal financial regulatory
			 agency thereunder, to repay previously earned compensation or pay a civil money
			 penalty—</text>
				<paragraph commented="no" id="H8EE78169EC8647908A9E77EE599018B5"><enum>(1)</enum><text>shall be
			 personally liable for the amounts so owed; and</text>
				</paragraph><paragraph id="HAB6B41B41B6D44D89AA9DC3B3CC40141"><enum>(2)</enum><text>may not, directly
			 or indirectly, insure or hedge against, or otherwise transfer the risks
			 associated with, personal liability for the amounts so owed.</text>
				</paragraph></subsection><subsection id="H0465A05AA5DD429FAF345A89C36400C0"><enum>(b)</enum><header>Rule of
			 construction</header><text display-inline="yes-display-inline">Subsection (a)
			 shall not preclude a person from—</text>
				<paragraph id="H48CA02E8EA714EFFBCE57171CC660427"><enum>(1)</enum><text>being provided
			 funds necessary to defend against a previously earned compensation recovery or
			 civil money penalty described under subsection (a)—</text>
					<subparagraph id="HE042DC7D6F28432EB41F304418C0EC57"><enum>(A)</enum><text>from the relevant
			 depository institution, depository institution holding company, or nonbank
			 financial company;</text>
					</subparagraph><subparagraph id="H63AA77AC992F412EA891BB72DE360858"><enum>(B)</enum><text>under an insurance
			 policy; or</text>
					</subparagraph><subparagraph id="HD144E8D4308548C292534D1527663982"><enum>(C)</enum><text>pursuant to court
			 order; or</text>
					</subparagraph></paragraph><paragraph commented="no" id="H8DCFD65E8A2647F0AB41FE53AC38CB30"><enum>(2)</enum><text>obtaining
			 insurance that protects such person from being held personally liable
			 for—</text>
					<subparagraph commented="no" id="H05C1F6FBF5CF476DBF35B8DB8C6D9CBB"><enum>(A)</enum><text>penalties,
			 judgments, or other amounts assessed against a depository institution,
			 depository institution holding company, or nonbank financial company at the
			 company level; or</text>
					</subparagraph><subparagraph commented="no" id="HA52A48E1F5914D32AFF5188D17F3CD8E"><enum>(B)</enum><text>unintentional
			 outcomes associated with the ordinary exercise of trade or business judgment,
			 unless the effects of such judgment result in personal liability under a
			 Federal financial regulatory law that provides for personal liability.</text>
					</subparagraph></paragraph></subsection><subsection id="HCE2FCE31CCC0426AA5D300AFAFA5E674"><enum>(c)</enum><header>Application to
			 foreign nonbank financial companies</header><text display-inline="yes-display-inline">Subsection (a) shall only apply to an
			 officer, director, employee, or other institution-affiliated party of a foreign
			 nonbank financial company to the extent that such officer, director, employee,
			 or other institution-affiliated party is based in the United States.</text>
			</subsection><subsection id="H9A97E6A3779D40CFA6F79BA53E77C316"><enum>(d)</enum><header>Definitions</header><text>For
			 purposes of this Act:</text>
				<paragraph id="HFE1EE4B7666F44C682C2E9390E326AA9"><enum>(1)</enum><header>Compensation</header><text display-inline="yes-display-inline">The term <term>compensation</term> means
			 anything of value, regardless of the form in which provided, that is given by a
			 depository institution, depository institution holding company, or nonbank
			 financial company to an officer, director, employee, or other
			 institution-affiliated party in return for that individual’s service to such
			 entity.</text>
				</paragraph><paragraph id="HA407323A6B6848CEA253F8C290603CBF"><enum>(2)</enum><header>Depository
			 institution</header><text>The term <term>depository institution</term> has the
			 meaning given such term under section 3 of the Federal Deposit Insurance Act
			 (12 U.S.C. 1813).</text>
				</paragraph><paragraph id="H27626A425DB64A5C8705961C4173736E"><enum>(3)</enum><header>Depository
			 institution holding company</header><text>The term <term>depository institution
			 holding company</term> means—</text>
					<subparagraph id="HFBA3A8374E054552985F1512F2E90F81"><enum>(A)</enum><text>a bank holding
			 company, as defined under section 102 of the Dodd-Frank Wall Street Reform and
			 Consumer Protection Act (12 U.S.C. 5311); and</text>
					</subparagraph><subparagraph id="HC6C95C5909AB4063A79D373DFE8629B8"><enum>(B)</enum><text>a savings and loan
			 holding company, as defined under section 10 of the Home Owners’ Loan Act (12
			 U.S.C. 1467a).</text>
					</subparagraph></paragraph><paragraph id="HDC861E4BCEDA422B94601E03F19B975A"><enum>(4)</enum><header>Federal
			 financial regulatory agency</header><text>The term <term>Federal financial
			 regulatory agency</term> means—</text>
					<subparagraph id="HACF8DA49E8AE4392815E0709C6B78975"><enum>(A)</enum><text>the Board of
			 Governors of the Federal Reserve System;</text>
					</subparagraph><subparagraph id="H9766DB804248439FBE49EEACC8EA3599"><enum>(B)</enum><text>the Bureau of
			 Consumer Financial Protection;</text>
					</subparagraph><subparagraph commented="no" id="H6478A59525C94A0CB026216327AF56AF"><enum>(C)</enum><text>the Commodity
			 Futures Trading Commission;</text>
					</subparagraph><subparagraph id="H88A1843447F24521BFF77FFAE6F88C6D"><enum>(D)</enum><text>the Federal
			 Deposit Insurance Corporation;</text>
					</subparagraph><subparagraph id="H8E2BF4AF881F490E83F1BF1114F60F6E"><enum>(E)</enum><text>the Federal
			 Housing Finance Agency;</text>
					</subparagraph><subparagraph id="HDC10AFEC15054EF294795AD4644A6975"><enum>(F)</enum><text>the Federal Trade
			 Commission, to the extent the Commission exercises authority over a depository
			 institution, depository institution holding company, or nonbank financial
			 company;</text>
					</subparagraph><subparagraph id="HB1D3F1637FB5441D80B6E045202E71FE"><enum>(G)</enum><text>the Office of the
			 Comptroller of the Currency; and</text>
					</subparagraph><subparagraph id="HE0B82F8D946B4E07BA41168076E53DFA"><enum>(H)</enum><text>the Securities and
			 Exchange Commission.</text>
					</subparagraph></paragraph><paragraph id="H5FAEA907E11144ADBB3CEBAC44F7BB99"><enum>(5)</enum><header>Federal
			 financial regulatory law</header><text>The term <term>Federal financial
			 regulatory law</term> means—</text>
					<subparagraph id="H29E06CBC8E114D7DB7F53B194EC9E001"><enum>(A)</enum><text>the Bank Holding
			 Company Act of 1956;</text>
					</subparagraph><subparagraph id="HB6E7762B6A9D4A80868A4861F9FDEB4F"><enum>(B)</enum><text>the Commodity
			 Exchange Act;</text>
					</subparagraph><subparagraph id="H05527EC97EA04E6F9FCAA911332CE693"><enum>(C)</enum><text>the Dodd-Frank
			 Wall Street Reform and Consumer Protection Act;</text>
					</subparagraph><subparagraph id="H8D6563D526C943C9A7456F5998140BD6"><enum>(D)</enum><text display-inline="yes-display-inline">section 111 of the Emergency Economic
			 Stabilization Act of 2008;</text>
					</subparagraph><subparagraph id="HB70F8D292A3F4EC6BF11DCCE4808E9D5"><enum>(E)</enum><text>the Federal
			 Deposit Insurance Act;</text>
					</subparagraph><subparagraph id="HC94732069CEB4F4BBA44B3238B7C6920"><enum>(F)</enum><text>the Federal Home
			 Loan Bank Act;</text>
					</subparagraph><subparagraph id="H8A1164B3A8B84A4BB9AD54919567B180"><enum>(G)</enum><text>the Federal Home
			 Loan Mortgage Corporation Act;</text>
					</subparagraph><subparagraph id="HA84EDEB8E7A74CA0A6DA9DB4EACA18E8"><enum>(H)</enum><text>the Federal
			 Housing Enterprises Financial Safety and Soundness Act of 1992;</text>
					</subparagraph><subparagraph id="HBAF1581ED4DC45868CEF6851BD3CDCC2"><enum>(I)</enum><text>the Federal
			 National Mortgage Association Charter Act;</text>
					</subparagraph><subparagraph id="H5961217C613243C89A47F4EF78590C79"><enum>(J)</enum><text>the Federal Trade
			 Commission Act, to the extent such Act applies to depository institutions,
			 depository institution holding companies, or nonbank financial
			 companies;</text>
					</subparagraph><subparagraph id="H35721C508320402C8BE774F9A7CEBB6B"><enum>(K)</enum><text>the
			 Gramm-Leach-Bliley Act;</text>
					</subparagraph><subparagraph id="H04DC2B727CD94BF096D20E94A6656A72"><enum>(L)</enum><text>the Home Owners’
			 Loan Act;</text>
					</subparagraph><subparagraph id="H996B17DC8FE04238ADEEE99B0BB1CC3D"><enum>(M)</enum><text>the Housing and
			 Economic Recovery Act of 2008;</text>
					</subparagraph><subparagraph id="H0800544F9AB94292B9CD6FBEE46112D4"><enum>(N)</enum><text display-inline="yes-display-inline">the International Banking Act of
			 1978;</text>
					</subparagraph><subparagraph id="H4AA53CEA10424A1FA16A1814792B5FC8"><enum>(O)</enum><text>the International
			 Lending Supervision Act of 1983;</text>
					</subparagraph><subparagraph id="H8FCF3E45DEFE40BAAEFED625ACCEC6C5"><enum>(P)</enum><text>title LXII of the
			 Revised Statutes of the United States; and</text>
					</subparagraph><subparagraph commented="no" id="H05149D3AF0EB4D22B8FF589BC7B61A7A"><enum>(Q)</enum><text display-inline="yes-display-inline">the securities laws (as defined under
			 section 3(a) of the Securities Exchange Act of 1934), to the extent such laws
			 apply to depository institutions, depository institution holding companies, or
			 nonbank financial companies.</text>
					</subparagraph></paragraph><paragraph id="HA3B24E237B5942BAA077F3056303FE3B"><enum>(6)</enum><header>Federal
			 financial regulatory law that provides for personal liability</header><text>The
			 term <term>Federal financial regulatory law that provides for personal
			 liability</term> means any provision of a Federal financial regulatory law
			 that—</text>
					<subparagraph id="HA93448951C604271B61F64A5672522CF"><enum>(A)</enum><text>directly requires
			 recovery of compensation previously paid to, or directly requires assessment of
			 a civil money penalty against, a director, officer, employee, or other
			 institution-affiliated party of a depository institution, depository
			 institution holding company, or nonbank financial company; or</text>
					</subparagraph><subparagraph id="HCC40B6E828AF4EEB86B1679ADF2E8C50"><enum>(B)</enum><text>authorizes a
			 Federal financial regulatory agency to require, by rule or order, recovery of
			 compensation previously paid to, or assess a civil money penalty against, a
			 director, officer, employee, or other institution-affiliated party of a
			 depository institution, depository institution holding company, or nonbank
			 financial company.</text>
					</subparagraph></paragraph><paragraph id="HACC644A58BC0439AB4412A5E93B71769"><enum>(7)</enum><header>Institution-affiliated
			 party</header><text>The term <term>institution-affiliated party</term>—</text>
					<subparagraph id="HCE620CC1DCB34B79A8468179A2A50614"><enum>(A)</enum><text display-inline="yes-display-inline">has the meaning given such term under
			 subsection (u) of section 3 of the Federal Deposit Insurance Act (12 U.S.C.
			 1813); and</text>
					</subparagraph><subparagraph id="H8B4727C2A713490CAAA647ECD05C3595"><enum>(B)</enum><text display-inline="yes-display-inline">shall apply with respect to a depository
			 institution, depository institution holding company, and nonbank financial
			 company to the same extent as such subsection applies to an insured depository
			 institution.</text>
					</subparagraph></paragraph><paragraph id="H84BC1C566ABB4E1CAB7EBAAB60E3217A"><enum>(8)</enum><header>Nonbank
			 financial company</header><text>The term <term>nonbank financial company</term>
			 means—</text>
					<subparagraph id="HC3F44E49A62D48A2A6788B145E469B62"><enum>(A)</enum><text>a nonbank
			 financial company, as defined under section 102 of the Dodd-Frank Wall Street
			 Reform and Consumer Protection Act (12 U.S.C. 5311);</text>
					</subparagraph><subparagraph id="H2254080624DC474BB3B7EEB47AAA0585"><enum>(B)</enum><text>the Federal
			 National Mortgage Association;</text>
					</subparagraph><subparagraph id="HDA3517748B6349FBA84DC2481CECBDC4"><enum>(C)</enum><text>the Federal Home
			 Loan Mortgage Corporation; and</text>
					</subparagraph><subparagraph id="H5E3C0CE0F680475688107DFCC664EF5B"><enum>(D)</enum><text>the Federal Home
			 Loan Banks.</text>
					</subparagraph></paragraph></subsection></section></legis-body>
