		<official-title>To amend the Securities Investor Protection Act of 1970
		  to provide one-time payments from the SIPC Fund for customers during a pending
		  lawsuit by the Securities and Exchange Commission against the Securities
		  Investor Protection Corporation, and for other purposes.</official-title>

		<section id="HAC3FD7B575F14964863E33BDA262D3EC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Improving Security for Investors and Providing Closure Act
			 of 2012</short-title></quote> or the <quote><short-title>Improving SIPC Act of
			 2012</short-title></quote>.</text>
		</section><section id="HC91112100BAC4FBB8AB7B3FD0B098D00"><enum>2.</enum><header>Customer payment
			 during pending action</header>
			<subsection id="H3BFF6087F1EA4C0FB7C55538D137121B"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">Section 11 of the
			 Securities Investor Protection Act of 1970 (15 U.S.C. 78ggg) is amended—</text>
				<paragraph id="HC1696D5AA19249F0A28B3419CA5BE753"><enum>(1)</enum><text>by redesignating
			 subsections (c) and (d) as subsections (d) and (e), respectively; and</text>
				</paragraph><paragraph id="H2F869AEA64CE40C88865C9498F15FEE8"><enum>(2)</enum><text>by inserting after
			 subsection (b) the following:</text>
					<quoted-block display-inline="no-display-inline" id="H50E9502455F043C7B9B8CF2A623EEFE6" style="OLC">
						<subsection id="HCC7A24989B0246589E638F46D4414FCD"><enum>(c)</enum><header>Customer payment
				during pending action</header>
							<paragraph id="HD08C90DA52764CA494E4318DCD09379A"><enum>(1)</enum><header>One-time payment
				permitted</header>
								<subparagraph id="HB7C19A7C44474FF1A86D705FAB84FD9D"><enum>(A)</enum><header>In
				general</header><text display-inline="yes-display-inline">At the time that an
				action is initiated under subsection (b), SIPC may choose to allow all
				customers of the debtor to elect to receive a one-time payment from the SIPC
				Fund to settle their net equity claims against the debtor.</text>
								</subparagraph><subparagraph id="H1C2DCBFB117D440D92627A5C18160977"><enum>(B)</enum><header>Customer
				election</header><text display-inline="yes-display-inline">If SIPC allows
				customers to make the election described under subparagraph (A), each customer
				choosing to make such election—</text>
									<clause id="HA9290C6287874CEB95129A84FC544890"><enum>(i)</enum><text>must make such
				election during the action brought under subsection (b), but in no case later
				than the 180-day period beginning on the date that SIPC chooses to allow such
				election; and</text>
									</clause><clause id="HADF8EA2C5EFA44DDAC8F4FBAA55542E1"><enum>(ii)</enum><text>shall forgo all other possible protections under this Act with respect to the
				debtor.</text>
									</clause></subparagraph></paragraph><paragraph id="HEBBA702A4BF141809B7039A3275609D1"><enum>(2)</enum><header>Method of
				payment</header>
								<subparagraph id="H06640001E23C40548923AC99496B462C"><enum>(A)</enum><header>In
				general</header><text>To the extent practicable, one-time payments made under
				this subsection shall be made in the same manner as payments of net equity
				claims of customers of a debtor are made under the other provisions of this
				Act.</text>
								</subparagraph><subparagraph id="H2BB9D126AE9245E09F2B9C791B6E3BB9"><enum>(B)</enum><header>Payment amount
				limited to claims</header><text>The amount paid to a customer under this
				subsection may not exceed the customer’s net equity claims against the
				debtor.</text>
								</subparagraph></paragraph><paragraph id="HFCBA2A80E26342E4A3D72D714857B1D9"><enum>(3)</enum><header>Cap on one-time
				payments</header><text>At the time the action is initiated under subsection
				(b), SIPC shall set a cap on the amount of one-time payments that can be made
				under this subsection, and such cap—</text>
								<subparagraph id="H8A90E3DDD7EF4B23832EADC9CD486CAB"><enum>(A)</enum><text>shall not exceed
				$500,000; and</text>
								</subparagraph><subparagraph id="H98410E8E86154020BCD7E236B1EC94B4"><enum>(B)</enum><text>shall apply
				equally to all customers of the debtor.</text>
								</subparagraph></paragraph><paragraph id="H775CA42DE0104F0191296DC9D1F2149D"><enum>(4)</enum><header>Effect of
				election</header><text>With respect to any customer who receives a one-time
				payment under this subsection, SIPC shall be subrogated to all rights of the
				customer against the debtor, regardless of whether the one-time payment was in
				an amount to fully satisfy the customer’s claims against the debtor.</text>
							</paragraph><paragraph id="H0A817852549A4DEA8FE95B4F1C1600BC"><enum>(5)</enum><header>Notice;
				technical assistance</header><text>If SIPC allows customers to make the
				election described under paragraph (1)(A), SIPC shall—</text>
								<subparagraph id="H451A14E59DDD4259B5A2F0AC4C683838"><enum>(A)</enum><text>promptly notify
				each customer of the debtor of their rights under this subsection; and</text>
								</subparagraph><subparagraph id="H8FBE0E98456643E6B0B0F598AD850667"><enum>(B)</enum><text>provide technical
				assistance to such customers to determine if they should make an election under
				paragraph (1)(B).</text>
								</subparagraph></paragraph><paragraph id="HF49F57DA7D454B739D24742766ACF2A8"><enum>(6)</enum><header>Treatment of
				certificates of deposit</header><text>For purposes of this subsection, a
				certificate of deposit purchased by a person through an account with the debtor
				shall be treated as cash deposited and held by the debtor in an amount equal to
				the amount the person paid for the certificate of deposit, less any amounts
				paid to such person on the certificate of deposit.</text>
							</paragraph><paragraph id="H74038D3E321F437EA3A2A76C2B613150"><enum>(7)</enum><header>Rulemaking</header><text>SIPC
				may issue such regulations as may be necessary to carry out this
				subsection.</text>
							</paragraph><paragraph id="HCE3FEB55896845C3888B6C3FCDA97B4E"><enum>(8)</enum><header>Debtor
				defined</header><text>For purposes of this subsection, the term
				<quote>debtor</quote> means the broker or dealer that is the subject of the
				action brought under subsection
				(b).</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H12F1F21EE7104DE3908CF74F8CD62269"><enum>(b)</enum><header>Application</header><text display-inline="yes-display-inline">With respect to an ongoing action brought
			 under section 11(b) of the Securities Investor Protection Act of 1970 (15
			 U.S.C. 78ggg(b)) before the date of the enactment of this Act, the customer
			 election available under section 11(c) of such Act may be made during the
			 180-day period beginning on the date of the enactment of this Act.</text>
