		<section id="H8EBD972176574039990398190A789412" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Foreign Business Bribery Prohibition
			 Act of 2011</short-title></quote>.</text>
		</section><section id="H542CF408FBB6450BB6166B55C2D6BB5E"><enum>2.</enum><header>Actions
			 authorized</header><text display-inline="no-display-inline">Section 104A of the
			 Foreign Corrupt Practices Act of 1977 (15 U.S.C. 78dd–3) is amended—</text>
			<paragraph id="H60F7AD64A00E43F3B5C96F111ABA5D07"><enum>(1)</enum><text>by redesignating
			 subsection (f) as subsection (g); and</text>
			</paragraph><paragraph id="HDACCC60B32574C25AE4682A5A72819C6"><enum>(2)</enum><text>by inserting after
			 subsection (e) the following:</text>
				<quoted-block display-inline="no-display-inline" id="HC02C5837428148968AD34AFEAC8C0853" style="OLC">
					<subsection display-inline="no-display-inline" id="H6F4FECAF41834BE5BE031A6331960E6E"><enum>(f)</enum><header>Private rights
				of action authorized</header>
						<paragraph id="HE73BABF9EBFB45BEB8488D9BB30773DF"><enum>(1)</enum><header>Authorized
				plaintiffs</header><text display-inline="yes-display-inline">Any foreign
				concern that violates subsection (a) shall be liable in an action brought in
				accordance with this subsection in any court of competent jurisdiction to any
				issuer that is subject to section 30A of the Securities Exchange Act of 1934,
				domestic concern that is subject to section 104 of this Act, or other United
				States person that is damaged by the violation of subsection (a) of this
				section for damages caused to such issuer, domestic concern, or other person by
				the violation.</text>
						</paragraph><paragraph id="HEAE9093590E14AEB8F37351D09B7E92D"><enum>(2)</enum><header>Proof of
				damages</header><text>For purposes of this subsection, a plaintiff in an action
				under this subsection must allege and prove that—</text>
							<subparagraph id="H9D43AD84CF044ADFA8695A3FC14FC0E2"><enum>(A)</enum><text>the defendant
				foreign concern violated subsection (a); and</text>
							</subparagraph><subparagraph id="H5C0726B4B44E4EAB9E063A20E3E2FA1A"><enum>(B)</enum><text>the defendant
				foreign concern’s violation of subsection (a)—</text>
								<clause id="HB3786BD53327483A91A00BE6EB6C4931"><enum>(i)</enum><text display-inline="yes-display-inline">prevented the plaintiff from obtaining or
				retaining business for or with any person; and</text>
								</clause><clause id="H834950CB818949BC88070513615E087F"><enum>(ii)</enum><text>assisted the
				foreign concern in obtaining or retaining such business.</text>
								</clause></subparagraph></paragraph><paragraph id="H25F8F4EF400B4D529B26A7D76BD84430"><enum>(3)</enum><header>Measure of
				damages</header>
							<subparagraph id="H01E6ED122DA74985A78081D8DA5CBC67"><enum>(A)</enum><header>In
				general</header><text>The damages which a plaintiff may obtain in an action
				under this subsection may be equal to the higher of the two following amounts
				that are established by the plaintiff’s allegations and proof:</text>
								<clause id="H1C9554260F8F4881813E332A4043EA49"><enum>(i)</enum><text>The total amount
				of the contract or agreement that the defendant gained in obtaining or
				retaining business by means of the violation of subsection (a).</text>
								</clause><clause id="H0785322643944468BA8C217BB5C67B7D"><enum>(ii)</enum><text display-inline="yes-display-inline">The total amount of the contract or
				agreement that the plaintiff failed to gain because of the defendant’s
				obtaining or retaining business by means of the violation of subsection
				(a).</text>
								</clause></subparagraph><subparagraph id="H8056F61E780F4F478C85055367B7CC91"><enum>(B)</enum><header>Treble
				damages</header><text display-inline="yes-display-inline">In assessing damages
				under
				<internal-xref idref="H01E6ED122DA74985A78081D8DA5CBC67" legis-path="(f)(3)(A)">subparagraph (A)</internal-xref>, the court shall enter
				judgment for three times the amount determined under clause (i) or (ii) of such
				subparagraph (whichever is greater), together with a reasonable attorney's fee
				and costs, for any violation of subsection (a).</text>
							</subparagraph></paragraph><paragraph display-inline="no-display-inline" id="HCD74E1437C1E428B8FA31026AB4D174B"><enum>(4)</enum><header>Exception for
				Routine Governmental Action</header><text>The exception in subsection (b) shall
				apply to an action under this subsection.</text>
						</paragraph><paragraph id="HA40C47146F604AEE972CBA09BCB222A8"><enum>(5)</enum><header>Affirmative
				Defenses</header><text>The affirmative defenses in subsection (c) shall apply
				to an action under this subsection.</text>
						</paragraph><paragraph id="HB655F893F26E47F0B763089F9386596B"><enum>(6)</enum><header>Contribution</header><text>Every
				person who becomes liable to make payment under this subsection may recover
				contribution as in cases of contract from any person who, if joined in the
				original suit, would have been liable to make the same payment.</text>
						</paragraph><paragraph id="H357505E2F4074804B11ABDCB2C3FDEF5"><enum>(7)</enum><header>Statute of
				limitations</header><text>No action shall be maintained to enforce any
				liability created under this subsection unless brought within 3 years after the
				discovery of the facts constituting the cause of action and within 6 years
				after such cause of action accrued.</text>
						</paragraph><paragraph id="H3A3D3E62B87F4309B4A300DE7A083A2F"><enum>(8)</enum><header>Definitions</header>
							<subparagraph id="H455928624A764426A9558C94E353E545"><enum>(A)</enum><header>Foreign
				concern</header><text display-inline="yes-display-inline">For purposes of this
				subsection, the term <term>foreign concern</term> means any person other than
				an issuer that is subject to section 30A of the Securities Exchange Act of
				1934, a domestic concern that is subject to section 104 of this Act, or another
				United States person.</text>
							</subparagraph><subparagraph id="H83FA2DEDEC944F4B9B2B61667A99ABB4"><enum>(B)</enum><header>United States
				person</header><text display-inline="yes-display-inline">The term <term>United
				States person</term> has the meaning given such term in section 104(i)(2) of
				this
				Act.</text>
							</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
