<section id="id9D266F6DE303421BABFC04B7057236A8" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protecting Main Street End-Users From Excessive Regulation</short-title></quote>.</text> </section>
<section id="H322CF0D38DD3498D9E1708285E85D918" section-type="subsequent-section"><enum>2.</enum><header>Clarification of the definition of swap dealer</header><text display-inline="no-display-inline">Section 1a(49) of the Commodity Exchange Act (7 U.S.C. 1a(49)) is amended to read as follows:</text>

<paragraph id="H00DC6CFE91D842D8A68119397AEE025C"><enum>(49)</enum><header>Swap dealer</header> 
<subparagraph id="H0953DFD2AAE9453AA758FF264CCAFCE2"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>swap dealer</term> means any person who is engaged in the business of entering into swaps, and—</text> 
<clause id="HC4DF6E071B6F4A938D57F2999D45BD4A"><enum>(i)</enum><text display-inline="yes-display-inline">holds itself out as a dealer in swaps;</text> </clause>
<clause id="HC2DFD7D0BA274FF79CC767FD2FAC922B"><enum>(ii)</enum><text>makes a market in swaps; or</text> </clause>
<clause id="HC053C1282ED04B3099AE043FAAE8E35F"><enum>(iii)</enum><text>engages in any activity causing the person to be commonly known as a dealer or market maker in swaps,</text> </clause><continuation-text continuation-text-level="subparagraph">provided however, in no event shall an insured depository institution be considered to be a swap dealer to the extent it offers to enter into a swap with a customer in connection with originating a loan to the customer.</continuation-text></subparagraph>
<subparagraph id="H29802E70BA144C6F94001D062CB08D3F"><enum>(B)</enum><header>Inclusion</header><text>A person may be designated as a swap dealer for a single type or single class or category of swap or activities and considered not to be a swap dealer for other types, classes, or categories of swaps or activities.</text> </subparagraph>
<subparagraph id="H1A71EED2169D4A5BAECC008C045E59E9"><enum>(C)</enum><header>Exception</header><text display-inline="yes-display-inline">In determining whether a person is a <quote>swap dealer</quote> within the meaning of subparagraph (A), no consideration shall be given to any transaction entered into for the person’s own account for the purpose of—</text> 
<clause id="H18DFA6D5159B42B2817B0D2A74693514"><enum>(i)</enum><text>hedging or mitigating commercial risk; or</text> </clause>
<clause id="H83756343219C498A9E04FBE8A29D4A1E"><enum>(ii)</enum><text>achieving the person’s own trading or investment objectives.</text> </clause></subparagraph>
<subparagraph id="H8520B4E28CC44062913233ABD22F92FB"><enum>(D)</enum><header>De minimis exception</header><text display-inline="yes-display-inline">The Commission shall exempt from designation as a swap dealer an entity that enters into swap dealing transactions with or on behalf of the person’s customers if the aggregate gross notional amount of the outstanding swap dealing transactions entered into over the course of the preceding calendar year does not exceed $3,000,000,000 (or such greater amount as the Commission may establish as market conditions warrant), multiplied by the sum of 1 and the percentage (if any) by which the Consumer Price Index for all Urban Customers published by the Bureau of Labor Statistics of the Department of Labor changed for the 12-month period ending the preceding April 30.</text> </subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </section>

<section id="H214BFEB712284920BFED5633FFE103D2" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protecting Main Street End-Users From Excessive Regulation</short-title></quote>.</text></section>
<section id="H3E1A431E56984958838F2EF5F47553B2" section-type="subsequent-section"><enum>2.</enum><header>Clarification of the definition of swap dealer</header><text display-inline="no-display-inline">Section 1a(49) of the Commodity Exchange Act (7 U.S.C. 1a(49)) is amended to read as follows:</text>

<paragraph id="HC92D56D975A54C4C95E45C3E351430A7"><enum>(49)</enum><header>Swap dealer</header>
<subparagraph id="H97254BED45344CFEB8D98382DA0AF3F1"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>swap dealer</term> means any person who—</text>
<clause id="H06369015CE6C4D58B465EBCC2FADF31B"><enum>(i)</enum><text display-inline="yes-display-inline">holds itself out as a dealer in swaps;</text></clause>
<clause id="H6BB2763B899F4563A5230E0381744B15"><enum>(ii)</enum><text>makes a market in swaps;</text></clause>
<clause id="H4A7B9E5FF8574C178D8C98B86E04097C"><enum>(iii)</enum><text display-inline="yes-display-inline">regularly enters into swaps with counterparties as an ordinary course of business for its own account; or</text></clause>
<clause id="H7C5D29A386C54CCD925DE232DFB190DE"><enum>(iv)</enum><text>engages in any activity causing the person to be commonly known as a dealer or market maker in swaps,</text></clause><continuation-text continuation-text-level="subparagraph">provided however, in no event shall an insured depository institution be considered to be a swap dealer to the extent it offers to enter into a swap with a customer in connection with originating a loan to the customer.</continuation-text></subparagraph>
<subparagraph id="H180357A5DCC8419282439871DF0334C0"><enum>(B)</enum><header>Inclusion</header><text>A person may be designated as a swap dealer for a single type or single class or category of swap or activities and considered not to be a swap dealer for other types, classes, or categories of swaps or activities.</text></subparagraph>
<subparagraph id="HDA5CE1B305BC49FF8E06A6C8BA7B75DC"><enum>(C)</enum><header>Exceptions</header>
<clause id="HDF59DEEDA09D40FDB311F70FBD4865C6"><enum>(i)</enum><text display-inline="yes-display-inline">The term <quote>swap dealer</quote> does not include a person that enters into swaps for such person’s own account, either individually or in a fiduciary capacity, but not as part of regular business activities as described in subparagraph (A).</text></clause>
<clause id="H9367E0A500E84D8196D07CA5FED5DE6E"><enum>(ii)</enum><text>In determining whether a person is a <quote>swap dealer</quote> within the meaning of subparagraph (A), any transaction entered into for a person’s own account for the purpose of hedging or mitigating commercial risk shall not be considered as part of that determination.</text></clause>
<clause id="H09A408348F6D4512B9BD4FA5EA2186C6"><enum>(iii)</enum><text>The Commission shall by rule adopt standards distinguishing the activities described in subparagraph (A) and entering into swaps for a person’s own account for the purpose of achieving one’s own trading objectives as determined by the Commission.</text></clause></subparagraph>

<section id="H23210E5B81D74E9C9A6AC2E601F0A4FA"><enum>3.</enum><header>Implementation</header><text display-inline="no-display-inline">The amendments made by this Act shall be implemented—</text>
<paragraph id="HF119B4C18E2646BF8BC40C8C8CAC1D91"><enum>(1)</enum><text>without regard to—</text>
<subparagraph id="H3B6BA97852B1454F9C068FF76F47874D"><enum>(A)</enum><text>chapter 35 of title 44, United States Code; and</text></subparagraph>
<subparagraph id="H7D3EA9DA23EE4AF3A184097CBC4977F8"><enum>(B)</enum><text>the notice and comment provisions of section 553 of title 5, United States Code; and</text></subparagraph></paragraph>
<paragraph id="HB4132165D8A04E038F6FEC8126844B4F"><enum>(2)</enum><text>through the promulgation of an interim final rule.</text></paragraph></section>
