<official-title display="yes">To amend the Commodity Exchange Act and the Securities Exchange Act of 1934 to provide an exemption for certain swaps and security-based swaps involving non-U.S. persons, and for other purposes.<pagebreak/></official-title>

<section id="H3A40BCC4B520450A900D4E19FC6F653E" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Swap Jurisdiction Certainty Act</short-title></quote>.</text></section> 
<section id="HCFEDF02A27624F52AAE4417EB4D78938"><enum>2.</enum><header>Commodity Exchange Act</header><text display-inline="no-display-inline">Section 4s(a) of the Commodity Exchange Act (7 U.S.C. 6s(a)) is amended by adding at the end the following:</text> 
<quoted-block display-inline="no-display-inline" id="H7927E1FDEBF74AC582EA942C31792FDD" style="OLC"> 
<paragraph id="H5ABE744DF8BD4EBE89F6380D8467EABB"><enum>(3)</enum><header>Extra-territorial swap transaction application of title VII</header> 
<subparagraph id="H1B2626B25A094F279CD75C8267C27505"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">A swap entered into between—</text> 
<clause id="H4F68D966B66542A99C800EA01C1FB1B8"><enum>(i)</enum><text>a swap dealer that is registered with the Commission who is either—</text> 
<subclause id="H3A6DEBA533434A3597C282EE8AB0FD57"><enum>(I)</enum><text>a U.S. person, or</text></subclause> 
<subclause id="HA455D4EDA8524FF8A6BF370F6A1ED81A"><enum>(II)</enum><text>a person that has a parent company that is a U.S. person, and</text></subclause></clause> 
<clause id="HD8AFC6E9B3C24B5C8E47984FFCE18433"><enum>(ii)</enum><text>a person who is—</text> 
<subclause id="HA028D3D8DD274CD3AFE298417308C5F8"><enum>(I)</enum><text>a U.S. or non-U.S. subsidiary, branch, or affiliate of such swap dealer, or</text></subclause> 
<subclause id="H3AC0978F97444E688068C846C1053B83"><enum>(II)</enum><text display-inline="yes-display-inline">any other non-U.S. person that is not registered as a swap dealer with the Commission,</text></subclause><continuation-text continuation-text-level="subparagraph">shall not be subject to the provisions of title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act, and of amendments added by such title, so long as each swap dealer described under clause (i) reports such swap to a swap data repository registered with the Commission.</continuation-text></clause></subparagraph> 
<subparagraph id="H9E1624C66E2F4E9FA41E1E69D29655DB"><enum>(B)</enum><header>Swaps entered into by registered non-U.S. persons</header> 
<clause id="H7A23F43896EF43409505E0CABA5439CB"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">A non-U.S. person that registers as a swap dealer with the Commission shall only be subject to the requirements of title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act, and of amendments added by such title, with respect to swaps that such person enters into with a U.S. person who is not a U.S. subsidiary, branch, or affiliate of such non-U.S. person.</text></clause> 
<clause id="HC0C9B09CA3064616B7F3AEE1ED8155B3"><enum>(ii)</enum><header>Capital requirements</header><text display-inline="yes-display-inline">A non-U.S. person that registers as a swap dealer with the Commission shall be permitted by the Commission to comply with the capital requirements under subsection (e) by complying with comparable requirements established by the appropriate governmental authorities in the home country of the non-U.S. person, so long as such home country is a signatory to the Basel Accords.</text></clause></subparagraph> 
<subparagraph id="H7828BC0DB21740129EC34017CAB744FC"><enum>(C)</enum><header>Non-U.S. person</header><text>For purposes of this paragraph, the term <term>non-U.S. person</term> includes—</text> 
<clause id="H384D07F6B5D948AE95F35AA1C293C915"><enum>(i)</enum><text display-inline="yes-display-inline">any person that is not a U.S. person;</text></clause> 
<clause id="H49310EAC83E443599C2282D0CDFFE9B0"><enum>(ii)</enum><text display-inline="yes-display-inline">any discretionary account or similar account (other than an estate or trust) held for the benefit or account of a non-U.S. person by a dealer or other professional fiduciary organized, incorporated, or (if an individual) resident in the United States;</text></clause> 
<clause id="H236BC63F114D4F82868C9CD8CFC6134C"><enum>(iii)</enum><text>any agency or branch of a U.S. person located outside the United States if—</text> 
<subclause id="HEC3C71CB17854DFFAC0385C0403B83DE"><enum>(I)</enum><text>the agency or branch operates for valid business reasons; and</text></subclause> 
<subclause id="HFEDC65AB1BB14F6791E2B71B678E62FA"><enum>(II)</enum><text>the agency or branch is engaged in the business of insurance or banking and is subject to substantive insurance or banking regulation, respectively, in the jurisdiction where it is located;</text></subclause></clause> 
<clause id="H0775C633A7064FFCBE1515131765A5F6"><enum>(iv)</enum><text display-inline="yes-display-inline">any trust of which any professional fiduciary acting as trustee is a U.S. person, if—</text> 
<subclause id="HD06B727FFE26472B96ECA67AC7DE0846"><enum>(I)</enum><text>a trustee who is a non-U.S. person has sole or shared investment discretion with respect to the trust assets; and</text></subclause> 
<subclause id="H06AEC9D76F58497590EFE1C3DE5F4758"><enum>(II)</enum><text>no beneficiary of the trust (and no settlor if the trust is revocable) is a U.S. person;</text></subclause></clause> 
<clause id="H181B9D2B5E2547869AC0D7825023C5A8"><enum>(v)</enum><text>an employee benefit plan established and administered in accordance with the law, customary practices, and documentation of a country other than the United States; and</text></clause> 
<clause id="H8FBFCE5B0CDC4D839080B79160B7A20D"><enum>(vi)</enum><text display-inline="yes-display-inline">the International Monetary Fund, the International Bank for Reconstruction and Development, the Inter-American Development Bank, the Asian Development Bank, the African Development Bank, the United Nations, a central bank or its functional equivalent which is located in a non-U.S. jurisdiction and that is a signatory to the Basel Accords, and their agencies, affiliates and pension plans, and any other similar international organizations, their agencies, affiliates and pension plans.</text></clause></subparagraph> 
<subparagraph id="H131CD19A5534402E9C4076FB5CEF1D70"><enum>(D)</enum><header>U.S. person</header><text display-inline="yes-display-inline">For purposes of this paragraph, the term <term>U.S. person</term> includes—</text> 
<clause id="H2EE9C3FF689D42CF964A88B30C5FD4FE"><enum>(i)</enum><text>any natural person resident in the United States;</text></clause> 
<clause id="H95021559519548AFB9B5ADE69660A28D"><enum>(ii)</enum><text>any partnership or corporation organized or incorporated under the laws of the United States;</text></clause> 
<clause id="H6F68A56DEEF34091ABB855038C478500"><enum>(iii)</enum><text>any estate of which any executor or administrator is a U.S. person;</text></clause> 
<clause id="H23A08EC6E8E148E8B1C8CB57A274DE8E"><enum>(iv)</enum><text>any trust of which any trustee is a U.S. person;</text></clause> 
<clause id="H6FD52E11885E4F9585C1F2C7C5640281"><enum>(v)</enum><text>any agency or branch of a foreign entity located in the United States;</text></clause> 
<clause id="HFD5E9B227C594075BCCF5E2B92E506E8"><enum>(vi)</enum><text display-inline="yes-display-inline">any non-discretionary account or similar account (other than an estate or trust) held by a dealer or other fiduciary for the benefit or account of a United States person;</text></clause> 
<clause id="H3778A8E5323545829CBF84BA1AD9AA5D"><enum>(vii)</enum><text>any discretionary account or similar account (other than an estate or trust) held by a dealer or other fiduciary organized, incorporated, or (if an individual) resident in the United States; and</text></clause> 
<clause id="H90E838F113B749DEB5049B5B0C102A1D"><enum>(viii)</enum><text>any partnership or corporation—</text> 
<subclause id="H99B02D0CB07949FBAC462605C68CE432"><enum>(I)</enum><text>organized or incorporated under the laws of any foreign jurisdiction; and</text></subclause> 
<subclause id="HEA12153128634DF481CDFA21F3FCBFB8"><enum>(II)</enum><text>formed by a U.S. person principally for the purpose of investing in securities not registered under the Securities Act of 1933, unless it is organized or incorporated, and owned, by accredited investors (as such term is defined under section 230.501 of title 17, Code of Federal Regulations) that are not natural persons, estates, or trusts.</text></subclause></clause></subparagraph> 
<subparagraph id="H5DA1C32E8C0143CEB289785A8A9E3EAA"><enum>(E)</enum><header>Anti-Evasion</header><text display-inline="yes-display-inline">Notwithstanding any other provision of this paragraph, each registered swap dealer shall be subject to the provision under section 2(i)(2).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section> 
<section id="H5FE057EDF1524673A861C43D0CA6976F"><enum>3.</enum><header>Securities Exchange Act of 1934</header><text display-inline="no-display-inline">Section 15F(a) of the Securities Exchange Act of 1934 (78o–10(a)) is amended by adding at the end the following:</text>

<paragraph id="H16A339EBA4E34BCFAB444CA58FCBFE14"><enum>(3)</enum><header>Extra-territorial swap transaction application of title VII</header> 
<subparagraph id="HEB87C689C6184026AF306D6EEFAAD9D1"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">A security-based swap entered into between—</text> 
<clause id="H9BBDB5D7C24F401CBF0F5E12425F3317"><enum>(i)</enum><text>a security-based swap dealer that is registered with the Commission who is either—</text> 
<subclause id="HABAC914C044746BF939A23B0F94A0044"><enum>(I)</enum><text>a U.S. person, or</text></subclause> 
<subclause id="H783DA78362614194B9F606AB88FD9048"><enum>(II)</enum><text>a person that has a parent company that is a U.S. person, and</text></subclause></clause> 
<clause id="HAD7BF6979C08477A81A693225D02511A" display-inline="no-display-inline"><enum>(ii)</enum><text display-inline="yes-display-inline">a person who is a U.S. or non-U.S. subsidiary, branch, affiliate, or parent company of such security-based swap dealer,</text></clause><continuation-text continuation-text-level="subparagraph">shall not be subject to the provisions of title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act, and of amendments added by such title, so long as each security-based swap dealer described under clause (i) reports such security-based swap to a security-based swap data repository registered with the Commission.</continuation-text></subparagraph> 
<subparagraph display-inline="no-display-inline" id="HBCCEEB818D53446784082859187F62E4"><enum>(B)</enum><header>Security-based swaps entered into by registered non-U.S. persons</header> 
<clause id="HBEE330FDDE904389808A42C1492D464A"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">A non-U.S. person that registers as a security-based swap dealer with the Commission shall only be subject to the requirements of title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act, and of amendments added by such title, with respect to security-based swaps that such person enters into with a U.S. person who is not a U.S. subsidiary, branch, or affiliate of such non-U.S. person.</text></clause> 
<clause id="H8CBEFC35A3C1426B84FFF462F671AF9E"><enum>(ii)</enum><header>Capital requirements</header><text display-inline="yes-display-inline">A non-U.S. person that registers as a security-based swap dealer with the Commission shall be permitted by the Commission to comply with the capital requirements under subsection (e) by complying with comparable requirements established by the appropriate governmental authorities in the home country of the non-U.S. person, so long as such home country is a signatory to the Basel Accords.</text></clause></subparagraph>

<clause id="HECDBCAD52FE14F31A0217F7AF404BB5C"><enum>(i)</enum><text display-inline="yes-display-inline">any person that is not a U.S. person;</text></clause> 
<clause id="H550AC3E6D5C24ECAA970241BA8A796DC"><enum>(ii)</enum><text display-inline="yes-display-inline">any discretionary account or similar account (other than an estate or trust) held for the benefit or account of a non-U.S. person by a dealer or other professional fiduciary organized, incorporated, or (if an individual) resident in the United States;</text></clause> 
<clause id="HF8664946CF26448895AE2EFBD057AA96"><enum>(iii)</enum><text>any agency or branch of a U.S. person located outside the United States if—</text> 
<subclause id="H432ED931EEE04CFDA2DFE61537FAF661"><enum>(I)</enum><text>the agency or branch operates for valid business reasons; and</text></subclause> 
<subclause id="HAD5B6D2B77704895BCC0A4FBAF2B281C"><enum>(II)</enum><text>the agency or branch is engaged in the business of insurance or banking and is subject to substantive insurance or banking regulation, respectively, in the jurisdiction where it is located;</text></subclause></clause> 
<clause id="H9164386001F54F228D274DE3B6380C5E"><enum>(iv)</enum><text display-inline="yes-display-inline">any trust of which any professional fiduciary acting as trustee is a U.S. person, if—</text> 
<subclause id="H8DC8EDD7E97F4B0886E165E2A284DD24"><enum>(I)</enum><text>a trustee who is a non-U.S. person has sole or shared investment discretion with respect to the trust assets; and</text></subclause> 
<subclause id="H091CE4F2786E4BB7AD80B05C43C8A5FD"><enum>(II)</enum><text>no beneficiary of the trust (and no settlor if the trust is revocable) is a U.S. person;</text></subclause></clause> 
<clause id="H49A39068669447E99CA03095D4E57E24"><enum>(v)</enum><text>an employee benefit plan established and administered in accordance with the law, customary practices, and documentation of a country other than the United States; and</text></clause>

<clause id="H15BB22FBFC884A71B28B8EC79FCFFC5F"><enum>(i)</enum><text>any natural person resident in the United States;</text></clause> 
<clause id="HEB22985CD73A46B48AC94C07839642D2"><enum>(ii)</enum><text>any partnership or corporation organized or incorporated under the laws of the United States;</text></clause> 
<clause id="H7D0BC5BFF525410D8EBAC9496B8B61D9"><enum>(iii)</enum><text>any estate of which any executor or administrator is a U.S. person;</text></clause>

<subclause id="HA5CCC229BBE74B04A749FC4E949E68BC"><enum>(I)</enum><text>organized or incorporated under the laws of any foreign jurisdiction; and</text></subclause> 
<subclause id="HBF1908C295804FEAADAB31CA48FD0395"><enum>(II)</enum><text>formed by a U.S. person principally for the purpose of investing in securities not registered under the Securities Act of 1933, unless it is organized or incorporated, and owned, by accredited investors (as such term is defined under section 230.501 of title 17, Code of Federal Regulations) that are not natural persons, estates, or trusts.</text></subclause></clause></subparagraph> 
<subparagraph id="HE59A54E6184E43049D60AD6839065E10"><enum>(E)</enum><header>Anti-Evasion</header><text display-inline="yes-display-inline">Notwithstanding any other provision of this paragraph, a registered security-based swap dealer shall not conduct any activities that are designed to evade any provision of this Act that was enacted by the Wall Street Transparency and Accountability Act of 2010.</text></subparagraph> 
<subparagraph id="H57A5CFC67D9A4E32B2FA5DA91B280810"><enum>(F)</enum><header>Preservation of authority</header><text display-inline="yes-display-inline">Nothing in this paragraph shall—</text> 
<clause id="HEBB0E804A537479AACEAFE3EBA4E0E32"><enum>(i)</enum><text>exempt a transaction described in this paragraph from section 23A or 23B of the Federal Reserve Act, or implementing regulations thereunder; or</text></clause> 
<clause id="H359C3506EFEF4CFA81CF98700D43C6FD"><enum>(ii)</enum><text display-inline="yes-display-inline">affect the authorities of the prudential regulators over the institutions described under subparagraphs (A) through (E) of section 1a(39) of the Commodity Exchange Act (7 U.S.C. 1a(39)) as those authorities are established in law, other than under title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act and amendments made by such title.</text></clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></section>
