		<section id="H3181A2AD55D8440EA6702626FB192241" section-type="section-one"><enum>1.</enum><header>Small Employer Benefit
			 Arrangements</header>
			<subsection id="H08D8A67CF2F942CCBADBEDEA04AE44BC"><enum>(a)</enum><header>Amendments to
			 IRC</header>
				<paragraph id="HF90A293FB5A04AFCB6D4CE851B3433B1"><enum>(1)</enum><header>In
			 general</header><text>Section 414 of the Internal Revenue Code of 1986 is
			 amended by adding at the end the following new subsection:</text>
					<quoted-block display-inline="no-display-inline" id="H8299B728F59049A2B86FB3A2FDA31F5D" style="OLC">
						<subsection id="H2A138D1893BF488184041E047913728B"><enum>(y)</enum><header>Small Employer
				Benefit Arrangements</header>
							<paragraph id="H68C9AC6C9D4F47CE99505E76CD67CFA2"><enum>(1)</enum><header>Treatment as
				employer</header>
								<subparagraph id="HC3BF98154104421B96EC3B8419E70DCD"><enum>(A)</enum><header>Retirement,
				accident, and health insurance</header><text>A small employer benefit
				arrangement meeting the requirements of this subsection shall be treated as an
				<quote>employer</quote> for the purpose of providing qualified retirement and
				accident and health plans (including a plan qualified under section 105(h) or
				section 125) or group-term life insurance under section 79.</text>
								</subparagraph><subparagraph id="H7E184B690C9C44988C4CD59D6C50187F"><enum>(B)</enum><header>Allocation of
				income</header><text display-inline="yes-display-inline">Notwithstanding
				subparagraph (A), the shareholder-members of the small employer benefit
				arrangement shall be treated as employers for purposes of administering and
				allocating items of income, credits, deductions, or exclusions associated with
				the provision of employee benefits.</text>
								</subparagraph></paragraph><paragraph id="HD1D66F912B314C86BA37A90EA3399223"><enum>(2)</enum><header>Certain
				Organizations Prohibited</header>
								<subparagraph id="H9DD34B2FDE9C4680B45AACAC6F4C0A3A"><enum>(A)</enum><header>In
				general</header><text display-inline="yes-display-inline">An organization shall
				not be treated as a small employer benefit arrangement if the small employer
				benefit arrangement or any related entity is owned, in whole or in part, or
				managed or controlled in whole or in part, by any management agreement or
				certificates of indebtedness, directly or indirectly, or by an agents, brokers
				or providers of a—</text>
									<clause id="H7592D7E5CD8D48A28ECE3817B2819BA8"><enum>(i)</enum><text display-inline="yes-display-inline">health, life, or disability insurer;</text>
									</clause><clause id="HA484B81D23A445F0B0191DFF26D3708F"><enum>(ii)</enum><text>retirement plan
				service provider (including persons who provide plan design, administration,
				and investment advice services to retirement plans);</text>
									</clause><clause id="H57C477F72702498F9AA21F37F0F097B2"><enum>(iii)</enum><text>claim
				administrators; and</text>
									</clause><clause id="H6C36216715BB42BAB663352647DBB011"><enum>(iv)</enum><text>investment
				advisors.</text>
									</clause></subparagraph><subparagraph id="H27CD1763AEF64F4FBE2DE79DA8DAFE04"><enum>(B)</enum><header>Ordinary
				provision of products and services</header><text display-inline="yes-display-inline">Nothing in this paragraph shall be
				construed—</text>
									<clause id="H7ACB072177CC4EE78A2C26B1594B9194"><enum>(i)</enum><text>to
				prohibit a small employer benefit arrangement from contracting for the ordinary
				provision of products and services from any persons or organizations that might
				otherwise be prohibited from having an ownership or management interest in a
				small employer benefit arrangement, or</text>
									</clause><clause id="H81C0F0A17A3F4442BE4FF267E39C09B0"><enum>(ii)</enum><text>to prohibit small
				employer benefit arrangements from creating, by and between themselves, service
				organizations owned and controlled exclusively by small employer benefit
				arrangements to provide for such products and services in the fulfillment of
				their purposes.</text>
									</clause></subparagraph></paragraph><paragraph id="H3F3823710ED543D2ADFD6A9255B956AC"><enum>(3)</enum><header>Definition</header><text display-inline="yes-display-inline">The term <term>small employer benefit
				arrangement</term> means a member owned, democratically controlled cooperative
				organization that—</text>
								<subparagraph id="H6932BED89A49427A9D313AA89637CBA0"><enum>(A)</enum><text>meets the
				requirements of subchapter T;</text>
								</subparagraph><subparagraph id="HCA1BDC5F83E74C31A0A1B30B82084968"><enum>(B)</enum><text>has at least 21
				shareholders of whom 90 percent are in the same or similar line of
				business;</text>
								</subparagraph><subparagraph id="H5488D5531ADD405BACCFAF48FEB4431D"><enum>(C)</enum><text display-inline="yes-display-inline">sponsors an accident and health plan for
				shareholder-members and any employees of shareholder-members;</text>
								</subparagraph><subparagraph id="H9AABE876DFF246BABB6E29FA9AF2C959"><enum>(D)</enum><text display-inline="yes-display-inline">sponsors a qualified retirement plan that
				meets the requirements of paragraph (12) or (13) of section 401(k) and is
				available to shareholder-members and any employees of
				shareholder-members;</text>
								</subparagraph><subparagraph id="H20B652DC35F34684A3849E6BE96E1255"><enum>(E)</enum><text>provides employee
				benefits pursuant to a written agreement; and</text>
								</subparagraph><subparagraph id="H35268384A70942C58230A06F3AD56774"><enum>(F)</enum><text>requires all
				benefit eligible employees of a shareholder-member to participate according to
				the same statutory eligibility criteria normally accorded such
				persons.</text>
								</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="HC4DF3F07C07F442FBB90831CC52703BE"><enum>(2)</enum><header>Effective
			 Date</header><text>The amendments made by this subsection shall apply with
			 respect to plan years beginning on or after the date of the enactment of this
			 Act.</text>
				</paragraph></subsection><subsection id="H7AB74118D3094517B230A6D39FAC840A"><enum>(b)</enum><header>Amendments to
			 ERISA</header>
				<paragraph id="HA5525293947A4A0FBEAA091B47A16A15"><enum>(1)</enum><header>Treatment as
			 employer</header><text>Section 3 of the Employee Retirement and Income Security
			 Act (29 U.S.C. 1002) is amended—</text>
					<subparagraph id="H28BCF0A9B89C4EFA8E0F78D32555B511"><enum>(A)</enum><text>in paragraph (5),
			 by inserting <quote>or a small employer benefit arrangement</quote> after
			 <quote>a group or association of employers</quote>; and</text>
					</subparagraph><subparagraph id="H8F43ABC687674A519618308F0EC92F1F"><enum>(B)</enum><text display-inline="yes-display-inline">by adding at the end the following new
			 paragraph:</text>
						<quoted-block display-inline="no-display-inline" id="H1F163BCDCE4F4074BCB2F381F73FC71C" style="traditional">
							<paragraph id="H12697A3C7A49420EB0D91DF7F4E79231" indent="up1"><enum>(43)</enum><text display-inline="yes-display-inline">The term <term>small employer benefit
				arrangement</term> means a member owned, democratically controlled cooperative
				organization that—</text>
								<subparagraph id="HF492581B22E34628B8C79FC2075C353F"><enum>(A)</enum><text>meets the requirements of subchapter T
				of chapter 1 of the Internal Revenue Code of 1986;</text>
								</subparagraph><subparagraph id="H1474C8DAEF7B4A6EAF20F41C1F543C41"><enum>(B)</enum><text>has at least 21 shareholders of whom
				90 percent are in the same or similar line of business;</text>
								</subparagraph><subparagraph id="HC776C32C09564DB780C18711473F8048"><enum>(C)</enum><text display-inline="yes-display-inline">sponsors an accident and health plan for
				shareholder-members and any employees of shareholder-members;</text>
								</subparagraph><subparagraph id="H997BB05C2A254B10AA1750118CD2D764"><enum>(D)</enum><text display-inline="yes-display-inline">sponsors a qualified retirement plan that
				meets the requirements of paragraph (12) or (13) of section 401(k) of the
				Internal Revenue Code of 1986 and is available to shareholder-members and any
				employees of shareholder-members;</text>
								</subparagraph><subparagraph id="H62E73124C4314600A10EC5A4D8ECE152"><enum>(E)</enum><text>provides employee benefits pursuant to
				a written agreement; and</text>
								</subparagraph><subparagraph id="H98C53A61608A401F82465E0B5D2DA21E"><enum>(F)</enum><text>requires all benefit eligible
				employees of a shareholder-member to participate according to the same
				statutory eligibility criteria normally accorded such
				persons.</text>
								</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
					</subparagraph></paragraph><paragraph id="H3984DA9D786549E1A5EBA414C08D44B3"><enum>(2)</enum><header>Self-insurance
			 prohibited</header><text display-inline="yes-display-inline">Section 609 of
			 such Act (29 U.S.C. 1169) is amended—</text>
					<subparagraph id="H0C3E64EA012E4C4DACD6E8BEBA9B8028"><enum>(A)</enum><text>by redesignating
			 subsection (e) as subsection (f); and</text>
					</subparagraph><subparagraph id="H157F2F5F6501480B95BF0E1385E0441A"><enum>(B)</enum><text>by inserting after
			 subsection (d) the following new subsection:</text>
						<quoted-block display-inline="no-display-inline" id="H8B785DDE448E470E88CA4EEF61717E06" style="OLC">
							<subsection id="HD5802725F1A04AA297D4DEABFBDBE28F"><enum>(e)</enum><header>Small Employer
				Benefit Arrangements</header>
								<paragraph display-inline="no-display-inline" id="H66CBE2D0628C40078DD025346F2005D0"><enum>(1)</enum><header>Self-insurance
				prohibited</header><text display-inline="yes-display-inline">Any group health
				plan established or maintained by a small employer benefit arrangement shall be
				fully insured.</text>
								</paragraph><paragraph id="H01B65F7BFF414D70A36E6CFA042FD6BE"><enum>(2)</enum><header>Fully insured
				defined</header><text>A group health plan established or maintained by a small
				employer benefit arrangement shall be considered fully insured only if the
				terms of the arrangement provide for benefits the amount of all of which the
				Secretary determines are guaranteed under a contract, or policy of insurance,
				issued by an insurance company, insurance service, or insurance organization,
				qualified to conduct business in a
				State.</text>
								</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
					</subparagraph></paragraph><paragraph id="HB6BB768D5D89451BAE69D59D0AD5083B"><enum>(3)</enum><header>Effective
			 date</header><text>The amendments made by this subsection shall apply with
			 respect to plan years beginning on or after the date of the enactment of this
			 Act.</text>
				</paragraph></subsection><subsection id="H226730D4737B4EDEBA57DB90BFB9A9CE"><enum>(c)</enum><header>Amendments to
			 PPACA</header>
				<paragraph id="H41F01DD2F235450BA47DFA10EC01F5E4"><enum>(1)</enum><header>Small employer
			 benefit arrangement defined</header><text display-inline="yes-display-inline">Section 1304(b) of the Patient Protection
			 and Affordable Care Act (42 U.S.C. 18024(b)) is amended by adding at the end
			 the following new paragraph:</text>
					<quoted-block display-inline="no-display-inline" id="H7AFE9EC8254B41409061C18851B38A03" style="OLC">
						<paragraph id="H01DD4356BE5B4DB08CD53B2DCB565660"><enum>(5)</enum><header>Small employer
				benefit arrangement</header><text display-inline="yes-display-inline">The term
				<term>small employer benefit arrangement</term> has the meaning given such term
				in section 3(43) of the Employee Retirement and Income Security
				Act.</text>
						</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="HE05B977236794E7993AC3537B1EBD915"><enum>(2)</enum><header>Qualified health
			 plans</header><text>Section 1301(a) of such Act (42 U.S.C. 18021(a)) is amended
			 by adding at the end the following new paragraph:</text>
					<quoted-block display-inline="no-display-inline" id="HE393FCE2EC9B4F639ADD4C57E4701F9A" style="OLC">
						<paragraph id="H97A2C6F9B8684C23A6F96363323970D1"><enum>(5)</enum><header>Inclusion of
				small employer benefit arrangement plans</header><text display-inline="yes-display-inline">Any reference in this title to a qualified
				health plan shall be deemed to include any group health plan established or
				maintained by a small employer benefit
				arrangement.</text>
						</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="H8F28848CFF2544A58E2E9A541777FEAF"><enum>(3)</enum><header>Eligibility to
			 participate in American Health Benefit Exchanges</header><text>Section
			 1312(f)(2) of such Act (42 U.S.C. 18032(f)(2)) is amended by adding at the end
			 the following new subparagraph:</text>
					<quoted-block display-inline="no-display-inline" id="HE44F38DB625D4D589BA6406176EB9776" style="OLC">
						<subparagraph id="H48CD84C20456496C9CC46AB190D567EC"><enum>(C)</enum><header>Small employer
				benefit arrangements</header><text display-inline="yes-display-inline">For
				purposes of subparagraph (A), a small employer benefit arrangement shall be
				treated as a small
				employer.</text>
						</subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="H06AF25CFA86B48EFBA89079F32B56F7B"><enum>(4)</enum><header>Effective
			 date</header><text>The amendments made to any provision by this subsection
			 shall take effect as if included in the enactment of such provision.</text>
				</paragraph></subsection></section></legis-body>
