		  1974, the Commodity Exchange Act, and the Securities Exchange Act of 1934 to
		  ensure that pension plans can use swaps to hedge risks, and for other

		<section id="HFF2B5AFEA17E47EFBD782791F3894F3C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Retirement Income Protection Act of
			 2011</short-title></quote>.</text>
		</section><section id="H9AB36F65FC204BA68322B75B4FDBA41A"><enum>2.</enum><header>Clarification of
			 the definition of fiduciary</header><text display-inline="no-display-inline">Section 3(21) of the Employee Retirement
			 Income Security Act of 1974 (29 U.S.C. 1002(21)) is amended—</text>
			<paragraph id="HFFE42A34519441E0866A419F51E62E26"><enum>(1)</enum><text>in subparagraph
			 (A), by striking <quote>subparagraph (B)</quote> and inserting
			 <quote>subparagraphs (B) and (C)</quote>;</text>
			</paragraph><paragraph id="H2F382B3E7FA64566862AA590BD67F6C7"><enum>(2)</enum><text>by adding at the
			 end the following subparagraph:</text>
				<quoted-block display-inline="no-display-inline" id="H98A94808DD5D4319A89AFFAAE884047A" style="OLC">
					<subparagraph id="H7146FB88AD8C401E95815A69C7DD0119" indent="up1"><enum>(C)</enum><text display-inline="yes-display-inline">No
				person shall be a fiduciary with respect to a plan by reason of any service,
				act, or duty that such person is required to perform with respect to such plan
				by reason of section 4s(h) of the Commodity Exchange Act, section 15F(h) of the
				Securities Exchange Act of 1934, any rule, regulation, or standard prescribed
				pursuant to such sections, or any other Federal law, rule, or regulation.</text>
					</subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="H43783B8245D245FC8AAC00F55A334DDC"><enum>3.</enum><header>Clarification of
			 the definition of special entity and removal of ERISA plans</header>
			<subsection id="H07E38EFF055A4555B714BF40E08E362D"><enum>(a)</enum><header>Amendment to the
			 CEA</header><text>Section 4s(h)(2)(C) of the Commodity Exchange Act (7 U.S.C.
			 6s(h)(2)(C)) is amended—</text>
				<paragraph id="H1BFBA472182F4035AF18D77B68A5ADE3"><enum>(1)</enum><text>by striking
			 <quote>For purposes</quote> and inserting <quote>(i) For purposes</quote>;</text>
				</paragraph><paragraph id="H3EDF0E6FE75D4084B3DA48CF6D89043D"><enum>(2)</enum><text>by striking clause
			 (iii) and redesignating clauses (i), (ii), (iv), and (v) as subclauses (I),
			 (II), (III) and (IV), respectively; and</text>
				</paragraph><paragraph id="H1E031EBBE52C41CDB6DD11DE4E7EFF75"><enum>(3)</enum><text>by adding at the
			 end the following:.</text>

			 of the Securities Exchange Act of 1934 (15 U.S.C. 78o–10(h)(2)(C)) is
			 amended—</text>

			 <quote>For purposes</quote> and inserting <quote>(i) For purposes</quote>;</text>
				</paragraph><paragraph id="H5883B3DE3D4842D786DAE4176D4E30E0"><enum>(2)</enum><text>by striking clause
			 (iii) and redesignating clauses (i), (ii), (iv), and (v) as subclauses (I),
			 (II), (III) and (IV), respectively; and</text>

			 amendments to counterparty requirements</header>
			<subsection id="H0D47B0FFF1F64C0099F3DADD05DBE624"><enum>(a)</enum><header>Amendment to the
			 CEA</header><text>Section 4s(h)(5)(A)(i) of the Commodity Exchange Act (7
			 U.S.C. 6s(h)(5)(A)(i)) is amended—</text>
				<paragraph id="H555FB0B9FC3147FC8B6AE1079F2C24BF"><enum>(1)</enum><text>by inserting
			 <quote>and</quote> after the semicolon in subclause (V); and</text>
				</paragraph><paragraph id="H4B77772E61894293B393986372CEB7F8"><enum>(2)</enum><text>by striking
			 subclause (VII).</text>
				</paragraph></subsection><subsection id="H22328A1C44A74125B0CFD3B19316EEC6"><enum>(b)</enum><header>Amendment to the
			 1934 Act</header><text>Section 15F(h)(5)(A)(i) of the Securities Exchange Act
			 of 1934 (15 U.S.C. 78o–10(h)(5)(A)(i)) is amended—</text>
				<paragraph id="HFA908A84FEDC431EA10147967592E2A6"><enum>(1)</enum><text>by inserting
			 <quote>and</quote> after the semicolon in subclause (V); and</text>
				</paragraph><paragraph id="HC938BA551B914135BCEC81E190ECF719"><enum>(2)</enum><text>by striking
			 subclause (VII).</text>
				</paragraph></subsection></section><section id="H2F14BB560B9D428D936FFD5EA31E1530"><enum>5.</enum><header>Clarification of
			 the definition of advisor</header>
			<subsection id="H9BF4EC01412947BABF33217EE13A0F92"><enum>(a)</enum><header>Amendment to the
			 CEA</header><text display-inline="yes-display-inline">Section 4s(h)(4) of the
			 Commodity Exchange Act (7 U.S.C. 6s(h)(4)) is amended—</text>
				<paragraph id="H5E81F724C04C452294CE93CFF9CC4D74"><enum>(1)</enum><text display-inline="yes-display-inline">in subparagraph (B), by adding at the end
			 the following: <quote>The duty of a swap dealer to act in the best interests of
			 a Special Entity shall not be construed to be a fiduciary standard under
			 Federal or State Law.</quote>; and</text>
				</paragraph><paragraph id="HEBDBBEDF0A404F0F9BC86E13D1DF9F3F"><enum>(2)</enum><text>by adding at the
			 end the following:</text>
					<quoted-block display-inline="no-display-inline" id="HA09ECC865FFB4A378541FD2A776DE0DF" style="OLC">
						<subparagraph commented="no" id="H39EA3ADD571E41739672B2773559FDDE"><enum>(D)</enum><header>Rule of
				construction</header><text display-inline="yes-display-inline">A swap dealer
				will not be treated as an advisor to a Special Entity if—</text>
							<clause commented="no" id="H466E3A51C4F347CBB54FA82695204F95"><enum>(i)</enum><text>the Special Entity
				represents in writing that—</text>
								<subclause commented="no" id="HEA3410448978492B97F89B81CBB31058"><enum>(I)</enum><text>the Special Entity
				will not rely on recommendations provided by the swap dealer; and</text>
								</subclause><subclause commented="no" id="H466A6B5AB5184BEC868ED449BB7118B5"><enum>(II)</enum><text>the Special
				Entity will rely on advice from an independent representative as described in
				paragraph (5); and</text>
								</subclause></clause><clause commented="no" id="HE3890FF6B3164B29ACF2BFF5A3BDD216"><enum>(ii)</enum><text>the swap dealer
				discloses to the Special Entity that it is not undertaking to act in the best
				interests of the Special Entity, as otherwise required by this paragraph.</text>
							</clause><continuation-text commented="no" continuation-text-level="subparagraph">No swap dealer shall be considered
				to act as an advisor to a Special Entity solely by reason of providing
				information to an independent representative described in paragraph (5)(D) of a
				Special
				Entity.</continuation-text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H906DAFCD0CA149F282690691AB97096E"><enum>(b)</enum><header>Amendment to the
			 1934 Act</header><text display-inline="yes-display-inline">Section 15F(h)(4)(B)
			 of the Securities Exchange Act of 1934 (15 U.S.C. 78o–10(h)(4)(B)) is
			 amended—</text>
				<paragraph id="H07BF70A0623149C89314817FD62D72A1"><enum>(1)</enum><text>in subparagraph
			 (B), by adding at the end the following: <quote>The duty of a security-based
			 swap dealer to act in the best interests of a Special Entity shall not be
			 construed to be a fiduciary standard under Federal or State Law.</quote>;
			 and</text>
				</paragraph><paragraph id="H98986F3DFD88477996B1D6F402882D51"><enum>(2)</enum><text>by adding at the
			 end the following:</text>
					<quoted-block display-inline="no-display-inline" id="H032091E9B24442A79E2BFBD2B0DA3BEF" style="OLC">
						<subparagraph commented="no" id="H806E919B276E422A95C7F88648C5C30C"><enum>(D)</enum><header>Rule of
				construction</header><text display-inline="yes-display-inline">A security-based
				swap dealer will not be treated as an advisor to a Special Entity if—</text>
							<clause commented="no" id="HF2853A8AB51C46849BA73448043772FC"><enum>(i)</enum><text>the Special Entity
				represents in writing that—</text>
								<subclause commented="no" id="H14D5846CBF3E4A71AB5D847F6EAD941E"><enum>(I)</enum><text display-inline="yes-display-inline">the Special Entity will not rely on
				recommendations provided by the security-based swap dealer; and</text>
								</subclause><subclause commented="no" id="H90EE2BD610184DBB904490FEC336C224"><enum>(II)</enum><text>the Special
				Entity will rely on advice from an independent representative as described in
				paragraph (5); and</text>
								</subclause></clause><clause commented="no" id="HFE21A691300F4EDAA3222A2401FCCD47"><enum>(ii)</enum><text display-inline="yes-display-inline">the security-based swap dealer discloses to
				the Special Entity that it is not undertaking to act in the best interests of
				the Special Entity, as otherwise required by this paragraph.</text>
							</clause><continuation-text commented="no" continuation-text-level="subparagraph">No security-based swap dealer
				shall be considered to act as an advisor to a Special Entity solely by reason
				of providing information to an independent representative described in
				paragraph (5)(D) of a Special
				Entity.</continuation-text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection></section><section id="H7A2DB2F4ACDD435697F3CECBAC6AA0AF"><enum>6.</enum><header>Clarification of
			 the definition of independent representatives</header>
			<subsection commented="no" id="H90062A2AE22C44B8ACFF1C27F07428E0"><enum>(a)</enum><header>Amendment to the
			 CEA</header><text display-inline="yes-display-inline">Section 4s(h)(5) of the
			 Commodity Exchange Act (7 U.S.C. 6s(h)(5)) is amended—</text>
				<paragraph commented="no" id="H672C4040D6DC43009740AA98480E8091"><enum>(1)</enum><text>in subparagraph
			 (A)(ii) by striking <quote>; and</quote> and inserting a period;</text>
				</paragraph><paragraph commented="no" id="H686108496D874E2A9DCF88422566AE48"><enum>(2)</enum><text>in subparagraph
			 (B), by striking <quote>the Commission</quote> and inserting <quote>The
			 Commission</quote>;</text>
				</paragraph><paragraph commented="no" id="H23C444078B574E399A0261DA531D806C"><enum>(3)</enum><text>by adding at the
			 end the following subparagraphs:</text>
					<quoted-block display-inline="no-display-inline" id="H1871B67A08A54150A7BC8993E110AAAB" style="OLC">
						<subparagraph commented="no" id="H62E4D61F04554C568893197A3877CB3A"><enum>(C)</enum><text display-inline="yes-display-inline">A representative of a Special Entity will
				be considered to be independent of a swap dealer if—</text>
							<clause commented="no" id="H394E91CDF209461F8C8A30D64060967C"><enum>(i)</enum><text>the representative
				is not an associated person of the swap dealer within the meaning of section
				1a(4); and</text>
							</clause><clause commented="no" id="HE131377D19B540999FC78B1B913C93E0"><enum>(ii)</enum><text>no more than 10
				percent of the gross revenues of the representative are derived from the swap
				dealer.</text>
							</clause></subparagraph><subparagraph commented="no" id="H389DBB6D31A44B90B7B57A688CDE0333"><enum>(D)</enum><text>Each of the
				requirements of this paragraph shall be considered to be met if the Special
				Entity represents to the swap dealer that it is represented by—</text>
							<clause commented="no" id="H02C2DB42B24D401B93122E18F53C0907"><enum>(i)</enum><text>an entity
				registered as an investment adviser under the Investment Advisers Act of
				1940;</text>
							</clause><clause commented="no" id="H47706F5A0B03457BBEFDF9B70467F75A"><enum>(ii)</enum><text>a commodity
				trading adviser as defined in section 1a(12);</text>
							</clause><clause commented="no" id="HE0CD056EAFE74AAB97898057F7CDF198"><enum>(iii)</enum><text>a municipal
				advisor as defined in section 15B(e)(4) of the Securities Exchange Act of 1934;
				or</text>
							</clause><clause commented="no" id="H44AC2D9A3FC944409C88813E13CFF48C"><enum>(iv)</enum><text>an advisor
				certified by the National Futures
				Association.</text>
							</clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H0E07554EC6D049AD8D3681AFA2AFBAA3"><enum>(b)</enum><header>Amendment to the
			 1934 Act</header><text display-inline="yes-display-inline">Section 15F(h)(5) of
			 the Securities Exchange Act of 1934 (15 U.S.C. 78o–10(h)(5)) is amended by
			 adding at the end the following subparagraphs:</text>
				<quoted-block display-inline="no-display-inline" id="HE83D978D467B40B1B041FC04B90B9F0F" style="OLC">
					<subparagraph id="H9F64BE0F4D75496287A8F904A8B231BE"><enum>(C)</enum><header>Independence</header><text display-inline="yes-display-inline">A representative of a Special Entity will
				be considered to be independent of a security-based swap dealer if—</text>
						<clause id="H9BA69095995E4C05885FA87239068E47"><enum>(i)</enum><text>the representative
				is not an associated person of the security-based swap dealer within the
				meaning of section 1a(4) of the Commodity Exchange Act; and</text>
						</clause><clause id="HCDE9DFA4478A4982A536FAFDFA9BEC65"><enum>(ii)</enum><text>no more than 10
				percent of the gross revenues of the representative are derived from the
				security-based swap dealer.</text>
						</clause></subparagraph><subparagraph id="H0F1481EC50DA494C9156829590F01341"><enum>(D)</enum><header>Rule of
				construction</header><text>Each of the requirements of this paragraph shall be
				considered to be met if the Special Entity represents to the security-based
				swap dealer that it is represented by—</text>
						<clause id="H34601573ABBA4B11861945498181B0F3"><enum>(i)</enum><text>an
				entity registered as an investment adviser under the Investment Advisers Act of
				1940;</text>
						</clause><clause id="HDD7AAC53A0E64584B017E1874931672C"><enum>(ii)</enum><text>a
				commodity trading adviser as defined in section 1a(12) of the Commodity
				Exchange Act;</text>
						</clause><clause id="H4B36ECC46D1C4E7AB2B12709AF5BB027"><enum>(iii)</enum><text>a municipal
				advisor as defined in section 15B(e)(4); or</text>
						</clause><clause commented="no" id="HAE505BD730BF41E4950618C89235C770"><enum>(iv)</enum><text>an advisor
				certified by the Financial Industry Regulatory
				Authority.</text>
						</clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection></section><section id="HC9C46A98E8F14686AFE10CBFF591D069"><enum>7.</enum><header>Amendment to the
			 definition of commodity trading advisor</header><text display-inline="no-display-inline">Section 1a(12)(B)(iii) of the Commodity
			 Exchange Act (7 U.S.C. 1a(12)(B)(iii)) is amended by striking <quote>or futures
			 commission merchant</quote> and inserting <quote>, futures commission merchant,
			 or swap dealer</quote>.</text>
		</section><section id="HF60DBF52E48F4CC885FE0F2CC50B5361"><enum>8.</enum><header>Effective
			 date</header>
			<subsection commented="no" id="HA2112EC7D959498CB2F510214CAC2316"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">The amendments made
			 by sections 3 through 7 to the respective provisions of the Commodity Exchange
			 Act and the Securities Exchange Act of 1934 shall take effect as if included in
			 the sections of the Dodd-Frank Wall Street Reform and Consumer Protection Act
			 that added such respective provisions to such Acts.</text>
			</subsection><subsection id="HE44139D9C4C7453EB208DDEAA7031598"><enum>(b)</enum><header>ERISA
			 amendments</header><text display-inline="yes-display-inline">The amendment made
			 by section 2 of this Act shall take effect as if enacted on the date of
			 enactment of the Dodd-Frank Wall Street Reform and Consumer Protection
			 Act.</text>
