		<official-title display="yes">To direct the Securities and Exchange
		  Commission to eliminate the prohibition against general solicitation as a
		  requirement for a certain exemption under Regulation D.</official-title>

		<section id="HC29C4585237F45B9BF9610C45798FD6B" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Access to Capital for Job Creators
			 Act</short-title></quote>.</text>
		</section><section id="H3E794C0E0BBD485D9820FBA7EDEC50CC"><enum>2.</enum><header>Modification of
			 exemption</header>
			<subsection id="HDBF6CE29518F46EDAF22D2968815AFD2"><enum>(a)</enum><header>Removal of
			 restriction</header><text display-inline="yes-display-inline">Section 4(2) of
			 the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77d">15 U.S.C. 77d(2)</external-xref>) is amended by
			 adding before the period the following: <quote>, whether or not such
			 transactions involve general solicitation or general
			 advertising</quote>.</text>
			</subsection><subsection id="H18E7E6A4C40A47BAA1150AA0441EED3F"><enum>(b)</enum><header>Modification of
			 rules</header><text display-inline="yes-display-inline">Not later than 90 days
			 after the date of the enactment of this Act, the Securities and Exchange
			 Commission shall revise its rules issued in
			 <external-xref legal-doc="regulation" parsable-cite="cfr/17/230.506">section
			 230.506</external-xref> of title 17, Code of Federal Regulations, to provide
			 that the prohibition against general solicitation or general advertising
			 contained in section 230.502(c) of such title shall not apply to offers and
			 sales of securities made pursuant to section 230.506, provided that all
			 purchasers of the securities are accredited investors. Such rules shall require
			 the issuer to take reasonable steps to verify that purchasers of the securities
			 are accredited investors, using such methods as determined by the
			 Commission.</text>
