		<section id="H2FAD93369C6E498C9CF0E8242D682AFC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Whistleblower Improvement Act of
			 2011</short-title></quote>.</text>
		</section><section id="HFF630F00C49F4A6DBBC9F4C3879E8457"><enum>2.</enum><header>Amendments to the
			 Securities Exchange Act of 1934</header>
			<subsection id="H21C18CE85E984539AF489583E68D2A1F"><enum>(a)</enum><header>Exclusion of
			 certain compliance officers and Internal reporting as a condition of
			 award</header><text display-inline="yes-display-inline">Section 21F of the
			 Securities Exchange Act of 1934 (15 U.S.C. 78u–6) is amended—</text>
				<paragraph id="HE0C59F588B444747B85556D1407A82B8"><enum>(1)</enum><text>in subsection (b),
			 by redesignating paragraph (2) as paragraph (3) and inserting after paragraph
			 (1) the following:</text>
					<quoted-block display-inline="no-display-inline" id="HF3ABF319A3D64928B0FFE232E69FB102" style="OLC">
						<paragraph id="H192E284D43CE425A82F8CBA388882AE4"><enum>(2)</enum><header>Internal
				reporting required</header><text display-inline="yes-display-inline">In the
				case of a whistleblower who is an employee providing information relating to
				misconduct giving rise to the violation of the securities laws that was
				committed by his or her employer or another employee of the employer, to be
				eligible for an award under this section, the whistleblower, or any person
				obtaining reportable information from the whistleblower, shall—</text>
							<subparagraph id="H262AC495BBD14648A25C92CE1994BABF"><enum>(A)</enum><text>first report the
				information described in paragraph (1) to his or her employer before reporting
				such information to the Commission; and</text>
							</subparagraph><subparagraph id="HDC2AC57C427142BE8EAB3BFC6E0FBF38"><enum>(B)</enum><text>report such
				information to the Commission not later than 180 days after reporting the
				information to the employer.</text>
							</subparagraph></paragraph><after-quoted-block>;
				and</after-quoted-block></quoted-block>
				</paragraph><paragraph commented="no" id="HC6E36498A82B4F6CA747C7A553D0A431"><enum>(2)</enum><text>in subsection
			 (c)(2)—</text>
					<subparagraph commented="no" id="HA27156DFB57B448E894F4E8BF7F4BD3D"><enum>(A)</enum><text>in subparagraph
			 (C), by striking <quote>or</quote> at the end; and</text>
					</subparagraph><subparagraph commented="no" id="HDF109642D3F94D4E8A2CEF547205F54D"><enum>(B)</enum><text>by redesignating
			 subparagraph (D) as subparagraph (F) and inserting after subparagraph (C) the
			 following:</text>
						<quoted-block display-inline="no-display-inline" id="HC6629C5F671B40EFBF67D342E82C4F15" style="OLC">
							<subparagraph commented="no" id="H820EC40D6960486D99692FC29242316E"><enum>(D)</enum><text display-inline="yes-display-inline">to any whistleblower who fails to first
				report the information described in subsection (b)(1) that is the basis for the
				award to his or her employer before reporting such information to the
				Commission, in the case where the misconduct giving rise to the violation of
				the securities laws was committed by such employer or an employee of the
				employer, unless the whistleblower alleges and the Commission determines that
				the employer lacks either a policy prohibiting retaliation for reporting
				potential misconduct or an internal reporting system allowing for anonymous
				reporting, or the Commission determines in a preliminary investigation not
				exceeding 30 days that internal reporting was not a viable option for the
				whistleblower based on—</text>
								<clause commented="no" id="H34DE30DF729F455989672AB305515B5F"><enum>(i)</enum><text>evidence that the
				alleged misconduct was committed by or involved the complicity of the highest
				level of management; or</text>
								</clause><clause commented="no" id="H36F8CDD2D40A4796ACB457C7DD604C38"><enum>(ii)</enum><text>other evidence of
				bad faith on the part of the employer;</text>
								</clause></subparagraph><subparagraph commented="no" id="H6A51ABBB4A294967A53B6D43AEC86C66"><enum>(E)</enum><text display-inline="yes-display-inline">to any whistleblower who has legal,
				compliance, or similar responsibilities for or on behalf of an entity and has a
				fiduciary or contractual obligation to investigate or respond to internal
				reports of misconduct or violations or to cause such entity to investigate or
				respond to the misconduct or violations, if the information learned by the
				whistleblower during the course of his or her duties was communicated to such a
				person with the reasonable expectation that such person would take appropriate
				steps to so respond;
				and</text>
							</subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
					</subparagraph></paragraph></subsection><subsection commented="no" id="HE5AEBBD0A81D4AE1B70B89B775DF02A5"><enum>(b)</enum><header>Elimination of
			 minimum award requirement</header><text display-inline="yes-display-inline">Subsection (b)(1) of such section is
			 amended—</text>
				<paragraph commented="no" id="H3458C38AC0BD45D7899B2133F999933D"><enum>(1)</enum><text>by striking
			 <quote>shall</quote> and inserting <quote>may</quote>; and</text>
				</paragraph><paragraph commented="no" id="H43689D665428449F8407E11B02FF047B"><enum>(2)</enum><text>by striking
			 <quote>in an aggregate amount equal to—</quote> and all that follows and
			 inserting <quote>an amount determined by the Commission but not more than 30
			 percent, in total, of what has been collected of the monetary sanctions imposed
			 in the action or related actions.</quote>.</text>
				</paragraph></subsection><subsection id="H53969A6E432345E3929FEF9014CCCD9F"><enum>(c)</enum><header>Exclusion of
			 whistleblowers found culpable</header><text display-inline="yes-display-inline">Subsection (c)(2)(B) of such section is
			 amended by inserting <quote>, is found civilly liable, or is otherwise
			 determined by the Commission to have committed, facilitated, participated in,
			 or otherwise been complicit in misconduct related to such violation</quote>
			 after <quote>violation</quote>.</text>
			</subsection><subsection commented="no" id="H0186A1A5AC0A4489BD26E38774CC4B4A"><enum>(d)</enum><header>Rule of
			 Construction relating to other workplace policies</header><text>Subsection
			 (h)(1) of such section is amended by adding at the end the following:</text>
				<quoted-block display-inline="no-display-inline" id="H3704342444BC48EE829CDCC4FF1C6C8A" style="OLC">
					<subparagraph commented="no" id="H289AD9CCF04C4E3F83D8717880E0DAA3"><enum>(D)</enum><header>Rule of
				Construction</header><text display-inline="yes-display-inline">Nothing in this
				paragraph shall be construed as prohibiting or restricting any employer from
				enforcing any established employment agreements, workplace policies, or codes
				of conduct against a whistleblower, and any adverse action taken against a
				whistleblower for any violation of such agreements, policies, or codes shall
				not constitute retaliation for purposes of this paragraph, provided such
				agreements, policies, or codes are enforced consistently with respect to other
				employees who are not
				whistleblowers.</text>
					</subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H1CCE910552B54A8890C921FA819441DA"><enum>(e)</enum><header>Notification to
			 employer</header><text display-inline="yes-display-inline">Paragraph (2) of
			 subsection (h) of such section is amended—</text>
				<paragraph id="H19DE9124FF3E45C38A89C0D45B8A1F96"><enum>(1)</enum><text>in the paragraph
			 heading, by striking <quote><header-in-text level="paragraph" style="OLC">confidentiality</header-in-text></quote> and inserting
			 <quote><header-in-text level="paragraph" style="OLC">Notification to employer
			 and confidentiality</header-in-text></quote>;</text>
				</paragraph><paragraph id="H14E720506360447595264135F56A9D5E"><enum>(2)</enum><text display-inline="yes-display-inline">by redesignating subparagraph (A) through
			 (D) as subparagraphs (B) through (E), respectively;</text>
				</paragraph><paragraph id="H5DD69AFC5C534573AB27910F70CF8B9B"><enum>(3)</enum><text>by inserting a new
			 subparagraph (A) as follows:</text>
					<quoted-block display-inline="no-display-inline" id="H2058338AE54F424A8678D109F2760F9C" style="OLC">
						<subparagraph id="H22F236A150B74162A57AB2EA07029CF4"><enum>(A)</enum><header>Notification of
				investigation</header>
							<clause id="H5FB3A0F1AC5E45BCB58F47AD9623789B"><enum>(i)</enum><header>Notification
				required</header><text>Prior to commencing any enforcement action relating in
				whole or in part to any information reported to it by a whistleblower, the
				Commission shall notify any entity that is to be subject to such action of
				information received by the Commission from a whistleblower who is an employee
				of such entity to enable the entity to investigate the alleged misconduct and
				take remedial action, unless the Commission determines in the course of a
				preliminary investigation of the alleged misconduct, not exceeding 30 days,
				that such notification would jeopardize necessary investigative measures and
				impede the gathering of relevant facts, based on—</text>
								<subclause id="HA74BFF172DAE4D43A338CB1B4BB7768B"><enum>(I)</enum><text display-inline="yes-display-inline">evidence that the alleged misconduct was
				committed by or involved the complicity of the highest level management of the
				entity; or</text>
								</subclause><subclause id="HD2CEED20DAA4419F9925D9033371657D"><enum>(II)</enum><text display-inline="yes-display-inline">other evidence of bad faith on the part of
				the entity.</text>
								</subclause></clause><clause id="H12367B69538A4D058CF6D76FC4AD84A8"><enum>(ii)</enum><header>Good
				faith</header><text display-inline="yes-display-inline">Where an entity
				notified under clause (i) responds in good faith, which may include conducting
				an investigation, reporting results of such an investigation to the Commission,
				and taking appropriate corrective action, the Commission shall treat the entity
				as having self-reported the information and its actions in response to such
				notification shall be evaluated in accordance with the Commission’s policy
				statement entitled <quote>Report of Investigation Pursuant to Section 21(a) of
				the Securities Exchange Act of 1934 and Statement of the Relationship of
				Cooperation to Agency Enforcement
				Decisions</quote>.</text>
							</clause></subparagraph><after-quoted-block>;
				and</after-quoted-block></quoted-block>
				</paragraph><paragraph id="HA4D14E8FF8A1497980A8BC1FDC6C57C5"><enum>(4)</enum><text>in the heading of
			 subparagraph (B) (as redesignated by paragraph (3)), by striking
			 <quote><header-in-text level="subparagraph" style="OLC">in
			 general</header-in-text></quote> and inserting <quote><header-in-text level="subparagraph" style="OLC">Confidentiality</header-in-text></quote>.</text>
				</paragraph></subsection></section><section id="H97AB04CBF8014C08AAF7A685F9C09437"><enum>3.</enum><header>Amendments to the
			 Commodity Exchange Act</header>
			<subsection id="H8C3A7C923B2D46A1A43853682A55F2A3"><enum>(a)</enum><header>Exclusion of
			 certain compliance officers and Internal reporting as a condition of
			 award</header><text display-inline="yes-display-inline">Section 23 of the
			 Commodity Exchange Act (7 U.S.C. 26) is amended—</text>
				<paragraph id="HE0A7ECB941E74FB6A4335652B50EFEB6"><enum>(1)</enum><text>in subsection (b),
			 by redesignating paragraph (2) as paragraph (3) and inserting after paragraph
			 (1) the following:</text>
					<quoted-block display-inline="no-display-inline" id="H96D7CCF7079F426E9D35DE2EFC15F223" style="OLC">
						<paragraph id="H2634D8D411B84053AE39F4A29A519928"><enum>(2)</enum><header>Internal
				reporting required</header><text display-inline="yes-display-inline">In the
				case of a whistleblower who is an employee providing information relating to
				misconduct giving rise to the violation of the securities laws that was
				committed by his or her employer or another employee of the employer, to be
				eligible for an award under this section, the whistleblower, or any person
				obtaining reportable information from the whistleblower, shall—</text>
							<subparagraph id="H311F954616224F40BE568D5A2704D15F"><enum>(A)</enum><text>first reported the
				information described in paragraph (1) to his or her employer before reporting
				such information to the Commission; and</text>
							</subparagraph><subparagraph id="HC481DA7CB0FC44BC9A271FF1A5721559"><enum>(B)</enum><text>report such
				information to the Commission not later than 180 days after reporting the
				information to the employer.</text>
							</subparagraph></paragraph><after-quoted-block>;
				and</after-quoted-block></quoted-block>
				</paragraph><paragraph commented="no" id="H9FF171F66F1C43C8ACF1766366D59DA0"><enum>(2)</enum><text>in subsection
			 (c)(2)—</text>
					<subparagraph commented="no" id="H2FF5C2B1177F4F9A98E8AD2F40CA59C2"><enum>(A)</enum><text>in subparagraph
			 (C), by striking <quote>or</quote> at the end; and</text>
					</subparagraph><subparagraph commented="no" id="HE278DAE3E968423CAB2943428BBDE4AD"><enum>(B)</enum><text>by redesignating
			 subparagraph (D) as subparagraph (F) and inserting after subparagraph (C) the
			 following:</text>
						<quoted-block display-inline="no-display-inline" id="H47FBDDEBCEDB45D79D98DB2EA423E205" style="OLC">
							<subparagraph commented="no" id="H28A30C91B3A645AD86FF8EC4A06F4ABC"><enum>(D)</enum><text display-inline="yes-display-inline">to any whistleblower who fails to first
				report the information described in subsection (b)(1) that is the basis for the
				award to his or her employer before reporting such information to the
				Commission, in the case where the misconduct giving rise to the violation of
				the securities laws was committed by such employer or an employee of the
				employer, unless the whistleblower alleges and the Commission determines that
				the employer lacks either a policy prohibiting retaliation for reporting
				potential misconduct or an internal reporting system allowing for anonymous
				reporting, or the Commission determines in a preliminary investigation not
				exceeding 30 days that internal reporting was not a viable option for the
				whistleblower based on—</text>

								</clause><clause commented="no" id="H2C03D8DD8BBF463E9850732155918093"><enum>(ii)</enum><text>other evidence of
				bad faith on the part of the employer;</text>
								</clause></subparagraph><subparagraph commented="no" id="HFFEF0A47D00947B08E2CAAF2A2A7E89F"><enum>(E)</enum><text display-inline="yes-display-inline">to any whistleblower who has legal,
				compliance, or similar responsibilities for or on behalf of an entity and has a
				fiduciary or contractual obligation to investigate or respond to internal
				reports of misconduct or violations or to cause such entity to investigate or
				respond to the misconduct or violations, if the information learned by the
				whistleblower on the course of his or her duties was communicated to such a
				person with the reasonable expectation that such person would take appropriate
				steps to so respond;
				and</text>
							</subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
					</subparagraph></paragraph></subsection><subsection commented="no" id="H44A3AE34D5374FB788DC4CFCAA811A10"><enum>(b)</enum><header>Cap on award in
			 certain circumstances and elimination of minimum award
			 requirement</header><text display-inline="yes-display-inline">Subsection (b)(1)
			 of such section is amended—</text>
				<paragraph commented="no" id="H4A2640700216459398DEB72CE274F7DC"><enum>(1)</enum><text>by striking
			 <quote>shall</quote> and inserting <quote>may</quote>; and</text>
				</paragraph><paragraph commented="no" id="H527EA61446354890924E0DD12A1610DA"><enum>(2)</enum><text>by striking
			 <quote>in an aggregate amount equal to—</quote> and all that follows and
			 inserting <quote>in an amount determined by the Commission but not more than 30
			 percent, in total, of what has been collected of the monetary sanctions imposed
			 in the action or related actions.</quote>.</text>
				</paragraph></subsection><subsection id="HC8C349D28C814B59914C73C45D8661D0"><enum>(c)</enum><header>Exclusion of
			 whistleblowers found culpable</header><text display-inline="yes-display-inline">Subsection (c)(2)(B) of such section is
			 amended by inserting <quote>, is found civilly liable, or is otherwise
			 determined by the Commission to have committed, facilitated, participated in,
			 or been complicit in misconduct related to such a violation</quote> after
			 <quote>violation</quote>.</text>
			</subsection><subsection commented="no" id="H04CAB32EDC9E441F95CF4167404272F9"><enum>(d)</enum><header>Rule of

			 (h)(1) of such section is amended by adding at the end the following:</text>

			</subsection><subsection id="H703EDDE36E8E4555904EC7341C2AAA77"><enum>(e)</enum><header>Notification to
			 employer</header><text display-inline="yes-display-inline">Paragraph (2) of
			 subsection (h) of such section is amended—</text>
				<paragraph id="H8CFC72041725432FA1CA961DA803EDD7"><enum>(1)</enum><text>in the paragraph
			 heading, by striking <quote><header-in-text level="paragraph" style="OLC">confidentiality</header-in-text></quote> and inserting
			 <quote><header-in-text level="paragraph" style="OLC">Notification to employer
			 and confidentiality</header-in-text></quote>;</text>
				</paragraph><paragraph id="HA1BAD1A0614D49D999EF0810BD069C15"><enum>(2)</enum><text display-inline="yes-display-inline">by redesignating subparagraph (A) through
			 (D) as subparagraphs (B) through (E), respectively;</text>
				</paragraph><paragraph id="HDE1368A4CE3F4EA99ADF1BC36F8EE5E3"><enum>(3)</enum><text>by inserting a new
			 subparagraph (A) as follows:</text>
					<quoted-block display-inline="no-display-inline" id="HA6875D8FC6384DDFB1A0F95434DD26E0" style="OLC">
						<subparagraph id="HECA96916A049452F863083637D026BAF"><enum>(A)</enum><header>Notification to
				employer</header>
							<clause id="HA40D752EA95D45BCB85C250B68A28480"><enum>(i)</enum><header>Notification
				required</header><text>Prior to commencing any enforcement action relating in
				whole or in part to any information reported to it by a whistleblower, the
				Commission shall promptly notify any entity that is to be subject to such
				enforcement of information received by the Commission from a whistleblower who
				is an employee of such entity to enable the entity to investigate the alleged
				misconduct and take remedial action, unless the Commission determines in the
				course of a preliminary investigation not exceeding 30 days of the alleged
				misconduct, that such notification would jeopardize necessary investigative
				measures and impede the gathering of relevant facts, based on—</text>
								<subclause id="H4FF3945AB31B45E09B897532D7579985"><enum>(I)</enum><text display-inline="yes-display-inline">evidence that the alleged misconduct was
				committed by or involved the complicity of the highest level management of the
				entity; or</text>
								</subclause><subclause id="HA9255F5A1B074594A126FAC8BCACD553"><enum>(II)</enum><text display-inline="yes-display-inline">other evidence of bad faith on the part of
				the entity.</text>
								</subclause></clause><clause id="HEB62106239C9463FB8CDD4AC2815EFD7"><enum>(ii)</enum><header>Good
				faith</header><text display-inline="yes-display-inline">Where an entity
				notified under clause (i) responds in good faith, which may include conducting
				an investigation, reporting results of such an investigation to the Commission,
				and taking appropriate corrective action, the Commission shall treat the entity
				as having self-reported the information and its actions in response to such
				notification shall be evaluated
				accordingly.</text>
							</clause></subparagraph><after-quoted-block>;
				and</after-quoted-block></quoted-block>
				</paragraph><paragraph id="H578B893118DF46D997C482875AE2EFFB"><enum>(4)</enum><text>in the heading of
			 subparagraph (B) (as redesignated by paragraph (3)), by striking
			 <quote><header-in-text level="subparagraph" style="OLC">in
			 general</header-in-text></quote> and inserting <quote><header-in-text level="subparagraph" style="OLC">Confidentiality</header-in-text></quote>.</text>
				</paragraph></subsection></section><section id="H8456B0D2CCA044B9B1EF812E2C3F5922"><enum>4.</enum><header>Study</header><text display-inline="no-display-inline">The Comptroller General shall conduct a
			 study to determine what impact, if any, the whistleblower incentives program
			 established under section 21F of the Securities Exchange Act of 1934 (15 U.S.C.
			 78u–6) and section 23 of the Commodity Exchange Act (7 U.S.C. 26) has had on
			 shareholder value. The Comptroller General shall transmit to Congress a report
			 on the study not later than 18 months after the date of enactment of this
			 Act.</text>
