		<official-title>To protect the taxpayers of the United States by
		  requiring Fannie Mae and Freddie Mac to sell or dispose of the assets of such
		  enterprises that are not critical to their missions.</official-title>

		<section id="HADAFFD0E610D4F0B917084B5EF8DA2F7" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Market Transparency and Taxpayer
			 Protection Act of 2011</short-title></quote>.</text>
		</section><section id="H257D179B25E445748F9EEA08D3E7C604"><enum>2.</enum><header>Disposition of
			 non-mission critical assets</header>
			<subsection id="HC246041BF93E4857A141BDA278126B75"><enum>(a)</enum><header>Enterprise
			 reports to Director</header><text display-inline="yes-display-inline">The
			 Director of the Federal Housing Finance Agency shall require each enterprise to
			 submit a report to the Director, not later than the expiration of the 180-day
			 period beginning upon the date of the enactment of this Act, that—</text>
				<paragraph id="H97DC4462EFD64693B8C4C8F7F5323967"><enum>(1)</enum><text>identifies all
			 assets of value of the enterprise; and</text>
				</paragraph><paragraph id="H8CF01C710C6F4D54A2A5862254002E11"><enum>(2)</enum><text>describes the
			 functions, characteristics, and estimated value of each such asset.</text>
				</paragraph></subsection><subsection id="H9C6E6ED705C548338B73ABCC8BB29A9F"><enum>(b)</enum><header>Determination of
			 non-Mission critical assets</header>
				<paragraph id="HF9CCCEB7F7B54311A07CDA2245BD7C44"><enum>(1)</enum><header>In
			 general</header><text display-inline="yes-display-inline">After reviewing the
			 report submitted by an enterprise pursuant to subsection (a), the Director
			 shall make a determination of which assets of such enterprise are critical, and
			 which are not critical, to carrying out the mission of the enterprise in
			 accordance with the charter Act for the enterprise and other applicable
			 laws.</text>
				</paragraph><paragraph id="HFB5F44764D7242F3B41C9537F9E4A267"><enum>(2)</enum><header>Patents and
			 historical mortgage data</header><text>The determinations under paragraph (1)
			 shall include determinations with regard to any patents and historical mortgage
			 data of the enterprise.</text>
				</paragraph></subsection><subsection id="H063DFA5E9ED24BB0BC8E2BA6ACE0E7D3"><enum>(c)</enum><header>Annual
			 plans</header>
				<paragraph id="H8A3DDD8E0A7E4C08B13AE1333416C121"><enum>(1)</enum><header>Establishment</header><text display-inline="yes-display-inline">Not later than the expiration of the 12-
			 and 24-month periods beginning upon the date of the enactment of this Act, the
			 Director shall establish a plan for each enterprise for sale or other
			 disposition, during the annual plan period for each such plan, of assets of
			 such enterprise that the Director has determined, pursuant to subsection (b),
			 to be non-mission critical assets of such enterprise in a manner that complies
			 with the requirements under subsection (d) (relating to implementation,
			 commencement, and divestment).</text>
				</paragraph><paragraph id="HFDF58BA898A040B5A65353A2A05EFDB4"><enum>(2)</enum><header>Contents</header><text>Each
			 plan required under paragraph (1) for an enterprise shall—</text>
					<subparagraph id="H4FC9953843A94596960B88EAFE1A550E"><enum>(A)</enum><text>identify the
			 non-mission critical assets of the enterprise to be sold or otherwise disposed
			 of during the annual plan period;</text>
					</subparagraph><subparagraph id="HECA09B6041DB415F86D849685FA731EB"><enum>(B)</enum><text>specifically
			 address whether and how patents and historical mortgage data of the enterprise
			 that are non-mission critical assets should be sold or disposed of during the
			 annual plan period, which may include making such assets available in the
			 public domain;</text>
					</subparagraph><subparagraph id="HB37437E2458C43B2BC466C2BEF8C38B6"><enum>(C)</enum><text display-inline="yes-display-inline">provide for any sales or other dispositions
			 to be conducted in accordance with section 1367(b)(11)(E) of the Federal
			 Housing Enterprises Financial Safety and Soundness Act of 1992 (12 U.S.C.
			 4617(b)(11)(E)); and</text>
					</subparagraph><subparagraph id="H32F94FAEF4204340A72AA611097C9C8B"><enum>(D)</enum><text>include any other
			 information as the Director considers appropriate.</text>
					</subparagraph></paragraph></subsection><subsection id="H5C7FFB724B464AC3B1C277F4427D6D4C"><enum>(d)</enum><header>Implementation</header>
				<paragraph id="HE8F0B51062AB42BDA5ADB7D99F46A590"><enum>(1)</enum><header>Commencement</header><text display-inline="yes-display-inline">Not later than the expiration of the 90-day
			 period beginning upon establishment of each annual plan pursuant to subsection
			 (c), the Director shall commence implementation of such plan.</text>
				</paragraph><paragraph id="H1CB570D05F1A4C408347BC794B09E9A3"><enum>(2)</enum><header>Divestment of
			 all non-mission critical assets</header><text>The Director shall prohibit each
			 enterprise from owning or holding, after the expiration of the 36-month period
			 beginning upon the date of the enactment of this Act, any asset that the
			 Director has determined, pursuant to subsection (b), to be a non-mission
			 critical asset of such enterprise.</text>
				</paragraph></subsection><subsection id="H306438FE1D594B0CBE0907FE4F60DE49"><enum>(e)</enum><header>Annual reports
			 to Congress</header><text display-inline="yes-display-inline">Not later than 90
			 days after the conclusion of the annual plan period for each annual plan for an
			 enterprise required by subsection (c), the Director shall submit to the
			 Congress a report on the non-mission critical assets of such enterprise that
			 were sold or otherwise disposed of pursuant to such annual plan.</text>
			</subsection><subsection id="HA64A64B9AF54441AB8D0E8DB247720AD"><enum>(f)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this section, the following
			 definitions shall apply:</text>
				<paragraph id="HDDB102A36F50434F8F79F51DF2271484"><enum>(1)</enum><header>Annual plan
			 period</header><text display-inline="yes-display-inline">The term <term>annual
			 plan period</term> means, with respect to an annual plan established pursuant
			 to subsection (c) for an enterprise, the 12-month period that begins upon
			 establishment of the annual plan.</text>
				</paragraph><paragraph id="HAB9EAA62AD1E4AA1B15BDC21C0DED085"><enum>(2)</enum><header>Charter
			 Act</header><text>The term <term>charter Act</term> means—</text>
					<subparagraph id="H3EB943F3A79942239F5E5FD027A62A64"><enum>(A)</enum><text>with respect to
			 the Federal National Mortgage Association, the Federal National Mortgage
			 Association Charter Act (12 U.S.C. 1716 et seq.); and</text>
					</subparagraph><subparagraph id="H83DEF8EF102748AC8B1052912FE072D8"><enum>(B)</enum><text>with respect to
			 the Federal Home Loan Mortgage Corporation, the Federal Home Loan Mortgage
			 Corporation Act (12 U.S.C. 1451 et seq.).</text>
					</subparagraph></paragraph><paragraph id="HDE1A606349F1488BAE48623CCFF80DFF"><enum>(3)</enum><header>Director</header><text display-inline="yes-display-inline">The term <term>Director</term> means the
			 Director of the Federal Housing Finance Agency.</text>
				</paragraph><paragraph id="HFB830D397A0B41A4A067DF371B0F14BE"><enum>(4)</enum><header>Enterprise</header><text display-inline="yes-display-inline">The term <term>enterprise</term> has the
			 meaning given such term in section 1303 of the Federal Housing Enterprises
			 Financial Safety and Soundness Act of 1992 (12 U.S.C. 4502).</text>
				</paragraph><paragraph id="HAC09714B68AD43A3BA736DA72AE78DC9"><enum>(5)</enum><header>Non-mission
			 critical assets</header><text display-inline="yes-display-inline">The term
			 <term>non-mission critical asset</term> means, with respect to an enterprise,
			 an asset of the enterprise that the Director determines, pursuant to subsection
			 (b), is not critical to carrying out the mission of the enterprise in
			 accordance with the charter Act for the enterprise and other applicable
			 laws.</text>
				</paragraph></subsection></section></legis-body>
