		<official-title>To amend title 31, United States Code, to allow States to
		  certify a business as legitimate for purposes of a financial institution’s
		  suspicious activity reporting requirements, facilitate unambiguous compliance
		  of such businesses with State law, and provide regulatory relief for financial
		  institutions.</official-title>

		<section id="HC91200BA47DF4A8F97D7A3728E4988E4" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Small Business Banking Improvement Act of
			 2011</short-title></quote>.</text>
		</section><section id="HE3BA0A12CD6B4410AAD004BF71D58092"><enum>2.</enum><header>Certification and
			 exception</header><text display-inline="no-display-inline">Section 5318(g) of
			 title 31, United States Code, is amended by adding at the end the following new
			 paragraph:</text>
			<quoted-block display-inline="no-display-inline" id="H9FE8E8B625F143DD90BC71C090DF9805" style="OLC">
				<paragraph id="HACE4B8B9F4A741A1A0889EB788647A74"><enum>(5)</enum><header>Exception</header>
					<subparagraph id="H9BB66BFBC7D9401B95EAC74BDD31F28F"><enum>(A)</enum><header>In
				general</header><text>Notwithstanding paragraph (1), the Secretary may not
				require any financial institution or any director, officer, employee, or agent
				of any financial institution to report any suspicious transaction relevant to a
				possible violation of law or regulation where a person involved in such
				transaction is a legitimate business.</text>
					</subparagraph><subparagraph id="H82392620120E44A7BC23856032D8F840"><enum>(B)</enum><header>Certification</header>
						<clause id="HCF5352E979DB481793967B8248686CBA"><enum>(i)</enum><header>In
				general</header><text display-inline="yes-display-inline">For purposes of this
				paragraph, a person is a legitimate business if the governor of each State in
				which such person does business has certified to the Secretary that—</text>
							<subclause id="HDBE271D8CB6444AEA7771E508C6DE066"><enum>(I)</enum><text>such person is a
				business engaged in activities that are currently legal under State law;
				and</text>
							</subclause><subclause id="HC8E5ADACDA1D48C3B6CC66A05BA4646F"><enum>(II)</enum><text>the State has an
				interest in such person receiving the exemption described under subparagraph
				(A).</text>
							</subclause></clause><clause id="H7057B31B226D49B48D9013FE2EA329C6"><enum>(ii)</enum><header>Notice</header><text display-inline="yes-display-inline">The Secretary shall maintain a public
				website with a list of all persons that are a legitimate business for purposes
				of this
				paragraph.</text>
