		<section id="H5F36C3C5311C4413B7ED890705E73444" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Life Sciences Jobs and Investment Act
			 of 2010</short-title></quote>.</text>
		</section><section id="HD2BDDA44E50444269EEA9D6C04F720E5"><enum>2.</enum><header>Increased credit
			 for initial life sciences research</header>
			<subsection id="H3EF0E3D8C6B34B4590AE8F8B3B0CC936"><enum>(a)</enum><header>In
			 general</header><text>Subsection (h) of section 41 of the Internal Revenue Code
			 of 1986 is amended by redesignating subsection (h) as subsection (i) and
			 inserting after subsection (g) the following new subsection:</text>
				<quoted-block display-inline="no-display-inline" id="HE0CA4380ED9D4A79AB7C8163688B8456" style="OLC">
					<subsection id="H7887F085DD024096A54329979EFB1B01"><enum>(h)</enum><header>Special rules
				for increased initial life sciences research</header>
						<paragraph id="H93EC43413F5C4004A57ADE8BE218144D"><enum>(1)</enum><header>In
				general</header><text>In the case of qualified initial life sciences research
				expenses for any taxable year with respect to which the taxpayer elects the
				application of this subsection—</text>
							<subparagraph id="H714900512ED6465BB5430CC4E34C785D"><enum>(A)</enum><header>Increased
				credit</header><text display-inline="yes-display-inline">Subsection (a) shall
				be applied by substituting <quote>40 percent</quote> for <quote>20
				percent</quote>.</text>
							</subparagraph><subparagraph id="H6073E6EBEB4D43858747F9F0413749B5"><enum>(B)</enum><header>Amounts paid
				with respect to qualified life sciences research to certain research consortia,
				eligible small businesses, universities, and Federal laboratories</header><text display-inline="yes-display-inline">Subsection (b)(3)(A) shall be applied by
				substituting <quote>100 percent</quote> for <quote>65 percent</quote>, in the
				case of amounts paid or incurred to persons described in subclauses (I) and
				(III) of subsection (b)(3)(C)(ii) or subclause (I), (II), or (III) of
				subsection (b)(3)(D)(i), with respect to qualified life sciences
				research.</text>
							</subparagraph><subparagraph id="H39A5909885E448F388DB3D91012E1E34"><enum>(C)</enum><header>Alternative
				simplified credit in case of initial qualified life science research</header>
								<clause id="HC4A006F7F7D2497A958AC9876C5B6A9D"><enum>(i)</enum><text>Subsection
				(c)(5)(A) shall be applied by substituting <quote>28 percent</quote> for
				<quote>14 percent</quote>, and</text>
								</clause><clause id="H31D502DB34BB427EAFDE449D49582701"><enum>(ii)</enum><text>subsection
				(c)(5)(B) shall be applied by substituting <quote>12 percent</quote> for
				<quote>6 percent</quote>.</text>
								</clause></subparagraph></paragraph><paragraph id="H6094B10C43564CE8A690473A2E0F6713"><enum>(2)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this subsection—</text>
							<subparagraph id="HF02F55BCEE584953B5703AFD7A1F926E"><enum>(A)</enum><header>Qualified
				initial life sciences research expenses</header>
								<clause id="id6FEB3EF0799046ED99E150B260E5EAD2"><enum>(i)</enum><header>In
				general</header><text>The term <term>qualified initial life sciences research
				expenses</term> means so much of the amounts taken into account under
				subsection (a) as—</text>
									<subclause id="id0FEE86479D594BF4A739DCE496A8FE5F"><enum>(I)</enum><text>are attributable
				to qualified life sciences research, and</text>
									</subclause><subclause id="idBA6029D1F6BB4D3EBF6A34FF99C48C22"><enum>(II)</enum><text>do not exceed
				$150,000,000.</text>
									</subclause></clause><clause id="id0489D414756F4A4082BE049BA729FBE4"><enum>(ii)</enum><header>Excluded
				expenses</header><text>Such term does not include any amount paid or incurred
				by the taxpayer to compensate any covered employee (as defined in section
				162(m)(3)) for services, to pay dividends to the shareholders of the taxpayer,
				or to pay interest or principal on any debt security of the taxpayer.</text>
								</clause><clause id="ID0a9f05abf4324e6cb763faa324dc3dca"><enum>(iii)</enum><header>Substantiation
				of compliance</header>
									<subclause id="ID1fb9e61817ec46af9ece29e63c455206"><enum>(I)</enum><header>In
				general</header><text>The taxpayer must substantiate its compliance with clause
				(ii) with written documents and such other credible evidence as the Secretary
				may reasonably require, and shall bear the burden of proof with respect to such
				substantiation.</text>
									</subclause><subclause id="IDe85c3e30c6054f178542613a5f94b88d"><enum>(II)</enum><header>Certification</header><text>The
				chief executive officer and the independent director serving as head of the
				audit committee of the taxpayer, or comparable entity officials, shall attest
				in writing to the taxpayer’s compliance with the requirements of clause
				(ii).</text>
									</subclause></clause></subparagraph><subparagraph id="H5E57E7A9F5DD43A28E5257928BA83FB1"><enum>(B)</enum><header>Qualified life
				sciences research</header>
								<clause id="idFCE7D41F11DD4D8D8F33AF5F45A93105"><enum>(i)</enum><header>In
				general</header><text>The term <term>qualified life sciences research</term>
				means any qualified research—</text>
									<subclause id="idCBDF82D0A7F54915ADB9737B0179645B"><enum>(I)</enum><text>with respect to
				the branch of knowledge or study of biology, biochemistry, biophysics,
				bioengineering, biotechnology, microbiology, genetics, or physiology (in each
				case as such knowledge or study relates to human beings), and</text>
									</subclause><subclause id="id280719FF675C4D31BF189FEC3421BD0D"><enum>(II)</enum><text>that is
				considered scientific research and development for purposes of North American
				Industry Classification System code 5417.</text>
									</subclause></clause><clause id="id2B1358D182384D4E8933B1A4E0E342ED"><enum>(ii)</enum><header>Exceptions</header><text>Such
				term does not include sociology or psychology.</text>
								</clause></subparagraph></paragraph><paragraph id="H04103C7961CE40BD9DC822BD1761B08A"><enum>(3)</enum><header>Coordination
				with <enum-in-header>965A</enum-in-header></header><text display-inline="yes-display-inline">This subsection shall not apply with
				respect to any taxpayer for any taxable year for which an election is in effect
				under section 965A (relating to limited deduction for life sciences jobs and
				investment in United States).</text>
						</paragraph><paragraph id="H15099B721E3B4D3FB6F421B393796DA5"><enum>(4)</enum><header>Election</header><text>Any
				election under this subsection shall be made in such manner as may be
				prescribed by the Secretary, and shall be made with respect to a taxable year
				not later than the due date (including extensions of time) for filing the
				taxpayer’s return for such taxable year.</text>
						</paragraph><paragraph id="H804D6334F21A4C8FB7BFEF61A5ABAAD6"><enum>(5)</enum><header>Termination</header><text>This
				subsection shall not apply to any taxable year beginning after December 31,
				2015.</text>
						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HDA44216893B6475187073D1C226858EB"><enum>(b)</enum><header>Effective
			 date</header><text display-inline="yes-display-inline">The amendments made by
			 this section shall apply to taxable years beginning after the date of the
			 enactment of this Act.</text>
			</subsection></section><section commented="no" id="HC02A7BD0E3CC414AAA8E909B380D292E"><enum>3.</enum><header>Incentives to
			 invest in life sciences jobs, research, and facilities</header>
			<subsection commented="no" id="H725B7F5091564B4AA34AD1ADB23D692C"><enum>(a)</enum><header>In
			 general</header><text>Subpart F of part III of subchapter N of chapter 1 of the
			 Internal Revenue Code of 1986 is amended by adding at the end the following new
			 section:</text>
				<quoted-block display-inline="no-display-inline" id="H5187572F78CE47C29DB1A5FE89041C46" style="OLC">
					<section commented="no" id="HE748CF3C40984544B4B3B373BDC69ED0"><enum>965A.</enum><header>Limited
				deduction for life sciences jobs and investment in United States</header>
						<subsection commented="no" id="H18A9DD62610049BB91A6F88144662043"><enum>(a)</enum><header>Deduction</header>
							<paragraph commented="no" id="HD24061B0F2E64DFABE0394CE61D7BFEE"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">In the case of a
				corporation which is a United States shareholder and for which the election
				under this section is in effect for the taxable year, there shall be allowed as
				a deduction an amount equal to 100 percent of the cash dividends which are
				received during such taxable year by such shareholder from controlled foreign
				corporations.</text>
							</paragraph><paragraph commented="no" id="H5D93E1E93B06470E8C5EEE592281E756"><enum>(2)</enum><header>Dividends paid
				indirectly from controlled foreign corporations</header><text display-inline="yes-display-inline">If, within the taxable year for which the
				election under this section is in effect, a United States shareholder receives
				a cash distribution from a controlled foreign corporation which is excluded
				from gross income under section 959(a), such distribution shall be treated for
				purposes of this section as a cash dividend to the extent of any amount
				included in income by such United States shareholder under section
				951(a)(1)(A), including as a result of any cash dividend during such taxable
				year to—</text>
								<subparagraph commented="no" id="H5F28A27B9FA24355B2AA85A0CEEE6E0F"><enum>(A)</enum><text display-inline="yes-display-inline">such controlled foreign corporation from
				another controlled foreign corporation that is in a chain of ownership
				described in section 958(a), or</text>
								</subparagraph><subparagraph commented="no" id="H0BA4D97F8A764DB9922E76D401767ABB"><enum>(B)</enum><text display-inline="yes-display-inline">any other controlled foreign corporation in
				such chain of ownership from another controlled foreign corporation in such
				chain of ownership, but only to the extent of cash distributions described in
				section 959(b) which are made during such taxable year to the controlled
				foreign corporation from which such United States shareholder received such
				distribution.</text>
								</subparagraph></paragraph></subsection><subsection commented="no" id="H2C0A89AF681F4EBD9B8DF53F42A55486"><enum>(b)</enum><header>Limitations</header>
							<paragraph commented="no" id="HBA532DAB94EE4685BF051A34FA5A07FA"><enum>(1)</enum><header>In
				general</header><text>The amount of dividends taken into account under
				subsection (a) shall not exceed the lesser of—</text>
								<subparagraph commented="no" id="H9A8371FCBBBA4548AAFEF021DE583803"><enum>(A)</enum><text>$150,000,000,
				or</text>
								</subparagraph><subparagraph commented="no" id="H699C1E2DF612400E9D9DECD8B64787E1"><enum>(B)</enum><text>the amount shown
				on the applicable financial statement as earnings permanently reinvested
				outside the United States.</text>
								</subparagraph><continuation-text commented="no" continuation-text-level="paragraph">The amounts described in subparagraph
				(B) shall be treated as being zero if there is no such statement or such
				statement fails to show a specific amount of such earnings.</continuation-text></paragraph><paragraph commented="no" id="H8400EF127488422F9AB7C508F47244FD"><enum>(2)</enum><header>Requirement to
				invest in life sciences</header><text display-inline="yes-display-inline">Subsection (a) shall not apply to any
				dividend received by a United States shareholder unless the amount of the
				dividend is invested solely in the United States and solely for the purpose
				of—</text>
								<subparagraph commented="no" id="H0FCD9A91491341AA868B5AA591993FED"><enum>(A)</enum><text>the new hiring of
				additional scientists, researchers, and comparable personnel engaged in
				qualified life sciences research,</text>
								</subparagraph><subparagraph commented="no" id="HFF172D91D2AB463FBAF5A0C7A8440F7B"><enum>(B)</enum><text>payments to
				persons described in section 41(h)(1)(B) and to other qualified organizations
				which are used by such persons or organizations for qualified life sciences
				research, or</text>
								</subparagraph><subparagraph commented="no" id="HBBE853C65B6B452E84669D7120DDA9D3"><enum>(C)</enum><text>the building or
				leasing of new facilities to be used primarily in the conduct of qualified life
				sciences research.</text>
								</subparagraph></paragraph><paragraph commented="no" id="H6C0ED6741FB64F22838CE04A93A5A815"><enum>(3)</enum><header>Prohibited
				uses</header><text>Subsection (a) shall not apply to the amount of any dividend
				which is used by the taxpayer to pay remuneration for services of any covered
				employee (as defined in section 162(m)(3)), to pay dividends to the
				shareholders of the taxpayer, or to pay interest or principal on any debt
				security of the taxpayer.</text>
							</paragraph><paragraph commented="no" id="H931C6292DBB345979E47DFD8206D2E32"><enum>(4)</enum><header>No
				reserve</header><text>Subsection (a) shall not apply to any dividend if the
				taxpayer’s compliance with this section is uncertain and requires a provision
				or reserve on the taxpayer’s applicable financial statements.</text>
							</paragraph><paragraph commented="no" id="H1B2307E08CEB4F1CB990A20058B5C3E2"><enum>(5)</enum><header>Separate
				account</header><text>Subsection (a) shall not apply to any dividend unless the
				amount of the dividend is held in a separate account, trust, or other
				arrangement that segregates the amount from other funds of the taxpayer until
				the amount is used solely for the purposes described in paragraph (2).</text>
							</paragraph></subsection><subsection commented="no" id="H4FAB6C57BE864B5AB8CC24BD2E3B6292"><enum>(c)</enum><header>Substantiation
				of compliance</header>
							<paragraph commented="no" id="H004ACCE563E04462AEE55DCC7FD8BDAA"><enum>(1)</enum><header>In
				general</header><text>The taxpayer must substantiate its compliance with
				subsection (b) with written documents and such other credible evidence as the
				Secretary may reasonably require, and shall bear the burden of proof with
				respect to such substantiation.</text>
							</paragraph><paragraph commented="no" id="H91EADC87FA5147C5BD474AB467BBEE71"><enum>(2)</enum><header>Certification</header><text>The
				chief executive officer and the independent director serving as head of the
				audit committee of the taxpayer, or comparable entity officials, shall attest
				in writing to the taxpayer’s compliance with each of the requirements of
				subsection (b).</text>
							</paragraph></subsection><subsection commented="no" id="HB0CDF20369E546ED9BED3ABEDE9860E9"><enum>(d)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this section—</text>
							<paragraph commented="no" id="HB54CE96F30994A0D8A218107BEC998B3"><enum>(1)</enum><header>Qualified life
				sciences research</header><text>The term <term>qualified life sciences
				research</term> shall have the meaning given such term by section 41(h).</text>
							</paragraph><paragraph commented="no" id="HF3451FF6AE9342A4AF6DDB60BB919DA0"><enum>(2)</enum><header>Qualified
				organization</header><text>The term <term>qualified organization</term> means
				any organization described in subparagraph (A), (B), or (C) of section
				41(e)(6).</text>
							</paragraph><paragraph commented="no" id="HD44605C8916844C289EA422772CBF487"><enum>(3)</enum><header>Applicable
				financial statement; dividend</header><text>The terms <term>applicable
				financial statement</term> and <term>dividend</term> shall have the respective
				meanings given such terms by section 965(c).</text>
							</paragraph></subsection><subsection commented="no" id="idC985B924261343C6AB93EE7122F88E49"><enum>(e)</enum><header>Special
				rules</header><text>For purposes of this section—</text>
							<paragraph commented="no" id="H1C3A3749BEA2424090BFCF33BE49786B"><enum>(1)</enum><text>rules similar to
				the rules of paragraph (3) of section 965(b) shall apply, except that such
				paragraph shall be applied by substituting <quote>December 31, 2009</quote> for
				<quote>October 3, 2004</quote>, and</text>
							</paragraph><paragraph commented="no" id="H77BE05D5EB9E45F68C2F19627B8999B6"><enum>(2)</enum><text>rules similar to
				the rules of paragraphs (4) and (5) of section 965(c) shall apply, except that
				such paragraph (5) shall be applied—</text>
								<subparagraph commented="no" id="H000805897D924DEFA1943C2300E30A92"><enum>(A)</enum><text>by substituting
				<quote>$150,000,000</quote> for <quote>$500,000,000</quote>, and</text>
								</subparagraph><subparagraph commented="no" id="HFED8FEF708D044FDAB6558D84AE7D2E3"><enum>(B)</enum><text>without regard to
				the reference to subparagraph (C) of section 965(b)(1).</text>
								</subparagraph></paragraph></subsection><subsection commented="no" id="H3039DB4CA61C49E68164DACD94E8504F"><enum>(f)</enum><header>Denial of
				foreign tax credit</header>
							<paragraph commented="no" id="HB80308B719074D1D9C52E11D53F46F45"><enum>(1)</enum><header>In
				general</header><text>No credit shall be allowed under section 901 for any
				taxes paid or accrued (or treated as paid or accrued) with respect to any
				dividend with respect to which an election is in effect under this section and
				which is included in income under section 951(a)(1)(A).</text>
							</paragraph><paragraph commented="no" id="H3C9388C7047C4DF5905076260F7A365B"><enum>(2)</enum><header>Denial of
				related deductions</header><text display-inline="yes-display-inline">No
				deduction shall be allowed under this chapter for any tax for which credit is
				not allowable by reason of paragraph (1).</text>
							</paragraph></subsection><subsection id="HE3E165F9CBBC4F9D91CD75A3AB65E7FF"><enum>(g)</enum><header>Election</header><text>Any
				election under this section shall be made in such manner as may be prescribed
				by the Secretary, and shall be made with respect to a taxable year not later
				than the due date (including extensions of time) for filing the taxpayer’s
				return for such taxable year.</text>
						</subsection><subsection id="H947EED6734074BBABD72D78CE35E723C"><enum>(h)</enum><header>Termination</header><text>This
				section shall not apply to any taxable year beginning after December 31,
				2015.</text>
						</subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H6D28838124624B018469378844100489"><enum>(b)</enum><header>Clerical
			 amendment</header><text display-inline="yes-display-inline">The table of
			 sections for subpart F of part III of subchapter N of chapter 1 of the Internal
			 Revenue Code of 1986 is amended by adding at the end the following new
			 section:</text>

					<toc regeneration="no-regeneration">
						<toc-entry level="section">Sec. 965A. Limited deduction for life
				sciences jobs and investment in United
				States.</toc-entry>
					</toc>
					<after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection commented="no" id="H1DB72F86152E4931A9EEE6E60E6739AE"><enum>(c)</enum><header>Effective
			 date</header><text display-inline="yes-display-inline">The amendments made by
			 this section shall apply to taxable years beginning after the date of
			 enactment.</text>
			</subsection></section><section id="ID09fdaa6cb3be4204ac6054d1ccb6c085"><enum>4.</enum><header>Compliance and
			 report to Congress</header><text display-inline="no-display-inline">The
			 Commissioner of Internal Revenue shall take such steps as are necessary to
			 ensure full compliance with the provisions under section 41(h) and section 965A
			 of the Internal Revenue Code of 1986 (as added by this Act). The Commissioner
			 of Internal Revenue shall provide reports to Congress on the status of such
			 compliance and related enforcement not later than 90 days following the final
			 due date of tax filings for the first taxable year in which an entity may elect
			 application of section 41(h) or of section 965A of the Internal Revenue Code of
			 1986 (as so added).</text>
