			 <quote><short-title>Modernizing and Strengthening Investor
			 Protection Act of 2010</short-title></quote>.</text>
		</section><section display-inline="no-display-inline" id="HFC855FBEBB494F8FA18FF91CD8A7FC40" section-type="subsequent-section"><enum>2.</enum><header>Strengthening
			 enforcement by the Commission</header>
			<subsection id="H5B6777E259494298BDD12CD6B55A5A2E"><enum>(a)</enum><header>Nationwide
			 service of subpoenas</header>
				<paragraph id="HDDAB3C1C3A9846E8AB2F2014C1133943"><enum>(1)</enum><header>Securities Act
			 of 1933</header><text>Section 22(a) of the Securities Act of 1933 (15 U.S.C.
			 77v(a)) is amended by inserting after the second sentence the following:
			 <quote>In any action or proceeding instituted by the Commission under this
			 title in a United States district court for any judicial district, a subpoena
			 issued to compel the attendance of a witness or the production of documents or
			 tangible things (or both) at a hearing or trial may be served at any place
			 within the United States. Rule 45(c)(3)(A)(ii) of the Federal Rules of Civil
			 Procedure shall not apply to a subpoena issued under the preceding
			 sentence.</quote>.</text>
				</paragraph><paragraph id="H8050FB80F1F04513A1F27D2308AC512D"><enum>(2)</enum><header>Securities
			 Exchange Act of 1934</header><text>Section 27 of the Securities Exchange Act of
			 1934 (15 U.S.C. 78aa) is amended by inserting after the third sentence the
			 following: <quote>In any action or proceeding instituted by the Commission
			 under this title in a United States district court for any judicial district, a
			 subpoena issued to compel the attendance of a witness or the production of
			 documents or tangible things (or both) at a hearing or trial may be served at
			 any place within the United States. Rule 45(c)(3)(A)(ii) of the Federal Rules
			 of Civil Procedure shall not apply to a subpoena issued under the preceding
			 sentence.</quote>.</text>
				</paragraph><paragraph id="H60BC614E128C40EDA65896F92384DA3C"><enum>(3)</enum><header>Investment
			 Company Act of 1940</header><text>Section 44 of the Investment Company Act of
			 1940 (15 U.S.C. 80a–43) is amended by inserting after the fourth sentence the
			 following: <quote>In any action or proceeding instituted by the Commission
			 under this title in a United States district court for any judicial district, a
			 subpoena issued to compel the attendance of a witness or the production of
			 documents or tangible things (or both) at a hearing or trial may be served at
			 any place within the United States. Rule 45(c)(3)(A)(ii) of the Federal Rules
			 of Civil Procedure shall not apply to a subpoena issued under the preceding
			 sentence.</quote>.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H678D1D352C7A44C29B200A79C6EA2DAF"><enum>(4)</enum><header>Investment
			 Advisers Act of 1940</header><text>Section 214 of the Investment Advisers Act
			 of 1940 (15 U.S.C. 80b–14) is amended by inserting after the third sentence the
			 following: <quote>In any action or proceeding instituted by the Commission
			 under this title in a United States district court for any judicial district, a
			 subpoena issued to compel the attendance of a witness or the production of
			 documents or tangible things (or both) at a hearing or trial may be served at
			 any place within the United States. Rule 45(c)(3)(A)(ii) of the Federal Rules
			 of Civil Procedure shall not apply to a subpoena issued under the preceding
			 sentence.</quote>.</text>
				</paragraph></subsection><subsection id="H2A23C54652F24DCEBECEFEBC9402A1FC"><enum>(b)</enum><header>Authority To
			 impose civil penalties in cease-and-Desist proceedings</header>
				<paragraph id="HDCED428B62E444A291F65B2E8386164C"><enum>(1)</enum><header>Under the
			 Securities Act of 1933</header><text>Section 8A of the Securities Act of 1933
			 (15 U.S.C. 77h–1) is amended by adding at the end the following new
			 subsection:</text>
					<quoted-block id="HB4EDCAD5BF6B4B71B5627313B67C026A" style="OLC">
						<subsection id="H631590F06FA444F0B2B33E7731046C61"><enum>(g)</enum><header>Authority To
				impose money penalties</header>
							<paragraph id="H046236DDF272498481A8DCFD5B81B969"><enum>(1)</enum><header>Grounds</header><text>In
				any cease-and-desist proceeding under subsection (a), the Commission may impose
				a civil penalty on a person if the Commission finds, on the record, after
				notice and opportunity for hearing, that—</text>
								<subparagraph id="H021008E042BA48CA9BC44BCB156AA17F"><enum>(A)</enum><text>such
				person—</text>
									<clause id="H11CA0D8CCDD242D789204095524833AB"><enum>(i)</enum><text>is
				violating or has violated any provision of this title, or any rule or
				regulation issued under this title; or</text>
									</clause><clause id="HA072D86C19054D35B0526C8622707BA0"><enum>(ii)</enum><text>is or was a cause
				of the violation of any provision of this title, or any rule or regulation
				thereunder; and</text>
									</clause></subparagraph><subparagraph id="HAECF1732BDC94369B6021FF11E904BBA"><enum>(B)</enum><text>such penalty is in
				the public interest.</text>
								</subparagraph></paragraph><paragraph id="HB05E3795015E48CF8CB1D86247FC363F"><enum>(2)</enum><header>Maximum amount
				of penalty</header>
								<subparagraph id="H30D089CABDB24D22BB30599269A922B1"><enum>(A)</enum><header>First
				tier</header><text>The maximum amount of a penalty for each act or omission
				described in paragraph (1) shall be $7,500 for a natural person or $75,000 for
				any other person.</text>
								</subparagraph><subparagraph id="H88E9A0CC052E403CA685875B9E29C6F6"><enum>(B)</enum><header>Second
				tier</header><text>Notwithstanding subparagraph (A), the maximum amount of
				penalty for each such act or omission shall be $75,000 for a natural person or
				$375,000 for any other person, if the act or omission described in paragraph
				(1) involved fraud, deceit, manipulation, or deliberate or reckless disregard
				of a regulatory requirement.</text>
								</subparagraph><subparagraph id="H20F08353EF5B4C579CDC589A13BE4653"><enum>(C)</enum><header>Third
				tier</header><text>Notwithstanding subparagraphs (A) and (B), the maximum
				amount of penalty for each such act or omission shall be $150,000 for a natural
				person or $725,000 for any other person, if—</text>
									<clause id="H362BDBB88AF14187AF2726CBE54E303C"><enum>(i)</enum><text>the act or
				omission described in paragraph (1) involved fraud, deceit, manipulation, or
				deliberate or reckless disregard of a regulatory requirement; and</text>
									</clause><clause id="H1B7F1C1E76884655A7BFDD336ABEF555"><enum>(ii)</enum><text>such act or
				omission directly or indirectly resulted in—</text>
										<subclause id="idF778A040CF264C3393339FDDF59A87DF"><enum>(I)</enum><text>substantial
				losses or created a significant risk of substantial losses to other persons;
				or</text>
										</subclause><subclause id="id0464F5A273F2419E92D1586DCB5D8A71"><enum>(II)</enum><text>substantial
				pecuniary gain to the person who committed the act or omission.</text>
										</subclause></clause></subparagraph></paragraph><paragraph id="HABF32A45C0E14CE4A46C100E25BF05BD"><enum>(3)</enum><header>Evidence
				concerning ability to pay</header><text>In any proceeding in which the
				Commission may impose a penalty under this section, a respondent may present
				evidence of the ability of the respondent to pay such penalty. The Commission
				may, in its discretion, consider such evidence in determining whether such
				penalty is in the public interest. Such evidence may relate to the extent of
				the ability of the respondent to continue in business and the collectability of
				a penalty, taking into account any other claims of the United States or third
				parties upon the assets of the respondent and the amount of the assets of the
				respondent.</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="H83C0C424E7BC410E92CB251F13882248"><enum>(2)</enum><header>Under the
			 Securities Exchange Act of 1934</header><text>Section 21B(a) of the Securities
			 Exchange Act of 1934 (15 U.S.C. 78u–2(a)) is amended—</text>
					<subparagraph id="HEF5318C162B14AFCBB581C840CB4C231"><enum>(A)</enum><text>by striking the
			 matter immediately following paragraph (4);</text>
					</subparagraph><subparagraph id="id23C850BB12D54A8B8D3C71F31356729C"><enum>(B)</enum><text>in the matter
			 preceding paragraph (1), by inserting after <quote>opportunity for
			 hearing,</quote> the following: <quote>that such penalty is in the public
			 interest and</quote>;</text>
					</subparagraph><subparagraph id="id978FA1AD26FE4548B7B5709671E8ABF3"><enum>(C)</enum><text>by redesignating
			 paragraphs (1) through (4) as subparagraphs (A) through (D), respectively, and
			 adjusting the subparagraph margins accordingly;</text>
					</subparagraph><subparagraph id="id0489A355ABB349EBBC2F5D06C425FD0E"><enum>(D)</enum><text>by striking
			 <quote>In any proceeding</quote> and inserting the following:</text>

					</subparagraph></paragraph><paragraph id="HD89CB142CD674156964DE74C961B145E"><enum>(3)</enum><header>Under the
			 Investment Company Act of 1940</header><text>Section 9(d)(1) of the Investment
			 Company Act of 1940 (15 U.S.C. 80a–9(d)(1)) is amended—</text>
					<subparagraph id="H56DC161237014233A67783CB19968126"><enum>(A)</enum><text>by striking the
			 matter immediately following subparagraph (C);</text>
					</subparagraph><subparagraph id="idC930F67606584153AE74E5D9A26F3E10"><enum>(B)</enum><text>in the matter
			 preceding subparagraph (A), by inserting after <quote>opportunity for
			 hearing,</quote> the following: <quote>that such penalty is in the public
			 interest, and</quote>;</text>

			 Investment Advisers Act of 1940 (15 U.S.C. 80b–3(i)(1)) is amended—</text>
					<subparagraph id="idBD5448ECA2694E00A467989450D88D12"><enum>(A)</enum><text>by striking the
			 undesignated matter immediately following subparagraph (D);</text>
					</subparagraph><subparagraph id="idCD9FAE56D269484A8DAF1F817B520C26"><enum>(B)</enum><text>in the matter

			 15B(c)(8) of the Securities Exchange Act of 1934 (15 U.S.C. 78o–4(c)(8)) is
			 amended by striking <quote>any member or employee</quote> and inserting
			 <quote>any person who is, or at the time of the alleged violation or abuse was,
			 a member or employee</quote>.</text>

					</subparagraph></paragraph><paragraph id="H53311D34E0414FAA9EFB18E4AC1CD303"><enum>(7)</enum><header>Person
			 associated with a public accounting firm</header>
					<subparagraph id="HA679EC86D0B24417ACC3808E8C9C4ACA"><enum>(A)</enum><header>Sarbanes-Oxley
			 Act of 2002 amendment</header><text>Section 2(a)(9) of the Sarbanes-Oxley Act
			 of 2002 (15 U.S.C. 7201(9)) is amended by adding at the end the
			 following:</text>

							<subparagraph id="H90DC395A592047DB902DA509162A017E"><enum>(C)</enum><header>Investigative

				and Commission issued thereunder, except to the extent specifically excepted by
				such rules, the terms defined in subparagraph (A) shall include any person
				associated, seeking to become associated, or formerly associated with a public
				accounting firm, except that—</text>
								<clause id="HD1AC75EC91A54A1EAC8C2C87ADE54A26"><enum>(i)</enum><text>the authority to
				conduct an investigation of such person under section 105(b) shall apply only
				with respect to any act or practice, or omission to act, by the person while
				such person was associated or seeking to become associated with a registered
				public accounting firm; and</text>
								</clause><clause id="HAD42B8F383B54E3CBE2F931C9D921327"><enum>(ii)</enum><text>the authority to
				commence a disciplinary proceeding under section 105(c)(1), or impose sanctions
				under section 105(c)(4), against such person shall apply only with respect
				to—</text>
									<subclause id="HEBB8F5C1EB8A48CFB0FB5638659327B3"><enum>(I)</enum><text>conduct occurring
				while such person was associated or seeking to become associated with a
				registered public accounting firm; or</text>
									</subclause><subclause id="H60996E8DE27F4FDA9FC2F4717EE6D896"><enum>(II)</enum><text>non-cooperation,
				as described in section 105(b)(3), with respect to a demand in a Board
				investigation for testimony, documents, or other information relating to a
				period when such person was associated or seeking to become associated with a
				registered public accounting
				firm.</text>
									</subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
					</subparagraph><subparagraph id="H6072BCB838014E7F85B37C54817CA744"><enum>(B)</enum><header>Securities
			 Exchange Act of 1934 amendment</header><text display-inline="yes-display-inline">Section 21(a)(1) of the Securities Exchange
			 Act of 1934 (15 U.S.C. 78u(a)(1)) is amended by striking <quote>or a person
			 associated with such a firm</quote> and inserting “, a person associated with
			 such a firm, or, as to any act, practice, or omission to act, while associated

				courts of the United States for purposes of enforcement of any request for such
				documents.</text>
								</subparagraph></paragraph><paragraph id="H82D2CD60AE1A49C49BC189CE323DE021"><enum>(2)</enum><header>Other
				production</header><text display-inline="yes-display-inline">Any registered
				public accounting firm that relies, in whole or in part, on the work of a
				foreign public accounting firm in issuing an audit report, performing audit
				work, or conducting an interim review, shall—</text>
								<subparagraph id="H1E6CE96700404BAEBEC08C95F40B7DAD"><enum>(A)</enum><text>produce the audit
				work papers of the foreign public accounting firm and all other documents
				related to any such work in response to a request for production by the
				Commission or the Board; and</text>
								</subparagraph><subparagraph id="HBA44F9BE379048D9A571EA5AFA3A46C7"><enum>(B)</enum><text>secure the
				agreement of any foreign public accounting firm to such production, as a
				condition of the reliance by the registered public accounting firm on the work
				of that foreign public accounting
				firm.</text>
								</subparagraph></paragraph></subsection><after-quoted-block>;</after-quoted-block></quoted-block>
				</paragraph><paragraph id="H6CE4569B86C740B3B77B8BD6CE6FF6E7"><enum>(2)</enum><text display-inline="yes-display-inline">by redesignating subsection (d) as
			 subsection (g); and</text>

				work</header><text display-inline="yes-display-inline">Any foreign public
				accounting firm that issues an audit report, performs audit work, performs
				interim reviews, or performs material services upon which a registered public
				accounting firm relies in the conduct of an audit or interim review, shall
				designate to the Commission or the Board an agent in the United States upon
				whom may be served any process, pleading, or other papers in any action brought
				to enforce this section or any request by the Commission or the Board under
				this section.</text>
							</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="H8EFA0252BD854549AD01E170FC09A2D7"><enum>(e)</enum><header>Sanctions</header><text>A
				willful refusal to comply, in whole in or in part, with any request by the
				Commission or the Board under this section, shall be deemed a violation of this
				Act.</text>
						</subsection><subsection commented="no" display-inline="no-display-inline" id="idF02583695BE34505AACFAA9510A5B685"><enum>(f)</enum><header>Other means of
				satisfying production obligations</header><text>Notwithstanding any other
				provisions of this section, the staff of the Commission or the Board may allow
				a foreign public accounting firm that is subject to this section to meet
				production obligations under this section through alternate means, such as
				through foreign counterparts of the Commission or the
				Board.</text>
						</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection commented="no" id="H2A8404B580E147E4B14B71DC7FF4273B"><enum>(f)</enum><header>Sharing
			 privileged information with other authorities</header><text display-inline="yes-display-inline">Section 24 of the Securities Exchange Act
			 of 1934 (15 U.S.C. 78x) is amended—</text>

								<subparagraph id="ID2746d8f6b091423390c7559852c666e7"><enum>(A)</enum><header>In
				general</header><text>Federal agencies, State securities and law enforcement
				authorities, self-regulatory organizations, and the Public Company Accounting
				Oversight Board shall not be deemed to have waived any privilege applicable to

							<paragraph commented="no" id="id65C6923D5BC147CC831F2D7DBBB2AA1C"><enum>(1)</enum><header>Composition of
				the Municipal Securities Rulemaking Board</header><text display-inline="yes-display-inline">Not later than October 1, 2010, the
				Municipal Securities Rulemaking Board (hereinafter in this section referred to
				as the <quote>Board</quote>), shall—</text>
								<subparagraph commented="no" id="idB6026A2AF7034F11A9BFF86F1C54AF24"><enum>(A)</enum><text display-inline="yes-display-inline">be composed of members who shall perform
				the duties set forth in this section; and</text>
								</subparagraph><subparagraph commented="no" id="id920FE2FCF8F9403992358B2184E6AFF6"><enum>(B)</enum><text display-inline="yes-display-inline">shall consist of—</text>
									<clause commented="no" id="H4467DD280A1943AC954BCDE5017B72D9"><enum>(i)</enum><text>a majority of
				independent public representatives, at least 1 of whom shall be representative
				of investors in municipal securities and at least 1 of whom shall be
				representative of issuers of municipal securities (which members are
				hereinafter referred to as <quote>public representatives</quote>);</text>
									</clause><clause commented="no" id="H88A1003DCCBC411F80C1637A98F0725D"><enum>(ii)</enum><text>at least 1
				individual who is representative of municipal securities brokers and municipal
				securities dealers that are not banks or subsidiaries, departments or divisions
				of banks (which members are hereinafter referred to as <quote>broker-dealer
				representatives</quote>); and</text>
									</clause><clause commented="no" id="HEBDB75CD0DD54746A70A5CFFB5839498"><enum>(iii)</enum><text>at least 1
				individual who is representative of municipal securities dealers that are banks
				or subsidiaries, departments or divisions of banks (which members are
				hereinafter referred to as <quote>bank
				representatives</quote>).</text>
									</clause></subparagraph></paragraph></subsection><after-quoted-block>;
				and</after-quoted-block></quoted-block>
				</paragraph><paragraph commented="no" id="H92061088ED954A4AA6D53E743779E635"><enum>(2)</enum><text>in paragraph (2),
			 by amending subparagraph (B) to read as follows:</text>
					<quoted-block display-inline="no-display-inline" id="H39444551894A4504B106E617E76DAE3E" style="OLC">
						<subparagraph commented="no" id="HAAF4A7B723F940D38E3A2CDC286A22F0" indent="up1"><enum>(B)</enum><text display-inline="yes-display-inline">establish fair procedures for the
				nomination and election of members of the Board and assure fair representation
				in such nominations and elections of municipal securities brokers and municipal
				securities dealers. Such rules—</text>
							<clause commented="no" id="HDBD360C84A9C4A0C99BDC183F83AB01B"><enum>(i)</enum><text>shall establish requirements
				regarding the independence of public representatives;</text>
							</clause><clause commented="no" id="H20D80847D651446CBC6CD04712B09195"><enum>(ii)</enum><text>shall provide that the number of
				public representatives of the Board shall at all times exceed the total number
				of broker-dealer representatives and bank representatives;</text>
							</clause><clause commented="no" id="H0B1014BB5D0A4505B6860D5B705EEB87"><enum>(iii)</enum><text display-inline="yes-display-inline">shall establish minimum knowledge,
				experience, and other appropriate qualifications for individuals to serve as
				public representatives, which may include prior work experience in the
				securities, municipal finance, or municipal securities industries;</text>
							</clause><clause commented="no" id="H5F9FBF3F72F74E4A87EB2CFED71A0D2F"><enum>(iv)</enum><text>shall specify the term members
				shall serve; and</text>
							</clause><clause commented="no" id="HAD679146E05F4F088024A273466F0ADB"><enum>(v)</enum><text>may increase or decrease the number
				of members which shall constitute the whole Board, except that in no case may
				the number of members of the whole Board be an even
				number.</text>
							</clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="id727FF77B8D8A4AE89E95E59E20FFC937"><enum>(b)</enum><header>Beneficial
			 ownership and short-Swing profit reporting</header>
				<paragraph id="H31EF38F07CC84F188F21832036756C86"><enum>(1)</enum><header>Beneficial
			 ownership reporting</header><text>Section 13 of the Securities Exchange Act of
			 1934 (15 U.S.C. 78m) is amended—</text>
					<subparagraph id="ID7352a561bdce4ba3a7d0c23ba3d2adb7"><enum>(A)</enum><text>in subsection
			 (d)—</text>
						<clause id="idE59FA1A35E0C46DBA452871D29AAB96F"><enum>(i)</enum><text>in

			 (2)(B), by inserting after <quote>officer</quote> the following: <quote>, or

					</subparagraph></paragraph></subsection><subsection id="idA626A4452F1245F58CECDA00B2124C60"><enum>(c)</enum><header>Enhanced
			 application of antifraud provisions</header><text display-inline="yes-display-inline">The Securities Exchange Act of 1934 (15
			 U.S.C. 78a et seq.) is amended—</text>

			 9—</text>
					<subparagraph id="H77F4D25A05B9442795D944D8B4FA2FBA"><enum>(A)</enum><text>by striking
			 <quote>registered on a national securities exchange</quote> each place that
			 term appears and inserting <quote>other than a government
			 security</quote>;</text>
					</subparagraph><subparagraph id="H407FFE931CBC4CC395CC83E2B95B53EA"><enum>(B)</enum><text>in subsection (b),

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="HEA461C5DC5834820998EFC82A0BBDB99"><enum>(2)</enum><text>in subparagraph
			 (B), by striking <quote>or stolen</quote> and inserting <quote>stolen,
			 cancelled, or reported in such other manner as the Commission, by rule, may
			 prescribe</quote>.</text>

				</paragraph></subsection></section><section id="H47F38FEEA9464A3EB886A771C3967D6A"><enum>6.</enum><header>Commission
			 organizational study and reform</header>
			<subsection id="HDE9FB97596BD43DDA21A6CA07B840C87"><enum>(a)</enum><header>Study
			 required</header>
				<paragraph id="HB1CC5C3BDBC44282AEE9C8174DBACE56"><enum>(1)</enum><header>In
			 general</header><text>Not later than 90 days after the date of the enactment of
			 this Act, the Securities and Exchange Commission (in this section referred to
			 as the <quote>Commission</quote>) shall hire an independent consultant of high
			 caliber who has expertise in organizational restructuring and the operations of
			 capital markets to examine the internal operations, structure, funding, and the
			 need for comprehensive reform of the Commission, as well as the relationship of
			 the Commission with and the reliance by the Commission on self-regulatory
			 organizations and other entities relevant to the regulation of securities and
			 the protection of securities investors that are under the oversight of the
			 Commission.</text>
				</paragraph><paragraph id="HBE6E0582530648848A554BB907EDC8FD"><enum>(2)</enum><header>Specific areas
			 for study</header><text>The study required under paragraph (1) shall, at a
			 minimum, include the study of—</text>
					<subparagraph id="H284A9D96F88341CCAE56355515A095EA"><enum>(A)</enum><text display-inline="yes-display-inline">the possible elimination of unnecessary or
			 redundant units at the Commission;</text>
					</subparagraph><subparagraph id="HD2C29B2448404163A09C0A19A600200B"><enum>(B)</enum><text>improving
			 communications between offices and divisions of the Commission;</text>
					</subparagraph><subparagraph id="H9EC716944B414B7491B13E64D4996B28"><enum>(C)</enum><text display-inline="yes-display-inline">the need to put in place a clear
			 chain-of-command structure, particularly for enforcement examinations and
			 compliance inspections;</text>
					</subparagraph><subparagraph id="HC282F99276D3483ABA2FC8713EBAD618"><enum>(D)</enum><text display-inline="yes-display-inline">the effect of high-frequency trading and
			 other technological advances on the market and what the Commission requires to
			 monitor the effect of such trading and advances on the market;</text>
					</subparagraph><subparagraph id="HFF0FC9290E3E479994CFEE972E6B1076"><enum>(E)</enum><text>the hiring
			 authorities, workplace policies, and personal practices of the Commission,
			 including—</text>
						<clause id="H2812B062F2C54CD38F679D8C97F01543"><enum>(i)</enum><text>whether there is a
			 need to further streamline hiring authorities for those who are not lawyers,
			 accountants, compliance examiners, or economists;</text>
						</clause><clause id="H1C05756F6956431B8D3CAAAFCEFF44EE"><enum>(ii)</enum><text>whether there is
			 a need for further pay reforms;</text>
						</clause><clause id="H8BB6EC53E36B4C48AD71DD75925769E8"><enum>(iii)</enum><text display-inline="yes-display-inline">the diversity of skill sets of Commission
			 employees and whether the present skill set diversity efficiently and
			 effectively fosters the mission of the Commission of investor protection;
			 and</text>
						</clause><clause id="H6FDD599A0F2047D4BD9A5037BC781C84"><enum>(iv)</enum><text>the
			 application of civil service laws by the Commission;</text>
						</clause></subparagraph><subparagraph id="H10271A38620949388AEB3E9F02373BCB"><enum>(F)</enum><text>whether the
			 oversight by the Commission of, and reliance by the Commission on,
			 self-regulatory organizations promotes efficient and effective governance for
			 the securities markets; and</text>
					</subparagraph><subparagraph id="H27A6C1284DC746EC8EA5D92E60D63668"><enum>(G)</enum><text display-inline="yes-display-inline">whether adjusting the reliance by the
			 Commission on self-regulatory organizations is necessary to promote more
			 efficient and effective governance for the securities markets.</text>
					</subparagraph></paragraph></subsection><subsection id="HAEEF1646BFF14326A7C407DD6F823F63"><enum>(b)</enum><header>Consultant
			 report</header><text>Not later than 150 days after the independent consultant
			 is retained under subsection (a), the independent consultant shall submit a
			 report to the Commission and to Congress containing—</text>
				<paragraph id="HA83E2062BE454BEE9C416F44E1F65DE7"><enum>(1)</enum><text display-inline="yes-display-inline">a detailed description of any findings and
			 conclusions made while carrying out the study required under subsection (a)(1);
			 and</text>
				</paragraph><paragraph id="H5120CF7CCF3047C9BCA6331E2E01202C"><enum>(2)</enum><text>recommendations
			 for legislative, regulatory, or administrative action that the independent
			 consultant determines appropriate to enable the Commission and other entities
			 on which the independent consultant reports to perform the missions of the
			 Commission, whether mandated by statute or otherwise.</text>
				</paragraph></subsection><subsection id="HBB2025CC06B9439192FC88DDCCE5746B"><enum>(c)</enum><header>Commission
			 report</header><text>Not later than 6 months after the date on which the
			 consultant submits the report under subsection (b), and every 6 months
			 thereafter during the 2-year period following the date on which the consultant
			 submits the report under subsection (b), the Commission shall submit a report
			 to the Committee on Banking, Housing, and Urban Affairs of the Senate and the
			 Committee on Financial Services of the House of Representatives describing the
			 implementation by the Commission of the regulatory and administrative
			 recommendations contained in the report of the independent consultant under
			 subsection (b).</text>
