		<official-title>To authorize the Administrator of General Services to
		  convey a parcel of real property in the District of Columbia to provide for the
		  establishment of a National Women’s History Museum.</official-title>

		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short
			 title</header><text display-inline="no-display-inline">This Act may be cited as
			 the <quote><short-title>National Women’s History Museum
			 Act of 2009</short-title></quote>.</text>
		</section><section id="IDa6bcf7edd8544fe0b726daa1c081c2a7"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act, the following definitions
			 apply:</text>
			<paragraph id="ID504bebbdac2c45039f3c78d65444971d"><enum>(1)</enum><header>Administrator</header><text>The
			 term <term>Administrator</term> means the Administrator of General
			 Services.</text>
			</paragraph><paragraph id="ID323665d4bb424c668ee50d5e6b164298"><enum>(2)</enum><header>CERCLA</header><text>The
			 term <term>CERCLA</term> means the Comprehensive Environmental Response,
			 Compensation, and Liability Act of 1980 (42 U.S.C. 9601 et seq.).</text>
			</paragraph><paragraph id="IDc1d50a8d407841649ebedc3281df2522"><enum>(3)</enum><header>Committees</header><text>The
			 term <term>Committees</term> means the Committee on Transportation and
			 Infrastructure of the House of Representatives and the Committee on Environment
			 and Public Works of the Senate.</text>
			</paragraph><paragraph id="ID447361fc8ca247819b6e0c72c2ddab54"><enum>(4)</enum><header>Museum</header><text>The
			 term <term>Museum</term> means the National Women’s History Museum, Inc., a
			 District of Columbia nonprofit corporation exempt from taxation pursuant to
			 section 501(c)(3) of the Internal Revenue Code of 1986.</text>
			</paragraph><paragraph id="ID135f8b4a2c0d4d03865e7be0a6d7e049"><enum>(5)</enum><header>Property</header><text>The
			 term <term>Property</term> means the property located in the District of
			 Columbia, subject to survey and as determined by the Administrator, generally
			 consisting of Squares 325 and 326. The Property is generally bounded by 12th
			 Street, Independence Avenue, C Street, and the James Forrestal Building, all in
			 Southwest Washington, District of Columbia, and shall include all associated
			 air rights, improvements thereon, and appurtenances thereto.</text>
			</paragraph></section><section id="ID02103d0140b94dea978d886115fc31d6"><enum>3.</enum><header>Conveyance of
			 property</header>
			<subsection id="ID7212af0f966f46b290df024ec284afbc"><enum>(a)</enum><header>Authority To
			 convey</header>
				<paragraph id="ID521a20bdb89a40be82bda7a65477ec11"><enum>(1)</enum><header>In
			 general</header><text>Subject to the requirements of this Act, the
			 Administrator shall convey the Property to the Museum, on such terms and
			 conditions as the Administrator considers reasonable and appropriate to protect
			 the interests of the United States and further the purposes of this Act.</text>
				</paragraph><paragraph id="ID2f98b073ded740ed9cb13ea057ca2eef"><enum>(2)</enum><header>Agreement</header><text>As
			 soon as practicable, but not later than 180 days after the date of enactment of
			 this Act, the Administrator shall enter into an agreement with the Museum for
			 the conveyance.</text>
				</paragraph><paragraph id="ID420584efc3ee452b9118b58514386099"><enum>(3)</enum><header>Terms and
			 conditions</header><text>The terms and conditions of the agreement shall
			 address, among other things, mitigation of developmental impacts to existing
			 Federal buildings and structures, security concerns, and operational protocols
			 for development and use of the property.</text>
				</paragraph></subsection><subsection id="ID5a6b24d3f8cb4157b325736c5f636ada"><enum>(b)</enum><header>Purchase
			 price</header>
				<paragraph id="IDf6f0909c85c94fba9dcebbe190fb5072"><enum>(1)</enum><header>In
			 general</header><text>The purchase price for the Property shall be its fair
			 market value based on its highest and best use as determined by an independent
			 appraisal commissioned by the Administrator and paid for by the Museum.</text>
				</paragraph><paragraph id="ID757a4d8bee9346c88fdb33bd12993cfc"><enum>(2)</enum><header>Selection of
			 appraiser</header><text>The appraisal shall be performed by an appraiser
			 mutually acceptable to the Administrator and the Museum.</text>
				</paragraph><paragraph id="IDacd434881221422e8b46c4899c928ebc"><enum>(3)</enum><header>Terms and
			 conditions for appraisal</header>
					<subparagraph id="ID2de6b8ef872c4f6797608d226b67bf19"><enum>(A)</enum><header>In
			 general</header><text>Except as provided by subparagraph (B), the assumptions,
			 scope of work, and other terms and conditions related to the appraisal
			 assignment shall be mutually acceptable to the Administrator and the
			 Museum.</text>
					</subparagraph><subparagraph id="ID642dc927bc804deeae8a0e7af9a5f097"><enum>(B)</enum><header>Required
			 terms</header><text>The appraisal shall assume that the Property does not
			 contain hazardous substances (as defined in section 101 of CERCLA (42 U.S.C.
			 9601)) which require response action (as defined in such section).</text>
					</subparagraph></paragraph></subsection><subsection id="ID1a7d84d30ffc4fc9aa33d4d53fcdfee4"><enum>(c)</enum><header>Application of
			 proceeds</header><text>The purchase price shall be paid into the Federal
			 Buildings Fund established under section 592 of title 40, United States Code.
			 Upon deposit, the Administrator may expend, in amounts specified in
			 appropriations Acts, the proceeds from the conveyance for any lawful purpose
			 consistent with existing authorities granted to the Administrator; except that
			 the Administrator shall provide the Committees with 30 days advance written
			 notice of any expenditure of the proceeds.</text>
			</subsection><subsection id="ID50f6cdaad91742578467bde854390494"><enum>(d)</enum><header>Quit claim
			 deed</header><text>The Property shall be conveyed pursuant to a quit claim
			 deed.</text>
			</subsection><subsection id="ID1c5f49c2c1e24fd591ac4f8f19a60312"><enum>(e)</enum><header>Use
			 restriction</header><text>The Property shall be dedicated for use as a site for
			 a national women’s history museum for the 99-year period beginning on the date
			 of conveyance to the Museum.</text>
			</subsection><subsection id="IDa65b5e06e20d4d9793e8b15a19324677"><enum>(f)</enum><header>Reversion</header>
				<paragraph id="IDf3386d5f9023471688abcb587535efc7"><enum>(1)</enum><header>Bases for
			 reversion</header><text>The Property shall revert to the United States, at the
			 option of the United States, without any obligation for repayment by the United
			 States of any amount of the purchase price for the property, if—</text>
					<subparagraph id="ID70376e1d82444dde92e0937d678b3436"><enum>(A)</enum><text>the Property is
			 not used as a site for a national women’s history museum at any time during the
			 99-year period referred to in subsection (e); or</text>
					</subparagraph><subparagraph id="ID1961fb8b24bf493396c068784f854ea8"><enum>(B)</enum><text>the Museum has
			 not commenced construction of a museum facility on the Property in the 5-year
			 period beginning on the date of enactment of this Act, other than for reasons
			 beyond the control of the Museum as reasonably determined by the
			 Administrator.</text>
					</subparagraph></paragraph><paragraph id="ID144c4665728b41f7bb12a9cfca0d5927"><enum>(2)</enum><header>Enforcement</header><text>The
			 Administrator may perform any acts necessary to enforce the reversionary rights
			 provided in this section.</text>
				</paragraph><paragraph id="IDcef9b7b63bdb48cab42f1c9e0210613b"><enum>(3)</enum><header>Custody of
			 property upon reversion</header><text>If the Property reverts to the United
			 States pursuant to this section, such property shall be under the custody and
			 control of the Administrator.</text>
				</paragraph></subsection><subsection id="ID7e795ad4a926454cac748d960c04d5bd"><enum>(g)</enum><header>Closing</header><text>The
			 conveyance pursuant to this Act shall occur not later than 3 years after the
			 date of enactment of this Act. The Administrator may extend that period for
			 such time as is reasonably necessary for the Museum to perform its obligations
			 under section 4(a).</text>
			</subsection></section><section id="ID6f0a283a78ae4e47b373b7cffe8be9cb"><enum>4.</enum><header>Environmental
			 matters</header>
			<subsection id="IDc4297c92b7b54ce6a37ed418c30d2835"><enum>(a)</enum><header>Authorization
			 to contract for environmental response actions</header><text>The Administrator
			 is authorized to contract<deleted-phrase reported-display-style="strikethrough">, in an amount not to exceed the
			 purchase price for the Property, in the absence of appropriations and otherwise
			 without regard to section 1341 of title 31, United States
			 Code,</deleted-phrase> with the Museum or an affiliate thereof for the
			 performance (on behalf of the Administrator) of response actions
			 <deleted-phrase reported-display-style="strikethrough">(if any) required on the
			 Property pursuant to CERCLA</deleted-phrase><added-phrase reported-display-style="italic">on the Property</added-phrase>.</text>
			</subsection><subsection id="ID7b306befb094409696d4f6ff01ddb292"><enum>(b)</enum><header>Crediting of
			 response costs</header><text>Any costs incurred by the Museum or an affiliate
			 thereof pursuant to subsection (a) shall be credited to the purchase price for
			 the Property.</text>
			</subsection><subsection changed="deleted" id="IDdf12907ca09b44aa91ba8a9ad841926f" reported-display-style="strikethrough"><enum>(c)</enum><header>Relationship to
			 CERCLA</header><text>Nothing in this Act may be construed to affect or limit
			 the application of or obligation to comply with any environmental law,
			 including section 120(b) of CERCLA (42 U.S.C. 9620(b)).</text>
			</subsection><subsection changed="added" id="id43CD6C745C4F44599A5BA654CEECCD62" reported-display-style="italic"><enum>(c)<?LEXA-Enum (c)?></enum><header>No effect
			 on compliance With environmental laws</header><text>Nothing in this Act, or any
			 amendment made by this Act, affects or limits the application of or obligation
			 to comply with any environmental law, including section 120(h) of CERCLA (42
			 U.S.C. 9620(h)).</text>
			</subsection></section><section id="IDcb4aabb3cb4149acab0829a3d0d7e31b"><enum>5.</enum><header>Incidental
			 costs</header><text display-inline="no-display-inline">Subject to section 4,
			 the Museum shall bear any and all costs associated with complying with the
			 provisions of this Act, including studies and reports, surveys, relocating
			 tenants, and mitigating impacts to existing Federal buildings and structures
			 resulting directly from the development of the property by the Museum.</text>
		</section><section id="IDb26605859f6b4ca98cbf93aee5faab83"><enum>6.</enum><header>Land use
			 approvals</header>
			<subsection id="IDc8ca853414204ff9a6baacef93ef3fab"><enum>(a)</enum><header>Existing
			 authorities</header><text>Nothing in this Act shall be construed as limiting or
			 affecting the authority or responsibilities of the National Capital Planning
			 Commission or the Commission of Fine Arts.</text>
			</subsection><subsection id="ID0b839f8fd9474d22b38c59900ec32450"><enum>(b)</enum><header>Cooperation</header>
				<paragraph id="ID2e43637165f449009483c6f6d2b3b6e1"><enum>(1)</enum><header>Zoning and land
			 use</header><text>Subject to paragraph (2), the Administrator shall reasonably
			 cooperate with the Museum with respect to any zoning or other land use matter
			 relating to development of the Property in accordance with this Act. Such
			 cooperation shall include consenting to applications by the Museum for
			 applicable zoning and permitting with respect to the property.</text>
				</paragraph><paragraph id="ID593493010adf41cfacd620184a74bea5"><enum>(2)</enum><header>Limitations</header><text>The
			 Administrator shall not be required to incur any costs with respect to
			 cooperation under this subsection and any consent provided under this
			 subsection shall be premised on the property being developed and operated in
			 accordance with this Act.</text>
				</paragraph></subsection></section><section id="IDd707c8dc44d84e558b4b6cbbb589d423"><enum>7.</enum><header>Reports</header><text display-inline="no-display-inline">Not later than 1 year after the date of
			 enactment of this Act, and annually thereafter until the end of the 5-year
			 period following conveyance of the Property or until substantial completion of
			 the museum facility (whichever is later), the Museum shall submit annual
			 reports to the Administrator and the Committees detailing the development and
			 construction activities of the Museum with respect to this Act.</text>
