			 charter</header><text>Part B of subtitle II of title 36, United States Code, is
			 amended by inserting after chapter 1403 the following new chapter:</text>

						<section id="ID62136ee7646845e3bce29dd52e6d1afe"><enum>140401.</enum><header>Organization</header>
							<subsection id="IDce4ea5f2414f4724a0d42503c21f5bb9"><enum>(a)</enum><header>Federal
				charter</header><text>Military Officers Association of America (in this
				chapter, the <term>corporation</term>), a nonprofit organization that meets the
				requirements for a veterans service organization under section 501(c)(19) of
				the Internal Revenue Code of 1986 and is organized under the laws of the
				Commonwealth of Virginia, is a federally chartered corporation.</text>
							</subsection><subsection id="ID4855db2c309b4025b0c8d2716198cd60"><enum>(b)</enum><header>Expiration of
				charter</header><text>If the corporation does not comply with the provisions of
				this chapter, the charter granted by subsection (a) shall expire.</text>
							</subsection></section><section id="IDc7beb3abc51643c49bb0a3fa8a51d37f"><enum>140402.</enum><header>Purposes</header>
							<subsection id="id13D8005B35FE425BA5CE9948A9DDA8A1"><enum>(a)</enum><header>General</header><text display-inline="yes-display-inline">The purposes of the corporation are as
				provided in its bylaws and articles of incorporation and include—</text>
								<paragraph id="id7E337F840C224972B10F0EDEB538F8E3"><enum>(1)</enum><text display-inline="yes-display-inline">to inculcate and stimulate love of the
				United States and the flag;</text>
								</paragraph><paragraph id="idA0942273AFC64FB6A195C509E5EBB5E9"><enum>(2)</enum><text display-inline="yes-display-inline">to defend the honor, integrity, and
				supremacy of the Constitution of the United States and the United States
				Government;</text>
								</paragraph><paragraph id="idF6EB2E8D5A724093924CEB7BDD63024C"><enum>(3)</enum><text display-inline="yes-display-inline">to advocate military forces adequate to the
				defense of the United States;</text>
								</paragraph><paragraph id="id7C0538FE2CC0414092DB800B4A8C465E"><enum>(4)</enum><text display-inline="yes-display-inline">to foster the integrity and prestige of the
				Armed Forces;</text>
								</paragraph><paragraph id="id87E96A18F3CC452A9B1F9D1121489E04"><enum>(5)</enum><text display-inline="yes-display-inline">to foster fraternal relations between all
				branches of the various Armed Forces from which members are drawn;</text>
								</paragraph><paragraph id="id50187073E9BC4AE9B9ECEBB408220C60"><enum>(6)</enum><text display-inline="yes-display-inline">to further the education of children of
				members of the Armed Forces;</text>
								</paragraph><paragraph id="id35EA6F2F5D4B4901B9561F28A15A5D67"><enum>(7)</enum><text display-inline="yes-display-inline">to aid members of the Armed Forces and
				their family members and survivors in every proper and legitimate
				manner;</text>
								</paragraph><paragraph id="idA2C25F581D154897936E6C3E6D75EC65"><enum>(8)</enum><text display-inline="yes-display-inline">to present and support legislative
				proposals that provide for the fair and equitable treatment of members of the
				Armed Forces, including the National Guard and Reserves, military retirees,
				family members, survivors, and veterans; and</text>
								</paragraph><paragraph id="id4B5514A76F4B477FBAA9C60BE8261C2F"><enum>(9)</enum><text display-inline="yes-display-inline">to encourage recruitment and appointment in
				the Armed Forces.</text>
								</paragraph></subsection></section><section id="IDf2d90f81c4814903981247177140f992"><enum>140403.</enum><header>Membership</header><text display-inline="no-display-inline">Eligibility for membership in the
				corporation, and the rights and privileges of members of the corporation, are
				as provided in the bylaws of the corporation.</text>
						</section><section id="ID507cd1a296d94d1480182ddb41f87689"><enum>140404.</enum><header>Governing
				body</header>
							<subsection id="IDe861fd02c7e2468db13f26975b738ae3"><enum>(a)</enum><header>Board of
				directors</header><text>The composition of the board of directors of the
				corporation, and the responsibilities of the board, are as provided in the
				articles of incorporation and bylaws of the corporation.</text>
							</subsection><subsection id="ID8e8c23e913084b9abe28236d676da65d"><enum>(b)</enum><header>Officers</header><text>The
				positions of officers of the corporation, and the election of the officers, are
				as provided in the articles of incorporation and bylaws.</text>
							</subsection></section><section id="ID28e93e5f174f41068d3e2b932eaee5db"><enum>140405.</enum><header>Powers</header><text display-inline="no-display-inline">The corporation has only those powers
				provided in its bylaws and articles of incorporation filed in each State in
				which it is incorporated.</text>
						</section><section id="ID06f5431741ce46098b473249b09d25a1"><enum>140406.</enum><header>Restrictions</header>
							<subsection id="ID5f871125043b4dd886d9d1e5876ed873"><enum>(a)</enum><header>Stock and
				Dividends</header><text>The corporation may not issue stock or declare or pay a
				dividend.</text>
							</subsection><subsection id="ID69cb7cc89bf6411cb563769ae65b90fd"><enum>(b)</enum><header>Distribution of
				income or assets</header><text>The income or assets of the corporation may not
				inure to the benefit of, or be distributed to, a director, officer, or member
				of the corporation during the life of the charter granted by this chapter. This
				subsection does not prevent the payment of reasonable compensation to an
				officer or employee of the corporation or reimbursement for actual necessary
				expenses in amounts approved by the board of directors.</text>
							</subsection><subsection id="IDdb5bbd690d8f4167aaea638677b3ec58"><enum>(c)</enum><header>Loans</header><text>The
				corporation may not make a loan to a director, officer, employee, or member of
				the corporation.</text>
							</subsection><subsection id="ID57c704ae8f63417aa032d5b618cb178f"><enum>(d)</enum><header>Claim of
				governmental approval or authority</header><text>The corporation may not claim
				congressional approval or the authority of the United States Government for any
				of its activities.</text>
							</subsection><subsection id="ID3568f9b75bc7459b968d928116f1c7d2"><enum>(e)</enum><header>Corporate
				status</header><text>The corporation shall maintain its status as a corporation
				incorporated under the laws of the Commonwealth of Virginia.</text>
							</subsection></section><section id="ID2ca55ea1ded4456499693f64eda850ec"><enum>140407.</enum><header>Tax-exempt
				status required as condition of charter</header><text display-inline="no-display-inline">If the corporation fails to maintain its
				status as an organization exempt from taxation under the Internal Revenue Code
				of 1986, the charter granted under this chapter shall terminate.</text>
						</section><section id="IDa24eac43e2514534bed5dc73a5cc4706"><enum>140408.</enum><header>Records and
				inspection</header>
							<subsection id="IDcfed6d3ae64240b48f1535b5363a70e9"><enum>(a)</enum><header>Records</header><text>The
				corporation shall keep—</text>
								<paragraph id="IDb6f4057a66b04af393cffbd5bbfb6bd3"><enum>(1)</enum><text>correct and
				complete records of account;</text>
								</paragraph><paragraph id="ID38f11f697c864439a8b62280cb0c78f1"><enum>(2)</enum><text>minutes of the
				proceedings of the members, board of directors, and committees of the
				corporation having any of the authority of the board of directors of the
				corporation; and</text>
								</paragraph><paragraph id="ID080c5845ac094aec9e11b05a7c420617"><enum>(3)</enum><text>at the principal
				office of the corporation, a record of the names and addresses of the members
				of the corporation entitled to vote on matters relating to the
				corporation.</text>
								</paragraph></subsection><subsection id="ID944b806b33004ffaaacbe3d7b7b98757"><enum>(b)</enum><header>Inspection</header><text>A
				member entitled to vote on any matter relating to the corporation, or an agent
				or attorney of the member, may inspect the records of the corporation for any
				proper purpose at any reasonable time.</text>
							</subsection></section><section id="IDb403d33dca9d4ef08a30e086d99957ba"><enum>140409.</enum><header>Service of
				process</header><text display-inline="no-display-inline">The corporation shall
				comply with the law on service of process of each State in which it is
				incorporated and each State in which it carries on activities.</text>
						</section><section id="ID85df3c9a57cc4fe9a41fb723b7b4ffc2"><enum>140410.</enum><header>Liability
				for acts of officers and agents</header><text display-inline="no-display-inline">The corporation is liable for any act of any
				officer or agent of the corporation acting within the scope of the authority of
				the corporation.</text>
						</section><section id="ID132940535b5648cc847a750e8b863a60"><enum>140411.</enum><header>Annual
				report</header><text display-inline="no-display-inline">The corporation shall
				submit to Congress an annual report on the activities of the corporation during
				the preceding fiscal year. The report shall be submitted at the same time as
				the report of the audit required by section 10101(b) of this title. The report
				may not be printed as a public document.</text>
						</section><section id="IDe04d2d6a902e4c32a7735d44334499b8"><enum>140412.</enum><header>Definition</header><text display-inline="no-display-inline">In this chapter, the term <term>State</term>
				includes the District of Columbia and the territories and possessions of the
				United
				States.</text>
						</section></chapter><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="ID22589eb60d334639a9fda2a76ee5950d"><enum>(b)</enum><header>Clerical
			 amendment</header><text display-inline="yes-display-inline">The table of
			 chapters at the beginning of subtitle II of title 36, United States Code, is
			 amended by inserting after the item relating to chapter 1403 the following new
			 item:</text>
