		<section changed="deleted" committee-id="SSHR00" display-inline="no-display-inline" id="HB59A2A8117FD4F139B98D556B091ED5F" reported-display-style="strikethrough" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>National Foundation on Physical
			 Fitness and Sports Establishment Act</short-title></quote>.</text>
		</section><section changed="deleted" committee-id="SSHR00" id="HFCC6C5FFB07D454DA82DF700F9C4D5E" reported-display-style="strikethrough"><enum>2.</enum><header>Establishment and
			 purpose of Foundation</header>
			<subsection id="H461B677E895C4C6D8D0310B84D292CF7"><enum>(a)</enum><header>Establishment</header><text>There
			 is established the National Foundation on Physical Fitness and Sports
			 (hereinafter in this Act referred to as the <quote>Foundation</quote>). The
			 Foundation is a charitable and nonprofit corporation and is not an agency or
			 establishment of the United States.</text>
			</subsection><subsection id="H09548B9B185B415F8502B4F46F9E049E"><enum>(b)</enum><header>Purposes</header><text>The
			 purposes of the Foundation are—</text>
				<paragraph id="H5B3D2CEB82694837B8BD5BC58E474BC2"><enum>(1)</enum><text>in conjunction
			 with the President’s Council on Physical Fitness and Sports, to develop a list
			 and description of programs, events and other activities which would further
			 the goals outlined in Executive Order 12345 and with respect to which combined
			 private and governmental efforts would be beneficial; and</text>
				</paragraph><paragraph id="HFB34EDCA196549559855BED06829F2"><enum>(2)</enum><text>to encourage and
			 promote the participation by private organizations in the activities referred
			 to in subsection (b)(1) and to encourage and promote private gifts of money and
			 other property to support those activities.</text>
				</paragraph></subsection><subsection id="H395712153791437C984324A14FEF15E3"><enum>(c)</enum><header>Disposition of
			 Money and Property</header><text>At least annually the Foundation shall
			 transfer, after the deduction of the administrative expenses of the Foundation,
			 the balance of any contributions received for the activities referred to in
			 subsection (b), to the United States Public Health Service Gift Fund pursuant
			 to section 2701 of the <act-name parsable-cite="PHSA">Public Health Service
			 Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/42/300aaa">42
			 U.S.C. 300aaa</external-xref>) for expenditure pursuant to the provisions of
			 that section and consistent with the purposes for which the funds were
			 donated.</text>
			</subsection></section><section changed="deleted" committee-id="SSHR00" id="HD0C24994A6EC4C30BCB2F75307E20311" reported-display-style="strikethrough"><enum>3.</enum><header>Board of
			 Directors of the Foundation</header>
			<subsection id="HEDE05A653C314B34B370E5C37FEAAC4"><enum>(a)</enum><header>Establishment
			 and Membership</header><text>The Foundation shall have a governing Board of
			 Directors (hereinafter referred to in this Act as the <quote>Board</quote>),
			 which shall consist of 9 members each of whom shall be a United States citizen
			 and—</text>
				<paragraph id="H1223E1720DD14A3E80CF29E8B085622"><enum>(1)</enum><text>3 of whom must be
			 knowledgeable or experienced in one or more fields directly connected with
			 physical fitness, sports, or the relationship between health status and
			 physical exercise; and</text>
				</paragraph><paragraph id="HA5CF71BCD1724502B728D2EA56B2CF37"><enum>(2)</enum><text>6 of whom must be
			 leaders in the private sector with a strong interest in physical fitness,
			 sports, or the relationship between health status and physical exercise.</text>
				</paragraph><continuation-text continuation-text-level="subsection">The membership of the Board, to
			 the extent practicable, shall represent diverse professional specialties
			 relating to the achievement of physical fitness through regular participation
			 in programs of exercise, sports, and similar activities. The Assistant
			 Secretary for Health, the Executive Director of the President’s Council on
			 Physical Fitness and Sports, the Director for the National Center for Chronic
			 Disease Prevention and Health Promotion, the Director of the National Heart,
			 Lung, and Blood Institute, and the Director for the Centers for Disease Control
			 and Prevention shall be ex officio, nonvoting members of the Board. Appointment
			 to the Board or its staff shall not constitute employment by, or the holding of
			 an office of, the United States for the purposes of any Federal employment or
			 other law.</continuation-text></subsection><subsection id="H2E682B91E6654DF0A751B0E49D44B3B"><enum>(b)</enum><header>Appointments</header><text>Within
			 90 days from the date of enactment of this Act, the members of the Board will
			 be appointed. Three members of the Board will be appointed by the Secretary
			 (hereinafter referred to in this Act as the <quote>Secretary</quote>), 2 by the
			 majority leader of the Senate, 1 by the minority leader of the Senate, 2 by the
			 Speaker of the House of Representatives, 1 by the minority leader of the House
			 of Representatives.</text>
			</subsection><subsection id="H8A98A1C53CE84132A5C1981BE125806C"><enum>(c)</enum><header>Terms</header><text>The
			 members of the Board shall serve for a term of 6 years. A vacancy on the Board
			 shall be filled within 60 days of the vacancy in the same manner in which the
			 original appointment was made and shall be for the balance of the term of the
			 individual who was replaced. No individual may serve more than 2 consecutive
			 terms as a member.</text>
			</subsection><subsection id="HFF45D9964FBD4967AFD51D12CE2E93D"><enum>(d)</enum><header>Chairman</header><text>The
			 Chairman shall be elected by the Board from its members for a 2-year term and
			 will not be limited in terms or service.</text>
			</subsection><subsection id="HD3F6DA29328944E1AE9B24D5E9330071"><enum>(e)</enum><header>Quorum</header><text>A
			 majority of the current membership of the Board shall constitute a quorum for
			 the transaction of business.</text>
			</subsection><subsection id="HB8379C663ACC48EC938790676E66B8C7"><enum>(f)</enum><header>Meetings</header><text>The
			 Board shall meet at the call of the Chairman at least once a year. If a member
			 misses 3 consecutive regularly scheduled meetings, that member may be removed
			 from the Board and the vacancy filled in accordance with subsection (c).</text>
			</subsection><subsection id="H19460DE9F6B94926A276EEF673666195"><enum>(g)</enum><header>Reimbursement of
			 Expenses</header><text>Members of the Board shall serve without pay, but may be
			 reimbursed for the actual and necessary traveling and subsistence expenses
			 incurred by them in the performance of the duties of the Foundation, subject to
			 the same limitations on reimbursement that are imposed upon employees of
			 Federal agencies.</text>
			</subsection><subsection id="H10A35E3AB2254E91A0666E4E4126CEA"><enum>(h)</enum><header>Limitations</header><text>The
			 following limitations apply with respect to the appointment of officers and
			 employees of the Foundation:</text>
				<paragraph id="H9321A323084741C2B4122D4D881D85A"><enum>(1)</enum><text>Officers and
			 employees may not be appointed until the Foundation has sufficient funds to pay
			 them for their service. No individual so appointed may receive pay in excess of
			 the annual rate of basic pay in effect for Executive Level V in the Federal
			 service.</text>
				</paragraph><paragraph id="HABB82F7C3C424CF98200E86C992BC12D"><enum>(2)</enum><text>The first officer
			 or employee appointed by the Board shall be the Secretary of the Board who
			 shall serve, at the direction of the Board, as its chief operating officer and
			 shall be knowledgeable and experienced in matters relating to physical fitness
			 and sports.</text>
				</paragraph><paragraph id="H503D94F25BA74FA3A8122F00C92241B"><enum>(3)</enum><text>No Public Health
			 Service employee nor the spouse or dependent relative of such an employee may
			 serve as an officer or member of the Board of Directors or as an employee of
			 the Foundation.</text>
				</paragraph><paragraph id="H6427A53B2EED4AB5B7C63F7545362C13"><enum>(4)</enum><text>Any individual who
			 is an officer, employee, or member of the Board of the Foundation may not (in
			 accordance with the policies developed under subsection (i)) personally or
			 substantially participate in the consideration or determination by the
			 Foundation of any matter that would directly or predictably affect any
			 financial interest of the individual or a relative (as such term is defined in
			 section 109(16) of the Ethics in Government Act, 1978) of the individual, of
			 any business organization, or other entity, or of which the individual is an
			 officer or employee, is negotiating for employment, or in which the individual
			 has any other financial interest.</text>
				</paragraph></subsection><subsection id="H6151361129CF4177004F0267D02796BE"><enum>(i)</enum><header>General
			 Powers</header><text>The Board may complete the organization of the Foundation
			 by—</text>
				<paragraph id="H96C1F6D1D1A54902A26F04BB3B75A584"><enum>(1)</enum><text>appointing
			 officers and employees;</text>
				</paragraph><paragraph id="HF9C006CF343E48570067A9960000415F"><enum>(2)</enum><text>adopting a
			 constitution and bylaws consistent with the purposes of the Foundation and the
			 provision of this Act; and</text>
				</paragraph><paragraph id="H78CFEE7A574641739D22568CE48EF141"><enum>(3)</enum><text>undertaking such
			 other acts as may be necessary to carry out the provisions of this Act.</text>
				</paragraph><continuation-text continuation-text-level="subsection">In establishing bylaws under this
			 subsection, the Board shall provide for policies with regard to financial
			 conflicts of interest and ethical standards for the acceptance, solicitation
			 and disposition of donations and grants to the Foundation.</continuation-text></subsection></section><section changed="deleted" committee-id="SSHR00" id="H0ECC48FFC87840A3810533676BAE5194" reported-display-style="strikethrough"><enum>4.</enum><header>Rights and
			 obligations of the Foundation</header>
			<subsection id="H20F5734FE8404234A78D37EE2B197DB"><enum>(a)</enum><header>In
			 General</header><text>The Foundation—</text>
				<paragraph id="H8725A54EEC5545699F74E7DC4EE258D9"><enum>(1)</enum><text>shall have
			 perpetual succession;</text>
				</paragraph><paragraph id="H082C5905497C442D868E2D19C77BA67C"><enum>(2)</enum><text>may conduct
			 business throughout the several States, territories, and possessions of the
			 United States;</text>
				</paragraph><paragraph id="H5F2417F0537141B8894754D8576609B4"><enum>(3)</enum><text>shall have its
			 principal offices in or near the District of Columbia; and</text>
				</paragraph><paragraph id="H04BB0406C66745A9AF8B8F4E20DC66D4"><enum>(4)</enum><text>shall at all times
			 maintain a designated agent authorized to accept service of process for the
			 Foundation.</text>
				</paragraph><continuation-text continuation-text-level="subsection">The serving of notice to, or
			 service of process upon, the agent required under paragraph (4), or mailed to
			 the business address of such agent, shall be deemed as service upon or notice
			 to the Foundation.</continuation-text></subsection><subsection id="HE2BFABC57B2C414BB969B777474DCBD"><enum>(b)</enum><header>Seal</header><text>The
			 Foundation shall have an official seal selected by the Board which shall be
			 judicially noticed.</text>
			</subsection><subsection id="H4B98529C0A0845B1B6CECC09117FF26"><enum>(c)</enum><header>Powers</header><text>To
			 carry out its purposes under section 2, and subject to the specific provisions
			 thereof, the Foundation shall have the usual powers of a corporation acting as
			 a trustee in the District of Columbia, including the power—</text>
				<paragraph id="H3CAFB6320C9C4F9196E297800B6BB66"><enum>(1)</enum><text>except as
			 otherwise provided herein, to accept, receive, solicit, hold, administer and
			 use any gift, devise, or bequest, either absolutely or in trust, of real or
			 personal property or any income therefrom or other interest therein;</text>
				</paragraph><paragraph id="H0E702B9D826E4858B5E05B5C47B66F1B"><enum>(2)</enum><text>to acquire by
			 purchase or exchange any real or personal property or interest therein;</text>
				</paragraph><paragraph id="H5BB96AC9A4104BBD00FA5E1F2685F142"><enum>(3)</enum><text>unless otherwise
			 required by the instrument of transfer, to sell, donate, lease, invest,
			 reinvest, retain or otherwise dispose of any property or income
			 therefrom;</text>
				</paragraph><paragraph id="HC40BE4F4ADF64D36BF21A4A300CCD0FB"><enum>(4)</enum><text>to sue and be
			 sued, and complain and defend itself in any court of competent jurisdiction,
			 except for gross negligence;</text>
				</paragraph><paragraph id="HC16EC774D85A4895A5CA1B7314992C2F"><enum>(5)</enum><text>to enter into
			 contracts or other arrangements with public agencies and private organizations
			 and persons and to make such payments as may be necessary to carry out its
			 functions; and</text>
				</paragraph><paragraph id="H4B643F88021246AD96A4A5CAD978C958"><enum>(6)</enum><text>to do any and all
			 acts necessary and proper to carry out the purposes of the Foundation.</text>
				</paragraph><continuation-text continuation-text-level="subsection">For purposes of this Act, an
			 interest in real property shall be treated as including easements or other
			 rights for preservation, conservation, protection, or enhancement by and for
			 the public of natural, scenic, historic, scientific, educational inspirational
			 or recreational resources. A gift, devise, or bequest may be accepted by the
			 Foundation even though it is encumbered, restricted, or subject to beneficial
			 interests of private persons if any current or future interest therein is for
			 the benefit of the Foundation.</continuation-text></subsection></section><section changed="deleted" committee-id="SSHR00" id="H909046E8D61C4198A518005E5245EDBE" reported-display-style="strikethrough"><enum>5.</enum><header>Protection and
			 uses of trademarks and trade names</header>
			<subsection id="H1AA3791EC86543A78B50B94BCFAA78C2"><enum>(a)</enum><header>Protection</header><text>Without
			 the consent of the Foundation in conjunction with the President’s Council on
			 Physical Fitness and Sports, any person who uses for the purpose of trade, uses
			 to induce the sale of any goods or services, or uses to promote any theatrical
			 exhibition, athletic performance or competition—</text>
				<paragraph id="HE62A096BF7CC43D68963601C5E5483B5"><enum>(1)</enum><text>the official seal
			 of the President’s Council on Physical Fitness and Sports consisting of the
			 eagle holding an olive branch and arrows with shield breast encircled by name
			 <quote>President’s Council on Physical Fitness and Sports</quote> and
			 consisting, depending upon placement, of diagonal stripes;</text>
				</paragraph><paragraph id="H3B69A0868F38452A9378CD6F6214C197"><enum>(2)</enum><text>the official seal
			 of the Foundation; or</text>
				</paragraph><paragraph id="HCCF8B00698E74BA5B8305F2D37005619"><enum>(3)</enum><text>any trademark,
			 trade name, sign, symbol, or insignia falsely representing association with or
			 authorization by the President’s Council on Physical Fitness and Sports or the
			 Foundation;</text>
				</paragraph><continuation-text continuation-text-level="subsection">shall be subject in a civil action
			 by the Foundation for the remedies provided in the Act of July 9, 1946 (60
			 Stat. 427; popularly known as the Trademark Act of 1946).</continuation-text></subsection><subsection id="H1130FFE91458492E83E450D8F7705700"><enum>(b)</enum><header>Uses</header><text>The
			 Foundation, in conjunction with the President’s Council on Physical Fitness and
			 Sports, may authorize contributors and suppliers of goods or services to use
			 the trade name or the President’s Council on Physical Fitness and Sports and
			 the Foundation as well as any trademark, seal, symbol, insignia, or emblem of
			 the President’s Council on Physical Fitness and Sports or the Foundation in
			 advertising that the contributors, goods, or services when donated, supplied,
			 or furnished to or for the use of, or approved, selected, or used by the
			 President’s Council on Physical Fitness and Sports or the Foundation.</text>
			</subsection></section><section changed="deleted" committee-id="SSHR00" id="H76312AB7F9CF46E4983DD7D1D6F3BD89" reported-display-style="strikethrough"><enum>6.</enum><header>Volunteer
			 status</header><text display-inline="no-display-inline">The Foundation may
			 accept, without regard to the civil service classification laws, rules, or
			 regulations, the services of volunteers in the performance of the functions
			 authorized herein, in the manner provided for under section 7(c) of the Fish
			 and Wildlife Act of 1956 (<external-xref legal-doc="usc" parsable-cite="usc/16/742f">16 U.S.C. 742f(c)</external-xref>).</text>
		</section><section changed="deleted" committee-id="SSHR00" id="H6A6903EA8A9244D3AA2F203600F318F6" reported-display-style="strikethrough"><enum>7.</enum><header>Audit, report
			 requirements, and petition of attorney general for equitable relief</header>
			<subsection id="H5F1F4197EC9B494394D37F9502A91CC6"><enum>(a)</enum><header>Audits</header><text>For
			 purposes of the Act entitled <quote>An Act for audit of accounts of private
			 corporations established under Federal law</quote>, approved August 30, 1964
			 (<external-xref legal-doc="public-law" parsable-cite="pl/88/504">Public Law
			 88–504</external-xref>,
			 <external-xref legal-doc="usc" parsable-cite="usc/36/1101">36 U.S.C.
			 1101–1103</external-xref>), the Foundation shall be treated as a private
			 corporation under Federal law. The Inspector General of the Department of
			 Health and Human Services and the Comptroller General of the United States
			 shall have access to the financial and other records of the Foundation, upon
			 reasonable notice.</text>
			</subsection><subsection id="H38C3884DB42347069FD800B335AE49D7"><enum>(b)</enum><header>Report</header><text>The
			 Foundation shall, as soon as practicable after the end of each fiscal year,
			 transmit to the Secretary of Health and Human Services and to Congress a report
			 of its proceedings and activities during such year, including a full and
			 complete statement of its receipts, expenditures, and investments.</text>
			</subsection><subsection id="H12F679BF5752434A99F86C0145DF9ED0"><enum>(c)</enum><header>Relief With
			 Respect to Certain Foundation Acts or Failure To Act</header><text>If the
			 Foundation—</text>
				<paragraph id="HD0EFB58A86B44877B77DB11E10CB96FC"><enum>(1)</enum><text>engages in, or
			 threatens to engage in, any act, practice or policy that is inconsistent with
			 its purposes set forth in section 2(b); or</text>
				</paragraph><paragraph id="H31EB4203065541CFAD007296651BF985"><enum>(2)</enum><text>refuses, fails, or
			 neglects to discharge its obligations under this Act, or threaten to do
			 so;</text>
				</paragraph><continuation-text continuation-text-level="subsection">the Attorney General of the United
			 States may petition in the United States District Court for the District of
			 Columbia for such equitable relief as may be necessary or appropriate.</continuation-text></subsection></section><section changed="deleted" committee-id="SSHR00" id="HC787069444DE41AB8650271289513E8D" reported-display-style="strikethrough"><enum>8.</enum><header>Authorization of
			 appropriations</header><text display-inline="no-display-inline">For fiscal year
			 2010, there are authorized to be appropriated such sums as may be necessary, to
			 be made available to the Foundation for organizational costs.</text>

	<legis-body display-enacting-clause="no-display-enacting-clause">
		<section changed="added" committee-id="SSHR00" display-inline="no-display-inline" id="id2a2659d4-0723-477f-99cf-fd80faa2d3a5" reported-display-style="italic" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>National Foundation on Fitness,
			 Sports, and Nutrition Establishment Act</short-title></quote>.</text>
		</section><section changed="added" committee-id="SSHR00" id="id760b402b-9321-436a-ad2f-f828869daf6f" reported-display-style="italic"><enum>2.</enum><header>Establishment and
			 purpose of Foundation</header>
			<subsection id="idf162156f-17cf-4979-a4df-11446ed3a989"><enum>(a)</enum><header>Establishment</header><text>There
			 is established the National Foundation on Fitness, Sports, and Nutrition
			 (hereinafter in this Act referred to as the <quote>Foundation</quote>). The
			 Foundation is a charitable and nonprofit corporation and is not an agency or
			 establishment of the United States.</text>
			</subsection><subsection id="id44e1a4d8-c671-4b48-a4aa-30d208ffe7a3"><enum>(b)</enum><header>Purposes</header><text>The
			 purposes of the Foundation are—</text>
				<paragraph id="id4a88fb93-2e31-4635-b2c9-eac13b4266c9"><enum>(1)</enum><text>in conjunction with the
			 Office of the President's Council on Fitness, Sports and Nutrition, to develop
			 a list and description of programs, events and other activities which would
			 further the purposes and functions outlined in Executive Order 13265, as
			 amended, and with respect to which combined private and governmental efforts
			 would be beneficial;</text>
				</paragraph><paragraph id="id2895869c-0cb5-426d-bc8c-3fd50b95b052"><enum>(2)</enum><text>to encourage and promote
			 the participation by private organizations in the activities referred to in
			 subsection (b)(1) and to encourage and promote private gifts of money and other
			 property to support those activities; and</text>
				</paragraph><paragraph id="ID02f8f1f2d61842ff9d83bb7d99f12b1c"><enum>(3)</enum><text>in consultation with such
			 Office, to undertake and support activities to further the purposes and
			 functions of such Executive Order.</text>
				</paragraph></subsection><subsection id="id0E8061D09BC24E5EB8DFBB2562F56CCB"><enum>(c)</enum><header>Prohibition on Federal
			 funding</header><text>The Foundation may not accept any Federal funds.</text>
			</subsection></section><section changed="added" committee-id="SSHR00" id="idfa928d16-11a1-4877-a6b9-766e35e48845" reported-display-style="italic"><enum>3.</enum><header>Board of Directors of
			 the Foundation</header>
			<subsection id="idfdfb99b1-406f-4239-b256-914db6e2e620"><enum>(a)</enum><header>Establishment and
			 Membership</header><text>The Foundation shall have a governing Board of
			 Directors (hereinafter referred to in this Act as the <quote>Board</quote>),

			 and physical exercise; and</text>
				</paragraph><paragraph id="id432252c3-c954-4916-b796-1a9350c67841"><enum>(2)</enum><text>6 of whom should be
			 leaders in the private sector with a strong interest in physical fitness,
			 sports, nutrition, or the relationship between health status and physical
			 exercise.</text>
				</paragraph><continuation-text continuation-text-level="subsection">The
			 membership of the Board, to the extent practicable, should represent diverse
			 professional specialties relating to the achievement of physical fitness
			 through regular participation in programs of exercise, sports, and similar
			 activities, or to nutrition. The Assistant Secretary for Health, the Executive
			 Director of the President's Council on Fitness, Sports and Nutrition, the
			 Director for the National Center for Chronic Disease Prevention and Health
			 Promotion, the Director of the National Heart, Lung, and Blood Institute, and
			 the Director for the Centers for Disease Control and Prevention shall be ex
			 officio, nonvoting members of the Board. Appointment to the Board or its staff
			 shall not constitute employment by, or the holding of an office of, the United
			 States for the purposes of laws relating to Federal employment.</continuation-text></subsection><subsection id="idd59ab603-4b6c-4d33-a875-3bab87c5ae38"><enum>(b)</enum><header>Appointments</header><text>Within
			 90 days from the date of enactment of this Act, the members of the Board shall
			 be appointed by the Secretary in accordance with this subsection. In selecting
			 individuals for appointments to the Board, the Secretary should consult
			 with—</text>
				<paragraph id="idA7F568A80D7A43009677F5C371D8B306"><enum>(1)</enum><text>the Speaker of the House
			 of Representatives concerning the appointment of one member;</text>
				</paragraph><paragraph id="id1700FE4F596640AEBA152077923BFC85"><enum>(2)</enum><text>the Majority Leader of
			 the House of Representatives concerning the appointment of one member;</text>
				</paragraph><paragraph id="id9B253C71FCD941E5881A9BEEE772B733"><enum>(3)</enum><text>the Majority Leader of
			 the Senate concerning the appointment of one member;</text>
				</paragraph><paragraph id="idF7B5493A5AFF41BBABE80FC0B54EC7D3"><enum>(4)</enum><text>the President Pro Tempore
			 concerning the appointment of one member;</text>
				</paragraph><paragraph id="idA67A2DCFB9F94EAFBEAAF34B2D9A1B28"><enum>(5)</enum><text>the Minority Leader of
			 the House of Representatives concerning the appointment of one member;
			 and</text>
				</paragraph><paragraph id="idFBE014221A6A4184A04CFCD2116827A0"><enum>(6)</enum><text>the Minority Leader of
			 the Senate concerning the appointment of one member.</text>
				</paragraph></subsection><subsection id="ida6576837-e2b2-4cab-8636-e69084ee1fff"><enum>(c)</enum><header>Terms</header><text>The
			 members of the Board shall serve for a term of 6 years, except that the
			 original members of the Board shall be appointed for staggered terms as
			 determined appropriate by the Secretary. A vacancy on the Board shall be filled
			 within 60 days of the vacancy in the same manner in which the original
			 appointment was made and shall be for the balance of the term of the individual
			 who was replaced. No individual may serve more than 2 consecutive terms as a
			 member.</text>
			</subsection><subsection id="idc4da842a-df65-4b20-a39c-bbe97d6f0192"><enum>(d)</enum><header>Chairman</header><text>The
			 Chairman shall be elected by the Board from its members for a 2-year term and
			 shall not be limited in terms or service, other than as provided in subsection
			 (c).</text>
			</subsection><subsection id="id5c21697b-7bf1-4399-850d-171c4cdbc3e9"><enum>(e)</enum><header>Quorum</header><text>A
			 majority of the current membership of the Board shall constitute a quorum for
			 the transaction of business.</text>
			</subsection><subsection id="id1921295b-d43e-4c6f-98ab-34d752c5d56b"><enum>(f)</enum><header>Meetings</header><text>The
			 Board shall meet at the call of the Chairman at least once a year. If a member
			 misses 3 consecutive regularly scheduled meetings, that member may be removed
			 from the Board and the vacancy filled in accordance with subsection (c).</text>
			</subsection><subsection id="id45c979b7-edad-43b6-9d8f-813caa4068a2"><enum>(g)</enum><header>Reimbursement of
			 Expenses</header><text>Members of the Board shall serve without pay, but may be
			 reimbursed for the actual and necessary traveling and subsistence expenses
			 incurred by them in the performance of the duties of the Foundation, subject to
			 the same limitations on reimbursement that are imposed upon employees of
			 Federal agencies.</text>
			</subsection><subsection id="idcb0a5e28-816a-47a5-8cae-659a6ea8b0f3"><enum>(h)</enum><header>Limitations</header><text>The
			 following limitations apply with respect to the appointment of employees of the
			 Foundation:</text>
				<paragraph id="id82c84d38-e350-48a4-94c1-058283f97832"><enum>(1)</enum><text>Employees may not be
			 appointed until the Foundation has sufficient funds to pay them for their
			 service. No individual so appointed may receive a salary in excess of the
			 annual rate of basic pay in effect for Executive Level V in the Federal
			 service. A member of the Board may not receive compensation for serving as an
			 employee of the Foundation.</text>
				</paragraph><paragraph id="id239c50aa-3e1d-427e-86f6-46d203176d77"><enum>(2)</enum><text>The first employee
			 appointed by the Board shall be the Secretary of the Board who shall serve, at
			 the direction of the Board, as its chief operating officer and shall be
			 knowledgeable and experienced in matters relating to physical fitness, sports,
			 and nutrition.</text>
				</paragraph><paragraph id="idfee3f1e1-cc8b-4efc-87a5-60a94f6f246b"><enum>(3)</enum><text>No Public Health Service
			 employee nor the spouse or dependent relative of such an employee may serve as
			 a member of the Board of Directors or as an employee of the Foundation.</text>
				</paragraph><paragraph id="idd9bb7da5-2774-4633-b6bd-5ec577d8c3c8"><enum>(4)</enum><text>Any individual who is an
			 employee or member of the Board of the Foundation may not (in accordance with
			 the policies developed under subsection (i)) personally or substantially
			 participate in the consideration or determination by the Foundation of any
			 matter that would directly or predictably affect any financial interest
			 of—</text>
					<subparagraph id="idF48D0FDDA38943619E95E54C0BFF7A6E"><enum>(A)</enum><text>the individual or a
			 relative (as such term is defined in section 109(16) of the Ethics in
			 Government Act, 1978) of the individual; or</text>
					</subparagraph><subparagraph id="idE8455406682E442B8D71D72B6DBB032D"><enum>(B)</enum><text>any business
			 organization, or other entity, of which the individual is an officer or
			 employee, is negotiating for employment, or in which the individual has any
			 other financial interest.</text>
					</subparagraph></paragraph></subsection><subsection id="id447b2337-5a34-4136-b087-98e5be8e3321"><enum>(i)</enum><header>General
			 Powers</header><text>The Board may complete the organization of the Foundation
			 by—</text>
				<paragraph id="idce4786ec-65fb-49b9-a02c-226342ac0f50"><enum>(1)</enum><text>appointing
			 employees;</text>
				</paragraph><paragraph id="id43c223e7-b458-4c98-814f-809a0a0dc2f4"><enum>(2)</enum><text>adopting a constitution
			 and bylaws consistent with the purposes of the Foundation and the provision of
			 this Act; and</text>
				</paragraph><paragraph id="id198ff590-ebee-4ef2-b670-e5e6765d9002"><enum>(3)</enum><text>undertaking such other
			 acts as may be necessary to carry out the provisions of this Act.</text>
				</paragraph><continuation-text continuation-text-level="subsection">In
			 establishing bylaws under this subsection, the Board shall provide for policies
			 with regard to financial conflicts of interest and ethical standards for the
			 acceptance, solicitation and disposition of donations and grants to the
			 Foundation.</continuation-text></subsection></section><section changed="added" committee-id="SSHR00" id="id1ba1cc44-c1e3-49ce-aee5-398c8bbbb4b1" reported-display-style="italic"><enum>4.</enum><header>Powers and duties of the
			 Foundation</header>
			<subsection id="id557852f6-8c2b-466d-a321-9b60c342af79"><enum>(a)</enum><header>In
			 General</header><text>The Foundation—</text>
				<paragraph id="id4dd70159-a01a-45ff-bdb4-6c69536bb859"><enum>(1)</enum><text>shall have perpetual
			 succession;</text>
				</paragraph><paragraph id="id33e4fe29-fae4-4b79-bb3d-6090d6ac66fa"><enum>(2)</enum><text>may conduct business
			 throughout the several States, territories, and possessions of the United
			 States;</text>
				</paragraph><paragraph id="id1cfff28c-d968-40c2-98a6-0780aeeca25b"><enum>(3)</enum><text>shall have its principal
			 offices in or near the District of Columbia; and</text>
				</paragraph><paragraph id="id3181af9d-597e-4eea-a9bb-ab2f08edad10"><enum>(4)</enum><text>shall at all times
			 maintain a designated agent authorized to accept service of process for the
			 Foundation.</text>
				</paragraph><continuation-text continuation-text-level="subsection">The
			 serving of notice to, or service of process upon, the agent required under
			 paragraph (4), or mailed to the business address of such agent, shall be deemed
			 as service upon or notice to the Foundation.</continuation-text></subsection><subsection id="iddfbcf93d-26e6-44fe-be97-b1a31a703c5e"><enum>(b)</enum><header>Seal</header><text>The
			 Foundation shall have an official seal selected by the Board which may be used
			 as provided for in section 5.</text>
			</subsection><subsection id="ID9e6e928f65dd42429131c975a276b9cd"><enum>(c)</enum><header>Incorporation;
			 nonprofit status</header><text>To carry out the purposes of the Foundation
			 under section 2, the Board shall—</text>
				<paragraph id="ID86dc3bba70dd4898a3c4389e01413356"><enum>(1)</enum><text>incorporate the
			 Foundation in the District of Columbia; and</text>
				</paragraph><paragraph id="ID64b065130fb7459386f8e15bad97896e"><enum>(2)</enum><text>establish such policies
			 and bylaws as may be necessary to ensure that the Foundation maintains status
			 as an organization that is described in section 501(c)(3) of the Internal
			 Revenue Code of 1986.</text>
				</paragraph></subsection><subsection id="id217da8ab-e27b-44a4-a432-5568dcc5cd4c"><enum>(d)</enum><header>Powers</header><text>Subject
			 to the specific provisions of section 2, the Foundation, in consultation with
			 the Office of the President’s Council on Fitness, Sports, and Nutrition, shall
			 have the power, directly or by the awarding of contracts or grants, to carry
			 out or support activities for the purposes described in such section.</text>
			</subsection><subsection id="id69E488965DCF4B7195E3A9AA5BD0FA31"><enum>(e)</enum><header>Treatment of
			 property</header><text>For purposes of this Act, an interest in real property
			 shall be treated as including easements or other rights for preservation,
			 conservation, protection, or enhancement by and for the public of natural,
			 scenic, historic, scientific, educational inspirational or recreational
			 resources. A gift, devise, or bequest may be accepted by the Foundation even
			 though it is encumbered, restricted, or subject to beneficial interests of
			 private persons if any current or future interest therein is for the benefit of
			 the Foundation.</text>
			</subsection></section><section changed="added" committee-id="SSHR00" id="idaec01c7e-39d1-4196-afe2-2a9f90339aba" reported-display-style="italic"><enum>5.</enum><header>Protection and uses of
			 trademarks and trade names</header>
			<subsection id="IDf8280ee55ca74bea833f05fa9ee74664"><enum>(a)</enum><header>Trademarks of the
			 Foundation</header><text>Authorization for a contributor, or a supplier of
			 goods or services, to use, in advertising regarding the contribution, goods, or
			 services, the trade name of the Foundation, or any trademark, seal, symbol,
			 insignia, or emblem of the Foundation may be provided only by the Foundation
			 with the concurrence of the Secretary or the Secretary's designee.</text>
			</subsection><subsection id="ID893e25d28440443f9af3b90c3e8d93f9"><enum>(b)</enum><header>Trademarks of the
			 Council</header><text>—Authorization for a contributor or supplier described in
			 subsection (a) to use, in such advertising, the trade name of the President's
			 Council on Fitness, Sports, and Nutrition, or any trademark, seal, symbol,
			 insignia, or emblem of such Council, may be provided—</text>
				<paragraph id="ID451845f08f2340f38033bda9c1e63642"><enum>(1)</enum><text>by the Secretary or the
			 Secretary's designee; or</text>
				</paragraph><paragraph id="IDb528b082757f4819ae0b1cd50da78a7a"><enum>(2)</enum><text>by the Foundation with
			 the concurrence of the Secretary or the Secretary's designee.</text>
				</paragraph></subsection></section><section changed="added" committee-id="SSHR00" id="id94379667-12c4-47ba-ac7a-b20bf6de7dd1" reported-display-style="italic"><enum>6.</enum><header>Audit, report
			 requirements, and petition of attorney general for equitable relief</header>
			<subsection id="id08618714-77a4-40c7-8552-be262e4b038e"><enum>(a)</enum><header>Audits</header><text>For
			 purposes of the Act entitled <quote>An Act for audit of accounts of private
			 corporations established under Federal law</quote>, approved August 30, 1964
			 (<external-xref legal-doc="public-law" parsable-cite="pl/88/504">Public Law
			 88–504</external-xref>,
			 <external-xref legal-doc="usc" parsable-cite="usc/36/1101">36 U.S.C.
			 1101–1103</external-xref>), the Foundation shall be treated as a private
			 corporation under Federal law. The Inspector General of the Department of
			 Health and Human Services and the Comptroller General of the United States
			 shall have access to the financial and other records of the Foundation, upon
			 reasonable notice.</text>
			</subsection><subsection id="id38eb3cb9-b6c2-4a6f-a37b-16931e0a70e0"><enum>(b)</enum><header>Report</header><text>The
			 Foundation shall, not later than 60 days after the end of each fiscal year,
			 transmit to the Secretary and to Congress a report of its proceedings and
			 activities during such year, including a full and complete statement of its
			 receipts, expenditures, and investments.</text>
			</subsection><subsection id="ida2f4bdbb-220f-40f0-b20a-32f445df0b97"><enum>(c)</enum><header>Relief With Respect to
			 Certain Foundation Acts or Failure To Act</header><text>If the
			 Foundation—</text>
				<paragraph id="ida3095823-c20b-4a9a-a1fd-16dea046de36"><enum>(1)</enum><text>engages in, or threatens
			 to engage in, any act, practice or policy that is inconsistent with its
			 purposes set forth in section 2(b); or</text>
				</paragraph><paragraph id="idc37fc319-d9ce-4327-946b-5db6262e5acb"><enum>(2)</enum><text>refuses, fails, or
			 neglects to discharge its obligations under this Act, or threaten to do
			 so;</text>
				</paragraph><continuation-text continuation-text-level="subsection">the
			 Attorney General of the United States may petition in the United States
			 District Court for the District of Columbia for such equitable relief as may be
			 necessary or appropriate.</continuation-text></subsection></section></legis-body>
